國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業(ye)屬于(yu)全(quan)民(min)(min)所有(you)(you)(you)(you),是(shi)(shi)推進國(guo)(guo)(guo)(guo)(guo)(guo)家現(xian)(xian)代(dai)化(hua)、保(bao)(bao)障(zhang)人民(min)(min)共(gong)同(tong)利(li)(li)益的重(zhong)要(yao)力(li)(li)量,是(shi)(shi)我們黨(dang)和(he)國(guo)(guo)(guo)(guo)(guo)(guo)家事業(ye)發(fa)展的重(zhong)要(yao)物質(zhi)基礎(chu)和(he)政治基礎(chu)。改(gai)(gai)革開放以(yi)(yi)來,國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業(ye)改(gai)(gai)革發(fa)展不(bu)斷取得重(zhong)大(da)(da)進展,總體(ti)上(shang)已經(jing)(jing)(jing)(jing)同(tong)市(shi)場(chang)經(jing)(jing)(jing)(jing)濟(ji)(ji)相融合(he),運行(xing)質(zhi)量和(he)效(xiao)益明(ming)顯提升(sheng),在(zai)(zai)國(guo)(guo)(guo)(guo)(guo)(guo)際國(guo)(guo)(guo)(guo)(guo)(guo)內市(shi)場(chang)競(jing)爭(zheng)中(zhong)(zhong)涌(yong)現(xian)(xian)出(chu)一批具有(you)(you)(you)(you)核心競(jing)爭(zheng)力(li)(li)的骨干企(qi)(qi)(qi)業(ye),為推動經(jing)(jing)(jing)(jing)濟(ji)(ji)社會發(fa)展、保(bao)(bao)障(zhang)和(he)改(gai)(gai)善民(min)(min)生(sheng)、開拓國(guo)(guo)(guo)(guo)(guo)(guo)際市(shi)場(chang)、增(zeng)強我國(guo)(guo)(guo)(guo)(guo)(guo)綜合(he)實(shi)(shi)力(li)(li)作出(chu)了重(zhong)大(da)(da)貢獻,國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業(ye)經(jing)(jing)(jing)(jing)營(ying)管理者隊伍(wu)總體(ti)上(shang)是(shi)(shi)好的,廣大(da)(da)職(zhi)(zhi)工付出(chu)了不(bu)懈努力(li)(li),成就(jiu)是(shi)(shi)突出(chu)的。但也要(yao)看到(dao),國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業(ye)仍然(ran)存在(zai)(zai)一些亟待(dai)解決的突出(chu)矛盾和(he)問(wen)題(ti),一些企(qi)(qi)(qi)業(ye)市(shi)場(chang)主體(ti)地位尚未(wei)真正確立,現(xian)(xian)代(dai)企(qi)(qi)(qi)業(ye)制(zhi)(zhi)度還不(bu)健全(quan),國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)資產監管體(ti)制(zhi)(zhi)有(you)(you)(you)(you)待(dai)完善,國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)資本運行(xing)效(xiao)率需進一步提高(gao);一些企(qi)(qi)(qi)業(ye)管理混亂,內部人控制(zhi)(zhi)、利(li)(li)益輸送、國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)資產流失等(deng)問(wen)題(ti)突出(chu),企(qi)(qi)(qi)業(ye)辦社會職(zhi)(zhi)能(neng)和(he)歷史遺留問(wen)題(ti)還未(wei)完全(quan)解決;一些企(qi)(qi)(qi)業(ye)黨(dang)組織管黨(dang)治黨(dang)責(ze)任(ren)(ren)不(bu)落實(shi)(shi)、作用被(bei)弱化(hua)。面向(xiang)(xiang)未(wei)來,國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業(ye)面臨日益激烈的國(guo)(guo)(guo)(guo)(guo)(guo)際競(jing)爭(zheng)和(he)轉型升(sheng)級的巨大(da)(da)挑戰(zhan)。在(zai)(zai)推動我國(guo)(guo)(guo)(guo)(guo)(guo)經(jing)(jing)(jing)(jing)濟(ji)(ji)保(bao)(bao)持中(zhong)(zhong)高(gao)速(su)增(zeng)長和(he)邁向(xiang)(xiang)中(zhong)(zhong)高(gao)端水平(ping)、完善和(he)發(fa)展中(zhong)(zhong)國(guo)(guo)(guo)(guo)(guo)(guo)特色社會主義(yi)制(zhi)(zhi)度、實(shi)(shi)現(xian)(xian)中(zhong)(zhong)華民(min)(min)族(zu)偉大(da)(da)復興中(zhong)(zhong)國(guo)(guo)(guo)(guo)(guo)(guo)夢(meng)的進程(cheng)中(zhong)(zhong),國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業(ye)肩負(fu)著重(zhong)大(da)(da)歷史使命和(he)責(ze)任(ren)(ren)。要(yao)認真貫徹落實(shi)(shi)黨(dang)中(zhong)(zhong)央、國(guo)(guo)(guo)(guo)(guo)(guo)務院戰(zhan)略決策,按照(zhao)“四(si)個全(quan)面”戰(zhan)略布(bu)局(ju)的要(yao)求,以(yi)(yi)經(jing)(jing)(jing)(jing)濟(ji)(ji)建設(she)為中(zhong)(zhong)心,堅持問(wen)題(ti)導向(xiang)(xiang),繼續推進國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業(ye)改(gai)(gai)革,切實(shi)(shi)破除(chu)體(ti)制(zhi)(zhi)機(ji)制(zhi)(zhi)障(zhang)礙,堅定不(bu)移做(zuo)強做(zuo)優做(zuo)大(da)(da)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業(ye)。為此,提出(chu)以(yi)(yi)下(xia)意見。

一、總體要求

(一)指導思想

高(gao)舉(ju)中(zhong)國(guo)(guo)特(te)色社(she)會(hui)主義偉大(da)(da)旗(qi)幟,認真貫徹落實黨的十八大(da)(da)和(he)(he)十八屆三中(zhong)、四(si)中(zhong)全會(hui)精神,深(shen)入學習貫徹習近平總書(shu)記(ji)系(xi)列重要講(jiang)話精神,堅持和(he)(he)完(wan)(wan)善(shan)基本經濟(ji)制度,堅持社(she)會(hui)主義市場(chang)經濟(ji)改革方向,適應市場(chang)化(hua)、現(xian)代(dai)化(hua)、國(guo)(guo)際化(hua)新形勢,以解放(fang)和(he)(he)發展(zhan)社(she)會(hui)生(sheng)產(chan)力為標準,以提高(gao)國(guo)(guo)有(you)資本效率(lv)、增強(qiang)(qiang)國(guo)(guo)有(you)企(qi)業(ye)活力為中(zhong)心(xin),完(wan)(wan)善(shan)產(chan)權清晰、權責(ze)明確、政企(qi)分開、管理科學的現(xian)代(dai)企(qi)業(ye)制度,完(wan)(wan)善(shan)國(guo)(guo)有(you)資產(chan)監管體制,防止國(guo)(guo)有(you)資產(chan)流失,全面推(tui)進依(yi)法治企(qi),加強(qiang)(qiang)和(he)(he)改進黨對國(guo)(guo)有(you)企(qi)業(ye)的領(ling)導,做強(qiang)(qiang)做優做大(da)(da)國(guo)(guo)有(you)企(qi)業(ye),不斷增強(qiang)(qiang)國(guo)(guo)有(you)經濟(ji)活力、控制力、影響力、抗風險(xian)能力,主動適應和(he)(he)引領(ling)經濟(ji)發展(zhan)新常態(tai),為促進經濟(ji)社(she)會(hui)持續健康發展(zhan)、實現(xian)中(zhong)華民族偉大(da)(da)復興中(zhong)國(guo)(guo)夢作出(chu)積(ji)極貢獻。

(二)基本原則

——堅持(chi)和完善基本(ben)經濟(ji)(ji)制(zhi)(zhi)度(du)。這是(shi)深化國有(you)(you)企業改(gai)革必須把握的根(gen)本(ben)要求。必須毫不動(dong)搖鞏固和發(fa)(fa)展公有(you)(you)制(zhi)(zhi)經濟(ji)(ji),毫不動(dong)搖鼓勵、支持(chi)、引導(dao)非(fei)(fei)公有(you)(you)制(zhi)(zhi)經濟(ji)(ji)發(fa)(fa)展。堅持(chi)公有(you)(you)制(zhi)(zhi)主(zhu)體(ti)地位,發(fa)(fa)揮國有(you)(you)經濟(ji)(ji)主(zhu)導(dao)作用,積極促(cu)進國有(you)(you)資本(ben)、集體(ti)資本(ben)、非(fei)(fei)公有(you)(you)資本(ben)等(deng)交叉(cha)持(chi)股(gu)、相互融合,推(tui)動(dong)各種所有(you)(you)制(zhi)(zhi)資本(ben)取長補(bu)短、相互促(cu)進、共同發(fa)(fa)展。

——堅(jian)持社會(hui)主(zhu)(zhu)義(yi)市(shi)(shi)(shi)場(chang)經(jing)濟改(gai)革方向。這是深化(hua)國(guo)有(you)(you)(you)(you)企業(ye)(ye)改(gai)革必須遵循的(de)基本規(gui)律。國(guo)有(you)(you)(you)(you)企業(ye)(ye)改(gai)革要遵循市(shi)(shi)(shi)場(chang)經(jing)濟規(gui)律和(he)企業(ye)(ye)發展規(gui)律,堅(jian)持政企分開、政資分開、所有(you)(you)(you)(you)權與經(jing)營權分離,堅(jian)持權利(li)、義(yi)務、責任相統一,堅(jian)持激勵機(ji)制(zhi)和(he)約(yue)束機(ji)制(zhi)相結合,促使國(guo)有(you)(you)(you)(you)企業(ye)(ye)真(zhen)正成(cheng)為依法(fa)自(zi)主(zhu)(zhu)經(jing)營、自(zi)負盈(ying)虧、自(zi)擔風險、自(zi)我約(yue)束、自(zi)我發展的(de)獨立市(shi)(shi)(shi)場(chang)主(zhu)(zhu)體。社會(hui)主(zhu)(zhu)義(yi)市(shi)(shi)(shi)場(chang)經(jing)濟條件下(xia)的(de)國(guo)有(you)(you)(you)(you)企業(ye)(ye),要成(cheng)為自(zi)覺履(lv)行社會(hui)責任的(de)表率。

——堅持增(zeng)強(qiang)(qiang)活力(li)(li)和(he)強(qiang)(qiang)化(hua)監管(guan)相結合。這(zhe)是(shi)深(shen)化(hua)國(guo)有(you)企(qi)業(ye)改革必(bi)須把握的(de)重要(yao)關系。增(zeng)強(qiang)(qiang)活力(li)(li)是(shi)搞好國(guo)有(you)企(qi)業(ye)的(de)本質要(yao)求,加強(qiang)(qiang)監管(guan)是(shi)搞好國(guo)有(you)企(qi)業(ye)的(de)重要(yao)保障,要(yao)切實(shi)做到兩者(zhe)的(de)有(you)機統一(yi)。繼續推(tui)進(jin)簡政放(fang)權,依法落實(shi)企(qi)業(ye)法人財產(chan)權和(he)經(jing)營自主權,進(jin)一(yi)步(bu)激發企(qi)業(ye)活力(li)(li)、創造力(li)(li)和(he)市場競(jing)爭力(li)(li)。進(jin)一(yi)步(bu)完善(shan)國(guo)有(you)企(qi)業(ye)監管(guan)制(zhi)度,切實(shi)防止國(guo)有(you)資(zi)產(chan)流失(shi),確(que)保國(guo)有(you)資(zi)產(chan)保值增(zeng)值。

——堅(jian)持黨(dang)對國有(you)(you)企(qi)業(ye)的(de)領導。這(zhe)是深化(hua)國有(you)(you)企(qi)業(ye)改革必須堅(jian)守的(de)政(zheng)治方向(xiang)、政(zheng)治原則。要(yao)貫徹全(quan)面從嚴(yan)治黨(dang)方針,充分發揮企(qi)業(ye)黨(dang)組織(zhi)政(zheng)治核(he)心作(zuo)用,加強(qiang)企(qi)業(ye)領導班子建(jian)設(she),創(chuang)新基層黨(dang)建(jian)工(gong)作(zuo),深入開展(zhan)黨(dang)風廉政(zheng)建(jian)設(she),堅(jian)持全(quan)心全(quan)意(yi)依靠(kao)工(gong)人階級,維護職工(gong)合(he)法權益(yi),為國有(you)(you)企(qi)業(ye)改革發展(zhan)提(ti)供堅(jian)強(qiang)有(you)(you)力的(de)政(zheng)治保證(zheng)、組織(zhi)保證(zheng)和人才支撐(cheng)。

——堅(jian)持積極穩(wen)妥統籌推(tui)進(jin)。這是深化國(guo)有企(qi)業改(gai)革(ge)必須采用的(de)科學(xue)方法(fa)(fa)。要正確(que)處理推(tui)進(jin)改(gai)革(ge)和堅(jian)持法(fa)(fa)治的(de)關系(xi),正確(que)處理改(gai)革(ge)發(fa)展穩(wen)定關系(xi),正確(que)處理搞(gao)好(hao)頂層設計和尊(zun)重基層首創精神的(de)關系(xi),突出問題導向(xiang),堅(jian)持分類(lei)推(tui)進(jin),把握好(hao)改(gai)革(ge)的(de)次(ci)序(xu)、節奏(zou)、力度,確(que)保改(gai)革(ge)扎實(shi)推(tui)進(jin)、務求(qiu)實(shi)效。

(三)主要目標

到(dao)2020年,在國(guo)(guo)有(you)企業(ye)改革(ge)重要(yao)領域和關鍵(jian)環(huan)節取(qu)得(de)決定(ding)性成果,形成更加符合(he)我國(guo)(guo)基(ji)本(ben)經濟制度和社(she)會主義市場(chang)經濟發(fa)展要(yao)求的(de)國(guo)(guo)有(you)資產管理體制、現代(dai)企業(ye)制度、市場(chang)化(hua)經營(ying)機(ji)制,國(guo)(guo)有(you)資本(ben)布局結(jie)構更趨合(he)理,造就一大(da)批(pi)德(de)才兼備、善于經營(ying)、充滿活力(li)(li)的(de)優秀企業(ye)家(jia),培(pei)育一大(da)批(pi)具有(you)創新能力(li)(li)和國(guo)(guo)際(ji)競爭力(li)(li)的(de)國(guo)(guo)有(you)骨干企業(ye),國(guo)(guo)有(you)經濟活力(li)(li)、控制力(li)(li)、影響力(li)(li)、抗(kang)風險(xian)能力(li)(li)明顯增強。

——國有(you)企業公司(si)制改(gai)革基本完(wan)成,發(fa)展混合(he)所(suo)有(you)制經(jing)濟取得積極(ji)進展,法人治(zhi)理結構更(geng)加健全,優勝劣(lie)汰、經(jing)營自主靈活(huo)、內部管理人員能(neng)(neng)上能(neng)(neng)下、員工能(neng)(neng)進能(neng)(neng)出(chu)、收入能(neng)(neng)增能(neng)(neng)減的(de)市場化機制更(geng)加完(wan)善。

——國有(you)資產監(jian)(jian)管(guan)制度更加成熟,相關法律法規更加健(jian)全,監(jian)(jian)管(guan)手段和方式不斷優化,監(jian)(jian)管(guan)的(de)科學性、針對性、有(you)效性進(jin)一(yi)步(bu)提高,經營性國有(you)資產實現集中(zhong)統一(yi)監(jian)(jian)管(guan),國有(you)資產保(bao)值(zhi)增值(zhi)責(ze)任(ren)全面落實。

——國有資本配置效(xiao)率顯著提(ti)高,國有經(jing)濟布(bu)局結構(gou)不斷(duan)優化、主導作用有效(xiao)發(fa)揮(hui),國有企業在提(ti)升自主創新能力、保護資源環(huan)境(jing)、加快(kuai)轉型升級、履行社會(hui)責任中的引(yin)領(ling)和表率作用充分發(fa)揮(hui)。

——企業(ye)黨的建設全面(mian)加(jia)(jia)強(qiang),反腐倡廉制(zhi)度體系、工作(zuo)體系更加(jia)(jia)完善,國有(you)企業(ye)黨組織(zhi)在(zai)公司治(zhi)理(li)中(zhong)的法定地位更加(jia)(jia)鞏固,政治(zhi)核心作(zuo)用充分發(fa)揮。

二、分類推進國有企業改革

(四(si))劃分(fen)(fen)國(guo)有企(qi)業(ye)(ye)(ye)(ye)(ye)不同(tong)類(lei)(lei)(lei)別(bie)。根(gen)據國(guo)有資(zi)本(ben)的(de)(de)(de)戰略(lve)定位和(he)發(fa)(fa)展目(mu)標,結(jie)合不同(tong)國(guo)有企(qi)業(ye)(ye)(ye)(ye)(ye)在(zai)經濟社(she)會發(fa)(fa)展中的(de)(de)(de)作用、現(xian)狀和(he)發(fa)(fa)展需要(yao),將(jiang)國(guo)有企(qi)業(ye)(ye)(ye)(ye)(ye)分(fen)(fen)為(wei)商業(ye)(ye)(ye)(ye)(ye)類(lei)(lei)(lei)和(he)公益(yi)類(lei)(lei)(lei)。通(tong)過(guo)界(jie)定功(gong)(gong)能(neng)、劃分(fen)(fen)類(lei)(lei)(lei)別(bie),實(shi)行(xing)分(fen)(fen)類(lei)(lei)(lei)改革(ge)、分(fen)(fen)類(lei)(lei)(lei)發(fa)(fa)展、分(fen)(fen)類(lei)(lei)(lei)監(jian)管、分(fen)(fen)類(lei)(lei)(lei)定責、分(fen)(fen)類(lei)(lei)(lei)考核(he),提(ti)高(gao)改革(ge)的(de)(de)(de)針(zhen)對(dui)性、監(jian)管的(de)(de)(de)有效(xiao)(xiao)性、考核(he)評價(jia)的(de)(de)(de)科學性,推動(dong)國(guo)有企(qi)業(ye)(ye)(ye)(ye)(ye)同(tong)市(shi)場經濟深入(ru)融(rong)合,促進國(guo)有企(qi)業(ye)(ye)(ye)(ye)(ye)經濟效(xiao)(xiao)益(yi)和(he)社(she)會效(xiao)(xiao)益(yi)有機(ji)統(tong)一。按照誰(shui)出(chu)資(zi)誰(shui)分(fen)(fen)類(lei)(lei)(lei)的(de)(de)(de)原則,由(you)履行(xing)出(chu)資(zi)人職(zhi)責的(de)(de)(de)機(ji)構負責制定所出(chu)資(zi)企(qi)業(ye)(ye)(ye)(ye)(ye)的(de)(de)(de)功(gong)(gong)能(neng)界(jie)定和(he)分(fen)(fen)類(lei)(lei)(lei)方案,報本(ben)級政府批準。各地區可(ke)結(jie)合實(shi)際,劃分(fen)(fen)并動(dong)態調(diao)整本(ben)地區國(guo)有企(qi)業(ye)(ye)(ye)(ye)(ye)功(gong)(gong)能(neng)類(lei)(lei)(lei)別(bie)。

(五)推進商(shang)業(ye)類國(guo)有(you)(you)企業(ye)改(gai)革。商(shang)業(ye)類國(guo)有(you)(you)企業(ye)按照市場化要(yao)求(qiu)實(shi)行商(shang)業(ye)化運作,以增(zeng)強(qiang)國(guo)有(you)(you)經濟活(huo)力、放大國(guo)有(you)(you)資本功能、實(shi)現(xian)(xian)國(guo)有(you)(you)資產保值(zhi)(zhi)增(zeng)值(zhi)(zhi)為主(zhu)(zhu)要(yao)目標,依法獨(du)立自主(zhu)(zhu)開展生產經營活(huo)動,實(shi)現(xian)(xian)優勝(sheng)劣汰、有(you)(you)序進退。

主(zhu)業(ye)(ye)處于充(chong)分(fen)競爭(zheng)行業(ye)(ye)和領域的商業(ye)(ye)類國(guo)有(you)(you)企(qi)業(ye)(ye),原則上(shang)都要(yao)實(shi)行公司制(zhi)股(gu)(gu)份制(zhi)改革,積極引入其他國(guo)有(you)(you)資(zi)(zi)本或各(ge)類非國(guo)有(you)(you)資(zi)(zi)本實(shi)現股(gu)(gu)權多(duo)元(yuan)化,國(guo)有(you)(you)資(zi)(zi)本可以(yi)絕對(dui)控股(gu)(gu)、相對(dui)控股(gu)(gu),也可以(yi)參股(gu)(gu),并著力(li)推(tui)進整體上(shang)市(shi)。對(dui)這些國(guo)有(you)(you)企(qi)業(ye)(ye),重(zhong)點考核經營業(ye)(ye)績指標、國(guo)有(you)(you)資(zi)(zi)產保值(zhi)增值(zhi)和市(shi)場競爭(zheng)能力(li)。

主業(ye)(ye)處于(yu)關系國(guo)(guo)(guo)(guo)家安全(quan)、國(guo)(guo)(guo)(guo)民經濟命(ming)脈(mo)的(de)(de)重要行(xing)業(ye)(ye)和(he)關鍵領域(yu)、主要承擔重大專項任務(wu)(wu)的(de)(de)商(shang)業(ye)(ye)類國(guo)(guo)(guo)(guo)有(you)企(qi)業(ye)(ye),要保(bao)持國(guo)(guo)(guo)(guo)有(you)資(zi)(zi)本控股(gu)地位(wei),支持非國(guo)(guo)(guo)(guo)有(you)資(zi)(zi)本參股(gu)。對自然壟斷(duan)行(xing)業(ye)(ye),實(shi)行(xing)以(yi)政(zheng)(zheng)企(qi)分(fen)開、政(zheng)(zheng)資(zi)(zi)分(fen)開、特許經營、政(zheng)(zheng)府監管為主要內容的(de)(de)改(gai)革,根(gen)據不同行(xing)業(ye)(ye)特點實(shi)行(xing)網(wang)運(yun)分(fen)開、放開競爭(zheng)性(xing)業(ye)(ye)務(wu)(wu),促進公共資(zi)(zi)源配置市場化;對需要實(shi)行(xing)國(guo)(guo)(guo)(guo)有(you)全(quan)資(zi)(zi)的(de)(de)企(qi)業(ye)(ye),也要積極引入其他國(guo)(guo)(guo)(guo)有(you)資(zi)(zi)本實(shi)行(xing)股(gu)權(quan)多元(yuan)化;對特殊業(ye)(ye)務(wu)(wu)和(he)競爭(zheng)性(xing)業(ye)(ye)務(wu)(wu)實(shi)行(xing)業(ye)(ye)務(wu)(wu)板塊有(you)效分(fen)離,獨(du)立運(yun)作、獨(du)立核算(suan)。對這些國(guo)(guo)(guo)(guo)有(you)企(qi)業(ye)(ye),在考核經營業(ye)(ye)績(ji)指標和(he)國(guo)(guo)(guo)(guo)有(you)資(zi)(zi)產保(bao)值增值情況的(de)(de)同時,加強對服務(wu)(wu)國(guo)(guo)(guo)(guo)家戰(zhan)(zhan)略、保(bao)障國(guo)(guo)(guo)(guo)家安全(quan)和(he)國(guo)(guo)(guo)(guo)民經濟運(yun)行(xing)、發展(zhan)前瞻性(xing)戰(zhan)(zhan)略性(xing)產業(ye)(ye)以(yi)及完(wan)成特殊任務(wu)(wu)的(de)(de)考核。

(六)推(tui)進(jin)公(gong)(gong)益(yi)類(lei)國有(you)(you)企業(ye)(ye)改革。公(gong)(gong)益(yi)類(lei)國有(you)(you)企業(ye)(ye)以(yi)保障(zhang)民生、服(fu)務(wu)社會、提供(gong)公(gong)(gong)共產(chan)(chan)品和(he)服(fu)務(wu)為主(zhu)要目標(biao),引(yin)入(ru)(ru)市場機(ji)制(zhi),提高公(gong)(gong)共服(fu)務(wu)效率和(he)能力。這類(lei)企業(ye)(ye)可以(yi)采取國有(you)(you)獨資(zi)(zi)形式,具備(bei)條件的也(ye)可以(yi)推(tui)行(xing)投資(zi)(zi)主(zhu)體(ti)多元(yuan)化,還可以(yi)通過(guo)購買服(fu)務(wu)、特(te)許經營、委托代理(li)等方式,鼓勵非國有(you)(you)企業(ye)(ye)參與經營。對公(gong)(gong)益(yi)類(lei)國有(you)(you)企業(ye)(ye),重(zhong)點考核成本控制(zhi)、產(chan)(chan)品服(fu)務(wu)質(zhi)量、營運效率和(he)保障(zhang)能力,根(gen)據企業(ye)(ye)不(bu)同(tong)特(te)點有(you)(you)區別地考核經營業(ye)(ye)績指標(biao)和(he)國有(you)(you)資(zi)(zi)產(chan)(chan)保值增(zeng)值情況,考核中要引(yin)入(ru)(ru)社會評(ping)價。

三、完善現代企業制度

(七)推進公(gong)司制股(gu)(gu)(gu)份制改革。加(jia)大集團層面公(gong)司制改革力度,積極引(yin)入(ru)各類投資(zi)者實現股(gu)(gu)(gu)權多元(yuan)(yuan)化(hua),大力推動國有企(qi)業(ye)(ye)改制上市,創造條件實現集團公(gong)司整體上市。根據不同企(qi)業(ye)(ye)的功(gong)能(neng)定位,逐步調整國有股(gu)(gu)(gu)權比例(li),形成(cheng)股(gu)(gu)(gu)權結(jie)構(gou)多元(yuan)(yuan)、股(gu)(gu)(gu)東(dong)行為規范、內部約束有效、運行高效靈活的經營(ying)機制。允(yun)許將部分國有資(zi)本轉(zhuan)化(hua)為優先股(gu)(gu)(gu),在少(shao)數特定領域(yu)探索建立國家(jia)特殊管(guan)理股(gu)(gu)(gu)制度。

(八(ba))健全(quan)公(gong)司(si)法人(ren)治理(li)結(jie)構。重(zhong)點是推進(jin)董(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)建(jian)設(she)(she),建(jian)立健全(quan)權(quan)(quan)責(ze)對等、運轉(zhuan)協調、有(you)(you)效制衡(heng)的(de)(de)(de)決(jue)策執行(xing)監督機制,規(gui)范董(dong)(dong)(dong)(dong)(dong)事(shi)長(chang)、總經(jing)理(li)行(xing)權(quan)(quan)行(xing)為(wei),充(chong)分發揮董(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)的(de)(de)(de)決(jue)策作用(yong)(yong)(yong)(yong)、監事(shi)會(hui)(hui)的(de)(de)(de)監督作用(yong)(yong)(yong)(yong)、經(jing)理(li)層的(de)(de)(de)經(jing)營(ying)管理(li)作用(yong)(yong)(yong)(yong)、黨組織的(de)(de)(de)政(zheng)治核心作用(yong)(yong)(yong)(yong),切實(shi)(shi)解(jie)決(jue)一些企業董(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)形同虛設(she)(she)、“一把手”說了(le)算的(de)(de)(de)問題,實(shi)(shi)現規(gui)范的(de)(de)(de)公(gong)司(si)治理(li)。要(yao)切實(shi)(shi)落(luo)實(shi)(shi)和維護董(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)依(yi)法行(xing)使重(zhong)大(da)決(jue)策、選人(ren)用(yong)(yong)(yong)(yong)人(ren)、薪酬分配(pei)等權(quan)(quan)利,保障經(jing)理(li)層經(jing)營(ying)自主權(quan)(quan),法無(wu)授權(quan)(quan)任何(he)政(zheng)府(fu)部(bu)(bu)門和機構不得干預。加強董(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)內(nei)部(bu)(bu)的(de)(de)(de)制衡(heng)約束,國有(you)(you)獨資、全(quan)資公(gong)司(si)的(de)(de)(de)董(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)和監事(shi)會(hui)(hui)均應(ying)有(you)(you)職工(gong)代表,董(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)外部(bu)(bu)董(dong)(dong)(dong)(dong)(dong)事(shi)應(ying)占(zhan)多數(shu),落(luo)實(shi)(shi)一人(ren)一票表決(jue)制度,董(dong)(dong)(dong)(dong)(dong)事(shi)對董(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)決(jue)議承擔(dan)責(ze)任。改進(jin)董(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)和董(dong)(dong)(dong)(dong)(dong)事(shi)評價辦(ban)法,強化對董(dong)(dong)(dong)(dong)(dong)事(shi)的(de)(de)(de)考核評價和管理(li),對重(zhong)大(da)決(jue)策失誤負有(you)(you)直接責(ze)任的(de)(de)(de)要(yao)及(ji)時調整或解(jie)聘,并依(yi)法追(zhui)究責(ze)任。進(jin)一步加強外部(bu)(bu)董(dong)(dong)(dong)(dong)(dong)事(shi)隊伍建(jian)設(she)(she),拓寬來源渠(qu)道。

(九)建立(li)國(guo)(guo)有(you)(you)企業(ye)領導(dao)人(ren)員分類分層(ceng)管(guan)(guan)理(li)(li)(li)制(zhi)(zhi)(zhi)(zhi)度(du)(du)。堅持(chi)黨管(guan)(guan)干部原則與(yu)董事(shi)(shi)會(hui)依(yi)法(fa)產(chan)生、董事(shi)(shi)會(hui)依(yi)法(fa)選(xuan)擇經(jing)(jing)營(ying)管(guan)(guan)理(li)(li)(li)者(zhe)、經(jing)(jing)營(ying)管(guan)(guan)理(li)(li)(li)者(zhe)依(yi)法(fa)行(xing)(xing)使用人(ren)權(quan)相結合,不斷創新(xin)有(you)(you)效實現形(xing)式。上級(ji)黨組織和(he)(he)(he)(he)國(guo)(guo)有(you)(you)資(zi)產(chan)監管(guan)(guan)機(ji)構按照管(guan)(guan)理(li)(li)(li)權(quan)限(xian)加強對國(guo)(guo)有(you)(you)企業(ye)領導(dao)人(ren)員的管(guan)(guan)理(li)(li)(li),廣開推(tui)薦渠(qu)道,依(yi)規考(kao)察提名,嚴(yan)格履行(xing)(xing)選(xuan)用程(cheng)序(xu)。根(gen)據(ju)不同企業(ye)類別和(he)(he)(he)(he)層(ceng)級(ji),實行(xing)(xing)選(xuan)任(ren)制(zhi)(zhi)(zhi)(zhi)、委任(ren)制(zhi)(zhi)(zhi)(zhi)、聘(pin)任(ren)制(zhi)(zhi)(zhi)(zhi)等(deng)不同選(xuan)人(ren)用人(ren)方(fang)式。推(tui)行(xing)(xing)職業(ye)經(jing)(jing)理(li)(li)(li)人(ren)制(zhi)(zhi)(zhi)(zhi)度(du)(du),實行(xing)(xing)內部培養(yang)和(he)(he)(he)(he)外部引進相結合,暢通(tong)現有(you)(you)經(jing)(jing)營(ying)管(guan)(guan)理(li)(li)(li)者(zhe)與(yu)職業(ye)經(jing)(jing)理(li)(li)(li)人(ren)身份(fen)轉換通(tong)道,董事(shi)(shi)會(hui)按市場(chang)化(hua)(hua)方(fang)式選(xuan)聘(pin)和(he)(he)(he)(he)管(guan)(guan)理(li)(li)(li)職業(ye)經(jing)(jing)理(li)(li)(li)人(ren),合理(li)(li)(li)增加市場(chang)化(hua)(hua)選(xuan)聘(pin)比例,加快建立(li)退出機(ji)制(zhi)(zhi)(zhi)(zhi)。推(tui)行(xing)(xing)企業(ye)經(jing)(jing)理(li)(li)(li)層(ceng)成員任(ren)期制(zhi)(zhi)(zhi)(zhi)和(he)(he)(he)(he)契約化(hua)(hua)管(guan)(guan)理(li)(li)(li),明確(que)責任(ren)、權(quan)利、義務,嚴(yan)格任(ren)期管(guan)(guan)理(li)(li)(li)和(he)(he)(he)(he)目標考(kao)核。

(十)實行(xing)與(yu)(yu)(yu)社會主(zhu)義市(shi)場經(jing)濟相(xiang)(xiang)(xiang)適(shi)應(ying)(ying)(ying)的企業(ye)薪酬(chou)(chou)分(fen)(fen)配(pei)制(zhi)(zhi)(zhi)度。企業(ye)內部(bu)的薪酬(chou)(chou)分(fen)(fen)配(pei)權是企業(ye)的法定(ding)權利,由(you)企業(ye)依(yi)法依(yi)規自主(zhu)決定(ding),完(wan)善既有(you)激(ji)勵又(you)有(you)約束、既講效(xiao)率又(you)講公平、既符合企業(ye)一(yi)般規律又(you)體現國有(you)企業(ye)特點的分(fen)(fen)配(pei)機制(zhi)(zhi)(zhi)。建立健全(quan)(quan)與(yu)(yu)(yu)勞動力市(shi)場基(ji)本(ben)適(shi)應(ying)(ying)(ying)、與(yu)(yu)(yu)企業(ye)經(jing)濟效(xiao)益和(he)勞動生(sheng)產(chan)率掛鉤的工(gong)資決定(ding)和(he)正常增長(chang)機制(zhi)(zhi)(zhi)。推進全(quan)(quan)員(yuan)(yuan)績(ji)效(xiao)考核,以業(ye)績(ji)為(wei)導(dao)(dao)向,科學(xue)評價不同崗(gang)位員(yuan)(yuan)工(gong)的貢獻,合理(li)拉開(kai)收入(ru)(ru)分(fen)(fen)配(pei)差(cha)距,切實做到收入(ru)(ru)能(neng)增能(neng)減和(he)獎懲分(fen)(fen)明(ming),充(chong)分(fen)(fen)調動廣(guang)大(da)職(zhi)工(gong)積極性(xing)。對(dui)(dui)(dui)國有(you)企業(ye)領導(dao)(dao)人(ren)員(yuan)(yuan)實行(xing)與(yu)(yu)(yu)選任(ren)(ren)方式(shi)相(xiang)(xiang)(xiang)匹配(pei)、與(yu)(yu)(yu)企業(ye)功(gong)能(neng)性(xing)質相(xiang)(xiang)(xiang)適(shi)應(ying)(ying)(ying)、與(yu)(yu)(yu)經(jing)營業(ye)績(ji)相(xiang)(xiang)(xiang)掛鉤的差(cha)異化(hua)(hua)薪酬(chou)(chou)分(fen)(fen)配(pei)辦法。對(dui)(dui)(dui)黨(dang)中央、國務院和(he)地方黨(dang)委、政府及(ji)其部(bu)門任(ren)(ren)命(ming)的國有(you)企業(ye)領導(dao)(dao)人(ren)員(yuan)(yuan),合理(li)確定(ding)基(ji)本(ben)年(nian)薪、績(ji)效(xiao)年(nian)薪和(he)任(ren)(ren)期(qi)激(ji)勵收入(ru)(ru)。對(dui)(dui)(dui)市(shi)場化(hua)(hua)選聘的職(zhi)業(ye)經(jing)理(li)人(ren)實行(xing)市(shi)場化(hua)(hua)薪酬(chou)(chou)分(fen)(fen)配(pei)機制(zhi)(zhi)(zhi),可(ke)以采(cai)取多種(zhong)方式(shi)探索完(wan)善中長(chang)期(qi)激(ji)勵機制(zhi)(zhi)(zhi)。健全(quan)(quan)與(yu)(yu)(yu)激(ji)勵機制(zhi)(zhi)(zhi)相(xiang)(xiang)(xiang)對(dui)(dui)(dui)稱的經(jing)濟責任(ren)(ren)審計、信息披(pi)露、延(yan)期(qi)支付、追索扣(kou)回等約束機制(zhi)(zhi)(zhi)。嚴格規范履職(zhi)待遇(yu)、業(ye)務支出(chu),嚴禁將公款用于(yu)個人(ren)支出(chu)。

(十一)深化(hua)企(qi)(qi)業內部用人(ren)制(zhi)度(du)改(gai)革。建立(li)健全企(qi)(qi)業各(ge)類(lei)管(guan)(guan)理(li)(li)人(ren)員公開(kai)招(zhao)(zhao)聘、競爭(zheng)上崗等制(zhi)度(du),對特(te)殊管(guan)(guan)理(li)(li)人(ren)員可以通過委托人(ren)才中介機構推薦等方式,拓寬選(xuan)人(ren)用人(ren)視野和渠(qu)道(dao)。建立(li)分級分類(lei)的(de)企(qi)(qi)業員工(gong)市場化(hua)公開(kai)招(zhao)(zhao)聘制(zhi)度(du),切(qie)實做到信(xin)息(xi)公開(kai)、過程公開(kai)、結果公開(kai)。構建和諧勞動(dong)關(guan)系(xi),依法規范企(qi)(qi)業各(ge)類(lei)用工(gong)管(guan)(guan)理(li)(li),建立(li)健全以合同(tong)管(guan)(guan)理(li)(li)為核心、以崗位管(guan)(guan)理(li)(li)為基礎的(de)市場化(hua)用工(gong)制(zhi)度(du),真正形成企(qi)(qi)業各(ge)類(lei)管(guan)(guan)理(li)(li)人(ren)員能上能下、員工(gong)能進能出的(de)合理(li)(li)流動(dong)機制(zhi)。

四、完善國有資產管理體制

(十(shi)二(er))以管(guan)(guan)(guan)(guan)資(zi)(zi)本為主(zhu)(zhu)推(tui)進(jin)(jin)國(guo)(guo)有(you)(you)資(zi)(zi)產監(jian)(jian)管(guan)(guan)(guan)(guan)機構職能轉變(bian)。國(guo)(guo)有(you)(you)資(zi)(zi)產監(jian)(jian)管(guan)(guan)(guan)(guan)機構要準確把(ba)握(wo)依法(fa)(fa)履行出資(zi)(zi)人職責的(de)(de)定(ding)位(wei),科(ke)學界(jie)定(ding)國(guo)(guo)有(you)(you)資(zi)(zi)產出資(zi)(zi)人監(jian)(jian)管(guan)(guan)(guan)(guan)的(de)(de)邊界(jie),建立監(jian)(jian)管(guan)(guan)(guan)(guan)權(quan)(quan)力清單和(he)(he)(he)責任清單,實(shi)現(xian)以管(guan)(guan)(guan)(guan)企(qi)業(ye)為主(zhu)(zhu)向以管(guan)(guan)(guan)(guan)資(zi)(zi)本為主(zhu)(zhu)的(de)(de)轉變(bian)。該(gai)管(guan)(guan)(guan)(guan)的(de)(de)要科(ke)學管(guan)(guan)(guan)(guan)理、決(jue)不缺位(wei),重(zhong)點管(guan)(guan)(guan)(guan)好國(guo)(guo)有(you)(you)資(zi)(zi)本布局、規范資(zi)(zi)本運作(zuo)、提高資(zi)(zi)本回報、維護(hu)資(zi)(zi)本安全(quan);不該(gai)管(guan)(guan)(guan)(guan)的(de)(de)要依法(fa)(fa)放權(quan)(quan)、決(jue)不越(yue)位(wei),將(jiang)依法(fa)(fa)應由企(qi)業(ye)自主(zhu)(zhu)經營決(jue)策的(de)(de)事項歸(gui)位(wei)于(yu)企(qi)業(ye),將(jiang)延伸(shen)到子企(qi)業(ye)的(de)(de)管(guan)(guan)(guan)(guan)理事項原則上歸(gui)位(wei)于(yu)一級企(qi)業(ye),將(jiang)配合(he)承(cheng)擔的(de)(de)公共(gong)管(guan)(guan)(guan)(guan)理職能歸(gui)位(wei)于(yu)相關政府(fu)部門和(he)(he)(he)單位(wei)。大力推(tui)進(jin)(jin)依法(fa)(fa)監(jian)(jian)管(guan)(guan)(guan)(guan),著力創新監(jian)(jian)管(guan)(guan)(guan)(guan)方式和(he)(he)(he)手段,改變(bian)行政化管(guan)(guan)(guan)(guan)理方式,改進(jin)(jin)考核體系(xi)和(he)(he)(he)辦法(fa)(fa),提高監(jian)(jian)管(guan)(guan)(guan)(guan)的(de)(de)科(ke)學性(xing)、有(you)(you)效性(xing)。

五、發展混合所有制經濟

(十七)引(yin)入非(fei)國(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)本(ben)(ben)參(can)與國(guo)(guo)有(you)(you)(you)企(qi)業(ye)(ye)(ye)改(gai)革(ge)。鼓勵非(fei)國(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)本(ben)(ben)投資(zi)(zi)(zi)主體通過出資(zi)(zi)(zi)入股(gu)(gu)、收購股(gu)(gu)權、認購可轉債、股(gu)(gu)權置換等多(duo)種方式,參(can)與國(guo)(guo)有(you)(you)(you)企(qi)業(ye)(ye)(ye)改(gai)制(zhi)重(zhong)組或國(guo)(guo)有(you)(you)(you)控(kong)股(gu)(gu)上(shang)市公司增資(zi)(zi)(zi)擴股(gu)(gu)以及企(qi)業(ye)(ye)(ye)經營管理(li)。實(shi)行同(tong)股(gu)(gu)同(tong)權,切實(shi)維護各類股(gu)(gu)東(dong)合(he)法權益。在石油、天然氣、電(dian)力、鐵路、電(dian)信(xin)、資(zi)(zi)(zi)源(yuan)開(kai)發、公用事業(ye)(ye)(ye)等領域,向非(fei)國(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)本(ben)(ben)推出符合(he)產業(ye)(ye)(ye)政策、有(you)(you)(you)利于轉型升級的(de)項目(mu)(mu)。依照外(wai)商投資(zi)(zi)(zi)產業(ye)(ye)(ye)指導目(mu)(mu)錄和(he)相關安(an)(an)全審(shen)查(cha)規定,完善外(wai)資(zi)(zi)(zi)安(an)(an)全審(shen)查(cha)工(gong)作(zuo)機制(zhi)。開(kai)展多(duo)類型政府(fu)和(he)社會(hui)資(zi)(zi)(zi)本(ben)(ben)合(he)作(zuo)試點,逐步推廣(guang)政府(fu)和(he)社會(hui)資(zi)(zi)(zi)本(ben)(ben)合(he)作(zuo)模式。

(十八)鼓勵國(guo)有(you)(you)(you)資(zi)(zi)(zi)本以多種方(fang)式入股(gu)(gu)非國(guo)有(you)(you)(you)企(qi)業(ye)。充(chong)分發揮(hui)國(guo)有(you)(you)(you)資(zi)(zi)(zi)本投資(zi)(zi)(zi)、運(yun)營公(gong)司(si)的(de)資(zi)(zi)(zi)本運(yun)作(zuo)(zuo)平臺(tai)作(zuo)(zuo)用,通(tong)過(guo)(guo)市場化方(fang)式,以公(gong)共服務、高(gao)新(xin)技術、生態環(huan)保、戰略(lve)性(xing)產業(ye)為重點(dian)領域(yu),對發展(zhan)潛(qian)力(li)大(da)、成(cheng)長性(xing)強(qiang)的(de)非國(guo)有(you)(you)(you)企(qi)業(ye)進(jin)行股(gu)(gu)權(quan)投資(zi)(zi)(zi)。鼓勵國(guo)有(you)(you)(you)企(qi)業(ye)通(tong)過(guo)(guo)投資(zi)(zi)(zi)入股(gu)(gu)、聯合(he)投資(zi)(zi)(zi)、重組等多種方(fang)式,與非國(guo)有(you)(you)(you)企(qi)業(ye)進(jin)行股(gu)(gu)權(quan)融合(he)、戰略(lve)合(he)作(zuo)(zuo)、資(zi)(zi)(zi)源(yuan)整合(he)。

(十九(jiu))探索(suo)實行(xing)混(hun)合所有(you)(you)制(zhi)企業(ye)員(yuan)工持(chi)股(gu)(gu)。堅持(chi)試(shi)點(dian)(dian)先行(xing),在取得經驗基(ji)礎上穩妥有(you)(you)序推進,通過實行(xing)員(yuan)工持(chi)股(gu)(gu)建立(li)激勵約束長效機制(zhi)。優先支(zhi)持(chi)人才(cai)資本和技術要素貢獻占比(bi)較(jiao)(jiao)高(gao)的轉制(zhi)科(ke)研院所、高(gao)新技術企業(ye)、科(ke)技服(fu)務型企業(ye)開展員(yuan)工持(chi)股(gu)(gu)試(shi)點(dian)(dian),支(zhi)持(chi)對企業(ye)經營業(ye)績(ji)和持(chi)續(xu)發展有(you)(you)直接或較(jiao)(jiao)大影(ying)響的科(ke)研人員(yuan)、經營管理人員(yuan)和業(ye)務骨干等持(chi)股(gu)(gu)。員(yuan)工持(chi)股(gu)(gu)主要采取增資擴股(gu)(gu)、出(chu)資新設等方(fang)式(shi)。完善相關政策,健(jian)全審核程(cheng)序,規范(fan)操作流程(cheng),嚴格資產(chan)評(ping)估,建立(li)健(jian)全股(gu)(gu)權流轉和退(tui)出(chu)機制(zhi),確保員(yuan)工持(chi)股(gu)(gu)公開透明,嚴禁暗箱(xiang)操作,防止利益(yi)輸送(song)。

(二十七(qi))完(wan)善(shan)相關(guan)(guan)(guan)法(fa)律法(fa)規(gui)(gui)和配(pei)套政策(ce)。加強國(guo)(guo)有企(qi)業(ye)相關(guan)(guan)(guan)法(fa)律法(fa)規(gui)(gui)立改廢(fei)釋工作(zuo),確保重大改革于法(fa)有據。切實轉(zhuan)變政府(fu)職能,減少審批、優(you)化(hua)制度、簡化(hua)手續、提(ti)高效率(lv)。完(wan)善(shan)公(gong)共服(fu)務(wu)體(ti)系,推進政府(fu)購買服(fu)務(wu),加快建(jian)立穩定可靠、補償合理、公(gong)開透明(ming)的企(qi)業(ye)公(gong)共服(fu)務(wu)支出補償機制。完(wan)善(shan)和落實國(guo)(guo)有企(qi)業(ye)重組整合涉及的資(zi)產評(ping)估(gu)增值、土地變更登記和國(guo)(guo)有資(zi)產無償劃轉(zhuan)等方面(mian)稅收優(you)惠(hui)政策(ce)。完(wan)善(shan)國(guo)(guo)有企(qi)業(ye)退出的相關(guan)(guan)(guan)政策(ce),依法(fa)妥善(shan)處(chu)理勞動關(guan)(guan)(guan)系調(diao)整、社會保險關(guan)(guan)(guan)系接續等問題。

(二十八)加快(kuai)剝(bo)離企(qi)(qi)業(ye)(ye)(ye)辦(ban)社(she)會職能(neng)和(he)(he)解決歷(li)史遺留問題(ti)。完善相關(guan)政策,建立政府和(he)(he)國(guo)(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)合理分(fen)擔成本的機制,多渠(qu)道(dao)籌措資金,采取分(fen)離移交、重組(zu)改(gai)制、關(guan)閉撤(che)銷等方式,剝(bo)離國(guo)(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)職工(gong)家屬(shu)區(qu)(qu)“三供一業(ye)(ye)(ye)”和(he)(he)所辦(ban)醫院、學校、社(she)區(qu)(qu)等公(gong)共(gong)服務(wu)機構,繼(ji)續推進廠辦(ban)大(da)集體改(gai)革(ge),對國(guo)(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)退休(xiu)人員實施社(she)會化管理,妥善解決國(guo)(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)歷(li)史遺留問題(ti),為國(guo)(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)公(gong)平參與市場競爭(zheng)創造條件。

(二十(shi)九)形成(cheng)鼓勵(li)改革(ge)創新(xin)的(de)氛圍。堅持解放思想、實事求(qiu)是,鼓勵(li)探索(suo)、實踐、創新(xin)。全面(mian)準確評(ping)價國(guo)有(you)企業,大力宣傳中(zhong)央關于(yu)全面(mian)深化(hua)國(guo)有(you)企業改革(ge)的(de)方針政策,宣傳改革(ge)的(de)典型案例(li)和經驗,營造(zao)有(you)利(li)于(yu)國(guo)有(you)企業改革(ge)的(de)良好輿論環(huan)境。

(三十)加強(qiang)(qiang)對國有企(qi)業(ye)改革的組織領導。各(ge)級黨委和政府要統(tong)一思(si)想,以高度的政治責任感和歷史(shi)使命(ming)感,切實(shi)(shi)履行(xing)對深(shen)化(hua)國有企(qi)業(ye)改革的領導責任。要根據本指導意見,結(jie)合實(shi)(shi)際制定實(shi)(shi)施意見,加強(qiang)(qiang)統(tong)籌協調、明確(que)責任分工、細化(hua)目標任務、強(qiang)(qiang)化(hua)督促落實(shi)(shi),確(que)保深(shen)化(hua)國有企(qi)業(ye)改革順利推(tui)進,取得實(shi)(shi)效。

金(jin)融、文化等國有(you)企業(ye)的改革,中央(yang)另(ling)有(you)規定(ding)的依其規定(ding)執(zhi)行。
