貫徹落實中(zhong)共中(zhong)央(yang)、國(guo)務院印發的(de)《法(fa)(fa)治政府建設(she)實施綱要(yao)(2015-2020年)》(以下簡稱《綱要(yao)》)要(yao)求,國(guo)資委2016年法(fa)(fa)治建設(she)取得積極進展。
一(yi)、切實加(jia)強組(zu)織領導
國(guo)(guo)資(zi)委(wei)(wei)(wei)高(gao)度(du)(du)(du)(du)重(zhong)(zhong)(zhong)(zhong)視(shi)機(ji)關(guan)和中(zhong)(zhong)(zhong)央(yang)(yang)企業(ye)法(fa)(fa)(fa)(fa)治(zhi)(zhi)建設,深(shen)入(ru)推(tui)(tui)(tui)(tui)進(jin)依(yi)(yi)法(fa)(fa)(fa)(fa)監(jian)(jian)管、依(yi)(yi)法(fa)(fa)(fa)(fa)治(zhi)(zhi)企,認(ren)真落(luo)實(shi)(shi)(shi)《黨(dang)(dang)政主(zhu)要(yao)(yao)負責(ze)(ze)人(ren)履(lv)行(xing)推(tui)(tui)(tui)(tui)進(jin)法(fa)(fa)(fa)(fa)治(zhi)(zhi)建設第一(yi)責(ze)(ze)任(ren)(ren)人(ren)職責(ze)(ze)規定(ding)》(以(yi)(yi)下簡稱(cheng)《規定(ding)》),自覺運(yun)用法(fa)(fa)(fa)(fa)治(zhi)(zhi)思維(wei)和法(fa)(fa)(fa)(fa)治(zhi)(zhi)方(fang)式(shi)(shi)深(shen)化(hua)改革(ge)、推(tui)(tui)(tui)(tui)動發(fa)展(zhan)、化(hua)解(jie)矛盾(dun)、維(wei)護穩定(ding)。一(yi)是深(shen)入(ru)學(xue)(xue)習(xi)貫徹習(xi)近(jin)(jin)平總(zong)書記系(xi)列重(zhong)(zhong)(zhong)(zhong)要(yao)(yao)講(jiang)(jiang)話(hua)(hua)(hua)精(jing)(jing)(jing)神(shen)。黨(dang)(dang)的(de)(de)十八(ba)屆四(si)中(zhong)(zhong)(zhong)全(quan)會(hui)(hui)(hui)(hui)作(zuo)出了(le)(le)全(quan)面推(tui)(tui)(tui)(tui)進(jin)依(yi)(yi)法(fa)(fa)(fa)(fa)治(zhi)(zhi)國(guo)(guo)的(de)(de)重(zhong)(zhong)(zhong)(zhong)大戰略(lve)部(bu)(bu)署。習(xi)近(jin)(jin)平總(zong)書記圍繞推(tui)(tui)(tui)(tui)進(jin)全(quan)面依(yi)(yi)法(fa)(fa)(fa)(fa)治(zhi)(zhi)國(guo)(guo)提(ti)出了(le)(le)一(yi)系(xi)列新理念新思想新戰略(lve),為(wei)全(quan)面推(tui)(tui)(tui)(tui)進(jin)各(ge)項(xiang)工(gong)(gong)(gong)作(zuo)提(ti)出了(le)(le)重(zhong)(zhong)(zhong)(zhong)要(yao)(yao)遵循。國(guo)(guo)資(zi)委(wei)(wei)(wei)黨(dang)(dang)委(wei)(wei)(wei)堅(jian)持把學(xue)(xue)習(xi)總(zong)書記系(xi)列重(zhong)(zhong)(zhong)(zhong)要(yao)(yao)講(jiang)(jiang)話(hua)(hua)(hua)精(jing)(jing)(jing)神(shen)擺在重(zhong)(zhong)(zhong)(zhong)要(yao)(yao)位置,牢固樹立“四(si)個(ge)意(yi)識”,通(tong)過(guo)黨(dang)(dang)委(wei)(wei)(wei)會(hui)(hui)(hui)(hui)、中(zhong)(zhong)(zhong)心組(zu)(zu)學(xue)(xue)習(xi)、專題學(xue)(xue)習(xi)研討(tao)等方(fang)式(shi)(shi),集體(ti)學(xue)(xue)習(xi)總(zong)書記系(xi)列重(zhong)(zhong)(zhong)(zhong)要(yao)(yao)講(jiang)(jiang)話(hua)(hua)(hua)精(jing)(jing)(jing)神(shen),特(te)別是專題學(xue)(xue)習(xi)了(le)(le)習(xi)近(jin)(jin)平總(zong)書記在中(zhong)(zhong)(zhong)共中(zhong)(zhong)(zhong)央(yang)(yang)政治(zhi)(zhi)局第三(san)十七次(ci)集體(ti)學(xue)(xue)習(xi)時的(de)(de)重(zhong)(zhong)(zhong)(zhong)要(yao)(yao)講(jiang)(jiang)話(hua)(hua)(hua),深(shen)刻領(ling)會(hui)(hui)(hui)(hui)堅(jian)持依(yi)(yi)法(fa)(fa)(fa)(fa)治(zhi)(zhi)國(guo)(guo)和以(yi)(yi)德治(zhi)(zhi)國(guo)(guo)相(xiang)結合(he)的(de)(de)重(zhong)(zhong)(zhong)(zhong)要(yao)(yao)思想。二是加強(qiang)中(zhong)(zhong)(zhong)央(yang)(yang)文件和黨(dang)(dang)內(nei)(nei)法(fa)(fa)(fa)(fa)規的(de)(de)學(xue)(xue)習(xi)。國(guo)(guo)資(zi)委(wei)(wei)(wei)黨(dang)(dang)委(wei)(wei)(wei)會(hui)(hui)(hui)(hui)傳(chuan)(chuan)達(da)(da)學(xue)(xue)習(xi)了(le)(le)全(quan)國(guo)(guo)黨(dang)(dang)內(nei)(nei)法(fa)(fa)(fa)(fa)規工(gong)(gong)(gong)作(zuo)會(hui)(hui)(hui)(hui)議精(jing)(jing)(jing)神(shen),并(bing)第一(yi)時間(jian)向中(zhong)(zhong)(zhong)央(yang)(yang)企業(ye)傳(chuan)(chuan)達(da)(da),要(yao)(yao)求將(jiang)思想建黨(dang)(dang)和制度(du)(du)(du)(du)治(zhi)(zhi)黨(dang)(dang)相(xiang)結合(he)、依(yi)(yi)規治(zhi)(zhi)黨(dang)(dang)和以(yi)(yi)德治(zhi)(zhi)黨(dang)(dang)相(xiang)統(tong)一(yi),全(quan)面做好黨(dang)(dang)內(nei)(nei)法(fa)(fa)(fa)(fa)規制度(du)(du)(du)(du)建設;專門學(xue)(xue)習(xi)《綱(gang)(gang)要(yao)(yao)》《規定(ding)》《關(guan)于(yu)推(tui)(tui)(tui)(tui)行(xing)法(fa)(fa)(fa)(fa)律(lv)顧問制度(du)(du)(du)(du)和公(gong)(gong)職律(lv)師(shi)公(gong)(gong)司律(lv)師(shi)制度(du)(du)(du)(du)的(de)(de)意(yi)見(jian)》等中(zhong)(zhong)(zhong)央(yang)(yang)文件精(jing)(jing)(jing)神(shen),并(bing)提(ti)出貫徹落(luo)實(shi)(shi)(shi)要(yao)(yao)求。組(zu)(zu)織(zhi)委(wei)(wei)(wei)機(ji)關(guan)和中(zhong)(zhong)(zhong)央(yang)(yang)企業(ye)黨(dang)(dang)內(nei)(nei)法(fa)(fa)(fa)(fa)規輔導報(bao)告會(hui)(hui)(hui)(hui),邀請(qing)有關(guan)同(tong)(tong)志(zhi)(zhi)講(jiang)(jiang)解(jie)黨(dang)(dang)章、《中(zhong)(zhong)(zhong)國(guo)(guo)共產(chan)黨(dang)(dang)問責(ze)(ze)條例》等重(zhong)(zhong)(zhong)(zhong)要(yao)(yao)黨(dang)(dang)內(nei)(nei)法(fa)(fa)(fa)(fa)規。三(san)是迅速(su)出臺實(shi)(shi)(shi)施方(fang)案(an)(an)。《綱(gang)(gang)要(yao)(yao)》印發(fa)后,國(guo)(guo)資(zi)委(wei)(wei)(wei)高(gao)度(du)(du)(du)(du)重(zhong)(zhong)(zhong)(zhong)視(shi),第一(yi)時間(jian)部(bu)(bu)署安(an)排貫徹落(luo)實(shi)(shi)(shi)。經(jing)黨(dang)(dang)委(wei)(wei)(wei)會(hui)(hui)(hui)(hui)和主(zhu)任(ren)(ren)辦(ban)公(gong)(gong)會(hui)(hui)(hui)(hui)審(shen)議通(tong)過(guo),印發(fa)《國(guo)(guo)務院國(guo)(guo)資(zi)委(wei)(wei)(wei)推(tui)(tui)(tui)(tui)進(jin)國(guo)(guo)資(zi)監(jian)(jian)管法(fa)(fa)(fa)(fa)治(zhi)(zhi)機(ji)構建設實(shi)(shi)(shi)施方(fang)案(an)(an)》(以(yi)(yi)下簡稱(cheng)《實(shi)(shi)(shi)施方(fang)案(an)(an)》,將(jiang)《綱(gang)(gang)要(yao)(yao)》規定(ding)和國(guo)(guo)資(zi)監(jian)(jian)管工(gong)(gong)(gong)作(zuo)實(shi)(shi)(shi)際相(xiang)結合(he),明確(que)6個(ge)方(fang)面24項(xiang)主(zhu)要(yao)(yao)任(ren)(ren)務,并(bing)逐一(yi)細(xi)化(hua)落(luo)實(shi)(shi)(shi)負責(ze)(ze)廳局、時間(jian)進(jin)度(du)(du)(du)(du)安(an)排和可(ke)檢驗的(de)(de)成果形式(shi)(shi)。四(si)是強(qiang)化(hua)工(gong)(gong)(gong)作(zuo)部(bu)(bu)署推(tui)(tui)(tui)(tui)動。黨(dang)(dang)委(wei)(wei)(wei)會(hui)(hui)(hui)(hui)、主(zhu)任(ren)(ren)辦(ban)公(gong)(gong)會(hui)(hui)(hui)(hui)多次(ci)研究法(fa)(fa)(fa)(fa)治(zhi)(zhi)工(gong)(gong)(gong)作(zuo),主(zhu)要(yao)(yao)負責(ze)(ze)同(tong)(tong)志(zhi)(zhi)親自謀劃、親自協調(diao),確(que)保法(fa)(fa)(fa)(fa)治(zhi)(zhi)建設與(yu)年(nian)度(du)(du)(du)(du)工(gong)(gong)(gong)作(zuo)要(yao)(yao)點同(tong)(tong)部(bu)(bu)署、同(tong)(tong)推(tui)(tui)(tui)(tui)進(jin)、同(tong)(tong)督促;在中(zhong)(zhong)(zhong)央(yang)(yang)企業(ye)、地方(fang)國(guo)(guo)資(zi)委(wei)(wei)(wei)負責(ze)(ze)人(ren)會(hui)(hui)(hui)(hui)議上,主(zhu)要(yao)(yao)負責(ze)(ze)同(tong)(tong)志(zhi)(zhi)明確(que)要(yao)(yao)求強(qiang)化(hua)依(yi)(yi)法(fa)(fa)(fa)(fa)監(jian)(jian)管,嚴格依(yi)(yi)據國(guo)(guo)資(zi)監(jian)(jian)管相(xiang)關(guan)法(fa)(fa)(fa)(fa)律(lv)法(fa)(fa)(fa)(fa)規規定(ding)的(de)(de)權(quan)限和程序(xu)行(xing)權(quan)履(lv)職,健(jian)全(quan)完善(shan)國(guo)(guo)資(zi)監(jian)(jian)管法(fa)(fa)(fa)(fa)規制度(du)(du)(du)(du)體(ti)系(xi);組(zu)(zu)織(zhi)召開中(zhong)(zhong)(zhong)央(yang)(yang)企業(ye)法(fa)(fa)(fa)(fa)治(zhi)(zhi)工(gong)(gong)(gong)作(zuo)會(hui)(hui)(hui)(hui)議和國(guo)(guo)資(zi)委(wei)(wei)(wei)系(xi)統(tong)政策(ce)法(fa)(fa)(fa)(fa)規工(gong)(gong)(gong)作(zuo)研討(tao)培訓班,明確(que)2017年(nian)推(tui)(tui)(tui)(tui)進(jin)依(yi)(yi)法(fa)(fa)(fa)(fa)監(jian)(jian)管、依(yi)(yi)法(fa)(fa)(fa)(fa)治(zhi)(zhi)企的(de)(de)具體(ti)工(gong)(gong)(gong)作(zuo)任(ren)(ren)務。
二、著力打造國(guo)資(zi)監管法治機(ji)構(gou)
認(ren)真落實(shi)以管資(zi)本(ben)為主(zhu)加強國(guo)有資(zi)產監管的改革(ge)要求,嚴格依據公司法(fa)、企業國(guo)有資(zi)產法(fa)全面履行出資(zi)人職責,建立健(jian)全依法(fa)監管的機制制度,法(fa)治(zhi)機構(gou)建設取得(de)明顯進展。
(一(yi))依(yi)(yi)(yi)法(fa)全(quan)面(mian)履(lv)行(xing)(xing)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)產監(jian)(jian)管(guan)(guan)(guan)職責(ze)(ze)(ze)。一(yi)是(shi)推進國(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)監(jian)(jian)管(guan)(guan)(guan)職能轉變。研(yan)究(jiu)制(zhi)(zhi)訂國(guo)(guo)(guo)(guo)(guo)務院國(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)委以管(guan)(guan)(guan)資(zi)(zi)(zi)本為主推進職能轉變方(fang)案,強(qiang)化管(guan)(guan)(guan)資(zi)(zi)(zi)本重(zhong)點職能,加(jia)(jia)強(qiang)出(chu)資(zi)(zi)(zi)人(ren)監(jian)(jian)督(du)(du),全(quan)面(mian)加(jia)(jia)強(qiang)黨的建設,精(jing)簡監(jian)(jian)管(guan)(guan)(guan)事(shi)項,改(gai)進國(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)監(jian)(jian)管(guan)(guan)(guan)方(fang)式和(he)(he)(he)手段。同時,加(jia)(jia)快(kuai)研(yan)究(jiu)制(zhi)(zhi)訂出(chu)資(zi)(zi)(zi)人(ren)監(jian)(jian)管(guan)(guan)(guan)權力和(he)(he)(he)責(ze)(ze)(ze)任清(qing)單。二是(shi)運用法(fa)治化方(fang)式行(xing)(xing)權履(lv)責(ze)(ze)(ze)。嚴(yan)格(ge)按照法(fa)定(ding)職責(ze)(ze)(ze)和(he)(he)(he)程序加(jia)(jia)強(qiang)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)產監(jian)(jian)管(guan)(guan)(guan),完善中央企(qi)業(ye)章程管(guan)(guan)(guan)理(li),推動(dong)中央企(qi)業(ye)建立(li)規范(fan)董事(shi)會(hui),進一(yi)步(bu)規范(fan)董事(shi)會(hui)運作,依(yi)(yi)(yi)法(fa)依(yi)(yi)(yi)規選派、選任和(he)(he)(he)管(guan)(guan)(guan)理(li)股(gu)東代表、董事(shi)、監(jian)(jian)事(shi)及經(jing)營管(guan)(guan)(guan)理(li)者,更多(duo)通過公司法(fa)人(ren)治理(li)結構有(you)(you)(you)效(xiao)體現(xian)出(chu)資(zi)(zi)(zi)人(ren)意志。三是(shi)依(yi)(yi)(yi)法(fa)強(qiang)化國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)產監(jian)(jian)督(du)(du)。成立(li)監(jian)(jian)督(du)(du)一(yi)局、監(jian)(jian)督(du)(du)二局、監(jian)(jian)督(du)(du)三局,負責(ze)(ze)(ze)深入核查、分類處置和(he)(he)(he)整(zheng)改(gai)督(du)(du)辦委機(ji)關(guan)(guan)、監(jian)(jian)事(shi)會(hui)及有(you)(you)(you)關(guan)(guan)監(jian)(jian)督(du)(du)機(ji)構發現(xian)移交的問(wen)(wen)題,依(yi)(yi)(yi)法(fa)組織開展國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)產重(zhong)大(da)損(sun)失調(diao)查,提出(chu)有(you)(you)(you)關(guan)(guan)責(ze)(ze)(ze)任追究(jiu)的意見(jian)建議。落實《關(guan)(guan)于建立(li)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)企(qi)業(ye)違(wei)規經(jing)營投資(zi)(zi)(zi)責(ze)(ze)(ze)任追究(jiu)制(zhi)(zhi)度(du)的意見(jian)》要求,加(jia)(jia)大(da)對中央企(qi)業(ye)違(wei)規經(jing)營責(ze)(ze)(ze)任追究(jiu)力度(du),形成發現(xian)、調(diao)查、處理(li)問(wen)(wen)題的監(jian)(jian)督(du)(du)工作閉環。
(二)完(wan)善國(guo)(guo)(guo)資(zi)(zi)監管(guan)(guan)(guan)(guan)法(fa)(fa)規(gui)(gui)(gui)(gui)制(zhi)度(du)體系(xi)。一(yi)是加強(qiang)重點領(ling)域國(guo)(guo)(guo)資(zi)(zi)監管(guan)(guan)(guan)(guan)立(li)法(fa)(fa)。圍繞國(guo)(guo)(guo)企(qi)(qi)(qi)國(guo)(guo)(guo)資(zi)(zi)改革(ge)(ge)發(fa)展(zhan)中(zhong)(zhong)心(xin)任務,突出(chu)以管(guan)(guan)(guan)(guan)資(zi)(zi)本為主(zhu),編(bian)制(zhi)我(wo)委(wei)(wei)2016年(nian)(nian)度(du)立(li)法(fa)(fa)工作計劃,保障改革(ge)(ge)立(li)法(fa)(fa)需求(qiu)(qiu)。全年(nian)(nian)共出(chu)臺《企(qi)(qi)(qi)業(ye)國(guo)(guo)(guo)有(you)資(zi)(zi)產交易監督管(guan)(guan)(guan)(guan)理辦法(fa)(fa)》《中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)負責(ze)人經營業(ye)績考(kao)核(he)辦法(fa)(fa)》《關于完(wan)善中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)功能(neng)分類考(kao)核(he)的實(shi)施方案(an)》等27件(jian)(jian)(jian)規(gui)(gui)(gui)(gui)章規(gui)(gui)(gui)(gui)范性文(wen)(wen)件(jian)(jian)(jian)(含黨委(wei)(wei)規(gui)(gui)(gui)(gui)范性文(wen)(wen)件(jian)(jian)(jian))。截至(zhi)2016年(nian)(nian)底,國(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)現(xian)行有(you)效規(gui)(gui)(gui)(gui)章28件(jian)(jian)(jian),規(gui)(gui)(gui)(gui)范性文(wen)(wen)件(jian)(jian)(jian)294件(jian)(jian)(jian),國(guo)(guo)(guo)資(zi)(zi)監管(guan)(guan)(guan)(guan)法(fa)(fa)規(gui)(gui)(gui)(gui)制(zhi)度(du)體系(xi)進一(yi)步完(wan)善。二是加強(qiang)規(gui)(gui)(gui)(gui)章規(gui)(gui)(gui)(gui)范性文(wen)(wen)件(jian)(jian)(jian)合法(fa)(fa)性審(shen)查。根據(ju)立(li)法(fa)(fa)法(fa)(fa)和(he)《規(gui)(gui)(gui)(gui)章制(zhi)定程序條例(li)》,嚴(yan)格(ge)落實(shi)《國(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)立(li)法(fa)(fa)工作規(gui)(gui)(gui)(gui)則》、《國(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)規(gui)(gui)(gui)(gui)范性文(wen)(wen)件(jian)(jian)(jian)制(zhi)定暫(zan)行辦法(fa)(fa)》,要求(qiu)(qiu)規(gui)(gui)(gui)(gui)章規(gui)(gui)(gui)(gui)范性文(wen)(wen)件(jian)(jian)(jian)在提請委(wei)(wei)主(zhu)任辦公(gong)(gong)會議(yi)審(shen)議(yi)前,須(xu)由法(fa)(fa)制(zhi)機構進行合法(fa)(fa)性審(shen)查并出(chu)具審(shen)查報告。三是深入開(kai)展(zhan)國(guo)(guo)(guo)資(zi)(zi)監管(guan)(guan)(guan)(guan)文(wen)(wen)件(jian)(jian)(jian)清理。根據(ju)國(guo)(guo)(guo)務院統一(yi)部署要求(qiu)(qiu),對(dui)不(bu)利于穩增長、促改革(ge)(ge)、調結構、惠民(min)(min)(min)生的政策(ce)(ce)性文(wen)(wen)件(jian)(jian)(jian)進行清理,共宣布廢止、失(shi)效一(yi)批(pi)政策(ce)(ce)性文(wen)(wen)件(jian)(jian)(jian)。清理結果以國(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)公(gong)(gong)告的形式(shi)向社會公(gong)(gong)布。此(ci)外,積(ji)極參(can)與《中(zhong)(zhong)華人民(min)(min)(min)共和(he)國(guo)(guo)(guo)商品(pin)流通法(fa)(fa)》《中(zhong)(zhong)華人民(min)(min)(min)共和(he)國(guo)(guo)(guo)反不(bu)正當競爭法(fa)(fa)》《中(zhong)(zhong)華人民(min)(min)(min)共和(he)國(guo)(guo)(guo)電力法(fa)(fa)》等國(guo)(guo)(guo)家(jia)重要立(li)法(fa)(fa)。
(三)推進(jin)決策科(ke)學(xue)化(hua)、民主化(hua)、法(fa)(fa)治化(hua)。一是(shi)完(wan)善依法(fa)(fa)決策程序(xu)。明確重大決策應當經委黨委會(hui)、委主任(ren)辦公會(hui)議討論,由主要負責同(tong)志在集體(ti)討論基(ji)礎上作出決定。二是(shi)加強重大決策合法(fa)(fa)性(xing)審查。除規(gui)章規(gui)范(fan)性(xing)文件外,明確涉及國(guo)企(qi)國(guo)資(zi)改革(ge)發展(zhan)的(de)重大決策,必須(xu)征求法(fa)(fa)制機構意見。三是(shi)探索推行機關(guan)法(fa)(fa)律(lv)(lv)顧(gu)問(wen)制度。在國(guo)資(zi)監管立(li)法(fa)(fa)、重大事項決策、訴訟復議和訴訟案件應對等機關(guan)法(fa)(fa)律(lv)(lv)事務中,充分發揮(hui)法(fa)(fa)律(lv)(lv)顧(gu)問(wen)的(de)法(fa)(fa)律(lv)(lv)咨詢(xun)論證(zheng)、審核(he)把關(guan)和協調服務作用。
(四(si))強化(hua)對(dui)權(quan)(quan)力的(de)(de)(de)制(zhi)約(yue)(yue)和(he)監督(du)(du)。一是健全(quan)(quan)國(guo)(guo)資(zi)監管權(quan)(quan)力運行制(zhi)約(yue)(yue)和(he)監督(du)(du)體(ti)系。注重(zhong)廉(lian)政風險防控建(jian)設,加強對(dui)“關鍵(jian)環(huan)節(jie)”的(de)(de)(de)監督(du)(du),緊盯權(quan)(quan)力集(ji)中(zhong)、資(zi)金(jin)密集(ji)、經營(ying)壟(long)斷等重(zhong)點領域(yu)、重(zhong)點環(huan)節(jie)和(he)重(zhong)點人員(yuan)。在(zai)國(guo)(guo)資(zi)委門戶(hu)網站(zhan)添加中(zhong)央(yang)(yang)(yang)國(guo)(guo)家機關舉報(bao)網站(zhan)網址,暢通舉報(bao)監督(du)(du)渠道。二是自(zi)覺接受黨(dang)內監督(du)(du)和(he)審(shen)(shen)計監督(du)(du)。按照“條條要(yao)整(zheng)改、件件有著落”的(de)(de)(de)要(yao)求(qiu),把巡(xun)視(shi)反饋的(de)(de)(de)突出問題,提出對(dui)應整(zheng)改措(cuo)施,一一對(dui)賬(zhang)銷號(hao),切實發(fa)(fa)揮好巡(xun)視(shi)發(fa)(fa)現問題、形成震懾、倒逼改革、促進(jin)(jin)發(fa)(fa)展的(de)(de)(de)作用。積極配合審(shen)(shen)計監督(du)(du),全(quan)(quan)面(mian)提供(gong)資(zi)料、主動(dong)說明(ming)情況;對(dui)審(shen)(shen)計發(fa)(fa)現的(de)(de)(de)問題及時(shi)明(ming)確責(ze)(ze)任(ren),落實整(zheng)改措(cuo)施,確保監管更(geng)加規(gui)范有效。三(san)是全(quan)(quan)面(mian)推(tui)進(jin)(jin)信息(xi)公(gong)開(kai)(kai)。2016年(nian)我委通過國(guo)(guo)資(zi)委門戶(hu)網站(zhan)主動(dong)發(fa)(fa)布(bu)各類信息(xi),涵蓋(gai)國(guo)(guo)企(qi)(qi)(qi)(qi)國(guo)(guo)資(zi)深化(hua)改革、中(zhong)央(yang)(yang)(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)經營(ying)發(fa)(fa)展、中(zhong)央(yang)(yang)(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)履(lv)行社會責(ze)(ze)任(ren)等方面(mian)情況,特(te)別是向(xiang)社會主動(dong)公(gong)開(kai)(kai)中(zhong)央(yang)(yang)(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)負責(ze)(ze)同志(zhi)2015年(nian)度(du)薪酬水平(ping)情況,進(jin)(jin)一步提高了中(zhong)央(yang)(yang)(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)透明(ming)度(du)。依(yi)法依(yi)規(gui)做好依(yi)申請公(gong)開(kai)(kai)工作,印發(fa)(fa)了《關于推(tui)進(jin)(jin)中(zhong)央(yang)(yang)(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)信息(xi)公(gong)開(kai)(kai)的(de)(de)(de)指導意見》,推(tui)動(dong)中(zhong)央(yang)(yang)(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)信息(xi)公(gong)開(kai)(kai)試點工作有序進(jin)(jin)行。
(五(wu))依(yi)法有效化(hua)解矛盾(dun)糾紛。一是提(ti)高(gao)(gao)信(xin)息(xi)公開(kai)、授權委托等法律審(shen)核(he)質量,全(quan)面(mian)做好涉訴案件和行政復議應對工作(zuo)(zuo),較好地防范了委機關法律風(feng)險。二(er)是完善信(xin)訪工作(zuo)(zuo)制度。建(jian)立局處級(ji)干(gan)部定期參(can)加接(jie)訪、新(xin)錄(lu)公務員(yuan)(yuan)信(xin)訪鍛(duan)煉等制度,提(ti)高(gao)(gao)全(quan)委干(gan)部信(xin)訪工作(zuo)(zuo)意識。進一步規范信(xin)訪事項辦(ban)理(li)流程,研(yan)究網上(shang)信(xin)訪工作(zuo)(zuo),暢通(tong)信(xin)訪渠道,推動(dong)通(tong)過法定途(tu)徑(jing)分類處理(li)信(xin)訪投訴請(qing)求。組織中(zhong)央企業(ye)深入開(kai)展矛盾(dun)糾紛排(pai)查化(hua)解工作(zuo)(zuo),對排(pai)查出的(de)問題做到責任、人(ren)員(yuan)(yuan)、措(cuo)施“三落實(shi)”,健全(quan)中(zhong)央企業(ye)不穩定問題臺賬。
(六)加(jia)強(qiang)機(ji)(ji)關(guan)(guan)法(fa)(fa)(fa)治(zhi)(zhi)(zhi)宣(xuan)(xuan)傳教(jiao)育(yu)。一是(shi)啟動(dong)“七(qi)(qi)(qi)五”普法(fa)(fa)(fa)工(gong)作。制(zhi)定(ding)《國(guo)(guo)(guo)(guo)務院國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)委(wei)關(guan)(guan)于在國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)委(wei)系(xi)統開(kai)展(zhan)(zhan)法(fa)(fa)(fa)治(zhi)(zhi)(zhi)宣(xuan)(xuan)傳教(jiao)育(yu)的第七(qi)(qi)(qi)個五年(nian)(nian)規(gui)劃(2016-2020年(nian)(nian))》,正式啟動(dong)國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)委(wei)系(xi)統“七(qi)(qi)(qi)五”普法(fa)(fa)(fa)工(gong)作。二是(shi)深入(ru)抓好法(fa)(fa)(fa)治(zhi)(zhi)(zhi)教(jiao)育(yu)。定(ding)期組(zu)織(zhi)“法(fa)(fa)(fa)治(zhi)(zhi)(zhi)講(jiang)堂”,邀請(qing)政(zheng)府機(ji)(ji)關(guan)(guan)、高等(deng)(deng)院校(xiao)的專家(jia)學者以及律師、企業總(zong)法(fa)(fa)(fa)律顧問等(deng)(deng),在各中央企業和(he)地方(fang)國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)委(wei)設立分會(hui)場,以視頻形式進(jin)行(xing)專題講(jiang)座,2016年(nian)(nian)共舉(ju)辦6期。深入(ru)開(kai)展(zhan)(zhan)“12·4”全國(guo)(guo)(guo)(guo)憲(xian)法(fa)(fa)(fa)日和(he)全國(guo)(guo)(guo)(guo)法(fa)(fa)(fa)制(zhi)宣(xuan)(xuan)傳日宣(xuan)(xuan)傳教(jiao)育(yu)活動(dong),加(jia)強(qiang)公(gong)(gong)務員初任(ren)培(pei)訓(xun)(xun)(xun)、干(gan)(gan)部(bu)任(ren)職(zhi)培(pei)訓(xun)(xun)(xun)中的法(fa)(fa)(fa)律知識培(pei)訓(xun)(xun)(xun)。組(zu)織(zhi)機(ji)(ji)關(guan)(guan)干(gan)(gan)部(bu)旁聽我委(wei)涉訴(su)案件(jian)庭審并開(kai)展(zhan)(zhan)座談會(hui),通(tong)過網絡、微信(xin)等(deng)(deng)不斷(duan)拓寬法(fa)(fa)(fa)治(zhi)(zhi)(zhi)宣(xuan)(xuan)傳教(jiao)育(yu)渠道(dao),提升(sheng)機(ji)(ji)關(guan)(guan)干(gan)(gan)部(bu)法(fa)(fa)(fa)治(zhi)(zhi)(zhi)素養(yang)。三是(shi)加(jia)強(qiang)對(dui)外(wai)法(fa)(fa)(fa)治(zhi)(zhi)(zhi)宣(xuan)(xuan)傳。加(jia)強(qiang)國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)監管法(fa)(fa)(fa)規(gui)制(zhi)度的普法(fa)(fa)(fa)宣(xuan)(xuan)傳,及時向(xiang)社會(hui)公(gong)(gong)開(kai)國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)委(wei)規(gui)章規(gui)范性文件(jian),并通(tong)過網站、公(gong)(gong)告、新聞通(tong)氣會(hui)等(deng)(deng)方(fang)式進(jin)行(xing)政(zheng)策解讀。組(zu)織(zhi)編輯出版《一帶一路(lu)沿線(xian)國(guo)(guo)(guo)(guo)家(jia)法(fa)(fa)(fa)律風險(xian)防范指(zhi)引》印尼、沙特、俄羅斯(si)等(deng)(deng)9個國(guo)(guo)(guo)(guo)家(jia)分冊(ce)。會(hui)同(tong)有(you)關(guan)(guan)部(bu)門共同(tong)舉(ju)辦2期反壟斷(duan)法(fa)(fa)(fa)培(pei)訓(xun)(xun)(xun)班,對(dui)中央和(he)地方(fang)國(guo)(guo)(guo)(guo)有(you)大(da)中型企業進(jin)行(xing)法(fa)(fa)(fa)治(zhi)(zhi)(zhi)教(jiao)育(yu)培(pei)訓(xun)(xun)(xun)。在2016年(nian)(nian)全國(guo)(guo)(guo)(guo)“六五”普法(fa)(fa)(fa)表(biao)彰(zhang)中,國(guo)(guo)(guo)(guo)務院國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)委(wei)普法(fa)(fa)(fa)辦被評為先進(jin)單位。
三、深(shen)入推進法(fa)治央企(qi)建設
認真貫徹(che)全(quan)(quan)(quan)面依(yi)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)治(zhi)(zhi)(zhi)國戰略,全(quan)(quan)(quan)力(li)推動(dong)(dong)國資(zi)委(wei)(wei)《關于(yu)全(quan)(quan)(quan)面推進(jin)(jin)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)治(zhi)(zhi)(zhi)央企(qi)(qi)(qi)(qi)(qi)建(jian)(jian)設(she)的(de)(de)意見(jian)》落實(shi)(shi),力(li)爭到2020年(nian)打造治(zhi)(zhi)(zhi)理完善、經(jing)營合規、管(guan)(guan)理規范(fan)、守法(fa)(fa)(fa)(fa)(fa)(fa)(fa)誠信的(de)(de)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)治(zhi)(zhi)(zhi)央企(qi)(qi)(qi)(qi)(qi)。一(yi)(yi)年(nian)來,在我委(wei)(wei)指(zhi)導推動(dong)(dong)下,中(zhong)央企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)依(yi)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)治(zhi)(zhi)(zhi)企(qi)(qi)(qi)(qi)(qi)取得積極(ji)進(jin)(jin)展(zhan)和(he)明(ming)顯(xian)成(cheng)效。一(yi)(yi)是(shi)(shi)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)治(zhi)(zhi)(zhi)央企(qi)(qi)(qi)(qi)(qi)建(jian)(jian)設(she)順(shun)利開(kai)局。推動(dong)(dong)全(quan)(quan)(quan)部(bu)中(zhong)央企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)成(cheng)立法(fa)(fa)(fa)(fa)(fa)(fa)(fa)治(zhi)(zhi)(zhi)央企(qi)(qi)(qi)(qi)(qi)建(jian)(jian)設(she)領(ling)(ling)導小組(zu),結合實(shi)(shi)際制定本(ben)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)治(zhi)(zhi)(zhi)建(jian)(jian)設(she)實(shi)(shi)施(shi)方(fang)案(an),并將其納入(ru)“十(shi)三(san)五”規劃同(tong)步(bu)實(shi)(shi)施(shi)、同(tong)步(bu)推進(jin)(jin)。許(xu)多企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)主(zhu)要(yao)領(ling)(ling)導親(qin)自擔任組(zu)長,部(bu)署(shu)安排法(fa)(fa)(fa)(fa)(fa)(fa)(fa)治(zhi)(zhi)(zhi)工(gong)作(zuo)重點任務和(he)具體(ti)(ti)(ti)措施(shi),切實(shi)(shi)履行推進(jin)(jin)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)治(zhi)(zhi)(zhi)建(jian)(jian)設(she)第(di)一(yi)(yi)責任人(ren)(ren)職(zhi)責。二(er)是(shi)(shi)依(yi)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)治(zhi)(zhi)(zhi)理穩(wen)步(bu)推進(jin)(jin)。指(zhi)導中(zhong)央企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)全(quan)(quan)(quan)面修(xiu)訂公司章程(cheng)(cheng)(cheng),健(jian)全(quan)(quan)(quan)議(yi)事規則,編制“三(san)會一(yi)(yi)層”權(quan)責清單(dan),依(yi)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)明(ming)確職(zhi)責邊(bian)界和(he)履職(zhi)程(cheng)(cheng)(cheng)序(xu),形成(cheng)權(quan)責對等、協調運(yun)轉、有(you)效制衡的(de)(de)治(zhi)(zhi)(zhi)理機制。推動(dong)(dong)總法(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)顧問制度(du)和(he)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)治(zhi)(zhi)(zhi)工(gong)作(zuo)要(yao)求(qiu)納入(ru)章程(cheng)(cheng)(cheng),明(ming)確總法(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)顧問列席董事會,為重大經(jing)營決策(ce)提供法(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)支撐,促進(jin)(jin)各治(zhi)(zhi)(zhi)理主(zhu)體(ti)(ti)(ti)依(yi)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)履職(zhi)、科學決策(ce)。三(san)是(shi)(shi)依(yi)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)合規經(jing)營深(shen)入(ru)開(kai)展(zhan)。指(zhi)導中(zhong)央企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)強化改革方(fang)案(an)制定和(he)實(shi)(shi)施(shi)過程(cheng)(cheng)(cheng)的(de)(de)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)審核把(ba)關,依(yi)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)依(yi)規參與處置“僵(jiang)尸(shi)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)”、壓(ya)縮管(guan)(guan)理層級,依(yi)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)解決破產注(zhu)銷、債(zhai)權(quan)債(zhai)務處理等難點問題,助力(li)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)瘦(shou)身健(jian)體(ti)(ti)(ti)提質增效。四是(shi)(shi)依(yi)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)規范(fan)管(guan)(guan)理持續深(shen)化。目前,中(zhong)央企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)規章制度(du)、經(jing)濟合同(tong)、重要(yao)決策(ce)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)審核率已基本(ben)達(da)到100%。在此基礎上,進(jin)(jin)一(yi)(yi)步(bu)督促企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)提高審核質量,加強風險(xian)識別、預警和(he)合同(tong)履約全(quan)(quan)(quan)程(cheng)(cheng)(cheng)管(guan)(guan)控,推動(dong)(dong)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)管(guan)(guan)理與經(jing)營管(guan)(guan)理深(shen)度(du)融(rong)合。組(zu)織中(zhong)國石油、中(zhong)國移(yi)動(dong)(dong)、東方(fang)電氣(qi)、招商(shang)局集團(tuan)、中(zhong)國中(zhong)鐵等5家企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)開(kai)展(zhan)合規管(guan)(guan)理體(ti)(ti)(ti)系建(jian)(jian)設(she)試點。五是(shi)(shi)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)治(zhi)(zhi)(zhi)工(gong)作(zuo)基礎不斷夯實(shi)(shi)。推動(dong)(dong)中(zhong)央企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)進(jin)(jin)一(yi)(yi)步(bu)健(jian)全(quan)(quan)(quan)總法(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)顧問制度(du),逐(zhu)步(bu)拓展(zhan)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)管(guan)(guan)理職(zhi)能,充(chong)實(shi)(shi)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)治(zhi)(zhi)(zhi)工(gong)作(zuo)力(li)量,深(shen)入(ru)開(kai)展(zhan)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)治(zhi)(zhi)(zhi)宣傳教育。截至目前,102家中(zhong)央企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)集團(tuan)全(quan)(quan)(quan)部(bu)建(jian)(jian)立總法(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)顧問制度(du),全(quan)(quan)(quan)系統三(san)級以上企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)建(jian)(jian)立總法(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)顧問制度(du)的(de)(de)達(da)到3131戶,專職(zhi)法(fa)(fa)(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)顧問人(ren)(ren)數超過21000人(ren)(ren),法(fa)(fa)(fa)(fa)(fa)(fa)(fa)治(zhi)(zhi)(zhi)工(gong)作(zuo)隊伍進(jin)(jin)一(yi)(yi)步(bu)壯大。
下一(yi)步(bu),我(wo)們(men)將深入貫徹黨(dang)中央、國務院關于法治(zhi)(zhi)政(zheng)府建設(she)的部署要求,以(yi)打(da)造(zao)法治(zhi)(zhi)機構和法治(zhi)(zhi)央企為目標,以(yi)落實(shi)《實(shi)施方(fang)案(an)》為抓手,進一(yi)步(bu)健(jian)全完善制度(du)機制,強(qiang)化任務措施督促(cu)檢查,推動依(yi)法監管、依(yi)法治(zhi)(zhi)企再(zai)上(shang)新臺階。
