一、研究背景和意(yi)義
(一(yi))研究背景
黨的十六(liu)大、十六(liu)屆二中全會決定深化國(guo)有(you)(you)(you)(you)資產(chan)(chan)管(guan)理(li)(li)(li)體(ti)(ti)(ti)制(zhi)改革,成立國(guo)有(you)(you)(you)(you)資產(chan)(chan)監(jian)督管(guan)理(li)(li)(li)機(ji)(ji)構,建(jian)立中央政(zheng)府和(he)地方政(zheng)府分別代(dai)表國(guo)家(jia)履行出資人(ren)(ren)職責,享(xiang)有(you)(you)(you)(you)所有(you)(you)(you)(you)者權益(yi),權利、義務和(he)責任相統一(yi),管(guan)資產(chan)(chan)和(he)管(guan)人(ren)(ren)、管(guan)事相結合的國(guo)有(you)(you)(you)(you)資產(chan)(chan)管(guan)理(li)(li)(li)體(ti)(ti)(ti)制(zhi),將國(guo)有(you)(you)(you)(you)企(qi)業和(he)國(guo)有(you)(you)(you)(you)資產(chan)(chan)管(guan)理(li)(li)(li)體(ti)(ti)(ti)制(zhi)改革推(tui)進到了一(yi)個新的階(jie)段。企(qi)業國(guo)有(you)(you)(you)(you)資產(chan)(chan)監(jian)管(guan)工作(zuo)取(qu)得了顯(xian)著成效,同(tong)時也面臨挑戰(zhan)。如何(he)進一(yi)步提高國(guo)有(you)(you)(you)(you)資產(chan)(chan)監(jian)督管(guan)理(li)(li)(li)機(ji)(ji)構依(yi)法履行出資人(ren)(ren)職責能(neng)力和(he)水平,不僅是(shi)企(qi)業國(guo)有(you)(you)(you)(you)資產(chan)(chan)監(jian)管(guan)工作(zuo)面臨的艱巨(ju)任務,也是(shi)推(tui)進國(guo)有(you)(you)(you)(you)資產(chan)(chan)監(jian)管(guan)體(ti)(ti)(ti)制(zhi)改革不可回避(bi)的重大課題。
1、企(qi)業國有資產監管工作取(qu)得的成就
根據國(guo)務院2003年(nian)(nian)5月發(fa)布(bu)實施的(de)(de)《企(qi)業(ye)國(guo)有資(zi)(zi)產監督管理(li)暫行條例》(以(yi)下簡稱《條例》)和(he)國(guo)務院“三定”方案的(de)(de)規定,國(guo)資(zi)(zi)委代(dai)表國(guo)務院對授(shou)權范(fan)圍內的(de)(de)中(zhong)央企(qi)業(ye)依法行使國(guo)有資(zi)(zi)本(ben)出資(zi)(zi)人職責(ze),負責(ze)指導(dao)國(guo)有企(qi)業(ye)改(gai)革和(he)重組,推進國(guo)有經濟結(jie)構和(he)布(bu)局的(de)(de)戰略性調整。國(guo)務院國(guo)資(zi)(zi)委自2003年(nian)(nian)3月組建以(yi)來,認真履(lv)行國(guo)務院賦予的(de)(de)出資(zi)(zi)人職責(ze),積(ji)極(ji)推進國(guo)有企(qi)業(ye)改(gai)革與發(fa)展,實施國(guo)有經濟布(bu)局與結(jie)構的(de)(de)調整,取得了明顯的(de)(de)成效。
一是制(zhi)度(du)創新(xin)不(bu)斷(duan)推進(jin)。2003年(nian)國務院國資(zi)委成(cheng)立(li)以(yi)(yi)來,以(yi)(yi)制(zhi)度(du)創新(xin)為先導,堅(jian)持推進(jin)國有(you)(you)資(zi)產監管(guan)(guan)體(ti)(ti)制(zhi)改(gai)革(ge),相繼(ji)出(chu)臺(tai)了(le)與(yu)(yu)《條例》相配(pei)套的(de)15個(ge)規章和(he)30多件規范(fan)性(xing)文件,從企(qi)(qi)業(ye)(ye)改(gai)制(zhi)、清產核(he)資(zi)、產權管(guan)(guan)理、業(ye)(ye)績(ji)考(kao)核(he)、財務監督、薪酬改(gai)革(ge)、高管(guan)(guan)人員(yuan)管(guan)(guan)理、法律風(feng)險防范(fan)等各方(fang)面加以(yi)(yi)規范(fan),初步形成(cheng)了(le)國有(you)(you)資(zi)產監管(guan)(guan)的(de)組織(zhi)體(ti)(ti)系(xi)和(he)法規體(ti)(ti)系(xi),使我(wo)委監管(guan)(guan)工(gong)作(zuo)建立(li)在(zai)符合市場(chang)化(hua)要求的(de)制(zhi)度(du)約束之下。與(yu)(yu)此同時,我(wo)委所監管(guan)(guan)的(de)中(zhong)(zhong)央企(qi)(qi)業(ye)(ye)也圍繞改(gai)革(ge)與(yu)(yu)發展的(de)中(zhong)(zhong)心(xin),結(jie)合自身特(te)點進(jin)行了(le)個(ge)性(xing)化(hua)的(de)內部制(zhi)度(du)創新(xin)。例如(ru),以(yi)(yi)建立(li)健(jian)全國有(you)(you)大型公司董(dong)事會為重(zhong)點,企(qi)(qi)業(ye)(ye)法人治理結(jie)構得以(yi)(yi)繼(ji)續完善,外部董(dong)事制(zhi)度(du)逐步推行;以(yi)(yi)總法律顧(gu)問(wen)制(zhi)度(du)為核(he)心(xin)的(de)國有(you)(you)企(qi)(qi)業(ye)(ye)法律顧(gu)問(wen)制(zhi)度(du)建設(she)不(bu)斷(duan)深入,中(zhong)(zhong)央企(qi)(qi)業(ye)(ye)重(zhong)大法律糾(jiu)紛案件管(guan)(guan)理制(zhi)度(du)和(he)企(qi)(qi)業(ye)(ye)法律風(feng)險防范(fan)機制(zhi)正在(zai)完善;企(qi)(qi)業(ye)(ye)內部勞動、人事、分配(pei)制(zhi)度(du)改(gai)革(ge)逐步深化(hua)。
二是(shi)布(bu)局結構(gou)(gou)調(diao)整取得重大(da)進(jin)展(zhan)。從戰(zhan)略上調(diao)整國(guo)有(you)(you)經(jing)濟(ji)(ji)布(bu)局和結構(gou)(gou),是(shi)從整體(ti)上搞好國(guo)有(you)(you)經(jing)濟(ji)(ji)、發揮國(guo)有(you)(you)經(jing)濟(ji)(ji)主(zhu)導作(zuo)用的(de)一項重要(yao)舉措,也(ye)是(shi)調(diao)整和完善所(suo)有(you)(you)制結構(gou)(gou)的(de)一項重要(yao)內(nei)容。近年(nian)來,國(guo)資(zi)委在發揮市場對資(zi)源(yuan)配置的(de)基礎性作(zuo)用的(de)前提下(xia)(xia),充分履(lv)行(xing)出(chu)資(zi)人職(zhi)責,以市場化(hua)的(de)方(fang)式,通過資(zi)產重組(zu)、聯合和并購等手段積極(ji)進(jin)行(xing)結構(gou)(gou)調(diao)整,做(zuo)強做(zuo)大(da)優勢國(guo)有(you)(you)企業,著(zhu)力培養和積極(ji)發展(zhan)具有(you)(you)自主(zhu)知識產權、知名品(pin)牌和國(guo)際競爭力的(de)大(da)公司大(da)企業集團。在各(ge)方(fang)積極(ji)配合和共(gong)同努力下(xia)(xia),中央(yang)企業已從2003年(nian)的(de)196戶調(diao)整為166戶。不少企業剝離非主(zhu)營業務(wu),縮(suo)短投資(zi)鏈(lian)條,取得實質性進(jin)展(zhan)。
三是(shi)中(zhong)(zhong)央(yang)企(qi)業實力增(zeng)(zeng)(zeng)強。中(zhong)(zhong)央(yang)企(qi)業在(zai)我國經濟(ji)發(fa)展中(zhong)(zhong)舉足輕重,國資委不斷引導、促進中(zhong)(zhong)央(yang)企(qi)業樹立和落實科學發(fa)展觀(guan),進一步轉變增(zeng)(zeng)(zeng)長(chang)(chang)方式,堅持(chi)走(zou)新型工業化道路(lu),努力提高(gao)中(zhong)(zhong)央(yang)企(qi)業的整(zheng)體素質和可持(chi)續發(fa)展能力,2005年(nian)(nian),中(zhong)(zhong)央(yang)企(qi)業實現銷售收(shou)入(ru)67312.9億(yi)元(yuan)(yuan)(yuan)(yuan),增(zeng)(zeng)(zeng)長(chang)(chang)19.8%;實現利潤6276.5億(yi)元(yuan)(yuan)(yuan)(yuan),增(zeng)(zeng)(zeng)長(chang)(chang)27.9%;實現凈利潤3361.6億(yi)元(yuan)(yuan)(yuan)(yuan),增(zeng)(zeng)(zeng)長(chang)(chang)34.5%;凈資產收(shou)益率9.7%,提高(gao)1.2個百(bai)分點;完成增(zeng)(zeng)(zeng)加(jia)值(zhi)19755億(yi)元(yuan)(yuan)(yuan)(yuan),增(zeng)(zeng)(zeng)長(chang)(chang)20.8%,均創歷史最(zui)好水平。2005年(nian)(nian)末(mo),中(zhong)(zhong)央(yang)企(qi)業資產總額達到(dao)10.63萬億(yi)元(yuan)(yuan)(yuan)(yuan),比上年(nian)(nian)末(mo)增(zeng)(zeng)(zeng)長(chang)(chang)15%;凈資產4.65萬億(yi)元(yuan)(yuan)(yuan)(yuan),增(zeng)(zeng)(zeng)長(chang)(chang)18.1%。
2、企業國(guo)有資產運(yun)營與監管工作面(mian)臨的問題
國務院國資委成立以來(lai),中(zhong)央企業的(de)改革與發(fa)展取得了明顯成效,但是深層次的(de)改革和促進(jin)進(jin)一步發(fa)展的(de)任務也顯得更加繁(fan)重,歸納起來(lai)主要有(you)以下(xia)幾個(ge)方面(mian):
一(yi)是企(qi)(qi)(qi)業(ye)(ye)國有資產出資人(ren)職權并(bing)未完(wan)全(quan)到(dao)位。依(yi)照《公(gong)司法》、《條例(li)》的規定(ding),出資人(ren)依(yi)法享有資產收益(yi)、參與重大決策和(he)選擇管理者(zhe)(zhe)等權利。但是,由(you)(you)于國有資產管理體制改(gai)革和(he)國有企(qi)(qi)(qi)業(ye)(ye)目(mu)前正處于改(gai)革階(jie)段,企(qi)(qi)(qi)業(ye)(ye)國有資產出資人(ren)的職權尚未完(wan)全(quan)到(dao)位。目(mu)前,國資委(wei)不僅未對所出資企(qi)(qi)(qi)業(ye)(ye)行使收益(yi)權,而且(qie)部分中央企(qi)(qi)(qi)業(ye)(ye)管理者(zhe)(zhe)的選擇權也由(you)(you)其(qi)他(ta)部門和(he)機構行使。
二是(shi)(shi)培(pei)育具(ju)有(you)(you)國(guo)(guo)(guo)際競(jing)爭(zheng)力的(de)(de)(de)大型企(qi)(qi)業(ye)(ye)(ye)集(ji)(ji)團(tuan)任務十(shi)分艱巨。在(zai)一(yi)定程(cheng)度(du)上,擁有(you)(you)多少(shao)跨國(guo)(guo)(guo)公(gong)司(si)可(ke)以體現一(yi)個國(guo)(guo)(guo)家(jia)(jia)的(de)(de)(de)經濟實(shi)力。我(wo)(wo)國(guo)(guo)(guo)國(guo)(guo)(guo)有(you)(you)企(qi)(qi)業(ye)(ye)(ye)盡管數量眾多,但(dan)真正具(ju)有(you)(you)國(guo)(guo)(guo)際競(jing)爭(zheng)力的(de)(de)(de)大型企(qi)(qi)業(ye)(ye)(ye)集(ji)(ji)團(tuan)依然寥若晨(chen)星。2005年上榜美國(guo)(guo)(guo)《財富》500強的(de)(de)(de)中(zhong)國(guo)(guo)(guo)國(guo)(guo)(guo)有(you)(you)企(qi)(qi)業(ye)(ye)(ye)15家(jia)(jia),其中(zhong)10家(jia)(jia)為國(guo)(guo)(guo)資委(wei)監(jian)管企(qi)(qi)業(ye)(ye)(ye),但(dan)沃爾瑪一(yi)家(jia)(jia)的(de)(de)(de)銷售收入就(jiu)相當于這(zhe)10家(jia)(jia)企(qi)(qi)業(ye)(ye)(ye)合計的(de)(de)(de)83.1%。我(wo)(wo)們(men)的(de)(de)(de)大型國(guo)(guo)(guo)有(you)(you)企(qi)(qi)業(ye)(ye)(ye)尚未真正的(de)(de)(de)實(shi)現跨國(guo)(guo)(guo)經營(ying),倒是(shi)(shi)在(zai)“家(jia)(jia)門口”開展國(guo)(guo)(guo)際競(jing)爭(zheng),國(guo)(guo)(guo)內(nei)競(jing)爭(zheng)國(guo)(guo)(guo)際化已(yi)經達到白(bai)熱化的(de)(de)(de)程(cheng)度(du)。中(zhong)央(yang)企(qi)(qi)業(ye)(ye)(ye)的(de)(de)(de)行業(ye)(ye)(ye)結構仍(reng)然較(jiao)散,資產(chan)的(de)(de)(de)集(ji)(ji)中(zhong)度(du)仍(reng)然較(jiao)低。由于當今產(chan)業(ye)(ye)(ye)集(ji)(ji)中(zhong)度(du)的(de)(de)(de)提高演(yan)化為產(chan)業(ye)(ye)(ye)重建,“系統集(ji)(ji)中(zhong)者”成為全(quan)球經濟的(de)(de)(de)統治者,因而給發展中(zhong)國(guo)(guo)(guo)家(jia)(jia)企(qi)(qi)業(ye)(ye)(ye)特別是(shi)(shi)我(wo)(wo)們(men)的(de)(de)(de)中(zhong)央(yang)企(qi)(qi)業(ye)(ye)(ye)帶來了(le)前所未有(you)(you)的(de)(de)(de)嚴峻挑(tiao)戰。
三是國(guo)(guo)有(you)(you)企(qi)業改革(ge)的(de)(de)股(gu)份制(zhi)改造任重而(er)道遠。黨的(de)(de)十(shi)六(liu)屆三中全會《關于完善社會主(zhu)義市場經(jing)濟體(ti)制(zhi)若干問題(ti)的(de)(de)決定》明確指出(chu),要大(da)力發展國(guo)(guo)有(you)(you)資(zi)本、集體(ti)資(zi)本和非公有(you)(you)資(zi)本等參股(gu)的(de)(de)混合所有(you)(you)制(zhi)經(jing)濟,實現(xian)投資(zi)主(zhu)體(ti)多(duo)(duo)元(yuan)化(hua),使(shi)股(gu)份制(zhi)成為公有(you)(you)制(zhi)的(de)(de)主(zhu)要實現(xian)形(xing)式。這是在總結我國(guo)(guo)經(jing)濟體(ti)制(zhi)改革(ge)經(jing)驗(yan)的(de)(de)基礎上作出(chu)的(de)(de)英明決定。這為國(guo)(guo)有(you)(you)企(qi)業改革(ge)指出(chu)了明確的(de)(de)方向。雖然國(guo)(guo)有(you)(you)企(qi)業改革(ge)已(yi)經(jing)取得很大(da)的(de)(de)成效(xiao),但進一步(bu)推進投資(zi)主(zhu)體(ti)多(duo)(duo)元(yuan)化(hua),規范(fan)實施股(gu)份制(zhi)改造,是中央企(qi)業下一步(bu)深(shen)化(hua)改革(ge)的(de)(de)主(zhu)要任務。
四是(shi)國(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)本(ben)的(de)(de)(de)(de)營運(yun)體(ti)(ti)(ti)系不健(jian)全(quan)。隨著國(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產(chan)(chan)(chan)管(guan)理(li)體(ti)(ti)(ti)制改革的(de)(de)(de)(de)深(shen)入(ru),企業國(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產(chan)(chan)(chan)的(de)(de)(de)(de)產(chan)(chan)(chan)權(quan)(quan)(quan)責任(ren)比過去明確了,有(you)(you)(you)一(yi)個特設機構來履行(xing)出資(zi)(zi)人職(zhi)責。國(guo)(guo)(guo)(guo)資(zi)(zi)委(wei)按照《公司(si)法》和《條例(li)》的(de)(de)(de)(de)規(gui)定,對(dui)中央企業行(xing)使(shi)重大事項的(de)(de)(de)(de)決策(ce)權(quan)(quan)(quan)、經(jing)營者(zhe)的(de)(de)(de)(de)選擇權(quan)(quan)(quan)和收益(yi)分配(pei)權(quan)(quan)(quan),建(jian)(jian)立(li)(li)和完(wan)善(shan)了戰略(lve)發(fa)展(zhan)規(gui)劃審定、產(chan)(chan)(chan)權(quan)(quan)(quan)管(guan)理(li)、業績考核(he)、財務(wu)監(jian)(jian)督、收入(ru)分配(pei)、經(jing)營者(zhe)選拔等相關配(pei)套制度(du),進(jin)一(yi)步落實了資(zi)(zi)產(chan)(chan)(chan)經(jing)營責任(ren)制,國(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產(chan)(chan)(chan)的(de)(de)(de)(de)監(jian)(jian)督管(guan)理(li)體(ti)(ti)(ti)系初步建(jian)(jian)立(li)(li)。但(dan)是(shi)企業國(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產(chan)(chan)(chan)的(de)(de)(de)(de)產(chan)(chan)(chan)權(quan)(quan)(quan)硬約束機制尚未完(wan)整建(jian)(jian)立(li)(li)起來,國(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)本(ben)的(de)(de)(de)(de)監(jian)(jian)管(guan)與營運(yun)體(ti)(ti)(ti)系還(huan)不健(jian)全(quan),尤其(qi)是(shi)國(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)本(ben)的(de)(de)(de)(de)營運(yun)主體(ti)(ti)(ti)不突出,國(guo)(guo)(guo)(guo)資(zi)(zi)委(wei)直接面對(dui)一(yi)百(bai)多家經(jing)營主體(ti)(ti)(ti),監(jian)(jian)管(guan)幅(fu)度(du)過寬(kuan),監(jian)(jian)管(guan)效果(guo)受到(dao)影響(xiang),因此加(jia)快(kuai)國(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)本(ben)營運(yun)體(ti)(ti)(ti)系建(jian)(jian)設迫在(zai)眉(mei)睫(jie)。
五是建(jian)立(li)(li)國(guo)(guo)(guo)有(you)獨資(zi)公(gong)(gong)(gong)(gong)司(si)(si)董(dong)事會完善公(gong)(gong)(gong)(gong)司(si)(si)治理(li)(li)(li)結(jie)構(gou)任務繁重(zhong)(zhong)。實(shi)踐證(zheng)明(ming),建(jian)立(li)(li)和(he)完善董(dong)事會是完善公(gong)(gong)(gong)(gong)司(si)(si)治理(li)(li)(li)結(jie)構(gou)的(de)(de)(de)關鍵,也是現(xian)代公(gong)(gong)(gong)(gong)司(si)(si)制(zhi)條件下委托代理(li)(li)(li)、分(fen)權制(zhi)衡的(de)(de)(de)重(zhong)(zhong)要(yao)(yao)制(zhi)度安排。因此,2005年4月在國(guo)(guo)(guo)務院(yuan)提出的(de)(de)(de)深(shen)化(hua)經(jing)濟體(ti)制(zhi)改革的(de)(de)(de)意見中(zhong),明(ming)確要(yao)(yao)求要(yao)(yao)“以建(jian)立(li)(li)健全國(guo)(guo)(guo)有(you)大(da)型公(gong)(gong)(gong)(gong)司(si)(si)董(dong)事會為重(zhong)(zhong)點,抓緊(jin)健全法人治理(li)(li)(li)結(jie)構(gou)、獨立(li)(li)董(dong)事和(he)派出監事會制(zhi)度”。按照國(guo)(guo)(guo)務院(yuan)的(de)(de)(de)要(yao)(yao)求,國(guo)(guo)(guo)資(zi)委經(jing)過(guo)充分(fen)的(de)(de)(de)準備,已經(jing)開始(shi)在中(zhong)央企業開展國(guo)(guo)(guo)有(you)獨資(zi)公(gong)(gong)(gong)(gong)司(si)(si)的(de)(de)(de)董(dong)事會試(shi)點。在國(guo)(guo)(guo)有(you)獨資(zi)公(gong)(gong)(gong)(gong)司(si)(si)建(jian)立(li)(li)董(dong)事會,比股權多元化(hua)的(de)(de)(de)公(gong)(gong)(gong)(gong)司(si)(si)難度還要(yao)(yao)大(da),如果(guo)國(guo)(guo)(guo)資(zi)委、董(dong)事會、經(jing)營層的(de)(de)(de)關系以及外(wai)部董(dong)事與內(nei)部董(dong)事的(de)(de)(de)關系處理(li)(li)(li)不好,出現(xian)某方面的(de)(de)(de)缺位(wei)或(huo)者越位(wei),都(dou)將影響公(gong)(gong)(gong)(gong)司(si)(si)治理(li)(li)(li)結(jie)構(gou)的(de)(de)(de)效果(guo)。因此,建(jian)立(li)(li)國(guo)(guo)(guo)有(you)獨資(zi)公(gong)(gong)(gong)(gong)司(si)(si)董(dong)事會,時間緊(jin),任務重(zhong)(zhong)。
(二)研究的意義
不難發現,國資委組建以后,按照加強黨的執政能力建設的要求,積極貫徹落實“三個代表”的重要思想,認真履行國有資本出資人職責,推進國有企業改革和戰略結構的調整,引導、促進企業加快技術創新,加強經營管理,防范和化解經營風險,并加強國有資產監管相關規章制度建設,規范改制行為,強化財務監督,完善業績考核,明確經營責任,使國有資產保值增值得到層層落實。但是,國有資產出資人職權尚未到位,國有資產監管、營運體系還不完善,國有經濟布局結構尚不合理,中央企業國際競爭力較弱,企業股份制改造和完善公司治理結構的任務十分艱巨。
同時(shi),我們還應該清醒(xing)地認識(shi)到,隨(sui)著(zhu)(zhu)加入WTO和(he)國(guo)際企業(ye)競爭的(de)強(qiang)化,國(guo)有(you)企業(ye)改革和(he)發展面臨著(zhu)(zhu)來(lai)自國(guo)外企業(ye)的(de)競爭和(he)挑(tiao)戰,如何提高國(guo)有(you)企業(ye)的(de)競爭力,拓寬其國(guo)際生存和(he)發展空(kong)間,也是出資人需要認真(zhen)面對的(de)問題。
綜上,我們認為,在(zai)(zai)經(jing)歷了企業國(guo)(guo)有(you)資(zi)產(chan)(chan)(chan)監管(guan)(guan)體制改革初步探(tan)索之(zhi)后(hou),國(guo)(guo)有(you)企業改革與發展(zhan)的實踐及國(guo)(guo)有(you)資(zi)產(chan)(chan)(chan)管(guan)(guan)理體制改革均(jun)對國(guo)(guo)資(zi)委(wei)(wei)履(lv)行出資(zi)人職(zhi)責的能力(li)和(he)(he)水(shui)平(ping)提出了更新(xin)穎(ying)、更深(shen)刻、更復雜的問(wen)題,對國(guo)(guo)資(zi)委(wei)(wei)進一步提高(gao)依法履(lv)行出資(zi)人職(zhi)責的能力(li)提出了考(kao)驗(yan)。本課題圍繞國(guo)(guo)務院國(guo)(guo)資(zi)委(wei)(wei)有(you)關職(zhi)能和(he)(he)工作(zuo),就國(guo)(guo)資(zi)委(wei)(wei)提高(gao)依法履(lv)行出資(zi)人職(zhi)責能力(li)和(he)(he)水(shui)平(ping)的相關問(wen)題進行研究,在(zai)(zai)此基礎上提出建議(yi),促(cu)進企業國(guo)(guo)有(you)資(zi)產(chan)(chan)(chan)監督管(guan)(guan)理工作(zuo)的順利開展(zhan),深(shen)化國(guo)(guo)有(you)資(zi)產(chan)(chan)(chan)管(guan)(guan)理體制改革。
二、如何理(li)解依法履行(xing)出資人(ren)職責(ze)
(一(yi))依(yi)法履行出資人職責的一(yi)般(ban)含義
在一般語義中,依(yi)法(fa)(fa)履(lv)行(xing)(xing)出資(zi)人(ren)(ren)職責,是指(zhi)公司股(gu)東或其(qi)他企(qi)業投資(zi)者(如合(he)伙企(qi)業合(he)伙人(ren)(ren)、獨資(zi)企(qi)業投資(zi)人(ren)(ren)等(deng))依(yi)照相(xiang)關(guan)法(fa)(fa)律、法(fa)(fa)規的(de)(de)(de)規定(ding)對(dui)其(qi)出資(zi)的(de)(de)(de)企(qi)業行(xing)(xing)使權(quan)利(li)、履(lv)行(xing)(xing)義務,并承擔(dan)其(qi)結果的(de)(de)(de)行(xing)(xing)為(wei)與過程。在我國當前國有(you)資(zi)產(chan)管(guan)(guan)理體制改(gai)(gai)革(ge)和國有(you)企(qi)業改(gai)(gai)革(ge)的(de)(de)(de)背(bei)景下,依(yi)法(fa)(fa)履(lv)行(xing)(xing)出資(zi)人(ren)(ren)職責,是指(zhi)國有(you)資(zi)產(chan)監(jian)督(du)管(guan)(guan)理機(ji)構(gou)根據授權(quan)或委托代表國家依(yi)法(fa)(fa)對(dui)所出資(zi)企(qi)業行(xing)(xing)使相(xiang)應職權(quan),履(lv)行(xing)(xing)義務并承擔(dan)相(xiang)應責任。國有(you)資(zi)產(chan)監(jian)督(du)管(guan)(guan)理機(ji)構(gou)依(yi)法(fa)(fa)履(lv)行(xing)(xing)出資(zi)人(ren)(ren)職責必須做到以下幾點:
1.準(zhun)確把(ba)握行權履責的正確方向
依(yi)法履行(xing)出(chu)(chu)資(zi)人(ren)職責(ze),是(shi)(shi)我(wo)國(guo)(guo)(guo)國(guo)(guo)(guo)有(you)(you)企業改(gai)革(ge)(ge)(ge)(ge)和(he)深(shen)化(hua)國(guo)(guo)(guo)有(you)(you)資(zi)產(chan)管(guan)理(li)體(ti)制(zhi)(zhi)(zhi)改(gai)革(ge)(ge)(ge)(ge)過程(cheng)中提出(chu)(chu)的(de)(de)一(yi)項重(zhong)要任務(wu)(wu),首先(xian)要從(cong)國(guo)(guo)(guo)有(you)(you)資(zi)產(chan)管(guan)理(li)制(zhi)(zhi)(zhi)度(du)改(gai)革(ge)(ge)(ge)(ge)的(de)(de)角度(du)進行(xing)理(li)解和(he)把握。黨的(de)(de)十六大報告(gao)提出(chu)(chu),繼(ji)續調整國(guo)(guo)(guo)有(you)(you)經濟的(de)(de)布局(ju)和(he)結構,改(gai)革(ge)(ge)(ge)(ge)國(guo)(guo)(guo)有(you)(you)資(zi)產(chan)管(guan)理(li)體(ti)制(zhi)(zhi)(zhi),是(shi)(shi)深(shen)化(hua)經濟體(ti)制(zhi)(zhi)(zhi)改(gai)革(ge)(ge)(ge)(ge)的(de)(de)重(zhong)大任務(wu)(wu)。根據黨的(de)(de)十六大提出(chu)(chu)的(de)(de)深(shen)化(hua)國(guo)(guo)(guo)有(you)(you)資(zi)產(chan)管(guan)理(li)體(ti)制(zhi)(zhi)(zhi)改(gai)革(ge)(ge)(ge)(ge)的(de)(de)精神,依(yi)照相關(guan)法律、行(xing)政(zheng)(zheng)法規的(de)(de)規定,國(guo)(guo)(guo)務(wu)(wu)院和(he)省(sheng)、市人(ren)民政(zheng)(zheng)府(fu)設立了(le)國(guo)(guo)(guo)有(you)(you)資(zi)產(chan)監督管(guan)理(li)機構,分別代(dai)表(biao)本級(ji)人(ren)民政(zheng)(zheng)府(fu)履行(xing)出(chu)(chu)資(zi)人(ren)職責(ze),從(cong)組織上解決了(le)長(chang)期以來困(kun)擾人(ren)們的(de)(de)出(chu)(chu)資(zi)人(ren)缺位問題。國(guo)(guo)(guo)有(you)(you)資(zi)產(chan)監督管(guan)理(li)機構的(de)(de)設立本身就是(shi)(shi)國(guo)(guo)(guo)有(you)(you)資(zi)產(chan)管(guan)理(li)體(ti)制(zhi)(zhi)(zhi)改(gai)革(ge)(ge)(ge)(ge)的(de)(de)一(yi)個關(guan)鍵環節。
依據黨的(de)(de)十六大、十六屆二中(zhong)全會(hui)、三(san)中(zhong)全會(hui)的(de)(de)精神(shen),國有資產(chan)管(guan)理體(ti)制改(gai)革的(de)(de)根本(ben)目標在于:完善(shan)相關(guan)法律法規(gui),建立(li)中(zhong)央政府(fu)和(he)地方政府(fu)分別(bie)代表國家(jia)履(lv)行出(chu)資人職責,享有所有者權益,權利、義務和(he)責任“三(san)統一”、管(guan)資產(chan)和(he)管(guan)人、管(guan)事“三(san)結合(he)”的(de)(de)國有資產(chan)管(guan)理體(ti)制。
這些原則(ze)和(he)目標(biao)不(bu)僅是立(li)法(fa)機(ji)(ji)構(gou)(gou)制(zhi)(zhi)定國(guo)有(you)資(zi)產(chan)(chan)管(guan)(guan)理(li)(li)(li)法(fa)律(lv)、法(fa)規應(ying)(ying)當遵守(shou)的(de)依(yi)據,也是國(guo)有(you)資(zi)產(chan)(chan)監(jian)(jian)督管(guan)(guan)理(li)(li)(li)機(ji)(ji)構(gou)(gou)依(yi)法(fa)履(lv)行(xing)職(zhi)(zhi)責(ze)的(de)指(zhi)導(dao)思想(xiang)。國(guo)有(you)資(zi)產(chan)(chan)監(jian)(jian)督管(guan)(guan)理(li)(li)(li)機(ji)(ji)構(gou)(gou)應(ying)(ying)當完(wan)整理(li)(li)(li)解和(he)掌握國(guo)有(you)資(zi)產(chan)(chan)管(guan)(guan)理(li)(li)(li)體(ti)制(zhi)(zhi)改革(ge)的(de)深刻內涵,并以此作為其(qi)制(zhi)(zhi)定政策、履(lv)行(xing)職(zhi)(zhi)責(ze)的(de)出(chu)發點,推進(jin)建立(li)有(you)效的(de)國(guo)有(you)資(zi)產(chan)(chan)經(jing)營體(ti)制(zhi)(zhi)和(he)方式。國(guo)務院(yuan)國(guo)有(you)資(zi)產(chan)(chan)監(jian)(jian)督管(guan)(guan)理(li)(li)(li)委員(yuan)會成立(li)3年多來(lai),在黨的(de)十六大及各(ge)屆會議精神的(de)指(zhi)導(dao)下,積極推進(jin)國(guo)有(you)資(zi)產(chan)(chan)管(guan)(guan)理(li)(li)(li)體(ti)制(zhi)(zhi)改革(ge),不(bu)斷完(wan)善(shan)國(guo)有(you)資(zi)產(chan)(chan)監(jian)(jian)管(guan)(guan)體(ti)制(zhi)(zhi),依(yi)法(fa)履(lv)行(xing)出(chu)資(zi)人職(zhi)(zhi)責(ze),全面開展(zhan)各(ge)項(xiang)工作,使國(guo)有(you)經(jing)濟保(bao)持了快速增長的(de)良好態勢。
2.嚴格把握行權(quan)履(lv)責(ze)的法律(lv)規(gui)定(ding)
依法履(lv)行(xing)出(chu)資人職(zhi)責,是(shi)對國(guo)有(you)資產(chan)(chan)監(jian)督(du)管(guan)理(li)機構(gou)的法律定(ding)位、行(xing)為(wei)規范提出(chu)的要求,還需要國(guo)有(you)資產(chan)(chan)監(jian)督(du)管(guan)理(li)機構(gou)嚴格依法行(xing)使相應(ying)職(zhi)權,依法辦事。
在我國,企(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)(fa)律(lv)包括(kuo)兩個(ge)體(ti)(ti)系(xi)。一(yi)個(ge)是(shi)(shi)按(an)照(zhao)所有(you)(you)(you)制(zhi)標(biao)準(zhun)形成的(de)(de)“企(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)(fa)”體(ti)(ti)系(xi),具體(ti)(ti)包括(kuo):《全民(min)所有(you)(you)(you)制(zhi)工(gong)業(ye)(ye)企(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)(fa)》(以下簡稱《企(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)(fa)》)、《全民(min)所有(you)(you)(you)制(zhi)工(gong)業(ye)(ye)企(qi)(qi)(qi)業(ye)(ye)轉換經(jing)營(ying)(ying)(ying)機(ji)制(zhi)條(tiao)例(li)》(以下簡稱《轉機(ji)條(tiao)例(li)》)、《城鎮(zhen)集體(ti)(ti)所有(you)(you)(you)制(zhi)企(qi)(qi)(qi)業(ye)(ye)條(tiao)例(li)》、《私營(ying)(ying)(ying)企(qi)(qi)(qi)業(ye)(ye)暫行(xing)條(tiao)例(li)》、《中(zhong)外(wai)(wai)合資(zi)經(jing)營(ying)(ying)(ying)企(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)(fa)》、《中(zhong)外(wai)(wai)合資(zi)經(jing)營(ying)(ying)(ying)企(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)(fa)實施條(tiao)例(li)》、《中(zhong)外(wai)(wai)合作(zuo)經(jing)營(ying)(ying)(ying)企(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)(fa)》、《中(zhong)外(wai)(wai)合作(zuo)經(jing)營(ying)(ying)(ying)企(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)(fa)實施細(xi)則》、《外(wai)(wai)資(zi)企(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)(fa)》、《外(wai)(wai)資(zi)企(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)(fa)實施細(xi)則》等;另一(yi)個(ge)是(shi)(shi)按(an)照(zhao)出(chu)資(zi)人(ren)及其(qi)法(fa)(fa)(fa)(fa)律(lv)責任(ren)為標(biao)準(zhun)形成的(de)(de)“公(gong)司(si)(si)-合伙-獨(du)資(zi)企(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)(fa)”體(ti)(ti)系(xi),具體(ti)(ti)包括(kuo):《公(gong)司(si)(si)法(fa)(fa)(fa)(fa)》、《合伙企(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)(fa)》和《個(ge)人(ren)獨(du)資(zi)企(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)(fa)》。其(qi)中(zhong),對于國有(you)(you)(you)資(zi)產(chan)(chan)出(chu)資(zi)人(ren)代表(biao)而言(yan),具有(you)(you)(you)直接規范意義的(de)(de)是(shi)(shi)《企(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)(fa)》及《轉機(ji)條(tiao)例(li)》與《公(gong)司(si)(si)法(fa)(fa)(fa)(fa)》、《企(qi)(qi)(qi)業(ye)(ye)國有(you)(you)(you)資(zi)產(chan)(chan)監督管理暫行(xing)條(tiao)例(li)》等法(fa)(fa)(fa)(fa)律(lv)、行(xing)政法(fa)(fa)(fa)(fa)規。
根(gen)(gen)據(ju)《企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)法(fa)(fa)》第(di)2條(tiao)(tiao)(tiao)的(de)(de)(de)(de)規(gui)(gui)定(ding)(ding)(ding)(ding)(ding)(ding)(ding),全民所有(you)(you)(you)(you)(you)制企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)是依(yi)法(fa)(fa)自主經(jing)(jing)營、自負盈虧(kui)、獨立核算的(de)(de)(de)(de)社會主義商(shang)品(pin)生產(chan)(chan)(chan)和(he)經(jing)(jing)營單位。企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)的(de)(de)(de)(de)財(cai)(cai)產(chan)(chan)(chan)屬于全民所有(you)(you)(you)(you)(you),國(guo)(guo)(guo)家依(yi)照所有(you)(you)(you)(you)(you)權(quan)(quan)(quan)(quan)和(he)經(jing)(jing)營權(quan)(quan)(quan)(quan)分(fen)離的(de)(de)(de)(de)原則授(shou)予企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)經(jing)(jing)營管(guan)(guan)理(li)(li)。企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)對(dui)國(guo)(guo)(guo)家授(shou)予其(qi)(qi)經(jing)(jing)營管(guan)(guan)理(li)(li)的(de)(de)(de)(de)財(cai)(cai)產(chan)(chan)(chan)享(xiang)有(you)(you)(you)(you)(you)占有(you)(you)(you)(you)(you)、使(shi)用(yong)和(he)依(yi)法(fa)(fa)處分(fen)的(de)(de)(de)(de)權(quan)(quan)(quan)(quan)利。在國(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)產(chan)(chan)(chan)出(chu)(chu)資(zi)(zi)人(ren)代表職(zhi)責方(fang)(fang)面(mian),《企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)法(fa)(fa)》并未(wei)明確(que)具體的(de)(de)(de)(de)國(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)產(chan)(chan)(chan)出(chu)(chu)資(zi)(zi)人(ren)代表機構(gou),也未(wei)嚴格區分(fen)政(zheng)府(fu)(fu)的(de)(de)(de)(de)國(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)產(chan)(chan)(chan)出(chu)(chu)資(zi)(zi)人(ren)代表與行(xing)(xing)政(zheng)管(guan)(guan)理(li)(li)者(zhe)(zhe)角(jiao)色(se),而是從(cong)政(zheng)府(fu)(fu)與企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)關(guan)系(xi)的(de)(de)(de)(de)角(jiao)度規(gui)(gui)定(ding)(ding)(ding)(ding)(ding)(ding)(ding)了(le)政(zheng)府(fu)(fu)及政(zheng)府(fu)(fu)主管(guan)(guan)部門的(de)(de)(de)(de)職(zhi)責。但(dan)是,這種立法(fa)(fa)體例(li)(li)并不否定(ding)(ding)(ding)(ding)(ding)(ding)(ding)政(zheng)府(fu)(fu)作為出(chu)(chu)資(zi)(zi)人(ren)代表的(de)(de)(de)(de)機制。其(qi)(qi)中,《企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)法(fa)(fa)》16條(tiao)(tiao)(tiao)、第(di)18條(tiao)(tiao)(tiao)及第(di)55條(tiao)(tiao)(tiao)關(guan)于出(chu)(chu)資(zi)(zi)人(ren)職(zhi)責的(de)(de)(de)(de)具體規(gui)(gui)定(ding)(ding)(ding)(ding)(ding)(ding)(ding)包括:依(yi)照國(guo)(guo)(guo)務(wu)(wu)(wu)院規(gui)(gui)定(ding)(ding)(ding)(ding)(ding)(ding)(ding)統一對(dui)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)下達指(zhi)令性(xing)(xing)計劃(hua),保證(zheng)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)完成(cheng)指(zhi)令性(xing)(xing)計劃(hua)所需的(de)(de)(de)(de)計劃(hua)供應(ying)物資(zi)(zi),審查批(pi)準(zhun)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)提(ti)出(chu)(chu)的(de)(de)(de)(de)基本(ben)建(jian)(jian)設(she)、重(zhong)大(da)技術改造等(deng)(deng)計劃(hua);任(ren)免、獎(jiang)(jiang)懲(cheng)廠長,根(gen)(gen)據(ju)廠長的(de)(de)(de)(de)提(ti)議,任(ren)免、獎(jiang)(jiang)懲(cheng)副廠級行(xing)(xing)政(zheng)領導干(gan)部,考核、培訓廠級行(xing)(xing)政(zheng)領導干(gan)部;決(jue)(jue)定(ding)(ding)(ding)(ding)(ding)(ding)(ding)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)設(she)立、合(he)并與分(fen)立等(deng)(deng)。1992年7月(yue)實(shi)施的(de)(de)(de)(de)《轉(zhuan)機條(tiao)(tiao)(tiao)例(li)(li)》進一步提(ti)出(chu)(chu)了(le)政(zheng)企(qi)(qi)(qi)(qi)職(zhi)責分(fen)開的(de)(de)(de)(de)原則,還(huan)明確(que)規(gui)(gui)定(ding)(ding)(ding)(ding)(ding)(ding)(ding)國(guo)(guo)(guo)務(wu)(wu)(wu)院代表國(guo)(guo)(guo)家行(xing)(xing)使(shi)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)財(cai)(cai)產(chan)(chan)(chan)所有(you)(you)(you)(you)(you)權(quan)(quan)(quan)(quan)。為確(que)保企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)財(cai)(cai)產(chan)(chan)(chan)所有(you)(you)(you)(you)(you)權(quan)(quan)(quan)(quan),《轉(zhuan)機條(tiao)(tiao)(tiao)例(li)(li)》第(di)42條(tiao)(tiao)(tiao)規(gui)(gui)定(ding)(ding)(ding)(ding)(ding)(ding)(ding),政(zheng)府(fu)(fu)及其(qi)(qi)有(you)(you)(you)(you)(you)關(guan)部門分(fen)別行(xing)(xing)使(shi)下列(lie)職(zhi)責:(1)考核企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)財(cai)(cai)產(chan)(chan)(chan)保值、增值指(zhi)標,對(dui)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)資(zi)(zi)產(chan)(chan)(chan)負債(zhai)和(he)損益情況(kuang)進行(xing)(xing)審查和(he)審計監(jian)督;(2)根(gen)(gen)據(ju)國(guo)(guo)(guo)務(wu)(wu)(wu)院的(de)(de)(de)(de)有(you)(you)(you)(you)(you)關(guan)規(gui)(gui)定(ding)(ding)(ding)(ding)(ding)(ding)(ding),決(jue)(jue)定(ding)(ding)(ding)(ding)(ding)(ding)(ding)國(guo)(guo)(guo)家與企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)之間財(cai)(cai)產(chan)(chan)(chan)收(shou)益的(de)(de)(de)(de)分(fen)配方(fang)(fang)式、比(bi)例(li)(li)或者(zhe)(zhe)定(ding)(ding)(ding)(ding)(ding)(ding)(ding)額;(3)根(gen)(gen)據(ju)國(guo)(guo)(guo)務(wu)(wu)(wu)院的(de)(de)(de)(de)有(you)(you)(you)(you)(you)關(guan)規(gui)(gui)定(ding)(ding)(ding)(ding)(ding)(ding)(ding),決(jue)(jue)定(ding)(ding)(ding)(ding)(ding)(ding)(ding)、批(pi)準(zhun)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)生產(chan)(chan)(chan)性(xing)(xing)建(jian)(jian)設(she)項目,但(dan)該條(tiao)(tiao)(tiao)例(li)(li)規(gui)(gui)定(ding)(ding)(ding)(ding)(ding)(ding)(ding)由(you)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)自主決(jue)(jue)定(ding)(ding)(ding)(ding)(ding)(ding)(ding)的(de)(de)(de)(de)投資(zi)(zi)項目除外;(4)決(jue)(jue)定(ding)(ding)(ding)(ding)(ding)(ding)(ding)或者(zhe)(zhe)批(pi)準( 2003年(nian)政府(fu)(fu)機構改(gai)革(ge)(ge)以(yi)(yi)后,國(guo)(guo)(guo)務(wu)(wu)院和(he)地方政府(fu)(fu)先后設立國(guo)(guo)(guo)有(you)(you)資(zi)(zi)產(chan)(chan)監(jian)(jian)(jian)督(du)(du)管(guan)理(li)委員會(hui),作為經本級(ji)政府(fu)(fu)授權代(dai)(dai)表(biao)其(qi)(qi)履行出(chu)(chu)資(zi)(zi)人(ren)職責(ze)的(de)(de)機構,從政府(fu)(fu)機構設置上完善了(le)國(guo)(guo)(guo)有(you)(you)資(zi)(zi)產(chan)(chan)出(chu)(chu)資(zi)(zi)人(ren)代(dai)(dai)表(biao)制(zhi)度(du)。2003年(nian)5月,根據(ju)黨的(de)(de)十(shi)(shi)六(liu)(liu)大和(he)十(shi)(shi)六(liu)(liu)屆二(er)中(zhong)全會(hui)精(jing)神,結合國(guo)(guo)(guo)有(you)(you)企(qi)(qi)業改(gai)革(ge)(ge)的(de)(de)現(xian)實和(he)深化國(guo)(guo)(guo)有(you)(you)資(zi)(zi)產(chan)(chan)管(guan)理(li)體制(zhi)改(gai)革(ge)(ge)的(de)(de)需(xu)要,國(guo)(guo)(guo)務(wu)(wu)院制(zhi)定(ding)并(bing)公(gong)布了(le)《企(qi)(qi)業國(guo)(guo)(guo)有(you)(you)資(zi)(zi)產(chan)(chan)監(jian)(jian)(jian)督(du)(du)管(guan)理(li)暫行條(tiao)例》。該(gai)《條(tiao)例》以(yi)(yi)《公(gong)司法》等法律為依(yi)(yi)(yi)據(ju),明確了(le)國(guo)(guo)(guo)有(you)(you)資(zi)(zi)產(chan)(chan)監(jian)(jian)(jian)督(du)(du)管(guan)理(li)機構的(de)(de)性質。第13條(tiao)具體規(gui)(gui)定(ding)了(le)國(guo)(guo)(guo)有(you)(you)資(zi)(zi)產(chan)(chan)監(jian)(jian)(jian)督(du)(du)管(guan)理(li)機構的(de)(de)主要職責(ze):(1)依(yi)(yi)(yi)照《中(zhong)華人(ren)民(min)共和(he)國(guo)(guo)(guo)公(gong)司法》等法律、法規(gui)(gui),對(dui)所出(chu)(chu)資(zi)(zi)企(qi)(qi)業履行出(chu)(chu)資(zi)(zi)人(ren)職責(ze),維(wei)護所有(you)(you)者權益;(2)指導推進(jin)國(guo)(guo)(guo)有(you)(you)及國(guo)(guo)(guo)有(you)(you)控股企(qi)(qi)業的(de)(de)改(gai)革(ge)(ge)和(he)重(zhong)組;(3)依(yi)(yi)(yi)照規(gui)(gui)定(ding)向所出(chu)(chu)資(zi)(zi)企(qi)(qi)業派出(chu)(chu)監(jian)(jian)(jian)事會(hui);(4)依(yi)(yi)(yi)照法定(ding)程序對(dui)所出(chu)(chu)資(zi)(zi)企(qi)(qi)業的(de)(de)企(qi)(qi)業負責(ze)人(ren)進(jin)行任免、考核(he),并(bing)根據(ju)考核(he)結果(guo)對(dui)其(qi)(qi)進(jin)行獎懲;(5)通(tong)過統計、稽(ji)核(he)等方式對(dui)企(qi)(qi)業國(guo)(guo)(guo)有(you)(you)資(zi)(zi)產(chan)(chan)的(de)(de)報保值增值情況(kuang)進(jin)行監(jian)(jian)(jian)管(guan);(6)履行出(chu)(chu)資(zi)(zi)人(ren)的(de)(de)其(qi)(qi)他職責(ze)和(he)承辦本級(ji)政府(fu)(fu)交(jiao)辦的(de)(de)其(qi)(qi)他事項。此外(wai),國(guo)(guo)(guo)務(wu)(wu)院國(guo)(guo)(guo)資(zi)(zi)委還可以(yi)(yi)制(zhi)定(ding)企(qi)(qi)業國(guo)(guo)(guo)有(you)(you)資(zi)(zi)產(chan)(chan)監(jian)(jian)(jian)管(guan)的(de)(de)規(gui)(gui)章、制(zhi)度(du)。

針對國(guo)(guo)有(you)(you)企(qi)業(ye)改制(zhi)(zhi)為國(guo)(guo)有(you)(you)獨資(zi)公(gong)司(si)的(de)現實,《公(gong)司(si)法(fa)》明確規定(ding),各(ge)級人民(min)政府國(guo)(guo)有(you)(you)資(zi)產(chan)監(jian)督(du)管(guan)理(li)機構對國(guo)(guo)有(you)(you)獨資(zi)公(gong)司(si)履行出資(zi)人職(zhi)責(ze)(第(di)(di)65條(tiao))。國(guo)(guo)有(you)(you)獨資(zi)公(gong)司(si)不設股東會(hui),由(you)(you)國(guo)(guo)有(you)(you)資(zi)產(chan)監(jian)督(du)管(guan)理(li)機構行使股東會(hui)職(zhi)權,委派非由(you)(you)職(zhi)工代表擔(dan)任的(de)董事(shi)、監(jian)事(shi),指定(ding)董事(shi)長、副董事(shi)長、監(jian)事(shi)會(hui)主席,制(zhi)(zhi)定(ding)或審定(ding)公(gong)司(si)章程等(第(di)(di)66條(tiao)、第(di)(di)67條(tiao)、第(di)(di)68條(tiao)、第(di)(di)71條(tiao))。
此外,為依法履行出資(zi)人(ren)職(zhi)責,做好企業國有資(zi)產(chan)監督管理工作(zuo)(zuo),國務院(yuan)國資(zi)委(wei)以及財政部(bu)、中(zhong)國證監會等有關(guan)部(bu)門(men)(men)先后頒(ban)布了一些(xie)部(bu)門(men)(men)規(gui)章(zhang),對相應的(de)事項作(zuo)(zuo)出了專門(men)(men)規(gui)定。這些(xie)部(bu)門(men)(men)規(gui)章(zhang)也構成(cheng)了國務院(yuan)國資(zi)委(wei)依法履行出資(zi)人(ren)職(zhi)責的(de)法律依據。
最后,需要指出的是,十屆全國人大已經將《國有資產法》列入了全國人大立法規劃,現已經開始組織有關方面進行起草工作,該法出臺后,將會進一步促進國務院國資委依法行使出資人職責,促進國有資產保值增值工作。
總之(zhi),各級人(ren)民政府的(de)(de)國有資產(chan)監督管理機構作為代表(biao)國家履(lv)行(xing)出資人(ren)職責(ze)的(de)(de)特設機構,在行(xing)權履(lv)責(ze)時所主(zhu)要遵循(xun)的(de)(de)就是現行(xing)《公司法(fa)》、《企業法(fa)》、《條例(li)》及其(qi)配套(tao)的(de)(de)規(gui)章和規(gui)范性文(wen)件(jian)。
3.科學把握行權履責(ze)中的國有(you)企(qi)業功能
一般而言,國(guo)有企業和國(guo)有經(jing)濟(ji)主要發揮(hui)以下三(san)個層(ceng)次(ci)(ci)的功(gong)能(neng):一是(shi)保(bao)障供(gong)給的功(gong)能(neng),即(ji)保(bao)障公(gong)共(gong)產品和私人不愿投資(zi)(zi)的非公(gong)共(gong)產品的供(gong)給;二是(shi)穩定經(jing)濟(ji)發展(zhan)(zhan)的功(gong)能(neng),即(ji)確保(bao)國(guo)有經(jing)濟(ji)在國(guo)民經(jing)濟(ji)發展(zhan)(zhan)中發揮(hui)主導作用(yong),維護國(guo)民經(jing)濟(ji)持續穩定發展(zhan)(zhan);三(san)是(shi)實現(xian)(xian)資(zi)(zi)產增值的功(gong)能(neng),即(ji)確保(bao)國(guo)有資(zi)(zi)產運營效益,實現(xian)(xian)國(guo)有資(zi)(zi)產保(bao)值增值。國(guo)有資(zi)(zi)產管(guan)理機(ji)構(gou)的目(mu)標就是(shi)要實現(xian)(xian)國(guo)有經(jing)濟(ji)上述三(san)個層(ceng)次(ci)(ci)的功(gong)能(neng)。
國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)和(he)(he)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)產(chan)的(de)(de)(de)(de)主(zhu)要(yao)(yao)(yao)功能要(yao)(yao)(yao)求(qiu)(qiu)出(chu)資(zi)(zi)人對國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)進行分類管理。我(wo)國(guo)(guo)(guo)(guo)(guo)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)可(ke)(ke)分為(wei)兩類,一(yi)(yi)(yi)(yi)類是極少數(shu)關(guan)(guan)(guan)系(xi)經(jing)(jing)(jing)(jing)濟命脈(mo)、國(guo)(guo)(guo)(guo)(guo)家安全、提(ti)供(gong)重要(yao)(yao)(yao)公(gong)(gong)(gong)共(gong)產(chan)品(pin)和(he)(he)服務,以(yi)及(ji)自然(ran)壟斷(duan)行業(ye)(ye)(ye)的(de)(de)(de)(de)重要(yao)(yao)(yao)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)。如電(dian)網(wang)、電(dian)訊、軍工、石(shi)油(you)和(he)(he)大型基礎設施等領(ling)(ling)域(yu)的(de)(de)(de)(de)重要(yao)(yao)(yao)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)。另一(yi)(yi)(yi)(yi)類是競爭(zheng)(zheng)性企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)。第一(yi)(yi)(yi)(yi)類企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)是政府進行公(gong)(gong)(gong)共(gong)管理、實現公(gong)(gong)(gong)共(gong)目標的(de)(de)(de)(de)重要(yao)(yao)(yao)資(zi)(zi)源,發(fa)揮保障(zhang)公(gong)(gong)(gong)共(gong)產(chan)品(pin)供(gong)給、穩(wen)定經(jing)(jing)(jing)(jing)濟發(fa)展的(de)(de)(de)(de)重要(yao)(yao)(yao)作用(yong)。十六大和(he)(he)十六屆三中(zhong)、五中(zhong)全會(hui)精神,都明確要(yao)(yao)(yao)求(qiu)(qiu)加快調整國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)經(jing)(jing)(jing)(jing)濟布局和(he)(he)結構,完善國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)本有(you)(you)(you)(you)進有(you)(you)(you)(you)退、合理流動(dong)的(de)(de)(de)(de)機制(zhi),進一(yi)(yi)(yi)(yi)步(bu)推動(dong)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)本更多地投向關(guan)(guan)(guan)系(xi)國(guo)(guo)(guo)(guo)(guo)家安全和(he)(he)國(guo)(guo)(guo)(guo)(guo)民經(jing)(jing)(jing)(jing)濟命脈(mo)的(de)(de)(de)(de)重要(yao)(yao)(yao)行業(ye)(ye)(ye)和(he)(he)關(guan)(guan)(guan)鍵(jian)(jian)領(ling)(ling)域(yu),增強國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)經(jing)(jing)(jing)(jing)濟的(de)(de)(de)(de)控制(zhi)力(li)(li),發(fa)揮主(zhu)導作用(yong)。國(guo)(guo)(guo)(guo)(guo)務院(yuan)國(guo)(guo)(guo)(guo)(guo)資(zi)(zi)委(wei)監管的(de)(de)(de)(de)中(zhong)央企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)情(qing)況千差萬別,既包括關(guan)(guan)(guan)鍵(jian)(jian)領(ling)(ling)域(yu)的(de)(de)(de)(de)重點企(qi)(qi)(qi)(qi)業(ye)(ye)(ye),也(ye)有(you)(you)(you)(you)一(yi)(yi)(yi)(yi)般競爭(zheng)(zheng)性領(ling)(ling)域(yu)的(de)(de)(de)(de)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye);既有(you)(you)(you)(you)提(ti)供(gong)公(gong)(gong)(gong)共(gong)產(chan)品(pin)的(de)(de)(de)(de)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye),也(ye)有(you)(you)(you)(you)提(ti)供(gong)市(shi)場一(yi)(yi)(yi)(yi)般商品(pin)的(de)(de)(de)(de)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye);既有(you)(you)(you)(you)資(zi)(zi)產(chan)規模龐(pang)大的(de)(de)(de)(de)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye),也(ye)有(you)(you)(you)(you)資(zi)(zi)產(chan)規模很小的(de)(de)(de)(de)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)。國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)經(jing)(jing)(jing)(jing)濟戰(zhan)略性調整,需要(yao)(yao)(yao)明確哪(na)些(xie)(xie)(xie)需要(yao)(yao)(yao)以(yi)“進”為(wei)主(zhu),哪(na)些(xie)(xie)(xie)需要(yao)(yao)(yao)逐(zhu)步(bu)退出(chu);哪(na)些(xie)(xie)(xie)以(yi)承(cheng)擔社(she)會(hui)責任為(wei)主(zhu),哪(na)些(xie)(xie)(xie)不(bu)承(cheng)擔社(she)會(hui)責任只以(yi)盈利為(wei)目的(de)(de)(de)(de)。但是,國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)經(jing)(jing)(jing)(jing)濟布局和(he)(he)結構調整不(bu)是一(yi)(yi)(yi)(yi)勞(lao)永(yong)逸的(de)(de)(de)(de),而(er)是長期的(de)(de)(de)(de)。哪(na)些(xie)(xie)(xie)產(chan)品(pin)、哪(na)些(xie)(xie)(xie)領(ling)(ling)域(yu),國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)經(jing)(jing)(jing)(jing)濟應該保障(zhang)供(gong)給、保持(chi)控制(zhi)力(li)(li)又是動(dong)態的(de)(de)(de)(de),隨著(zhu)我(wo)國(guo)(guo)(guo)(guo)(guo)社(she)會(hui)主(zhu)義(yi)市(shi)場經(jing)(jing)(jing)(jing)濟體(ti)制(zhi)的(de)(de)(de)(de)建立和(he)(he)完善,一(yi)(yi)(yi)(yi)些(xie)(xie)(xie)產(chan)品(pin)過去需要(yao)(yao)(yao)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)保障(zhang)供(gong)給,現在(zai)可(ke)(ke)能其(qi)他企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)也(ye)可(ke)(ke)供(gong)給;一(yi)(yi)(yi)(yi)些(xie)(xie)(xie)過去應由(you)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)經(jing)(jing)(jing)(jing)濟保持(chi)控制(zhi)力(li)(li)的(de)(de)(de)(de)領(ling)(ling)域(yu)已逐(zhu)步(bu)放開,如商業(ye)(ye)(ye)流動(dong)領(ling)(ling)域(yu)等。
此外,國(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)(chan)要承(cheng)擔社會(hui)公(gong)(gong)共(gong)責(ze)任,但也(ye)要實(shi)(shi)現(xian)保(bao)(bao)值(zhi)(zhi)(zhi)增(zeng)(zeng)(zeng)(zeng)值(zhi)(zhi)(zhi)。特別是(shi)(shi)(shi)競爭性企(qi)業(ye),一(yi)般不(bu)(bu)(bu)承(cheng)擔公(gong)(gong)益(yi)職(zhi)能,更應(ying)以(yi)贏利為(wei)目(mu)標(biao),實(shi)(shi)現(xian)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)(chan)保(bao)(bao)值(zhi)(zhi)(zhi)增(zeng)(zeng)(zeng)(zeng)值(zhi)(zhi)(zhi)。國(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)(chan)保(bao)(bao)值(zhi)(zhi)(zhi)增(zeng)(zeng)(zeng)(zeng)值(zhi)(zhi)(zhi)主要通過(guo)國(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)(chan)保(bao)(bao)值(zhi)(zhi)(zhi)增(zeng)(zeng)(zeng)(zeng)值(zhi)(zhi)(zhi)率指標(biao)反(fan)映,體現(xian)經(jing)營(ying)期內企(qi)業(ye)國(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)(chan)運(yun)營(ying)效(xiao)益(yi)與安全狀況。從企(qi)業(ye)運(yun)營(ying)角度出發,企(qi)業(ye)運(yun)營(ying)目(mu)標(biao)應(ying)該(gai)(gai)是(shi)(shi)(shi)實(shi)(shi)現(xian)股(gu)東權益(yi)最大(da)化(hua),國(guo)有(you)(you)公(gong)(gong)司按理也(ye)不(bu)(bu)(bu)應(ying)例外。沒有(you)(you)要求國(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)(chan)保(bao)(bao)值(zhi)(zhi)(zhi)增(zeng)(zeng)(zeng)(zeng)值(zhi)(zhi)(zhi)率達到一(yi)定水平(ping),僅提國(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)(chan)保(bao)(bao)值(zhi)(zhi)(zhi)增(zeng)(zeng)(zeng)(zeng)值(zhi)(zhi)(zhi)應(ying)該(gai)(gai)說(shuo)是(shi)(shi)(shi)國(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)(chan)運(yun)營(ying)的(de)(de)基本要求。國(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)(chan)運(yun)營(ying)效(xiao)益(yi)的(de)(de)評判具有(you)(you)一(yi)定的(de)(de)復(fu)雜性。一(yi)是(shi)(shi)(shi)國(guo)有(you)(you)公(gong)(gong)司承(cheng)擔社會(hui)公(gong)(gong)共(gong)職(zhi)責(ze),在多大(da)程(cheng)度上影響了公(gong)(gong)司的(de)(de)經(jing)營(ying)業(ye)績,往往難以(yi)度量。二是(shi)(shi)(shi)國(guo)有(you)(you)公(gong)(gong)司市場(chang)化(hua)不(bu)(bu)(bu)充分,缺乏參照系,國(guo)有(you)(you)公(gong)(gong)司盈(ying)(ying)利狀況受到眾多因素(su)影響,盈(ying)(ying)利水平(ping)高可以(yi)是(shi)(shi)(shi)經(jing)營(ying)環(huan)境(jing)的(de)(de)好轉(zhuan),不(bu)(bu)(bu)一(yi)定完全是(shi)(shi)(shi)經(jing)營(ying)者的(de)(de)功勞;反(fan)之(zhi),盈(ying)(ying)利水平(ping)低也(ye)可能是(shi)(shi)(shi)由于(yu)經(jing)營(ying)環(huan)境(jing)惡化(hua)所致。三(san)是(shi)(shi)(shi)國(guo)資(zi)(zi)(zi)(zi)(zi)委“通過(guo)統(tong)計、稽核等方式對企(qi)業(ye)國(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)(chan)的(de)(de)保(bao)(bao)值(zhi)(zhi)(zhi)增(zeng)(zeng)(zeng)(zeng)值(zhi)(zhi)(zhi)進(jin)行監(jian)管”,并(bing)不(bu)(bu)(bu)是(shi)(shi)(shi)國(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)本運(yun)營(ying)實(shi)(shi)體,國(guo)有(you)(you)企(qi)業(ye)是(shi)(shi)(shi)國(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)(chan)保(bao)(bao)值(zhi)(zhi)(zhi)增(zeng)(zeng)(zeng)(zeng)值(zhi)(zhi)(zhi)的(de)(de)主體,即使每(mei)個國(guo)有(you)(you)公(gong)(gong)司實(shi)(shi)現(xian)股(gu)東權益(yi)最大(da)化(hua),也(ye)不(bu)(bu)(bu)等于(yu)整體國(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)本運(yun)營(ying)效(xiao)益(yi)最優(you)。
(二)現(xian)階(jie)段國資委行權(quan)履(lv)責的有限性
上述分析表(biao)明(ming),國(guo)(guo)資(zi)委既不(bu)同(tong)于(yu)(yu)對全社會進(jin)行公共管理的(de)(de)政(zheng)府行政(zheng)機構,也不(bu)同(tong)于(yu)(yu)一(yi)般(ban)的(de)(de)企(qi)事業單位,而是(shi)根據授權代表(biao)國(guo)(guo)務院履行國(guo)(guo)有(you)(you)(you)資(zi)產出(chu)資(zi)人(ren)職責(ze)的(de)(de)、專門承擔國(guo)(guo)有(you)(you)(you)資(zi)產監管職責(ze)的(de)(de)特殊機構。由于(yu)(yu)目前各方面改(gai)革的(de)(de)階段性,現階段國(guo)(guo)資(zi)委行權履責(ze)表(biao)現出(chu)許(xu)多有(you)(you)(you)限性特征。需要(yao)強調的(de)(de)是(shi),這些有(you)(you)(you)限性是(shi)現階段國(guo)(guo)有(you)(you)(you)資(zi)產管理體(ti)制改(gai)革的(de)(de)產物,也需要(yao)接受國(guo)(guo)有(you)(you)(you)資(zi)產管理體(ti)制改(gai)革的(de)(de)進(jin)一(yi)步檢驗。
1. 有(you)限范(fan)圍
“三定(ding)”方(fang)案明確國務(wu)(wu)院(yuan)國資(zi)(zi)委的(de)監管范圍為非金(jin)(jin)融(rong)類經(jing)營(ying)性國有(you)資(zi)(zi)產。《條例》也(ye)只適用于(yu)國有(you)及國有(you)控(kong)股企(qi)(qi)業(ye)、國有(you)參股企(qi)(qi)業(ye)中的(de)國有(you)資(zi)(zi)產,不(bu)適用于(yu)金(jin)(jin)融(rong)機構中國有(you)資(zi)(zi)產。2003年10月21日國務(wu)(wu)院(yuan)授權國務(wu)(wu)院(yuan)國資(zi)(zi)委履行出(chu)資(zi)(zi)人職責的(de)企(qi)(qi)業(ye)為189家,后(hou)來增加到(dao)196家,經(jing)過三年多的(de)重組目前為166家。
地(di)方國(guo)資(zi)(zi)(zi)委(wei)(wei)的監(jian)(jian)管范圍(wei)由地(di)方政府確定,并沒有強(qiang)調一定要與(yu)(yu)國(guo)務(wu)院國(guo)資(zi)(zi)(zi)委(wei)(wei)完全一致。從(cong)目前(qian)實際情況看,大多數地(di)方國(guo)資(zi)(zi)(zi)委(wei)(wei)與(yu)(yu)國(guo)務(wu)院國(guo)資(zi)(zi)(zi)委(wei)(wei)監(jian)(jian)管范圍(wei)基本一致。少(shao)數地(di)方國(guo)資(zi)(zi)(zi)委(wei)(wei)監(jian)(jian)管范圍(wei)更(geng)寬一些(xie),拓展到了(le)金融類經(jing)(jing)(jing)營(ying)性(xing)資(zi)(zi)(zi)產(chan)(chan)和非經(jing)(jing)(jing)營(ying)性(xing)資(zi)(zi)(zi)產(chan)(chan)。如上海市通過委(wei)(wei)托的辦法對行政事業(ye)(ye)(ye)性(xing)國(guo)有資(zi)(zi)(zi)產(chan)(chan)實施監(jian)(jian)管;南寧(ning)市國(guo)資(zi)(zi)(zi)委(wei)(wei)下(xia)設一個威(wei)寧(ning)公司,負責管理行政事業(ye)(ye)(ye)單(dan)位中(zhong)的房產(chan)(chan)及經(jing)(jing)(jing)營(ying)性(xing)國(guo)有資(zi)(zi)(zi)產(chan)(chan);吉(ji)林(lin)省(sheng)國(guo)資(zi)(zi)(zi)委(wei)(wei)除監(jian)(jian)管省(sheng)級企(qi)業(ye)(ye)(ye)國(guo)有資(zi)(zi)(zi)產(chan)(chan)外,還監(jian)(jian)管地(di)方性(xing)金融類企(qi)業(ye)(ye)(ye)的國(guo)有資(zi)(zi)(zi)產(chan)(chan);江西省(sheng)政府將部分原隸屬于院校的國(guo)有企(qi)業(ye)(ye)(ye)授權省(sheng)國(guo)資(zi)(zi)(zi)委(wei)(wei)履行出資(zi)(zi)(zi)人(ren)職責。

2. 有限角色
從(cong)國(guo)(guo)(guo)務院國(guo)(guo)(guo)資(zi)委(wei)(wei)與中(zhong)央企(qi)(qi)(qi)業(ye)(ye)的(de)關系(xi)看,目前國(guo)(guo)(guo)資(zi)委(wei)(wei)直(zhi)接(jie)監(jian)管的(de)中(zhong)央企(qi)(qi)(qi)業(ye)(ye)既(ji)有(you)按《企(qi)(qi)(qi)業(ye)(ye)法(fa)》注(zhu)冊(ce)的(de)企(qi)(qi)(qi)業(ye)(ye),也有(you)按《公(gong)司(si)(si)法(fa)》注(zhu)冊(ce)的(de)公(gong)司(si)(si)。按《企(qi)(qi)(qi)業(ye)(ye)法(fa)》注(zhu)冊(ce)的(de)企(qi)(qi)(qi)業(ye)(ye),將(jiang)逐步轉制為按《公(gong)司(si)(si)法(fa)》注(zhu)冊(ce)的(de)公(gong)司(si)(si)。國(guo)(guo)(guo)資(zi)委(wei)(wei)對于直(zhi)接(jie)監(jian)管的(de)公(gong)司(si)(si)是(shi)出資(zi)人代表(biao),擔當股東(dong)角(jiao)色。如(ru)果(guo)直(zhi)接(jie)監(jian)管的(de)公(gong)司(si)(si)是(shi)國(guo)(guo)(guo)有(you)獨資(zi)公(gong)司(si)(si),國(guo)(guo)(guo)資(zi)委(wei)(wei)行使股東(dong)會(hui)(hui)的(de)職(zhi)(zhi)責(ze),即《公(gong)司(si)(si)法(fa)》規定的(de)股東(dong)會(hui)(hui)的(de)11項職(zhi)(zhi)權。但(dan)(dan)實際上,國(guo)(guo)(guo)資(zi)委(wei)(wei)還可以(yi)將(jiang)部分職(zhi)(zhi)權授(shou)予公(gong)司(si)(si)董事會(hui)(hui)。從(cong)法(fa)理(li)和規定看,不管國(guo)(guo)(guo)資(zi)委(wei)(wei)如(ru)何(he)行權履責(ze),但(dan)(dan)根本的(de)一條是(shi)不能直(zhi)接(jie)干預(yu)企(qi)(qi)(qi)業(ye)(ye)的(de)經營活動。
從國(guo)(guo)務(wu)(wu)院國(guo)(guo)資(zi)委(wei)(wei)(wei)與地(di)方(fang)國(guo)(guo)資(zi)委(wei)(wei)(wei)的(de)關系(xi)看,十(shi)六(liu)大(da)明確提出了“國(guo)(guo)家所有(you)(you),分(fen)級行(xing)使產權(quan)(quan)”(由國(guo)(guo)務(wu)(wu)院和地(di)方(fang)人(ren)民政府(fu)(fu)分(fen)別代表(biao)國(guo)(guo)家履行(xing)出資(zi)人(ren)職責(ze)(ze),享(xiang)有(you)(you)所有(you)(you)者(zhe)權(quan)(quan)益(yi))的(de)國(guo)(guo)有(you)(you)資(zi)產管理(li)原則(ze)。地(di)方(fang)政府(fu)(fu)依法授權(quan)(quan)地(di)方(fang)國(guo)(guo)資(zi)委(wei)(wei)(wei)對(dui)其所轄(xia)企業(ye)行(xing)使出資(zi)人(ren)職責(ze)(ze),享(xiang)有(you)(you)所有(you)(you)者(zhe)權(quan)(quan)益(yi),可(ke)以自(zi)行(xing)決定包括國(guo)(guo)有(you)(you)股權(quan)(quan)轉讓、拍(pai)賣(mai)等事宜,擁有(you)(you)國(guo)(guo)有(you)(you)資(zi)產處置權(quan)(quan)力(li)。國(guo)(guo)務(wu)(wu)院國(guo)(guo)資(zi)委(wei)(wei)(wei)和地(di)方(fang)國(guo)(guo)資(zi)委(wei)(wei)(wei)分(fen)別對(dui)同級人(ren)民政府(fu)(fu)負(fu)責(ze)(ze),國(guo)(guo)務(wu)(wu)院國(guo)(guo)資(zi)委(wei)(wei)(wei)對(dui)地(di)方(fang)國(guo)(guo)資(zi)委(wei)(wei)(wei)進行(xing)業(ye)務(wu)(wu)工作指導和監督。地(di)方(fang)國(guo)(guo)資(zi)委(wei)(wei)(wei)與國(guo)(guo)務(wu)(wu)院國(guo)(guo)資(zi)委(wei)(wei)(wei)并非隸屬關系(xi),兩者(zhe)作為企業(ye)的(de)出資(zi)人(ren),是平等的(de)利益(yi)主(zhu)體。
因(yin)此(ci),從(cong)上(shang)述兩(liang)方面(mian)看,國務院(yuan)國資(zi)(zi)委無論是(shi)對所出資(zi)(zi)的(de)中央企業,還(huan)是(shi)對地方國資(zi)(zi)委,只能(neng)是(shi)“有限的(de)角色”。

三、國資委如何(he)依法履行出資人職責
(一)未來一段時間國資委機(ji)構演(yan)變趨勢展望
按照黨(dang)中央、國(guo)(guo)務院(yuan)確立(li)(li)的(de)國(guo)(guo)資委的(de)使(shi)命(ming)--搞好國(guo)(guo)有(you)企業(ye)、推(tui)進(jin)企業(ye)自主(zhu)創新、推(tui)動國(guo)(guo)有(you)經濟布局和結構的(de)戰略(lve)性調整、實現(xian)國(guo)(guo)有(you)資產保值增值。在過去的(de)3年多時(shi)間里,國(guo)(guo)資委初步(bu)完(wan)成了第(di)一階(jie)段(duan)的(de)目標--平穩(wen)、規范起(qi)步(bu):組織機構搭建(jian)起(qi)來了,法(fa)律法(fa)規體系初步(bu)確立(li)(li),考核、薪酬、產權管理、清產核資、市場化選聘人才(cai)等(deng)管人、管事、管資產的(de)機制(zhi)初步(bu)建(jian)立(li)(li)并開始(shi)運轉。
第一(yi)階段目標完成(cheng)后(hou),國資(zi)(zi)委步入第二個重要發展(zhan)階段--2006-2008年,按照國務院國資(zi)(zi)委當前(qian)的(de)(de)工作部(bu)署及(ji)機構運行的(de)(de)軌跡,到(dao)2008年,應當完成(cheng)的(de)(de)第二階段的(de)(de)新目標主要應當包括(kuo)以(yi)下三個方面:大部(bu)分中(zhong)央企(qi)業(ye)建(jian)立起比較規范的(de)(de)董事會和(he)較為完善(shan)的(de)(de)法人治理結(jie)構,現代企(qi)業(ye)制(zhi)度(du)(du)初(chu)步確(que)立;國有資(zi)(zi)本經(jing)營(ying)預算(suan)制(zhi)度(du)(du)初(chu)步建(jian)立;中(zhong)央企(qi)業(ye)的(de)(de)戶數、管理的(de)(de)層級進(jin)一(yi)步精減,集團控制(zhi)力進(jin)一(yi)步增強,主業(ye)更(geng)加明確(que),資(zi)(zi)產(chan)經(jing)營(ying)公(gong)司(si)開始試(shi)點和(he)運轉。
圍繞黨中(zhong)央、國(guo)(guo)(guo)務院確(que)(que)立的(de)使命,借鑒淡馬錫的(de)運(yun)作(zuo)模式,在完成第二階段確(que)(que)定(ding)的(de)目標(biao)之后(hou),2008年之后(hou),國(guo)(guo)(guo)資(zi)委應當著力實現的(de)目標(biao)至少應當包括以下三(san)個方面:推動國(guo)(guo)(guo)有經濟布局和結構(gou)的(de)戰(zhan)略性調(diao)整;培育(yu)成功企業,提升企業核心競爭(zheng)力;推動企業跨國(guo)(guo)(guo)經營。
(二)對(dui)國資委內部的(de)機(ji)構(gou)設(she)置與(yu)運(yun)作高效的(de)要(yao)求
1、國資(zi)委機構應具備的特性
為適(shi)應變(bian)革,國(guo)資委機構除了必須要有準確的職責定位外,還應當具有以下四個(ge)特性:
一是機構(gou)內部(bu)必(bi)須始終強調協作(zuo)性。在過去(qu)3年多時間里(li),國(guo)資委(wei)內部(bu)機構(gou)之間圍繞委(wei)里(li)的(de)定位和(he)(he)使命,形(xing)(xing)成了比(bi)較良好的(de)協作(zuo)關系,這(zhe)(zhe)為樹立(li)國(guo)資委(wei)的(de)新形(xing)(xing)象(xiang),完成第一階段(duan)的(de)起步目(mu)標奠定了重(zhong)要的(de)基礎。但運(yun)作(zuo)一段(duan)時間后,目(mu)前已經出現一種苗(miao)頭(tou),即(ji)各內設機構(gou)之間開始強化自(zi)己的(de)職能,相(xiang)互配合與(yu)協作(zuo)趨于弱(ruo)化,這(zhe)(zhe)不利(li)于國(guo)資委(wei)工作(zuo)形(xing)(xing)成“拳(quan)頭(tou)”與(yu)合力,容易形(xing)(xing)成內耗(hao),降低工作(zuo)質量(liang)和(he)(he)效率。
二是機(ji)構(gou)設置(zhi)必(bi)須具有一(yi)定的(de)適(shi)應(ying)性(xing)(xing)(xing)。國資委(wei)面臨的(de)環(huan)境(jing)在(zai)變(bian)(bian),任務在(zai)變(bian)(bian),因此,自身機(ji)構(gou)必(bi)須隨(sui)著(zhu)環(huan)境(jing)的(de)變(bian)(bian)化而相應(ying)調(diao)整,機(ji)構(gou)設置(zhi)要(yao)有一(yi)定的(de)彈性(xing)(xing)(xing),而且最好是內部主(zhu)動作(zuo)適(shi)應(ying)性(xing)(xing)(xing)調(diao)整。
這是由國資委的機構(gou)特性和工(gong)作對(dui)象(xiang)所決定的,它不同于政府公共機構(gou),它要隨著企業(ye)自(zi)身、環境及國際條件的變化而對(dui)其內設(she)機構(gou)作相應的調整(zheng)。
三是機(ji)構必(bi)須具有(you)(you)較強的(de)(de)(de)(de)(de)學(xue)(xue)習性。國資委(wei)的(de)(de)(de)(de)(de)干部大部分來自黨政機(ji)關(guan),多年來形成的(de)(de)(de)(de)(de)業(ye)務專長和(he)(he)(he)工作技(ji)能(neng)與履行出資人(ren)職責所要(yao)求(qiu)的(de)(de)(de)(de)(de)素(su)質和(he)(he)(he)能(neng)力有(you)(you)不小的(de)(de)(de)(de)(de)偏差,雖然經過3年多的(de)(de)(de)(de)(de)適應,大家在意識和(he)(he)(he)能(neng)力方(fang)面有(you)(you)不少(shao)的(de)(de)(de)(de)(de)進(jin)步,但深度(du)還遠(yuan)遠(yuan)不夠,如果再(zai)考慮到未來3-5年所要(yao)完成的(de)(de)(de)(de)(de)第(di)二階(jie)段(主(zhu)要(yao)側重(zhong)于(yu)微觀和(he)(he)(he)中觀層次)、第(di)三階(jie)段(主(zhu)要(yao)側重(zhong)于(yu)中觀和(he)(he)(he)宏觀層次)的(de)(de)(de)(de)(de)目標和(he)(he)(he)任務,則對國資委(wei)的(de)(de)(de)(de)(de)每一個人(ren)來說,都提出了更高的(de)(de)(de)(de)(de)要(yao)求(qiu),要(yao)不辱使(shi)命,國資委(wei)必(bi)須變成一個學(xue)(xue)習型的(de)(de)(de)(de)(de)組織(zhi),要(yao)比其它政府機(ji)構有(you)(you)更強的(de)(de)(de)(de)(de)學(xue)(xue)習能(neng)力。
四是(shi)機(ji)(ji)(ji)構必(bi)須具(ju)有(you)較強(qiang)的(de)(de)兼容(rong)性。國(guo)(guo)資委(wei)(wei)的(de)(de)工(gong)作(zuo)極具(ju)探索(suo)性和(he)(he)(he)挑戰性,沒有(you)現成的(de)(de)模式(shi)和(he)(he)(he)經(jing)驗(yan)可供借(jie)鑒,很多工(gong)作(zuo)需要(yao)(yao)一邊(bian)(bian)學習(xi),一邊(bian)(bian)探索(suo),一邊(bian)(bian)完善,這就要(yao)(yao)求國(guo)(guo)資委(wei)(wei)的(de)(de)所有(you)內設機(ji)(ji)(ji)構要(yao)(yao)勇(yong)于開拓(tuo),勇(yong)于探索(suo),要(yao)(yao)有(you)膽(dan)識,要(yao)(yao)有(you)氣魄。同(tong)時(shi),作(zuo)為一個新機(ji)(ji)(ji)構,要(yao)(yao)有(you)兼容(rong)性,既要(yao)(yao)學習(xi)國(guo)(guo)外的(de)(de)先進經(jing)驗(yan),學習(xi)國(guo)(guo)內一些地方國(guo)(guo)資監管機(ji)(ji)(ji)構和(he)(he)(he)企業在實踐中(zhong)總(zong)結出來的(de)(de)好的(de)(de)經(jing)驗(yan),但(dan)同(tong)時(shi)也要(yao)(yao)考慮中(zhong)國(guo)(guo)的(de)(de)國(guo)(guo)情和(he)(he)(he)中(zhong)央企業的(de)(de)實際,不照辦硬套,要(yao)(yao)有(you)“博大的(de)(de)胸懷(huai)”和(he)(he)(he)較強(qiang)的(de)(de)包容(rong)性。
總之,按照新的(de)國(guo)(guo)(guo)有資(zi)(zi)產監管(guan)(guan)(guan)體制(zhi)的(de)要求,從出(chu)資(zi)(zi)人(ren)的(de)職(zhi)能(neng)發揮和管(guan)(guan)(guan)理效率兩(liang)個方面明(ming)確(que)(que)國(guo)(guo)(guo)資(zi)(zi)委(wei)定(ding)位,調整(zheng)(zheng)國(guo)(guo)(guo)資(zi)(zi)委(wei)機關(guan)的(de)管(guan)(guan)(guan)理職(zhi)能(neng);根據(ju)國(guo)(guo)(guo)資(zi)(zi)監管(guan)(guan)(guan)機構(gou)的(de)任務、管(guan)(guan)(guan)理幅度(du)、管(guan)(guan)(guan)理水平(ping)以及(ji)其(qi)(qi)他相關(guan)因素,調整(zheng)(zheng)設計國(guo)(guo)(guo)資(zi)(zi)監管(guan)(guan)(guan)機構(gou)的(de)管(guan)(guan)(guan)理模式;明(ming)確(que)(que)出(chu)資(zi)(zi)人(ren)與(yu)各中央(yang)企業(ye)總部(bu)(bu)、中央(yang)企業(ye)董事會(hui)、監事會(hui)及(ji)其(qi)(qi)成員的(de)關(guan)系。依據(ju)國(guo)(guo)(guo)資(zi)(zi)監管(guan)(guan)(guan)機構(gou)職(zhi)能(neng)定(ding)位,對國(guo)(guo)(guo)資(zi)(zi)監管(guan)(guan)(guan)機構(gou)關(guan)鍵管(guan)(guan)(guan)理職(zhi)能(neng)進行分解,并以此為前提設計合(he)理、高(gao)效的(de)組織(zhi)機構(gou),確(que)(que)定(ding)部(bu)(bu)門(men)(men),制(zhi)定(ding)部(bu)(bu)門(men)(men)職(zhi)責。
2、在2006-2008年過渡(du)階段,國資委機構要處(chu)理好的關系
在(zai)2006-2008年,國資委(wei)面臨(lin)的(de)改革、發展和制度(du)(du)建(jian)設任務將十分繁重,除(chu)了要鞏固第一(yi)階段已取得的(de)成績外(wai),更(geng)要推(tui)進(jin)現代企業制度(du)(du)、國有資本經營預算制度(du)(du)、資產經營公司體制的(de)建(jian)設和規(gui)范運轉,這是一(yi)個充(chong)滿(man)風險(xian)和挑戰,而又不能(neng)逾越的(de)階段,尤其是法人(ren)治(zhi)理結構問(wen)題更(geng)是必(bi)須全(quan)力解決(jue)的(de)核心問(wen)題。
第(di)一,進一步(bu)減少行政(zheng)管理色(se)彩(cai),強化出(chu)資人職能。
國資(zi)委的(de)(de)現有機構(gou)設(she)置(zhi)與實現第二階段目標所(suo)要求的(de)(de)機構(gou)框架不完全匹配。比如說,現有機構(gou)的(de)(de)設(she)置(zhi)沒(mei)有考慮(lv)推進(jin)國有獨資(zi)公(gong)司(si)設(she)立規范董事(shi)會的(de)(de)現實,更沒(mei)有考慮(lv)建(jian)立國有資(zi)本(ben)經營預算(suan)、推進(jin)國有資(zi)產經營公(gong)司(si)運(yun)作的(de)(de)客(ke)觀(guan)需(xu)要。下面,我們簡單(dan)對推進(jin)國有獨資(zi)公(gong)司(si)董事(shi)會工作與現有機構(gou)設(she)置(zhi)可能存(cun)在的(de)(de)矛盾進(jin)行剖析,以便進(jin)一步加深對機構(gou)調整必(bi)要性(xing)的(de)(de)認識(shi)。
根據《公司法》、國資委關于國有獨資公司董事會試點指導意見、試點企業董事會與國資委的關系等有關法律法規和政策的精神,在國有獨資公司建立規范的董事會之后,董事會是股東利益的忠實代表,是保護股東合法權益、體現股東意志的制度依托,是實現出資人職責到位的最終體現,同時,董事會還負責企業的重大決策,對企業進行戰略性監控,并負責選聘、評價、考核、激勵經理人員;經營層將主要承擔執行董事會決議的職責;而國資委承擔的是股東會的職責,主要是指導董事會工作。按照這種架構,國資委將來更多的是和董事會打交道,而不是像現在一樣主要和經營層以及公司的各個職能部門直接進行業務聯系。因此隨著企業董事會的建立,委內機構也應進行相應的調整。
另外,對于(yu)國資委擬著力推進的諸如國有(you)資本經營預算等(deng)制(zhi)度建設,委內(nei)部(bu)也(ye)應成立專門(men)的機(ji)構去統(tong)籌策劃(hua)、調(diao)研、協調(diao)與(yu)相關(guan)部(bu)門(men)的關(guan)系、進行(xing)(xing)方(fang)案的設計與(yu)論證、對相關(guan)工作人員進行(xing)(xing)事前培訓等(deng)。
第(di)二(er),完善試點(dian)企業法人治理結構過程中(zhong)要把握的幾個關系。
一(yi)是(shi)公(gong)司(si)(si)(si)治理(li)(li)中(zhong)分(fen)權(quan)制(zhi)(zhi)衡與股東(dong)(dong)會控(kong)制(zhi)(zhi)之間(jian)的(de)關系(xi)問題。黨的(de)十六(liu)屆(jie)三中(zhong)全會指出,按照現代企業制(zhi)(zhi)度要(yao)(yao)求,規范公(gong)司(si)(si)(si)股東(dong)(dong)會、董事(shi)會、監(jian)(jian)事(shi)會和(he)經(jing)營管理(li)(li)者的(de)權(quan)責,形(xing)成權(quan)力(li)機構(gou)、決策機構(gou)、監(jian)(jian)督機構(gou)和(he)經(jing)營管理(li)(li)者之間(jian)的(de)制(zhi)(zhi)衡機制(zhi)(zhi),這也將是(shi)國(guo)資(zi)委推進國(guo)有獨資(zi)公(gong)司(si)(si)(si)試(shi)點的(de)最終目的(de)和(he)擬遵循的(de)最重(zhong)要(yao)(yao)的(de)原(yuan)則(ze)。但在推進試(shi)點的(de)過程(cheng)中(zhong),需要(yao)(yao)認真研究(jiu)和(he)把握(wo)公(gong)司(si)(si)(si)治理(li)(li)制(zhi)(zhi)衡機制(zhi)(zhi)建設與股東(dong)(dong)會對公(gong)司(si)(si)(si)控(kong)制(zhi)(zhi)之間(jian)的(de)關系(xi),不(bu)應以相(xiang)互制(zhi)(zhi)衡為由來弱化股東(dong)(dong)會對公(gong)司(si)(si)(si)的(de)控(kong)制(zhi)(zhi)。淡馬錫控(kong)股和(he)愛立(li)信比較好(hao)地處理(li)(li)了(le)這種關系(xi)。
淡(dan)(dan)(dan)(dan)(dan)(dan)馬(ma)(ma)(ma)(ma)錫(xi)(xi)(xi)(xi)旗(qi)(qi)下(xia)的(de)(de)不少公(gong)司(si)是(shi)多元化持股(gu)的(de)(de)上(shang)市(shi)公(gong)司(si),在其(qi)旗(qi)(qi)下(xia)公(gong)司(si)涉及(ji)(ji)(ji)重大(da)決(jue)策(ce)時(shi),淡(dan)(dan)(dan)(dan)(dan)(dan)馬(ma)(ma)(ma)(ma)錫(xi)(xi)(xi)(xi)控股(gu)的(de)(de)決(jue)策(ce)程序,通常情況下(xia)是(shi)先由公(gong)司(si)執行層研究(jiu)提出方案,之后交由董(dong)事(shi)(shi)會研究(jiu)決(jue)定(ding)(ding)并報淡(dan)(dan)(dan)(dan)(dan)(dan)馬(ma)(ma)(ma)(ma)錫(xi)(xi)(xi)(xi)控股(gu)審議。淡(dan)(dan)(dan)(dan)(dan)(dan)馬(ma)(ma)(ma)(ma)錫(xi)(xi)(xi)(xi)控股(gu)及(ji)(ji)(ji)旗(qi)(qi)下(xia)形成(cheng)了一(yi)種(zhong)有效的(de)(de)工(gong)作(zuo)習慣,即在研究(jiu)和決(jue)定(ding)(ding)重大(da)決(jue)策(ce)時(shi),公(gong)司(si)執行層隨時(shi)與(yu)公(gong)司(si)董(dong)事(shi)(shi)及(ji)(ji)(ji)淡(dan)(dan)(dan)(dan)(dan)(dan)馬(ma)(ma)(ma)(ma)錫(xi)(xi)(xi)(xi)控股(gu)的(de)(de)相關部(bu)門進(jin)行溝(gou)通,公(gong)司(si)其(qi)它(ta)董(dong)事(shi)(shi)也隨時(shi)與(yu)淡(dan)(dan)(dan)(dan)(dan)(dan)馬(ma)(ma)(ma)(ma)錫(xi)(xi)(xi)(xi)控股(gu)指(zhi)派的(de)(de)董(dong)事(shi)(shi)及(ji)(ji)(ji)淡(dan)(dan)(dan)(dan)(dan)(dan)馬(ma)(ma)(ma)(ma)錫(xi)(xi)(xi)(xi)控股(gu)的(de)(de)高層進(jin)行溝(gou)通,以確保決(jue)策(ce)科學并符合(he)大(da)股(gu)東利益。也就是(shi)說,淡(dan)(dan)(dan)(dan)(dan)(dan)馬(ma)(ma)(ma)(ma)錫(xi)(xi)(xi)(xi)控股(gu)對旗(qi)(qi)下(xia)公(gong)司(si)董(dong)事(shi)(shi)會及(ji)(ji)(ji)執行層的(de)(de)影響(xiang)主(zhu)要有三個(ge)通道:一(yi)是(shi)淡(dan)(dan)(dan)(dan)(dan)(dan)馬(ma)(ma)(ma)(ma)錫(xi)(xi)(xi)(xi)控股(gu)總部(bu)派下(xia)去的(de)(de)董(dong)事(shi)(shi);二是(shi)其(qi)它(ta)聘任的(de)(de)外(wai)部(bu)董(dong)事(shi)(shi);三是(shi)淡(dan)(dan)(dan)(dan)(dan)(dan)馬(ma)(ma)(ma)(ma)錫(xi)(xi)(xi)(xi)控股(gu)總部(bu)各部(bu)門與(yu)旗(qi)(qi)下(xia)各公(gong)司(si)執行層良好的(de)(de)工(gong)作(zuo)關系。同時(shi),淡(dan)(dan)(dan)(dan)(dan)(dan)馬(ma)(ma)(ma)(ma)錫(xi)(xi)(xi)(xi)控股(gu)還在以下(xia)三個(ge)方面加(jia)強對旗(qi)(qi)下(xia)企業(ye)的(de)(de)監控:一(yi)是(shi)定(ding)(ding)期檢(jian)討企業(ye)運作(zuo)情況;二是(shi)定(ding)(ding)期與(yu)企業(ye)董(dong)事(shi)(shi)會面;三是(shi)親臨企業(ye)檢(jian)查(cha)企業(ye)運作(zuo)狀(zhuang)況。
愛(ai)立信(xin)對(dui)(dui)海外(wai)公(gong)(gong)司(si)(si)(si)的控制(zhi)問(wen)題也有(you)異曲(qu)同工之處。雖(sui)然愛(ai)立信(xin)集(ji)團(tuan)公(gong)(gong)司(si)(si)(si)對(dui)(dui)所屬公(gong)(gong)司(si)(si)(si)有(you)分權(quan)(quan)、有(you)授(shou)權(quan)(quan),但涉及到一些重(zhong)(zhong)大(da)事項(xiang)如投資(zi)、重(zhong)(zhong)大(da)經營策(ce)略等(deng)決策(ce)時,集(ji)團(tuan)公(gong)(gong)司(si)(si)(si)會(hui)凌駕(jia)于(yu)所屬公(gong)(gong)司(si)(si)(si)之上,即使所屬公(gong)(gong)司(si)(si)(si)是一個多元化(hua)持股公(gong)(gong)司(si)(si)(si)。這實質(zhi)上就是公(gong)(gong)司(si)(si)(si)的控制(zhi)問(wen)題。換句話(hua)說,分權(quan)(quan)、授(shou)權(quan)(quan)或(huo)相互(hu)制(zhi)衡(heng),是在(zai)出資(zi)人對(dui)(dui)公(gong)(gong)司(si)(si)(si)的控制(zhi)框(kuang)架下的制(zhi)度(du)安(an)排,而不是相反。
二是國(guo)(guo)際化(hua)(hua)經驗與(yu)本(ben)土化(hua)(hua)之(zhi)間(jian)的(de)關系問題。我(wo)們應借(jie)鑒(jian)發達國(guo)(guo)家(jia)公(gong)司治理(li)方面的(de)先(xian)進(jin)理(li)念(nian),但(dan)必須清醒地認(ren)識到,各種制(zhi)度(du)的(de)產生、規范運轉和(he)演變都(dou)有一個與(yu)之(zhi)相應的(de)社會(hui)、歷史、文化(hua)(hua)環(huan)境,在研(yan)究(jiu)和(he)推(tui)進(jin)國(guo)(guo)有獨資(zi)公(gong)司董事會(hui)試點過程中(zhong),我(wo)們要充分注(zhu)意國(guo)(guo)際化(hua)(hua)與(yu)本(ben)土化(hua)(hua)之(zhi)間(jian)的(de)關系問題,把視(shi)野(ye)放得更寬一些(xie)。由(you)于(yu)目(mu)前我(wo)國(guo)(guo)的(de)法治環(huan)境和(he)誠信制(zhi)度(du)及理(li)念(nian)建(jian)設尚處在發展過程之(zhi)中(zhong),因(yin)此要推(tui)進(jin)公(gong)司法人治理(li)結構建(jian)設,可能遇到的(de)困難會(hui)比設想(xiang)的(de)多,花費的(de)時(shi)間(jian)也會(hui)較長些(xie)。
我們以(yi)新(xin)加坡(po)(po)為(wei)例解析董事會建(jian)設時(shi)需要關注(zhu)的(de)(de)(de)一些體制以(yi)及政治文(wen)化環境(jing)的(de)(de)(de)異同。從總體上(shang)講,淡(dan)馬錫控股對旗下企(qi)(qi)業(ye)(ye)的(de)(de)(de)管控經(jing)驗(yan)對國(guo)(guo)資(zi)(zi)委(wei)履行好出資(zi)(zi)人(ren)職責,構建(jian)微觀企(qi)(qi)業(ye)(ye)制度(du)基礎,管理和監督好所(suo)出資(zi)(zi)企(qi)(qi)業(ye)(ye)國(guo)(guo)有(you)資(zi)(zi)產有(you)一定(ding)的(de)(de)(de)借鑒性(xing)。除了技術層面(mian)的(de)(de)(de)原因——都是(shi)代(dai)表國(guo)(guo)家(jia)履行出資(zi)(zi)人(ren)職責外,還(huan)有(you)三(san)點(dian)重要的(de)(de)(de)共同點(dian):一是(shi)從體制上(shang)來(lai)講,新(xin)加坡(po)(po)的(de)(de)(de)經(jing)濟是(shi)政府主(zhu)導型(xing)的(de)(de)(de)經(jing)濟,政府在(zai)整個國(guo)(guo)家(jia)的(de)(de)(de)經(jing)濟發展(zhan)中具(ju)有(you)很(hen)大(da)的(de)(de)(de)權威;二是(shi)新(xin)加坡(po)(po)的(de)(de)(de)華人(ren)占總人(ren)口的(de)(de)(de)70%以(yi)上(shang),文(wen)化傳(chuan)統(tong)及價(jia)值觀念(nian)有(you)一定(ding)的(de)(de)(de)相似(si)性(xing);三(san)是(shi)新(xin)加坡(po)(po)的(de)(de)(de)國(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)(在(zai)新(xin)加坡(po)(po)稱“政聯企(qi)(qi)業(ye)(ye)”)在(zai)國(guo)(guo)民(min)經(jing)濟中具(ju)有(you)較(jiao)強的(de)(de)(de)影響力。
但我國(guo)與(yu)新(xin)加(jia)坡至(zhi)少在三個方面有(you)著很大的(de)不同:一(yi)是(shi)(shi)新(xin)加(jia)坡法(fa)制十分(fen)(fen)健全,屬于“嚴刑酷法(fa)”,民眾十分(fen)(fen)守法(fa),信托責任(ren)比較健全;二是(shi)(shi)新(xin)加(jia)坡推行的(de)是(shi)(shi)“精英政府”策略,公務人員是(shi)(shi)社(she)會中最優秀的(de)人才(cai),收入及其(qi)它方面的(de)待(dai)遇也是(shi)(shi)社(she)會上最有(you)吸收力的(de);三是(shi)(shi)新(xin)加(jia)坡實行的(de)是(shi)(shi)資本(ben)主(zhu)義制度,國(guo)有(you)企業數量比較有(you)限。
因此(ci),在借(jie)鑒(jian)新加(jia)坡(po)企業法人治(zhi)(zhi)理結構和(he)董(dong)事會(hui)制(zhi)度建設時,我們(men)必(bi)須對中國和(he)新加(jia)坡(po)的(de)政(zheng)治(zhi)(zhi)社會(hui)環(huan)境的(de)差異有(you)清醒的(de)認識(shi),以便(bian)使董(dong)事會(hui)試點企業的(de)法人治(zhi)(zhi)理結構更(geng)加(jia)完善(shan)和(he)有(you)效(xiao)。
三是戰略方向與(yu)改(gai)革(ge)細節之間的(de)(de)(de)(de)關(guan)系(xi)問題。正如上(shang)面(mian)分析的(de)(de)(de)(de)那樣(yang),在原有(you)的(de)(de)(de)(de)體(ti)制(zhi)基礎上(shang),要(yao)引入(ru)(ru)一(yi)種(zhong)新的(de)(de)(de)(de)制(zhi)度(du)安排并不那么簡單(dan),從董(dong)事(shi)(shi)會(hui)(hui)內部制(zhi)度(du)建設(she)、董(dong)事(shi)(shi)的(de)(de)(de)(de)選聘(pin)、董(dong)事(shi)(shi)會(hui)(hui)與(yu)董(dong)事(shi)(shi)的(de)(de)(de)(de)評價、董(dong)事(shi)(shi)的(de)(de)(de)(de)薪酬、國資(zi)(zi)委與(yu)董(dong)事(shi)(shi)會(hui)(hui)的(de)(de)(de)(de)關(guan)系(xi)、董(dong)事(shi)(shi)會(hui)(hui)與(yu)經營層及黨委會(hui)(hui)的(de)(de)(de)(de)關(guan)系(xi),以及董(dong)事(shi)(shi)會(hui)(hui)試(shi)點工作推進(jin)與(yu)現有(you)制(zhi)度(du)環境的(de)(de)(de)(de)配套(tao)銜接等諸多方面(mian),都需要(yao)對每項制(zhi)度(du)的(de)(de)(de)(de)建立和完善的(de)(de)(de)(de)細節做深入(ru)(ru)的(de)(de)(de)(de)研究,都需要(yao)國資(zi)(zi)委內部機構之間的(de)(de)(de)(de)通(tong)力協(xie)作。
我們不(bu)妨(fang)以業(ye)(ye)績(ji)(ji)考(kao)(kao)核與(yu)薪酬制(zhi)度為(wei)例來審(shen)視一(yi)些(xie)(xie)細節問(wen)(wen)題(ti)。原(yuan)則上講,在(zai)規范的(de)(de)(de)(de)(de)(de)董事會(hui)建(jian)立后,對(dui)(dui)(dui)經營層的(de)(de)(de)(de)(de)(de)考(kao)(kao)核與(yu)獎懲(cheng)應(ying)當(dang)由董事會(hui)來實施,但(dan)需(xu)要(yao)(yao)仔細推敲(qiao)的(de)(de)(de)(de)(de)(de)是(shi):國資委(wei)是(shi)否(fou)需(xu)要(yao)(yao)指(zhi)(zhi)導(dao)董事會(hui)對(dui)(dui)(dui)經營層的(de)(de)(de)(de)(de)(de)考(kao)(kao)核與(yu)獎懲(cheng)?如果(guo)需(xu)要(yao)(yao)的(de)(de)(de)(de)(de)(de)話,指(zhi)(zhi)導(dao)應(ying)當(dang)把握的(de)(de)(de)(de)(de)(de)“度”是(shi)什(shen)么?其實,在(zai)這些(xie)(xie)問(wen)(wen)題(ti)的(de)(de)(de)(de)(de)(de)背后存在(zai)兩個潛在(zai)的(de)(de)(de)(de)(de)(de)問(wen)(wen)題(ti),一(yi)是(shi)如果(guo)不(bu)指(zhi)(zhi)導(dao),中(zhong)(zhong)央(yang)企(qi)業(ye)(ye)負責(ze)人(ren)的(de)(de)(de)(de)(de)(de)總的(de)(de)(de)(de)(de)(de)薪酬水平是(shi)否(fou)能控(kong)制(zhi)在(zai)中(zhong)(zhong)央(yang)和國務院領(ling)導(dao)的(de)(de)(de)(de)(de)(de)要(yao)(yao)求之內?因為(wei)每(mei)個企(qi)業(ye)(ye)的(de)(de)(de)(de)(de)(de)高(gao)管的(de)(de)(de)(de)(de)(de)薪酬由董事會(hui)根據(ju)各企(qi)業(ye)(ye)的(de)(de)(de)(de)(de)(de)業(ye)(ye)績(ji)(ji)來確定,很(hen)可能的(de)(de)(de)(de)(de)(de)結果(guo)是(shi)最后整(zheng)個中(zhong)(zhong)央(yang)企(qi)業(ye)(ye)匯總的(de)(de)(de)(de)(de)(de)薪酬水平是(shi)一(yi)個“失控(kong)”的(de)(de)(de)(de)(de)(de)結果(guo);二(er)是(shi)如果(guo)要(yao)(yao)控(kong)制(zhi)的(de)(de)(de)(de)(de)(de)話,依據(ju)是(shi)什(shen)么?是(shi)一(yi)個個企(qi)業(ye)(ye)董事會(hui)對(dui)(dui)(dui)經營層的(de)(de)(de)(de)(de)(de)考(kao)(kao)核結果(guo)?國資委(wei)在(zai)董事會(hui)對(dui)(dui)(dui)經營層的(de)(de)(de)(de)(de)(de)考(kao)(kao)核過程(cheng)中(zhong)(zhong)應(ying)當(dang)如何作為(wei)?在(zai)一(yi)定程(cheng)度上可以說,對(dui)(dui)(dui)上述細節問(wen)(wen)題(ti)的(de)(de)(de)(de)(de)(de)研(yan)究深度,對(dui)(dui)(dui)董事會(hui)試點的(de)(de)(de)(de)(de)(de)順(shun)利推進必(bi)然產生直接的(de)(de)(de)(de)(de)(de)影響。
3、2008年后,國資委應當進(jin)一步強化出(chu)資人職(zhi)(zhi)責,弱化一般(ban)性行政職(zhi)(zhi)責
到2008年,國(guo)(guo)(guo)(guo)資委基(ji)本建立起(qi)了(le)現代企業制度(du)(du)、國(guo)(guo)(guo)(guo)有資本經營預算制度(du)(du)、資產經營公司制度(du)(du),這(zhe)為國(guo)(guo)(guo)(guo)資委在(zai)更(geng)高層次、更(geng)大范圍內完成黨中(zhong)央、國(guo)(guo)(guo)(guo)務院賦予的(de)(de)使命奠定了(le)重要基(ji)礎,屆(jie)時,國(guo)(guo)(guo)(guo)資委將重點推(tui)動中(zhong)央企業在(zai)國(guo)(guo)(guo)(guo)際范圍內,進一步提升其核心競爭力(li)、推(tui)動國(guo)(guo)(guo)(guo)有經濟(ji)布局和結構(gou)的(de)(de)戰略性調(diao)整,這(zhe)對國(guo)(guo)(guo)(guo)資委內設(she)機構(gou)的(de)(de)設(she)置也提出了(le)新的(de)(de)更(geng)高的(de)(de)要求。
我們(men)再進一(yi)步看看淡馬(ma)錫(xi)控(kong)(kong)股(gu)(gu)現階段的(de)(de)(de)任務和內(nei)部機構設置。目前,淡馬(ma)錫(xi)控(kong)(kong)股(gu)(gu)致(zhi)力于不斷培(pei)育(yu)所(suo)屬(shu)(shu)企(qi)業,使之能充分(fen)發(fa)揮新加坡(po)的(de)(de)(de)競(jing)爭優勢,成為一(yi)批具有國際競(jing)爭力的(de)(de)(de)公司。淡馬(ma)錫(xi)控(kong)(kong)股(gu)(gu)與(yu)所(suo)屬(shu)(shu)企(qi)業的(de)(de)(de)關系主(zhu)要(yao)在兩個方(fang)面:一(yi)是(shi)(shi)淡馬(ma)錫(xi)控(kong)(kong)股(gu)(gu)運用其股(gu)(gu)東(dong)(dong)權利(li),設定所(suo)屬(shu)(shu)公司的(de)(de)(de)發(fa)展戰(zhan)略與(yu)方(fang)針,但不參與(yu)其日常(chang)經營決策;二是(shi)(shi)定期檢討(tao)所(suo)屬(shu)(shu)企(qi)業的(de)(de)(de)商(shang)業價值與(yu)發(fa)展潛能,通過精簡或整合(he)的(de)(de)(de)形式,來(lai)提高股(gu)(gu)東(dong)(dong)的(de)(de)(de)長期投資(zi)回報(bao)。
淡馬(ma)錫(xi)控(kong)股為了提(ti)(ti)升(sheng)所屬(shu)企(qi)業業績,對(dui)企(qi)業的(de)監管(guan)主(zhu)要(yao)集中在四個方面:一是(shi)(shi)(shi)注(zhu)重建立一支高(gao)素質的(de)董事隊伍和(he)有效的(de)董事會(hui);二(er)(er)是(shi)(shi)(shi)集中力量,全力專注(zhu)于提(ti)(ti)升(sheng)企(qi)業的(de)核心競爭(zheng)能力,逐(zhu)步從(cong)非核心業務中淡出(chu);三(san)是(shi)(shi)(shi)給(gei)董事及企(qi)業員工提(ti)(ti)供(gong)有競爭(zheng)力的(de)配套待遇,以吸(xi)引最(zui)優(you)秀(xiu)的(de)人(ren)才;四是(shi)(shi)(shi)注(zhu)重資(zi)(zi)(zi)本(ben)概(gai)念及成(cheng)本(ben)和(he)回報意識,通過采用經濟增加(jia)值和(he)良好的(de)分紅政策,使所屬(shu)企(qi)業關注(zhu)價值創(chuang)造和(he)股東回報。為了完成(cheng)上述任務,淡馬(ma)錫(xi)控(kong)股內(nei)部(bu)(bu)(bu)主(zhu)要(yao)設置了三(san)個綜合(he)(he)性(xing)部(bu)(bu)(bu)門:一是(shi)(shi)(shi)策略發(fa)展部(bu)(bu)(bu),主(zhu)要(yao)對(dui)投資(zi)(zi)(zi)策略進行監管(guan);二(er)(er)是(shi)(shi)(shi)企(qi)業發(fa)展部(bu)(bu)(bu),主(zhu)要(yao)職責是(shi)(shi)(shi)培養(yang)優(you)秀(xiu)人(ren)才,推進旗下公司(si)健全內(nei)部(bu)(bu)(bu)流程和(he)系統以保證提(ti)(ti)供(gong)優(you)質的(de)產(chan)品(pin)和(he)服務;三(san)是(shi)(shi)(shi)資(zi)(zi)(zi)本(ben)資(zi)(zi)(zi)源管(guan)理部(bu)(bu)(bu),主(zhu)要(yao)職責是(shi)(shi)(shi)保證淡馬(ma)錫(xi)控(kong)股有充裕的(de)資(zi)(zi)(zi)金(jin)、改進投資(zi)(zi)(zi)組合(he)(he)。
2008年之后的(de)國(guo)資(zi)委必須對內設機(ji)(ji)構進行適(shi)應調(diao)整,以符合該階段的(de)需(xu)要,比如可以成立一個內部機(ji)(ji)構使之更為關注(zhu)國(guo)際國(guo)內宏觀經濟走勢(shi),以便(bian)與企業(ye)(ye)(ye)的(de)國(guo)際化相銜接;要成立一個機(ji)(ji)構專門研究國(guo)有經濟結構與布(bu)局調(diao)整,對中央企業(ye)(ye)(ye)哪(na)些領(ling)域(yu)(yu)該進,哪(na)些領(ling)域(yu)(yu)該退,對不同(tong)企業(ye)(ye)(ye)如何實行分(fen)類指導進行研究;要對2006-2008年的(de)內設機(ji)(ji)構進行整合,以便(bian)更高(gao)效地對董(dong)事會的(de)投資(zi)決(jue)策、高(gao)管(guan)選聘、業(ye)(ye)(ye)績考核和薪酬分(fen)配等進行專業(ye)(ye)(ye)指導和監(jian)督(du),等等。只有精干高(gao)效的(de)內部機(ji)(ji)構運(yun)轉起(qi)來,國(guo)資(zi)委的(de)工作才能(neng)更加高(gao)效,其地位才能(neng)更加穩(wen)固,其影響(xiang)力才能(neng)更加突(tu)顯(xian)。
四、進一步提高國資(zi)(zi)委工(gong)作人員(yuan)的依法履行出資(zi)(zi)人職責(ze)的能力(li)和水平(ping)
(一)目前工作能力和水平的(de)狀況與差距
為適應新(xin)職(zhi)(zhi)(zhi)能和新(xin)任(ren)務,國(guo)務院國(guo)資委成(cheng)(cheng)立(li)3年多(duo)來,從建章立(li)制和優化干部隊(dui)伍(wu)結構入手,進(jin)一(yi)步加強了(le)(le)國(guo)資委機(ji)關的(de)(de)組織建設和制度建設,取得了(le)(le)不少成(cheng)(cheng)效。干部隊(dui)伍(wu)結構進(jin)一(yi)步優化,履行出資人職(zhi)(zhi)(zhi)責(ze)的(de)(de)能力有所(suo)提高,思想觀念和工作作風逐步轉(zhuan)變,服務意(yi)識(shi)、責(ze)任(ren)意(yi)識(shi)、市場意(yi)識(shi)有所(suo)增強。但總的(de)(de)看(kan),距離法律、法規(gui)關于出資人職(zhi)(zhi)(zhi)能的(de)(de)規(gui)定(ding)以及社會(hui)對于出資人機(ji)構的(de)(de)期(qi)望仍(reng)然有不少差距。具體表(biao)現(xian)如下
1.從機構講,政府機關特(te)色明顯
國(guo)務(wu)院國(guo)資委屬于(yu)國(guo)務(wu)院特設機(ji)(ji)構(gou),其內部(bu)管理機(ji)(ji)制基本沿(yan)襲(xi)政(zheng)府機(ji)(ji)關(guan)(guan)的(de)模式,習慣于(yu)審批、檢查。辦事程(cheng)序多(duo)、環節(jie)多(duo),難度大。工作(zuo)人員還沒有(you)完全從過去中(zhong)央機(ji)(ji)關(guan)(guan)和(he)政(zheng)府部(bu)門的(de)思維(wei)定式中(zhong)解(jie)放出(chu)來,缺乏對企(qi)業(ye)的(de)服(fu)務(wu)意識,少數部(bu)門和(he)工作(zuo)人員,甚(shen)至(zhi)還存在(zai)刁難企(qi)業(ye)問(wen)題。
2.知(zhi)識結構不盡合理(li),缺少高層次(ci)、高素質(zhi)的經營管理(li)專業人(ren)才
2004年底,國資委機關(guan)人(ren)(ren)員508人(ren)(ren),在(zai)專(zhuan)(zhuan)業結構(gou)上,經濟管(guan)理(li)(li)(li)類193人(ren)(ren),占(zhan)38%,理(li)(li)(li)工(gong)類94人(ren)(ren),占(zhan)19%,法律類45人(ren)(ren),占(zhan)9%,財政(zheng)金(jin)融類49人(ren)(ren),占(zhan)9%,其他(ta)專(zhuan)(zhuan)業127,占(zhan)25%。監事會人(ren)(ren)員305人(ren)(ren),經濟管(guan)理(li)(li)(li)類114人(ren)(ren),占(zhan)37%,理(li)(li)(li)工(gong)類66人(ren)(ren),占(zhan)22%,法律類15人(ren)(ren),占(zhan)5%,財政(zheng)金(jin)融類78人(ren)(ren),占(zhan)26%,其他(ta)專(zhuan)(zhuan)業32人(ren)(ren),占(zhan)10%。金(jin)融、審(shen)計、產(chan)權管(guan)理(li)(li)(li)等方面(mian)的(de)(de)專(zhuan)(zhuan)業人(ren)(ren)才(cai)不足,市場分析人(ren)(ren)才(cai)缺乏。搞宏觀的(de)(de)多,搞微觀、中觀的(de)(de)少。
3.普(pu)遍缺少基層或企業(ye)工(gong)作經歷,對(dui)企業(ye)理解不深
國資委(wei)機(ji)關(guan)和監事會(hui)(hui)人(ren)員(yuan)(yuan)大(da)(da)多來(lai)自(zi)國家機(ji)關(guan)或直接(jie)從(cong)(cong)學校畢業(ye)(ye)(ye)工(gong)作(zuo)的(de)學生,普遍(bian)缺(que)少(shao)(shao)基層工(gong)作(zuo)經(jing)驗(yan)和經(jing)歷,尤其(qi)是缺(que)少(shao)(shao)企(qi)(qi)(qi)業(ye)(ye)(ye)的(de)工(gong)作(zuo)經(jing)歷。對企(qi)(qi)(qi)業(ye)(ye)(ye)了(le)(le)(le)解(jie)不(bu)(bu)深,體會(hui)(hui)不(bu)(bu)夠(gou)。從(cong)(cong)2004年情(qing)況(kuang)(kuang)看,機(ji)關(guan)具有企(qi)(qi)(qi)業(ye)(ye)(ye)工(gong)作(zuo)經(jing)歷的(de)人(ren)員(yuan)(yuan)僅占機(ji)關(guan)干部的(de)35%,其(qi)中直接(jie)從(cong)(cong)事過企(qi)(qi)(qi)業(ye)(ye)(ye)管理的(de)人(ren)員(yuan)(yuan)就(jiu)更少(shao)(shao);監事會(hui)(hui)來(lai)自(zi)機(ji)關(guan)的(de)占69%,專(zhuan)職監事來(lai)自(zi)企(qi)(qi)(qi)業(ye)(ye)(ye)和會(hui)(hui)計師事務所(suo)的(de)僅占23%,具有企(qi)(qi)(qi)業(ye)(ye)(ye)經(jing)營管理和會(hui)(hui)計、審計等(deng)專(zhuan)業(ye)(ye)(ye)工(gong)作(zuo)經(jing)驗(yan)的(de)人(ren)員(yuan)(yuan)相對較少(shao)(shao)。正由于(yu)缺(que)少(shao)(shao)對企(qi)(qi)(qi)業(ye)(ye)(ye)的(de)了(le)(le)(le)解(jie)和熟悉,使得工(gong)作(zuo)上很(hen)難深入進(jin)去,情(qing)況(kuang)(kuang)了(le)(le)(le)解(jie)不(bu)(bu)夠(gou),問(wen)(wen)題把握不(bu)(bu)準(zhun),對來(lai)自(zi)企(qi)(qi)(qi)業(ye)(ye)(ye)的(de)信息甄別能力比(bi)較差,缺(que)乏(fa)對企(qi)(qi)(qi)業(ye)(ye)(ye)準(zhun)確完(wan)整的(de)判斷能力,企(qi)(qi)(qi)業(ye)(ye)(ye)報來(lai)的(de)方案吃不(bu)(bu)透,辦(ban)事效率(lv)低,需要解(jie)決(jue)的(de)問(wen)(wen)題落(luo)實不(bu)(bu)了(le)(le)(le),依(yi)法履行出資人(ren)的(de)能力和水平大(da)(da)打折扣(kou)。
4.干(gan)部(bu)培(pei)養、使(shi)用機制不合理,影響工(gong)作積極性(xing)
國務院國資(zi)委在不(bu)斷推進中(zhong)央(yang)企業改革的(de)(de)同(tong)時,也(ye)(ye)大力(li)推進自身改革,在干(gan)(gan)部(bu)(bu)(bu)(bu)任(ren)用(yong)方面,部(bu)(bu)(bu)(bu)分(fen)級(ji)別干(gan)(gan)部(bu)(bu)(bu)(bu)已經開始推行競(jing)爭上(shang)崗制(zhi)度,并(bing)取得(de)了(le)一(yi)定(ding)成效。但是,也(ye)(ye)應看到(dao)(dao)(dao),機(ji)關(guan)干(gan)(gan)部(bu)(bu)(bu)(bu)使(shi)用(yong)、晉(jin)升,看中(zhong)的(de)(de)往(wang)往(wang)不(bu)是能力(li),主(zhu)要還是資(zi)歷,論資(zi)排輩現象嚴(yan)重(zhong)。既不(bu)利于(yu)調動大家工作的(de)(de)積極(ji)性,同(tong)時也(ye)(ye)不(bu)利于(yu)青年干(gan)(gan)部(bu)(bu)(bu)(bu)的(de)(de)成長,一(yi)些優秀干(gan)(gan)部(bu)(bu)(bu)(bu)沒有得(de)到(dao)(dao)(dao)合(he)理的(de)(de)使(shi)用(yong),形成人(ren)(ren)力(li)資(zi)源浪費(fei)。干(gan)(gan)部(bu)(bu)(bu)(bu)隊伍職(zhi)務結構不(bu)盡合(he)理,處(chu)級(ji)干(gan)(gan)部(bu)(bu)(bu)(bu)比例(li)偏大,機(ji)關(guan)干(gan)(gan)部(bu)(bu)(bu)(bu)508人(ren)(ren),處(chu)級(ji)干(gan)(gan)部(bu)(bu)(bu)(bu)291人(ren)(ren),占57%。由于(yu)干(gan)(gan)部(bu)(bu)(bu)(bu)職(zhi)位的(de)(de)限制(zhi),在缺少干(gan)(gan)部(bu)(bu)(bu)(bu)“出(chu)口”的(de)(de)情況下,干(gan)(gan)部(bu)(bu)(bu)(bu)的(de)(de)發展成長空間受到(dao)(dao)(dao)限制(zhi),嚴(yan)重(zhong)影(ying)響(xiang)了(le)干(gan)(gan)部(bu)(bu)(bu)(bu)工作積極(ji)性,對出(chu)資(zi)人(ren)(ren)效能發揮產生不(bu)利影(ying)響(xiang)。
(二)進一步提高國資委機關工作人員(yuan)的素質和能力(li)
當前和今(jin)后一個時期,我們要著重提高(gao)以下幾個方面(mian)的能(neng)力。
一是提高(gao)學習(xi)和(he)(he)適應(ying)變(bian)(bian)(bian)(bian)革的(de)能(neng)力(li)。國(guo)(guo)(guo)有資(zi)(zi)產監管(guan)(guan)機構作(zuo)為(wei)依法履行(xing)出(chu)(chu)資(zi)(zi)人(ren)(ren)(ren)職責(ze)的(de)特設機構,與政府行(xing)政部(bu)門相比,在(zai)管(guan)(guan)理(li)(li)身(shen)份、管(guan)(guan)理(li)(li)對象(xiang)、管(guan)(guan)理(li)(li)方(fang)式和(he)(he)管(guan)(guan)理(li)(li)目(mu)標等方(fang)面都發(fa)生(sheng)了根本(ben)性變(bian)(bian)(bian)(bian)化。由過(guo)去(qu)(qu)的(de)政府公共管(guan)(guan)理(li)(li)者轉變(bian)(bian)(bian)(bian)為(wei)國(guo)(guo)(guo)有資(zi)(zi)產出(chu)(chu)資(zi)(zi)人(ren)(ren)(ren)代表;由過(guo)去(qu)(qu)政府的(de)行(xing)政管(guan)(guan)理(li)(li)轉變(bian)(bian)(bian)(bian)為(wei)出(chu)(chu)資(zi)(zi)人(ren)(ren)(ren)的(de)產權管(guan)(guan)理(li)(li);由過(guo)去(qu)(qu)管(guan)(guan)理(li)(li)各種所有制(zhi)企業轉變(bian)(bian)(bian)(bian)為(wei)管(guan)(guan)理(li)(li)授權范圍內的(de)國(guo)(guo)(guo)有資(zi)(zi)產;由過(guo)去(qu)(qu)的(de)實(shi)(shi)現國(guo)(guo)(guo)家宏觀調(diao)控目(mu)標轉變(bian)(bian)(bian)(bian)為(wei)實(shi)(shi)現國(guo)(guo)(guo)有資(zi)(zi)產保值(zhi)增(zeng)值(zhi)和(he)(he)發(fa)展壯大國(guo)(guo)(guo)有經濟(ji)。實(shi)(shi)現這(zhe)四個轉變(bian)(bian)(bian)(bian),首先必須轉變(bian)(bian)(bian)(bian)思想觀念,轉變(bian)(bian)(bian)(bian)思維習(xi)慣,牢固樹立(li)出(chu)(chu)資(zi)(zi)人(ren)(ren)(ren)意識。其(qi)次(ci),要通(tong)過(guo)多種形式的(de)學習(xi)和(he)(he)培訓,盡(jin)快(kuai)提高(gao)依法履行(xing)出(chu)(chu)資(zi)(zi)人(ren)(ren)(ren)的(de)能(neng)力(li)和(he)(he)水(shui)平。更(geng)為(wei)重(zhong)要的(de)是,隨(sui)著國(guo)(guo)(guo)有資(zi)(zi)產監督管(guan)(guan)理(li)(li)體制(zhi)的(de)不(bu)(bu)斷深化,國(guo)(guo)(guo)資(zi)(zi)委的(de)職能(neng)、內部(bu)組織機構以及履行(xing)出(chu)(chu)資(zi)(zi)人(ren)(ren)(ren)的(de)方(fang)式也會隨(sui)之調(diao)整,這(zhe)就要求(qiu)國(guo)(guo)(guo)資(zi)(zi)委的(de)工(gong)作(zuo)人(ren)(ren)(ren)員必須在(zai)不(bu)(bu)斷學習(xi)積極探索(suo)的(de)基礎上,不(bu)(bu)斷增(zeng)強適應(ying)變(bian)(bian)(bian)(bian)革的(de)能(neng)力(li),以更(geng)好(hao)履行(xing)出(chu)(chu)資(zi)(zi)人(ren)(ren)(ren)職責(ze)。
進一步加強國資委機關的隊伍建設及作風建設。第一,要加強業務、政治理論的學習,建立學習性組織。要堅持日常的學習制度,重點學習《公司法》及有關法律法規、國有資本經營預算、國有資產管理、企業管理等業務理論知識。進一步提高機關工作人員的學習業務理論的熱情,領導同志要以身作則,以崇高的人格力量和科學的管理方法帶好隊伍。還要進一步健全委內日常的政治理論、政策學習活動計劃,以學習鄧小平理論和“三個代表”的重要思想為基本內容,大力倡導淡泊名利,埋頭苦干和愛崗敬業、勤奮工作的精神,在此基礎上組織學習黨的基本知識、方針、政策。同時,倡導集中學習與自學相結合的學習方式,要對個人的學習情況進行總結,年終匯總個人成績,作為年度考評的計分項目。第二,加大干部職工的學習交流培訓的力度。一要加強干部掛職鍛煉。每年選派部分人員與企業參加掛職鍛煉,有計劃地全面完成對機關干部的輪訓,通過掛職鍛煉,了解中央企業所處行業的發展態勢與企業生產經營的實際情況,增強國資委干部適應市場經濟的能力。二要加強與中央企業和地方國資委的干部交流。應鼓勵處級及以上干部參加中央企業負責人公開選聘,特別是對擔任處級時間較長的同志、司局級職務的同志,要結合工作的需要和個人意愿通過合適的方式,安排到中央企業或地方國資委任職,同時要選拔優秀的中央企業和地方國資委的領導同志到國務院國資委任職,形成干部相互交流的機制。三要加強與地方國資委的信息交流。國務院國資委與地方國資委總體上都是按《條例》規定的職責運行,但地方國資委監管的方式、與所監管國有企業的關系以及其他有關業務與國務院國資委有一定差別,且各地區情況各有不同。加強與地方國資委的交流與聯系,建立一定的溝通機制,有助于國務院國資委拓寬思路,增強創新能力,提高履行出資人職責的能力。四要開展交流活動,組織調研,在委內組織調查研究和撰寫相關論文,組織評選活動。五要加強國際交流活動。加強機關人員參加國際交流活動,提高水平和效果。
二(er)是要(yao)(yao)(yao)(yao)提(ti)高依(yi)法(fa)(fa)監(jian)管國(guo)(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)產(chan)的(de)能力。國(guo)(guo)(guo)資(zi)(zi)委要(yao)(yao)(yao)(yao)當(dang)好出(chu)(chu)資(zi)(zi)人(ren)代表(biao),核(he)心就是要(yao)(yao)(yao)(yao)嚴格依(yi)法(fa)(fa)行(xing)事。一要(yao)(yao)(yao)(yao)依(yi)法(fa)(fa)把握并處(chu)理好國(guo)(guo)(guo)資(zi)(zi)委與(yu)所(suo)出(chu)(chu)資(zi)(zi)企(qi)業(ye)的(de)法(fa)(fa)律(lv)關系;二(er)要(yao)(yao)(yao)(yao)依(yi)法(fa)(fa)解決出(chu)(chu)資(zi)(zi)人(ren)代表(biao)進入(ru)所(suo)出(chu)(chu)資(zi)(zi)企(qi)業(ye)履(lv)行(xing)職(zhi)責問題;三要(yao)(yao)(yao)(yao)嚴格依(yi)照法(fa)(fa)定權利和法(fa)(fa)定程序履(lv)行(xing)職(zhi)責。完(wan)善的(de)國(guo)(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)產(chan)監(jian)管法(fa)(fa)規體系,是我們依(yi)法(fa)(fa)履(lv)行(xing)職(zhi)責的(de)依(yi)據。要(yao)(yao)(yao)(yao)繼(ji)續(xu)修(xiu)改與(yu)《條(tiao)例》相配套的(de)法(fa)(fa)規和規章,確保國(guo)(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)產(chan)監(jian)管工(gong)(gong)作有(you)(you)(you)(you)法(fa)(fa)可依(yi),有(you)(you)(you)(you)章可循。同時,工(gong)(gong)作人(ren)員都要(yao)(yao)(yao)(yao)做到(dao)知法(fa)(fa)懂法(fa)(fa),真(zhen)正(zheng)把國(guo)(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)產(chan)監(jian)管和國(guo)(guo)(guo)有(you)(you)(you)(you)企(qi)業(ye)經營納入(ru)法(fa)(fa)制化(hua)、規范化(hua)的(de)軌道。
要進一步把(ba)握(wo)(wo)好出(chu)資人(ren)定(ding)位。作(zuo)為出(chu)資人(ren)機構(gou),國資委(wei)要準確把(ba)握(wo)(wo)好出(chu)資人(ren)定(ding)位,嚴格(ge)按(an)照(zhao)法(fa)定(ding)的權(quan)限和(he)程序行使權(quan)力、履(lv)行職責,不(bu)缺位、不(bu)錯(cuo)位、不(bu)越位。出(chu)資人(ren)機構(gou)只行使股東權(quan)利,不(bu)干(gan)預(yu)企業(ye)的經營(ying)權(quan)、管理權(quan),堅持政資分開,兩權(quan)分離,不(bu)直(zhi)接干(gan)預(yu)企業(ye)生產經營(ying),不(bu)承(cheng)擔社會公(gong)共管理職能。
要深入研究(jiu)重大有(you)傾向性(xing)的(de)問(wen)題(ti)(ti)(ti)。新的(de)國(guo)有(you)資產(chan)監管體(ti)制(zhi)(zhi)的(de)基本框架的(de)建立(li)以及實現體(ti)制(zhi)(zhi)和機制(zhi)(zhi)創新有(you)大量的(de)問(wen)題(ti)(ti)(ti)需(xu)要研究(jiu)解(jie)決(jue)。國(guo)資委(wei)要加大對重大問(wen)題(ti)(ti)(ti)的(de)戰(zhan)略性(xing)、前瞻性(xing)、系統(tong)性(xing)研究(jiu),要動(dong)態關注社會各界對國(guo)有(you)資產(chan)監管體(ti)制(zhi)(zhi)的(de)建議(yi),研究(jiu)重大有(you)傾向性(xing)問(wen)題(ti)(ti)(ti),在(zai)重點難點問(wen)題(ti)(ti)(ti)上實現突破。
三是(shi)要(yao)提高指導國(guo)(guo)(guo)(guo)有(you)企(qi)業(ye)改革和重(zhong)組的(de)(de)能力。積極推(tui)進(jin)(jin)國(guo)(guo)(guo)(guo)有(you)企(qi)業(ye)尤(you)其是(shi)中(zhong)央(yang)企(qi)業(ye)的(de)(de)改革和重(zhong)組,是(shi)增強(qiang)國(guo)(guo)(guo)(guo)有(you)企(qi)業(ye)競(jing)爭力,發揮(hui)國(guo)(guo)(guo)(guo)有(you)經(jing)濟控制力、影響力、帶動力的(de)(de)重(zhong)要(yao)舉措(cuo),更是(shi)國(guo)(guo)(guo)(guo)資委(wei)的(de)(de)重(zhong)要(yao)職責。進(jin)(jin)一步搞好國(guo)(guo)(guo)(guo)有(you)企(qi)業(ye),要(yao)求我(wo)們不斷(duan)推(tui)進(jin)(jin)國(guo)(guo)(guo)(guo)有(you)企(qi)業(ye)的(de)(de)改革和重(zhong)組。要(yao)按照完善(shan)(shan)社會(hui)主義(yi)市場(chang)經(jing)濟體制的(de)(de)要(yao)求,推(tui)動國(guo)(guo)(guo)(guo)有(you)企(qi)業(ye)進(jin)(jin)一步建立(li)(li)健全現代企(qi)業(ye)制度,積極探索中(zhong)央(yang)企(qi)業(ye)國(guo)(guo)(guo)(guo)有(you)獨(du)資公(gong)司建立(li)(li)和完善(shan)(shan)董(dong)事會(hui)試點,完善(shan)(shan)公(gong)司法人治理結(jie)構;積極推(tui)進(jin)(jin)股權多元化股份制改革,實現資源優化配置(zhi),幫(bang)助(zhu)企(qi)業(ye)解決歷史遺留問題,更好地(di)參(can)與市場(chang)競(jing)爭。
四是(shi)(shi)(shi)(shi)(shi)提(ti)(ti)高指導(dao)董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)(hui)決策的能力(li)。在國(guo)有獨資(zi)(zi)企(qi)(qi)業(ye)普遍建立董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)(hui)后,董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)(hui)將(jiang)在公(gong)司(si)法人(ren)治(zhi)理(li)(li)結(jie)構中處于十分(fen)重(zhong)要(yao)(yao)(yao)的地位(wei),發(fa)揮(hui)著重(zhong)要(yao)(yao)(yao)作用。一方面,董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)(hui)是(shi)(shi)(shi)(shi)(shi)股東(dong)利(li)(li)益的忠(zhong)實代(dai)表(biao),是(shi)(shi)(shi)(shi)(shi)保(bao)(bao)(bao)(bao)護股東(dong)合(he)法權(quan)益、體(ti)(ti)現股東(dong)意志的制度(du)依托,是(shi)(shi)(shi)(shi)(shi)實現出(chu)資(zi)(zi)人(ren)職(zhi)責到(dao)位(wei)的最終(zhong)體(ti)(ti)現。另一方面,董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)(hui)負(fu)責企(qi)(qi)業(ye)的重(zhong)大決策,對企(qi)(qi)業(ye)進行戰略性監控,并負(fu)責選聘、評價(jia)、考(kao)核、激勵經(jing)理(li)(li)人(ren)員,是(shi)(shi)(shi)(shi)(shi)企(qi)(qi)業(ye)內(nei)部(bu)深化改革、加強管理(li)(li)、提(ti)(ti)高效率的重(zhong)要(yao)(yao)(yao)保(bao)(bao)(bao)(bao)證,是(shi)(shi)(shi)(shi)(shi)企(qi)(qi)業(ye)市場(chang)競爭力(li)的制度(du)基礎。同時,董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)(hui)要(yao)(yao)(yao)對出(chu)資(zi)(zi)人(ren)負(fu)責,代(dai)表(biao)出(chu)資(zi)(zi)人(ren)利(li)(li)益,追求投資(zi)(zi)回(hui)報,確保(bao)(bao)(bao)(bao)國(guo)有資(zi)(zi)產(chan)保(bao)(bao)(bao)(bao)值增值,并就公(gong)司(si)的經(jing)營(ying)業(ye)績和持續(xu)發(fa)展能力(li)對出(chu)資(zi)(zi)人(ren)負(fu)責。為(wei)使董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)(hui)充分(fen)發(fa)揮(hui)作用,國(guo)資(zi)(zi)委(wei)今后將(jiang)把出(chu)資(zi)(zi)人(ren)的部(bu)分(fen)職(zhi)權(quan)授予規范(fan)的國(guo)有獨資(zi)(zi)公(gong)司(si)董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)(hui)行使。因此(ci),如何盡快提(ti)(ti)高規范(fan)科學的選拔董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)(hui)成員、如何有效指導(dao)董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)(hui)決策、監督董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)(hui)確實按照(zhao)出(chu)資(zi)(zi)人(ren)的要(yao)(yao)(yao)求履行職(zhi)責、保(bao)(bao)(bao)(bao)證董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)(hui)充分(fen)發(fa)揮(hui)作用,就成為(wei)國(guo)資(zi)(zi)委(wei)工作人(ren)員必備的能力(li)和水平。
五(wu)是(shi)(shi)要提高發展和(he)(he)壯(zhuang)大(da)(da)國(guo)(guo)有(you)(you)(you)經(jing)濟(ji)(ji)的(de)能力。發展壯(zhuang)大(da)(da)國(guo)(guo)有(you)(you)(you)經(jing)濟(ji)(ji)是(shi)(shi)深化國(guo)(guo)有(you)(you)(you)資產管理(li)體制(zhi)改革的(de)一個重要目的(de),也(ye)是(shi)(shi)實現(xian)(xian)全(quan)面建設小(xiao)康社會宏偉目標的(de)重要保證。在推(tui)進現(xian)(xian)代企業制(zhi)度和(he)(he)建立和(he)(he)完善(shan)公(gong)司法人治(zhi)理(li)機構的(de)基礎上(shang),要積極推(tui)進公(gong)有(you)(you)(you)制(zhi)的(de)多種(zhong)有(you)(you)(you)效實現(xian)(xian)形式,加快調(diao)整國(guo)(guo)有(you)(you)(you)經(jing)濟(ji)(ji)布局和(he)(he)結構,完善(shan)國(guo)(guo)有(you)(you)(you)資本有(you)(you)(you)進有(you)(you)(you)退的(de)機制(zhi),積極探索增強國(guo)(guo)有(you)(you)(you)經(jing)濟(ji)(ji)的(de)控制(zhi)力、影響力和(he)(he)帶動力的(de)途徑和(he)(he)方(fang)式。
六是要提高加(jia)強(qiang)和(he)(he)改進(jin)國(guo)(guo)有企(qi)業(ye)(ye)(ye)黨建工(gong)作(zuo)(zuo)的(de)能力(li)。提高黨的(de)執政(zheng)能力(li),關鍵(jian)在(zai)于(yu)搞好黨的(de)建設(she),不斷增(zeng)強(qiang)黨的(de)創造力(li)、凝聚力(li)和(he)(he)戰斗力(li)。加(jia)強(qiang)和(he)(he)改進(jin)國(guo)(guo)有企(qi)業(ye)(ye)(ye)黨的(de)建設(she)是擺在(zai)國(guo)(guo)資委黨委面(mian)前的(de)一(yi)項重(zhong)要任務(wu)。我(wo)們要認真研究新形勢下如何加(jia)強(qiang)和(he)(he)改進(jin)國(guo)(guo)有企(qi)業(ye)(ye)(ye)黨的(de)建設(she),探索(suo)國(guo)(guo)有企(qi)業(ye)(ye)(ye)黨建工(gong)作(zuo)(zuo)的(de)新機制、新途徑(jing)和(he)(he)新方法,完(wan)善(shan)工(gong)作(zuo)(zuo)機制,更好地發(fa)揮國(guo)(guo)有企(qi)業(ye)(ye)(ye)黨組織的(de)政(zheng)治核(he)心(xin)作(zuo)(zuo)用。
七是要(yao)(yao)(yao)改(gai)進(jin)工(gong)作(zuo)作(zuo)風,提(ti)高(gao)工(gong)作(zuo)效率和(he)能(neng)(neng)(neng)力(li)(li)。第(di)一(yi),規(gui)范(fan)調(diao)研工(gong)作(zuo)要(yao)(yao)(yao)求,實(shi)現領(ling)導(dao)、指導(dao)、服(fu)務一(yi)體化(hua)(hua)。要(yao)(yao)(yao)建(jian)立(li)制(zhi)(zhi)度,加強對中央(yang)企(qi)業改(gai)革與重組工(gong)作(zuo)的(de)指導(dao)和(he)推動。各(ge)廳局要(yao)(yao)(yao)根據年(nian)度重點(dian)工(gong)作(zuo)目(mu)標(biao)(biao)的(de)要(yao)(yao)(yao)求,確(que)立(li)好題(ti)目(mu)、安排好人員,并由委里(li)統一(yi)協(xie)調(diao),組成小組,定期到(dao)中央(yang)企(qi)業進(jin)行調(diao)研,要(yao)(yao)(yao)保持與企(qi)業有關部門聯(lian)系,全面掌握(wo)情況(kuang),推動各(ge)項工(gong)作(zuo)的(de)開展(zhan)。第(di)二,抓(zhua)牢關鍵環節(jie),提(ti)高(gao)工(gong)作(zuo)能(neng)(neng)(neng)力(li)(li),局級以上領(ling)導(dao)干(gan)部要(yao)(yao)(yao)把(ba)(ba)重點(dian)放在(zai)提(ti)高(gao)組織領(ling)導(dao)能(neng)(neng)(neng)力(li)(li)上,做到(dao)既有思路,又把(ba)(ba)握(wo)方向;既做示(shi)范(fan),又抓(zhua)督查,既獨(du)立(li)運行,又做好全面協(xie)調(diao),確(que)保工(gong)作(zuo)運行的(de)整(zheng)體效果(guo)。一(yi)般干(gan)部要(yao)(yao)(yao)把(ba)(ba)重點(dian)放在(zai)提(ti)高(gao)能(neng)(neng)(neng)力(li)(li)上,做到(dao)提(ti)筆(bi)能(neng)(neng)(neng)寫(xie),開口能(neng)(neng)(neng)講,遇(yu)事會辦。第(di)三,結(jie)合自身(shen)(shen)實(shi)際,尋(xun)找(zhao)突破點(dian)。每(mei)位工(gong)作(zuo)人員進(jin)一(yi)步(bu)提(ti)高(gao)自身(shen)(shen)素質和(he)能(neng)(neng)(neng)力(li)(li),取得實(shi)實(shi)在(zai)在(zai)的(de)變化(hua)(hua)效果(guo)。第(di)四,完善年(nian)(季)度總結(jie)考核制(zhi)(zhi)度。突出年(nian)(季)度總結(jie)工(gong)作(zuo)的(de)實(shi)效性(xing),要(yao)(yao)(yao)進(jin)一(yi)步(bu)充實(shi)完善工(gong)作(zuo)考核制(zhi)(zhi)度,進(jin)一(yi)步(bu)細(xi)化(hua)(hua)、量化(hua)(hua)工(gong)作(zuo)目(mu)標(biao)(biao)。
總(zong)之(zhi),提高(gao)國有(you)資(zi)產(chan)監管(guan)機構全面履行職責的(de)能(neng)力(li)和水(shui)平,需(xu)要從多方面努力(li),最重要的(de)是加(jia)強(qiang)國有(you)資(zi)產(chan)監管(guan)的(de)隊(dui)伍建設,努力(li)提高(gao)國有(you)資(zi)產(chan)監管(guan)隊(dui)伍的(de)整體素(su)質和綜合能(neng)力(li)。
(三)適(shi)應機構變革,國資委應營造(zao)良好的外(wai)部環境
國有(you)資(zi)(zi)產(chan)管理(li)(li)體制改革(ge)(ge)受到社會各方面(mian)的廣泛(fan)關注,國有(you)企業(ye)改革(ge)(ge)是一項廣泛(fan)而深刻的變革(ge)(ge)。推進(jin)國有(you)資(zi)(zi)產(chan)管理(li)(li)體制改革(ge)(ge)和國有(you)企業(ye)改革(ge)(ge),需要一個(ge)良(liang)好(hao)的外部環境。這就(jiu)要求我們必(bi)須(xu)認真處(chu)理(li)(li)好(hao)與各方面(mian)的關系。
一是(shi)(shi)要(yao)進(jin)一步加快國(guo)(guo)有(you)(you)資(zi)(zi)產(chan)法(fa)(fa)(fa)律(lv)(lv)(lv)、法(fa)(fa)(fa)規(gui)(gui)的(de)(de)制定和完(wan)善。完(wan)善的(de)(de)法(fa)(fa)(fa)律(lv)(lv)(lv)、法(fa)(fa)(fa)規(gui)(gui)是(shi)(shi)依法(fa)(fa)(fa)履(lv)行出(chu)資(zi)(zi)人職(zhi)責(ze)的(de)(de)前提和保障,目前,我國(guo)(guo)已經形成了以《公司法(fa)(fa)(fa)》、《企業法(fa)(fa)(fa)》、《條例》為主(zhu)要(yao)依據(ju)的(de)(de)規(gui)(gui)范出(chu)資(zi)(zi)人職(zhi)責(ze)和國(guo)(guo)有(you)(you)資(zi)(zi)產(chan)監(jian)管的(de)(de)法(fa)(fa)(fa)律(lv)(lv)(lv)、法(fa)(fa)(fa)規(gui)(gui),為國(guo)(guo)資(zi)(zi)委(wei)(wei)履(lv)行出(chu)資(zi)(zi)人職(zhi)責(ze)提供了基本依據(ju)。但是(shi)(shi),由于國(guo)(guo)有(you)(you)獨資(zi)(zi)企業仍然(ran)是(shi)(shi)我國(guo)(guo)企業的(de)(de)主(zhu)體部分,國(guo)(guo)有(you)(you)資(zi)(zi)產(chan)管理工(gong)作正在逐步探索之(zhi)中,新問題和新情況層(ceng)出(chu)不窮。因此(ci),要(yao)逐步完(wan)善有(you)(you)關法(fa)(fa)(fa)律(lv)(lv)(lv)、法(fa)(fa)(fa)規(gui)(gui),形成符合(he)市場經濟(ji)規(gui)(gui)律(lv)(lv)(lv)的(de)(de)法(fa)(fa)(fa)律(lv)(lv)(lv)規(gui)(gui)范,為依法(fa)(fa)(fa)履(lv)行出(chu)資(zi)(zi)人職(zhi)責(ze)提供更加切實(shi)的(de)(de)法(fa)(fa)(fa)律(lv)(lv)(lv)依據(ju),為國(guo)(guo)資(zi)(zi)委(wei)(wei)的(de)(de)工(gong)作創造良好的(de)(de)法(fa)(fa)(fa)律(lv)(lv)(lv)環(huan)境(jing)。
二是(shi)要積極爭取全國(guo)(guo)(guo)人大(da)和國(guo)(guo)(guo)務院(yuan)領導(dao)的關心和支持(chi)。國(guo)(guo)(guo)資(zi)委作(zuo)為國(guo)(guo)(guo)務院(yuan)特設機構,國(guo)(guo)(guo)資(zi)委黨委作(zuo)為黨的一級組(zu)織,法(fa)律法(fa)規明確我(wo)們(men)行使的權限,我(wo)們(men)要認(ren)真履行;不明確的要多(duo)匯報、多(duo)請示(shi)(shi),重大(da)問題要及時報告,使黨中央和國(guo)(guo)(guo)務院(yuan)領導(dao)對我(wo)們(men)的工(gong)作(zuo)有更好的了解(jie),并及時給(gei)予指示(shi)(shi)。
三(san)是(shi)(shi)(shi)要(yao)(yao)(yao)爭(zheng)(zheng)取政府(fu)有(you)(you)(you)關部(bu)(bu)(bu)門(men)的(de)(de)理解、支持和(he)(he)配合(he)。國(guo)(guo)(guo)資(zi)(zi)(zi)委的(de)(de)工(gong)作(zuo)涉及(ji)到政府(fu)的(de)(de)許多(duo)(duo)部(bu)(bu)(bu)門(men),無(wu)論是(shi)(shi)(shi)國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)產管(guan)(guan)理體(ti)制(zhi)(zhi)(zhi)改(gai)(gai)(gai)(gai)革(ge)還是(shi)(shi)(shi)國(guo)(guo)(guo)有(you)(you)(you)企(qi)業(ye)(ye)改(gai)(gai)(gai)(gai)革(ge),離開(kai)(kai)政府(fu)的(de)(de)有(you)(you)(you)關部(bu)(bu)(bu)門(men)都很(hen)難推進,我(wo)們要(yao)(yao)(yao)主動工(gong)作(zuo),認真聽(ting)取他們的(de)(de)意見,做好(hao)(hao)(hao)解釋(shi)和(he)(he)說明工(gong)作(zuo),爭(zheng)(zheng)取他們更多(duo)(duo)的(de)(de)支持和(he)(he)配合(he)。政府(fu)的(de)(de)社(she)會(hui)(hui)公共管(guan)(guan)理職能(neng)與(yu)國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)產出(chu)資(zi)(zi)(zi)人(ren)職能(neng)分開(kai)(kai),是(shi)(shi)(shi)深(shen)化(hua)國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)產管(guan)(guan)理體(ti)制(zhi)(zhi)(zhi)改(gai)(gai)(gai)(gai)革(ge)的(de)(de)重要(yao)(yao)(yao)原則(ze),也(ye)是(shi)(shi)(shi)政府(fu)行政管(guan)(guan)理體(ti)制(zhi)(zhi)(zhi)改(gai)(gai)(gai)(gai)革(ge)的(de)(de)重要(yao)(yao)(yao)內容。國(guo)(guo)(guo)資(zi)(zi)(zi)委不(bu)行使政府(fu)的(de)(de)社(she)會(hui)(hui)公共管(guan)(guan)理職能(neng),政府(fu)其他機(ji)(ji)構、部(bu)(bu)(bu)門(men)也(ye)不(bu)履行企(qi)業(ye)(ye)國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)產出(chu)資(zi)(zi)(zi)人(ren)職責,國(guo)(guo)(guo)資(zi)(zi)(zi)委要(yao)(yao)(yao)按照這一(yi)要(yao)(yao)(yao)求努力做好(hao)(hao)(hao)自己(ji)的(de)(de)工(gong)作(zuo)。首先要(yao)(yao)(yao)處(chu)理好(hao)(hao)(hao)與(yu)財政部(bu)(bu)(bu)的(de)(de)關系,貫徹黨的(de)(de)十六屆(jie)三(san)中(zhong)(zhong)(zhong)全(quan)(quan)會(hui)(hui)提出(chu)的(de)(de)關于建立國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)本經(jing)營預算制(zhi)(zhi)(zhi)度的(de)(de)要(yao)(yao)(yao)求,會(hui)(hui)同(tong)財政部(bu)(bu)(bu)組織(zhi)力量開(kai)(kai)展(zhan)調(diao)(diao)(diao)(diao)查研(yan)究,盡快(kuai)提出(chu)工(gong)作(zuo)方案,盡快(kuai)確(que)定(ding)框架制(zhi)(zhi)(zhi)度,以實(shi)現(xian)存量資(zi)(zi)(zi)產調(diao)(diao)(diao)(diao)整和(he)(he)增量資(zi)(zi)(zi)產調(diao)(diao)(diao)(diao)整的(de)(de)有(you)(you)(you)效結(jie)合(he),不(bu)斷提高(gao)國(guo)(guo)(guo)有(you)(you)(you)經(jing)濟戰略性調(diao)(diao)(diao)(diao)整的(de)(de)力度和(he)(he)水平。其次,要(yao)(yao)(yao)處(chu)理好(hao)(hao)(hao)與(yu)中(zhong)(zhong)(zhong)組部(bu)(bu)(bu)的(de)(de)關系。探索建立堅持黨管(guan)(guan)干(gan)部(bu)(bu)(bu)原則(ze)與(yu)市(shi)場(chang)化(hua)選聘企(qi)業(ye)(ye)經(jing)營管(guan)(guan)理者(zhe)相(xiang)結(jie)合(he)的(de)(de)新(xin)機(ji)(ji)制(zhi)(zhi)(zhi),是(shi)(shi)(shi)國(guo)(guo)(guo)有(you)(you)(you)企(qi)業(ye)(ye)改(gai)(gai)(gai)(gai)革(ge)的(de)(de)重要(yao)(yao)(yao)內容,也(ye)是(shi)(shi)(shi)企(qi)業(ye)(ye)自身發展(zhan)的(de)(de)客(ke)觀(guan)需要(yao)(yao)(yao)。黨的(de)(de)十五屆(jie)四中(zhong)(zhong)(zhong)全(quan)(quan)會(hui)(hui)、十六屆(jie)三(san)中(zhong)(zhong)(zhong)全(quan)(quan)會(hui)(hui)都明確(que)強調(diao)(diao)(diao)(diao),要(yao)(yao)(yao)積極探索適應現(xian)代企(qi)業(ye)(ye)制(zhi)(zhi)(zhi)度要(yao)(yao)(yao)求的(de)(de)選人(ren)用(yong)人(ren)新(xin)機(ji)(ji)制(zhi)(zhi)(zhi),把組織(zhi)推薦和(he)(he)引入市(shi)場(chang)機(ji)(ji)制(zhi)(zhi)(zhi)、公開(kai)(kai)向社(she)會(hui)(hui)招(zhao)聘結(jie)合(he)起來(lai)(lai),把黨管(guan)(guan)干(gan)部(bu)(bu)(bu)原則(ze)和(he)(he)董(dong)事會(hui)(hui)依法選擇經(jing)營管(guan)(guan)理者(zhe)結(jie)合(he)進來(lai)(lai)。

五是要(yao)加(jia)強與新(xin)聞媒(mei)體和(he)社會(hui)(hui)各(ge)界(jie)的(de)(de)(de)溝通和(he)交流。自(zi)國資(zi)(zi)委(wei)組建(jian)以來(lai),新(xin)聞媒(mei)體和(he)社會(hui)(hui)各(ge)界(jie)對國資(zi)(zi)委(wei)高度關注(zhu)。一(yi)方面,我們(men)要(yao)進一(yi)步做好(hao)自(zi)身的(de)(de)(de)各(ge)項工作,另一(yi)方面,我們(men)要(yao)更加(jia)重視和(he)更好(hao)發揮新(xin)聞媒(mei)體的(de)(de)(de)導向作用,認(ren)真傾聽和(he)積極吸取社會(hui)(hui)各(ge)方面的(de)(de)(de)意見,使我們(men)制定的(de)(de)(de)政(zheng)策和(he)出臺的(de)(de)(de)措施能夠得到廣泛支(zhi)持和(he)理解,為深(shen)化國有(you)資(zi)(zi)產管理體制改(gai)革(ge)和(he)國有(you)企業改(gai)革(ge)創(chuang)造良(liang)好(hao)的(de)(de)(de)輿(yu)論環境(jing)。
