一、研究背景(jing)和意義
(一)研(yan)究背(bei)景
黨的(de)(de)(de)十六(liu)大、十六(liu)屆二(er)中全會(hui)決定深化國(guo)(guo)(guo)有(you)(you)(you)資產(chan)(chan)管(guan)理(li)體制改(gai)革(ge),成立國(guo)(guo)(guo)有(you)(you)(you)資產(chan)(chan)監(jian)督管(guan)理(li)機(ji)構,建立中央政府和(he)地方政府分(fen)別代(dai)表國(guo)(guo)(guo)家履行(xing)出資人(ren)(ren)職責(ze),享(xiang)有(you)(you)(you)所有(you)(you)(you)者權益,權利、義(yi)務(wu)(wu)和(he)責(ze)任(ren)(ren)相統一(yi),管(guan)資產(chan)(chan)和(he)管(guan)人(ren)(ren)、管(guan)事(shi)相結合的(de)(de)(de)國(guo)(guo)(guo)有(you)(you)(you)資產(chan)(chan)管(guan)理(li)體制,將國(guo)(guo)(guo)有(you)(you)(you)企(qi)業(ye)和(he)國(guo)(guo)(guo)有(you)(you)(you)資產(chan)(chan)管(guan)理(li)體制改(gai)革(ge)推進到了一(yi)個新的(de)(de)(de)階段。企(qi)業(ye)國(guo)(guo)(guo)有(you)(you)(you)資產(chan)(chan)監(jian)管(guan)工作(zuo)取得了顯著(zhu)成效,同時也面(mian)臨挑戰。如何進一(yi)步提高國(guo)(guo)(guo)有(you)(you)(you)資產(chan)(chan)監(jian)督管(guan)理(li)機(ji)構依法履行(xing)出資人(ren)(ren)職責(ze)能力和(he)水平(ping),不僅是企(qi)業(ye)國(guo)(guo)(guo)有(you)(you)(you)資產(chan)(chan)監(jian)管(guan)工作(zuo)面(mian)臨的(de)(de)(de)艱巨任(ren)(ren)務(wu)(wu),也是推進國(guo)(guo)(guo)有(you)(you)(you)資產(chan)(chan)監(jian)管(guan)體制改(gai)革(ge)不可回避的(de)(de)(de)重大課題。
1、企(qi)業國(guo)有資產監管(guan)工作(zuo)取得的成就
根據國(guo)(guo)務院2003年5月(yue)發(fa)布實(shi)(shi)施的(de)《企(qi)(qi)業國(guo)(guo)有(you)資產監督管(guan)理(li)暫行條例》(以(yi)下(xia)簡稱《條例》)和國(guo)(guo)務院“三定(ding)”方案的(de)規定(ding),國(guo)(guo)資委(wei)代表國(guo)(guo)務院對(dui)授權范圍內的(de)中央企(qi)(qi)業依(yi)法(fa)行使國(guo)(guo)有(you)資本出(chu)資人職(zhi)責,負責指導國(guo)(guo)有(you)企(qi)(qi)業改革和重組,推進(jin)國(guo)(guo)有(you)經濟結構(gou)和布局的(de)戰(zhan)略性調整。國(guo)(guo)務院國(guo)(guo)資委(wei)自2003年3月(yue)組建以(yi)來,認真履行國(guo)(guo)務院賦予的(de)出(chu)資人職(zhi)責,積(ji)極推進(jin)國(guo)(guo)有(you)企(qi)(qi)業改革與發(fa)展,實(shi)(shi)施國(guo)(guo)有(you)經濟布局與結構(gou)的(de)調整,取(qu)得了明(ming)顯的(de)成效。
一是制(zhi)(zhi)(zhi)(zhi)度(du)(du)(du)創新(xin)不斷推(tui)進。2003年國(guo)務院國(guo)資委(wei)(wei)成立以(yi)來,以(yi)制(zhi)(zhi)(zhi)(zhi)度(du)(du)(du)創新(xin)為(wei)先導,堅持(chi)推(tui)進國(guo)有資產(chan)監(jian)管(guan)(guan)體(ti)制(zhi)(zhi)(zhi)(zhi)改革,相繼出(chu)臺了與(yu)(yu)《條(tiao)例(li)》相配套(tao)的(de)(de)15個規(gui)章和(he)30多件規(gui)范(fan)(fan)性文件,從企(qi)業改制(zhi)(zhi)(zhi)(zhi)、清產(chan)核資、產(chan)權管(guan)(guan)理、業績(ji)考核、財(cai)務監(jian)督(du)、薪酬(chou)改革、高管(guan)(guan)人(ren)員管(guan)(guan)理、法律(lv)風(feng)險防范(fan)(fan)等各(ge)方(fang)面(mian)加以(yi)規(gui)范(fan)(fan),初步形成了國(guo)有資產(chan)監(jian)管(guan)(guan)的(de)(de)組織體(ti)系和(he)法規(gui)體(ti)系,使我委(wei)(wei)監(jian)管(guan)(guan)工作(zuo)建立在符合市(shi)場(chang)化要求的(de)(de)制(zhi)(zhi)(zhi)(zhi)度(du)(du)(du)約(yue)束(shu)之(zhi)下。與(yu)(yu)此同時,我委(wei)(wei)所監(jian)管(guan)(guan)的(de)(de)中(zhong)央(yang)企(qi)業也(ye)圍繞改革與(yu)(yu)發展的(de)(de)中(zhong)心,結(jie)(jie)合自身特點進行(xing)了個性化的(de)(de)內部(bu)制(zhi)(zhi)(zhi)(zhi)度(du)(du)(du)創新(xin)。例(li)如,以(yi)建立健全國(guo)有大(da)型公(gong)司董事(shi)會為(wei)重點,企(qi)業法人(ren)治(zhi)理結(jie)(jie)構(gou)得以(yi)繼續(xu)完善,外部(bu)董事(shi)制(zhi)(zhi)(zhi)(zhi)度(du)(du)(du)逐步推(tui)行(xing);以(yi)總法律(lv)顧問(wen)制(zhi)(zhi)(zhi)(zhi)度(du)(du)(du)為(wei)核心的(de)(de)國(guo)有企(qi)業法律(lv)顧問(wen)制(zhi)(zhi)(zhi)(zhi)度(du)(du)(du)建設不斷深(shen)入(ru),中(zhong)央(yang)企(qi)業重大(da)法律(lv)糾(jiu)紛案件管(guan)(guan)理制(zhi)(zhi)(zhi)(zhi)度(du)(du)(du)和(he)企(qi)業法律(lv)風(feng)險防范(fan)(fan)機制(zhi)(zhi)(zhi)(zhi)正(zheng)在完善;企(qi)業內部(bu)勞動(dong)、人(ren)事(shi)、分配制(zhi)(zhi)(zhi)(zhi)度(du)(du)(du)改革逐步深(shen)化。
二是(shi)布局(ju)結構(gou)(gou)調(diao)(diao)整(zheng)取得(de)重大(da)進展(zhan)(zhan)。從戰略上調(diao)(diao)整(zheng)國(guo)(guo)有(you)(you)(you)經濟(ji)布局(ju)和(he)結構(gou)(gou),是(shi)從整(zheng)體上搞(gao)好國(guo)(guo)有(you)(you)(you)經濟(ji)、發(fa)揮國(guo)(guo)有(you)(you)(you)經濟(ji)主導作(zuo)用的一項重要舉措,也(ye)是(shi)調(diao)(diao)整(zheng)和(he)完善所有(you)(you)(you)制(zhi)結構(gou)(gou)的一項重要內容。近年(nian)來,國(guo)(guo)資(zi)委在發(fa)揮市場對資(zi)源配(pei)置的基(ji)礎性(xing)(xing)作(zuo)用的前提下,充分履行出資(zi)人職責,以市場化的方式,通過資(zi)產重組、聯合(he)和(he)并購等手(shou)段積極進行結構(gou)(gou)調(diao)(diao)整(zheng),做(zuo)強做(zuo)大(da)優(you)勢(shi)國(guo)(guo)有(you)(you)(you)企業(ye),著力培養和(he)積極發(fa)展(zhan)(zhan)具(ju)有(you)(you)(you)自(zi)主知識產權、知名品牌和(he)國(guo)(guo)際競爭力的大(da)公司大(da)企業(ye)集團。在各方積極配(pei)合(he)和(he)共同努力下,中(zhong)央企業(ye)已(yi)從2003年(nian)的196戶調(diao)(diao)整(zheng)為166戶。不(bu)少企業(ye)剝離非主營(ying)業(ye)務,縮短投資(zi)鏈條,取得(de)實質性(xing)(xing)進展(zhan)(zhan)。
三(san)是中(zhong)(zhong)央(yang)企業(ye)(ye)實(shi)力增(zeng)(zeng)(zeng)強。中(zhong)(zhong)央(yang)企業(ye)(ye)在我國經濟(ji)發(fa)展(zhan)中(zhong)(zhong)舉足輕重,國資委(wei)不斷引導、促進(jin)(jin)中(zhong)(zhong)央(yang)企業(ye)(ye)樹立和落實(shi)科學發(fa)展(zhan)觀,進(jin)(jin)一步(bu)轉變增(zeng)(zeng)(zeng)長方(fang)式(shi),堅持走新型工業(ye)(ye)化(hua)道路(lu),努力提高中(zhong)(zhong)央(yang)企業(ye)(ye)的整體素質和可(ke)持續(xu)發(fa)展(zhan)能力,2005年(nian),中(zhong)(zhong)央(yang)企業(ye)(ye)實(shi)現(xian)銷售(shou)收(shou)(shou)入67312.9億(yi)元(yuan)(yuan),增(zeng)(zeng)(zeng)長19.8%;實(shi)現(xian)利(li)潤6276.5億(yi)元(yuan)(yuan),增(zeng)(zeng)(zeng)長27.9%;實(shi)現(xian)凈利(li)潤3361.6億(yi)元(yuan)(yuan),增(zeng)(zeng)(zeng)長34.5%;凈資產收(shou)(shou)益(yi)率9.7%,提高1.2個百分(fen)點;完成增(zeng)(zeng)(zeng)加值(zhi)19755億(yi)元(yuan)(yuan),增(zeng)(zeng)(zeng)長20.8%,均(jun)創歷史最(zui)好水(shui)平。2005年(nian)末,中(zhong)(zhong)央(yang)企業(ye)(ye)資產總額達(da)到10.63萬億(yi)元(yuan)(yuan),比上年(nian)末增(zeng)(zeng)(zeng)長15%;凈資產4.65萬億(yi)元(yuan)(yuan),增(zeng)(zeng)(zeng)長18.1%。
2、企業國(guo)有資產運營與監管工作面臨的問題
國務(wu)院國資委成(cheng)立以來,中央企業的(de)(de)改(gai)革與發展取得(de)了明顯成(cheng)效(xiao),但是深(shen)層次的(de)(de)改(gai)革和促進(jin)進(jin)一步發展的(de)(de)任務(wu)也顯得(de)更加繁重,歸納起(qi)來主要(yao)有以下幾個方面:
一是企業(ye)國(guo)有資產(chan)出(chu)資人(ren)(ren)職權(quan)(quan)并未完全(quan)到位。依照《公(gong)司法》、《條例》的(de)規定,出(chu)資人(ren)(ren)依法享有資產(chan)收(shou)(shou)益(yi)、參與重大決策和(he)(he)選(xuan)(xuan)擇管理(li)(li)(li)者(zhe)等權(quan)(quan)利(li)。但是,由于(yu)國(guo)有資產(chan)管理(li)(li)(li)體制(zhi)改革和(he)(he)國(guo)有企業(ye)目前正處于(yu)改革階(jie)段(duan),企業(ye)國(guo)有資產(chan)出(chu)資人(ren)(ren)的(de)職權(quan)(quan)尚未完全(quan)到位。目前,國(guo)資委不僅(jin)未對所(suo)出(chu)資企業(ye)行使收(shou)(shou)益(yi)權(quan)(quan),而且部分中央企業(ye)管理(li)(li)(li)者(zhe)的(de)選(xuan)(xuan)擇權(quan)(quan)也(ye)由其他部門和(he)(he)機構(gou)行使。
二是(shi)培育(yu)具(ju)有(you)(you)國(guo)(guo)(guo)際競(jing)(jing)(jing)爭力(li)的(de)(de)大型企(qi)業(ye)(ye)(ye)集團任務十分艱巨。在(zai)一(yi)定程(cheng)度(du)(du)上,擁有(you)(you)多少跨國(guo)(guo)(guo)公司(si)可(ke)以(yi)體(ti)現一(yi)個國(guo)(guo)(guo)家(jia)的(de)(de)經(jing)(jing)濟實力(li)。我國(guo)(guo)(guo)國(guo)(guo)(guo)有(you)(you)企(qi)業(ye)(ye)(ye)盡管數量眾(zhong)多,但真(zhen)正具(ju)有(you)(you)國(guo)(guo)(guo)際競(jing)(jing)(jing)爭力(li)的(de)(de)大型企(qi)業(ye)(ye)(ye)集團依然寥若(ruo)晨星。2005年上榜美國(guo)(guo)(guo)《財富》500強的(de)(de)中國(guo)(guo)(guo)國(guo)(guo)(guo)有(you)(you)企(qi)業(ye)(ye)(ye)15家(jia),其中10家(jia)為(wei)國(guo)(guo)(guo)資委監(jian)管企(qi)業(ye)(ye)(ye),但沃(wo)爾瑪一(yi)家(jia)的(de)(de)銷(xiao)售(shou)收入(ru)就相當于(yu)這10家(jia)企(qi)業(ye)(ye)(ye)合計的(de)(de)83.1%。我們(men)的(de)(de)大型國(guo)(guo)(guo)有(you)(you)企(qi)業(ye)(ye)(ye)尚(shang)未(wei)真(zhen)正的(de)(de)實現跨國(guo)(guo)(guo)經(jing)(jing)營,倒是(shi)在(zai)“家(jia)門口”開展(zhan)國(guo)(guo)(guo)際競(jing)(jing)(jing)爭,國(guo)(guo)(guo)內競(jing)(jing)(jing)爭國(guo)(guo)(guo)際化(hua)已(yi)經(jing)(jing)達到白熱(re)化(hua)的(de)(de)程(cheng)度(du)(du)。中央(yang)企(qi)業(ye)(ye)(ye)的(de)(de)行業(ye)(ye)(ye)結(jie)構(gou)仍(reng)然較(jiao)散,資產的(de)(de)集中度(du)(du)仍(reng)然較(jiao)低(di)。由于(yu)當今(jin)產業(ye)(ye)(ye)集中度(du)(du)的(de)(de)提高演化(hua)為(wei)產業(ye)(ye)(ye)重(zhong)建,“系(xi)統集中者(zhe)”成為(wei)全球經(jing)(jing)濟的(de)(de)統治者(zhe),因而給發(fa)展(zhan)中國(guo)(guo)(guo)家(jia)企(qi)業(ye)(ye)(ye)特別(bie)是(shi)我們(men)的(de)(de)中央(yang)企(qi)業(ye)(ye)(ye)帶來了前所未(wei)有(you)(you)的(de)(de)嚴峻挑戰。
三是國(guo)有(you)企(qi)業(ye)改(gai)革的(de)(de)(de)股(gu)(gu)份(fen)制改(gai)造任(ren)重(zhong)而道遠。黨(dang)的(de)(de)(de)十六屆三中(zhong)全會《關于完善社會主(zhu)義市(shi)場經濟(ji)體(ti)制若干問(wen)題的(de)(de)(de)決定》明(ming)確(que)指出(chu)(chu),要大力發展國(guo)有(you)資本、集(ji)體(ti)資本和非公(gong)有(you)資本等參股(gu)(gu)的(de)(de)(de)混合(he)所有(you)制經濟(ji),實現投(tou)資主(zhu)體(ti)多(duo)元化(hua),使股(gu)(gu)份(fen)制成為(wei)公(gong)有(you)制的(de)(de)(de)主(zhu)要實現形式。這是在(zai)總結我國(guo)經濟(ji)體(ti)制改(gai)革經驗的(de)(de)(de)基礎上作出(chu)(chu)的(de)(de)(de)英(ying)明(ming)決定。這為(wei)國(guo)有(you)企(qi)業(ye)改(gai)革指出(chu)(chu)了明(ming)確(que)的(de)(de)(de)方向。雖然國(guo)有(you)企(qi)業(ye)改(gai)革已經取(qu)得很(hen)大的(de)(de)(de)成效,但進一步推進投(tou)資主(zhu)體(ti)多(duo)元化(hua),規范實施股(gu)(gu)份(fen)制改(gai)造,是中(zhong)央企(qi)業(ye)下(xia)一步深化(hua)改(gai)革的(de)(de)(de)主(zhu)要任(ren)務。
四是(shi)國(guo)(guo)有(you)(you)(you)資本(ben)的(de)營(ying)(ying)運(yun)體(ti)(ti)系不健全(quan)(quan)。隨著國(guo)(guo)有(you)(you)(you)資產(chan)管(guan)理(li)體(ti)(ti)制(zhi)改革的(de)深(shen)入,企(qi)業(ye)國(guo)(guo)有(you)(you)(you)資產(chan)的(de)產(chan)權(quan)責(ze)任比過(guo)去明確了(le)(le),有(you)(you)(you)一(yi)(yi)個特設機構(gou)來履行出(chu)資人職責(ze)。國(guo)(guo)資委按照《公司(si)法》和《條例》的(de)規(gui)(gui)定(ding),對中央企(qi)業(ye)行使重大事項的(de)決策權(quan)、經營(ying)(ying)者(zhe)的(de)選擇權(quan)和收益(yi)分配權(quan),建(jian)立(li)和完善了(le)(le)戰略(lve)發(fa)展(zhan)規(gui)(gui)劃審(shen)定(ding)、產(chan)權(quan)管(guan)理(li)、業(ye)績考核(he)、財(cai)務監督、收入分配、經營(ying)(ying)者(zhe)選拔等相關配套制(zhi)度(du),進一(yi)(yi)步落實了(le)(le)資產(chan)經營(ying)(ying)責(ze)任制(zhi),國(guo)(guo)有(you)(you)(you)資產(chan)的(de)監督管(guan)理(li)體(ti)(ti)系初步建(jian)立(li)。但(dan)是(shi)企(qi)業(ye)國(guo)(guo)有(you)(you)(you)資產(chan)的(de)產(chan)權(quan)硬約(yue)束(shu)機制(zhi)尚未(wei)完整建(jian)立(li)起來,國(guo)(guo)有(you)(you)(you)資本(ben)的(de)監管(guan)與(yu)營(ying)(ying)運(yun)體(ti)(ti)系還(huan)不健全(quan)(quan),尤其是(shi)國(guo)(guo)有(you)(you)(you)資本(ben)的(de)營(ying)(ying)運(yun)主體(ti)(ti)不突出(chu),國(guo)(guo)資委直接面對一(yi)(yi)百多家經營(ying)(ying)主體(ti)(ti),監管(guan)幅度(du)過(guo)寬(kuan),監管(guan)效果受到影響,因此加(jia)快國(guo)(guo)有(you)(you)(you)資本(ben)營(ying)(ying)運(yun)體(ti)(ti)系建(jian)設迫在眉睫。
五是(shi)建(jian)立(li)國(guo)有(you)獨(du)(du)資(zi)公(gong)(gong)(gong)(gong)司(si)(si)(si)(si)(si)(si)董(dong)(dong)事(shi)(shi)會(hui)(hui)完(wan)善(shan)(shan)公(gong)(gong)(gong)(gong)司(si)(si)(si)(si)(si)(si)治(zhi)(zhi)理(li)(li)結(jie)(jie)構(gou)(gou)任(ren)務繁(fan)重。實踐證明,建(jian)立(li)和完(wan)善(shan)(shan)董(dong)(dong)事(shi)(shi)會(hui)(hui)是(shi)完(wan)善(shan)(shan)公(gong)(gong)(gong)(gong)司(si)(si)(si)(si)(si)(si)治(zhi)(zhi)理(li)(li)結(jie)(jie)構(gou)(gou)的(de)(de)(de)(de)關(guan)(guan)(guan)鍵,也是(shi)現(xian)代公(gong)(gong)(gong)(gong)司(si)(si)(si)(si)(si)(si)制(zhi)條件下(xia)委托代理(li)(li)、分權制(zhi)衡(heng)的(de)(de)(de)(de)重要制(zhi)度(du)安排。因(yin)(yin)此,2005年4月(yue)在(zai)(zai)國(guo)務院提出的(de)(de)(de)(de)深化經(jing)濟體(ti)制(zhi)改革(ge)的(de)(de)(de)(de)意(yi)見中(zhong),明確要求(qiu)要“以(yi)建(jian)立(li)健全國(guo)有(you)大(da)型公(gong)(gong)(gong)(gong)司(si)(si)(si)(si)(si)(si)董(dong)(dong)事(shi)(shi)會(hui)(hui)為重點,抓緊(jin)健全法人(ren)治(zhi)(zhi)理(li)(li)結(jie)(jie)構(gou)(gou)、獨(du)(du)立(li)董(dong)(dong)事(shi)(shi)和派出監(jian)事(shi)(shi)會(hui)(hui)制(zhi)度(du)”。按照(zhao)國(guo)務院的(de)(de)(de)(de)要求(qiu),國(guo)資(zi)委經(jing)過充(chong)分的(de)(de)(de)(de)準備,已經(jing)開(kai)始在(zai)(zai)中(zhong)央企業開(kai)展國(guo)有(you)獨(du)(du)資(zi)公(gong)(gong)(gong)(gong)司(si)(si)(si)(si)(si)(si)的(de)(de)(de)(de)董(dong)(dong)事(shi)(shi)會(hui)(hui)試點。在(zai)(zai)國(guo)有(you)獨(du)(du)資(zi)公(gong)(gong)(gong)(gong)司(si)(si)(si)(si)(si)(si)建(jian)立(li)董(dong)(dong)事(shi)(shi)會(hui)(hui),比股權多元化的(de)(de)(de)(de)公(gong)(gong)(gong)(gong)司(si)(si)(si)(si)(si)(si)難度(du)還要大(da),如果國(guo)資(zi)委、董(dong)(dong)事(shi)(shi)會(hui)(hui)、經(jing)營層的(de)(de)(de)(de)關(guan)(guan)(guan)系(xi)以(yi)及外部董(dong)(dong)事(shi)(shi)與內(nei)部董(dong)(dong)事(shi)(shi)的(de)(de)(de)(de)關(guan)(guan)(guan)系(xi)處理(li)(li)不好,出現(xian)某(mou)方面的(de)(de)(de)(de)缺位或者越位,都將(jiang)影響公(gong)(gong)(gong)(gong)司(si)(si)(si)(si)(si)(si)治(zhi)(zhi)理(li)(li)結(jie)(jie)構(gou)(gou)的(de)(de)(de)(de)效果。因(yin)(yin)此,建(jian)立(li)國(guo)有(you)獨(du)(du)資(zi)公(gong)(gong)(gong)(gong)司(si)(si)(si)(si)(si)(si)董(dong)(dong)事(shi)(shi)會(hui)(hui),時(shi)間緊(jin),任(ren)務重。
(二)研究(jiu)的意義
不難發現,國資委組建以后,按照加強黨的執政能力建設的要求,積極貫徹落實“三個代表”的重要思想,認真履行國有資本出資人職責,推進國有企業改革和戰略結構的調整,引導、促進企業加快技術創新,加強經營管理,防范和化解經營風險,并加強國有資產監管相關規章制度建設,規范改制行為,強化財務監督,完善業績考核,明確經營責任,使國有資產保值增值得到層層落實。但是,國有資產出資人職權尚未到位,國有資產監管、營運體系還不完善,國有經濟布局結構尚不合理,中央企業國際競爭力較弱,企業股份制改造和完善公司治理結構的任務十分艱巨。
同時,我們還應(ying)該清醒(xing)地認(ren)(ren)識到,隨著加入(ru)WTO和國(guo)際(ji)企(qi)業(ye)競(jing)爭(zheng)的(de)強化,國(guo)有企(qi)業(ye)改(gai)革和發展(zhan)面(mian)臨(lin)著來(lai)自(zi)國(guo)外企(qi)業(ye)的(de)競(jing)爭(zheng)和挑(tiao)戰,如何提高國(guo)有企(qi)業(ye)的(de)競(jing)爭(zheng)力,拓寬其(qi)國(guo)際(ji)生存和發展(zhan)空(kong)間,也(ye)是出(chu)資人需要認(ren)(ren)真面(mian)對的(de)問題。
綜上,我(wo)們認為,在經歷了企業國(guo)(guo)(guo)有(you)資(zi)產(chan)監管(guan)體制改(gai)(gai)革(ge)(ge)初步探索之后,國(guo)(guo)(guo)有(you)企業改(gai)(gai)革(ge)(ge)與發(fa)展的實踐(jian)及(ji)國(guo)(guo)(guo)有(you)資(zi)產(chan)管(guan)理體制改(gai)(gai)革(ge)(ge)均對國(guo)(guo)(guo)資(zi)委(wei)(wei)履(lv)行出(chu)資(zi)人(ren)職(zhi)責(ze)的能力(li)(li)和(he)水平提出(chu)了更(geng)新(xin)穎、更(geng)深刻、更(geng)復(fu)雜的問(wen)(wen)題(ti),對國(guo)(guo)(guo)資(zi)委(wei)(wei)進一(yi)步提高依法履(lv)行出(chu)資(zi)人(ren)職(zhi)責(ze)的能力(li)(li)提出(chu)了考(kao)驗。本(ben)課(ke)題(ti)圍繞國(guo)(guo)(guo)務(wu)院國(guo)(guo)(guo)資(zi)委(wei)(wei)有(you)關職(zhi)能和(he)工(gong)作,就國(guo)(guo)(guo)資(zi)委(wei)(wei)提高依法履(lv)行出(chu)資(zi)人(ren)職(zhi)責(ze)能力(li)(li)和(he)水平的相關問(wen)(wen)題(ti)進行研究(jiu),在此基礎上提出(chu)建議,促進企業國(guo)(guo)(guo)有(you)資(zi)產(chan)監督管(guan)理工(gong)作的順利開(kai)展,深化國(guo)(guo)(guo)有(you)資(zi)產(chan)管(guan)理體制改(gai)(gai)革(ge)(ge)。
二(er)、如何(he)理解依法履行(xing)出資人職責(ze)
(一)依法履行出資人職(zhi)責的(de)一般含義
在(zai)一般語義(yi)中(zhong),依(yi)法(fa)履(lv)行(xing)(xing)(xing)(xing)(xing)出(chu)資(zi)(zi)人(ren)職責(ze)(ze),是指公司(si)股東或(huo)其(qi)(qi)他企(qi)(qi)業(ye)(ye)投資(zi)(zi)者(如合伙(huo)企(qi)(qi)業(ye)(ye)合伙(huo)人(ren)、獨資(zi)(zi)企(qi)(qi)業(ye)(ye)投資(zi)(zi)人(ren)等)依(yi)照相關法(fa)律(lv)、法(fa)規的(de)規定對其(qi)(qi)出(chu)資(zi)(zi)的(de)企(qi)(qi)業(ye)(ye)行(xing)(xing)(xing)(xing)(xing)使權(quan)利、履(lv)行(xing)(xing)(xing)(xing)(xing)義(yi)務,并承擔(dan)其(qi)(qi)結果的(de)行(xing)(xing)(xing)(xing)(xing)為與過程。在(zai)我(wo)國(guo)當前國(guo)有(you)(you)資(zi)(zi)產(chan)管理體制改革和國(guo)有(you)(you)企(qi)(qi)業(ye)(ye)改革的(de)背景下(xia)(xia),依(yi)法(fa)履(lv)行(xing)(xing)(xing)(xing)(xing)出(chu)資(zi)(zi)人(ren)職責(ze)(ze),是指國(guo)有(you)(you)資(zi)(zi)產(chan)監督(du)管理機構根據授權(quan)或(huo)委(wei)托代表國(guo)家依(yi)法(fa)對所出(chu)資(zi)(zi)企(qi)(qi)業(ye)(ye)行(xing)(xing)(xing)(xing)(xing)使相應(ying)職權(quan),履(lv)行(xing)(xing)(xing)(xing)(xing)義(yi)務并承擔(dan)相應(ying)責(ze)(ze)任。國(guo)有(you)(you)資(zi)(zi)產(chan)監督(du)管理機構依(yi)法(fa)履(lv)行(xing)(xing)(xing)(xing)(xing)出(chu)資(zi)(zi)人(ren)職責(ze)(ze)必須做(zuo)到以(yi)下(xia)(xia)幾點(dian):

依法(fa)履行出(chu)資人(ren)(ren)職責,是我國(guo)(guo)(guo)國(guo)(guo)(guo)有(you)企業改革(ge)(ge)和深(shen)化國(guo)(guo)(guo)有(you)資產(chan)管(guan)理(li)(li)體(ti)制(zhi)改革(ge)(ge)過程中提(ti)(ti)出(chu)的(de)(de)一(yi)項重要(yao)任務(wu)(wu),首先要(yao)從國(guo)(guo)(guo)有(you)資產(chan)管(guan)理(li)(li)制(zhi)度(du)改革(ge)(ge)的(de)(de)角(jiao)度(du)進(jin)行理(li)(li)解(jie)和把握。黨的(de)(de)十(shi)六大(da)(da)報告提(ti)(ti)出(chu),繼續調整(zheng)國(guo)(guo)(guo)有(you)經濟(ji)的(de)(de)布(bu)局(ju)和結構(gou),改革(ge)(ge)國(guo)(guo)(guo)有(you)資產(chan)管(guan)理(li)(li)體(ti)制(zhi),是深(shen)化經濟(ji)體(ti)制(zhi)改革(ge)(ge)的(de)(de)重大(da)(da)任務(wu)(wu)。根據黨的(de)(de)十(shi)六大(da)(da)提(ti)(ti)出(chu)的(de)(de)深(shen)化國(guo)(guo)(guo)有(you)資產(chan)管(guan)理(li)(li)體(ti)制(zhi)改革(ge)(ge)的(de)(de)精神,依照相關(guan)法(fa)律、行政法(fa)規(gui)的(de)(de)規(gui)定,國(guo)(guo)(guo)務(wu)(wu)院(yuan)和省(sheng)、市人(ren)(ren)民(min)政府設立了國(guo)(guo)(guo)有(you)資產(chan)監督(du)管(guan)理(li)(li)機(ji)構(gou),分別(bie)代表本級人(ren)(ren)民(min)政府履行出(chu)資人(ren)(ren)職責,從組織(zhi)上解(jie)決了長期以來困擾人(ren)(ren)們的(de)(de)出(chu)資人(ren)(ren)缺位問題(ti)。國(guo)(guo)(guo)有(you)資產(chan)監督(du)管(guan)理(li)(li)機(ji)構(gou)的(de)(de)設立本身就是國(guo)(guo)(guo)有(you)資產(chan)管(guan)理(li)(li)體(ti)制(zhi)改革(ge)(ge)的(de)(de)一(yi)個關(guan)鍵環節。
依據(ju)黨的(de)(de)十六(liu)大(da)、十六(liu)屆二中(zhong)全會、三中(zhong)全會的(de)(de)精神(shen),國有(you)資產管(guan)(guan)理體(ti)制改革的(de)(de)根本目標在于:完善相關法律(lv)法規,建立中(zhong)央政府(fu)和地方政府(fu)分別代表國家履行出資人職責(ze),享有(you)所有(you)者權益,權利、義務和責(ze)任“三統一”、管(guan)(guan)資產和管(guan)(guan)人、管(guan)(guan)事“三結合(he)”的(de)(de)國有(you)資產管(guan)(guan)理體(ti)制。

2.嚴格把握行(xing)權履(lv)責的(de)法(fa)律規定
依法(fa)履行出資(zi)人職(zhi)責,是(shi)對國有(you)資(zi)產監(jian)督管理(li)機構(gou)的法(fa)律定(ding)位、行為規范提(ti)出的要求,還(huan)需(xu)要國有(you)資(zi)產監(jian)督管理(li)機構(gou)嚴格依法(fa)行使(shi)相應職(zhi)權,依法(fa)辦事(shi)。

(ding)(ding)(ding)(ding)(ding)(ding)由(you)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)自(zi)主決(jue)(jue)(jue)(jue)定(ding)(ding)(ding)(ding)(ding)(ding)的(de)(de)(de)(de)(de)(de)(de)(de)(de)(de)(de)投資(zi)(zi)(zi)(zi)項(xiang)目除(chu)外;(4)決(jue)(jue)(jue)(jue)定(ding)(ding)(ding)(ding)(ding)(ding)或(huo)(huo)者(zhe)批(pi)(pi)準企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)的(de)(de)(de)(de)(de)(de)(de)(de)(de)(de)(de)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)(chan)(chan)經(jing)(jing)(jing)營(ying)(ying)形(xing)式(shi)和企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)的(de)(de)(de)(de)(de)(de)(de)(de)(de)(de)(de)設立(li)、合并(不含兼并)、分立(li)、終止(zhi)、拍賣,批(pi)(pi)準企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)提(ti)(ti)出(chu)(chu)的(de)(de)(de)(de)(de)(de)(de)(de)(de)(de)(de)被兼并申(shen)(shen)請(qing)和破產(chan)(chan)(chan)(chan)(chan)申(shen)(shen)請(qing);(5)根據(ju)國(guo)(guo)務院的(de)(de)(de)(de)(de)(de)(de)(de)(de)(de)(de)有(you)關(guan)規(gui)定(ding)(ding)(ding)(ding)(ding)(ding),審(shen)批(pi)(pi)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)財(cai)(cai)產(chan)(chan)(chan)(chan)(chan)的(de)(de)(de)(de)(de)(de)(de)(de)(de)(de)(de)報損(sun)、沖減、核銷及(ji)關(guan)鍵設備(bei)、成套(tao)設備(bei)或(huo)(huo)者(zhe)重(zhong)要建(jian)筑物的(de)(de)(de)(de)(de)(de)(de)(de)(de)(de)(de)抵押(ya)、有(you)償轉(zhuan)(zhuan)讓,組織(zhi)清算和收繳(jiao)被撤銷、解(jie)(jie)散企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)的(de)(de)(de)(de)(de)(de)(de)(de)(de)(de)(de)財(cai)(cai)產(chan)(chan)(chan)(chan)(chan);(6)依照(zhao)法(fa)(fa)定(ding)(ding)(ding)(ding)(ding)(ding)條(tiao)(tiao)件(jian)和程序,決(jue)(jue)(jue)(jue)定(ding)(ding)(ding)(ding)(ding)(ding)或(huo)(huo)者(zhe)批(pi)(pi)準企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)廠(chang)(chang)(chang)長的(de)(de)(de)(de)(de)(de)(de)(de)(de)(de)(de)任免(聘任、解(jie)(jie)聘)和獎(jiang)懲;(7)擬(ni)訂企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)財(cai)(cai)產(chan)(chan)(chan)(chan)(chan)管(guan)理法(fa)(fa)規(gui),并對(dui)執行(xing)情況(kuang)進行(xing)監督(du)、檢查;(8)維護企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)依法(fa)(fa)行(xing)使(shi)經(jing)(jing)(jing)營(ying)(ying)權,保(bao)障企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)的(de)(de)(de)(de)(de)(de)(de)(de)(de)(de)(de)生(sheng)(sheng)(sheng)產(chan)(chan)(chan)(chan)(chan)經(jing)(jing)(jing)營(ying)(ying)活(huo)動不受(shou)干預,協助企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)解(jie)(jie)決(jue)(jue)(jue)(jue)實(shi)際困難。
2003年政(zheng)府機構(gou)(gou)改(gai)革(ge)以(yi)后(hou),國(guo)(guo)(guo)務院和地方政(zheng)府先后(hou)設立國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產(chan)監(jian)(jian)督(du)(du)管(guan)(guan)理委員會,作為經(jing)本級政(zheng)府授權(quan)(quan)代(dai)表其(qi)(qi)履(lv)行(xing)出資(zi)(zi)(zi)人(ren)職(zhi)責(ze)的(de)(de)(de)(de)機構(gou)(gou),從(cong)政(zheng)府機構(gou)(gou)設置上(shang)完善了國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產(chan)出資(zi)(zi)(zi)人(ren)代(dai)表制度。2003年5月,根(gen)據(ju)(ju)黨的(de)(de)(de)(de)十六(liu)大和十六(liu)屆二(er)中(zhong)全會精神,結(jie)合國(guo)(guo)(guo)有(you)企(qi)業(ye)(ye)(ye)改(gai)革(ge)的(de)(de)(de)(de)現(xian)實和深(shen)化國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產(chan)管(guan)(guan)理體制改(gai)革(ge)的(de)(de)(de)(de)需(xu)要,國(guo)(guo)(guo)務院制定(ding)(ding)并公布了《企(qi)業(ye)(ye)(ye)國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產(chan)監(jian)(jian)督(du)(du)管(guan)(guan)理暫行(xing)條例》。該《條例》以(yi)《公司法》等法律為依(yi)據(ju)(ju),明確了國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產(chan)監(jian)(jian)督(du)(du)管(guan)(guan)理機構(gou)(gou)的(de)(de)(de)(de)性(xing)質。第13條具體規定(ding)(ding)了國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產(chan)監(jian)(jian)督(du)(du)管(guan)(guan)理機構(gou)(gou)的(de)(de)(de)(de)主要職(zhi)責(ze):(1)依(yi)照(zhao)(zhao)(zhao)《中(zhong)華(hua)人(ren)民共和國(guo)(guo)(guo)公司法》等法律、法規,對所(suo)(suo)出資(zi)(zi)(zi)企(qi)業(ye)(ye)(ye)履(lv)行(xing)出資(zi)(zi)(zi)人(ren)職(zhi)責(ze),維護所(suo)(suo)有(you)者權(quan)(quan)益(yi);(2)指導推進國(guo)(guo)(guo)有(you)及國(guo)(guo)(guo)有(you)控股企(qi)業(ye)(ye)(ye)的(de)(de)(de)(de)改(gai)革(ge)和重組;(3)依(yi)照(zhao)(zhao)(zhao)規定(ding)(ding)向所(suo)(suo)出資(zi)(zi)(zi)企(qi)業(ye)(ye)(ye)派出監(jian)(jian)事(shi)會;(4)依(yi)照(zhao)(zhao)(zhao)法定(ding)(ding)程序對所(suo)(suo)出資(zi)(zi)(zi)企(qi)業(ye)(ye)(ye)的(de)(de)(de)(de)企(qi)業(ye)(ye)(ye)負(fu)責(ze)人(ren)進行(xing)任免(mian)、考核(he),并根(gen)據(ju)(ju)考核(he)結(jie)果(guo)對其(qi)(qi)進行(xing)獎懲;(5)通過統計、稽核(he)等方式對企(qi)業(ye)(ye)(ye)國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產(chan)的(de)(de)(de)(de)報保值增值情(qing)況進行(xing)監(jian)(jian)管(guan)(guan);(6)履(lv)行(xing)出資(zi)(zi)(zi)人(ren)的(de)(de)(de)(de)其(qi)(qi)他(ta)職(zhi)責(ze)和承辦(ban)本級政(zheng)府交(jiao)辦(ban)的(de)(de)(de)(de)其(qi)(qi)他(ta)事(shi)項。此外(wai),國(guo)(guo)(guo)務院國(guo)(guo)(guo)資(zi)(zi)(zi)委還可(ke)以(yi)制定(ding)(ding)企(qi)業(ye)(ye)(ye)國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產(chan)監(jian)(jian)管(guan)(guan)的(de)(de)(de)(de)規章、制度。

針對國有(you)企業(ye)改制為國有(you)獨(du)資公(gong)司的現實,《公(gong)司法》明確規定,各級(ji)人民政府(fu)國有(you)資產監督管(guan)理機構對國有(you)獨(du)資公(gong)司履行出資人職責(第(di)(di)65條(tiao))。國有(you)獨(du)資公(gong)司不設股(gu)東會,由國有(you)資產監督管(guan)理機構行使股(gu)東會職權,委(wei)派(pai)非(fei)由職工代表(biao)擔任的董(dong)(dong)事(shi)、監事(shi),指定董(dong)(dong)事(shi)長、副董(dong)(dong)事(shi)長、監事(shi)會主席,制定或審定公(gong)司章程等(第(di)(di)66條(tiao)、第(di)(di)67條(tiao)、第(di)(di)68條(tiao)、第(di)(di)71條(tiao))。
此外,為依法(fa)(fa)履行出資(zi)人職(zhi)責,做好(hao)企業國(guo)有(you)資(zi)產監(jian)督管理(li)工作(zuo),國(guo)務(wu)(wu)院國(guo)資(zi)委(wei)以及財政部(bu)、中國(guo)證監(jian)會(hui)等有(you)關部(bu)門先后(hou)頒(ban)布(bu)了(le)一些部(bu)門規(gui)(gui)章,對相應的事項作(zuo)出了(le)專(zhuan)門規(gui)(gui)定。這些部(bu)門規(gui)(gui)章也構(gou)成了(le)國(guo)務(wu)(wu)院國(guo)資(zi)委(wei)依法(fa)(fa)履行出資(zi)人職(zhi)責的法(fa)(fa)律依據。
最后,需要指出的是,十屆全國人大已經將《國有資產法》列入了全國人大立法規劃,現已經開始組織有關方面進行起草工作,該法出臺后,將會進一步促進國務院國資委依法行使出資人職責,促進國有資產保值增值工作。
總之,各級人民政府的國有資產(chan)監督管理機構作為(wei)代表國家(jia)履(lv)行(xing)出資人職責的特設機構,在行(xing)權(quan)履(lv)責時所主要遵循的就是現(xian)行(xing)《公司法(fa)》、《企業(ye)法(fa)》、《條例》及其配(pei)套的規章和規范性文(wen)件。
3.科學把握行權履責中的國有企業功能
一般而(er)言,國(guo)(guo)有(you)企業和國(guo)(guo)有(you)經(jing)(jing)(jing)濟(ji)主(zhu)要發(fa)(fa)(fa)揮(hui)以下三(san)個(ge)層次的功(gong)(gong)能:一是(shi)保(bao)障供給的功(gong)(gong)能,即(ji)保(bao)障公共產(chan)(chan)品和私人不愿投資(zi)的非公共產(chan)(chan)品的供給;二是(shi)穩(wen)定(ding)經(jing)(jing)(jing)濟(ji)發(fa)(fa)(fa)展(zhan)的功(gong)(gong)能,即(ji)確保(bao)國(guo)(guo)有(you)經(jing)(jing)(jing)濟(ji)在國(guo)(guo)民(min)經(jing)(jing)(jing)濟(ji)發(fa)(fa)(fa)展(zhan)中發(fa)(fa)(fa)揮(hui)主(zhu)導作用,維護(hu)國(guo)(guo)民(min)經(jing)(jing)(jing)濟(ji)持(chi)續穩(wen)定(ding)發(fa)(fa)(fa)展(zhan);三(san)是(shi)實現資(zi)產(chan)(chan)增值的功(gong)(gong)能,即(ji)確保(bao)國(guo)(guo)有(you)資(zi)產(chan)(chan)運營效益,實現國(guo)(guo)有(you)資(zi)產(chan)(chan)保(bao)值增值。國(guo)(guo)有(you)資(zi)產(chan)(chan)管理機構的目標(biao)就是(shi)要實現國(guo)(guo)有(you)經(jing)(jing)(jing)濟(ji)上述(shu)三(san)個(ge)層次的功(gong)(gong)能。

(二)現階段國資委行權履責(ze)的有限性
上述分析表明,國資委(wei)既不同于(yu)(yu)對全社會進(jin)行(xing)公共管理的(de)(de)政府行(xing)政機構(gou),也不同于(yu)(yu)一般(ban)的(de)(de)企事(shi)業單(dan)位,而是(shi)根據授權代表國務(wu)院(yuan)履(lv)(lv)行(xing)國有(you)資產(chan)出資人(ren)職責(ze)(ze)的(de)(de)、專門承擔國有(you)資產(chan)監管職責(ze)(ze)的(de)(de)特殊機構(gou)。由于(yu)(yu)目前(qian)各方面(mian)改革(ge)的(de)(de)階段性,現階段國資委(wei)行(xing)權履(lv)(lv)責(ze)(ze)表現出許(xu)多有(you)限性特征。需要強調的(de)(de)是(shi),這些有(you)限性是(shi)現階段國有(you)資產(chan)管理體制改革(ge)的(de)(de)產(chan)物,也需要接受國有(you)資產(chan)管理體制改革(ge)的(de)(de)進(jin)一步檢驗。
1. 有限范圍(wei)
“三定(ding)”方案(an)明(ming)確國(guo)(guo)(guo)務(wu)(wu)院(yuan)(yuan)國(guo)(guo)(guo)資(zi)委的(de)監管范圍為(wei)非金融(rong)類(lei)經(jing)營性國(guo)(guo)(guo)有(you)(you)資(zi)產(chan)。《條例》也只適用于國(guo)(guo)(guo)有(you)(you)及國(guo)(guo)(guo)有(you)(you)控股(gu)企(qi)業(ye)(ye)、國(guo)(guo)(guo)有(you)(you)參股(gu)企(qi)業(ye)(ye)中(zhong)的(de)國(guo)(guo)(guo)有(you)(you)資(zi)產(chan),不適用于金融(rong)機構中(zhong)國(guo)(guo)(guo)有(you)(you)資(zi)產(chan)。2003年(nian)10月21日國(guo)(guo)(guo)務(wu)(wu)院(yuan)(yuan)授(shou)權(quan)國(guo)(guo)(guo)務(wu)(wu)院(yuan)(yuan)國(guo)(guo)(guo)資(zi)委履行出資(zi)人職責(ze)的(de)企(qi)業(ye)(ye)為(wei)189家,后來增加到(dao)196家,經(jing)過三年(nian)多的(de)重(zhong)組(zu)目前為(wei)166家。
地方(fang)國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)委(wei)(wei)的(de)(de)(de)監管范圍由地方(fang)政(zheng)府確定,并沒有(you)(you)強調一(yi)定要與國(guo)(guo)(guo)(guo)務院(yuan)國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)委(wei)(wei)完(wan)全(quan)一(yi)致(zhi)。從目(mu)前實際(ji)情況看,大多數地方(fang)國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)委(wei)(wei)與國(guo)(guo)(guo)(guo)務院(yuan)國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)委(wei)(wei)監管范圍基本一(yi)致(zhi)。少數地方(fang)國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)委(wei)(wei)監管范圍更寬一(yi)些,拓(tuo)展到了金融類經營性(xing)資(zi)(zi)(zi)(zi)(zi)(zi)產和非經營性(xing)資(zi)(zi)(zi)(zi)(zi)(zi)產。如上海市通過委(wei)(wei)托的(de)(de)(de)辦(ban)法對行政(zheng)事(shi)業(ye)性(xing)國(guo)(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)產實施(shi)監管;南寧市國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)委(wei)(wei)下(xia)設一(yi)個(ge)威寧公(gong)司(si),負(fu)責管理行政(zheng)事(shi)業(ye)單(dan)位中的(de)(de)(de)房產及經營性(xing)國(guo)(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)產;吉林(lin)省(sheng)國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)委(wei)(wei)除(chu)監管省(sheng)級企(qi)業(ye)國(guo)(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)產外,還(huan)監管地方(fang)性(xing)金融類企(qi)業(ye)的(de)(de)(de)國(guo)(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)產;江西省(sheng)政(zheng)府將部分原(yuan)隸(li)屬于院(yuan)校(xiao)的(de)(de)(de)國(guo)(guo)(guo)(guo)有(you)(you)企(qi)業(ye)授權省(sheng)國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)委(wei)(wei)履行出(chu)資(zi)(zi)(zi)(zi)(zi)(zi)人職(zhi)責。

2. 有限角色
從(cong)(cong)國(guo)(guo)務院國(guo)(guo)資(zi)(zi)(zi)委與中央企(qi)業(ye)(ye)(ye)的(de)(de)(de)關系看(kan)(kan),目前國(guo)(guo)資(zi)(zi)(zi)委直(zhi)接監管的(de)(de)(de)中央企(qi)業(ye)(ye)(ye)既有按(an)《企(qi)業(ye)(ye)(ye)法》注冊(ce)的(de)(de)(de)企(qi)業(ye)(ye)(ye),也(ye)有按(an)《公(gong)(gong)(gong)(gong)司(si)(si)法》注冊(ce)的(de)(de)(de)公(gong)(gong)(gong)(gong)司(si)(si)。按(an)《企(qi)業(ye)(ye)(ye)法》注冊(ce)的(de)(de)(de)企(qi)業(ye)(ye)(ye),將逐步轉制為按(an)《公(gong)(gong)(gong)(gong)司(si)(si)法》注冊(ce)的(de)(de)(de)公(gong)(gong)(gong)(gong)司(si)(si)。國(guo)(guo)資(zi)(zi)(zi)委對于直(zhi)接監管的(de)(de)(de)公(gong)(gong)(gong)(gong)司(si)(si)是出(chu)資(zi)(zi)(zi)人代(dai)表,擔當股東(dong)(dong)角色。如果直(zhi)接監管的(de)(de)(de)公(gong)(gong)(gong)(gong)司(si)(si)是國(guo)(guo)有獨資(zi)(zi)(zi)公(gong)(gong)(gong)(gong)司(si)(si),國(guo)(guo)資(zi)(zi)(zi)委行(xing)使股東(dong)(dong)會(hui)的(de)(de)(de)職(zhi)責,即《公(gong)(gong)(gong)(gong)司(si)(si)法》規(gui)定的(de)(de)(de)股東(dong)(dong)會(hui)的(de)(de)(de)11項(xiang)職(zhi)權(quan)。但實際上,國(guo)(guo)資(zi)(zi)(zi)委還(huan)可以將部分職(zhi)權(quan)授予(yu)公(gong)(gong)(gong)(gong)司(si)(si)董(dong)事(shi)會(hui)。從(cong)(cong)法理(li)和規(gui)定看(kan)(kan),不管國(guo)(guo)資(zi)(zi)(zi)委如何行(xing)權(quan)履(lv)責,但根本(ben)的(de)(de)(de)一(yi)條是不能(neng)直(zhi)接干預(yu)企(qi)業(ye)(ye)(ye)的(de)(de)(de)經營(ying)活動。
從國(guo)(guo)(guo)務(wu)(wu)院國(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)與(yu)地(di)(di)方(fang)(fang)(fang)國(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)的關系看,十(shi)六大明(ming)確提出(chu)了“國(guo)(guo)(guo)家所有(you),分級(ji)(ji)行(xing)使產權(quan)”(由國(guo)(guo)(guo)務(wu)(wu)院和地(di)(di)方(fang)(fang)(fang)人民政府分別代表國(guo)(guo)(guo)家履行(xing)出(chu)資(zi)(zi)人職責,享(xiang)有(you)所有(you)者權(quan)益)的國(guo)(guo)(guo)有(you)資(zi)(zi)產管(guan)理原(yuan)則。地(di)(di)方(fang)(fang)(fang)政府依法授權(quan)地(di)(di)方(fang)(fang)(fang)國(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)對其所轄企業(ye)(ye)行(xing)使出(chu)資(zi)(zi)人職責,享(xiang)有(you)所有(you)者權(quan)益,可以自行(xing)決定包括國(guo)(guo)(guo)有(you)股權(quan)轉讓、拍賣等(deng)事宜(yi),擁有(you)國(guo)(guo)(guo)有(you)資(zi)(zi)產處置權(quan)力。國(guo)(guo)(guo)務(wu)(wu)院國(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)和地(di)(di)方(fang)(fang)(fang)國(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)分別對同(tong)級(ji)(ji)人民政府負責,國(guo)(guo)(guo)務(wu)(wu)院國(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)對地(di)(di)方(fang)(fang)(fang)國(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)進行(xing)業(ye)(ye)務(wu)(wu)工(gong)作指導和監督。地(di)(di)方(fang)(fang)(fang)國(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)與(yu)國(guo)(guo)(guo)務(wu)(wu)院國(guo)(guo)(guo)資(zi)(zi)委(wei)(wei)并非隸(li)屬(shu)關系,兩者作為企業(ye)(ye)的出(chu)資(zi)(zi)人,是平等(deng)的利益主體(ti)。
因此,從上述兩(liang)方面(mian)看,國務院國資(zi)委無論是對(dui)(dui)所出資(zi)的中央(yang)企(qi)業,還是對(dui)(dui)地方國資(zi)委,只能是“有限的角色”。
3. 有限能力

三(san)、國資(zi)委如何依法履行出資(zi)人職責
(一)未來一段時(shi)間(jian)國資委機構演變趨勢(shi)展望
按照黨中央、國務院確立(li)的國資(zi)委(wei)(wei)的使(shi)命--搞好國有(you)企業、推進企業自(zi)主創(chuang)新、推動國有(you)經濟布(bu)局和(he)結構(gou)的戰(zhan)略(lve)性調整、實現國有(you)資(zi)產(chan)保值增值。在過去的3年多時間(jian)里,國資(zi)委(wei)(wei)初步完成了第一階段的目(mu)標--平(ping)穩(wen)、規范起步:組織(zhi)機構(gou)搭建起來了,法(fa)律法(fa)規體(ti)系(xi)初步確立(li),考核、薪酬、產(chan)權管(guan)理(li)、清產(chan)核資(zi)、市場化(hua)選(xuan)聘人才等(deng)管(guan)人、管(guan)事、管(guan)資(zi)產(chan)的機制初步建立(li)并開始運轉(zhuan)。
第一(yi)(yi)階段(duan)(duan)目標(biao)完成(cheng)后,國(guo)資(zi)委步(bu)入第二個重要(yao)發(fa)展階段(duan)(duan)--2006-2008年(nian),按照(zhao)國(guo)務院國(guo)資(zi)委當(dang)前的(de)(de)(de)(de)(de)工作部(bu)署(shu)及機構(gou)運行的(de)(de)(de)(de)(de)軌(gui)跡,到(dao)2008年(nian),應(ying)當(dang)完成(cheng)的(de)(de)(de)(de)(de)第二階段(duan)(duan)的(de)(de)(de)(de)(de)新目標(biao)主(zhu)要(yao)應(ying)當(dang)包括以下三個方面:大部(bu)分中央企業建(jian)立(li)起比較(jiao)規范(fan)的(de)(de)(de)(de)(de)董(dong)事會和(he)較(jiao)為完善的(de)(de)(de)(de)(de)法人治理(li)結構(gou),現代企業制度初(chu)步(bu)確(que)立(li);國(guo)有資(zi)本經(jing)營(ying)預算制度初(chu)步(bu)建(jian)立(li);中央企業的(de)(de)(de)(de)(de)戶數、管理(li)的(de)(de)(de)(de)(de)層級(ji)進一(yi)(yi)步(bu)精減(jian),集團控(kong)制力進一(yi)(yi)步(bu)增強,主(zhu)業更加明確(que),資(zi)產經(jing)營(ying)公司開始試點(dian)和(he)運轉。
圍繞黨(dang)中央、國(guo)務院(yuan)確立的使(shi)命,借鑒淡馬錫的運作模式,在(zai)完成第二階段確定的目標之(zhi)(zhi)后(hou),2008年之(zhi)(zhi)后(hou),國(guo)資(zi)委(wei)應當著(zhu)力實(shi)現的目標至少(shao)應當包括(kuo)以下三個方(fang)面:推(tui)(tui)動(dong)國(guo)有經濟布局和結構的戰略性(xing)調整;培育成功企(qi)業(ye),提升企(qi)業(ye)核心競爭力;推(tui)(tui)動(dong)企(qi)業(ye)跨國(guo)經營。
(二(er))對國資委內部的機構設置(zhi)與運作(zuo)高效的要求
1、國(guo)資委機(ji)構應具備的特性
為(wei)適應變(bian)革(ge),國資(zi)委(wei)機(ji)構除了(le)必須要有準(zhun)確(que)的職責定位外,還應當具有以下四個特(te)性:
一(yi)(yi)是機(ji)構內(nei)部(bu)必須始終強調協作性。在過去3年多時間里,國資委內(nei)部(bu)機(ji)構之(zhi)間圍繞委里的(de)(de)定(ding)位和(he)使(shi)命,形(xing)成(cheng)了比較良好(hao)的(de)(de)協作關(guan)系,這為(wei)樹(shu)立(li)國資委的(de)(de)新形(xing)象,完成(cheng)第一(yi)(yi)階段(duan)(duan)的(de)(de)起步(bu)目標奠定(ding)了重要的(de)(de)基礎。但運作一(yi)(yi)段(duan)(duan)時間后,目前已(yi)經(jing)出現(xian)一(yi)(yi)種苗頭,即各內(nei)設機(ji)構之(zhi)間開始強化自己的(de)(de)職(zhi)能,相互配合(he)與(yu)協作趨于弱(ruo)化,這不利(li)于國資委工(gong)作形(xing)成(cheng)“拳頭”與(yu)合(he)力,容(rong)易(yi)形(xing)成(cheng)內(nei)耗(hao),降低(di)工(gong)作質量和(he)效率。
二是機構(gou)(gou)設(she)置必須具有一定的適應性。國資委面臨的環境在變(bian),任務(wu)在變(bian),因此,自(zi)身(shen)機構(gou)(gou)必須隨著(zhu)環境的變(bian)化而相(xiang)應調整(zheng),機構(gou)(gou)設(she)置要有一定的彈(dan)性,而且最(zui)好是內部主動作適應性調整(zheng)。
這是由(you)國資委(wei)的(de)機(ji)構(gou)(gou)特性和工作(zuo)對(dui)象所決定的(de),它(ta)不(bu)同于政府公(gong)共機(ji)構(gou)(gou),它(ta)要(yao)隨著企業自身、環(huan)境及國際條(tiao)件的(de)變(bian)化而對(dui)其內(nei)設機(ji)構(gou)(gou)作(zuo)相應的(de)調整(zheng)。
三(san)是機構(gou)必須具有(you)(you)(you)較強(qiang)的(de)(de)(de)學(xue)(xue)習性。國資委的(de)(de)(de)干部大部分來(lai)自黨政機關,多(duo)年來(lai)形成(cheng)的(de)(de)(de)業(ye)務(wu)專(zhuan)長和工作技能與履行出(chu)資人(ren)職責所要(yao)(yao)求(qiu)的(de)(de)(de)素質和能力(li)有(you)(you)(you)不(bu)小的(de)(de)(de)偏差,雖然經過(guo)3年多(duo)的(de)(de)(de)適(shi)應,大家(jia)在意識和能力(li)方面有(you)(you)(you)不(bu)少的(de)(de)(de)進步,但深度還遠遠不(bu)夠,如果(guo)再考慮到未來(lai)3-5年所要(yao)(yao)完成(cheng)的(de)(de)(de)第二(er)階段(主(zhu)要(yao)(yao)側重(zhong)于微(wei)觀和中觀層次(ci))、第三(san)階段(主(zhu)要(yao)(yao)側重(zhong)于中觀和宏觀層次(ci))的(de)(de)(de)目(mu)標和任(ren)務(wu),則對國資委的(de)(de)(de)每一個人(ren)來(lai)說(shuo),都提出(chu)了更高的(de)(de)(de)要(yao)(yao)求(qiu),要(yao)(yao)不(bu)辱使命(ming),國資委必須變成(cheng)一個學(xue)(xue)習型的(de)(de)(de)組織,要(yao)(yao)比其它(ta)政府機構(gou)有(you)(you)(you)更強(qiang)的(de)(de)(de)學(xue)(xue)習能力(li)。
四(si)是機(ji)構(gou)必須具有(you)(you)較強的(de)(de)(de)兼容(rong)性。國(guo)資委的(de)(de)(de)工(gong)作(zuo)(zuo)極具探(tan)索性和(he)挑戰性,沒有(you)(you)現成的(de)(de)(de)模式和(he)經驗(yan)可供借鑒,很多(duo)工(gong)作(zuo)(zuo)需(xu)要(yao)(yao)一邊(bian)(bian)學習,一邊(bian)(bian)探(tan)索,一邊(bian)(bian)完善,這就要(yao)(yao)求國(guo)資委的(de)(de)(de)所有(you)(you)內設機(ji)構(gou)要(yao)(yao)勇(yong)于開拓(tuo),勇(yong)于探(tan)索,要(yao)(yao)有(you)(you)膽(dan)識,要(yao)(yao)有(you)(you)氣魄。同時(shi),作(zuo)(zuo)為(wei)一個新機(ji)構(gou),要(yao)(yao)有(you)(you)兼容(rong)性,既要(yao)(yao)學習國(guo)外的(de)(de)(de)先進經驗(yan),學習國(guo)內一些地方(fang)國(guo)資監管(guan)機(ji)構(gou)和(he)企(qi)業在實(shi)踐中(zhong)(zhong)總結出來的(de)(de)(de)好的(de)(de)(de)經驗(yan),但(dan)同時(shi)也要(yao)(yao)考慮中(zhong)(zhong)國(guo)的(de)(de)(de)國(guo)情和(he)中(zhong)(zhong)央企(qi)業的(de)(de)(de)實(shi)際,不照辦(ban)硬套(tao),要(yao)(yao)有(you)(you)“博大(da)的(de)(de)(de)胸懷(huai)”和(he)較強的(de)(de)(de)包容(rong)性。
總之,按照新的(de)(de)國(guo)(guo)有資產監(jian)管(guan)(guan)(guan)(guan)體制的(de)(de)要求,從出資人的(de)(de)職(zhi)能發揮和(he)管(guan)(guan)(guan)(guan)理(li)效率兩個方(fang)面明確國(guo)(guo)資委定(ding)位(wei),調(diao)整(zheng)國(guo)(guo)資委機關的(de)(de)管(guan)(guan)(guan)(guan)理(li)職(zhi)能;根(gen)據國(guo)(guo)資監(jian)管(guan)(guan)(guan)(guan)機構(gou)(gou)的(de)(de)任務、管(guan)(guan)(guan)(guan)理(li)幅度、管(guan)(guan)(guan)(guan)理(li)水(shui)平以(yi)及其他相關因素,調(diao)整(zheng)設計國(guo)(guo)資監(jian)管(guan)(guan)(guan)(guan)機構(gou)(gou)的(de)(de)管(guan)(guan)(guan)(guan)理(li)模(mo)式(shi);明確出資人與各中央企業總部、中央企業董事會(hui)、監(jian)事會(hui)及其成員的(de)(de)關系(xi)。依(yi)據國(guo)(guo)資監(jian)管(guan)(guan)(guan)(guan)機構(gou)(gou)職(zhi)能定(ding)位(wei),對國(guo)(guo)資監(jian)管(guan)(guan)(guan)(guan)機構(gou)(gou)關鍵管(guan)(guan)(guan)(guan)理(li)職(zhi)能進行分解,并以(yi)此為前提設計合(he)理(li)、高效的(de)(de)組織(zhi)機構(gou)(gou),確定(ding)部門,制定(ding)部門職(zhi)責(ze)。
2、在2006-2008年過渡階段(duan),國資委機構要處理好(hao)的關(guan)系
在2006-2008年(nian),國資(zi)(zi)委面(mian)臨的(de)改(gai)革、發展和(he)制度建設(she)任務將十分繁重,除了要鞏固第一階段(duan)(duan)已(yi)取得的(de)成績(ji)外,更(geng)要推進現代企業制度、國有(you)資(zi)(zi)本經營(ying)(ying)預算(suan)制度、資(zi)(zi)產經營(ying)(ying)公司體制的(de)建設(she)和(he)規范運轉,這是(shi)一個(ge)充滿(man)風險和(he)挑戰(zhan),而又不能(neng)逾越(yue)的(de)階段(duan)(duan),尤其是(shi)法人治理結構問題更(geng)是(shi)必須(xu)全力解決(jue)的(de)核心(xin)問題。
第一(yi),進(jin)一(yi)步減少(shao)行政管理(li)色彩,強化出資人職(zhi)能(neng)。
國(guo)資委的現有機(ji)(ji)構設(she)置與實(shi)現第二階段目標所要(yao)(yao)求的機(ji)(ji)構框架不完全匹配。比(bi)如說,現有機(ji)(ji)構的設(she)置沒(mei)有考慮推進國(guo)有獨資公司(si)設(she)立(li)規范董事(shi)(shi)會的現實(shi),更沒(mei)有考慮建立(li)國(guo)有資本經營預算、推進國(guo)有資產經營公司(si)運作的客觀需(xu)要(yao)(yao)。下面(mian),我(wo)們簡單對(dui)推進國(guo)有獨資公司(si)董事(shi)(shi)會工作與現有機(ji)(ji)構設(she)置可能存在的矛盾進行剖析,以便進一步加深對(dui)機(ji)(ji)構調整必要(yao)(yao)性的認識。
根據《公司法》、國資委關于國有獨資公司董事會試點指導意見、試點企業董事會與國資委的關系等有關法律法規和政策的精神,在國有獨資公司建立規范的董事會之后,董事會是股東利益的忠實代表,是保護股東合法權益、體現股東意志的制度依托,是實現出資人職責到位的最終體現,同時,董事會還負責企業的重大決策,對企業進行戰略性監控,并負責選聘、評價、考核、激勵經理人員;經營層將主要承擔執行董事會決議的職責;而國資委承擔的是股東會的職責,主要是指導董事會工作。按照這種架構,國資委將來更多的是和董事會打交道,而不是像現在一樣主要和經營層以及公司的各個職能部門直接進行業務聯系。因此隨著企業董事會的建立,委內機構也應進行相應的調整。
另外,對于國資(zi)委擬著(zhu)力推進的(de)諸如國有資(zi)本(ben)經營(ying)預算等制度建設,委內部(bu)也(ye)應(ying)成(cheng)立專門(men)(men)的(de)機構(gou)去統(tong)籌策劃、調研、協(xie)調與(yu)相關(guan)(guan)部(bu)門(men)(men)的(de)關(guan)(guan)系、進行(xing)方案的(de)設計(ji)與(yu)論證、對相關(guan)(guan)工(gong)作人員(yuan)進行(xing)事(shi)前培訓等。
第二(er),完善試點企業法人治理(li)結構過程中(zhong)要把握的(de)幾個關(guan)系。
一是(shi)公(gong)司(si)(si)(si)治理(li)中分權(quan)制(zhi)(zhi)衡與(yu)股(gu)東會(hui)控(kong)制(zhi)(zhi)之間(jian)的(de)關系(xi)問題。黨的(de)十六屆三中全會(hui)指出,按照現代企業制(zhi)(zhi)度(du)要(yao)求,規(gui)范(fan)公(gong)司(si)(si)(si)股(gu)東會(hui)、董事(shi)會(hui)、監事(shi)會(hui)和(he)經營管(guan)理(li)者的(de)權(quan)責,形成(cheng)權(quan)力機構(gou)、決策(ce)機構(gou)、監督機構(gou)和(he)經營管(guan)理(li)者之間(jian)的(de)制(zhi)(zhi)衡機制(zhi)(zhi),這(zhe)也將是(shi)國資委(wei)推進(jin)國有(you)獨(du)資公(gong)司(si)(si)(si)試點的(de)最終目的(de)和(he)擬遵循的(de)最重要(yao)的(de)原則。但在推進(jin)試點的(de)過程中,需要(yao)認(ren)真(zhen)研究(jiu)和(he)把握公(gong)司(si)(si)(si)治理(li)制(zhi)(zhi)衡機制(zhi)(zhi)建設與(yu)股(gu)東會(hui)對公(gong)司(si)(si)(si)控(kong)制(zhi)(zhi)之間(jian)的(de)關系(xi),不應(ying)以相互制(zhi)(zhi)衡為由來弱化股(gu)東會(hui)對公(gong)司(si)(si)(si)的(de)控(kong)制(zhi)(zhi)。淡(dan)馬(ma)錫控(kong)股(gu)和(he)愛(ai)立信比較好地處理(li)了這(zhe)種關系(xi)。
淡馬(ma)錫旗(qi)下的(de)(de)不少公(gong)司(si)是(shi)多元化持股(gu)(gu)的(de)(de)上市公(gong)司(si),在(zai)其(qi)(qi)旗(qi)下公(gong)司(si)涉及(ji)(ji)(ji)重大(da)決(jue)(jue)策(ce)時(shi),淡馬(ma)錫控(kong)(kong)(kong)股(gu)(gu)的(de)(de)決(jue)(jue)策(ce)程序,通(tong)常情況(kuang)下是(shi)先由公(gong)司(si)執行層(ceng)研(yan)究(jiu)提出方案,之后交由董(dong)(dong)事會研(yan)究(jiu)決(jue)(jue)定(ding)(ding)并報(bao)淡馬(ma)錫控(kong)(kong)(kong)股(gu)(gu)審議。淡馬(ma)錫控(kong)(kong)(kong)股(gu)(gu)及(ji)(ji)(ji)旗(qi)下形(xing)成(cheng)了一種有(you)效的(de)(de)工作(zuo)習慣,即在(zai)研(yan)究(jiu)和決(jue)(jue)定(ding)(ding)重大(da)決(jue)(jue)策(ce)時(shi),公(gong)司(si)執行層(ceng)隨時(shi)與公(gong)司(si)董(dong)(dong)事及(ji)(ji)(ji)淡馬(ma)錫控(kong)(kong)(kong)股(gu)(gu)的(de)(de)相關部(bu)門進(jin)行溝通(tong),公(gong)司(si)其(qi)(qi)它董(dong)(dong)事也(ye)隨時(shi)與淡馬(ma)錫控(kong)(kong)(kong)股(gu)(gu)指派(pai)的(de)(de)董(dong)(dong)事及(ji)(ji)(ji)淡馬(ma)錫控(kong)(kong)(kong)股(gu)(gu)的(de)(de)高層(ceng)進(jin)行溝通(tong),以(yi)確保決(jue)(jue)策(ce)科(ke)學并符合大(da)股(gu)(gu)東利(li)益。也(ye)就是(shi)說,淡馬(ma)錫控(kong)(kong)(kong)股(gu)(gu)對旗(qi)下公(gong)司(si)董(dong)(dong)事會及(ji)(ji)(ji)執行層(ceng)的(de)(de)影響主要有(you)三個(ge)通(tong)道:一是(shi)淡馬(ma)錫控(kong)(kong)(kong)股(gu)(gu)總部(bu)派(pai)下去的(de)(de)董(dong)(dong)事;二是(shi)其(qi)(qi)它聘任的(de)(de)外(wai)部(bu)董(dong)(dong)事;三是(shi)淡馬(ma)錫控(kong)(kong)(kong)股(gu)(gu)總部(bu)各部(bu)門與旗(qi)下各公(gong)司(si)執行層(ceng)良好的(de)(de)工作(zuo)關系。同時(shi),淡馬(ma)錫控(kong)(kong)(kong)股(gu)(gu)還在(zai)以(yi)下三個(ge)方面(mian)加強對旗(qi)下企業(ye)的(de)(de)監(jian)控(kong)(kong)(kong):一是(shi)定(ding)(ding)期檢討企業(ye)運作(zuo)情況(kuang);二是(shi)定(ding)(ding)期與企業(ye)董(dong)(dong)事會面(mian);三是(shi)親臨企業(ye)檢查企業(ye)運作(zuo)狀況(kuang)。
愛立信(xin)對海外(wai)公(gong)(gong)(gong)司(si)(si)(si)(si)的(de)控(kong)制問題也有異曲(qu)同(tong)工之處(chu)。雖然愛立信(xin)集(ji)團(tuan)公(gong)(gong)(gong)司(si)(si)(si)(si)對所屬公(gong)(gong)(gong)司(si)(si)(si)(si)有分權(quan)、有授權(quan),但(dan)涉及到一些重(zhong)大事項如投資、重(zhong)大經營策略(lve)等(deng)決策時,集(ji)團(tuan)公(gong)(gong)(gong)司(si)(si)(si)(si)會凌(ling)駕于所屬公(gong)(gong)(gong)司(si)(si)(si)(si)之上,即(ji)使所屬公(gong)(gong)(gong)司(si)(si)(si)(si)是一個多元化持股(gu)公(gong)(gong)(gong)司(si)(si)(si)(si)。這實質(zhi)上就是公(gong)(gong)(gong)司(si)(si)(si)(si)的(de)控(kong)制問題。換句(ju)話(hua)說,分權(quan)、授權(quan)或(huo)相互制衡(heng),是在出資人對公(gong)(gong)(gong)司(si)(si)(si)(si)的(de)控(kong)制框架下的(de)制度(du)安排(pai),而不(bu)是相反。
二是(shi)國(guo)(guo)際(ji)化經(jing)驗與本(ben)土化之(zhi)間的(de)(de)(de)關(guan)(guan)系(xi)問(wen)題。我們應借鑒發達國(guo)(guo)家(jia)公(gong)司治理方面的(de)(de)(de)先(xian)進理念,但(dan)必須清醒地認(ren)識到,各(ge)種制度的(de)(de)(de)產(chan)生、規范運轉和(he)演變(bian)都有一個(ge)與之(zhi)相應的(de)(de)(de)社會(hui)、歷史、文化環境,在研(yan)究和(he)推進國(guo)(guo)有獨資公(gong)司董事會(hui)試點過程中,我們要充分(fen)注意(yi)國(guo)(guo)際(ji)化與本(ben)土化之(zhi)間的(de)(de)(de)關(guan)(guan)系(xi)問(wen)題,把視野放(fang)得更(geng)寬(kuan)一些(xie)。由(you)于(yu)目前(qian)我國(guo)(guo)的(de)(de)(de)法(fa)(fa)治環境和(he)誠信制度及(ji)理念建(jian)設(she)尚處在發展過程之(zhi)中,因此(ci)要推進公(gong)司法(fa)(fa)人(ren)治理結構建(jian)設(she),可能遇到的(de)(de)(de)困難(nan)會(hui)比(bi)設(she)想的(de)(de)(de)多,花費的(de)(de)(de)時(shi)間也會(hui)較長(chang)些(xie)。
我們以新(xin)(xin)加(jia)(jia)坡(po)(po)為例解析董事會建設時需(xu)要關注的(de)(de)(de)(de)(de)一(yi)些體制以及政治文化(hua)環(huan)境(jing)的(de)(de)(de)(de)(de)異同。從(cong)總體上(shang)講,淡馬錫(xi)控股對旗下企業(ye)的(de)(de)(de)(de)(de)管(guan)控經驗對國資(zi)委(wei)履行好出(chu)資(zi)人(ren)(ren)職責,構(gou)建微觀(guan)企業(ye)制度基礎,管(guan)理和監督(du)好所出(chu)資(zi)企業(ye)國有(you)資(zi)產有(you)一(yi)定的(de)(de)(de)(de)(de)借鑒性。除了技術層(ceng)面的(de)(de)(de)(de)(de)原因——都是(shi)(shi)(shi)(shi)代表國家履行出(chu)資(zi)人(ren)(ren)職責外,還有(you)三點重(zhong)要的(de)(de)(de)(de)(de)共同點:一(yi)是(shi)(shi)(shi)(shi)從(cong)體制上(shang)來講,新(xin)(xin)加(jia)(jia)坡(po)(po)的(de)(de)(de)(de)(de)經濟(ji)是(shi)(shi)(shi)(shi)政府(fu)主導型的(de)(de)(de)(de)(de)經濟(ji),政府(fu)在整個國家的(de)(de)(de)(de)(de)經濟(ji)發展中具有(you)很大的(de)(de)(de)(de)(de)權威;二是(shi)(shi)(shi)(shi)新(xin)(xin)加(jia)(jia)坡(po)(po)的(de)(de)(de)(de)(de)華人(ren)(ren)占總人(ren)(ren)口的(de)(de)(de)(de)(de)70%以上(shang),文化(hua)傳統(tong)及價(jia)值觀(guan)念有(you)一(yi)定的(de)(de)(de)(de)(de)相似性;三是(shi)(shi)(shi)(shi)新(xin)(xin)加(jia)(jia)坡(po)(po)的(de)(de)(de)(de)(de)國有(you)企業(ye)(在新(xin)(xin)加(jia)(jia)坡(po)(po)稱“政聯企業(ye)”)在國民經濟(ji)中具有(you)較強的(de)(de)(de)(de)(de)影響力。
但我國與新(xin)加(jia)(jia)(jia)坡(po)(po)(po)至少在三(san)個方面有著很大(da)的不同:一是(shi)(shi)新(xin)加(jia)(jia)(jia)坡(po)(po)(po)法制十分(fen)健全,屬于(yu)“嚴刑酷(ku)法”,民眾十分(fen)守法,信托(tuo)責(ze)任比較健全;二是(shi)(shi)新(xin)加(jia)(jia)(jia)坡(po)(po)(po)推行(xing)的是(shi)(shi)“精英政府”策略,公務人員是(shi)(shi)社會中最優(you)秀的人才(cai),收入及其它方面的待遇也是(shi)(shi)社會上最有吸收力的;三(san)是(shi)(shi)新(xin)加(jia)(jia)(jia)坡(po)(po)(po)實行(xing)的是(shi)(shi)資本(ben)主義制度(du),國有企業(ye)數量比較有限。
因此(ci),在借(jie)鑒新(xin)加坡企業法(fa)人(ren)治理結構(gou)和董(dong)(dong)事(shi)會(hui)制度建設時(shi),我們必須對(dui)中國和新(xin)加坡的(de)政治社會(hui)環境的(de)差異有清醒的(de)認(ren)識(shi),以便(bian)使董(dong)(dong)事(shi)會(hui)試(shi)點企業的(de)法(fa)人(ren)治理結構(gou)更加完善和有效。
三(san)是戰略方向與(yu)(yu)改革(ge)細(xi)(xi)節(jie)之間(jian)的(de)(de)關(guan)(guan)系(xi)問題(ti)。正如上(shang)面分析(xi)的(de)(de)那(nei)樣,在原(yuan)有的(de)(de)體制(zhi)(zhi)基(ji)礎上(shang),要引入(ru)一(yi)種(zhong)新(xin)的(de)(de)制(zhi)(zhi)度(du)(du)(du)安(an)排并不那(nei)么簡單(dan),從董(dong)事(shi)(shi)會(hui)內(nei)部(bu)制(zhi)(zhi)度(du)(du)(du)建設(she)、董(dong)事(shi)(shi)的(de)(de)選聘(pin)、董(dong)事(shi)(shi)會(hui)與(yu)(yu)董(dong)事(shi)(shi)的(de)(de)評價、董(dong)事(shi)(shi)的(de)(de)薪酬(chou)、國資(zi)委與(yu)(yu)董(dong)事(shi)(shi)會(hui)的(de)(de)關(guan)(guan)系(xi)、董(dong)事(shi)(shi)會(hui)與(yu)(yu)經營(ying)層及黨委會(hui)的(de)(de)關(guan)(guan)系(xi),以(yi)及董(dong)事(shi)(shi)會(hui)試點工(gong)作推進與(yu)(yu)現有制(zhi)(zhi)度(du)(du)(du)環境的(de)(de)配(pei)套(tao)銜接等(deng)諸(zhu)多方面,都(dou)需要對每項制(zhi)(zhi)度(du)(du)(du)的(de)(de)建立和(he)完(wan)善的(de)(de)細(xi)(xi)節(jie)做深入(ru)的(de)(de)研究,都(dou)需要國資(zi)委內(nei)部(bu)機構(gou)之間(jian)的(de)(de)通(tong)力協作。
我們不(bu)妨以業(ye)績考核(he)(he)與(yu)薪(xin)酬(chou)制(zhi)(zhi)度(du)(du)為例來(lai)審視(shi)一(yi)些細(xi)節問題。原則(ze)上講,在(zai)(zai)(zai)規范(fan)的(de)(de)(de)(de)(de)董(dong)事會(hui)(hui)(hui)建立后(hou),對經營(ying)層(ceng)(ceng)的(de)(de)(de)(de)(de)考核(he)(he)與(yu)獎(jiang)懲(cheng)應當由(you)董(dong)事會(hui)(hui)(hui)來(lai)實(shi)施,但需要(yao)(yao)仔細(xi)推敲的(de)(de)(de)(de)(de)是(shi):國資(zi)(zi)委是(shi)否(fou)需要(yao)(yao)指(zhi)導(dao)董(dong)事會(hui)(hui)(hui)對經營(ying)層(ceng)(ceng)的(de)(de)(de)(de)(de)考核(he)(he)與(yu)獎(jiang)懲(cheng)?如(ru)果(guo)(guo)(guo)需要(yao)(yao)的(de)(de)(de)(de)(de)話(hua),指(zhi)導(dao)應當把握的(de)(de)(de)(de)(de)“度(du)(du)”是(shi)什么?其實(shi),在(zai)(zai)(zai)這些問題的(de)(de)(de)(de)(de)背后(hou)存在(zai)(zai)(zai)兩(liang)個(ge)(ge)潛在(zai)(zai)(zai)的(de)(de)(de)(de)(de)問題,一(yi)是(shi)如(ru)果(guo)(guo)(guo)不(bu)指(zhi)導(dao),中(zhong)央企業(ye)負責(ze)人(ren)的(de)(de)(de)(de)(de)總的(de)(de)(de)(de)(de)薪(xin)酬(chou)水平(ping)是(shi)否(fou)能控制(zhi)(zhi)在(zai)(zai)(zai)中(zhong)央和國務院領導(dao)的(de)(de)(de)(de)(de)要(yao)(yao)求之內(nei)?因(yin)為每個(ge)(ge)企業(ye)的(de)(de)(de)(de)(de)高管的(de)(de)(de)(de)(de)薪(xin)酬(chou)由(you)董(dong)事會(hui)(hui)(hui)根據各企業(ye)的(de)(de)(de)(de)(de)業(ye)績來(lai)確定(ding),很可能的(de)(de)(de)(de)(de)結(jie)(jie)果(guo)(guo)(guo)是(shi)最后(hou)整個(ge)(ge)中(zhong)央企業(ye)匯總的(de)(de)(de)(de)(de)薪(xin)酬(chou)水平(ping)是(shi)一(yi)個(ge)(ge)“失控”的(de)(de)(de)(de)(de)結(jie)(jie)果(guo)(guo)(guo);二是(shi)如(ru)果(guo)(guo)(guo)要(yao)(yao)控制(zhi)(zhi)的(de)(de)(de)(de)(de)話(hua),依據是(shi)什么?是(shi)一(yi)個(ge)(ge)個(ge)(ge)企業(ye)董(dong)事會(hui)(hui)(hui)對經營(ying)層(ceng)(ceng)的(de)(de)(de)(de)(de)考核(he)(he)結(jie)(jie)果(guo)(guo)(guo)?國資(zi)(zi)委在(zai)(zai)(zai)董(dong)事會(hui)(hui)(hui)對經營(ying)層(ceng)(ceng)的(de)(de)(de)(de)(de)考核(he)(he)過程(cheng)中(zhong)應當如(ru)何作為?在(zai)(zai)(zai)一(yi)定(ding)程(cheng)度(du)(du)上可以說,對上述細(xi)節問題的(de)(de)(de)(de)(de)研究深度(du)(du),對董(dong)事會(hui)(hui)(hui)試點(dian)的(de)(de)(de)(de)(de)順利(li)推進必然(ran)產生直接的(de)(de)(de)(de)(de)影響(xiang)。
3、2008年(nian)后,國資委應(ying)當進一(yi)步強化(hua)出資人職(zhi)責(ze),弱化(hua)一(yi)般性行政職(zhi)責(ze)
到2008年,國(guo)(guo)資(zi)(zi)委(wei)基本(ben)建(jian)立(li)起(qi)了現(xian)代企(qi)業制(zhi)度、國(guo)(guo)有(you)資(zi)(zi)本(ben)經營(ying)(ying)預算制(zhi)度、資(zi)(zi)產經營(ying)(ying)公司制(zhi)度,這為國(guo)(guo)資(zi)(zi)委(wei)在更(geng)(geng)高層次、更(geng)(geng)大范(fan)(fan)圍(wei)內完成黨(dang)中央、國(guo)(guo)務院賦(fu)予(yu)的(de)使命奠定了重要(yao)基礎(chu),屆時(shi),國(guo)(guo)資(zi)(zi)委(wei)將重點推動中央企(qi)業在國(guo)(guo)際范(fan)(fan)圍(wei)內,進一步(bu)提(ti)升其(qi)核心競爭力(li)、推動國(guo)(guo)有(you)經濟布局和結構的(de)戰略(lve)性(xing)調整,這對國(guo)(guo)資(zi)(zi)委(wei)內設機構的(de)設置也(ye)提(ti)出了新的(de)更(geng)(geng)高的(de)要(yao)求。
我們再進一步看看淡馬(ma)(ma)錫控(kong)股(gu)(gu)(gu)現階段的(de)任務和內部機構設置。目前,淡馬(ma)(ma)錫控(kong)股(gu)(gu)(gu)致力于不斷培育(yu)所(suo)屬(shu)企(qi)(qi)業(ye),使之能充分發(fa)揮新加坡(po)的(de)競爭優勢,成為一批具有國際競爭力的(de)公司。淡馬(ma)(ma)錫控(kong)股(gu)(gu)(gu)與所(suo)屬(shu)企(qi)(qi)業(ye)的(de)關系主要在兩個(ge)方面:一是(shi)淡馬(ma)(ma)錫控(kong)股(gu)(gu)(gu)運(yun)用(yong)其股(gu)(gu)(gu)東權利,設定所(suo)屬(shu)公司的(de)發(fa)展戰略與方針,但(dan)不參與其日常(chang)經營決策;二是(shi)定期檢討所(suo)屬(shu)企(qi)(qi)業(ye)的(de)商業(ye)價(jia)值(zhi)與發(fa)展潛(qian)能,通過精(jing)簡或整合的(de)形式(shi),來提高股(gu)(gu)(gu)東的(de)長期投(tou)資回報。
淡(dan)(dan)(dan)馬錫(xi)控(kong)(kong)股(gu)為了(le)提升所(suo)屬(shu)企(qi)業(ye)(ye)(ye)(ye)業(ye)(ye)(ye)(ye)績,對企(qi)業(ye)(ye)(ye)(ye)的(de)監管(guan)主(zhu)(zhu)(zhu)(zhu)要(yao)集(ji)(ji)中在四個方(fang)面:一(yi)是(shi)(shi)注重建立(li)一(yi)支高(gao)素質的(de)董事隊伍和(he)有效的(de)董事會;二是(shi)(shi)集(ji)(ji)中力(li)(li)量,全力(li)(li)專(zhuan)注于提升企(qi)業(ye)(ye)(ye)(ye)的(de)核(he)心競(jing)爭能(neng)力(li)(li),逐步(bu)從非核(he)心業(ye)(ye)(ye)(ye)務中淡(dan)(dan)(dan)出;三(san)是(shi)(shi)給董事及企(qi)業(ye)(ye)(ye)(ye)員工提供有競(jing)爭力(li)(li)的(de)配套待遇,以吸引(yin)最優(you)秀的(de)人才(cai);四是(shi)(shi)注重資(zi)本(ben)(ben)概念及成本(ben)(ben)和(he)回報意識(shi),通過采用經(jing)濟增(zeng)加值和(he)良好的(de)分紅政(zheng)策(ce),使(shi)所(suo)屬(shu)企(qi)業(ye)(ye)(ye)(ye)關注價值創造和(he)股(gu)東回報。為了(le)完成上(shang)述任(ren)務,淡(dan)(dan)(dan)馬錫(xi)控(kong)(kong)股(gu)內(nei)部(bu)主(zhu)(zhu)(zhu)(zhu)要(yao)設置了(le)三(san)個綜合性部(bu)門:一(yi)是(shi)(shi)策(ce)略(lve)發展(zhan)部(bu),主(zhu)(zhu)(zhu)(zhu)要(yao)對投(tou)資(zi)策(ce)略(lve)進行(xing)監管(guan);二是(shi)(shi)企(qi)業(ye)(ye)(ye)(ye)發展(zhan)部(bu),主(zhu)(zhu)(zhu)(zhu)要(yao)職責是(shi)(shi)培養優(you)秀人才(cai),推(tui)進旗下公(gong)司健全內(nei)部(bu)流程(cheng)和(he)系統(tong)以保(bao)證提供優(you)質的(de)產品(pin)和(he)服務;三(san)是(shi)(shi)資(zi)本(ben)(ben)資(zi)源管(guan)理部(bu),主(zhu)(zhu)(zhu)(zhu)要(yao)職責是(shi)(shi)保(bao)證淡(dan)(dan)(dan)馬錫(xi)控(kong)(kong)股(gu)有充裕的(de)資(zi)金(jin)、改進投(tou)資(zi)組合。
2008年之后的(de)國資委(wei)必須對(dui)(dui)內(nei)(nei)設機構(gou)進(jin)行(xing)(xing)適應調(diao)整,以(yi)(yi)符合(he)該(gai)(gai)階段的(de)需要(yao),比如(ru)可以(yi)(yi)成(cheng)立一個內(nei)(nei)部機構(gou)使之更為(wei)關注國際(ji)國內(nei)(nei)宏觀經濟(ji)走勢,以(yi)(yi)便與(yu)(yu)企(qi)業(ye)(ye)的(de)國際(ji)化相銜(xian)接(jie);要(yao)成(cheng)立一個機構(gou)專門研(yan)(yan)究國有經濟(ji)結(jie)構(gou)與(yu)(yu)布局調(diao)整,對(dui)(dui)中央企(qi)業(ye)(ye)哪些(xie)領域該(gai)(gai)進(jin),哪些(xie)領域該(gai)(gai)退,對(dui)(dui)不同企(qi)業(ye)(ye)如(ru)何實(shi)行(xing)(xing)分類指導(dao)進(jin)行(xing)(xing)研(yan)(yan)究;要(yao)對(dui)(dui)2006-2008年的(de)內(nei)(nei)設機構(gou)進(jin)行(xing)(xing)整合(he),以(yi)(yi)便更高(gao)效地(di)(di)對(dui)(dui)董事會的(de)投資決(jue)策、高(gao)管選聘、業(ye)(ye)績考核(he)和(he)薪酬分配(pei)等進(jin)行(xing)(xing)專業(ye)(ye)指導(dao)和(he)監督,等等。只(zhi)有精干高(gao)效的(de)內(nei)(nei)部機構(gou)運(yun)轉起來,國資委(wei)的(de)工作才(cai)能更加(jia)高(gao)效,其地(di)(di)位才(cai)能更加(jia)穩固(gu),其影響力(li)才(cai)能更加(jia)突顯。
四、進(jin)一步提高國資委(wei)工(gong)作人(ren)員的依(yi)法履(lv)行出資人(ren)職責的能力和(he)水平
(一)目前工(gong)作(zuo)能(neng)力和(he)水平的狀況與差距
為適應新職(zhi)能和(he)新任務(wu),國(guo)務(wu)院(yuan)國(guo)資(zi)(zi)委成(cheng)立(li)3年多來,從建(jian)章立(li)制和(he)優(you)化(hua)干部隊伍(wu)結構(gou)(gou)入手,進(jin)一步(bu)加強(qiang)了國(guo)資(zi)(zi)委機關的(de)組織建(jian)設和(he)制度建(jian)設,取(qu)得了不少成(cheng)效(xiao)。干部隊伍(wu)結構(gou)(gou)進(jin)一步(bu)優(you)化(hua),履行出(chu)資(zi)(zi)人(ren)職(zhi)責的(de)能力有所提高,思想觀念(nian)和(he)工作作風逐步(bu)轉(zhuan)變,服務(wu)意識、責任意識、市(shi)場意識有所增強(qiang)。但總的(de)看,距離法律、法規(gui)關于出(chu)資(zi)(zi)人(ren)職(zhi)能的(de)規(gui)定以及社會(hui)對于出(chu)資(zi)(zi)人(ren)機構(gou)(gou)的(de)期望仍然有不少差距。具(ju)體(ti)表現如下(xia)
1.從機(ji)構(gou)講,政府機(ji)關特(te)色明顯(xian)
國(guo)務(wu)院國(guo)資委屬于國(guo)務(wu)院特設機構,其內部(bu)管理機制基本沿襲政(zheng)府機關(guan)的模式,習慣于審批、檢查。辦事(shi)程序多(duo)、環節多(duo),難(nan)度(du)大(da)。工作人員還(huan)沒有(you)完全從過去中(zhong)央機關(guan)和政(zheng)府部(bu)門的思維(wei)定式中(zhong)解放出來,缺乏對企(qi)業的服務(wu)意識,少數部(bu)門和工作人員,甚至還(huan)存在刁難(nan)企(qi)業問題。
2.知識結構不盡合(he)理,缺少高層次、高素質的經營管理專業(ye)人才
2004年底(di),國資(zi)委機(ji)關(guan)人(ren)(ren)員(yuan)508人(ren)(ren),在專(zhuan)(zhuan)(zhuan)業(ye)結構上,經(jing)濟管理(li)類(lei)193人(ren)(ren),占(zhan)38%,理(li)工類(lei)94人(ren)(ren),占(zhan)19%,法律(lv)類(lei)45人(ren)(ren),占(zhan)9%,財政金融類(lei)49人(ren)(ren),占(zhan)9%,其他專(zhuan)(zhuan)(zhuan)業(ye)127,占(zhan)25%。監(jian)事(shi)會人(ren)(ren)員(yuan)305人(ren)(ren),經(jing)濟管理(li)類(lei)114人(ren)(ren),占(zhan)37%,理(li)工類(lei)66人(ren)(ren),占(zhan)22%,法律(lv)類(lei)15人(ren)(ren),占(zhan)5%,財政金融類(lei)78人(ren)(ren),占(zhan)26%,其他專(zhuan)(zhuan)(zhuan)業(ye)32人(ren)(ren),占(zhan)10%。金融、審計、產權管理(li)等(deng)方(fang)面的(de)(de)專(zhuan)(zhuan)(zhuan)業(ye)人(ren)(ren)才(cai)不足(zu),市(shi)場分析人(ren)(ren)才(cai)缺乏。搞宏觀(guan)的(de)(de)多,搞微觀(guan)、中觀(guan)的(de)(de)少。
3.普遍缺少基層或企業(ye)工作經歷,對(dui)企業(ye)理(li)解不深
國資委(wei)機(ji)(ji)關(guan)和(he)(he)監事(shi)(shi)(shi)(shi)會(hui)人員(yuan)大多(duo)來(lai)自(zi)國家機(ji)(ji)關(guan)或直接從學(xue)校畢業(ye)(ye)(ye)工(gong)(gong)(gong)(gong)作(zuo)(zuo)的(de)(de)(de)(de)學(xue)生,普遍缺(que)(que)少基層工(gong)(gong)(gong)(gong)作(zuo)(zuo)經驗和(he)(he)經歷(li),尤其(qi)是缺(que)(que)少企(qi)業(ye)(ye)(ye)的(de)(de)(de)(de)工(gong)(gong)(gong)(gong)作(zuo)(zuo)經歷(li)。對(dui)企(qi)業(ye)(ye)(ye)了解不(bu)深,體會(hui)不(bu)夠(gou)。從2004年情況(kuang)看(kan),機(ji)(ji)關(guan)具有(you)企(qi)業(ye)(ye)(ye)工(gong)(gong)(gong)(gong)作(zuo)(zuo)經歷(li)的(de)(de)(de)(de)人員(yuan)僅占(zhan)機(ji)(ji)關(guan)干部的(de)(de)(de)(de)35%,其(qi)中直接從事(shi)(shi)(shi)(shi)過企(qi)業(ye)(ye)(ye)管(guan)理的(de)(de)(de)(de)人員(yuan)就更少;監事(shi)(shi)(shi)(shi)會(hui)來(lai)自(zi)機(ji)(ji)關(guan)的(de)(de)(de)(de)占(zhan)69%,專(zhuan)職監事(shi)(shi)(shi)(shi)來(lai)自(zi)企(qi)業(ye)(ye)(ye)和(he)(he)會(hui)計師事(shi)(shi)(shi)(shi)務所的(de)(de)(de)(de)僅占(zhan)23%,具有(you)企(qi)業(ye)(ye)(ye)經營管(guan)理和(he)(he)會(hui)計、審計等(deng)專(zhuan)業(ye)(ye)(ye)工(gong)(gong)(gong)(gong)作(zuo)(zuo)經驗的(de)(de)(de)(de)人員(yuan)相對(dui)較少。正由(you)于缺(que)(que)少對(dui)企(qi)業(ye)(ye)(ye)的(de)(de)(de)(de)了解和(he)(he)熟(shu)悉,使得工(gong)(gong)(gong)(gong)作(zuo)(zuo)上很難深入進去,情況(kuang)了解不(bu)夠(gou),問題(ti)把握不(bu)準,對(dui)來(lai)自(zi)企(qi)業(ye)(ye)(ye)的(de)(de)(de)(de)信息甄(zhen)別(bie)能(neng)(neng)力(li)比(bi)較差,缺(que)(que)乏對(dui)企(qi)業(ye)(ye)(ye)準確完整的(de)(de)(de)(de)判(pan)斷能(neng)(neng)力(li),企(qi)業(ye)(ye)(ye)報來(lai)的(de)(de)(de)(de)方(fang)案(an)吃不(bu)透,辦事(shi)(shi)(shi)(shi)效率低,需(xu)要解決的(de)(de)(de)(de)問題(ti)落實不(bu)了,依法履行出資人的(de)(de)(de)(de)能(neng)(neng)力(li)和(he)(he)水平(ping)大打折扣。
4.干部培養(yang)、使(shi)用機制不合(he)理,影(ying)響(xiang)工作積極性
國務(wu)院國資委在(zai)不斷(duan)推進中央(yang)企業(ye)改(gai)革(ge)的(de)(de)(de)同時,也大(da)力(li)推進自身改(gai)革(ge),在(zai)干(gan)部(bu)(bu)(bu)(bu)(bu)任用方(fang)面,部(bu)(bu)(bu)(bu)(bu)分級別干(gan)部(bu)(bu)(bu)(bu)(bu)已經開始(shi)推行(xing)競(jing)爭上(shang)崗制度,并(bing)取得(de)了一(yi)定成效(xiao)。但是(shi)(shi),也應看到(dao),機關干(gan)部(bu)(bu)(bu)(bu)(bu)使用、晉升,看中的(de)(de)(de)往往不是(shi)(shi)能力(li),主要還是(shi)(shi)資歷,論資排輩(bei)現(xian)象嚴重(zhong)。既不利(li)于調動大(da)家工作的(de)(de)(de)積極性,同時也不利(li)于青年干(gan)部(bu)(bu)(bu)(bu)(bu)的(de)(de)(de)成長(chang)(chang),一(yi)些優(you)秀干(gan)部(bu)(bu)(bu)(bu)(bu)沒(mei)有得(de)到(dao)合(he)理(li)的(de)(de)(de)使用,形成人(ren)(ren)力(li)資源浪費。干(gan)部(bu)(bu)(bu)(bu)(bu)隊(dui)伍職務(wu)結構不盡合(he)理(li),處級干(gan)部(bu)(bu)(bu)(bu)(bu)比例(li)偏大(da),機關干(gan)部(bu)(bu)(bu)(bu)(bu)508人(ren)(ren),處級干(gan)部(bu)(bu)(bu)(bu)(bu)291人(ren)(ren),占(zhan)57%。由于干(gan)部(bu)(bu)(bu)(bu)(bu)職位(wei)的(de)(de)(de)限制,在(zai)缺少干(gan)部(bu)(bu)(bu)(bu)(bu)“出口”的(de)(de)(de)情況下,干(gan)部(bu)(bu)(bu)(bu)(bu)的(de)(de)(de)發展成長(chang)(chang)空間受到(dao)限制,嚴重(zhong)影響了干(gan)部(bu)(bu)(bu)(bu)(bu)工作積極性,對出資人(ren)(ren)效(xiao)能發揮產(chan)生不利(li)影響。
(二)進(jin)一步提高國資委(wei)機關(guan)工作人員的(de)素質和能力
當前和今后一個時期,我們要著重提高以(yi)下幾(ji)個方面的能力。

進一步加強國資委機關的隊伍建設及作風建設。第一,要加強業務、政治理論的學習,建立學習性組織。要堅持日常的學習制度,重點學習《公司法》及有關法律法規、國有資本經營預算、國有資產管理、企業管理等業務理論知識。進一步提高機關工作人員的學習業務理論的熱情,領導同志要以身作則,以崇高的人格力量和科學的管理方法帶好隊伍。還要進一步健全委內日常的政治理論、政策學習活動計劃,以學習鄧小平理論和“三個代表”的重要思想為基本內容,大力倡導淡泊名利,埋頭苦干和愛崗敬業、勤奮工作的精神,在此基礎上組織學習黨的基本知識、方針、政策。同時,倡導集中學習與自學相結合的學習方式,要對個人的學習情況進行總結,年終匯總個人成績,作為年度考評的計分項目。第二,加大干部職工的學習交流培訓的力度。一要加強干部掛職鍛煉。每年選派部分人員與企業參加掛職鍛煉,有計劃地全面完成對機關干部的輪訓,通過掛職鍛煉,了解中央企業所處行業的發展態勢與企業生產經營的實際情況,增強國資委干部適應市場經濟的能力。二要加強與中央企業和地方國資委的干部交流。應鼓勵處級及以上干部參加中央企業負責人公開選聘,特別是對擔任處級時間較長的同志、司局級職務的同志,要結合工作的需要和個人意愿通過合適的方式,安排到中央企業或地方國資委任職,同時要選拔優秀的中央企業和地方國資委的領導同志到國務院國資委任職,形成干部相互交流的機制。三要加強與地方國資委的信息交流。國務院國資委與地方國資委總體上都是按《條例》規定的職責運行,但地方國資委監管的方式、與所監管國有企業的關系以及其他有關業務與國務院國資委有一定差別,且各地區情況各有不同。加強與地方國資委的交流與聯系,建立一定的溝通機制,有助于國務院國資委拓寬思路,增強創新能力,提高履行出資人職責的能力。四要開展交流活動,組織調研,在委內組織調查研究和撰寫相關論文,組織評選活動。五要加強國際交流活動。加強機關人員參加國際交流活動,提高水平和效果。
二是(shi)(shi)要提高依(yi)(yi)(yi)法(fa)(fa)(fa)監(jian)管(guan)國(guo)(guo)(guo)有(you)(you)資(zi)(zi)產的能力。國(guo)(guo)(guo)資(zi)(zi)委要當好出資(zi)(zi)人(ren)(ren)代(dai)表,核心就是(shi)(shi)要嚴格依(yi)(yi)(yi)法(fa)(fa)(fa)行事。一要依(yi)(yi)(yi)法(fa)(fa)(fa)把握并處理好國(guo)(guo)(guo)資(zi)(zi)委與所出資(zi)(zi)企業的法(fa)(fa)(fa)律關(guan)系(xi);二要依(yi)(yi)(yi)法(fa)(fa)(fa)解決(jue)出資(zi)(zi)人(ren)(ren)代(dai)表進入(ru)所出資(zi)(zi)企業履(lv)行職責(ze)問題;三要嚴格依(yi)(yi)(yi)照法(fa)(fa)(fa)定(ding)權(quan)利和法(fa)(fa)(fa)定(ding)程序履(lv)行職責(ze)。完善的國(guo)(guo)(guo)有(you)(you)資(zi)(zi)產監(jian)管(guan)法(fa)(fa)(fa)規(gui)(gui)體系(xi),是(shi)(shi)我(wo)們依(yi)(yi)(yi)法(fa)(fa)(fa)履(lv)行職責(ze)的依(yi)(yi)(yi)據。要繼續修改與《條例》相(xiang)配套的法(fa)(fa)(fa)規(gui)(gui)和規(gui)(gui)章,確保國(guo)(guo)(guo)有(you)(you)資(zi)(zi)產監(jian)管(guan)工作有(you)(you)法(fa)(fa)(fa)可依(yi)(yi)(yi),有(you)(you)章可循。同時(shi),工作人(ren)(ren)員都要做到知法(fa)(fa)(fa)懂法(fa)(fa)(fa),真正把國(guo)(guo)(guo)有(you)(you)資(zi)(zi)產監(jian)管(guan)和國(guo)(guo)(guo)有(you)(you)企業經營(ying)納入(ru)法(fa)(fa)(fa)制(zhi)化(hua)、規(gui)(gui)范(fan)化(hua)的軌道。
要進一步把握好出(chu)(chu)資(zi)(zi)人(ren)定位(wei)。作為出(chu)(chu)資(zi)(zi)人(ren)機(ji)構,國(guo)資(zi)(zi)委要準確把握好出(chu)(chu)資(zi)(zi)人(ren)定位(wei),嚴格按照法(fa)定的(de)權限(xian)和程序行使(shi)權力、履行職責,不缺(que)位(wei)、不錯位(wei)、不越(yue)位(wei)。出(chu)(chu)資(zi)(zi)人(ren)機(ji)構只(zhi)行使(shi)股東權利,不干預(yu)企(qi)業的(de)經營權、管理權,堅持政資(zi)(zi)分開,兩權分離,不直接干預(yu)企(qi)業生(sheng)產經營,不承擔社會公共管理職能。
要深入研(yan)(yan)究重大(da)(da)有(you)傾(qing)向(xiang)性的(de)問題。新的(de)國有(you)資產監(jian)管體制(zhi)(zhi)的(de)基本框(kuang)架的(de)建(jian)立以及實現體制(zhi)(zhi)和機制(zhi)(zhi)創新有(you)大(da)(da)量的(de)問題需要研(yan)(yan)究解決。國資委要加大(da)(da)對重大(da)(da)問題的(de)戰(zhan)略性、前瞻性、系統性研(yan)(yan)究,要動態關(guan)注社(she)會各界對國有(you)資產監(jian)管體制(zhi)(zhi)的(de)建(jian)議,研(yan)(yan)究重大(da)(da)有(you)傾(qing)向(xiang)性問題,在重點(dian)難點(dian)問題上實現突破(po)。
三是要提高指導(dao)國有(you)(you)企(qi)(qi)(qi)業(ye)改革(ge)(ge)和(he)重(zhong)組的能(neng)力(li)(li)(li)。積極(ji)推進(jin)國有(you)(you)企(qi)(qi)(qi)業(ye)尤其是中(zhong)央(yang)企(qi)(qi)(qi)業(ye)的改革(ge)(ge)和(he)重(zhong)組,是增強國有(you)(you)企(qi)(qi)(qi)業(ye)競爭力(li)(li)(li),發揮國有(you)(you)經濟控制(zhi)力(li)(li)(li)、影(ying)響力(li)(li)(li)、帶(dai)動力(li)(li)(li)的重(zhong)要舉(ju)措,更(geng)是國資(zi)委的重(zhong)要職責。進(jin)一(yi)步搞好國有(you)(you)企(qi)(qi)(qi)業(ye),要求我們不(bu)斷(duan)推進(jin)國有(you)(you)企(qi)(qi)(qi)業(ye)的改革(ge)(ge)和(he)重(zhong)組。要按照完善社會主義(yi)市(shi)場(chang)經濟體制(zhi)的要求,推動國有(you)(you)企(qi)(qi)(qi)業(ye)進(jin)一(yi)步建立健全現(xian)代企(qi)(qi)(qi)業(ye)制(zhi)度,積極(ji)探索中(zhong)央(yang)企(qi)(qi)(qi)業(ye)國有(you)(you)獨資(zi)公(gong)司建立和(he)完善董(dong)事會試(shi)點(dian),完善公(gong)司法人治(zhi)理結構(gou);積極(ji)推進(jin)股權多(duo)元(yuan)化股份制(zhi)改革(ge)(ge),實現(xian)資(zi)源優化配置,幫助企(qi)(qi)(qi)業(ye)解決歷史遺(yi)留問(wen)題,更(geng)好地參與市(shi)場(chang)競爭。
四(si)是(shi)(shi)提高指(zhi)導董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)決策(ce)的(de)(de)能力(li)。在(zai)國有(you)獨資(zi)(zi)企業(ye)(ye)(ye)普(pu)遍建(jian)立董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)后,董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)將(jiang)在(zai)公司法人(ren)(ren)治理結(jie)構中處于(yu)十分(fen)重要的(de)(de)地位,發(fa)揮著重要作(zuo)(zuo)用。一(yi)(yi)方面,董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)是(shi)(shi)股(gu)(gu)東利益(yi)的(de)(de)忠實代表(biao),是(shi)(shi)保(bao)(bao)護(hu)股(gu)(gu)東合(he)法權益(yi)、體(ti)現(xian)股(gu)(gu)東意(yi)志的(de)(de)制(zhi)度(du)依托(tuo),是(shi)(shi)實現(xian)出(chu)(chu)資(zi)(zi)人(ren)(ren)職(zhi)責到位的(de)(de)最(zui)終體(ti)現(xian)。另(ling)一(yi)(yi)方面,董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)負(fu)(fu)責企業(ye)(ye)(ye)的(de)(de)重大決策(ce),對企業(ye)(ye)(ye)進行戰略性監控,并負(fu)(fu)責選聘、評價、考核、激勵經(jing)理人(ren)(ren)員(yuan)(yuan),是(shi)(shi)企業(ye)(ye)(ye)內部深化改革、加強(qiang)管理、提高效率的(de)(de)重要保(bao)(bao)證(zheng),是(shi)(shi)企業(ye)(ye)(ye)市(shi)場競爭力(li)的(de)(de)制(zhi)度(du)基礎。同時,董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)要對出(chu)(chu)資(zi)(zi)人(ren)(ren)負(fu)(fu)責,代表(biao)出(chu)(chu)資(zi)(zi)人(ren)(ren)利益(yi),追(zhui)求投(tou)資(zi)(zi)回(hui)報,確保(bao)(bao)國有(you)資(zi)(zi)產保(bao)(bao)值增值,并就公司的(de)(de)經(jing)營業(ye)(ye)(ye)績(ji)和(he)持續(xu)發(fa)展能力(li)對出(chu)(chu)資(zi)(zi)人(ren)(ren)負(fu)(fu)責。為(wei)使董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)充分(fen)發(fa)揮作(zuo)(zuo)用,國資(zi)(zi)委(wei)(wei)今后將(jiang)把(ba)出(chu)(chu)資(zi)(zi)人(ren)(ren)的(de)(de)部分(fen)職(zhi)權授(shou)予規范的(de)(de)國有(you)獨資(zi)(zi)公司董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)行使。因此,如何盡快提高規范科學(xue)的(de)(de)選拔董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)成員(yuan)(yuan)、如何有(you)效指(zhi)導董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)決策(ce)、監督(du)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)確實按照出(chu)(chu)資(zi)(zi)人(ren)(ren)的(de)(de)要求履(lv)行職(zhi)責、保(bao)(bao)證(zheng)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)充分(fen)發(fa)揮作(zuo)(zuo)用,就成為(wei)國資(zi)(zi)委(wei)(wei)工作(zuo)(zuo)人(ren)(ren)員(yuan)(yuan)必備的(de)(de)能力(li)和(he)水平。
五是(shi)(shi)要(yao)提高發展(zhan)和(he)壯大國(guo)有(you)經(jing)(jing)濟的(de)(de)能(neng)力(li)(li)。發展(zhan)壯大國(guo)有(you)經(jing)(jing)濟是(shi)(shi)深化(hua)國(guo)有(you)資產管(guan)理(li)體制改革的(de)(de)一個重要(yao)目的(de)(de),也(ye)是(shi)(shi)實現(xian)(xian)全面建設(she)小康社會宏(hong)偉目標(biao)的(de)(de)重要(yao)保證。在推進現(xian)(xian)代企業(ye)制度和(he)建立和(he)完善公(gong)司法(fa)人治(zhi)理(li)機(ji)構(gou)的(de)(de)基礎(chu)上,要(yao)積(ji)極推進公(gong)有(you)制的(de)(de)多(duo)種(zhong)有(you)效實現(xian)(xian)形式(shi),加快調整國(guo)有(you)經(jing)(jing)濟布局和(he)結構(gou),完善國(guo)有(you)資本有(you)進有(you)退的(de)(de)機(ji)制,積(ji)極探(tan)索增強國(guo)有(you)經(jing)(jing)濟的(de)(de)控制力(li)(li)、影響(xiang)力(li)(li)和(he)帶(dai)動力(li)(li)的(de)(de)途徑和(he)方式(shi)。
六是要(yao)提(ti)(ti)高(gao)加強(qiang)和(he)改(gai)進(jin)國有(you)企(qi)(qi)業(ye)(ye)(ye)黨(dang)建(jian)工(gong)作的(de)能力(li)。提(ti)(ti)高(gao)黨(dang)的(de)執政能力(li),關鍵在于搞好(hao)黨(dang)的(de)建(jian)設(she),不斷增強(qiang)黨(dang)的(de)創造力(li)、凝聚力(li)和(he)戰斗(dou)力(li)。加強(qiang)和(he)改(gai)進(jin)國有(you)企(qi)(qi)業(ye)(ye)(ye)黨(dang)的(de)建(jian)設(she)是擺在國資委黨(dang)委面前的(de)一項重要(yao)任(ren)務(wu)。我(wo)們要(yao)認真研究新形勢下如何加強(qiang)和(he)改(gai)進(jin)國有(you)企(qi)(qi)業(ye)(ye)(ye)黨(dang)的(de)建(jian)設(she),探索(suo)國有(you)企(qi)(qi)業(ye)(ye)(ye)黨(dang)建(jian)工(gong)作的(de)新機制、新途(tu)徑和(he)新方法,完善工(gong)作機制,更好(hao)地發(fa)揮國有(you)企(qi)(qi)業(ye)(ye)(ye)黨(dang)組織的(de)政治(zhi)核心作用。
七是要改進工(gong)(gong)(gong)作(zuo)作(zuo)風,提高工(gong)(gong)(gong)作(zuo)效(xiao)率(lv)和能(neng)(neng)(neng)力(li)。第一,規(gui)范調(diao)研工(gong)(gong)(gong)作(zuo)要求,實(shi)(shi)現領導(dao)(dao)、指導(dao)(dao)、服務(wu)一體(ti)化(hua)(hua)。要建立制度(du)(du),加(jia)強對(dui)中(zhong)央(yang)企(qi)(qi)業(ye)改革與(yu)重組(zu)工(gong)(gong)(gong)作(zuo)的指導(dao)(dao)和推動。各(ge)(ge)廳(ting)局要根(gen)據年度(du)(du)重點(dian)(dian)工(gong)(gong)(gong)作(zuo)目(mu)(mu)標的要求,確立好(hao)題(ti)目(mu)(mu)、安排(pai)好(hao)人員,并由委里統一協調(diao),組(zu)成小組(zu),定期到(dao)中(zhong)央(yang)企(qi)(qi)業(ye)進行調(diao)研,要保(bao)持與(yu)企(qi)(qi)業(ye)有關部(bu)門聯系,全面(mian)掌握情況,推動各(ge)(ge)項工(gong)(gong)(gong)作(zuo)的開(kai)展(zhan)。第二,抓(zhua)牢關鍵環節,提高工(gong)(gong)(gong)作(zuo)能(neng)(neng)(neng)力(li),局級以上領導(dao)(dao)干部(bu)要把重點(dian)(dian)放在提高組(zu)織領導(dao)(dao)能(neng)(neng)(neng)力(li)上,做到(dao)既有思路,又把握方(fang)向;既做示(shi)范,又抓(zhua)督(du)查,既獨立運(yun)(yun)行,又做好(hao)全面(mian)協調(diao),確保(bao)工(gong)(gong)(gong)作(zuo)運(yun)(yun)行的整體(ti)效(xiao)果(guo)。一般干部(bu)要把重點(dian)(dian)放在提高能(neng)(neng)(neng)力(li)上,做到(dao)提筆能(neng)(neng)(neng)寫,開(kai)口(kou)能(neng)(neng)(neng)講,遇事會辦。第三,結(jie)合自(zi)身(shen)實(shi)(shi)際,尋找(zhao)突破點(dian)(dian)。每位工(gong)(gong)(gong)作(zuo)人員進一步提高自(zi)身(shen)素(su)質和能(neng)(neng)(neng)力(li),取(qu)得實(shi)(shi)實(shi)(shi)在在的變化(hua)(hua)效(xiao)果(guo)。第四(si),完善(shan)年(季)度(du)(du)總結(jie)考核制度(du)(du)。突出年(季)度(du)(du)總結(jie)工(gong)(gong)(gong)作(zuo)的實(shi)(shi)效(xiao)性(xing),要進一步充實(shi)(shi)完善(shan)工(gong)(gong)(gong)作(zuo)考核制度(du)(du),進一步細(xi)化(hua)(hua)、量化(hua)(hua)工(gong)(gong)(gong)作(zuo)目(mu)(mu)標。
總之,提高國(guo)有資(zi)產監管機構全面履行(xing)職(zhi)責的能力(li)和水(shui)平,需要從多方(fang)面努(nu)力(li),最(zui)重要的是(shi)加強國(guo)有資(zi)產監管的隊伍建設,努(nu)力(li)提高國(guo)有資(zi)產監管隊伍的整體素質和綜(zong)合能力(li)。
(三)適應機構變(bian)革(ge),國資委應營造良好(hao)的外部(bu)環境
國(guo)有(you)(you)資產管(guan)理體(ti)制改革(ge)受到社會各方面的廣(guang)泛關注,國(guo)有(you)(you)企業改革(ge)是一(yi)項(xiang)廣(guang)泛而深(shen)刻的變(bian)革(ge)。推進國(guo)有(you)(you)資產管(guan)理體(ti)制改革(ge)和國(guo)有(you)(you)企業改革(ge),需要(yao)一(yi)個良(liang)好的外部環境。這(zhe)就要(yao)求我們必須認真(zhen)處理好與各方面的關系。
一是(shi)(shi)(shi)要(yao)(yao)進一步加(jia)快國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)產法(fa)(fa)(fa)律(lv)(lv)、法(fa)(fa)(fa)規(gui)的(de)(de)制定和(he)完(wan)善(shan)。完(wan)善(shan)的(de)(de)法(fa)(fa)(fa)律(lv)(lv)、法(fa)(fa)(fa)規(gui)是(shi)(shi)(shi)依法(fa)(fa)(fa)履行(xing)出(chu)資(zi)(zi)(zi)(zi)(zi)人職責的(de)(de)前(qian)提和(he)保障,目前(qian),我國(guo)(guo)(guo)已(yi)經形成(cheng)了以《公司法(fa)(fa)(fa)》、《企(qi)(qi)業法(fa)(fa)(fa)》、《條例》為主(zhu)要(yao)(yao)依據的(de)(de)規(gui)范出(chu)資(zi)(zi)(zi)(zi)(zi)人職責和(he)國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)產監(jian)管(guan)的(de)(de)法(fa)(fa)(fa)律(lv)(lv)、法(fa)(fa)(fa)規(gui),為國(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)委履行(xing)出(chu)資(zi)(zi)(zi)(zi)(zi)人職責提供了基本依據。但是(shi)(shi)(shi),由于(yu)國(guo)(guo)(guo)有(you)獨(du)資(zi)(zi)(zi)(zi)(zi)企(qi)(qi)業仍(reng)然(ran)是(shi)(shi)(shi)我國(guo)(guo)(guo)企(qi)(qi)業的(de)(de)主(zhu)體(ti)部分,國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)產管(guan)理(li)工(gong)(gong)作正在逐步探索之(zhi)中(zhong),新問(wen)題和(he)新情況層出(chu)不(bu)窮。因(yin)此,要(yao)(yao)逐步完(wan)善(shan)有(you)關(guan)法(fa)(fa)(fa)律(lv)(lv)、法(fa)(fa)(fa)規(gui),形成(cheng)符(fu)合市(shi)場經濟規(gui)律(lv)(lv)的(de)(de)法(fa)(fa)(fa)律(lv)(lv)規(gui)范,為依法(fa)(fa)(fa)履行(xing)出(chu)資(zi)(zi)(zi)(zi)(zi)人職責提供更加(jia)切實的(de)(de)法(fa)(fa)(fa)律(lv)(lv)依據,為國(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)委的(de)(de)工(gong)(gong)作創造良好(hao)的(de)(de)法(fa)(fa)(fa)律(lv)(lv)環境。
二是要積極(ji)爭取全(quan)國(guo)人大和國(guo)務院領導的(de)關心和支持。國(guo)資委作(zuo)(zuo)為國(guo)務院特(te)設機構,國(guo)資委黨委作(zuo)(zuo)為黨的(de)一級組織(zhi),法律法規明確(que)我(wo)(wo)們(men)行(xing)使的(de)權限,我(wo)(wo)們(men)要認真履行(xing);不明確(que)的(de)要多(duo)匯(hui)報(bao)、多(duo)請示,重(zhong)大問題(ti)要及(ji)時(shi)報(bao)告,使黨中央和國(guo)務院領導對(dui)我(wo)(wo)們(men)的(de)工作(zuo)(zuo)有更好的(de)了解,并及(ji)時(shi)給(gei)予指(zhi)示。
三(san)是要(yao)(yao)(yao)(yao)爭取政(zheng)(zheng)(zheng)府(fu)(fu)有(you)關部門的(de)(de)(de)(de)(de)(de)理(li)(li)(li)解、支持(chi)和(he)配合(he)。國(guo)(guo)(guo)資(zi)委的(de)(de)(de)(de)(de)(de)工(gong)作涉及到(dao)政(zheng)(zheng)(zheng)府(fu)(fu)的(de)(de)(de)(de)(de)(de)許多(duo)(duo)部門,無論是國(guo)(guo)(guo)有(you)資(zi)產(chan)(chan)管(guan)(guan)理(li)(li)(li)體(ti)制改(gai)(gai)革還是國(guo)(guo)(guo)有(you)企(qi)業(ye)改(gai)(gai)革,離開(kai)政(zheng)(zheng)(zheng)府(fu)(fu)的(de)(de)(de)(de)(de)(de)有(you)關部門都很難(nan)推進,我們要(yao)(yao)(yao)(yao)主(zhu)動(dong)工(gong)作,認真聽取他們的(de)(de)(de)(de)(de)(de)意(yi)見,做(zuo)好(hao)解釋和(he)說明(ming)工(gong)作,爭取他們更多(duo)(duo)的(de)(de)(de)(de)(de)(de)支持(chi)和(he)配合(he)。政(zheng)(zheng)(zheng)府(fu)(fu)的(de)(de)(de)(de)(de)(de)社(she)會公共(gong)管(guan)(guan)理(li)(li)(li)職能(neng)與(yu)國(guo)(guo)(guo)有(you)資(zi)產(chan)(chan)出(chu)資(zi)人(ren)職能(neng)分開(kai),是深化國(guo)(guo)(guo)有(you)資(zi)產(chan)(chan)管(guan)(guan)理(li)(li)(li)體(ti)制改(gai)(gai)革的(de)(de)(de)(de)(de)(de)重(zhong)要(yao)(yao)(yao)(yao)原(yuan)(yuan)則,也(ye)是政(zheng)(zheng)(zheng)府(fu)(fu)行政(zheng)(zheng)(zheng)管(guan)(guan)理(li)(li)(li)體(ti)制改(gai)(gai)革的(de)(de)(de)(de)(de)(de)重(zhong)要(yao)(yao)(yao)(yao)內容。國(guo)(guo)(guo)資(zi)委不(bu)行使政(zheng)(zheng)(zheng)府(fu)(fu)的(de)(de)(de)(de)(de)(de)社(she)會公共(gong)管(guan)(guan)理(li)(li)(li)職能(neng),政(zheng)(zheng)(zheng)府(fu)(fu)其他機(ji)(ji)(ji)構、部門也(ye)不(bu)履行企(qi)業(ye)國(guo)(guo)(guo)有(you)資(zi)產(chan)(chan)出(chu)資(zi)人(ren)職責,國(guo)(guo)(guo)資(zi)委要(yao)(yao)(yao)(yao)按照這一要(yao)(yao)(yao)(yao)求努力(li)(li)做(zuo)好(hao)自己的(de)(de)(de)(de)(de)(de)工(gong)作。首(shou)先要(yao)(yao)(yao)(yao)處(chu)理(li)(li)(li)好(hao)與(yu)財(cai)政(zheng)(zheng)(zheng)部的(de)(de)(de)(de)(de)(de)關系,貫徹黨的(de)(de)(de)(de)(de)(de)十(shi)六屆(jie)三(san)中(zhong)(zhong)(zhong)全(quan)(quan)(quan)會提出(chu)的(de)(de)(de)(de)(de)(de)關于建立國(guo)(guo)(guo)有(you)資(zi)本(ben)經營(ying)(ying)預算制度(du)的(de)(de)(de)(de)(de)(de)要(yao)(yao)(yao)(yao)求,會同財(cai)政(zheng)(zheng)(zheng)部組織力(li)(li)量開(kai)展調(diao)查研究,盡快提出(chu)工(gong)作方案(an),盡快確(que)定框(kuang)架制度(du),以實現(xian)存量資(zi)產(chan)(chan)調(diao)整和(he)增(zeng)量資(zi)產(chan)(chan)調(diao)整的(de)(de)(de)(de)(de)(de)有(you)效結(jie)合(he),不(bu)斷提高國(guo)(guo)(guo)有(you)經濟戰略(lve)性調(diao)整的(de)(de)(de)(de)(de)(de)力(li)(li)度(du)和(he)水平。其次(ci),要(yao)(yao)(yao)(yao)處(chu)理(li)(li)(li)好(hao)與(yu)中(zhong)(zhong)(zhong)組部的(de)(de)(de)(de)(de)(de)關系。探(tan)索建立堅持(chi)黨管(guan)(guan)干(gan)(gan)部原(yuan)(yuan)則與(yu)市(shi)場(chang)化選(xuan)聘(pin)企(qi)業(ye)經營(ying)(ying)管(guan)(guan)理(li)(li)(li)者相結(jie)合(he)的(de)(de)(de)(de)(de)(de)新機(ji)(ji)(ji)制,是國(guo)(guo)(guo)有(you)企(qi)業(ye)改(gai)(gai)革的(de)(de)(de)(de)(de)(de)重(zhong)要(yao)(yao)(yao)(yao)內容,也(ye)是企(qi)業(ye)自身發展的(de)(de)(de)(de)(de)(de)客觀(guan)需要(yao)(yao)(yao)(yao)。黨的(de)(de)(de)(de)(de)(de)十(shi)五屆(jie)四中(zhong)(zhong)(zhong)全(quan)(quan)(quan)會、十(shi)六屆(jie)三(san)中(zhong)(zhong)(zhong)全(quan)(quan)(quan)會都明(ming)確(que)強調(diao),要(yao)(yao)(yao)(yao)積極探(tan)索適應(ying)現(xian)代企(qi)業(ye)制度(du)要(yao)(yao)(yao)(yao)求的(de)(de)(de)(de)(de)(de)選(xuan)人(ren)用(yong)人(ren)新機(ji)(ji)(ji)制,把(ba)組織推薦(jian)和(he)引入市(shi)場(chang)機(ji)(ji)(ji)制、公開(kai)向社(she)會招聘(pin)結(jie)合(he)起(qi)來,把(ba)黨管(guan)(guan)干(gan)(gan)部原(yuan)(yuan)則和(he)董事會依法(fa)選(xuan)擇經營(ying)(ying)管(guan)(guan)理(li)(li)(li)者結(jie)合(he)進來。
四(si)是(shi)處理(li)好與地方國(guo)(guo)資(zi)(zi)(zi)(zi)委的(de)(de)關系。進(jin)一(yi)(yi)步(bu)搞好國(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)企(qi)業,推進(jin)國(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)經濟(ji)布局和(he)結構的(de)(de)戰略性調整(zheng),發展(zhan)和(he)壯大國(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)經濟(ji),實現國(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)保值增(zeng)值,是(shi)各(ge)級國(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)(jian)(jian)(jian)管(guan)(guan)機(ji)構的(de)(de)共(gong)同任務(wu),共(gong)同職(zhi)責(ze)。各(ge)級國(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)(jian)(jian)(jian)管(guan)(guan)機(ji)構分別代表國(guo)(guo)家履行(xing)出資(zi)(zi)(zi)(zi)人職(zhi)責(ze),對(dui)本級政(zheng)府負(fu)責(ze)。上級政(zheng)府國(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)(jian)(jian)(jian)管(guan)(guan)機(ji)構依法(fa)(fa)對(dui)下級政(zheng)府的(de)(de)國(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)(jian)(jian)(jian)管(guan)(guan)工(gong)作進(jin)行(xing)指導和(he)監(jian)(jian)(jian)(jian)督;下級國(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)(jian)(jian)(jian)管(guan)(guan)機(ji)構必須(xu)嚴(yan)(yan)格(ge)執行(xing)國(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)(jian)(jian)(jian)督管(guan)(guan)理(li)的(de)(de)法(fa)(fa)律法(fa)(fa)規(gui),自覺接(jie)受上級國(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)(jian)(jian)(jian)管(guan)(guan)機(ji)構的(de)(de)指導和(he)監(jian)(jian)(jian)(jian)督。這(zhe)種指導和(he)監(jian)(jian)(jian)(jian)督主要體現在(zai)三個方面。一(yi)(yi)是(shi)上級監(jian)(jian)(jian)(jian)管(guan)(guan)機(ji)構制(zhi)定(ding)的(de)(de)國(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)(jian)(jian)(jian)管(guan)(guan)的(de)(de)規(gui)章(zhang)制(zhi)度,下級國(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)(jian)(jian)(jian)管(guan)(guan)機(ji)構必須(xu)嚴(yan)(yan)格(ge)執行(xing),下級國(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)(jian)(jian)(jian)管(guan)(guan)機(ji)構制(zhi)定(ding)的(de)(de)規(gui)章(zhang)制(zhi)度不得與上級監(jian)(jian)(jian)(jian)管(guan)(guan)機(ji)構制(zhi)定(ding)的(de)(de)規(gui)章(zhang)制(zhi)度相違背。二是(shi)上級國(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)(jian)(jian)(jian)管(guan)(guan)機(ji)構對(dui)國(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)企(qi)業改(gai)革(ge)和(he)重組負(fu)有(you)(you)(you)(you)(you)(you)(you)(you)指導職(zhi)能,對(dui)企(qi)業改(gai)制(zhi)中出現的(de)(de)不規(gui)范做(zuo)法(fa)(fa)可以(yi)進(jin)行(xing)檢查和(he)糾正。三是(shi)涉(she)及國(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)(jian)(jian)(jian)管(guan)(guan)的(de)(de)基礎工(gong)作的(de)(de)管(guan)(guan)理(li)制(zhi)度必須(xu)統一(yi)(yi),必須(xu)嚴(yan)(yan)格(ge)執行(xing)。各(ge)級國(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)(jian)(jian)(jian)管(guan)(guan)機(ji)構要切實負(fu)起責(ze)任,共(gong)同實現國(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)(chan)保值增(zeng)值。
五是要加(jia)(jia)強與新聞媒體和社會(hui)(hui)各(ge)(ge)界的(de)溝(gou)通(tong)和交流(liu)。自(zi)國(guo)資(zi)(zi)委組(zu)建以來,新聞媒體和社會(hui)(hui)各(ge)(ge)界對(dui)國(guo)資(zi)(zi)委高(gao)度關注(zhu)。一方(fang)面(mian)(mian),我(wo)們要進一步做好自(zi)身的(de)各(ge)(ge)項工作,另一方(fang)面(mian)(mian),我(wo)們要更加(jia)(jia)重視和更好發揮新聞媒體的(de)導(dao)向作用,認真傾(qing)聽(ting)和積極吸取社會(hui)(hui)各(ge)(ge)方(fang)面(mian)(mian)的(de)意見,使我(wo)們制定的(de)政策和出臺(tai)的(de)措施能夠得到(dao)廣泛支持和理(li)解,為深化國(guo)有資(zi)(zi)產管理(li)體制改革和國(guo)有企業改革創(chuang)造良好的(de)輿論環(huan)境。
