一、按照以(yi)管資本為主(zhu)的要(yao)求完善國(guo)有資產管理體制,推動國(guo)有企業真正成為獨立市場主(zhu)體

改革開放以(yi)來(lai),國(guo)(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)管(guan)(guan)理(li)(li)(li)(li)體(ti)制(zhi)(zhi)改革始終與國(guo)(guo)(guo)(guo)有(you)(you)企(qi)(qi)業(ye)改革相(xiang)(xiang)伴(ban)相(xiang)(xiang)生(sheng)、共同深(shen)化。黨的十六(liu)大在(zai)(zai)總(zong)結(jie)國(guo)(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)管(guan)(guan)理(li)(li)(li)(li)體(ti)制(zhi)(zhi)實(shi)(shi)踐(jian)經驗的基(ji)(ji)礎(chu)上(shang),明確提出(chu):“建立中央政(zheng)(zheng)府(fu)和(he)地方(fang)(fang)政(zheng)(zheng)府(fu)分別代表國(guo)(guo)(guo)(guo)家履行出(chu)資(zi)(zi)(zi)(zi)(zi)人(ren)職(zhi)責,享有(you)(you)所有(you)(you)者權益,權利(li)(li)、義(yi)務(wu)和(he)責任相(xiang)(xiang)統一(yi),管(guan)(guan)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)和(he)管(guan)(guan)人(ren)、管(guan)(guan)事相(xiang)(xiang)結(jie)合的國(guo)(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)管(guan)(guan)理(li)(li)(li)(li)體(ti)制(zhi)(zhi)”。2003年3月(yue),國(guo)(guo)(guo)(guo)務(wu)院正式成立國(guo)(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)監(jian)督(du)管(guan)(guan)理(li)(li)(li)(li)委(wei)員會(hui),根據國(guo)(guo)(guo)(guo)務(wu)院的授權,專(zhuan)門承擔(dan)國(guo)(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)監(jian)管(guan)(guan)職(zhi)責,不承擔(dan)社會(hui)公共管(guan)(guan)理(li)(li)(li)(li)職(zhi)能。這一(yi)體(ti)制(zhi)(zhi),明確了政(zheng)(zheng)府(fu)以(yi)出(chu)資(zi)(zi)(zi)(zi)(zi)方(fang)(fang)式管(guan)(guan)理(li)(li)(li)(li)國(guo)(guo)(guo)(guo)有(you)(you)企(qi)(qi)業(ye),在(zai)(zai)解(jie)決政(zheng)(zheng)企(qi)(qi)不分、國(guo)(guo)(guo)(guo)有(you)(you)企(qi)(qi)業(ye)多(duo)頭(tou)管(guan)(guan)理(li)(li)(li)(li)、“九龍(long)治水”等方(fang)(fang)面(mian)邁出(chu)了一(yi)大步,為(wei)國(guo)(guo)(guo)(guo)有(you)(you)企(qi)(qi)業(ye)成為(wei)獨立市場主(zhu)體(ti)奠定了體(ti)制(zhi)(zhi)基(ji)(ji)礎(chu)。但應當看到,在(zai)(zai)監(jian)管(guan)(guan)體(ti)制(zhi)(zhi)機制(zhi)(zhi)方(fang)(fang)面(mian)還(huan)存在(zai)(zai)一(yi)些問題(ti),一(yi)定程度上(shang)制(zhi)(zhi)約了企(qi)(qi)業(ye)活力。比如政(zheng)(zheng)企(qi)(qi)分開、政(zheng)(zheng)資(zi)(zi)(zi)(zi)(zi)分開還(huan)不完(wan)全到位(wei),國(guo)(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)監(jian)管(guan)(guan)工(gong)作(zuo)還(huan)存在(zai)(zai)越位(wei)、缺位(wei)、錯位(wei)現象(xiang),監(jian)管(guan)(guan)方(fang)(fang)式存在(zai)(zai)一(yi)定行政(zheng)(zheng)化色(se)彩。同時,經過多(duo)年的改革發(fa)展,公司制(zhi)(zhi)股(gu)份制(zhi)(zhi)已經成為(wei)國(guo)(guo)(guo)(guo)有(you)(you)企(qi)(qi)業(ye)的主(zhu)要(yao)組織形式,企(qi)(qi)業(ye)的治理(li)(li)(li)(li)結(jie)構、管(guan)(guan)理(li)(li)(li)(li)方(fang)(fang)式都發(fa)生(sheng)了深(shen)刻變化,這在(zai)(zai)客觀上(shang)要(yao)求(qiu)國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)監(jian)管(guan)(guan)機構主(zhu)動調整(zheng)完(wan)善監(jian)管(guan)(guan)職(zhi)能和(he)方(fang)(fang)式,以(yi)管(guan)(guan)資(zi)(zi)(zi)(zi)(zi)本為(wei)主(zhu),注(zhu)重通(tong)過公司法人(ren)治理(li)(li)(li)(li)結(jie)構依法行使國(guo)(guo)(guo)(guo)有(you)(you)股(gu)東權利(li)(li),實(shi)(shi)現對國(guo)(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)的有(you)(you)效監(jian)管(guan)(guan)。

貫徹落(luo)實(shi)《指導意見(jian)》要求,完(wan)善國(guo)有(you)資(zi)(zi)(zi)(zi)產(chan)管(guan)理體(ti)制,要以(yi)管(guan)資(zi)(zi)(zi)(zi)本為(wei)(wei)主推(tui)進職(zhi)能(neng)轉變,準(zhun)確把握依(yi)法履行出資(zi)(zi)(zi)(zi)人(ren)職(zhi)責的(de)定位,科(ke)學(xue)界定國(guo)有(you)資(zi)(zi)(zi)(zi)產(chan)出資(zi)(zi)(zi)(zi)人(ren)監管(guan)的(de)邊界,實(shi)現以(yi)管(guan)企業(ye)為(wei)(wei)主向以(yi)管(guan)資(zi)(zi)(zi)(zi)本為(wei)(wei)主的(de)轉變,推(tui)動(dong)國(guo)有(you)企業(ye)真正成(cheng)為(wei)(wei)獨立市場主體(ti),夯實(shi)發(fa)展(zhan)壯大國(guo)有(you)經濟的(de)微觀基礎。

一是堅持政企(qi)分開(kai)、政資(zi)分開(kai)、所有(you)(you)權(quan)(quan)和經(jing)(jing)營權(quan)(quan)分離。政府部門依(yi)法(fa)(fa)行(xing)使公(gong)共管理(li)(li)職能,從(cong)經(jing)(jing)濟調節和社(she)會(hui)(hui)管理(li)(li)角度進行(xing)社(she)會(hui)(hui)公(gong)共管理(li)(li)。國有(you)(you)資(zi)產監(jian)管機構(gou)作為政府直屬特(te)設機構(gou),根據授權(quan)(quan)代(dai)表(biao)本級人(ren)民政府對監(jian)管企(qi)業(ye)依(yi)法(fa)(fa)履(lv)行(xing)出(chu)資(zi)人(ren)職責,科學界定國有(you)(you)資(zi)產出(chu)資(zi)人(ren)監(jian)管的(de)邊界,專司國有(you)(you)資(zi)產監(jian)管,不干預企(qi)業(ye)自(zi)主(zhu)經(jing)(jing)營權(quan)(quan)。國有(you)(you)企(qi)業(ye)依(yi)法(fa)(fa)享有(you)(you)獨立的(de)法(fa)(fa)人(ren)財產權(quan)(quan),依(yi)法(fa)(fa)自(zi)主(zhu)經(jing)(jing)營、自(zi)負盈虧、自(zi)擔(dan)風險、自(zi)我(wo)約束、自(zi)我(wo)發展。

二是推進國有資(zi)產(chan)監管(guan)機構職(zhi)能轉(zhuan)變。該管(guan)的(de)要科(ke)學管(guan)理、決不(bu)(bu)(bu)缺位(wei),重點管(guan)好國有資(zi)本(ben)布局(ju)、規范資(zi)本(ben)運(yun)作、提高資(zi)本(ben)回報(bao)、維護資(zi)本(ben)安全。不(bu)(bu)(bu)該管(guan)的(de)要依(yi)(yi)(yi)法放權、決不(bu)(bu)(bu)越位(wei),將(jiang)依(yi)(yi)(yi)法應由企(qi)業(ye)(ye)自主經營決策的(de)事項(xiang)歸(gui)(gui)位(wei)于企(qi)業(ye)(ye),將(jiang)延伸到子企(qi)業(ye)(ye)的(de)管(guan)理事項(xiang)原則(ze)上(shang)歸(gui)(gui)位(wei)于一級企(qi)業(ye)(ye),將(jiang)配(pei)合承(cheng)擔的(de)公(gong)(gong)共(gong)管(guan)理職(zhi)能歸(gui)(gui)位(wei)于相關政府部門和單位(wei)。國有資(zi)產(chan)監管(guan)機構依(yi)(yi)(yi)法對國有資(zi)本(ben)投資(zi)、運(yun)營公(gong)(gong)司和其他(ta)直接監管(guan)的(de)企(qi)業(ye)(ye)履行出資(zi)人職(zhi)責(ze)。

三是(shi)改進國(guo)有(you)資(zi)產(chan)監(jian)管(guan)(guan)方(fang)式(shi)和(he)手段。更多運(yun)用(yong)法治化(hua)(hua)、市場化(hua)(hua)監(jian)管(guan)(guan)方(fang)式(shi),改變行政化(hua)(hua)管(guan)(guan)理方(fang)式(shi)。針對(dui)企業不同(tong)功能定(ding)位,在戰略規劃制定(ding)、資(zi)本運(yun)作模(mo)式(shi)、人員選(xuan)用(yong)機制、經(jing)營業績考核(he)等(deng)方(fang)面,實施更加(jia)精(jing)準有(you)效(xiao)的分類監(jian)管(guan)(guan)。重(zhong)視(shi)通過(guo)公司(si)治理結構履(lv)行出資(zi)人職責(ze),規范董(dong)事會運(yun)作,嚴格(ge)選(xuan)派股東代(dai)表(biao)和(he)董(dong)事、監(jian)事。注(zhu)重(zhong)管(guan)(guan)好公司(si)章(zhang)(zhang)程(cheng),通過(guo)“一企一策”制定(ding)公司(si)章(zhang)(zhang)程(cheng),將國(guo)有(you)資(zi)產(chan)出資(zi)人意志有(you)效(xiao)體(ti)現在公司(si)章(zhang)(zhang)程(cheng)中。建立監(jian)管(guan)(guan)權(quan)力清單(dan)和(he)責(ze)任清單(dan),加(jia)大運(yun)用(yong)信息化(hua)(hua)手段的力度,優化(hua)(hua)監(jian)管(guan)(guan)流程(cheng),提高監(jian)管(guan)(guan)效(xiao)率(lv),加(jia)強(qiang)監(jian)管(guan)(guan)工作協同(tong)。

二、按照以管資(zi)(zi)本為(wei)主的要(yao)求優化國有資(zi)(zi)本布局結(jie)構,增強國有經濟整體功能和效(xiao)率

優化國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)(ben)布局(ju)結(jie)(jie)構(gou)(gou)(gou)(gou),是提升(sheng)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)經(jing)濟整(zheng)體運(yun)行(xing)質量(liang)的重要(yao)(yao)途徑,也是發(fa)(fa)(fa)揮國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)經(jing)濟主(zhu)導作用、放(fang)大國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)(ben)功能(neng)的必然(ran)要(yao)(yao)求。隨(sui)著國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)產(chan)管(guan)理(li)(li)體制改革逐(zhu)步(bu)(bu)深化,國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)企(qi)業(ye)(ye)(ye)(ye)日益發(fa)(fa)(fa)展(zhan)壯(zhuang)大,國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)(ben)運(yun)行(xing)效(xiao)率不(bu)斷提高(gao),國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)經(jing)濟布局(ju)和結(jie)(jie)構(gou)(gou)(gou)(gou)調整(zheng)取(qu)得積極進展(zhan)。國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)(ben)逐(zhu)步(bu)(bu)向(xiang)(xiang)大企(qi)業(ye)(ye)(ye)(ye)大集團集中,向(xiang)(xiang)重要(yao)(yao)行(xing)業(ye)(ye)(ye)(ye)和關鍵領域集中,涌現出一(yi)(yi)批具有(you)(you)(you)(you)(you)(you)較強國(guo)(guo)(guo)(guo)(guo)(guo)際(ji)競爭力的骨(gu)干企(qi)業(ye)(ye)(ye)(ye)。2015年美國(guo)(guo)(guo)(guo)(guo)(guo)《財富(fu)》雜志發(fa)(fa)(fa)布的世界500強企(qi)業(ye)(ye)(ye)(ye)名單中,我(wo)國(guo)(guo)(guo)(guo)(guo)(guo)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)企(qi)業(ye)(ye)(ye)(ye)達到83家。但也應當看到,當前(qian)國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)(ben)運(yun)行(xing)效(xiao)率有(you)(you)(you)(you)(you)(you)待進一(yi)(yi)步(bu)(bu)提高(gao),國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)(ben)布局(ju)結(jie)(jie)構(gou)(gou)(gou)(gou)仍然(ran)存在分布過(guo)(guo)寬(kuan)、戰線(xian)過(guo)(guo)長(chang)等突(tu)出問題,國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)(ben)合理(li)(li)流動的機制尚不(bu)健全(quan),制約了國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)(ben)功能(neng)作用的有(you)(you)(you)(you)(you)(you)效(xiao)發(fa)(fa)(fa)揮。當前(qian),我(wo)國(guo)(guo)(guo)(guo)(guo)(guo)經(jing)濟發(fa)(fa)(fa)展(zhan)進入(ru)新常態,國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)企(qi)業(ye)(ye)(ye)(ye)過(guo)(guo)去主(zhu)要(yao)(yao)憑借(jie)要(yao)(yao)素投(tou)入(ru)的快速(su)增(zeng)(zeng)長(chang)模式(shi)不(bu)可持(chi)(chi)續,憑借(jie)高(gao)強度大規模投(tou)資(zi)(zi)(zi)拉動的模式(shi)不(bu)可持(chi)(chi)續,憑借(jie)低水(shui)平競爭的粗放(fang)增(zeng)(zeng)長(chang)模式(shi)不(bu)可持(chi)(chi)續,迫切需要(yao)(yao)通過(guo)(guo)優化國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)(ben)布局(ju)結(jie)(jie)構(gou)(gou)(gou)(gou),推進國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)企(qi)業(ye)(ye)(ye)(ye)轉(zhuan)型(xing)升(sheng)級(ji),增(zeng)(zeng)強國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)經(jing)濟的活力、控制力、影(ying)響(xiang)力、抗(kang)風險能(neng)力。按照《指導意(yi)見(jian)》要(yao)(yao)求,堅持(chi)(chi)以(yi)市場為(wei)導向(xiang)(xiang)、以(yi)企(qi)業(ye)(ye)(ye)(ye)為(wei)主(zhu)體,有(you)(you)(you)(you)(you)(you)進有(you)(you)(you)(you)(you)(you)退、有(you)(you)(you)(you)(you)(you)所(suo)為(wei)有(you)(you)(you)(you)(you)(you)所(suo)不(bu)為(wei),優化國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)(ben)布局(ju)結(jie)(jie)構(gou)(gou)(gou)(gou),為(wei)發(fa)(fa)(fa)展(zhan)壯(zhuang)大國(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)經(jing)濟提供強有(you)(you)(you)(you)(you)(you)力支撐。

一是明確國(guo)(guo)(guo)有(you)(you)(you)資本集中(zhong)的(de)重(zhong)點(dian)方(fang)向(xiang)(xiang)(xiang)。緊緊圍繞(rao)服務(wu)國(guo)(guo)(guo)家戰(zhan)(zhan)略,落(luo)實國(guo)(guo)(guo)家產業(ye)(ye)政策和重(zhong)點(dian)產業(ye)(ye)布局調整總體要(yao)求(qiu),優(you)化國(guo)(guo)(guo)有(you)(you)(you)資本重(zhong)點(dian)投資方(fang)向(xiang)(xiang)(xiang)和領(ling)域,實現“三(san)個集中(zhong)”,即推動國(guo)(guo)(guo)有(you)(you)(you)資本向(xiang)(xiang)(xiang)關系國(guo)(guo)(guo)家安全(quan)、國(guo)(guo)(guo)民經濟命脈和國(guo)(guo)(guo)計民生的(de)重(zhong)要(yao)行業(ye)(ye)和關鍵領(ling)域、重(zhong)點(dian)基(ji)礎設施集中(zhong),向(xiang)(xiang)(xiang)前瞻性(xing)戰(zhan)(zhan)略性(xing)產業(ye)(ye)集中(zhong),向(xiang)(xiang)(xiang)具(ju)有(you)(you)(you)核心競爭力的(de)優(you)勢企業(ye)(ye)集中(zhong)。

二是建(jian)立健(jian)全(quan)(quan)國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)本(ben)(ben)布局(ju)和結(jie)構調整機(ji)制。制定國(guo)(guo)(guo)(guo)(guo)家發展(zhan)規(gui)(gui)劃(hua)、產(chan)業政策和國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)本(ben)(ben)收益分配(pei)(pei)管(guan)理規(gui)(gui)則,建(jian)立健(jian)全(quan)(quan)國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)本(ben)(ben)進退機(ji)制,引導國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)本(ben)(ben)優化投資(zi)(zi)方向(xiang)和投資(zi)(zi)領域。推進經營性國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)產(chan)集中(zhong)統(tong)一監(jian)管(guan),穩步(bu)將(jiang)黨政機(ji)關、事(shi)業單位所(suo)屬企業的國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)本(ben)(ben)納入(ru)經營性國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)產(chan)集中(zhong)統(tong)一監(jian)管(guan)體(ti)系(xi),為擴大國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)本(ben)(ben)配(pei)(pei)置(zhi)范(fan)圍、提高配(pei)(pei)置(zhi)效率創造條件。加強(qiang)國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)產(chan)基礎管(guan)理,統(tong)一制度(du)規(gui)(gui)范(fan)、統(tong)一工作體(ti)系(xi),強(qiang)化對國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)本(ben)(ben)布局(ju)結(jie)構調整的支撐服務(wu)。

三是運(yun)用市(shi)(shi)場(chang)化方式推動國有(you)(you)(you)資本合(he)理(li)流動優化配置(zhi)。充(chong)分(fen)發揮國有(you)(you)(you)資本投資、運(yun)營公司(si)的作用,清理(li)退(tui)出(chu)一(yi)(yi)批、重組整合(he)一(yi)(yi)批、創新發展一(yi)(yi)批國有(you)(you)(you)企(qi)業。建立健全(quan)優勝劣汰市(shi)(shi)場(chang)化退(tui)出(chu)機制(zhi),切實保障退(tui)出(chu)企(qi)業依法(fa)實行(xing)(xing)關閉(bi)或(huo)破產(chan),加快(kuai)(kuai)處置(zhi)低效(xiao)無效(xiao)資產(chan),淘汰落后產(chan)能。建立健全(quan)國有(you)(you)(you)資本形(xing)態轉換機制(zhi),支持企(qi)業依法(fa)合(he)規(gui)通過證(zheng)券交易、產(chan)權交易等資本市(shi)(shi)場(chang),以市(shi)(shi)場(chang)公允價(jia)格處置(zhi)企(qi)業資產(chan),將變現的國有(you)(you)(you)資本用于更需要的領域和行(xing)(xing)業。支持國有(you)(you)(you)企(qi)業開展國際化經營,鼓勵國有(you)(you)(you)企(qi)業之(zhi)間以及與其他(ta)所有(you)(you)(you)制(zhi)企(qi)業以資本為紐帶(dai),強強聯合(he)、優勢互補,加快(kuai)(kuai)培育一(yi)(yi)批具有(you)(you)(you)世界一(yi)(yi)流水平(ping)的跨國公司(si)。

三、按照(zhao)以管資(zi)本為主的要求(qiu)加(jia)強國有資(zi)產(chan)監督,切實維護國有資(zi)產(chan)安全

國(guo)(guo)(guo)有(you)資(zi)產來之不易,是全(quan)國(guo)(guo)(guo)人(ren)民的(de)共同(tong)財富(fu),是全(quan)面(mian)建成(cheng)小康(kang)社會(hui)、實現全(quan)體人(ren)民共同(tong)富(fu)裕的(de)重(zhong)要(yao)物(wu)質基(ji)礎。國(guo)(guo)(guo)有(you)企(qi)(qi)業改革要(yao)先加強(qiang)(qiang)監(jian)(jian)(jian)(jian)(jian)(jian)管(guan)、防止國(guo)(guo)(guo)有(you)資(zi)產流(liu)失,這一(yi)條做不好,國(guo)(guo)(guo)有(you)企(qi)(qi)業其他改革難以取得預(yu)期成(cheng)效(xiao)。近年來,國(guo)(guo)(guo)有(you)資(zi)產監(jian)(jian)(jian)(jian)(jian)(jian)督工作得到(dao)了有(you)力(li)加強(qiang)(qiang),但針(zhen)對性、實效(xiao)性還需要(yao)進(jin)一(yi)步增強(qiang)(qiang),既存(cun)在監(jian)(jian)(jian)(jian)(jian)(jian)督不到(dao)位、監(jian)(jian)(jian)(jian)(jian)(jian)督不力(li)等(deng)問(wen)(wen)題,也存(cun)在多頭檢查、重(zhong)復(fu)監(jian)(jian)(jian)(jian)(jian)(jian)督等(deng)問(wen)(wen)題,一(yi)些國(guo)(guo)(guo)有(you)企(qi)(qi)業也暴露出(chu)管(guan)理(li)(li)不規范、內部人(ren)控制嚴重(zhong)、企(qi)(qi)業領導人(ren)員(yuan)權力(li)缺乏制約等(deng)問(wen)(wen)題。要(yao)按照(zhao)《指導意見》部署,按照(zhao)以管(guan)資(zi)本(ben)為主(zhu)的(de)要(yao)求(qiu)加強(qiang)(qiang)國(guo)(guo)(guo)有(you)資(zi)產監(jian)(jian)(jian)(jian)(jian)(jian)督工作,沿國(guo)(guo)(guo)有(you)資(zi)本(ben)投資(zi)運營和(he)(he)管(guan)理(li)(li)的(de)全(quan)鏈(lian)條,突出(chu)監(jian)(jian)(jian)(jian)(jian)(jian)督工作重(zhong)點,發(fa)揮企(qi)(qi)業內部監(jian)(jian)(jian)(jian)(jian)(jian)督、出(chu)資(zi)人(ren)監(jian)(jian)(jian)(jian)(jian)(jian)督和(he)(he)各(ge)監(jian)(jian)(jian)(jian)(jian)(jian)督主(zhu)體的(de)功能作用,加快形成(cheng)全(quan)面(mian)覆蓋(gai)、分(fen)工明確、協同(tong)配合、制約有(you)力(li)的(de)國(guo)(guo)(guo)有(you)資(zi)產監(jian)(jian)(jian)(jian)(jian)(jian)督體系(xi),切(qie)實防止國(guo)(guo)(guo)有(you)資(zi)產流(liu)失,保(bao)障和(he)(he)促進(jin)國(guo)(guo)(guo)有(you)經濟健(jian)康(kang)發(fa)展。

一(yi)是(shi)強化企(qi)業(ye)(ye)內部監(jian)(jian)督(du)。進(jin)一(yi)步明確(que)企(qi)業(ye)(ye)作為維護國有資(zi)產(chan)安(an)全、防止流(liu)失的責(ze)(ze)任主體(ti)。完善企(qi)業(ye)(ye)內部監(jian)(jian)督(du)體(ti)系,建(jian)立橫向(xiang)(xiang)涵蓋企(qi)業(ye)(ye)各(ge)治理主體(ti)和(he)職(zhi)能部門、縱向(xiang)(xiang)包括各(ge)子企(qi)業(ye)(ye)和(he)業(ye)(ye)務(wu)板塊(kuai)的監(jian)(jian)督(du)工(gong)作體(ti)系,形成監(jian)(jian)督(du)合力。突(tu)出監(jian)(jian)督(du)重點,對(dui)權(quan)(quan)(quan)(quan)力集(ji)(ji)中、資(zi)金密集(ji)(ji)、資(zi)源富集(ji)(ji)、資(zi)產(chan)聚集(ji)(ji)的部門和(he)崗(gang)位(wei)加強監(jian)(jian)督(du),實行(xing)分事(shi)行(xing)權(quan)(quan)(quan)(quan)、分崗(gang)設權(quan)(quan)(quan)(quan)、分級授權(quan)(quan)(quan)(quan),定期輪崗(gang),防止權(quan)(quan)(quan)(quan)力濫用。進(jin)一(yi)步落實董(dong)事(shi)會、監(jian)(jian)事(shi)會的監(jian)(jian)督(du)職(zhi)責(ze)(ze),加強法(fa)律審核把關,實現依法(fa)治企(qi)。加強職(zhi)工(gong)民主監(jian)(jian)督(du),健全企(qi)業(ye)(ye)民主管理制度,充分保障職(zhi)工(gong)群眾對(dui)企(qi)業(ye)(ye)改革發(fa)展的知情權(quan)(quan)(quan)(quan)、參與權(quan)(quan)(quan)(quan)和(he)監(jian)(jian)督(du)權(quan)(quan)(quan)(quan)。

二是完(wan)善出(chu)資(zi)(zi)(zi)(zi)人監(jian)(jian)(jian)(jian)督。堅持(chi)出(chu)資(zi)(zi)(zi)(zi)人管理和(he)監(jian)(jian)(jian)(jian)督的(de)(de)有機(ji)統一(yi),進一(yi)步加(jia)強出(chu)資(zi)(zi)(zi)(zi)人監(jian)(jian)(jian)(jian)督。健全(quan)國有企(qi)(qi)業規劃投資(zi)(zi)(zi)(zi)、改(gai)制(zhi)重(zhong)組(zu)、產(chan)權管理、財務(wu)評價、業績考核(he)、選人用(yong)人、薪酬分(fen)配等規范國有資(zi)(zi)(zi)(zi)本運(yun)(yun)(yun)作、防止流失(shi)的(de)(de)制(zhi)度(du),加(jia)大對國有資(zi)(zi)(zi)(zi)產(chan)監(jian)(jian)(jian)(jian)管制(zhi)度(du)執行情況的(de)(de)監(jian)(jian)(jian)(jian)督力度(du)。開展國有資(zi)(zi)(zi)(zi)產(chan)監(jian)(jian)(jian)(jian)管機(ji)構向所出(chu)資(zi)(zi)(zi)(zi)企(qi)(qi)業依法委(wei)派總會(hui)計師試點(dian)工作,強化出(chu)資(zi)(zi)(zi)(zi)人對企(qi)(qi)業重(zhong)大財務(wu)事(shi)(shi)項的(de)(de)監(jian)(jian)(jian)(jian)督。加(jia)強企(qi)(qi)業境外(wai)國有資(zi)(zi)(zi)(zi)產(chan)監(jian)(jian)(jian)(jian)督,確保企(qi)(qi)業境外(wai)國有資(zi)(zi)(zi)(zi)產(chan)安全(quan)可(ke)控、有效運(yun)(yun)(yun)營。加(jia)強和(he)改(gai)進外(wai)派監(jian)(jian)(jian)(jian)事(shi)(shi)會(hui)監(jian)(jian)(jian)(jian)督,明確職責定位(wei),發揮監(jian)(jian)(jian)(jian)事(shi)(shi)會(hui)作為(wei)出(chu)資(zi)(zi)(zi)(zi)人監(jian)(jian)(jian)(jian)督專(zhuan)門力量的(de)(de)作用(yong),加(jia)強當期和(he)事(shi)(shi)中監(jian)(jian)(jian)(jian)督,強化監(jian)(jian)(jian)(jian)督成(cheng)果(guo)運(yun)(yun)(yun)用(yong),建立健全(quan)核(he)查(cha)、移交和(he)整改(gai)機(ji)制(zhi)。

三是加(jia)(jia)強(qiang)(qiang)與各監(jian)(jian)督(du)(du)力(li)(li)量的(de)協同配合(he)。大(da)(da)力(li)(li)支持審(shen)計(ji)(ji)、紀檢監(jian)(jian)察(cha)和(he)(he)巡視等(deng)(deng)監(jian)(jian)督(du)(du)機(ji)(ji)構開(kai)展(zhan)工(gong)作。進一步厘清政府部門公共審(shen)計(ji)(ji)、出資(zi)人審(shen)計(ji)(ji)和(he)(he)企業(ye)內部審(shen)計(ji)(ji)之(zhi)間(jian)的(de)職責分工(gong),健全國(guo)(guo)有資(zi)本審(shen)計(ji)(ji)監(jian)(jian)督(du)(du)體系(xi)和(he)(he)制(zhi)度。加(jia)(jia)強(qiang)(qiang)紀檢監(jian)(jian)察(cha)監(jian)(jian)督(du)(du)和(he)(he)巡視工(gong)作,強(qiang)(qiang)化對企業(ye)領導人員廉潔從業(ye)、行使權力(li)(li)等(deng)(deng)的(de)監(jian)(jian)督(du)(du),加(jia)(jia)大(da)(da)大(da)(da)案要案查處(chu)力(li)(li)度。積(ji)極配合(he)建(jian)立(li)外(wai)(wai)部監(jian)(jian)督(du)(du)協同機(ji)(ji)制(zhi),整(zheng)合(he)出資(zi)人監(jian)(jian)管、外(wai)(wai)派監(jian)(jian)事會(hui)(hui)監(jian)(jian)督(du)(du)與審(shen)計(ji)(ji)、紀檢監(jian)(jian)察(cha)、巡視等(deng)(deng)監(jian)(jian)督(du)(du)力(li)(li)量,建(jian)立(li)監(jian)(jian)督(du)(du)工(gong)作會(hui)(hui)商機(ji)(ji)制(zhi),加(jia)(jia)強(qiang)(qiang)統籌(chou),減少重復(fu)檢查,提高監(jian)(jian)督(du)(du)效能。加(jia)(jia)強(qiang)(qiang)社會(hui)(hui)監(jian)(jian)督(du)(du),完善國(guo)(guo)有資(zi)產(chan)和(he)(he)國(guo)(guo)有企業(ye)信(xin)息(xi)公開(kai)制(zhi)度,設立(li)統一的(de)信(xin)息(xi)網絡平臺,充分發揮輿(yu)論監(jian)(jian)督(du)(du)作用,有效保障社會(hui)(hui)公眾對企業(ye)國(guo)(guo)有資(zi)產(chan)運(yun)營的(de)知情權和(he)(he)監(jian)(jian)督(du)(du)權。

四(si)是嚴格(ge)責(ze)(ze)(ze)(ze)任追究(jiu)。加大對國有(you)(you)(you)企業違(wei)規經營責(ze)(ze)(ze)(ze)任追究(jiu)力(li)度(du)(du),建立(li)(li)健全國有(you)(you)(you)企業重(zhong)大決(jue)(jue)策(ce)失職、瀆職責(ze)(ze)(ze)(ze)任追究(jiu)和倒查機(ji)(ji)制,完善重(zhong)大決(jue)(jue)策(ce)評估、決(jue)(jue)策(ce)事(shi)項履(lv)職記(ji)錄、決(jue)(jue)策(ce)過錯認定標準等配(pei)套制度(du)(du),嚴厲查處(chu)(chu)侵吞、貪污、輸送(song)、揮霍(huo)國有(you)(you)(you)資產和逃廢金融(rong)債務的行為。建立(li)(li)健全企業國有(you)(you)(you)資產的監督問(wen)責(ze)(ze)(ze)(ze)機(ji)(ji)制,對企業重(zhong)大違(wei)法(fa)違(wei)紀問(wen)題(ti)敷(fu)衍不追、隱匿不報(bao)、查處(chu)(chu)不力(li)的,嚴格(ge)追究(jiu)有(you)(you)(you)關(guan)人員失職瀆職責(ze)(ze)(ze)(ze)任,確保監督責(ze)(ze)(ze)(ze)任落到實處(chu)(chu),形成監督工(gong)作(zuo)閉環,充分體(ti)現監督工(gong)作(zuo)的嚴肅(su)性和權(quan)威(wei)性。

以管(guan)資(zi)(zi)本為主(zhu)加強國有(you)(you)資(zi)(zi)產監(jian)管(guan)是深化(hua)國有(you)(you)企(qi)業改革的一項重大任務。我(wo)們要認真貫(guan)(guan)徹落實黨的十八(ba)大和十八(ba)屆三中(zhong)、四中(zhong)全會(hui)精(jing)神(shen)(shen),深入學習貫(guan)(guan)徹習近(jin)平總書記系列重要講話(hua)精(jing)神(shen)(shen),自覺踐行“三嚴三實”要求,堅決貫(guan)(guan)徹黨中(zhong)央、國務院(yuan)關于深化(hua)國有(you)(you)企(qi)業改革的重大決策部署,加快(kuai)落實以管(guan)資(zi)(zi)本為主(zhu)加強國有(you)(you)資(zi)(zi)產監(jian)管(guan),為做(zuo)強做(zuo)優做(zuo)大國有(you)(you)企(qi)業、發展壯(zhuang)大國有(you)(you)經濟提供堅強保障。
