黨中(zhong)央、國(guo)(guo)(guo)務(wu)院在日前印(yin)發的《關于深化國(guo)(guo)(guo)有(you)(you)企業(ye)改革的指導(dao)意(yi)(yi)見》(以(yi)下簡稱《指導(dao)意(yi)(yi)見》)中(zhong)明確(que)指出,要(yao)(yao)完善國(guo)(guo)(guo)有(you)(you)資(zi)產(chan)管(guan)(guan)理(li)體(ti)制(zhi),以(yi)管(guan)(guan)資(zi)本(ben)(ben)為(wei)(wei)(wei)主推(tui)進國(guo)(guo)(guo)有(you)(you)資(zi)產(chan)監管(guan)(guan)機構職能轉變,以(yi)管(guan)(guan)資(zi)本(ben)(ben)為(wei)(wei)(wei)主改革國(guo)(guo)(guo)有(you)(you)資(zi)本(ben)(ben)授權(quan)經(jing)營(ying)體(ti)制(zhi),以(yi)管(guan)(guan)資(zi)本(ben)(ben)為(wei)(wei)(wei)主推(tui)動(dong)(dong)國(guo)(guo)(guo)有(you)(you)資(zi)本(ben)(ben)合理(li)流動(dong)(dong)優化配(pei)置,以(yi)管(guan)(guan)資(zi)本(ben)(ben)為(wei)(wei)(wei)主推(tui)進經(jing)營(ying)性國(guo)(guo)(guo)有(you)(you)資(zi)產(chan)集(ji)中(zhong)統一監管(guan)(guan)。這對(dui)于推(tui)動(dong)(dong)國(guo)(guo)(guo)有(you)(you)企業(ye)真正成為(wei)(wei)(wei)獨立市(shi)場主體(ti),增強國(guo)(guo)(guo)有(you)(you)經(jing)濟(ji)整體(ti)功(gong)能和(he)效(xiao)率,維護國(guo)(guo)(guo)有(you)(you)資(zi)產(chan)安全,具有(you)(you)十分重要(yao)(yao)的意(yi)(yi)義。我們(men)要(yao)(yao)深入學習領會(hui)和(he)貫(guan)徹(che)落實文件要(yao)(yao)求,扎實推(tui)進完善國(guo)(guo)(guo)有(you)(you)資(zi)產(chan)管(guan)(guan)理(li)體(ti)制(zhi)、以(yi)管(guan)(guan)資(zi)本(ben)(ben)為(wei)(wei)(wei)主加(jia)強國(guo)(guo)(guo)有(you)(you)資(zi)產(chan)監管(guan)(guan)的各(ge)項工作,為(wei)(wei)(wei)發展壯大國(guo)(guo)(guo)有(you)(you)經(jing)濟(ji)提供堅(jian)強保障。
一、按(an)照以(yi)管(guan)資本(ben)為主的要求(qiu)完善國有資產管(guan)理體制,推動國有企業真正成為獨立市場主體
改(gai)革(ge)開放以來,國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)產(chan)(chan)管(guan)(guan)(guan)理體(ti)(ti)制(zhi)(zhi)改(gai)革(ge)始終與國(guo)(guo)(guo)有(you)(you)(you)企(qi)業(ye)(ye)改(gai)革(ge)相伴相生、共同深化。黨的(de)(de)十六大(da)(da)在(zai)(zai)(zai)(zai)總(zong)結(jie)國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)產(chan)(chan)管(guan)(guan)(guan)理體(ti)(ti)制(zhi)(zhi)實踐經驗(yan)的(de)(de)基(ji)礎上(shang),明確(que)提(ti)出(chu):“建立中央政(zheng)(zheng)(zheng)府(fu)和(he)地方政(zheng)(zheng)(zheng)府(fu)分(fen)別代表國(guo)(guo)(guo)家履行出(chu)資(zi)(zi)(zi)人職(zhi)責(ze),享有(you)(you)(you)所(suo)有(you)(you)(you)者權(quan)益,權(quan)利(li)、義務和(he)責(ze)任相統(tong)一(yi)(yi),管(guan)(guan)(guan)資(zi)(zi)(zi)產(chan)(chan)和(he)管(guan)(guan)(guan)人、管(guan)(guan)(guan)事相結(jie)合的(de)(de)國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)產(chan)(chan)管(guan)(guan)(guan)理體(ti)(ti)制(zhi)(zhi)”。2003年(nian)3月,國(guo)(guo)(guo)務院(yuan)正式(shi)(shi)(shi)成立國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)產(chan)(chan)監(jian)(jian)督管(guan)(guan)(guan)理委員會,根據國(guo)(guo)(guo)務院(yuan)的(de)(de)授(shou)權(quan),專門承(cheng)擔國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)產(chan)(chan)監(jian)(jian)管(guan)(guan)(guan)職(zhi)責(ze),不承(cheng)擔社會公(gong)共管(guan)(guan)(guan)理職(zhi)能。這一(yi)(yi)體(ti)(ti)制(zhi)(zhi),明確(que)了(le)政(zheng)(zheng)(zheng)府(fu)以出(chu)資(zi)(zi)(zi)方式(shi)(shi)(shi)管(guan)(guan)(guan)理國(guo)(guo)(guo)有(you)(you)(you)企(qi)業(ye)(ye),在(zai)(zai)(zai)(zai)解(jie)決政(zheng)(zheng)(zheng)企(qi)不分(fen)、國(guo)(guo)(guo)有(you)(you)(you)企(qi)業(ye)(ye)多頭管(guan)(guan)(guan)理、“九龍治水”等方面(mian)邁出(chu)了(le)一(yi)(yi)大(da)(da)步,為(wei)(wei)國(guo)(guo)(guo)有(you)(you)(you)企(qi)業(ye)(ye)成為(wei)(wei)獨立市(shi)場主體(ti)(ti)奠定(ding)了(le)體(ti)(ti)制(zhi)(zhi)基(ji)礎。但應當看到,在(zai)(zai)(zai)(zai)監(jian)(jian)管(guan)(guan)(guan)體(ti)(ti)制(zhi)(zhi)機制(zhi)(zhi)方面(mian)還(huan)(huan)存(cun)在(zai)(zai)(zai)(zai)一(yi)(yi)些問題,一(yi)(yi)定(ding)程度上(shang)制(zhi)(zhi)約了(le)企(qi)業(ye)(ye)活力。比如政(zheng)(zheng)(zheng)企(qi)分(fen)開、政(zheng)(zheng)(zheng)資(zi)(zi)(zi)分(fen)開還(huan)(huan)不完全到位,國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)產(chan)(chan)監(jian)(jian)管(guan)(guan)(guan)工作還(huan)(huan)存(cun)在(zai)(zai)(zai)(zai)越位、缺(que)位、錯位現象,監(jian)(jian)管(guan)(guan)(guan)方式(shi)(shi)(shi)存(cun)在(zai)(zai)(zai)(zai)一(yi)(yi)定(ding)行政(zheng)(zheng)(zheng)化色(se)彩。同時,經過(guo)多年(nian)的(de)(de)改(gai)革(ge)發(fa)展(zhan),公(gong)司(si)制(zhi)(zhi)股份制(zhi)(zhi)已(yi)經成為(wei)(wei)國(guo)(guo)(guo)有(you)(you)(you)企(qi)業(ye)(ye)的(de)(de)主要組(zu)織(zhi)形式(shi)(shi)(shi),企(qi)業(ye)(ye)的(de)(de)治理結(jie)構、管(guan)(guan)(guan)理方式(shi)(shi)(shi)都(dou)發(fa)生了(le)深刻變化,這在(zai)(zai)(zai)(zai)客觀上(shang)要求國(guo)(guo)(guo)資(zi)(zi)(zi)監(jian)(jian)管(guan)(guan)(guan)機構主動(dong)調整(zheng)完善(shan)監(jian)(jian)管(guan)(guan)(guan)職(zhi)能和(he)方式(shi)(shi)(shi),以管(guan)(guan)(guan)資(zi)(zi)(zi)本為(wei)(wei)主,注重通過(guo)公(gong)司(si)法(fa)人治理結(jie)構依法(fa)行使國(guo)(guo)(guo)有(you)(you)(you)股東權(quan)利(li),實現對國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)產(chan)(chan)的(de)(de)有(you)(you)(you)效監(jian)(jian)管(guan)(guan)(guan)。
貫徹落(luo)實(shi)《指導意見》要求,完善(shan)國(guo)有資(zi)產(chan)管理體制(zhi),要以(yi)管資(zi)本(ben)為(wei)主(zhu)(zhu)推(tui)進職能轉變,準確把握依法履行出(chu)資(zi)人(ren)職責的(de)(de)定(ding)位,科學(xue)界(jie)(jie)定(ding)國(guo)有資(zi)產(chan)出(chu)資(zi)人(ren)監(jian)管的(de)(de)邊界(jie)(jie),實(shi)現以(yi)管企(qi)業(ye)(ye)為(wei)主(zhu)(zhu)向以(yi)管資(zi)本(ben)為(wei)主(zhu)(zhu)的(de)(de)轉變,推(tui)動國(guo)有企(qi)業(ye)(ye)真正成為(wei)獨(du)立市場主(zhu)(zhu)體,夯實(shi)發展壯大國(guo)有經濟(ji)的(de)(de)微觀基(ji)礎。
一是堅持(chi)政企(qi)(qi)分開(kai)、政資分開(kai)、所有(you)權(quan)(quan)和(he)經營(ying)權(quan)(quan)分離。政府部(bu)門依(yi)法(fa)行使公共管(guan)(guan)(guan)理職(zhi)能,從(cong)經濟調節(jie)和(he)社會管(guan)(guan)(guan)理角度(du)進行社會公共管(guan)(guan)(guan)理。國(guo)(guo)有(you)資產監(jian)管(guan)(guan)(guan)機(ji)構作為政府直屬特設機(ji)構,根據授權(quan)(quan)代表本級人(ren)(ren)民政府對監(jian)管(guan)(guan)(guan)企(qi)(qi)業(ye)依(yi)法(fa)履行出資人(ren)(ren)職(zhi)責(ze),科學界定國(guo)(guo)有(you)資產出資人(ren)(ren)監(jian)管(guan)(guan)(guan)的(de)邊界,專司國(guo)(guo)有(you)資產監(jian)管(guan)(guan)(guan),不干預(yu)企(qi)(qi)業(ye)自(zi)(zi)主經營(ying)權(quan)(quan)。國(guo)(guo)有(you)企(qi)(qi)業(ye)依(yi)法(fa)享(xiang)有(you)獨立(li)的(de)法(fa)人(ren)(ren)財(cai)產權(quan)(quan),依(yi)法(fa)自(zi)(zi)主經營(ying)、自(zi)(zi)負盈虧、自(zi)(zi)擔風險、自(zi)(zi)我約束、自(zi)(zi)我發展。
二是推進國(guo)有資(zi)(zi)(zi)產監(jian)管(guan)(guan)機(ji)構職(zhi)能轉變。該(gai)管(guan)(guan)的要科學管(guan)(guan)理、決(jue)不(bu)缺(que)位(wei)(wei),重(zhong)點管(guan)(guan)好(hao)國(guo)有資(zi)(zi)(zi)本(ben)布局、規范(fan)資(zi)(zi)(zi)本(ben)運(yun)作、提高資(zi)(zi)(zi)本(ben)回報、維護資(zi)(zi)(zi)本(ben)安全。不(bu)該(gai)管(guan)(guan)的要依(yi)(yi)法放權、決(jue)不(bu)越位(wei)(wei),將依(yi)(yi)法應(ying)由企業(ye)自(zi)主經營決(jue)策的事(shi)項歸位(wei)(wei)于(yu)企業(ye),將延伸到子企業(ye)的管(guan)(guan)理事(shi)項原(yuan)則上歸位(wei)(wei)于(yu)一級企業(ye),將配合承擔的公共管(guan)(guan)理職(zhi)能歸位(wei)(wei)于(yu)相關政府(fu)部門和(he)(he)單位(wei)(wei)。國(guo)有資(zi)(zi)(zi)產監(jian)管(guan)(guan)機(ji)構依(yi)(yi)法對國(guo)有資(zi)(zi)(zi)本(ben)投資(zi)(zi)(zi)、運(yun)營公司(si)和(he)(he)其他直接監(jian)管(guan)(guan)的企業(ye)履行出資(zi)(zi)(zi)人職(zhi)責。
三是改(gai)進國(guo)有(you)(you)資產(chan)監(jian)(jian)管(guan)(guan)方(fang)(fang)式和(he)手段。更多(duo)運(yun)用(yong)法治(zhi)化、市場(chang)化監(jian)(jian)管(guan)(guan)方(fang)(fang)式,改(gai)變行政化管(guan)(guan)理方(fang)(fang)式。針(zhen)對企業不同功(gong)能(neng)定位,在(zai)戰略規劃制定、資本運(yun)作(zuo)(zuo)模式、人員選(xuan)用(yong)機制、經營業績考核等方(fang)(fang)面,實施(shi)更加(jia)精準有(you)(you)效的(de)分類監(jian)(jian)管(guan)(guan)。重視(shi)通過公司(si)(si)(si)治(zhi)理結構履行出資人職責,規范董事(shi)會運(yun)作(zuo)(zuo),嚴格選(xuan)派股東代(dai)表和(he)董事(shi)、監(jian)(jian)事(shi)。注重管(guan)(guan)好公司(si)(si)(si)章程,通過“一(yi)企一(yi)策”制定公司(si)(si)(si)章程,將國(guo)有(you)(you)資產(chan)出資人意志有(you)(you)效體(ti)現在(zai)公司(si)(si)(si)章程中。建立監(jian)(jian)管(guan)(guan)權力(li)清(qing)單(dan)(dan)和(he)責任清(qing)單(dan)(dan),加(jia)大運(yun)用(yong)信息化手段的(de)力(li)度,優化監(jian)(jian)管(guan)(guan)流程,提高監(jian)(jian)管(guan)(guan)效率,加(jia)強監(jian)(jian)管(guan)(guan)工作(zuo)(zuo)協同。
二、按照(zhao)以管資(zi)本(ben)為主(zhu)的要求優化國有(you)資(zi)本(ben)布局結(jie)構,增強(qiang)國有(you)經濟整體功能和(he)效(xiao)率
優(you)化國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)本(ben)(ben)(ben)布局(ju)結(jie)(jie)(jie)構,是(shi)提(ti)(ti)升國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)經(jing)濟(ji)整體運行質量的(de)(de)重(zhong)(zhong)要(yao)(yao)途徑,也是(shi)發(fa)揮國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)經(jing)濟(ji)主導(dao)作(zuo)用、放大(da)(da)(da)(da)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)本(ben)(ben)(ben)功(gong)能的(de)(de)必然(ran)(ran)要(yao)(yao)求。隨著國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)產管理體制(zhi)改(gai)革逐步深化,國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)企(qi)業(ye)(ye)(ye)日益發(fa)展(zhan)壯(zhuang)大(da)(da)(da)(da),國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)本(ben)(ben)(ben)運行效率不(bu)斷(duan)提(ti)(ti)高,國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)經(jing)濟(ji)布局(ju)和結(jie)(jie)(jie)構調整取得積極進(jin)展(zhan)。國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)本(ben)(ben)(ben)逐步向大(da)(da)(da)(da)企(qi)業(ye)(ye)(ye)大(da)(da)(da)(da)集團集中(zhong),向重(zhong)(zhong)要(yao)(yao)行業(ye)(ye)(ye)和關鍵領域集中(zhong),涌(yong)現(xian)出一(yi)批具有(you)(you)(you)(you)(you)(you)(you)較(jiao)強國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)際競(jing)爭力(li)(li)的(de)(de)骨干企(qi)業(ye)(ye)(ye)。2015年美國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)《財富》雜志發(fa)布的(de)(de)世界(jie)500強企(qi)業(ye)(ye)(ye)名(ming)單中(zhong),我國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)企(qi)業(ye)(ye)(ye)達到83家。但(dan)也應(ying)當(dang)看到,當(dang)前國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)本(ben)(ben)(ben)運行效率有(you)(you)(you)(you)(you)(you)(you)待(dai)進(jin)一(yi)步提(ti)(ti)高,國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)本(ben)(ben)(ben)布局(ju)結(jie)(jie)(jie)構仍然(ran)(ran)存在分布過(guo)寬、戰線過(guo)長(chang)(chang)等突出問(wen)題,國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)本(ben)(ben)(ben)合理流(liu)動(dong)的(de)(de)機制(zhi)尚不(bu)健全(quan),制(zhi)約了國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)本(ben)(ben)(ben)功(gong)能作(zuo)用的(de)(de)有(you)(you)(you)(you)(you)(you)(you)效發(fa)揮。當(dang)前,我國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)經(jing)濟(ji)發(fa)展(zhan)進(jin)入新常(chang)態,國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)企(qi)業(ye)(ye)(ye)過(guo)去主要(yao)(yao)憑借(jie)要(yao)(yao)素(su)投入的(de)(de)快速增(zeng)長(chang)(chang)模式不(bu)可持續(xu),憑借(jie)高強度大(da)(da)(da)(da)規模投資(zi)(zi)拉動(dong)的(de)(de)模式不(bu)可持續(xu),憑借(jie)低水平競(jing)爭的(de)(de)粗放增(zeng)長(chang)(chang)模式不(bu)可持續(xu),迫切需要(yao)(yao)通過(guo)優(you)化國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)本(ben)(ben)(ben)布局(ju)結(jie)(jie)(jie)構,推(tui)進(jin)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)企(qi)業(ye)(ye)(ye)轉型升級(ji),增(zeng)強國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)經(jing)濟(ji)的(de)(de)活力(li)(li)、控(kong)制(zhi)力(li)(li)、影(ying)響力(li)(li)、抗(kang)風(feng)險(xian)能力(li)(li)。按照(zhao)《指導(dao)意見》要(yao)(yao)求,堅持以市(shi)場為(wei)(wei)(wei)導(dao)向、以企(qi)業(ye)(ye)(ye)為(wei)(wei)(wei)主體,有(you)(you)(you)(you)(you)(you)(you)進(jin)有(you)(you)(you)(you)(you)(you)(you)退、有(you)(you)(you)(you)(you)(you)(you)所為(wei)(wei)(wei)有(you)(you)(you)(you)(you)(you)(you)所不(bu)為(wei)(wei)(wei),優(you)化國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)資(zi)(zi)本(ben)(ben)(ben)布局(ju)結(jie)(jie)(jie)構,為(wei)(wei)(wei)發(fa)展(zhan)壯(zhuang)大(da)(da)(da)(da)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)經(jing)濟(ji)提(ti)(ti)供(gong)強有(you)(you)(you)(you)(you)(you)(you)力(li)(li)支(zhi)撐(cheng)。
一是明確國(guo)有資(zi)本集(ji)(ji)中(zhong)的重(zhong)(zhong)點方向(xiang)(xiang)。緊緊圍繞服務國(guo)家戰略(lve),落實國(guo)家產(chan)業(ye)政策和(he)(he)重(zhong)(zhong)點產(chan)業(ye)布局(ju)調(diao)整總體要(yao)求,優化國(guo)有資(zi)本重(zhong)(zhong)點投資(zi)方向(xiang)(xiang)和(he)(he)領域(yu),實現(xian)“三個集(ji)(ji)中(zhong)”,即推動國(guo)有資(zi)本向(xiang)(xiang)關系國(guo)家安全、國(guo)民經濟(ji)命脈和(he)(he)國(guo)計民生的重(zhong)(zhong)要(yao)行業(ye)和(he)(he)關鍵(jian)領域(yu)、重(zhong)(zhong)點基(ji)礎設施(shi)集(ji)(ji)中(zhong),向(xiang)(xiang)前瞻性戰略(lve)性產(chan)業(ye)集(ji)(ji)中(zhong),向(xiang)(xiang)具(ju)有核心競爭力的優勢企業(ye)集(ji)(ji)中(zhong)。
二(er)是建(jian)(jian)立健(jian)全國(guo)有資(zi)(zi)本(ben)布局(ju)和結(jie)構調(diao)整(zheng)機(ji)制(zhi)(zhi)。制(zhi)(zhi)定國(guo)家(jia)發展(zhan)規(gui)劃、產(chan)業政(zheng)策和國(guo)有資(zi)(zi)本(ben)收益(yi)分配(pei)管理規(gui)則,建(jian)(jian)立健(jian)全國(guo)有資(zi)(zi)本(ben)進退(tui)機(ji)制(zhi)(zhi),引導國(guo)有資(zi)(zi)本(ben)優化投(tou)資(zi)(zi)方向(xiang)和投(tou)資(zi)(zi)領(ling)域。推(tui)進經營(ying)性國(guo)有資(zi)(zi)產(chan)集中統一(yi)監管,穩(wen)步將黨政(zheng)機(ji)關、事(shi)業單位所屬企業的(de)(de)國(guo)有資(zi)(zi)本(ben)納入經營(ying)性國(guo)有資(zi)(zi)產(chan)集中統一(yi)監管體(ti)(ti)系,為擴大國(guo)有資(zi)(zi)本(ben)配(pei)置范(fan)圍、提高(gao)配(pei)置效率創造條(tiao)件。加強國(guo)有資(zi)(zi)產(chan)基礎(chu)管理,統一(yi)制(zhi)(zhi)度(du)規(gui)范(fan)、統一(yi)工作體(ti)(ti)系,強化對國(guo)有資(zi)(zi)本(ben)布局(ju)結(jie)構調(diao)整(zheng)的(de)(de)支撐(cheng)服務。
三是運(yun)用市(shi)場(chang)化(hua)方式推動國(guo)有資本(ben)合理流動優化(hua)配置。充(chong)分(fen)發揮國(guo)有資本(ben)投資、運(yun)營(ying)公(gong)司(si)的(de)作用,清(qing)理退出(chu)一(yi)批(pi)、重組(zu)整合一(yi)批(pi)、創新發展一(yi)批(pi)國(guo)有企業(ye)(ye)。建(jian)(jian)立(li)健全(quan)(quan)優勝劣汰(tai)市(shi)場(chang)化(hua)退出(chu)機(ji)制,切實(shi)保障退出(chu)企業(ye)(ye)依法實(shi)行關閉(bi)或破(po)產(chan),加快處置低效(xiao)無效(xiao)資產(chan),淘汰(tai)落后(hou)產(chan)能(neng)。建(jian)(jian)立(li)健全(quan)(quan)國(guo)有資本(ben)形(xing)態轉(zhuan)換機(ji)制,支(zhi)持企業(ye)(ye)依法合規(gui)通過證(zheng)券交(jiao)易、產(chan)權交(jiao)易等資本(ben)市(shi)場(chang),以(yi)市(shi)場(chang)公(gong)允(yun)價格處置企業(ye)(ye)資產(chan),將變現的(de)國(guo)有資本(ben)用于更需要的(de)領(ling)域和行業(ye)(ye)。支(zhi)持國(guo)有企業(ye)(ye)開展國(guo)際化(hua)經營(ying),鼓勵(li)國(guo)有企業(ye)(ye)之間以(yi)及與(yu)其他所有制企業(ye)(ye)以(yi)資本(ben)為紐帶,強(qiang)強(qiang)聯(lian)合、優勢互補(bu),加快培育一(yi)批(pi)具有世界一(yi)流水平的(de)跨國(guo)公(gong)司(si)。
三、按照以管資本為主的要求加強國有資產監(jian)督(du),切實維護國有資產安全
國有(you)(you)(you)資產(chan)(chan)(chan)來之不易,是(shi)全(quan)國人民的(de)共(gong)同(tong)財(cai)富,是(shi)全(quan)面(mian)(mian)建成(cheng)小(xiao)康(kang)社會、實現全(quan)體人民共(gong)同(tong)富裕的(de)重要(yao)物質基礎。國有(you)(you)(you)企業(ye)(ye)改革(ge)要(yao)先加強監(jian)管、防(fang)止國有(you)(you)(you)資產(chan)(chan)(chan)流失,這一條(tiao)(tiao)做不好(hao),國有(you)(you)(you)企業(ye)(ye)其(qi)他改革(ge)難以(yi)(yi)取得預(yu)期成(cheng)效(xiao)。近(jin)年來,國有(you)(you)(you)資產(chan)(chan)(chan)監(jian)督(du)(du)(du)(du)工(gong)作(zuo)得到了有(you)(you)(you)力加強,但針對性、實效(xiao)性還需要(yao)進一步增強,既存(cun)在監(jian)督(du)(du)(du)(du)不到位(wei)、監(jian)督(du)(du)(du)(du)不力等問(wen)題(ti),也(ye)存(cun)在多頭檢(jian)查、重復監(jian)督(du)(du)(du)(du)等問(wen)題(ti),一些國有(you)(you)(you)企業(ye)(ye)也(ye)暴露(lu)出管理(li)不規范(fan)、內部(bu)人控制嚴重、企業(ye)(ye)領導(dao)人員權力缺乏(fa)制約等問(wen)題(ti)。要(yao)按(an)(an)照(zhao)《指導(dao)意見》部(bu)署,按(an)(an)照(zhao)以(yi)(yi)管資本為(wei)主的(de)要(yao)求加強國有(you)(you)(you)資產(chan)(chan)(chan)監(jian)督(du)(du)(du)(du)工(gong)作(zuo),沿國有(you)(you)(you)資本投資運營和管理(li)的(de)全(quan)鏈條(tiao)(tiao),突(tu)出監(jian)督(du)(du)(du)(du)工(gong)作(zuo)重點,發揮(hui)企業(ye)(ye)內部(bu)監(jian)督(du)(du)(du)(du)、出資人監(jian)督(du)(du)(du)(du)和各監(jian)督(du)(du)(du)(du)主體的(de)功能作(zuo)用(yong),加快形成(cheng)全(quan)面(mian)(mian)覆蓋、分工(gong)明確、協同(tong)配(pei)合、制約有(you)(you)(you)力的(de)國有(you)(you)(you)資產(chan)(chan)(chan)監(jian)督(du)(du)(du)(du)體系,切實防(fang)止國有(you)(you)(you)資產(chan)(chan)(chan)流失,保(bao)障和促進國有(you)(you)(you)經濟(ji)健康(kang)發展。
一是強化企(qi)業(ye)(ye)(ye)內部(bu)監(jian)(jian)(jian)督(du)。進一步明確企(qi)業(ye)(ye)(ye)作(zuo)為維護國(guo)有資(zi)產(chan)安全、防止流失的責任(ren)主體。完善(shan)企(qi)業(ye)(ye)(ye)內部(bu)監(jian)(jian)(jian)督(du)體系,建立(li)橫向涵蓋企(qi)業(ye)(ye)(ye)各(ge)治理主體和(he)(he)職能(neng)部(bu)門、縱(zong)向包括各(ge)子企(qi)業(ye)(ye)(ye)和(he)(he)業(ye)(ye)(ye)務板塊的監(jian)(jian)(jian)督(du)工(gong)作(zuo)體系,形成監(jian)(jian)(jian)督(du)合力(li)。突出監(jian)(jian)(jian)督(du)重(zhong)點,對權(quan)(quan)(quan)力(li)集中(zhong)、資(zi)金密集、資(zi)源富集、資(zi)產(chan)聚集的部(bu)門和(he)(he)崗位(wei)加強監(jian)(jian)(jian)督(du),實行分事行權(quan)(quan)(quan)、分崗設權(quan)(quan)(quan)、分級(ji)授權(quan)(quan)(quan),定期輪崗,防止權(quan)(quan)(quan)力(li)濫(lan)用。進一步落實董事會(hui)、監(jian)(jian)(jian)事會(hui)的監(jian)(jian)(jian)督(du)職責,加強法(fa)律(lv)審核把關,實現依法(fa)治企(qi)。加強職工(gong)民(min)(min)主監(jian)(jian)(jian)督(du),健全企(qi)業(ye)(ye)(ye)民(min)(min)主管理制(zhi)度,充分保障職工(gong)群(qun)眾對企(qi)業(ye)(ye)(ye)改革(ge)發展的知情權(quan)(quan)(quan)、參與權(quan)(quan)(quan)和(he)(he)監(jian)(jian)(jian)督(du)權(quan)(quan)(quan)。
二是完善出(chu)(chu)資(zi)(zi)(zi)人(ren)(ren)(ren)監(jian)(jian)(jian)督。堅(jian)持出(chu)(chu)資(zi)(zi)(zi)人(ren)(ren)(ren)管理和監(jian)(jian)(jian)督的(de)(de)有(you)機(ji)統一,進一步加(jia)(jia)強出(chu)(chu)資(zi)(zi)(zi)人(ren)(ren)(ren)監(jian)(jian)(jian)督。健全(quan)國(guo)(guo)(guo)有(you)企(qi)(qi)業規劃投資(zi)(zi)(zi)、改制(zhi)重(zhong)組、產(chan)(chan)權管理、財(cai)務評價(jia)、業績考核(he)(he)、選人(ren)(ren)(ren)用(yong)人(ren)(ren)(ren)、薪(xin)酬分配等(deng)規范國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)本運(yun)作(zuo)、防(fang)止(zhi)流失的(de)(de)制(zhi)度(du),加(jia)(jia)大對(dui)國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產(chan)(chan)監(jian)(jian)(jian)管制(zhi)度(du)執行情(qing)況的(de)(de)監(jian)(jian)(jian)督力度(du)。開(kai)展國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產(chan)(chan)監(jian)(jian)(jian)管機(ji)構向(xiang)所出(chu)(chu)資(zi)(zi)(zi)企(qi)(qi)業依法委(wei)派(pai)總會(hui)計(ji)師試(shi)點工作(zuo),強化(hua)出(chu)(chu)資(zi)(zi)(zi)人(ren)(ren)(ren)對(dui)企(qi)(qi)業重(zhong)大財(cai)務事(shi)項的(de)(de)監(jian)(jian)(jian)督。加(jia)(jia)強企(qi)(qi)業境外國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產(chan)(chan)監(jian)(jian)(jian)督,確保企(qi)(qi)業境外國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產(chan)(chan)安全(quan)可控、有(you)效運(yun)營。加(jia)(jia)強和改進外派(pai)監(jian)(jian)(jian)事(shi)會(hui)監(jian)(jian)(jian)督,明確職責定位,發揮監(jian)(jian)(jian)事(shi)會(hui)作(zuo)為出(chu)(chu)資(zi)(zi)(zi)人(ren)(ren)(ren)監(jian)(jian)(jian)督專門力量的(de)(de)作(zuo)用(yong),加(jia)(jia)強當期和事(shi)中(zhong)監(jian)(jian)(jian)督,強化(hua)監(jian)(jian)(jian)督成果運(yun)用(yong),建立健全(quan)核(he)(he)查(cha)、移交(jiao)和整改機(ji)制(zhi)。
三(san)是加(jia)強(qiang)(qiang)與各監(jian)(jian)(jian)督(du)(du)(du)力量的協(xie)(xie)同(tong)配合(he)。大力支持審計(ji)、紀(ji)(ji)檢(jian)監(jian)(jian)(jian)察和(he)巡(xun)(xun)視等監(jian)(jian)(jian)督(du)(du)(du)機構開展工作。進一(yi)(yi)步厘清政府部(bu)(bu)門(men)公共審計(ji)、出(chu)資(zi)人(ren)(ren)審計(ji)和(he)企業(ye)內部(bu)(bu)審計(ji)之間的職(zhi)責分(fen)工,健全國有(you)資(zi)本審計(ji)監(jian)(jian)(jian)督(du)(du)(du)體系和(he)制(zhi)(zhi)度。加(jia)強(qiang)(qiang)紀(ji)(ji)檢(jian)監(jian)(jian)(jian)察監(jian)(jian)(jian)督(du)(du)(du)和(he)巡(xun)(xun)視工作,強(qiang)(qiang)化(hua)對企業(ye)領導(dao)人(ren)(ren)員廉潔(jie)從業(ye)、行使權(quan)力等的監(jian)(jian)(jian)督(du)(du)(du),加(jia)大大案(an)要案(an)查(cha)處力度。積極(ji)配合(he)建(jian)立(li)外部(bu)(bu)監(jian)(jian)(jian)督(du)(du)(du)協(xie)(xie)同(tong)機制(zhi)(zhi),整合(he)出(chu)資(zi)人(ren)(ren)監(jian)(jian)(jian)管、外派監(jian)(jian)(jian)事會(hui)監(jian)(jian)(jian)督(du)(du)(du)與審計(ji)、紀(ji)(ji)檢(jian)監(jian)(jian)(jian)察、巡(xun)(xun)視等監(jian)(jian)(jian)督(du)(du)(du)力量,建(jian)立(li)監(jian)(jian)(jian)督(du)(du)(du)工作會(hui)商機制(zhi)(zhi),加(jia)強(qiang)(qiang)統(tong)籌,減少(shao)重(zhong)復檢(jian)查(cha),提(ti)高(gao)監(jian)(jian)(jian)督(du)(du)(du)效能。加(jia)強(qiang)(qiang)社會(hui)監(jian)(jian)(jian)督(du)(du)(du),完善國有(you)資(zi)產和(he)國有(you)企業(ye)信息(xi)公開制(zhi)(zhi)度,設立(li)統(tong)一(yi)(yi)的信息(xi)網絡平臺(tai),充分(fen)發揮輿論監(jian)(jian)(jian)督(du)(du)(du)作用,有(you)效保障社會(hui)公眾對企業(ye)國有(you)資(zi)產運營的知(zhi)情權(quan)和(he)監(jian)(jian)(jian)督(du)(du)(du)權(quan)。
四是嚴(yan)(yan)格(ge)(ge)責任(ren)追(zhui)(zhui)究。加大(da)對(dui)國有企(qi)(qi)(qi)業(ye)違規經營責任(ren)追(zhui)(zhui)究力度(du),建立健全國有企(qi)(qi)(qi)業(ye)重大(da)決(jue)策失(shi)職(zhi)、瀆職(zhi)責任(ren)追(zhui)(zhui)究和(he)倒查機制(zhi),完善重大(da)決(jue)策評估、決(jue)策事(shi)項履(lv)職(zhi)記錄、決(jue)策過錯認定標(biao)準(zhun)等配套(tao)制(zhi)度(du),嚴(yan)(yan)厲查處侵吞、貪污、輸送、揮霍國有資產(chan)和(he)逃廢金融債務的(de)行為。建立健全企(qi)(qi)(qi)業(ye)國有資產(chan)的(de)監(jian)督(du)問責機制(zhi),對(dui)企(qi)(qi)(qi)業(ye)重大(da)違法違紀問題敷衍不追(zhui)(zhui)、隱匿不報(bao)、查處不力的(de),嚴(yan)(yan)格(ge)(ge)追(zhui)(zhui)究有關人員(yuan)失(shi)職(zhi)瀆職(zhi)責任(ren),確保(bao)監(jian)督(du)責任(ren)落到實處,形(xing)成監(jian)督(du)工(gong)(gong)作(zuo)閉環,充(chong)分(fen)體現監(jian)督(du)工(gong)(gong)作(zuo)的(de)嚴(yan)(yan)肅性(xing)和(he)權威性(xing)。
以管(guan)資(zi)本為主(zhu)(zhu)加強國(guo)(guo)有資(zi)產(chan)監(jian)管(guan)是深(shen)(shen)化國(guo)(guo)有企業(ye)改革的一(yi)項重(zhong)大(da)任(ren)務(wu)。我(wo)們要認(ren)真貫(guan)(guan)徹落實黨(dang)(dang)的十(shi)八(ba)(ba)大(da)和十(shi)八(ba)(ba)屆三中、四中全會精神(shen),深(shen)(shen)入(ru)學習貫(guan)(guan)徹習近平總(zong)書記系列重(zhong)要講(jiang)話精神(shen),自覺踐行(xing)“三嚴三實”要求,堅決(jue)貫(guan)(guan)徹黨(dang)(dang)中央(yang)、國(guo)(guo)務(wu)院關于深(shen)(shen)化國(guo)(guo)有企業(ye)改革的重(zhong)大(da)決(jue)策部署,加快(kuai)落實以管(guan)資(zi)本為主(zhu)(zhu)加強國(guo)(guo)有資(zi)產(chan)監(jian)管(guan),為做強做優做大(da)國(guo)(guo)有企業(ye)、發展壯(zhuang)大(da)國(guo)(guo)有經濟提供堅強保障(zhang)。
