國藥:以“三個堅持”為抓手扎實推進董事會建設和規范運作

國企(qi)改(gai)革(ge)三(san)年(nian)行(xing)動(dong)實(shi)施以來,國藥(yao)集團以習近(jin)平新時代(dai)中國特色社會主(zhu)義思想為指導,認真貫徹落(luo)實(shi)黨中央、國務(wu)院決策部(bu)署,系統謀劃、精心(xin)組織、上下聯(lian)動(dong)、狠抓實(shi)效,將(jiang)三(san)年(nian)行(xing)動(dong)與集團發(fa)展規(gui)劃深(shen)入融合。三(san)年(nian)來,改(gai)革(ge)重點任務(wu)實(shi)現破局闖關,重點領域取得標志性(xing)成果,改(gai)革(ge)紅利不斷釋(shi)放,高質量(liang)發(fa)展取得積極成效。

堅持點面結合 搭建完善的董事會運作體系

國(guo)藥集團貫徹(che)落實“兩個一以貫之”要(yao)求,加(jia)快構建中國(guo)特色現代企業制(zhi)度,不斷推進董事會與其他治理主(zhu)體規范運(yun)作、同向(xiang)發力。

著力完(wan)善(shan)“三重(zhong)一(yi)(yi)大(da)”決策體系(xi)。積(ji)極探索加強黨(dang)的(de)領導與完(wan)善(shan)公司治理(li)相統(tong)一(yi)(yi)的(de)有效途(tu)徑,系(xi)統(tong)梳(shu)理(li)不同治理(li)主體間(jian)權(quan)責(ze)關系(xi),明確界(jie)定黨(dang)委、董事(shi)會和經(jing)(jing)理(li)層的(de)功能定位,并結合實(shi)際研究制定“三重(zhong)一(yi)(yi)大(da)”決策事(shi)項(xiang)清單,細化(hua)黨(dang)委前置研究與董事(shi)會、經(jing)(jing)理(li)層決策的(de)有序(xu)銜接,進一(yi)(yi)步理(li)順決策流(liu)程(cheng),逐步形成了黨(dang)委、董事(shi)會、經(jing)(jing)理(li)層權(quan)責(ze)法(fa)定、權(quan)責(ze)透(tou)明、協調運轉(zhuan)、有效制衡的(de)法(fa)人治理(li)結構。

著力健全完善董(dong)事(shi)會(hui)(hui)制(zhi)(zhi)度(du)(du)體(ti)系。對(dui)標對(dui)表國(guo)務院(yuan)國(guo)資(zi)委出臺的(de)(de)(de)一系列政策法(fa)規(gui),加強頂層設計,建立(li)健全保(bao)障(zhang)董(dong)事(shi)會(hui)(hui)規(gui)范高(gao)效運行的(de)(de)(de)“1+M+N”制(zhi)(zhi)度(du)(du)體(ti)系。“1”即《公(gong)司章程》,是國(guo)藥(yao)集(ji)團各治理(li)(li)主體(ti)運作(zuo)(zuo)的(de)(de)(de)根本法(fa)則(ze);“M”包(bao)(bao)括《股(gu)東會(hui)(hui)議(yi)(yi)事(shi)規(gui)則(ze)》《董(dong)事(shi)會(hui)(hui)議(yi)(yi)事(shi)規(gui)則(ze)》《董(dong)事(shi)會(hui)(hui)專業委員會(hui)(hui)工作(zuo)(zuo)規(gui)則(ze)》《總經(jing)理(li)(li)辦公(gong)室(shi)議(yi)(yi)事(shi)規(gui)則(ze)》,突出董(dong)事(shi)會(hui)(hui)的(de)(de)(de)經(jing)營決策主體(ti)定位;“N”包(bao)(bao)括《董(dong)事(shi)會(hui)(hui)授權(quan)管理(li)(li)辦法(fa)》《董(dong)事(shi)會(hui)(hui)提案(an)管理(li)(li)辦法(fa)》《董(dong)事(shi)會(hui)(hui)決議(yi)(yi)事(shi)項督辦制(zhi)(zhi)度(du)(du)》以及(ji)涉及(ji)董(dong)事(shi)會(hui)(hui)職權(quan)的(de)(de)(de)戰略管理(li)(li)、風險管理(li)(li)、債務管理(li)(li)、投資(zi)管理(li)(li)等制(zhi)(zhi)度(du)(du)。各項制(zhi)(zhi)度(du)(du)相互銜接、相互對(dui)應,從不同維(wei)度(du)(du)和層面為董(dong)事(shi)會(hui)(hui)履職行權(quan)提供了制(zhi)(zhi)度(du)(du)保(bao)障(zhang)。

著力推進董(dong)(dong)事(shi)會(hui)(hui)決(jue)(jue)(jue)策閉環管理(li)。規(gui)范會(hui)(hui)議安排(pai),每(mei)年制定(ding)發布(bu)董(dong)(dong)事(shi)會(hui)(hui)年度會(hui)(hui)議計劃(hua),將董(dong)(dong)事(shi)會(hui)(hui)固定(ding)審(shen)(shen)議事(shi)項(xiang)(xiang)(xiang)細化(hua)(hua)明確到具體(ti)月份,一體(ti)聯動(dong),做好相(xiang)關前置決(jue)(jue)(jue)策程序(xu)(xu)安排(pai),除緊急(ji)事(shi)項(xiang)(xiang)(xiang)和特(te)殊情況(kuang)(kuang)(kuang)外(wai),減(jian)少召開臨(lin)時會(hui)(hui)議或(huo)(huo)避(bi)免(mian)傳簽(qian)審(shen)(shen)議重大投(tou)資事(shi)項(xiang)(xiang)(xiang)。規(gui)范提案(an)管理(li),董(dong)(dong)事(shi)會(hui)(hui)決(jue)(jue)(jue)策事(shi)項(xiang)(xiang)(xiang)嚴格按照(zhao)有關規(gui)定(ding),履行(xing)(xing)黨委前置研究程序(xu)(xu)和法律(lv)審(shen)(shen)核程序(xu)(xu),相(xiang)關前置審(shen)(shen)核意見如實(shi)向董(dong)(dong)事(shi)會(hui)(hui)報告;圍繞董(dong)(dong)事(shi)會(hui)(hui)關注點和審(shen)(shen)議點,不斷強化(hua)(hua)董(dong)(dong)事(shi)會(hui)(hui)提案(an)內容和形式審(shen)(shen)查,保障(zhang)科學決(jue)(jue)(jue)策。規(gui)范決(jue)(jue)(jue)議督辦,建立董(dong)(dong)事(shi)會(hui)(hui)決(jue)(jue)(jue)議執行(xing)(xing)情況(kuang)(kuang)(kuang)臺賬,定(ding)期跟(gen)蹤直至決(jue)(jue)(jue)議事(shi)項(xiang)(xiang)(xiang)完結或(huo)(huo)中止(zhi)。董(dong)(dong)事(shi)會(hui)(hui)每(mei)半年集(ji)中聽取決(jue)(jue)(jue)議事(shi)項(xiang)(xiang)(xiang)執行(xing)(xing)情況(kuang)(kuang)(kuang),對實(shi)施中存在的問題及(ji)時提出整改(gai)要(yao)求,強化(hua)(hua)督導落實(shi)。

堅持內外融合 增強外部董事履職保障能力

國藥集團作(zuo)為股權多元化中(zhong)央企業,董(dong)(dong)事會成員(yuan)中(zhong),6名(ming)外部(bu)董(dong)(dong)事代表了三方(fang)股東意志。集團高度重視外部(bu)董(dong)(dong)事履職支撐(cheng)保障,通過探索建立(li)一系(xi)列工作(zuo)機制,保障外部(bu)董(dong)(dong)事履職盡責,從而有效發(fa)揮(hui)各方(fang)優勢,確保各方(fang)股東權益。

認真做(zuo)好外(wai)部(bu)董(dong)(dong)事(shi)(shi)(shi)調(diao)研工作。圍繞集團發展戰略實(shi)施(shi)、重(zhong)大決策執(zhi)行落(luo)實(shi)等重(zhong)點(dian)(dian),科(ke)學合(he)理制定董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)年(nian)度調(diao)研計劃,每年(nian)組(zu)織3-5次跨(kua)區域、跨(kua)業(ye)(ye)態(tai)的(de)集中式調(diao)研,確(que)保外(wai)部(bu)董(dong)(dong)事(shi)(shi)(shi)能夠全(quan)面掌握國(guo)藥集團下屬企業(ye)(ye)落(luo)實(shi)集團重(zhong)大決策和(he)(he)工作部(bu)署(shu)情況(kuang)以(yi)及深入了解(jie)基(ji)層企業(ye)(ye)生(sheng)產(chan)經營現狀;同時,根據外(wai)部(bu)董(dong)(dong)事(shi)(shi)(shi)專業(ye)(ye)背景(jing)、關注領域及個人意(yi)愿(yuan),或結(jie)合(he)外(wai)部(bu)董(dong)(dong)事(shi)(shi)(shi)在(zai)董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)上提(ti)出(chu)的(de)意(yi)見,有針對性地(di)開展專題性調(diao)研,加深對行業(ye)(ye)和(he)(he)企業(ye)(ye)的(de)認知,基(ji)本上實(shi)現外(wai)部(bu)董(dong)(dong)事(shi)(shi)(shi)任職三年(nian)內調(diao)研范圍覆蓋主責主業(ye)(ye)和(he)(he)重(zhong)點(dian)(dian)企業(ye)(ye)。對調(diao)研中外(wai)部(bu)董(dong)(dong)事(shi)(shi)(shi)提(ti)出(chu)的(de)意(yi)見建(jian)議,通過編(bian)制調(diao)研報告向經理層反饋,經理層高度重(zhong)視,組(zu)織有關單位迅速落(luo)實(shi),有力增(zeng)強(qiang)了董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)權威性和(he)(he)有效性。

認(ren)真(zhen)做好(hao)信息(xi)支(zhi)撐服務(wu)(wu)工(gong)作。為使外(wai)部(bu)(bu)董(dong)事(shi)能(neng)夠及時獲取履職所需的有關信息(xi),確保(bao)董(dong)事(shi)會(hui)決策的科學性(xing)、有效性(xing),集團(tuan)重視(shi)加強對(dui)外(wai)部(bu)(bu)董(dong)事(shi)的決策信息(xi)支(zhi)持力度,提(ti)供專門的辦公場所,定期(qi)整(zheng)理上(shang)級單位的監管文件、領導(dao)講話、重要(yao)會(hui)議和指示批示精(jing)神,安排(pai)外(wai)部(bu)(bu)董(dong)事(shi)閱讀學習(xi)。積極拓展企業(ye)信息(xi)渠道,集各業(ye)務(wu)(wu)部(bu)(bu)門之力,向外(wai)部(bu)(bu)董(dong)事(shi)定期(qi)報(bao)送財務(wu)(wu)分析(xi)報(bao)告、風險運營分析(xi)報(bao)告、內(nei)審(shen)工(gong)作報(bao)告、法治(zhi)建設報(bao)告等(deng)資料(liao),便于外(wai)部(bu)(bu)董(dong)事(shi)及時掌握企業(ye)工(gong)作動態、財務(wu)(wu)數據、各板塊經營情況、改革發(fa)展等(deng)信息(xi),提(ti)高內(nei)外(wai)部(bu)(bu)董(dong)事(shi)決策信息(xi)對(dui)稱性(xing),保(bao)障董(dong)事(shi)會(hui)科學決策。

認真做好重(zhong)(zhong)大(da)事(shi)(shi)項(xiang)溝(gou)通(tong)報告。董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)長(chang)高度重(zhong)(zhong)視與外(wai)(wai)部董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)的溝(gou)通(tong)交(jiao)流,每(mei)次召開董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)定期會(hui)議時,向(xiang)外(wai)(wai)部董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)介紹近期改革發(fa)展(zhan)、經(jing)營(ying)(ying)管理(li)、重(zhong)(zhong)點工作(zuo)進展(zhan)等情況(kuang),聽取(qu)外(wai)(wai)部董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)意(yi)見(jian)建(jian)議。經(jing)營(ying)(ying)班子在日常工作(zuo)中主動向(xiang)外(wai)(wai)部董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)報告分管領域工作(zuo)情況(kuang),共同探討企業改革發(fa)展(zhan)重(zhong)(zhong)大(da)事(shi)(shi)項(xiang),凝聚推動企業發(fa)展(zhan)合力。注重(zhong)(zhong)決(jue)(jue)策(ce)(ce)的科學性,決(jue)(jue)策(ce)(ce)重(zhong)(zhong)大(da)經(jing)營(ying)(ying)管理(li)事(shi)(shi)項(xiang)前,董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)長(chang)或董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)秘書組織(zhi)相關(guan)單位(wei)向(xiang)外(wai)(wai)部董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)分別(bie)介紹情況(kuang),充分交(jiao)流意(yi)見(jian)和看法,形成初步共識后再上會(hui)決(jue)(jue)策(ce)(ce);積極(ji)營(ying)(ying)造民主務實的董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)會(hui)文化(hua),支(zhi)持外(wai)(wai)部董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)充分發(fa)表意(yi)見(jian)、獨(du)立(li)判(pan)斷,對于外(wai)(wai)部董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)提(ti)出意(yi)見(jian)較多的事(shi)(shi)項(xiang),內部董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)積極(ji)聽取(qu)采納(na),并將有關(guan)意(yi)見(jian)作(zuo)為決(jue)(jue)議執行的必要條件,確保(bao)決(jue)(jue)策(ce)(ce)實效。

堅持上下貫通 推動子公司董事會規范運作

國(guo)藥集團始終把子(zi)公司(si)董(dong)事(shi)會建設作為完善(shan)治(zhi)理(li)結構、提升治(zhi)理(li)能力(li)的(de)重要環節和(he)抓手,持續推動子(zi)公司(si)加強董(dong)事(shi)會建設,落(luo)實(shi)子(zi)公司(si)董(dong)事(shi)會職權,優化(hua)子(zi)公司(si)董(dong)事(shi)會運作機制,努力(li)打造具有國(guo)藥特色的(de)母子(zi)公司(si)治(zhi)理(li)體系。

以提升決(jue)策效(xiao)率為(wei)目標,有(you)序(xu)開展董事(shi)會(hui)授(shou)權(quan)(quan)工作。規(gui)范(fan)(fan)董事(shi)會(hui)授(shou)權(quan)(quan)管理,在堅持(chi)依法合規(gui)、權(quan)(quan)責對(dui)等(deng)、科學適度(du)(du)、風險可控的原則下,逐步加大對(dui)二級(ji)公(gong)司(si)董事(shi)會(hui)的授(shou)權(quan)(quan)力度(du)(du);并(bing)根據(ju)各公(gong)司(si)經營管理狀況(kuang)、資產(chan)負債規(gui)模與(yu)資產(chan)質(zhi)量、業務(wu)負荷程(cheng)度(du)(du)、風險控制能力等(deng),實施差異化授(shou)權(quan)(quan)。同時,強化授(shou)權(quan)(quan)后的監督管理,定期對(dui)二級(ji)公(gong)司(si)董事(shi)會(hui)決(jue)策的規(gui)范(fan)(fan)性、有(you)效(xiao)性進行檢查(cha)和評估,綜(zong)合考慮治理水平(ping)、行權(quan)(quan)效(xiao)果(guo)等(deng)情況(kuang),動態調整對(dui)二級(ji)公(gong)司(si)的授(shou)權(quan)(quan)事(shi)項清(qing)單,有(you)效(xiao)提升二級(ji)公(gong)司(si)董事(shi)會(hui)決(jue)策質(zhi)量和效(xiao)率。

以提升管控水平為根本,扎(zha)實(shi)推進(jin)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)應(ying)(ying)(ying)建盡(jin)建。根據國(guo)務(wu)院(yuan)國(guo)資委關于中(zhong)央企(qi)(qi)業(ye)(ye)(ye)加強子(zi)企(qi)(qi)業(ye)(ye)(ye)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)建設的(de)有關要求,結(jie)合(he)企(qi)(qi)業(ye)(ye)(ye)實(shi)際,印發《加強子(zi)公(gong)司(si)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)建設工作(zuo)方(fang)案》,明確各(ge)級企(qi)(qi)業(ye)(ye)(ye)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)應(ying)(ying)(ying)建盡(jin)建的(de)原(yuan)則和(he)范(fan)圍(wei),經過(guo)系統性排(pai)查和(he)梳理,形成《集(ji)團(tuan)所屬(shu)應(ying)(ying)(ying)建董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)企(qi)(qi)業(ye)(ye)(ye)清單》,通(tong)過(guo)建立工作(zuo)臺賬,定(ding)期(qi)核實(shi)數據、逐項(xiang)銷號,大力推進(jin)各(ge)級企(qi)(qi)業(ye)(ye)(ye)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)應(ying)(ying)(ying)建盡(jin)建。截至(zhi)2021年底(di)(di),納入應(ying)(ying)(ying)建范(fan)圍(wei)的(de)195戶(hu)(hu)子(zi)企(qi)(qi)業(ye)(ye)(ye)已(yi)全部(bu)建立董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)。同(tong)時,配套開展配齊建強工作(zuo),積(ji)極拓寬外(wai)部(bu)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)來源渠(qu)道(dao),在全系統大力實(shi)施外(wai)部(bu)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)制度,1戶(hu)(hu)二級公(gong)司(si)修訂公(gong)司(si)章程,增(zeng)補一名外(wai)部(bu)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)到位;1戶(hu)(hu)二級公(gong)司(si)結(jie)合(he)所處行(xing)業(ye)(ye)(ye)特點,引進(jin)一名行(xing)業(ye)(ye)(ye)經驗豐富的(de)外(wai)部(bu)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)到位。截至(zhi)2021年底(di)(di),集(ji)團(tuan)應(ying)(ying)(ying)建盡(jin)建企(qi)(qi)業(ye)(ye)(ye)已(yi)全部(bu)實(shi)現董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)外(wai)部(bu)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)占多數。

以提(ti)升治(zhi)理(li)效能為重點,深化落(luo)(luo)實(shi)(shi)(shi)子公(gong)(gong)(gong)(gong)司(si)(si)(si)(si)(si)董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)職(zhi)(zhi)權(quan)。國藥(yao)集團作(zuo)(zuo)為首批中央(yang)企業(ye)集團層(ceng)面開(kai)(kai)展落(luo)(luo)實(shi)(shi)(shi)董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)職(zhi)(zhi)權(quan)試點單位,不斷總結(jie)工(gong)作(zuo)(zuo)成效和(he)(he)經(jing)驗,進一(yi)步將規范董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)建設的有(you)關要求(qiu)和(he)(he)內涵向下延伸,在10戶(hu)二(er)級子公(gong)(gong)(gong)(gong)司(si)(si)(si)(si)(si)和(he)(he)4戶(hu)上市公(gong)(gong)(gong)(gong)司(si)(si)(si)(si)(si)中分(fen)批分(fen)次差異化開(kai)(kai)展落(luo)(luo)實(shi)(shi)(shi)子公(gong)(gong)(gong)(gong)司(si)(si)(si)(si)(si)董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)職(zhi)(zhi)權(quan)工(gong)作(zuo)(zuo)。10戶(hu)二(er)級子公(gong)(gong)(gong)(gong)司(si)(si)(si)(si)(si)圍繞落(luo)(luo)實(shi)(shi)(shi)董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)六項(xiang)職(zhi)(zhi)權(quan),研究(jiu)制定本企業(ye)落(luo)(luo)實(shi)(shi)(shi)董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)職(zhi)(zhi)權(quan)實(shi)(shi)(shi)施(shi)方(fang)案(an),細化工(gong)作(zuo)(zuo)目標、工(gong)作(zuo)(zuo)措施(shi),強化組織實(shi)(shi)(shi)施(shi),并(bing)加快修(xiu)訂公(gong)(gong)(gong)(gong)司(si)(si)(si)(si)(si)章程、董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)議事(shi)(shi)(shi)規則、經(jing)理(li)層(ceng)考(kao)核與薪酬管(guan)理(li)辦法等基本制度(du);同時,進一(yi)步指導所屬上市公(gong)(gong)(gong)(gong)司(si)(si)(si)(si)(si)結(jie)合開(kai)(kai)展經(jing)理(li)層(ceng)任期制和(he)(he)契(qi)約(yue)化管(guan)理(li)工(gong)作(zuo)(zuo),制訂實(shi)(shi)(shi)施(shi)落(luo)(luo)實(shi)(shi)(shi)董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)三項(xiang)管(guan)理(li)職(zhi)(zhi)權(quan)的實(shi)(shi)(shi)施(shi)方(fang)案(an)。通過開(kai)(kai)展落(luo)(luo)實(shi)(shi)(shi)董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)職(zhi)(zhi)權(quan)工(gong)作(zuo)(zuo),進一(yi)步增強子公(gong)(gong)(gong)(gong)司(si)(si)(si)(si)(si)董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)行權(quan)履職(zhi)(zhi)能力(li),提(ti)升董(dong)(dong)事(shi)(shi)(shi)會(hui)(hui)規范運作(zuo)(zuo)水平,有(you)效提(ti)高子公(gong)(gong)(gong)(gong)司(si)(si)(si)(si)(si)的改革發展活力(li)和(he)(he)效率。

在國(guo)務院國(guo)資委的(de)(de)指(zhi)(zhi)導(dao)和(he)(he)(he)幫助下(xia),國(guo)藥(yao)集團(tuan)公司治(zhi)理(li)和(he)(he)(he)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)建(jian)設(she)工作(zuo)取得了(le)積極進(jin)展(zhan)和(he)(he)(he)明(ming)顯成效(xiao):一是董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)制(zhi)度(du)體(ti)系(xi)不斷(duan)(duan)健全,經(jing)過十幾(ji)年(nian)的(de)(de)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)建(jian)設(she)實(shi)(shi)踐(jian),形成了(le)完備成熟的(de)(de)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)制(zhi)度(du)和(he)(he)(he)運作(zuo)體(ti)系(xi),使董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)與其(qi)他治(zhi)理(li)主體(ti)權(quan)(quan)責邊界清(qing)晰,有助于分(fen)清(qing)職責、提(ti)高效(xiao)率(lv)、提(ti)升管理(li)能(neng)力,使董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)的(de)(de)運轉有章可(ke)循,強(qiang)化董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)經(jing)營(ying)決(jue)策主體(ti)作(zuo)用(yong)。二是決(jue)策水(shui)平(ping)有效(xiao)提(ti)高,通過在全級次企(qi)業(ye)(ye)(ye)開展(zhan)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)應建(jian)盡建(jian)和(he)(he)(he)外部董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)占多數制(zhi)度(du),實(shi)(shi)現了(le)企(qi)業(ye)(ye)(ye)的(de)(de)決(jue)策權(quan)(quan)與執行(xing)權(quan)(quan)分(fen)開,不斷(duan)(duan)做實(shi)(shi)各級企(qi)業(ye)(ye)(ye)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui),使派出董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)可(ke)以根據股東(dong)的(de)(de)要求(qiu)和(he)(he)(he)自己的(de)(de)判斷(duan)(duan)科學審(shen)慎行(xing)使表決(jue)權(quan)(quan),獨(du)立客觀地發表意見,決(jue)策過程(cheng)中的(de)(de)研究討論(lun)比較充(chong)分(fen),避免了(le)重(zhong)(zhong)大(da)決(jue)策一個(ge)人(ren)說了(le)算(suan)的(de)(de)現象(xiang),使經(jing)營(ying)決(jue)策更(geng)加(jia)科學和(he)(he)(he)合(he)理(li)。三是風(feng)險(xian)防(fang)范體(ti)系(xi)更(geng)加(jia)完善,各級企(qi)業(ye)(ye)(ye)董(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)始終(zhong)把風(feng)險(xian)防(fang)范作(zuo)為工作(zuo)重(zhong)(zhong)心(xin)之一,不斷(duan)(duan)指(zhi)(zhi)導(dao)和(he)(he)(he)推(tui)動任職企(qi)業(ye)(ye)(ye)健全風(feng)險(xian)內控體(ti)系(xi),實(shi)(shi)現對重(zhong)(zhong)大(da)風(feng)險(xian)的(de)(de)實(shi)(shi)時(shi)跟蹤、風(feng)險(xian)預警(jing),將風(feng)險(xian)內控工作(zuo)融入經(jing)營(ying)管理(li)各個(ge)環節。公司治(zhi)理(li)水(shui)平(ping)的(de)(de)提(ti)升也賦能(neng)企(qi)業(ye)(ye)(ye)高質(zhi)量發展(zhan),推(tui)動集團(tuan)經(jing)濟效(xiao)益(yi)(yi)和(he)(he)(he)綜合(he)競爭(zheng)實(shi)(shi)力不斷(duan)(duan)增(zeng)(zeng)強(qiang)。2021年(nian),國(guo)藥(yao)集團(tuan)營(ying)業(ye)(ye)(ye)收(shou)入實(shi)(shi)現7023億,同(tong)比增(zeng)(zeng)長(chang)31.71%;利(li)潤總(zong)額、凈(jing)利(li)潤大(da)幅增(zeng)(zeng)長(chang),全員勞動生產(chan)率(lv)同(tong)比增(zeng)(zeng)長(chang)129.64%,資產(chan)負債率(lv)54.13%,同(tong)比下(xia)降5.82個(ge)百分(fen)點,經(jing)濟效(xiao)益(yi)(yi)和(he)(he)(he)凈(jing)資產(chan)收(shou)益(yi)(yi)率(lv)名列中央企(qi)業(ye)(ye)(ye)首位,創(chuang)歷史(shi)最(zui)好水(shui)平(ping)。
