健全市場化經營機制

華潤(run)(run)積極推動經理層成(cheng)員(yuan)任(ren)期(qi)制(zhi)(zhi)(zhi)與(yu)(yu)契約(yue)(yue)化落地,靈(ling)活開(kai)展(zhan)多(duo)(duo)種(zhong)方(fang)式的中長期(qi)激(ji)勵。一(yi)是推動經理層成(cheng)員(yuan)任(ren)期(qi)制(zhi)(zhi)(zhi)和(he)契約(yue)(yue)化管理落地。集(ji)團(tuan)成(cheng)立(li)專項工作組,統籌推進集(ji)團(tuan)和(he)下屬(shu)(shu)企(qi)業實(shi)(shi)(shi)施(shi)經理層成(cheng)員(yuan)任(ren)期(qi)制(zhi)(zhi)(zhi)和(he)契約(yue)(yue)化管理。截至6月30日,開(kai)展(zhan)任(ren)期(qi)制(zhi)(zhi)(zhi)與(yu)(yu)契約(yue)(yue)化的各級企(qi)業有451家(jia),已簽約(yue)(yue)經理人人數1,740人,已完成(cheng)87.9%。二是積極推動集(ji)團(tuan)下屬(shu)(shu)企(qi)業開(kai)展(zhan)多(duo)(duo)種(zhong)方(fang)式的中長期(qi)激(ji)勵。上(shang)市(shi)公司(si)方(fang)面,華潤(run)(run)目前有10家(jia)企(qi)業已實(shi)(shi)(shi)施(shi)或正組織,其中華潤(run)(run)萬象(xiang)生(sheng)活已于(yu)2020年上(shang)市(shi)時實(shi)(shi)(shi)施(shi)戰略配(pei)售,共247人參(can)與(yu)(yu)了(le)認購,共認購6.34億(yi)元人民(min)幣(bi);華潤(run)(run)微電(dian)子已實(shi)(shi)(shi)施(shi)硒盤(pan)項目跟投,其限制(zhi)(zhi)(zhi)性(xing)股票激(ji)勵方(fang)案已報國資委審(shen)核;華潤(run)(run)化學材料結合創業板(ban)上(shang)市(shi)同步(bu)實(shi)(shi)(shi)施(shi)員(yuan)工戰略配(pei)售,預(yu)計142人參(can)與(yu)(yu)配(pei)售,初步(bu)認購金額為1.55億(yi)元人民(min)幣(bi)。非(fei)上(shang)市(shi)公司(si)方(fang)面,探索在華潤(run)(run)萬家(jia)等推行超額利潤(run)(run)分(fen)享機制(zhi)(zhi)(zhi)。

推進國有資本布局優化和結構調整

一是(shi)大力(li)發(fa)展科技創(chuang)(chuang)(chuang)新。集團(tuan)(tuan)(tuan)加強對科技人才和(he)研發(fa)投(tou)入的統(tong)籌管(guan)理(li),立足(zu)長遠培育創(chuang)(chuang)(chuang)新的環(huan)境和(he)基因。華潤集團(tuan)(tuan)(tuan)2021年(nian)1-6月(yue)(yue)研發(fa)費用累計投(tou)入約18億元(yuan)人民幣(bi),同比增長36%。截至(zhi)2021年(nian)6月(yue)(yue),集團(tuan)(tuan)(tuan)14家(jia)利潤中(zhong)心成(cheng)(cheng)立了創(chuang)(chuang)(chuang)委會(hui)(hui),5家(jia)成(cheng)(cheng)立了科學(xue)技術(shu)協(xie)會(hui)(hui),13家(jia)建設了研發(fa)平臺,1家(jia)設有院士工(gong)(gong)作站(zhan),7家(jia)設有博士后(hou)工(gong)(gong)作站(zhan)、成(cheng)(cheng)立了6個(ge)聯(lian)合實驗室(shi)。二是(shi)重(zhong)組(zu)華創(chuang)(chuang)(chuang)業(ye)(ye)(ye)務孵(fu)化(hua)(hua)功能(neng)。集團(tuan)(tuan)(tuan)推動(dong)下屬企(qi)業(ye)(ye)(ye)華潤創(chuang)(chuang)(chuang)業(ye)(ye)(ye)有限公司(“華創(chuang)(chuang)(chuang)”)的業(ye)(ye)(ye)務重(zhong)組(zu)工(gong)(gong)作,恢復其業(ye)(ye)(ye)務拓展和(he)孵(fu)化(hua)(hua)功能(neng),專(zhuan)注集團(tuan)(tuan)(tuan)創(chuang)(chuang)(chuang)新孵(fu)化(hua)(hua)業(ye)(ye)(ye)務,發(fa)揮華創(chuang)(chuang)(chuang)在過(guo)往“兩(liang)次再造華潤”過(guo)程中(zhong)起到(dao)的“業(ye)(ye)(ye)務孵(fu)化(hua)(hua)器”作用。三是(shi)推動(dong)“兩(liang)非(fei)”企(qi)業(ye)(ye)(ye)處(chu)置(zhi)工(gong)(gong)作。集團(tuan)(tuan)(tuan)共27家(jia)“兩(liang)非(fei)”企(qi)業(ye)(ye)(ye),截至(zhi)2021年(nian)6月(yue)(yue),已完(wan)成(cheng)(cheng)17戶(hu)(hu)處(chu)置(zhi)工(gong)(gong)作,完(wan)成(cheng)(cheng)率達(da)63%。四是(shi)加強處(chu)僵治困和(he)重(zhong)點虧損子企(qi)業(ye)(ye)(ye)治理(li)。截至(zhi)2021年(nian)6月(yue)(yue),集團(tuan)(tuan)(tuan)93戶(hu)(hu)重(zhong)點虧損子企(qi)業(ye)(ye)(ye)整體(ti)盈利30億元(yuan),相較(jiao)2018年(nian)同期減(jian)虧增利41.2億元(yuan),整體(ti)完(wan)成(cheng)(cheng)情況較(jiao)好(hao)。

積極穩妥推進下屬重點企業混合所有制改革

華(hua)(hua)潤(run)積(ji)極推(tui)(tui)動(dong)下屬(shu)(shu)企(qi)業(ye)(ye)開(kai)展混(hun)(hun)(hun)(hun)改,引(yin)(yin)(yin)入(ru)合適的戰(zhan)(zhan)略投(tou)(tou)資者,共同(tong)轉(zhuan)換經營機制,不斷優(you)化公司治理(li)、強化激勵約束機制。一(yi)是明確混(hun)(hun)(hun)(hun)改工(gong)(gong)作要求。集(ji)團下發《華(hua)(hua)潤(run)集(ji)團混(hun)(hun)(hun)(hun)合所有(you)制改革項(xiang)目管理(li)辦法(試(shi)行)》,進(jin)一(yi)步(bu)指導下屬(shu)(shu)企(qi)業(ye)(ye)推(tui)(tui)進(jin)混(hun)(hun)(hun)(hun)改工(gong)(gong)作。對重要混(hun)(hun)(hun)(hun)改企(qi)業(ye)(ye)項(xiang)目,包括華(hua)(hua)潤(run)萬家、華(hua)(hua)潤(run)怡(yi)寶、太(tai)平洋咖啡等,積(ji)極推(tui)(tui)動(dong)實質(zhi)性混(hun)(hun)(hun)(hun)改工(gong)(gong)作,把握好市(shi)場(chang)機會(hui)。二是完成華(hua)(hua)潤(run)微電子引(yin)(yin)(yin)戰(zhan)(zhan)工(gong)(gong)作。集(ji)團“雙百(bai)行動(dong)”試(shi)點企(qi)業(ye)(ye)華(hua)(hua)潤(run)微電子引(yin)(yin)(yin)入(ru)國家大基(ji)金為戰(zhan)(zhan)略投(tou)(tou)資者,股(gu)比超過5%并同(tong)步(bu)釋放其1名董事席位,進(jin)一(yi)步(bu)優(you)化董事會(hui)治理(li)結構。三是推(tui)(tui)動(dong)混(hun)(hun)(hun)(hun)改企(qi)業(ye)(ye)員(yuan)工(gong)(gong)持股(gu)計劃實施。推(tui)(tui)動(dong)集(ji)團“科(ke)改行動(dong)”試(shi)點企(qi)業(ye)(ye)華(hua)(hua)潤(run)生物醫藥引(yin)(yin)(yin)入(ru)戰(zhan)(zhan)略投(tou)(tou)資者,并同(tong)步(bu)開(kai)展員(yuan)工(gong)(gong)持股(gu)計劃,預計有(you)30名核心骨干員(yuan)工(gong)(gong)將參與(yu)認(ren)購股(gu)權。

黨建、監督及其他重點改革工作

一是深度(du)開展黨建工(gong)(gong)作(zuo)責任制相關(guan)工(gong)(gong)作(zuo)。集(ji)(ji)(ji)團(tuan)(tuan)修(xiu)訂完善(shan)了《華(hua)(hua)潤(run)集(ji)(ji)(ji)團(tuan)(tuan)黨建工(gong)(gong)作(zuo)責任制考核(he)評價辦法》,引入滿意度(du)測(ce)試(shi)、集(ji)(ji)(ji)團(tuan)(tuan)黨委領導打分(fen)等新機制,將考核(he)結果(guo)與經(jing)營業績考核(he)結果(guo)銜接。二(er)(er)是加(jia)強改(gai)革監督體(ti)系(xi)保障(zhang)。集(ji)(ji)(ji)團(tuan)(tuan)修(xiu)訂完善(shan)了《中國華(hua)(hua)潤(run)巡(xun)視監督要點》,將總(zong)部部室和二(er)(er)級企業A組織落實《華(hua)(hua)潤(run)集(ji)(ji)(ji)團(tuan)(tuan)改(gai)革三年行動實施方案》的情(qing)況納(na)入內部巡(xun)視監督范圍(wei)。三是制定(ding)盡(jin)職(zhi)合規免(mian)責清單。集(ji)(ji)(ji)團(tuan)(tuan)制定(ding)發布(bu)《華(hua)(hua)潤(run)(集(ji)(ji)(ji)團(tuan)(tuan))有限(xian)公司經(jing)營投資盡(jin)職(zhi)合規免(mian)責事項清單》,涉(she)及集(ji)(ji)(ji)團(tuan)(tuan)管(guan)控、風(feng)險(xian)管(guan)理、購銷管(guan)理、工(gong)(gong)程承包建設和資金管(guan)理等十一個方面。
