黨的十八屆三中全(quan)會明(ming)確要(yao)求,完(wan)善國(guo)有(you)(you)資(zi)(zi)產(chan)管(guan)理(li)體制(zhi),以(yi)管(guan)資(zi)(zi)本為主加強(qiang)國(guo)有(you)(you)資(zi)(zi)產(chan)監管(guan),改革國(guo)有(you)(you)資(zi)(zi)本授(shou)權(quan)經營(ying)(ying)體制(zhi),組(zu)建(jian)若干國(guo)有(you)(you)資(zi)(zi)本運(yun)營(ying)(ying)公司(si),支持有(you)(you)條件的國(guo)有(you)(you)企(qi)業改組(zu)為國(guo)有(you)(you)資(zi)(zi)本投資(zi)(zi)公司(si)。按(an)照黨中央、國(guo)務院決(jue)策(ce)部(bu)署,在(zai)國(guo)務院國(guo)資(zi)(zi)委直接領(ling)導下,中國(guo)國(guo)新控股(gu)有(you)(you)限責任公司(si)(以(yi)下簡稱(cheng)中國(guo)國(guo)新)于2016年(nian)初(chu)被確定(ding)為國(guo)有(you)(you)資(zi)(zi)本運(yun)營(ying)(ying)公司(si)試(shi)點企(qi)業,在(zai)構建(jian)運(yun)營(ying)(ying)模式、發揮功能作用等(deng)方面(mian)進(jin)行了積極探索。從中國(guo)國(guo)新三年(nian)多的實(shi)踐看,國(guo)有(you)(you)資(zi)(zi)本運(yun)營(ying)(ying)公司(si)在(zai)推動國(guo)有(you)(you)經濟(ji)高質量(liang)發展方面(mian)需(xu)要(yao)扮演好“五個角色”。
當好改(gai)革國(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)本(ben)授(shou)權(quan)經(jing)(jing)營(ying)(ying)體制(zhi)(zhi)的(de)(de)試(shi)驗者。改(gai)組組建(jian)(jian)國(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)本(ben)投資(zi)(zi)(zi)公(gong)(gong)司(si)、運(yun)營(ying)(ying)公(gong)(gong)司(si),是(shi)(shi)(shi)以(yi)(yi)管資(zi)(zi)(zi)本(ben)為主改(gai)革國(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)(zi)本(ben)授(shou)權(quan)經(jing)(jing)營(ying)(ying)體制(zhi)(zhi)的(de)(de)重要舉措(cuo)(cuo),是(shi)(shi)(shi)堅持政企分(fen)開、政資(zi)(zi)(zi)分(fen)開、所有(you)(you)(you)權(quan)和(he)經(jing)(jing)營(ying)(ying)權(quan)分(fen)離的(de)(de)重要體現,是(shi)(shi)(shi)深化(hua)國(guo)(guo)(guo)(guo)企改(gai)革新的(de)(de)重要突破口(kou)。兩類(lei)公(gong)(gong)司(si)上(shang)接(jie)體制(zhi)(zhi),下接(jie)資(zi)(zi)(zi)本(ben)運(yun)作、企業(ye)經(jing)(jing)營(ying)(ying),涉及國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)國(guo)(guo)(guo)(guo)企多(duo)個方面改(gai)革;開展好兩類(lei)公(gong)(gong)司(si)試(shi)點,不僅有(you)(you)(you)利(li)于(yu)推動各項(xiang)改(gai)革舉措(cuo)(cuo)相互銜(xian)接(jie)、同(tong)頻共振,而且對于(yu)國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)國(guo)(guo)(guo)(guo)企改(gai)革全(quan)局(ju)具(ju)有(you)(you)(you)重要的(de)(de)示范(fan)、突破和(he)帶動作用(yong)。試(shi)點以(yi)(yi)來,中國(guo)(guo)(guo)(guo)國(guo)(guo)(guo)(guo)新高度重視探索明確與(yu)國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)監(jian)管機構(gou)(gou)(gou)、所出資(zi)(zi)(zi)企業(ye)的(de)(de)權(quan)責(ze)邊界,著力(li)突出“三(san)個加(jia)快”,適應(ying)監(jian)管職(zhi)能(neng)轉變,健全(quan)完(wan)善管理(li)體系(xi)。一是(shi)(shi)(shi)加(jia)快健全(quan)治理(li)結構(gou)(gou)(gou),確保“接(jie)得住(zhu)”。堅持和(he)完(wan)善“雙向進入(ru)、交叉任職(zhi)”的(de)(de)領(ling)導體制(zhi)(zhi),嚴格落實(shi)重大問題決(jue)策黨委(wei)研究討(tao)論前置程序,充(chong)分(fen)發揮黨委(wei)的(de)(de)領(ling)導作用(yong)、董事會的(de)(de)決(jue)策作用(yong)和(he)經(jing)(jing)理(li)層的(de)(de)經(jing)(jing)營(ying)(ying)管理(li)作用(yong),有(you)(you)(you)效承(cheng)接(jie)國(guo)(guo)(guo)(guo)務(wu)(wu)院國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)委(wei)授(shou)權(quan)放(fang)權(quan)事項(xiang)清單。二是(shi)(shi)(shi)加(jia)快完(wan)善組織體系(xi),確保“管得好”。以(yi)(yi)“強(qiang)(qiang)總部(bu)、實(shi)板(ban)塊(kuai)”為目標,突出總部(bu)“定(ding)戰略、抓(zhua)隊(dui)伍、配資(zi)(zi)(zi)源(yuan)、控(kong)(kong)風險(xian)”等(deng)(deng)(deng)核心(xin)職(zhi)能(neng),構(gou)(gou)(gou)建(jian)(jian)黨建(jian)(jian)職(zhi)能(neng)線(xian)、運(yun)營(ying)(ying)管理(li)線(xian)和(he)業(ye)務(wu)(wu)拓(tuo)展線(xian)“三(san)位一體”的(de)(de)組織體系(xi)。探索構(gou)(gou)(gou)建(jian)(jian)大監(jian)督體系(xi),強(qiang)(qiang)化(hua)紀(ji)檢(jian)監(jian)督,整合(he)巡視、審計、財(cai)(cai)務(wu)(wu)、法律等(deng)(deng)(deng)監(jian)督資(zi)(zi)(zi)源(yuan)。三(san)是(shi)(shi)(shi)加(jia)快探索管控(kong)(kong)模式(shi),確保“放(fang)得活”。以(yi)(yi)管資(zi)(zi)(zi)本(ben)為主建(jian)(jian)立適應(ying)資(zi)(zi)(zi)本(ben)運(yun)營(ying)(ying)要求的(de)(de)集團管控(kong)(kong)模式(shi),對基(ji)金(jin)投資(zi)(zi)(zi)、金(jin)融服務(wu)(wu)、資(zi)(zi)(zi)產管理(li)、股(gu)權(quan)運(yun)作等(deng)(deng)(deng)業(ye)務(wu)(wu)板(ban)塊(kuai)加(jia)強(qiang)(qiang)戰略和(he)財(cai)(cai)務(wu)(wu)管控(kong)(kong),確保資(zi)(zi)(zi)本(ben)運(yun)營(ying)(ying)高效規范(fan);對參(can)股(gu)企業(ye)以(yi)(yi)財(cai)(cai)務(wu)(wu)管控(kong)(kong)為主,按照公(gong)(gong)司(si)章(zhang)程、投資(zi)(zi)(zi)協議參(can)與(yu)公(gong)(gong)司(si)治理(li),通過股(gu)東(dong)代表和(he)派出董事、監(jian)事等(deng)(deng)(deng)方式(shi)行使股(gu)東(dong)權(quan)利(li),關(guan)注資(zi)(zi)(zi)本(ben)流(liu)動和(he)回報情況。
