人民日報:以管資本為主加強國有資產監管 為發展壯大國有經濟提供堅強保障

黨中(zhong)(zhong)央、國(guo)(guo)務(wu)院在日(ri)前印發的《關于深化(hua)(hua)國(guo)(guo)有(you)(you)(you)企業改(gai)革的指(zhi)導意(yi)見》(以(yi)下簡稱《指(zhi)導意(yi)見》)中(zhong)(zhong)明確(que)指(zhi)出,要(yao)(yao)完善國(guo)(guo)有(you)(you)(you)資(zi)產(chan)管(guan)(guan)理(li)體(ti)制(zhi)(zhi),以(yi)管(guan)(guan)資(zi)本(ben)(ben)(ben)(ben)為(wei)(wei)(wei)主(zhu)推(tui)進(jin)國(guo)(guo)有(you)(you)(you)資(zi)產(chan)監管(guan)(guan)機構職能轉變,以(yi)管(guan)(guan)資(zi)本(ben)(ben)(ben)(ben)為(wei)(wei)(wei)主(zhu)改(gai)革國(guo)(guo)有(you)(you)(you)資(zi)本(ben)(ben)(ben)(ben)授權經(jing)營(ying)體(ti)制(zhi)(zhi),以(yi)管(guan)(guan)資(zi)本(ben)(ben)(ben)(ben)為(wei)(wei)(wei)主(zhu)推(tui)動國(guo)(guo)有(you)(you)(you)資(zi)本(ben)(ben)(ben)(ben)合理(li)流動優化(hua)(hua)配置,以(yi)管(guan)(guan)資(zi)本(ben)(ben)(ben)(ben)為(wei)(wei)(wei)主(zhu)推(tui)進(jin)經(jing)營(ying)性國(guo)(guo)有(you)(you)(you)資(zi)產(chan)集中(zhong)(zhong)統一監管(guan)(guan)。這對于推(tui)動國(guo)(guo)有(you)(you)(you)企業真正成為(wei)(wei)(wei)獨立市場主(zhu)體(ti),增(zeng)強(qiang)國(guo)(guo)有(you)(you)(you)經(jing)濟整體(ti)功能和效率,維護國(guo)(guo)有(you)(you)(you)資(zi)產(chan)安(an)全(quan),具有(you)(you)(you)十分重(zhong)要(yao)(yao)的意(yi)義。我們要(yao)(yao)深入學習領會和貫徹(che)落實文(wen)件(jian)要(yao)(yao)求,扎實推(tui)進(jin)完善國(guo)(guo)有(you)(you)(you)資(zi)產(chan)管(guan)(guan)理(li)體(ti)制(zhi)(zhi)、以(yi)管(guan)(guan)資(zi)本(ben)(ben)(ben)(ben)為(wei)(wei)(wei)主(zhu)加(jia)強(qiang)國(guo)(guo)有(you)(you)(you)資(zi)產(chan)監管(guan)(guan)的各項(xiang)工(gong)作,為(wei)(wei)(wei)發展(zhan)壯(zhuang)大國(guo)(guo)有(you)(you)(you)經(jing)濟提供(gong)堅強(qiang)保障。

一、按照以管資本為主的要求完善國有資產管理體制,推動國有企業真正成為獨立市場主體

改革(ge)(ge)開(kai)放(fang)以來,國(guo)(guo)有(you)(you)資(zi)(zi)(zi)產(chan)(chan)(chan)管(guan)(guan)(guan)(guan)(guan)(guan)理(li)(li)體(ti)制改革(ge)(ge)始終與國(guo)(guo)有(you)(you)企業(ye)改革(ge)(ge)相(xiang)(xiang)伴相(xiang)(xiang)生、共同(tong)深化(hua)。黨(dang)的(de)(de)(de)十六大(da)在總(zong)結(jie)國(guo)(guo)有(you)(you)資(zi)(zi)(zi)產(chan)(chan)(chan)管(guan)(guan)(guan)(guan)(guan)(guan)理(li)(li)體(ti)制實踐經驗的(de)(de)(de)基礎上,明(ming)確提出(chu)(chu):“建(jian)立(li)中央政(zheng)府和(he)地方(fang)(fang)(fang)政(zheng)府分(fen)別(bie)代表國(guo)(guo)家履行(xing)出(chu)(chu)資(zi)(zi)(zi)人(ren)職(zhi)責,享有(you)(you)所有(you)(you)者權益,權利、義務和(he)責任相(xiang)(xiang)統一(yi),管(guan)(guan)(guan)(guan)(guan)(guan)資(zi)(zi)(zi)產(chan)(chan)(chan)和(he)管(guan)(guan)(guan)(guan)(guan)(guan)人(ren)、管(guan)(guan)(guan)(guan)(guan)(guan)事相(xiang)(xiang)結(jie)合(he)的(de)(de)(de)國(guo)(guo)有(you)(you)資(zi)(zi)(zi)產(chan)(chan)(chan)管(guan)(guan)(guan)(guan)(guan)(guan)理(li)(li)體(ti)制”。2003年3月,國(guo)(guo)務院正式(shi)成(cheng)立(li)國(guo)(guo)有(you)(you)資(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)(jian)(jian)督管(guan)(guan)(guan)(guan)(guan)(guan)理(li)(li)委員會(hui),根據國(guo)(guo)務院的(de)(de)(de)授權,專門承擔國(guo)(guo)有(you)(you)資(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)(guan)職(zhi)責,不承擔社會(hui)公(gong)共管(guan)(guan)(guan)(guan)(guan)(guan)理(li)(li)職(zhi)能。這一(yi)體(ti)制,明(ming)確了(le)(le)政(zheng)府以出(chu)(chu)資(zi)(zi)(zi)方(fang)(fang)(fang)式(shi)管(guan)(guan)(guan)(guan)(guan)(guan)理(li)(li)國(guo)(guo)有(you)(you)企業(ye),在解決政(zheng)企不分(fen)、國(guo)(guo)有(you)(you)企業(ye)多(duo)頭管(guan)(guan)(guan)(guan)(guan)(guan)理(li)(li)、“九龍治水”等方(fang)(fang)(fang)面邁出(chu)(chu)了(le)(le)一(yi)大(da)步,為國(guo)(guo)有(you)(you)企業(ye)成(cheng)為獨立(li)市場主體(ti)奠定了(le)(le)體(ti)制基礎。但(dan)應當看到,在監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)(guan)體(ti)制機制方(fang)(fang)(fang)面還存(cun)在一(yi)些問題,一(yi)定程度(du)上制約了(le)(le)企業(ye)活力。比(bi)如政(zheng)企分(fen)開(kai)、政(zheng)資(zi)(zi)(zi)分(fen)開(kai)還不完全到位,國(guo)(guo)有(you)(you)資(zi)(zi)(zi)產(chan)(chan)(chan)監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)(guan)工作還存(cun)在越位、缺位、錯(cuo)位現象,監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)(guan)方(fang)(fang)(fang)式(shi)存(cun)在一(yi)定行(xing)政(zheng)化(hua)色彩(cai)。同(tong)時,經過多(duo)年的(de)(de)(de)改革(ge)(ge)發展(zhan),公(gong)司制股(gu)(gu)份制已經成(cheng)為國(guo)(guo)有(you)(you)企業(ye)的(de)(de)(de)主要組(zu)織形式(shi),企業(ye)的(de)(de)(de)治理(li)(li)結(jie)構(gou)、管(guan)(guan)(guan)(guan)(guan)(guan)理(li)(li)方(fang)(fang)(fang)式(shi)都(dou)發生了(le)(le)深刻變化(hua),這在客(ke)觀上要求(qiu)國(guo)(guo)資(zi)(zi)(zi)監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)(guan)機構(gou)主動調整完善監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)(guan)職(zhi)能和(he)方(fang)(fang)(fang)式(shi),以管(guan)(guan)(guan)(guan)(guan)(guan)資(zi)(zi)(zi)本為主,注重通過公(gong)司法人(ren)治理(li)(li)結(jie)構(gou)依法行(xing)使國(guo)(guo)有(you)(you)股(gu)(gu)東(dong)權利,實現對國(guo)(guo)有(you)(you)資(zi)(zi)(zi)產(chan)(chan)(chan)的(de)(de)(de)有(you)(you)效監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)(guan)。

貫徹落實《指導意(yi)見》要求,完善(shan)國(guo)(guo)有(you)資(zi)(zi)產管理體(ti)(ti)制,要以(yi)(yi)管資(zi)(zi)本為(wei)主(zhu)推進職(zhi)能轉(zhuan)變(bian),準(zhun)確(que)把(ba)握依法履行(xing)出資(zi)(zi)人職(zhi)責的(de)定位(wei),科學(xue)界定國(guo)(guo)有(you)資(zi)(zi)產出資(zi)(zi)人監管的(de)邊界,實現(xian)以(yi)(yi)管企業為(wei)主(zhu)向以(yi)(yi)管資(zi)(zi)本為(wei)主(zhu)的(de)轉(zhuan)變(bian),推動(dong)國(guo)(guo)有(you)企業真正成(cheng)為(wei)獨(du)立(li)市場主(zhu)體(ti)(ti),夯實發(fa)展壯大國(guo)(guo)有(you)經濟的(de)微觀基礎。

一是堅持政(zheng)企分(fen)開(kai)、政(zheng)資(zi)分(fen)開(kai)、所有(you)權(quan)和(he)經(jing)(jing)營(ying)權(quan)分(fen)離。政(zheng)府(fu)部門依(yi)法(fa)(fa)行(xing)使(shi)公共(gong)管(guan)理(li)職能,從經(jing)(jing)濟調節和(he)社會管(guan)理(li)角度進行(xing)社會公共(gong)管(guan)理(li)。國(guo)(guo)有(you)資(zi)產(chan)監(jian)管(guan)機構(gou)作(zuo)為政(zheng)府(fu)直屬特(te)設機構(gou),根據授權(quan)代(dai)表本級人民(min)政(zheng)府(fu)對監(jian)管(guan)企業依(yi)法(fa)(fa)履行(xing)出資(zi)人職責(ze),科學界定國(guo)(guo)有(you)資(zi)產(chan)出資(zi)人監(jian)管(guan)的邊界,專(zhuan)司國(guo)(guo)有(you)資(zi)產(chan)監(jian)管(guan),不干預企業自(zi)(zi)主(zhu)經(jing)(jing)營(ying)權(quan)。國(guo)(guo)有(you)企業依(yi)法(fa)(fa)享有(you)獨立的法(fa)(fa)人財產(chan)權(quan),依(yi)法(fa)(fa)自(zi)(zi)主(zhu)經(jing)(jing)營(ying)、自(zi)(zi)負(fu)盈虧、自(zi)(zi)擔風險、自(zi)(zi)我約束、自(zi)(zi)我發展。

二是(shi)推進國(guo)有(you)(you)資(zi)(zi)產監(jian)管(guan)機構職(zhi)能轉(zhuan)變(bian)。該管(guan)的(de)(de)要科學管(guan)理(li)、決不(bu)(bu)缺位(wei),重點管(guan)好國(guo)有(you)(you)資(zi)(zi)本布局、規范資(zi)(zi)本運作、提高資(zi)(zi)本回(hui)報、維護資(zi)(zi)本安(an)全。不(bu)(bu)該管(guan)的(de)(de)要依(yi)法放權、決不(bu)(bu)越(yue)位(wei),將依(yi)法應由企(qi)業(ye)(ye)(ye)自主經營決策的(de)(de)事項歸位(wei)于(yu)(yu)企(qi)業(ye)(ye)(ye),將延伸到子企(qi)業(ye)(ye)(ye)的(de)(de)管(guan)理(li)事項原則上歸位(wei)于(yu)(yu)一級企(qi)業(ye)(ye)(ye),將配合承擔(dan)的(de)(de)公共管(guan)理(li)職(zhi)能歸位(wei)于(yu)(yu)相關政府部門(men)和單位(wei)。國(guo)有(you)(you)資(zi)(zi)產監(jian)管(guan)機構依(yi)法對國(guo)有(you)(you)資(zi)(zi)本投資(zi)(zi)、運營公司(si)和其(qi)他(ta)直接監(jian)管(guan)的(de)(de)企(qi)業(ye)(ye)(ye)履行出資(zi)(zi)人職(zhi)責(ze)。

三是(shi)改進國有資(zi)產監(jian)(jian)(jian)(jian)管(guan)方(fang)式和手段。更(geng)多運(yun)用法(fa)治(zhi)化(hua)、市(shi)場(chang)化(hua)監(jian)(jian)(jian)(jian)管(guan)方(fang)式,改變行政(zheng)化(hua)管(guan)理(li)方(fang)式。針對企業不同(tong)功能定(ding)位,在戰(zhan)略規劃制(zhi)定(ding)、資(zi)本運(yun)作(zuo)(zuo)模式、人員選用機制(zhi)、經營業績考核等方(fang)面(mian),實施更(geng)加精準有效的分類監(jian)(jian)(jian)(jian)管(guan)。重視通過公(gong)司治(zhi)理(li)結構履行出資(zi)人職責,規范董事(shi)(shi)會(hui)運(yun)作(zuo)(zuo),嚴(yan)格選派股東代表和董事(shi)(shi)、監(jian)(jian)(jian)(jian)事(shi)(shi)。注(zhu)重管(guan)好(hao)公(gong)司章(zhang)程,通過“一(yi)企一(yi)策(ce)”制(zhi)定(ding)公(gong)司章(zhang)程,將國有資(zi)產出資(zi)人意(yi)志有效體(ti)現在公(gong)司章(zhang)程中。建立監(jian)(jian)(jian)(jian)管(guan)權力(li)清單和責任清單,加大(da)運(yun)用信息化(hua)手段的力(li)度(du),優化(hua)監(jian)(jian)(jian)(jian)管(guan)流程,提高監(jian)(jian)(jian)(jian)管(guan)效率,加強監(jian)(jian)(jian)(jian)管(guan)工(gong)作(zuo)(zuo)協同(tong)。

二、按照以管資本為主的要求優化國有資本布局結構,增強國有經濟整體功能和效率

優(you)化國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)布(bu)(bu)局結構(gou),是提升(sheng)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)經濟整體運行質量的(de)(de)(de)重要途徑(jing),也是發揮國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)經濟主導(dao)作(zuo)用、放大(da)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)功能的(de)(de)(de)必然(ran)(ran)要求(qiu)。隨著國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)產管理(li)(li)體制(zhi)改革逐步深化,國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)企(qi)業(ye)(ye)(ye)日益發展(zhan)(zhan)壯大(da),國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)運行效(xiao)(xiao)率不(bu)(bu)(bu)(bu)斷提高,國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)經濟布(bu)(bu)局和結構(gou)調整取得積極進(jin)展(zhan)(zhan)。國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)逐步向(xiang)大(da)企(qi)業(ye)(ye)(ye)大(da)集(ji)團集(ji)中(zhong),向(xiang)重要行業(ye)(ye)(ye)和關鍵領域集(ji)中(zhong),涌現出(chu)一批(pi)具有(you)(you)(you)(you)(you)較強國(guo)(guo)(guo)(guo)(guo)(guo)(guo)際競(jing)爭(zheng)力(li)(li)的(de)(de)(de)骨干企(qi)業(ye)(ye)(ye)。2015年美國(guo)(guo)(guo)(guo)(guo)(guo)(guo)《財富》雜志發布(bu)(bu)的(de)(de)(de)世界500強企(qi)業(ye)(ye)(ye)名單(dan)中(zhong),我國(guo)(guo)(guo)(guo)(guo)(guo)(guo)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)企(qi)業(ye)(ye)(ye)達到(dao)83家。但(dan)也應(ying)當(dang)(dang)看到(dao),當(dang)(dang)前國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)運行效(xiao)(xiao)率有(you)(you)(you)(you)(you)待進(jin)一步提高,國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)布(bu)(bu)局結構(gou)仍(reng)然(ran)(ran)存在(zai)分布(bu)(bu)過寬、戰線過長等突出(chu)問題,國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)合(he)理(li)(li)流動的(de)(de)(de)機制(zhi)尚(shang)不(bu)(bu)(bu)(bu)健全(quan),制(zhi)約了國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)功能作(zuo)用的(de)(de)(de)有(you)(you)(you)(you)(you)效(xiao)(xiao)發揮。當(dang)(dang)前,我國(guo)(guo)(guo)(guo)(guo)(guo)(guo)經濟發展(zhan)(zhan)進(jin)入(ru)新常(chang)態(tai),國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)企(qi)業(ye)(ye)(ye)過去主要憑借(jie)要素(su)投入(ru)的(de)(de)(de)快速增(zeng)長模式(shi)(shi)(shi)不(bu)(bu)(bu)(bu)可(ke)(ke)持(chi)續,憑借(jie)高強度大(da)規(gui)模投資(zi)(zi)(zi)拉(la)動的(de)(de)(de)模式(shi)(shi)(shi)不(bu)(bu)(bu)(bu)可(ke)(ke)持(chi)續,憑借(jie)低水平(ping)競(jing)爭(zheng)的(de)(de)(de)粗放增(zeng)長模式(shi)(shi)(shi)不(bu)(bu)(bu)(bu)可(ke)(ke)持(chi)續,迫切需要通過優(you)化國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)布(bu)(bu)局結構(gou),推進(jin)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)企(qi)業(ye)(ye)(ye)轉型升(sheng)級(ji),增(zeng)強國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)經濟的(de)(de)(de)活力(li)(li)、控制(zhi)力(li)(li)、影響力(li)(li)、抗風(feng)險能力(li)(li)。按照(zhao)《指(zhi)導(dao)意見(jian)》要求(qiu),堅(jian)持(chi)以市場(chang)為(wei)導(dao)向(xiang)、以企(qi)業(ye)(ye)(ye)為(wei)主體,有(you)(you)(you)(you)(you)進(jin)有(you)(you)(you)(you)(you)退、有(you)(you)(you)(you)(you)所為(wei)有(you)(you)(you)(you)(you)所不(bu)(bu)(bu)(bu)為(wei),優(you)化國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)布(bu)(bu)局結構(gou),為(wei)發展(zhan)(zhan)壯大(da)國(guo)(guo)(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)經濟提供強有(you)(you)(you)(you)(you)力(li)(li)支撐。

一是明(ming)確國(guo)(guo)(guo)有資(zi)(zi)本(ben)(ben)集中的重(zhong)(zhong)點(dian)方向。緊緊圍繞服(fu)務國(guo)(guo)(guo)家(jia)戰略,落(luo)實(shi)國(guo)(guo)(guo)家(jia)產業政策和(he)重(zhong)(zhong)點(dian)產業布局調整總(zong)體要求,優化(hua)國(guo)(guo)(guo)有資(zi)(zi)本(ben)(ben)重(zhong)(zhong)點(dian)投資(zi)(zi)方向和(he)領(ling)域,實(shi)現“三個集中”,即推動(dong)國(guo)(guo)(guo)有資(zi)(zi)本(ben)(ben)向關系國(guo)(guo)(guo)家(jia)安全、國(guo)(guo)(guo)民(min)經濟命脈和(he)國(guo)(guo)(guo)計(ji)民(min)生的重(zhong)(zhong)要行業和(he)關鍵領(ling)域、重(zhong)(zhong)點(dian)基礎設施集中,向前瞻性戰略性產業集中,向具有核心競(jing)爭力的優勢企業集中。

二是建立健全(quan)國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)本(ben)布局和結構調(diao)整(zheng)機(ji)制。制定國(guo)(guo)家發(fa)展規(gui)劃、產(chan)業(ye)政策和國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)本(ben)收益分配(pei)管(guan)理規(gui)則,建立健全(quan)國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)本(ben)進(jin)(jin)退機(ji)制,引導國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)本(ben)優(you)化投資(zi)(zi)(zi)(zi)(zi)方向和投資(zi)(zi)(zi)(zi)(zi)領域(yu)。推進(jin)(jin)經(jing)營(ying)(ying)性(xing)國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)集中統一監管(guan),穩步將黨政機(ji)關、事(shi)業(ye)單(dan)位所屬企業(ye)的國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)本(ben)納入經(jing)營(ying)(ying)性(xing)國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)集中統一監管(guan)體系(xi),為擴大國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)本(ben)配(pei)置范圍、提(ti)高配(pei)置效率創造(zao)條件。加強國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)產(chan)基礎(chu)管(guan)理,統一制度(du)規(gui)范、統一工(gong)作(zuo)體系(xi),強化對國(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)本(ben)布局結構調(diao)整(zheng)的支撐服務。

三是(shi)運用市場化(hua)(hua)方式推動國(guo)(guo)(guo)(guo)有(you)資本(ben)合理(li)流(liu)動優化(hua)(hua)配置(zhi)。充分發揮國(guo)(guo)(guo)(guo)有(you)資本(ben)投資、運營公司(si)的(de)作用,清理(li)退出(chu)(chu)一批、重組(zu)整合一批、創新(xin)發展一批國(guo)(guo)(guo)(guo)有(you)企(qi)業(ye)。建立(li)健全優勝劣汰(tai)市場化(hua)(hua)退出(chu)(chu)機(ji)(ji)制(zhi)(zhi),切實保障(zhang)退出(chu)(chu)企(qi)業(ye)依法(fa)實行關閉或破產(chan),加快處(chu)置(zhi)低(di)效無效資產(chan),淘汰(tai)落(luo)后產(chan)能。建立(li)健全國(guo)(guo)(guo)(guo)有(you)資本(ben)形態轉換機(ji)(ji)制(zhi)(zhi),支(zhi)持(chi)企(qi)業(ye)依法(fa)合規通過證券交易(yi)、產(chan)權交易(yi)等(deng)資本(ben)市場,以(yi)市場公允價(jia)格處(chu)置(zhi)企(qi)業(ye)資產(chan),將變現的(de)國(guo)(guo)(guo)(guo)有(you)資本(ben)用于更需要的(de)領域(yu)和行業(ye)。支(zhi)持(chi)國(guo)(guo)(guo)(guo)有(you)企(qi)業(ye)開(kai)展國(guo)(guo)(guo)(guo)際(ji)化(hua)(hua)經營,鼓勵國(guo)(guo)(guo)(guo)有(you)企(qi)業(ye)之間以(yi)及與其他所有(you)制(zhi)(zhi)企(qi)業(ye)以(yi)資本(ben)為紐帶,強(qiang)強(qiang)聯合、優勢互補,加快培育(yu)一批具有(you)世界一流(liu)水平的(de)跨(kua)國(guo)(guo)(guo)(guo)公司(si)。

三、按照以管資本為主的要求加強國有資產監督,切實維護國有資產安全

國(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)產(chan)(chan)來(lai)(lai)之不(bu)(bu)易,是全(quan)國(guo)(guo)(guo)(guo)人民的共同財富,是全(quan)面建成(cheng)小康(kang)社會(hui)、實(shi)現(xian)全(quan)體人民共同富裕的重(zhong)要(yao)物質基礎。國(guo)(guo)(guo)(guo)有(you)(you)(you)企業(ye)改革要(yao)先加(jia)強(qiang)監管(guan)、防(fang)止(zhi)(zhi)國(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)產(chan)(chan)流失,這一(yi)條做不(bu)(bu)好,國(guo)(guo)(guo)(guo)有(you)(you)(you)企業(ye)其(qi)他改革難以取得預(yu)期成(cheng)效(xiao)。近年來(lai)(lai),國(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)產(chan)(chan)監督(du)(du)(du)工作得到(dao)了(le)有(you)(you)(you)力加(jia)強(qiang),但針對性、實(shi)效(xiao)性還(huan)需要(yao)進一(yi)步增強(qiang),既存在(zai)監督(du)(du)(du)不(bu)(bu)到(dao)位、監督(du)(du)(du)不(bu)(bu)力等問題,也(ye)存在(zai)多頭檢查、重(zhong)復監督(du)(du)(du)等問題,一(yi)些國(guo)(guo)(guo)(guo)有(you)(you)(you)企業(ye)也(ye)暴露出管(guan)理不(bu)(bu)規范、內(nei)部(bu)人控制(zhi)嚴(yan)重(zhong)、企業(ye)領導人員(yuan)權(quan)力缺乏制(zhi)約(yue)等問題。要(yao)按照《指(zhi)導意見》部(bu)署,按照以管(guan)資(zi)本為主(zhu)的要(yao)求加(jia)強(qiang)國(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)產(chan)(chan)監督(du)(du)(du)工作,沿國(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)本投資(zi)運營和管(guan)理的全(quan)鏈條,突出監督(du)(du)(du)工作重(zhong)點,發揮企業(ye)內(nei)部(bu)監督(du)(du)(du)、出資(zi)人監督(du)(du)(du)和各監督(du)(du)(du)主(zhu)體的功(gong)能作用,加(jia)快形成(cheng)全(quan)面覆蓋、分工明(ming)確、協同配合、制(zhi)約(yue)有(you)(you)(you)力的國(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)產(chan)(chan)監督(du)(du)(du)體系,切實(shi)防(fang)止(zhi)(zhi)國(guo)(guo)(guo)(guo)有(you)(you)(you)資(zi)產(chan)(chan)流失,保(bao)障和促進國(guo)(guo)(guo)(guo)有(you)(you)(you)經濟(ji)健(jian)康(kang)發展。

一(yi)是(shi)強化企業(ye)內部監(jian)督(du)(du)。進一(yi)步(bu)明確企業(ye)作(zuo)為維護國有資產安全、防(fang)(fang)止(zhi)流(liu)失的(de)責任主(zhu)(zhu)體(ti)。完善企業(ye)內部監(jian)督(du)(du)體(ti)系(xi),建立橫向涵蓋企業(ye)各(ge)治理主(zhu)(zhu)體(ti)和(he)職能部門(men)、縱向包括各(ge)子(zi)企業(ye)和(he)業(ye)務板塊的(de)監(jian)督(du)(du)工作(zuo)體(ti)系(xi),形成(cheng)監(jian)督(du)(du)合力。突出監(jian)督(du)(du)重點,對權(quan)力集(ji)中(zhong)、資金(jin)密集(ji)、資源富(fu)集(ji)、資產聚集(ji)的(de)部門(men)和(he)崗位(wei)加強監(jian)督(du)(du),實(shi)(shi)行分(fen)事(shi)(shi)行權(quan)、分(fen)崗設權(quan)、分(fen)級授(shou)權(quan),定(ding)期輪崗,防(fang)(fang)止(zhi)權(quan)力濫用(yong)。進一(yi)步(bu)落實(shi)(shi)董事(shi)(shi)會(hui)、監(jian)事(shi)(shi)會(hui)的(de)監(jian)督(du)(du)職責,加強法(fa)律審核把關(guan),實(shi)(shi)現依法(fa)治企。加強職工民(min)主(zhu)(zhu)監(jian)督(du)(du),健全企業(ye)民(min)主(zhu)(zhu)管理制度,充分(fen)保障職工群眾對企業(ye)改革發展(zhan)的(de)知情權(quan)、參與權(quan)和(he)監(jian)督(du)(du)權(quan)。

二(er)是(shi)完善出(chu)(chu)資(zi)(zi)(zi)人(ren)監(jian)(jian)督(du)(du)。堅持出(chu)(chu)資(zi)(zi)(zi)人(ren)管(guan)(guan)理(li)和監(jian)(jian)督(du)(du)的(de)有機(ji)(ji)統一,進(jin)一步加(jia)(jia)(jia)(jia)強(qiang)(qiang)(qiang)出(chu)(chu)資(zi)(zi)(zi)人(ren)監(jian)(jian)督(du)(du)。健全(quan)國有企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)規劃投(tou)資(zi)(zi)(zi)、改制重(zhong)組、產(chan)(chan)權(quan)管(guan)(guan)理(li)、財務評價(jia)、業(ye)(ye)績考核、選人(ren)用人(ren)、薪酬分配等規范國有資(zi)(zi)(zi)本運(yun)(yun)作(zuo)(zuo)、防止流失的(de)制度,加(jia)(jia)(jia)(jia)大對(dui)國有資(zi)(zi)(zi)產(chan)(chan)監(jian)(jian)管(guan)(guan)制度執行情況(kuang)的(de)監(jian)(jian)督(du)(du)力(li)度。開展國有資(zi)(zi)(zi)產(chan)(chan)監(jian)(jian)管(guan)(guan)機(ji)(ji)構向所出(chu)(chu)資(zi)(zi)(zi)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)依(yi)法委派總會計師試點工作(zuo)(zuo),強(qiang)(qiang)(qiang)化出(chu)(chu)資(zi)(zi)(zi)人(ren)對(dui)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)重(zhong)大財務事(shi)項的(de)監(jian)(jian)督(du)(du)。加(jia)(jia)(jia)(jia)強(qiang)(qiang)(qiang)企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)境外國有資(zi)(zi)(zi)產(chan)(chan)監(jian)(jian)督(du)(du),確(que)保企(qi)(qi)(qi)(qi)(qi)業(ye)(ye)境外國有資(zi)(zi)(zi)產(chan)(chan)安全(quan)可控、有效運(yun)(yun)營。加(jia)(jia)(jia)(jia)強(qiang)(qiang)(qiang)和改進(jin)外派監(jian)(jian)事(shi)會監(jian)(jian)督(du)(du),明確(que)職責定位,發揮監(jian)(jian)事(shi)會作(zuo)(zuo)為出(chu)(chu)資(zi)(zi)(zi)人(ren)監(jian)(jian)督(du)(du)專門力(li)量(liang)的(de)作(zuo)(zuo)用,加(jia)(jia)(jia)(jia)強(qiang)(qiang)(qiang)當期和事(shi)中(zhong)監(jian)(jian)督(du)(du),強(qiang)(qiang)(qiang)化監(jian)(jian)督(du)(du)成果運(yun)(yun)用,建立健全(quan)核查、移交和整(zheng)改機(ji)(ji)制。

三(san)是(shi)加(jia)(jia)強與(yu)各(ge)監(jian)(jian)(jian)督(du)(du)力(li)(li)(li)量的(de)(de)協同(tong)配合(he)。大力(li)(li)(li)支(zhi)持(chi)審(shen)(shen)計(ji)、紀檢監(jian)(jian)(jian)察和(he)巡視(shi)等(deng)監(jian)(jian)(jian)督(du)(du)機構開展工(gong)作。進一步厘清政府部(bu)門公(gong)共審(shen)(shen)計(ji)、出(chu)資(zi)(zi)人審(shen)(shen)計(ji)和(he)企(qi)業(ye)(ye)內部(bu)審(shen)(shen)計(ji)之間的(de)(de)職責分(fen)工(gong),健(jian)全(quan)國(guo)有(you)資(zi)(zi)本審(shen)(shen)計(ji)監(jian)(jian)(jian)督(du)(du)體系和(he)制度。加(jia)(jia)強紀檢監(jian)(jian)(jian)察監(jian)(jian)(jian)督(du)(du)和(he)巡視(shi)工(gong)作,強化(hua)對(dui)企(qi)業(ye)(ye)領導人員(yuan)廉潔(jie)從業(ye)(ye)、行(xing)使權(quan)(quan)力(li)(li)(li)等(deng)的(de)(de)監(jian)(jian)(jian)督(du)(du),加(jia)(jia)大大案要案查處力(li)(li)(li)度。積極配合(he)建(jian)立外部(bu)監(jian)(jian)(jian)督(du)(du)協同(tong)機制,整合(he)出(chu)資(zi)(zi)人監(jian)(jian)(jian)管、外派(pai)監(jian)(jian)(jian)事會(hui)(hui)監(jian)(jian)(jian)督(du)(du)與(yu)審(shen)(shen)計(ji)、紀檢監(jian)(jian)(jian)察、巡視(shi)等(deng)監(jian)(jian)(jian)督(du)(du)力(li)(li)(li)量,建(jian)立監(jian)(jian)(jian)督(du)(du)工(gong)作會(hui)(hui)商機制,加(jia)(jia)強統籌,減少重復檢查,提高監(jian)(jian)(jian)督(du)(du)效能。加(jia)(jia)強社會(hui)(hui)監(jian)(jian)(jian)督(du)(du),完善國(guo)有(you)資(zi)(zi)產和(he)國(guo)有(you)企(qi)業(ye)(ye)信息公(gong)開制度,設立統一的(de)(de)信息網絡(luo)平(ping)臺,充(chong)分(fen)發揮(hui)輿論監(jian)(jian)(jian)督(du)(du)作用,有(you)效保障社會(hui)(hui)公(gong)眾(zhong)對(dui)企(qi)業(ye)(ye)國(guo)有(you)資(zi)(zi)產運營的(de)(de)知(zhi)情(qing)權(quan)(quan)和(he)監(jian)(jian)(jian)督(du)(du)權(quan)(quan)。

四(si)是嚴(yan)格責(ze)任(ren)(ren)追(zhui)究。加大對國(guo)有(you)企(qi)業(ye)違(wei)(wei)規經營責(ze)任(ren)(ren)追(zhui)究力度,建立健全(quan)(quan)國(guo)有(you)企(qi)業(ye)重(zhong)大決策失(shi)職(zhi)、瀆職(zhi)責(ze)任(ren)(ren)追(zhui)究和倒查(cha)機制(zhi),完善重(zhong)大決策評估、決策事項履職(zhi)記錄、決策過(guo)錯認定標準(zhun)等配套制(zhi)度,嚴(yan)厲查(cha)處(chu)侵吞、貪(tan)污、輸送(song)、揮霍國(guo)有(you)資產和逃廢金(jin)融債務的(de)行為。建立健全(quan)(quan)企(qi)業(ye)國(guo)有(you)資產的(de)監(jian)(jian)督(du)(du)問(wen)責(ze)機制(zhi),對企(qi)業(ye)重(zhong)大違(wei)(wei)法違(wei)(wei)紀(ji)問(wen)題(ti)敷衍不追(zhui)、隱匿不報、查(cha)處(chu)不力的(de),嚴(yan)格追(zhui)究有(you)關人員(yuan)失(shi)職(zhi)瀆職(zhi)責(ze)任(ren)(ren),確保監(jian)(jian)督(du)(du)責(ze)任(ren)(ren)落到實(shi)處(chu),形(xing)成監(jian)(jian)督(du)(du)工作(zuo)閉環,充分體現監(jian)(jian)督(du)(du)工作(zuo)的(de)嚴(yan)肅性和權(quan)威性。
