人民日報:以管資本為主加強國有資產監管 為發展壯大國有經濟提供堅強保障

黨中(zhong)央、國(guo)(guo)(guo)(guo)務院在(zai)日前印(yin)發的(de)(de)《關(guan)于(yu)深化國(guo)(guo)(guo)(guo)有(you)企(qi)業改革的(de)(de)指導意(yi)見》(以(yi)(yi)下簡(jian)稱(cheng)《指導意(yi)見》)中(zhong)明確指出,要(yao)(yao)完善國(guo)(guo)(guo)(guo)有(you)資(zi)(zi)產(chan)管(guan)(guan)(guan)理(li)(li)體(ti)(ti)制,以(yi)(yi)管(guan)(guan)(guan)資(zi)(zi)本(ben)(ben)為(wei)(wei)主(zhu)(zhu)推進國(guo)(guo)(guo)(guo)有(you)資(zi)(zi)產(chan)監管(guan)(guan)(guan)機構職能(neng)(neng)轉變,以(yi)(yi)管(guan)(guan)(guan)資(zi)(zi)本(ben)(ben)為(wei)(wei)主(zhu)(zhu)改革國(guo)(guo)(guo)(guo)有(you)資(zi)(zi)本(ben)(ben)授權經(jing)營(ying)體(ti)(ti)制,以(yi)(yi)管(guan)(guan)(guan)資(zi)(zi)本(ben)(ben)為(wei)(wei)主(zhu)(zhu)推動(dong)國(guo)(guo)(guo)(guo)有(you)資(zi)(zi)本(ben)(ben)合(he)理(li)(li)流(liu)動(dong)優化配置,以(yi)(yi)管(guan)(guan)(guan)資(zi)(zi)本(ben)(ben)為(wei)(wei)主(zhu)(zhu)推進經(jing)營(ying)性國(guo)(guo)(guo)(guo)有(you)資(zi)(zi)產(chan)集(ji)中(zhong)統一監管(guan)(guan)(guan)。這對于(yu)推動(dong)國(guo)(guo)(guo)(guo)有(you)企(qi)業真正成為(wei)(wei)獨立(li)市場主(zhu)(zhu)體(ti)(ti),增強(qiang)國(guo)(guo)(guo)(guo)有(you)經(jing)濟整體(ti)(ti)功能(neng)(neng)和效(xiao)率,維護國(guo)(guo)(guo)(guo)有(you)資(zi)(zi)產(chan)安全(quan),具有(you)十分重要(yao)(yao)的(de)(de)意(yi)義。我們要(yao)(yao)深入學習領會和貫徹落實文件要(yao)(yao)求,扎實推進完善國(guo)(guo)(guo)(guo)有(you)資(zi)(zi)產(chan)管(guan)(guan)(guan)理(li)(li)體(ti)(ti)制、以(yi)(yi)管(guan)(guan)(guan)資(zi)(zi)本(ben)(ben)為(wei)(wei)主(zhu)(zhu)加強(qiang)國(guo)(guo)(guo)(guo)有(you)資(zi)(zi)產(chan)監管(guan)(guan)(guan)的(de)(de)各項(xiang)工作,為(wei)(wei)發展壯大(da)國(guo)(guo)(guo)(guo)有(you)經(jing)濟提供堅強(qiang)保障(zhang)。

一、按照以管資本為主的要求完善國有資產管理體制,推動國有企業真正成為獨立市場主體

改(gai)革(ge)(ge)開(kai)放以來,國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產(chan)(chan)管(guan)(guan)(guan)(guan)理(li)(li)(li)(li)體(ti)(ti)(ti)制(zhi)改(gai)革(ge)(ge)始終與國(guo)(guo)(guo)(guo)(guo)有(you)企(qi)業(ye)改(gai)革(ge)(ge)相(xiang)伴相(xiang)生、共(gong)同深(shen)化。黨的十(shi)六大(da)在(zai)(zai)總結(jie)國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產(chan)(chan)管(guan)(guan)(guan)(guan)理(li)(li)(li)(li)體(ti)(ti)(ti)制(zhi)實(shi)踐經(jing)驗的基礎(chu)(chu)上,明確提出:“建(jian)立中央政(zheng)(zheng)府(fu)和(he)(he)地(di)方(fang)(fang)政(zheng)(zheng)府(fu)分(fen)別代表國(guo)(guo)(guo)(guo)(guo)家(jia)履行(xing)(xing)出資(zi)(zi)(zi)人(ren)職(zhi)責(ze),享有(you)所有(you)者權益,權利、義務和(he)(he)責(ze)任相(xiang)統一(yi),管(guan)(guan)(guan)(guan)資(zi)(zi)(zi)產(chan)(chan)和(he)(he)管(guan)(guan)(guan)(guan)人(ren)、管(guan)(guan)(guan)(guan)事相(xiang)結(jie)合的國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產(chan)(chan)管(guan)(guan)(guan)(guan)理(li)(li)(li)(li)體(ti)(ti)(ti)制(zhi)”。2003年3月,國(guo)(guo)(guo)(guo)(guo)務院正式成立國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產(chan)(chan)監(jian)(jian)(jian)督管(guan)(guan)(guan)(guan)理(li)(li)(li)(li)委員會,根據國(guo)(guo)(guo)(guo)(guo)務院的授權,專門(men)承(cheng)擔國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產(chan)(chan)監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)職(zhi)責(ze),不承(cheng)擔社(she)會公(gong)共(gong)管(guan)(guan)(guan)(guan)理(li)(li)(li)(li)職(zhi)能。這一(yi)體(ti)(ti)(ti)制(zhi),明確了(le)(le)政(zheng)(zheng)府(fu)以出資(zi)(zi)(zi)方(fang)(fang)式管(guan)(guan)(guan)(guan)理(li)(li)(li)(li)國(guo)(guo)(guo)(guo)(guo)有(you)企(qi)業(ye),在(zai)(zai)解決政(zheng)(zheng)企(qi)不分(fen)、國(guo)(guo)(guo)(guo)(guo)有(you)企(qi)業(ye)多頭管(guan)(guan)(guan)(guan)理(li)(li)(li)(li)、“九龍治水”等(deng)方(fang)(fang)面邁出了(le)(le)一(yi)大(da)步,為國(guo)(guo)(guo)(guo)(guo)有(you)企(qi)業(ye)成為獨立市場主(zhu)體(ti)(ti)(ti)奠定了(le)(le)體(ti)(ti)(ti)制(zhi)基礎(chu)(chu)。但(dan)應當看(kan)到,在(zai)(zai)監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)體(ti)(ti)(ti)制(zhi)機(ji)制(zhi)方(fang)(fang)面還(huan)存在(zai)(zai)一(yi)些(xie)問題,一(yi)定程度上制(zhi)約了(le)(le)企(qi)業(ye)活力(li)。比如政(zheng)(zheng)企(qi)分(fen)開(kai)、政(zheng)(zheng)資(zi)(zi)(zi)分(fen)開(kai)還(huan)不完全到位(wei),國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產(chan)(chan)監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)工(gong)作還(huan)存在(zai)(zai)越位(wei)、缺位(wei)、錯位(wei)現象(xiang),監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)方(fang)(fang)式存在(zai)(zai)一(yi)定行(xing)(xing)政(zheng)(zheng)化色彩。同時,經(jing)過多年的改(gai)革(ge)(ge)發(fa)(fa)展,公(gong)司(si)制(zhi)股份制(zhi)已經(jing)成為國(guo)(guo)(guo)(guo)(guo)有(you)企(qi)業(ye)的主(zhu)要(yao)組織(zhi)形式,企(qi)業(ye)的治理(li)(li)(li)(li)結(jie)構(gou)、管(guan)(guan)(guan)(guan)理(li)(li)(li)(li)方(fang)(fang)式都發(fa)(fa)生了(le)(le)深(shen)刻變化,這在(zai)(zai)客觀上要(yao)求國(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)機(ji)構(gou)主(zhu)動調整完善監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)職(zhi)能和(he)(he)方(fang)(fang)式,以管(guan)(guan)(guan)(guan)資(zi)(zi)(zi)本為主(zhu),注重通(tong)過公(gong)司(si)法人(ren)治理(li)(li)(li)(li)結(jie)構(gou)依(yi)法行(xing)(xing)使國(guo)(guo)(guo)(guo)(guo)有(you)股東權利,實(shi)現對國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產(chan)(chan)的有(you)效監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)。

貫徹落(luo)實《指(zhi)導(dao)意見》要求,完善國有(you)資產(chan)管(guan)(guan)理體制(zhi),要以管(guan)(guan)資本(ben)為主(zhu)(zhu)推(tui)進職能轉(zhuan)變,準確把握依法(fa)履行出資人職責的(de)定位,科(ke)學(xue)界定國有(you)資產(chan)出資人監(jian)管(guan)(guan)的(de)邊界,實現以管(guan)(guan)企業為主(zhu)(zhu)向以管(guan)(guan)資本(ben)為主(zhu)(zhu)的(de)轉(zhuan)變,推(tui)動國有(you)企業真正成為獨立市場主(zhu)(zhu)體,夯(hang)實發展壯(zhuang)大(da)國有(you)經(jing)濟的(de)微觀(guan)基礎。

一(yi)是堅持政(zheng)(zheng)企分開、政(zheng)(zheng)資(zi)分開、所有(you)權(quan)(quan)和經(jing)(jing)營權(quan)(quan)分離。政(zheng)(zheng)府部門(men)依(yi)(yi)法(fa)行使公共(gong)管理職(zhi)能(neng),從經(jing)(jing)濟(ji)調節和社會(hui)管理角度進行社會(hui)公共(gong)管理。國(guo)(guo)有(you)資(zi)產監(jian)管機(ji)構作為政(zheng)(zheng)府直屬特設機(ji)構,根據授(shou)權(quan)(quan)代表本級人(ren)民政(zheng)(zheng)府對監(jian)管企業依(yi)(yi)法(fa)履行出資(zi)人(ren)職(zhi)責,科學界(jie)(jie)定國(guo)(guo)有(you)資(zi)產出資(zi)人(ren)監(jian)管的邊界(jie)(jie),專司國(guo)(guo)有(you)資(zi)產監(jian)管,不干預企業自(zi)主經(jing)(jing)營權(quan)(quan)。國(guo)(guo)有(you)企業依(yi)(yi)法(fa)享(xiang)有(you)獨(du)立(li)的法(fa)人(ren)財產權(quan)(quan),依(yi)(yi)法(fa)自(zi)主經(jing)(jing)營、自(zi)負盈虧、自(zi)擔風險、自(zi)我(wo)約束、自(zi)我(wo)發展。

二是(shi)推進國(guo)(guo)有資(zi)(zi)產監(jian)管(guan)(guan)機構職(zhi)(zhi)能轉變。該(gai)管(guan)(guan)的(de)要(yao)科學管(guan)(guan)理、決(jue)不缺位(wei)(wei)(wei),重點管(guan)(guan)好國(guo)(guo)有資(zi)(zi)本(ben)布(bu)局、規(gui)范資(zi)(zi)本(ben)運作、提高資(zi)(zi)本(ben)回報、維護資(zi)(zi)本(ben)安全。不該(gai)管(guan)(guan)的(de)要(yao)依法放權、決(jue)不越位(wei)(wei)(wei),將(jiang)依法應由企(qi)(qi)業(ye)自主經營決(jue)策的(de)事(shi)項歸(gui)位(wei)(wei)(wei)于企(qi)(qi)業(ye),將(jiang)延(yan)伸到子企(qi)(qi)業(ye)的(de)管(guan)(guan)理事(shi)項原則上歸(gui)位(wei)(wei)(wei)于一級企(qi)(qi)業(ye),將(jiang)配合承擔的(de)公(gong)共管(guan)(guan)理職(zhi)(zhi)能歸(gui)位(wei)(wei)(wei)于相關政府部(bu)門和(he)(he)單位(wei)(wei)(wei)。國(guo)(guo)有資(zi)(zi)產監(jian)管(guan)(guan)機構依法對國(guo)(guo)有資(zi)(zi)本(ben)投(tou)資(zi)(zi)、運營公(gong)司和(he)(he)其他直(zhi)接監(jian)管(guan)(guan)的(de)企(qi)(qi)業(ye)履行出資(zi)(zi)人職(zhi)(zhi)責。

三是(shi)改進國有(you)(you)資產(chan)監(jian)管(guan)方(fang)式和(he)手段。更(geng)多運(yun)(yun)(yun)用法治(zhi)化、市場化監(jian)管(guan)方(fang)式,改變行政(zheng)化管(guan)理(li)方(fang)式。針對企業(ye)不同功能定位,在(zai)戰(zhan)略規(gui)劃制(zhi)定、資本運(yun)(yun)(yun)作模式、人員選用機制(zhi)、經(jing)營業(ye)績考(kao)核等方(fang)面(mian),實施更(geng)加(jia)精(jing)準(zhun)有(you)(you)效(xiao)的分類監(jian)管(guan)。重(zhong)視通過公司治(zhi)理(li)結構(gou)履(lv)行出資人職責(ze),規(gui)范(fan)董(dong)事(shi)會運(yun)(yun)(yun)作,嚴格選派股東代表和(he)董(dong)事(shi)、監(jian)事(shi)。注重(zhong)管(guan)好公司章程,通過“一企一策”制(zhi)定公司章程,將國有(you)(you)資產(chan)出資人意志有(you)(you)效(xiao)體現在(zai)公司章程中。建立監(jian)管(guan)權力清(qing)單(dan)和(he)責(ze)任清(qing)單(dan),加(jia)大(da)運(yun)(yun)(yun)用信息化手段的力度,優化監(jian)管(guan)流程,提高監(jian)管(guan)效(xiao)率,加(jia)強監(jian)管(guan)工作協同。

二、按照以管資本為主的要求優化國有資本布局結構,增強國有經濟整體功能和效率

優化國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)(ben)(ben)(ben)布(bu)局(ju)結構(gou),是提升國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)經(jing)濟整(zheng)體(ti)運行(xing)質(zhi)量(liang)的(de)重要(yao)(yao)途徑(jing),也是發(fa)(fa)(fa)揮(hui)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)經(jing)濟主(zhu)導作用、放大國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)(ben)(ben)(ben)功(gong)能(neng)(neng)的(de)必然要(yao)(yao)求(qiu)。隨著國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)產管理(li)體(ti)制改革(ge)逐步深化,國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)企(qi)業(ye)(ye)(ye)日益發(fa)(fa)(fa)展(zhan)(zhan)壯(zhuang)大,國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)(ben)(ben)(ben)運行(xing)效(xiao)(xiao)(xiao)率(lv)不斷提高(gao),國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)經(jing)濟布(bu)局(ju)和結構(gou)調(diao)整(zheng)取得積極進(jin)展(zhan)(zhan)。國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)(ben)(ben)(ben)逐步向大企(qi)業(ye)(ye)(ye)大集(ji)(ji)團集(ji)(ji)中(zhong),向重要(yao)(yao)行(xing)業(ye)(ye)(ye)和關鍵領域集(ji)(ji)中(zhong),涌(yong)現(xian)出一批具(ju)有(you)(you)(you)(you)較強國(guo)(guo)(guo)(guo)(guo)際(ji)競爭力(li)(li)的(de)骨干(gan)企(qi)業(ye)(ye)(ye)。2015年美(mei)國(guo)(guo)(guo)(guo)(guo)《財富》雜志發(fa)(fa)(fa)布(bu)的(de)世界500強企(qi)業(ye)(ye)(ye)名單中(zhong),我(wo)(wo)國(guo)(guo)(guo)(guo)(guo)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)企(qi)業(ye)(ye)(ye)達到83家(jia)。但也應當看到,當前(qian)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)(ben)(ben)(ben)運行(xing)效(xiao)(xiao)(xiao)率(lv)有(you)(you)(you)(you)待進(jin)一步提高(gao),國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)(ben)(ben)(ben)布(bu)局(ju)結構(gou)仍然存在分布(bu)過(guo)(guo)寬、戰線(xian)過(guo)(guo)長等突出問題,國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)(ben)(ben)(ben)合理(li)流動(dong)的(de)機制尚不健全(quan),制約了國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)(ben)(ben)(ben)功(gong)能(neng)(neng)作用的(de)有(you)(you)(you)(you)效(xiao)(xiao)(xiao)發(fa)(fa)(fa)揮(hui)。當前(qian),我(wo)(wo)國(guo)(guo)(guo)(guo)(guo)經(jing)濟發(fa)(fa)(fa)展(zhan)(zhan)進(jin)入新常態,國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)企(qi)業(ye)(ye)(ye)過(guo)(guo)去主(zhu)要(yao)(yao)憑借(jie)(jie)要(yao)(yao)素(su)投(tou)入的(de)快速(su)增(zeng)長模(mo)式(shi)不可(ke)(ke)持續(xu),憑借(jie)(jie)高(gao)強度大規模(mo)投(tou)資(zi)(zi)(zi)拉動(dong)的(de)模(mo)式(shi)不可(ke)(ke)持續(xu),憑借(jie)(jie)低(di)水平競爭的(de)粗放增(zeng)長模(mo)式(shi)不可(ke)(ke)持續(xu),迫(po)切需要(yao)(yao)通(tong)過(guo)(guo)優化國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)(ben)(ben)(ben)布(bu)局(ju)結構(gou),推進(jin)國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)企(qi)業(ye)(ye)(ye)轉型升級(ji),增(zeng)強國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)經(jing)濟的(de)活(huo)力(li)(li)、控制力(li)(li)、影(ying)響力(li)(li)、抗風險能(neng)(neng)力(li)(li)。按照《指導意見》要(yao)(yao)求(qiu),堅持以(yi)市場為(wei)導向、以(yi)企(qi)業(ye)(ye)(ye)為(wei)主(zhu)體(ti),有(you)(you)(you)(you)進(jin)有(you)(you)(you)(you)退、有(you)(you)(you)(you)所為(wei)有(you)(you)(you)(you)所不為(wei),優化國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)本(ben)(ben)(ben)(ben)布(bu)局(ju)結構(gou),為(wei)發(fa)(fa)(fa)展(zhan)(zhan)壯(zhuang)大國(guo)(guo)(guo)(guo)(guo)有(you)(you)(you)(you)經(jing)濟提供強有(you)(you)(you)(you)力(li)(li)支撐(cheng)。

一是明確國(guo)(guo)(guo)有(you)資(zi)本集(ji)中(zhong)的重(zhong)(zhong)點(dian)(dian)方向。緊緊圍繞服務國(guo)(guo)(guo)家戰略(lve)(lve),落實國(guo)(guo)(guo)家產業政策和(he)重(zhong)(zhong)點(dian)(dian)產業布局調整總(zong)體要求,優(you)化國(guo)(guo)(guo)有(you)資(zi)本重(zhong)(zhong)點(dian)(dian)投資(zi)方向和(he)領域,實現“三個集(ji)中(zhong)”,即推動國(guo)(guo)(guo)有(you)資(zi)本向關系國(guo)(guo)(guo)家安全(quan)、國(guo)(guo)(guo)民(min)經濟(ji)命脈和(he)國(guo)(guo)(guo)計民(min)生(sheng)的重(zhong)(zhong)要行業和(he)關鍵領域、重(zhong)(zhong)點(dian)(dian)基(ji)礎(chu)設施集(ji)中(zhong),向前瞻性戰略(lve)(lve)性產業集(ji)中(zhong),向具有(you)核(he)心競爭(zheng)力的優(you)勢企業集(ji)中(zhong)。

二(er)是(shi)建(jian)立健全(quan)國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)(zi)本布(bu)局(ju)和結構(gou)調(diao)整(zheng)機制。制定國(guo)(guo)(guo)(guo)(guo)家發展規劃、產業政策(ce)和國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)(zi)本收益分配管(guan)理(li)規則,建(jian)立健全(quan)國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)(zi)本進(jin)退(tui)機制,引導國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)(zi)本優化投資(zi)(zi)(zi)方(fang)向和投資(zi)(zi)(zi)領域。推進(jin)經(jing)營(ying)(ying)性國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產集中(zhong)統一(yi)監(jian)管(guan),穩步將黨政機關、事業單位所(suo)屬企業的國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)(zi)本納入經(jing)營(ying)(ying)性國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產集中(zhong)統一(yi)監(jian)管(guan)體系,為擴大(da)國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)(zi)本配置(zhi)范圍、提高配置(zhi)效率創造(zao)條(tiao)件。加(jia)強(qiang)(qiang)國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)(zi)產基礎管(guan)理(li),統一(yi)制度規范、統一(yi)工作體系,強(qiang)(qiang)化對國(guo)(guo)(guo)(guo)(guo)有(you)資(zi)(zi)(zi)本布(bu)局(ju)結構(gou)調(diao)整(zheng)的支撐(cheng)服務(wu)。

三是(shi)運用市(shi)場化(hua)(hua)方式推動國(guo)有(you)資(zi)本合理(li)流動優化(hua)(hua)配置。充分發揮國(guo)有(you)資(zi)本投資(zi)、運營(ying)公(gong)司的(de)(de)作用,清(qing)理(li)退出(chu)(chu)一批、重組整(zheng)合一批、創新發展(zhan)一批國(guo)有(you)企(qi)業(ye)。建立健(jian)全優勝(sheng)劣汰(tai)市(shi)場化(hua)(hua)退出(chu)(chu)機(ji)制,切實保障退出(chu)(chu)企(qi)業(ye)依法(fa)實行關閉或破產,加快處(chu)置低效無效資(zi)產,淘(tao)汰(tai)落后產能。建立健(jian)全國(guo)有(you)資(zi)本形態轉換機(ji)制,支(zhi)持(chi)企(qi)業(ye)依法(fa)合規(gui)通(tong)過證券交(jiao)易、產權交(jiao)易等資(zi)本市(shi)場,以(yi)市(shi)場公(gong)允價(jia)格處(chu)置企(qi)業(ye)資(zi)產,將(jiang)變現(xian)的(de)(de)國(guo)有(you)資(zi)本用于(yu)更需(xu)要的(de)(de)領域和(he)行業(ye)。支(zhi)持(chi)國(guo)有(you)企(qi)業(ye)開(kai)展(zhan)國(guo)際化(hua)(hua)經(jing)營(ying),鼓勵(li)國(guo)有(you)企(qi)業(ye)之間以(yi)及(ji)與其他所有(you)制企(qi)業(ye)以(yi)資(zi)本為紐(niu)帶,強強聯(lian)合、優勢互(hu)補(bu),加快培(pei)育一批具有(you)世界一流水平(ping)的(de)(de)跨國(guo)公(gong)司。

三、按照以管資本為主的要求加強國有資產監督,切實維護國有資產安全

國(guo)(guo)(guo)(guo)(guo)有(you)(you)資(zi)產(chan)來(lai)之不(bu)易,是全(quan)(quan)國(guo)(guo)(guo)(guo)(guo)人(ren)(ren)民的(de)(de)共同財富,是全(quan)(quan)面建成小(xiao)康社會、實現全(quan)(quan)體(ti)(ti)(ti)人(ren)(ren)民共同富裕的(de)(de)重要(yao)(yao)物質基(ji)礎。國(guo)(guo)(guo)(guo)(guo)有(you)(you)企(qi)業(ye)改革(ge)要(yao)(yao)先加(jia)強(qiang)監(jian)(jian)(jian)管、防(fang)止(zhi)(zhi)國(guo)(guo)(guo)(guo)(guo)有(you)(you)資(zi)產(chan)流失(shi),這一(yi)條做(zuo)不(bu)好,國(guo)(guo)(guo)(guo)(guo)有(you)(you)企(qi)業(ye)其他改革(ge)難以取得(de)預(yu)期成效。近年來(lai),國(guo)(guo)(guo)(guo)(guo)有(you)(you)資(zi)產(chan)監(jian)(jian)(jian)督(du)工(gong)(gong)(gong)作(zuo)(zuo)得(de)到了(le)有(you)(you)力(li)加(jia)強(qiang),但針對性(xing)(xing)、實效性(xing)(xing)還需(xu)要(yao)(yao)進一(yi)步增強(qiang),既(ji)存(cun)在監(jian)(jian)(jian)督(du)不(bu)到位、監(jian)(jian)(jian)督(du)不(bu)力(li)等(deng)問(wen)題,也存(cun)在多頭檢查、重復監(jian)(jian)(jian)督(du)等(deng)問(wen)題,一(yi)些國(guo)(guo)(guo)(guo)(guo)有(you)(you)企(qi)業(ye)也暴露(lu)出(chu)管理(li)不(bu)規范、內部(bu)人(ren)(ren)控(kong)制(zhi)嚴重、企(qi)業(ye)領導人(ren)(ren)員權(quan)力(li)缺(que)乏制(zhi)約(yue)等(deng)問(wen)題。要(yao)(yao)按照《指(zhi)導意見》部(bu)署,按照以管資(zi)本為主(zhu)的(de)(de)要(yao)(yao)求加(jia)強(qiang)國(guo)(guo)(guo)(guo)(guo)有(you)(you)資(zi)產(chan)監(jian)(jian)(jian)督(du)工(gong)(gong)(gong)作(zuo)(zuo),沿國(guo)(guo)(guo)(guo)(guo)有(you)(you)資(zi)本投(tou)資(zi)運營和(he)管理(li)的(de)(de)全(quan)(quan)鏈條,突出(chu)監(jian)(jian)(jian)督(du)工(gong)(gong)(gong)作(zuo)(zuo)重點,發揮企(qi)業(ye)內部(bu)監(jian)(jian)(jian)督(du)、出(chu)資(zi)人(ren)(ren)監(jian)(jian)(jian)督(du)和(he)各監(jian)(jian)(jian)督(du)主(zhu)體(ti)(ti)(ti)的(de)(de)功能作(zuo)(zuo)用,加(jia)快形成全(quan)(quan)面覆(fu)蓋、分工(gong)(gong)(gong)明確、協(xie)同配合、制(zhi)約(yue)有(you)(you)力(li)的(de)(de)國(guo)(guo)(guo)(guo)(guo)有(you)(you)資(zi)產(chan)監(jian)(jian)(jian)督(du)體(ti)(ti)(ti)系,切實防(fang)止(zhi)(zhi)國(guo)(guo)(guo)(guo)(guo)有(you)(you)資(zi)產(chan)流失(shi),保障和(he)促進國(guo)(guo)(guo)(guo)(guo)有(you)(you)經濟(ji)健(jian)康發展。

一(yi)是(shi)強化企(qi)業(ye)(ye)內(nei)部監(jian)(jian)督。進(jin)一(yi)步明確企(qi)業(ye)(ye)作為維(wei)護國有資(zi)(zi)產安全(quan)、防止(zhi)流(liu)失(shi)的(de)(de)責任主體(ti)(ti)。完善企(qi)業(ye)(ye)內(nei)部監(jian)(jian)督體(ti)(ti)系(xi),建立橫(heng)向涵蓋企(qi)業(ye)(ye)各治理主體(ti)(ti)和職能部門、縱向包括各子企(qi)業(ye)(ye)和業(ye)(ye)務(wu)板塊的(de)(de)監(jian)(jian)督工(gong)作體(ti)(ti)系(xi),形(xing)成監(jian)(jian)督合力。突出監(jian)(jian)督重點(dian),對(dui)權(quan)(quan)(quan)(quan)力集中、資(zi)(zi)金密集、資(zi)(zi)源富集、資(zi)(zi)產聚(ju)集的(de)(de)部門和崗(gang)(gang)位(wei)加強監(jian)(jian)督,實行(xing)分事行(xing)權(quan)(quan)(quan)(quan)、分崗(gang)(gang)設(she)權(quan)(quan)(quan)(quan)、分級授權(quan)(quan)(quan)(quan),定期輪(lun)崗(gang)(gang),防止(zhi)權(quan)(quan)(quan)(quan)力濫用(yong)。進(jin)一(yi)步落實董事會(hui)、監(jian)(jian)事會(hui)的(de)(de)監(jian)(jian)督職責,加強法律審核把關(guan),實現(xian)依(yi)法治企(qi)。加強職工(gong)民主監(jian)(jian)督,健全(quan)企(qi)業(ye)(ye)民主管理制度,充分保障職工(gong)群眾對(dui)企(qi)業(ye)(ye)改革發展(zhan)的(de)(de)知情權(quan)(quan)(quan)(quan)、參與權(quan)(quan)(quan)(quan)和監(jian)(jian)督權(quan)(quan)(quan)(quan)。

二(er)是完善出(chu)(chu)資(zi)人(ren)(ren)(ren)監(jian)(jian)(jian)督(du)(du)。堅持出(chu)(chu)資(zi)人(ren)(ren)(ren)管理和監(jian)(jian)(jian)督(du)(du)的(de)有(you)機統一,進一步(bu)加(jia)(jia)強(qiang)出(chu)(chu)資(zi)人(ren)(ren)(ren)監(jian)(jian)(jian)督(du)(du)。健(jian)(jian)全(quan)(quan)國(guo)有(you)企(qi)業(ye)(ye)規劃投(tou)資(zi)、改制(zhi)重(zhong)組、產(chan)(chan)權管理、財(cai)務評價、業(ye)(ye)績(ji)考(kao)核、選(xuan)人(ren)(ren)(ren)用(yong)人(ren)(ren)(ren)、薪酬分配等規范國(guo)有(you)資(zi)本運作、防止流失的(de)制(zhi)度,加(jia)(jia)大(da)對(dui)國(guo)有(you)資(zi)產(chan)(chan)監(jian)(jian)(jian)管制(zhi)度執行情況的(de)監(jian)(jian)(jian)督(du)(du)力度。開展國(guo)有(you)資(zi)產(chan)(chan)監(jian)(jian)(jian)管機構向所出(chu)(chu)資(zi)企(qi)業(ye)(ye)依法(fa)委派總會(hui)計師試點工作,強(qiang)化出(chu)(chu)資(zi)人(ren)(ren)(ren)對(dui)企(qi)業(ye)(ye)重(zhong)大(da)財(cai)務事項(xiang)的(de)監(jian)(jian)(jian)督(du)(du)。加(jia)(jia)強(qiang)企(qi)業(ye)(ye)境外國(guo)有(you)資(zi)產(chan)(chan)監(jian)(jian)(jian)督(du)(du),確(que)保企(qi)業(ye)(ye)境外國(guo)有(you)資(zi)產(chan)(chan)安(an)全(quan)(quan)可控、有(you)效(xiao)運營。加(jia)(jia)強(qiang)和改進外派監(jian)(jian)(jian)事會(hui)監(jian)(jian)(jian)督(du)(du),明確(que)職責定位,發揮(hui)監(jian)(jian)(jian)事會(hui)作為出(chu)(chu)資(zi)人(ren)(ren)(ren)監(jian)(jian)(jian)督(du)(du)專門力量的(de)作用(yong),加(jia)(jia)強(qiang)當期和事中監(jian)(jian)(jian)督(du)(du),強(qiang)化監(jian)(jian)(jian)督(du)(du)成(cheng)果(guo)運用(yong),建(jian)立健(jian)(jian)全(quan)(quan)核查、移交(jiao)和整(zheng)改機制(zhi)。

三(san)是加(jia)強(qiang)與各(ge)監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)(du)力量(liang)的(de)協(xie)同(tong)配(pei)合(he)。大力支持審(shen)(shen)計(ji)(ji)、紀(ji)(ji)(ji)檢(jian)監(jian)(jian)(jian)(jian)(jian)察和(he)巡視等(deng)監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)(du)機(ji)構開(kai)展工作(zuo)(zuo)。進一步(bu)厘(li)清(qing)政府部(bu)門公(gong)共審(shen)(shen)計(ji)(ji)、出資(zi)人審(shen)(shen)計(ji)(ji)和(he)企業(ye)內部(bu)審(shen)(shen)計(ji)(ji)之間(jian)的(de)職(zhi)責分工,健全(quan)國(guo)(guo)有(you)資(zi)本審(shen)(shen)計(ji)(ji)監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)(du)體(ti)系和(he)制度(du)。加(jia)強(qiang)紀(ji)(ji)(ji)檢(jian)監(jian)(jian)(jian)(jian)(jian)察監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)(du)和(he)巡視工作(zuo)(zuo),強(qiang)化對企業(ye)領(ling)導人員廉潔從業(ye)、行使權(quan)力等(deng)的(de)監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)(du),加(jia)大大案要案查處力度(du)。積極配(pei)合(he)建立外部(bu)監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)(du)協(xie)同(tong)機(ji)制,整合(he)出資(zi)人監(jian)(jian)(jian)(jian)(jian)管、外派監(jian)(jian)(jian)(jian)(jian)事(shi)會監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)(du)與審(shen)(shen)計(ji)(ji)、紀(ji)(ji)(ji)檢(jian)監(jian)(jian)(jian)(jian)(jian)察、巡視等(deng)監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)(du)力量(liang),建立監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)(du)工作(zuo)(zuo)會商(shang)機(ji)制,加(jia)強(qiang)統(tong)籌(chou),減(jian)少重復檢(jian)查,提高(gao)監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)(du)效(xiao)能。加(jia)強(qiang)社會監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)(du),完(wan)善國(guo)(guo)有(you)資(zi)產(chan)和(he)國(guo)(guo)有(you)企業(ye)信息(xi)公(gong)開(kai)制度(du),設立統(tong)一的(de)信息(xi)網絡(luo)平臺,充分發揮輿論監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)(du)作(zuo)(zuo)用(yong),有(you)效(xiao)保障(zhang)社會公(gong)眾對企業(ye)國(guo)(guo)有(you)資(zi)產(chan)運(yun)營(ying)的(de)知情權(quan)和(he)監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)(du)權(quan)。

四是嚴(yan)(yan)格(ge)(ge)責(ze)任(ren)(ren)追(zhui)究。加大(da)(da)(da)對國(guo)(guo)有(you)企(qi)業違規經營責(ze)任(ren)(ren)追(zhui)究力(li)度,建(jian)(jian)立健全(quan)國(guo)(guo)有(you)企(qi)業重大(da)(da)(da)決策失職、瀆職責(ze)任(ren)(ren)追(zhui)究和(he)倒查(cha)機制,完善(shan)重大(da)(da)(da)決策評估、決策事項履職記錄、決策過(guo)錯認定標(biao)準等配套(tao)制度,嚴(yan)(yan)厲查(cha)處侵吞、貪污(wu)、輸送、揮霍(huo)國(guo)(guo)有(you)資產和(he)逃廢金融債務的(de)行為。建(jian)(jian)立健全(quan)企(qi)業國(guo)(guo)有(you)資產的(de)監督問(wen)責(ze)機制,對企(qi)業重大(da)(da)(da)違法違紀(ji)問(wen)題敷衍不(bu)追(zhui)、隱匿不(bu)報、查(cha)處不(bu)力(li)的(de),嚴(yan)(yan)格(ge)(ge)追(zhui)究有(you)關人員失職瀆職責(ze)任(ren)(ren),確保(bao)監督責(ze)任(ren)(ren)落(luo)到實(shi)處,形成監督工作閉(bi)環,充分體現監督工作的(de)嚴(yan)(yan)肅性和(he)權威性。

以管(guan)資本為(wei)主(zhu)加強(qiang)國(guo)(guo)有(you)資產監管(guan)是(shi)深(shen)化(hua)國(guo)(guo)有(you)企業改革的一項重大任務。我們要(yao)認真(zhen)貫(guan)徹(che)落實黨的十(shi)八大和十(shi)八屆(jie)三中(zhong)、四(si)中(zhong)全會精神,深(shen)入學習(xi)貫(guan)徹(che)習(xi)近平總書記系列(lie)重要(yao)講話精神,自覺踐(jian)行“三嚴三實”要(yao)求,堅(jian)決貫(guan)徹(che)黨中(zhong)央、國(guo)(guo)務院關于深(shen)化(hua)國(guo)(guo)有(you)企業改革的重大決策部(bu)署,加快落實以管(guan)資本為(wei)主(zhu)加強(qiang)國(guo)(guo)有(you)資產監管(guan),為(wei)做強(qiang)做優做大國(guo)(guo)有(you)企業、發(fa)展壯大國(guo)(guo)有(you)經濟提供堅(jian)強(qiang)保障。
