《國務院國資委以管資本為主推進職能轉變方案》解讀

在“以管資本(ben)(ben)為主(zhu)”深化(hua)國(guo)資國(guo)企(qi)(qi)改(gai)(gai)革的(de)(de)(de)背(bei)景下,國(guo)資委對(dui)中(zhong)央企(qi)(qi)業(ye)(ye)(ye)進行了監管模(mo)式的(de)(de)(de)調整(zheng)(zheng)。一(yi)方面(mian),通過開(kai)展中(zhong)央企(qi)(qi)業(ye)(ye)(ye)試點工作進行了適合(he)企(qi)(qi)業(ye)(ye)(ye)自身類型(xing)的(de)(de)(de)改(gai)(gai)革實踐(jian),如探(tan)索(suo)落實董(dong)事會(hui)職(zhi)權,市場化(hua)選(xuan)聘經(jing)營管理者,推行職(zhi)業(ye)(ye)(ye)經(jing)理人(ren)制(zhi)度,企(qi)(qi)業(ye)(ye)(ye)薪酬分配差異化(hua)改(gai)(gai)革,國(guo)有(you)(you)資本(ben)(ben)投資、運(yun)營公(gong)司,中(zhong)央企(qi)(qi)業(ye)(ye)(ye)兼并重組(zu),部分重要領域混合(he)所有(you)(you)制(zhi)改(gai)(gai)革,混合(he)所有(you)(you)制(zhi)企(qi)(qi)業(ye)(ye)(ye)員工持股,國(guo)有(you)(you)企(qi)(qi)業(ye)(ye)(ye)信息公(gong)開(kai)工作,剝離企(qi)(qi)業(ye)(ye)(ye)辦(ban)社(she)會(hui)職(zhi)能和解決歷史遺留問題等。另(ling)一(yi)方面(mian),國(guo)資委根據(ju)“管資本(ben)(ben)”為主(zhu)的(de)(de)(de)監管思路,調整(zheng)(zheng)了自身的(de)(de)(de)部分職(zhi)能設置(zhi),建立了新的(de)(de)(de)國(guo)有(you)(you)資本(ben)(ben)監管機制(zhi),改(gai)(gai)組(zu)組(zu)建了國(guo)有(you)(you)資本(ben)(ben)投資運(yun)營公(gong)司,保留了一(yi)批產業(ye)(ye)(ye)集團(tuan)。
結(jie)合(he)國資(zi)委(wei)(wei)職(zhi)(zhi)能(neng)設置(zhi)調(diao)整和試點(dian)(dian)工作(zuo)的開展,《國務(wu)院國資(zi)委(wei)(wei)以管(guan)(guan)資(zi)本為主(zhu)(zhu)推進(jin)職(zhi)(zhi)能(neng)轉(zhuan)變方(fang)案》(以下簡稱《方(fang)案》)取消、下放、授權(quan)43項權(quan)利(li),突出強化(hua)管(guan)(guan)資(zi)本重點(dian)(dian)職(zhi)(zhi)能(neng),科學界定國有資(zi)產(chan)出資(zi)人監管(guan)(guan)的邊(bian)界,將依法由企業(ye)(ye)自(zi)主(zhu)(zhu)經營的事項歸位(wei)于(yu)企業(ye)(ye);將延伸到子企業(ye)(ye)的管(guan)(guan)理(li)事項,原則上歸位(wei)于(yu)一級(ji)企業(ye)(ye),由一級(ji)企業(ye)(ye)依規決策;將配合(he)承擔的社會公共管(guan)(guan)理(li)職(zhi)(zhi)能(neng)歸位(wei)于(yu)相關政府部門和單(dan)位(wei)。
加強和完善管資本為主的監管模式
自經濟體(ti)(ti)制(zhi)(zhi)改(gai)革以來(lai),我國(guo)(guo)的(de)國(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)產(chan)管(guan)(guan)(guan)理體(ti)(ti)制(zhi)(zhi)經歷了(le)(le)(le)計劃經濟體(ti)(ti)制(zhi)(zhi)下的(de)國(guo)(guo)有(you)(you)(you)(you)企(qi)業(ye)管(guan)(guan)(guan)理、國(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)產(chan)管(guan)(guan)(guan)理體(ti)(ti)制(zhi)(zhi)改(gai)革初步(bu)探索、國(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)產(chan)管(guan)(guan)(guan)理體(ti)(ti)制(zhi)(zhi)新(xin)體(ti)(ti)制(zhi)(zhi)孕育與(yu)新(xin)國(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)產(chan)管(guan)(guan)(guan)理體(ti)(ti)制(zhi)(zhi)確立(li)四個階段。2003年國(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)委成立(li)以來(lai),我國(guo)(guo)新(xin)的(de)國(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)產(chan)管(guan)(guan)(guan)理體(ti)(ti)制(zhi)(zhi)不(bu)斷得(de)到(dao)完善,深化國(guo)(guo)有(you)(you)(you)(you)企(qi)業(ye)改(gai)革進入了(le)(le)(le)出(chu)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)人機(ji)構主(zhu)(zhu)導(dao)階段,取得(de)了(le)(le)(le)顯著(zhu)成績。確立(li)了(le)(le)(le)國(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)產(chan)監(jian)管(guan)(guan)(guan)機(ji)構作為(wei)出(chu)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)人代表的(de)體(ti)(ti)制(zhi)(zhi),解決了(le)(le)(le)出(chu)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)人缺位問題,改(gai)變(bian)了(le)(le)(le)“九龍治水(shui)”的(de)局面,明確了(le)(le)(le)出(chu)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)人機(ji)構的(de)責任主(zhu)(zhu)體(ti)(ti);建立(li)了(le)(le)(le)一(yi)整套國(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)產(chan)監(jian)管(guan)(guan)(guan)制(zhi)(zhi)度體(ti)(ti)系,包(bao)括統(tong)計評(ping)價(jia)、產(chan)權(quan)管(guan)(guan)(guan)理、業(ye)績考核(he)、薪酬管(guan)(guan)(guan)理、規(gui)劃投資(zi)(zi)(zi)(zi)(zi)(zi)(zi)、領導(dao)人員選任、監(jian)事會監(jian)督、國(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)本經營預算(suan)等(deng)(deng)。2003-2014年,國(guo)(guo)務院國(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)委先后發(fa)布了(le)(le)(le)27項(xiang)部門規(gui)章326項(xiang)規(gui)范性(xing)文(wen)件,形(xing)(xing)成了(le)(le)(le)一(yi)整套國(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)產(chan)監(jian)管(guan)(guan)(guan)制(zhi)(zhi)度體(ti)(ti)系。以管(guan)(guan)(guan)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)本為(wei)主(zhu)(zhu)推動(dong)國(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)產(chan)監(jian)管(guan)(guan)(guan)機(ji)構的(de)職(zhi)能轉變(bian),核(he)心是(shi)要(yao)做到(dao)由實物(wu)形(xing)(xing)態的(de)企(qi)業(ye)管(guan)(guan)(guan)理,轉變(bian)為(wei)價(jia)值(zhi)形(xing)(xing)態的(de)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)本管(guan)(guan)(guan)控。按照(zhao)《公司(si)法(fa)》、《企(qi)業(ye)國(guo)(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)產(chan)法(fa)》關于(yu)出(chu)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)人依法(fa)享(xiang)有(you)(you)(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)產(chan)收益、參與(yu)重大決策和選擇管(guan)(guan)(guan)理者等(deng)(deng)權(quan)利的(de)規(gui)定,對(dui)國(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)(zi)委的(de)法(fa)定權(quan)責予以明確。
推行“十項改革”試點
2016年2月,國(guo)務院國(guo)資委推進“十(shi)項改(gai)革試(shi)點”,如下:
一是落(luo)實董(dong)(dong)(dong)事(shi)會(hui)(hui)職權(quan)(quan)試(shi)點。國資委將向(xiang)試(shi)點企業(ye)董(dong)(dong)(dong)事(shi)會(hui)(hui)授予中長(chang)期發展戰略規劃、高(gao)級管(guan)理(li)(li)(li)人員選聘(pin)、業(ye)績考(kao)核(he)、薪酬管(guan)理(li)(li)(li)、工資總額備案制管(guan)理(li)(li)(li)和重(zhong)大財務(wu)事(shi)項(xiang)(xiang)管(guan)理(li)(li)(li)等(deng)6項(xiang)(xiang)職權(quan)(quan),通過試(shi)點有效調(diao)動董(dong)(dong)(dong)事(shi)會(hui)(hui)積極性,促進董(dong)(dong)(dong)事(shi)會(hui)(hui)作用的發揮。
二是(shi)市(shi)場化(hua)選(xuan)聘經(jing)(jing)營管(guan)理(li)者(zhe)試(shi)(shi)點(dian)。試(shi)(shi)點(dian)將落實(shi)董事(shi)會在(zai)經(jing)(jing)理(li)層成(cheng)員選(xuan)聘、業(ye)績(ji)考核、薪酬分配(pei)等方(fang)面職(zhi)權;界定國(guo)資(zi)監管(guan)機(ji)構、企(qi)(qi)業(ye)董事(shi)會、企(qi)(qi)業(ye)黨組織在(zai)經(jing)(jing)營管(guan)理(li)者(zhe)選(xuan)聘和管(guan)理(li)工作中(zhong)的(de)職(zhi)責等。試(shi)(shi)點(dian)工作將采(cai)取公(gong)開遴選(xuan)、競聘上崗(gang)、人才中(zhong)介機(ji)構推薦等市(shi)場化(hua)方(fang)式,在(zai)各級(ji)履(lv)行出(chu)資(zi)人職(zhi)責機(ji)構直接監管(guan)的(de)國(guo)有獨資(zi)、控股的(de)一級(ji)企(qi)(qi)業(ye)進行。
三(san)是推行(xing)職(zhi)業(ye)經理人(ren)制(zhi)(zhi)度試(shi)點(dian)。在市場(chang)化(hua)選(xuan)(xuan)(xuan)聘(pin)經營管理者(zhe)(zhe)試(shi)點(dian)基礎上,探索(suo)推行(xing)職(zhi)業(ye)經理人(ren)制(zhi)(zhi)度。從(cong)市場(chang)化(hua)選(xuan)(xuan)(xuan)聘(pin)經營管理者(zhe)(zhe)試(shi)點(dian)的(de)單位中,優先選(xuan)(xuan)(xuan)擇處于(yu)充分(fen)競爭領域的(de)商業(ye)類企(qi)(qi)業(ye)試(shi)點(dian),同時鼓(gu)勵中央企(qi)(qi)業(ye)選(xuan)(xuan)(xuan)擇部分(fen)條件(jian)成(cheng)熟的(de)二三(san)級(ji)公(gong)司開展試(shi)點(dian)。
四是企業(ye)薪酬(chou)分(fen)配差異化改革試點。完善(shan)國(guo)有(you)企業(ye)負(fu)責人(ren)(ren)薪酬(chou)分(fen)類管(guan)理(li)(li)制度,建立(li)健全職(zhi)業(ye)經理(li)(li)人(ren)(ren)薪酬(chou)管(guan)理(li)(li)制度。對(dui)市場(chang)(chang)化選聘的(de)職(zhi)業(ye)經理(li)(li)人(ren)(ren)實行市場(chang)(chang)化薪酬(chou)分(fen)配機制,建立(li)科學(xue)合理(li)(li)的(de)業(ye)績(ji)考核評價體系,形成(cheng)與國(guo)有(you)企業(ye)負(fu)責人(ren)(ren)選任方式相匹配、與企業(ye)功能(neng)性質相適應的(de)負(fu)責人(ren)(ren)薪酬(chou)管(guan)理(li)(li)辦(ban)法和(he)業(ye)績(ji)考核評價辦(ban)法。
五(wu)是國(guo)有(you)(you)資(zi)本(ben)投(tou)資(zi)、運(yun)(yun)營(ying)公(gong)(gong)(gong)司(si)試點(dian)。國(guo)資(zi)委(wei)選擇神華、寶武鋼、五(wu)礦、招商局、中交、保利開(kai)展國(guo)有(you)(you)資(zi)本(ben)投(tou)資(zi)公(gong)(gong)(gong)司(si)試點(dian),推進誠通(tong)(tong)(tong)集(ji)團(tuan)、國(guo)新公(gong)(gong)(gong)司(si)改組為國(guo)有(you)(you)資(zi)本(ben)運(yun)(yun)營(ying)公(gong)(gong)(gong)司(si),探(tan)索完善的(de)國(guo)有(you)(you)資(zi)產監管(guan)方式,探(tan)索有(you)(you)效的(de)國(guo)有(you)(you)資(zi)本(ben)投(tou)資(zi)運(yun)(yun)營(ying)模(mo)式,探(tan)索市場(chang)化的(de)企業(ye)經(jing)營(ying)機(ji)制。國(guo)有(you)(you)資(zi)本(ben)投(tou)資(zi)公(gong)(gong)(gong)司(si)通(tong)(tong)(tong)過開(kai)展投(tou)資(zi)融資(zi)、產業(ye)培育和(he)(he)資(zi)本(ben)整合(he)等(deng)(deng),投(tou)資(zi)和(he)(he)發展國(guo)民經(jing)濟的(de)重(zhong)要行業(ye)、關(guan)鍵領域、戰略性新興產業(ye)和(he)(he)優勢支柱性產業(ye);國(guo)有(you)(you)資(zi)本(ben)運(yun)(yun)營(ying)公(gong)(gong)(gong)司(si)通(tong)(tong)(tong)過股(gu)權(quan)運(yun)(yun)作(zuo)、價(jia)值管(guan)理、有(you)(you)序(xu)進退等(deng)(deng)方式,投(tou)資(zi)、持有(you)(you)和(he)(he)運(yun)(yun)營(ying)國(guo)有(you)(you)股(gu)權(quan)。
六(liu)是中(zhong)央企業(ye)(ye)兼并重組(zu)(zu)試(shi)點。國資委將(jiang)根據國家(jia)戰略需要,探索(suo)在中(zhong)央企業(ye)(ye)之間(jian)集中(zhong)優勢資源,實(shi)施(shi)專業(ye)(ye)化(hua)重組(zu)(zu)、組(zu)(zu)建股(gu)份制(zhi)公司的(de)有效做法,減(jian)少重復投(tou)資和(he)同質化(hua)發展。
七是(shi)部(bu)分(fen)重要(yao)領域混合所有(you)制(zhi)改革試點。通過開(kai)展混合所有(you)制(zhi)改革試點,引入(ru)非國(guo)有(you)資(zi)本多元(yuan)化投(tou)資(zi),形成有(you)利于(yu)參與(yu)市場競爭(zheng)的治理(li)結(jie)構(gou)和運(yun)行機制(zhi)。
八是混合所有制企(qi)業(ye)(ye)員(yuan)工(gong)(gong)持股(gu)試點(dian)(dian)。試點(dian)(dian)主要探索(suo)在什么(me)樣的企(qi)業(ye)(ye)實行員(yuan)工(gong)(gong)持股(gu),以什么(me)樣的方式實行員(yuan)工(gong)(gong)持股(gu),員(yuan)工(gong)(gong)怎樣轉股(gu)退股(gu)等(deng),確保員(yuan)工(gong)(gong)持股(gu)公開透明(ming),防止利益輸送。
九是國有企(qi)(qi)業(ye)(ye)信(xin)息公開(kai)工(gong)作試(shi)點。圍(wei)繞董事會信(xin)息披露、財務信(xin)息公開(kai)等方面開(kai)展(zhan)試(shi)點,為中央企(qi)(qi)業(ye)(ye)信(xin)息公開(kai)提(ti)供支持(chi),為社會公眾查閱信(xin)息提(ti)供服務。試(shi)點旨在促(cu)進(jin)企(qi)(qi)業(ye)(ye)完(wan)善公司治(zhi)理結構(gou),規范(fan)企(qi)(qi)業(ye)(ye)管理,健(jian)全(quan)國資監管體(ti)系,打(da)造“陽(yang)光國企(qi)(qi)”,防止國有資產流失。
十是剝離企業辦社會(hui)(hui)職(zhi)能和解(jie)決(jue)歷(li)史遺留(liu)問(wen)題(ti)(ti)試點(dian)。通過解(jie)決(jue)國有企業仍存(cun)在大量(liang)辦社會(hui)(hui)職(zhi)能和歷(li)史遺留(liu)問(wen)題(ti)(ti),將(jiang)配合承擔的(de)社會(hui)(hui)公共管理職(zhi)能歸位于相關政府(fu)部(bu)門和單(dan)位。
有效推進對中央企業的監管方式轉變
為落實(shi)中(zhong)央決策部(bu)署,國(guo)務(wu)院(yuan)國(guo)資(zi)委深入開展職能梳理,系統總(zong)結長期(qi)以來(lai)國(guo)資(zi)監(jian)管(guan)工作(zuo)經驗,著眼當前國(guo)資(zi)監(jian)管(guan)中(zhong)存在的問題,反復研究論證,多次征求(qiu)有關部(bu)門、中(zhong)央企(qi)業、地方國(guo)資(zi)委意(yi)見(jian),進行了成立13年來(lai)最大規模的機(ji)構調(diao)整。
新設資本運營與收益(yi)管理(li)局(ju)(ju),強化以管資本為主(zhu);新設監(jian)督一局(ju)(ju)、二局(ju)(ju)、三(san)局(ju)(ju),加強監(jian)督職能;外事(shi)局(ju)(ju)更改為國際合作局(ju)(ju),加強國際合作業(ye)務(wu);撤銷企(qi)業(ye)改組局(ju)(ju),部(bu)分職能并入企(qi)業(ye)改革局(ju)(ju);財務(wu)監(jian)管局(ju)(ju)、綜合局(ju)(ju)、考核分配局(ju)(ju)等做了相應(ying)的職能調整和完善(shan)。
一(yi)是(shi)突出(chu)管(guan)(guan)資(zi)本(ben)(ben)(ben)要求,落(luo)實(shi)保值(zhi)(zhi)增值(zhi)(zhi)責任。強(qiang)(qiang)化(hua)國(guo)有資(zi)本(ben)(ben)(ben)運營,新設資(zi)本(ben)(ben)(ben)運營與收益管(guan)(guan)理局(ju),重(zhong)點(dian)圍繞(rao)國(guo)家(jia)發展戰略和國(guo)有資(zi)本(ben)(ben)(ben)布局(ju)結構(gou)調整,組織指導國(guo)有資(zi)本(ben)(ben)(ben)投(tou)(tou)資(zi)、運營公司開(kai)展國(guo)有資(zi)本(ben)(ben)(ben)運營,促進國(guo)有資(zi)本(ben)(ben)(ben)保值(zhi)(zhi)增值(zhi)(zhi);強(qiang)(qiang)化(hua)出(chu)資(zi)人激勵約束,新設考核分(fen)配局(ju),統籌業(ye)績考核和薪酬分(fen)配工作,真正實(shi)現“業(ye)績、薪酬同升同降”;強(qiang)(qiang)化(hua)規劃(hua)投(tou)(tou)資(zi)監(jian)管(guan)(guan),突出(chu)規劃(hua)局(ju)核心職(zhi)能,聚焦企業(ye)戰略規劃(hua)和境內(nei)外投(tou)(tou)資(zi)監(jian)管(guan)(guan),強(qiang)(qiang)化(hua)主業(ye)監(jian)管(guan)(guan),管(guan)(guan)好企業(ye)投(tou)(tou)資(zi)方向。
二是加強國(guo)有(you)資產監(jian)(jian)督(du),防止國(guo)有(you)資產流(liu)失。新(xin)設三個監(jian)(jian)督(du)局(ju),分類處置和督(du)辦(ban)委機(ji)關和監(jian)(jian)事會在監(jian)(jian)督(du)工作中(zhong)發(fa)現的問(wen)題,組織開展國(guo)有(you)資產重大損失調查,提(ti)出有(you)關責(ze)(ze)任(ren)追(zhui)究(jiu)的意(yi)見建議,強化責(ze)(ze)任(ren)追(zhui)究(jiu),進一(yi)步形成監(jian)(jian)督(du)工作閉環,實(shi)現出資人管理與(yu)監(jian)(jian)督(du)的有(you)機(ji)統(tong)一(yi)。
三是整合(he)(he)(he)有關工作(zuo)事(shi)(shi)項(xiang),提(ti)升國資(zi)監管(guan)(guan)工作(zuo)效能(neng)。設(she)立(li)新的企(qi)業(ye)(ye)(ye)改(gai)革局(ju)(ju),將(jiang)企(qi)業(ye)(ye)(ye)重組整合(he)(he)(he)、結構(gou)優化(hua)、改(gai)制(zhi)上市(shi)以及解決國有企(qi)業(ye)(ye)(ye)歷史遺留問題等工作(zuo)有機(ji)結合(he)(he)(he),著力(li)加(jia)大(da)對企(qi)業(ye)(ye)(ye)改(gai)革改(gai)制(zhi)的分類指(zhi)導(dao)、推動和服務(wu)力(li)度,進一(yi)步形成深(shen)化(hua)國有企(qi)業(ye)(ye)(ye)改(gai)革的合(he)(he)(he)力(li);新設(she)綜合(he)(he)(he)局(ju)(ju),整合(he)(he)(he)指(zhi)導(dao)企(qi)業(ye)(ye)(ye)開(kai)展(zhan)科技創新、知識產(chan)權管(guan)(guan)理(li)與(yu)保(bao)護、加(jia)強(qiang)品牌建設(she)等職能(neng);將(jiang)財(cai)務(wu)監督與(yu)考核評(ping)價局(ju)(ju)更(geng)名(ming)為財(cai)務(wu)監管(guan)(guan)局(ju)(ju),在加(jia)強(qiang)對中央企(qi)業(ye)(ye)(ye)財(cai)務(wu)監管(guan)(guan)的同時,統一(yi)開(kai)展(zhan)財(cai)務(wu)動態監測和經濟運行(xing)分析工作(zuo),為國有資(zi)產(chan)監管(guan)(guan)工作(zuo)提(ti)供基礎支撐;將(jiang)外事(shi)(shi)局(ju)(ju)更(geng)名(ming)為國際(ji)合(he)(he)(he)作(zuo)局(ju)(ju),進一(yi)步加(jia)強(qiang)國際(ji)交流與(yu)合(he)(he)(he)作(zuo)。
四(si)是全面加(jia)強(qiang)黨的(de)建(jian)(jian)(jian)設(she),落實管黨治黨責任。設(she)立(li)新的(de)黨建(jian)(jian)(jian)工(gong)作(zuo)局,聚焦黨的(de)建(jian)(jian)(jian)設(she)中心(xin)工(gong)作(zuo),促進黨建(jian)(jian)(jian)帶(dai)工(gong)建(jian)(jian)(jian)、黨建(jian)(jian)(jian)帶(dai)團建(jian)(jian)(jian);設(she)立(li)行(xing)業協會(hui)商會(hui)黨建(jian)(jian)(jian)工(gong)作(zuo)局,統籌指導(dao)行(xing)業協會(hui)商會(hui)黨建(jian)(jian)(jian)工(gong)作(zuo);將巡視工(gong)作(zuo)領(ling)導(dao)小組辦(ban)公室更名為黨委巡視工(gong)作(zuo)辦(ban)公室,加(jia)強(qiang)對中央企業開展內部巡視的(de)領(ling)導(dao)和指導(dao),并將委屬單位、行(xing)業協會(hui)納入巡視范(fan)圍。
《方案》完善了管資本為主的國企國資監管職能
《方案》以(yi)管(guan)資(zi)本為主加(jia)強國有資(zi)產監(jian)管(guan),落實到監(jian)管(guan)實踐層面,關鍵(jian)在于要突(tu)出出資(zi)人的(de)核心管(guan)理職能,因企制(zhi)宜,構建(jian)國資(zi)委作為國有資(zi)產出資(zi)人的(de)監(jian)管(guan)體制(zhi)。
一是(shi)國(guo)(guo)(guo)資(zi)委作(zuo)為(wei)出(chu)資(zi)人(ren)管理和(he)監(jian)(jian)督的(de)有機統一。“管資(zi)本”為(wei)主(zhu)的(de)監(jian)(jian)管方式,按照政(zheng)企分(fen)開、政(zheng)資(zi)分(fen)開、所(suo)有權與經營權分(fen)離(li)的(de)要(yao)求,進一步明確國(guo)(guo)(guo)資(zi)委作(zuo)為(wei)國(guo)(guo)(guo)務院直屬特設機構,根據授權代表國(guo)(guo)(guo)務院履行(xing)出(chu)資(zi)人(ren)職(zhi)(zhi)責,專司國(guo)(guo)(guo)有資(zi)產監(jian)(jian)督。管理與監(jian)(jian)督是(shi)國(guo)(guo)(guo)有資(zi)產出(chu)資(zi)人(ren)的(de)兩項基本職(zhi)(zhi)能,是(shi)以國(guo)(guo)(guo)家所(suo)有權為(wei)基礎的(de)出(chu)資(zi)人(ren)權利。《方案(an)》在(zai)明確國(guo)(guo)(guo)資(zi)委機構性質和(he)職(zhi)(zhi)責定位的(de)基礎上,要(yao)堅持出(chu)資(zi)人(ren)管理和(he)監(jian)(jian)督的(de)有機統一。
二是(shi)依(yi)法界(jie)定(ding)(ding)(ding)國(guo)(guo)(guo)資(zi)委作(zuo)為(wei)(wei)出(chu)(chu)資(zi)人(ren)(ren)監(jian)(jian)(jian)管(guan)的(de)(de)(de)權(quan)(quan)責。出(chu)(chu)資(zi)人(ren)(ren)權(quan)(quan)利來源于(yu)法律(lv)(lv)、行政(zheng)(zheng)法規(gui)的(de)(de)(de)規(gui)定(ding)(ding)(ding),職能轉變的(de)(de)(de)根本要(yao)求(qiu)(qiu)就是(shi)依(yi)法界(jie)定(ding)(ding)(ding)出(chu)(chu)資(zi)人(ren)(ren)監(jian)(jian)(jian)管(guan)的(de)(de)(de)權(quan)(quan)責。一方(fang)面(mian),《方(fang)案(an)》依(yi)法明確(que)了國(guo)(guo)(guo)資(zi)委應當履行的(de)(de)(de)職責。提(ti)出(chu)(chu)國(guo)(guo)(guo)資(zi)監(jian)(jian)(jian)管(guan)機構(gou)要(yao)按照(zhao)有(you)關(guan)法律(lv)(lv)法規(gui)的(de)(de)(de)規(gui)定(ding)(ding)(ding)行權(quan)(quan)履職,科(ke)學界(jie)定(ding)(ding)(ding)國(guo)(guo)(guo)有(you)資(zi)產(chan)出(chu)(chu)資(zi)人(ren)(ren)監(jian)(jian)(jian)管(guan)的(de)(de)(de)邊界(jie),健全監(jian)(jian)(jian)管(guan)制度體(ti)系,建(jian)立和(he)(he)完善權(quan)(quan)力和(he)(he)責任清單(dan),不干預(yu)企業依(yi)法行使自主經營(ying)權(quan)(quan)。另一方(fang)面(mian),《方(fang)案(an)》依(yi)法精簡了管(guan)得過多過細的(de)(de)(de)事項。對于(yu)沒有(you)法律(lv)(lv)、行政(zheng)(zheng)法規(gui)或者黨中央、國(guo)(guo)(guo)務院文(wen)件(jian)依(yi)據的(de)(de)(de)監(jian)(jian)(jian)管(guan)事項,明確(que)予以取(qu)消(xiao)、下放或者授權(quan)(quan)。《方(fang)案(an)》貫(guan)徹(che)落實了中央關(guan)于(yu)法治政(zheng)(zheng)府建(jian)設的(de)(de)(de)要(yao)求(qiu)(qiu),充(chong)分體(ti)現了“權(quan)(quan)由法定(ding)(ding)(ding)、權(quan)(quan)依(yi)法使”原(yuan)則。“管(guan)資(zi)本”為(wei)(wei)主的(de)(de)(de)監(jian)(jian)(jian)管(guan)方(fang)式(shi),并不是(shi)簡單(dan)地由“管(guan)人(ren)(ren)、管(guan)事、管(guan)資(zi)產(chan)”變為(wei)(wei)“管(guan)資(zi)本”,國(guo)(guo)(guo)資(zi)委作(zuo)為(wei)(wei)出(chu)(chu)資(zi)人(ren)(ren),按照(zhao)《公司法》、《企業國(guo)(guo)(guo)有(you)資(zi)產(chan)法》依(yi)法享有(you)資(zi)產(chan)收益、參與重大決策和(he)(he)選擇管(guan)理者等權(quan)(quan)利的(de)(de)(de)規(gui)定(ding)(ding)(ding),對國(guo)(guo)(guo)資(zi)委的(de)(de)(de)法定(ding)(ding)(ding)權(quan)(quan)責予以明確(que)。
三是(shi)平衡好(hao)加(jia)強(qiang)監管和(he)簡(jian)政放(fang)(fang)權的(de)(de)關(guan)(guan)系(xi)。習近(jin)平總(zong)書記強(qiang)調(diao),國(guo)資(zi)(zi)委的(de)(de)職(zhi)能(neng)轉(zhuan)變首先是(shi)抓好(hao)資(zi)(zi)本管理,“放(fang)(fang)了(le)并(bing)不是(shi)不管”、“放(fang)(fang)了(le)不落(luo)地(di),沒人接,就(jiu)空了(le)”、“要確保(bao)放(fang)(fang)得開、管得住”。按照總(zong)書記重(zhong)要指示,《方案》較好(hao)地(di)把握了(le)“放(fang)(fang)管結合(he)”的(de)(de)平衡。一(yi)(yi)方面(mian),“該管的(de)(de)堅決(jue)管好(hao)”。突出管資(zi)(zi)本要求,落(luo)實(shi)(shi)保(bao)值(zhi)增值(zhi)責(ze)(ze)(ze)任(ren),促進(jin)(jin)國(guo)有(you)資(zi)(zi)本保(bao)值(zhi)增值(zhi);強(qiang)化出資(zi)(zi)人激勵(li)約束,強(qiang)化規劃投(tou)(tou)資(zi)(zi)監管,強(qiang)化主(zhu)業(ye)監管,管好(hao)企(qi)(qi)業(ye)投(tou)(tou)資(zi)(zi)方向。加(jia)強(qiang)國(guo)有(you)資(zi)(zi)產監督(du),防止國(guo)有(you)資(zi)(zi)產流失,開展國(guo)有(you)資(zi)(zi)產重(zhong)大損失調(diao)查(cha),提(ti)出有(you)關(guan)(guan)責(ze)(ze)(ze)任(ren)追究(jiu)(jiu)的(de)(de)意見建議,強(qiang)化責(ze)(ze)(ze)任(ren)追究(jiu)(jiu),進(jin)(jin)一(yi)(yi)步形(xing)成監督(du)工(gong)作閉(bi)環,實(shi)(shi)現(xian)(xian)出資(zi)(zi)人管理與監督(du)的(de)(de)有(you)機統一(yi)(yi)。整合(he)有(you)關(guan)(guan)工(gong)作事(shi)(shi)項,提(ti)升國(guo)資(zi)(zi)監管工(gong)作效能(neng)。將企(qi)(qi)業(ye)重(zhong)組整合(he)、結構優化、改(gai)(gai)制上市以(yi)(yi)及(ji)解(jie)決(jue)國(guo)有(you)企(qi)(qi)業(ye)歷史遺留(liu)問題(ti)等工(gong)作有(you)機結合(he),著力(li)加(jia)大對企(qi)(qi)業(ye)改(gai)(gai)革改(gai)(gai)制的(de)(de)分(fen)類指導、推動和(he)服務(wu)力(li)度(du),進(jin)(jin)一(yi)(yi)步形(xing)成深化國(guo)有(you)企(qi)(qi)業(ye)改(gai)(gai)革的(de)(de)合(he)力(li)。全(quan)面(mian)加(jia)強(qiang)黨(dang)(dang)(dang)的(de)(de)建設,落(luo)實(shi)(shi)管黨(dang)(dang)(dang)治(zhi)黨(dang)(dang)(dang)責(ze)(ze)(ze)任(ren)。建立健(jian)全(quan)黨(dang)(dang)(dang)建工(gong)作責(ze)(ze)(ze)任(ren)制,深入推進(jin)(jin)黨(dang)(dang)(dang)風廉政建設和(he)反腐(fu)敗斗爭。另一(yi)(yi)方面(mian),“該放(fang)(fang)的(de)(de)一(yi)(yi)定要放(fang)(fang)”。對可(ke)以(yi)(yi)精簡(jian)的(de)(de)事(shi)(shi)項,最大程(cheng)度(du)上予以(yi)(yi)取消、下(xia)放(fang)(fang)或(huo)授權,并(bing)針對精簡(jian)事(shi)(shi)項明(ming)確企(qi)(qi)業(ye)各(ge)治(zhi)理主(zhu)體(ti)行權履職(zhi)邊界,層層落(luo)實(shi)(shi)責(ze)(ze)(ze)任(ren),實(shi)(shi)現(xian)(xian)“三個歸位于”。
