近(jin)日,國(guo)務院國(guo)資委發布(bu)了(le)(le)《關于印發<中央(yang)企業控股上(shang)市公司實施股權激勵工(gong)作指引>的通知》(國(guo)資考(kao)分〔2020〕178號,以下簡稱《指引》)。《指引》出臺后,國(guo)務院國(guo)資委有關負責人(ren)接(jie)受了(le)(le)記者(zhe)采(cai)訪。
問:請介紹一下出臺《指引》的背景。
答:黨的十八屆三(san)中(zhong)(zhong)(zhong)(zhong)(zhong)全會(hui)以(yi)來(lai),國(guo)(guo)(guo)資(zi)委(wei)(wei)以(yi)習近平新時(shi)代中(zhong)(zhong)(zhong)(zhong)(zhong)國(guo)(guo)(guo)特色社會(hui)主義(yi)思想為指導(dao),認(ren)真(zhen)貫徹落實(shi)黨中(zhong)(zhong)(zhong)(zhong)(zhong)央(yang)(yang)、國(guo)(guo)(guo)務院各(ge)項(xiang)(xiang)決策(ce)部署,扎(zha)實(shi)推(tui)進國(guo)(guo)(guo)有(you)企(qi)業(ye)(ye)(ye)改革各(ge)項(xiang)(xiang)工(gong)(gong)作(zuo)(zuo)(zuo)。目(mu)前(qian)(qian)國(guo)(guo)(guo)有(you)企(qi)業(ye)(ye)(ye)改革的“1+N”文件體系已經(jing)基本定(ding)型,當前(qian)(qian)制(zhi)(zhi)(zhi)定(ding)政(zheng)策(ce)的重點(dian)是(shi)(shi)具體的操作(zuo)(zuo)(zuo)規(gui)(gui)程。就中(zhong)(zhong)(zhong)(zhong)(zhong)央(yang)(yang)企(qi)業(ye)(ye)(ye)控(kong)股(gu)(gu)(gu)上(shang)(shang)市公司(si)股(gu)(gu)(gu)權(quan)激(ji)勵(li)工(gong)(gong)作(zuo)(zuo)(zuo)而言,國(guo)(guo)(guo)資(zi)委(wei)(wei)成立以(yi)來(lai),根據黨中(zhong)(zhong)(zhong)(zhong)(zhong)央(yang)(yang)、國(guo)(guo)(guo)務院確立的生產要(yao)素按貢獻(xian)參與分配(pei)的原則,從(cong)適應(ying)資(zi)本市場發(fa)(fa)(fa)展(zhan)和企(qi)業(ye)(ye)(ye)改制(zhi)(zhi)(zhi)上(shang)(shang)市的需要(yao)出(chu)發(fa)(fa)(fa),按照履行(xing)出(chu)資(zi)人職責(ze)的要(yao)求,積(ji)極探索國(guo)(guo)(guo)有(you)控(kong)股(gu)(gu)(gu)上(shang)(shang)市公司(si)實(shi)施(shi)(shi)股(gu)(gu)(gu)權(quan)激(ji)勵(li)的有(you)效(xiao)機制(zhi)(zhi)(zhi),在實(shi)踐中(zhong)(zhong)(zhong)(zhong)(zhong)不斷完善辦法,尤其是(shi)(shi)2019年(nian)國(guo)(guo)(guo)資(zi)委(wei)(wei)制(zhi)(zhi)(zhi)定(ding)出(chu)臺《關于進一步做好中(zhong)(zhong)(zhong)(zhong)(zhong)央(yang)(yang)企(qi)業(ye)(ye)(ye)控(kong)股(gu)(gu)(gu)上(shang)(shang)市公司(si)股(gu)(gu)(gu)權(quan)激(ji)勵(li)工(gong)(gong)作(zuo)(zuo)(zuo)有(you)關事項(xiang)(xiang)的通(tong)知》(國(guo)(guo)(guo)資(zi)發(fa)(fa)(fa)考分規(gui)(gui)〔2019〕102號(hao)),標志著(zhu)(zhu)中(zhong)(zhong)(zhong)(zhong)(zhong)央(yang)(yang)企(qi)業(ye)(ye)(ye)控(kong)股(gu)(gu)(gu)上(shang)(shang)市公司(si)實(shi)施(shi)(shi)股(gu)(gu)(gu)權(quan)激(ji)勵(li)的政(zheng)策(ce)體系已經(jing)基本定(ding)型。當前(qian)(qian)的重點(dian)任務是(shi)(shi)把工(gong)(gong)作(zuo)(zuo)(zuo)著(zhu)(zhu)力點(dian)從(cong)夯(hang)基壘臺、立梁(liang)架柱轉到系統集成、協同高效(xiao)、落實(shi)落地上(shang)(shang)來(lai),推(tui)動(dong)這項(xiang)(xiang)制(zhi)(zhi)(zhi)度更加(jia)成熟更加(jia)定(ding)型。出(chu)臺《指引》就是(shi)(shi)把國(guo)(guo)(guo)有(you)控(kong)股(gu)(gu)(gu)上(shang)(shang)市公司(si)實(shi)施(shi)(shi)股(gu)(gu)(gu)權(quan)激(ji)勵(li)的相關政(zheng)策(ce)規(gui)(gui)定(ding)和前(qian)(qian)期中(zhong)(zhong)(zhong)(zhong)(zhong)央(yang)(yang)企(qi)業(ye)(ye)(ye)開展(zhan)此項(xiang)(xiang)工(gong)(gong)作(zuo)(zuo)(zuo)的實(shi)踐經(jing)驗進行(xing)了匯總梳理,著(zhu)(zhu)力從(cong)微觀(guan)操作(zuo)(zuo)(zuo)層面(mian)細化對中(zhong)(zhong)(zhong)(zhong)(zhong)央(yang)(yang)企(qi)業(ye)(ye)(ye)的工(gong)(gong)作(zuo)(zuo)(zuo)指導(dao),進而推(tui)動(dong)中(zhong)(zhong)(zhong)(zhong)(zhong)央(yang)(yang)企(qi)業(ye)(ye)(ye)擴大控(kong)股(gu)(gu)(gu)上(shang)(shang)市公司(si)實(shi)施(shi)(shi)股(gu)(gu)(gu)權(quan)激(ji)勵(li)的覆蓋面(mian),構建科學、規(gui)(gui)范的中(zhong)(zhong)(zhong)(zhong)(zhong)長期激(ji)勵(li)機制(zhi)(zhi)(zhi),推(tui)動(dong)企(qi)業(ye)(ye)(ye)高質量發(fa)(fa)(fa)展(zhan)。
問:《指引》具體包含哪些方面內容?
答(da):《指引》共九十七(qi)條,近兩萬字,根據(ju)中(zhong)央企(qi)業(ye)控股(gu)上(shang)市公(gong)司(si)實(shi)(shi)施(shi)股(gu)權(quan)(quan)(quan)激(ji)(ji)勵(li)的(de)各(ge)方(fang)(fang)(fang)面(mian)政策規(gui)定(ding),從(cong)股(gu)權(quan)(quan)(quan)激(ji)(ji)勵(li)計(ji)劃(hua)的(de)內(nei)容要點、考核(he)體系、管(guan)理(li)辦(ban)法和(he)實(shi)(shi)施(shi)程序等(deng)(deng)方(fang)(fang)(fang)面(mian),進(jin)行(xing)了政策梳(shu)理(li)、系統集(ji)成,對(dui)(dui)(dui)上(shang)市公(gong)司(si)股(gu)權(quan)(quan)(quan)激(ji)(ji)勵(li)實(shi)(shi)踐規(gui)范(fan)逐一(yi)明確(que)(que)闡(chan)釋(shi)。一(yi)是(shi)重(zhong)(zhong)點介紹(shao)實(shi)(shi)施(shi)股(gu)權(quan)(quan)(quan)激(ji)(ji)勵(li)的(de)政策依(yi)據(ju)、適(shi)用范(fan)圍(wei),實(shi)(shi)施(shi)股(gu)權(quan)(quan)(quan)激(ji)(ji)勵(li)的(de)條件、原則及相關要求。二是(shi)對(dui)(dui)(dui)股(gu)權(quan)(quan)(quan)激(ji)(ji)勵(li)計(ji)劃(hua)中(zhong)的(de)激(ji)(ji)勵(li)方(fang)(fang)(fang)式、激(ji)(ji)勵(li)對(dui)(dui)(dui)象范(fan)圍(wei)、權(quan)(quan)(quan)益授(shou)(shou)予數量、授(shou)(shou)予價(jia)格、時(shi)間安排、激(ji)(ji)勵(li)收益等(deng)(deng)的(de)內(nei)涵要義、政策規(gui)定(ding)、操作規(gui)范(fan)進(jin)行(xing)詳細闡(chan)釋(shi)。三是(shi)從(cong)強化公(gong)司(si)業(ye)績(ji)考核(he)、健全激(ji)(ji)勵(li)對(dui)(dui)(dui)象績(ji)效考核(he)評價(jia)、科創板(ban)上(shang)市公(gong)司(si)實(shi)(shi)施(shi)股(gu)權(quan)(quan)(quan)激(ji)(ji)勵(li)的(de)考核(he)等(deng)(deng)方(fang)(fang)(fang)面(mian)明確(que)(que)出資人的(de)導向和(he)要求,引導企(qi)業(ye)注重(zhong)(zhong)價(jia)值提升,實(shi)(shi)現高質量發展。四是(shi)將規(gui)范(fan)股(gu)權(quan)(quan)(quan)激(ji)(ji)勵(li)管(guan)理(li)辦(ban)法、責(ze)任追究與特殊情形處理(li)、財務處理(li)和(he)稅(shui)收規(gui)定(ding)等(deng)(deng)方(fang)(fang)(fang)面(mian)的(de)要求和(he)規(gui)定(ding)進(jin)行(xing)了梳(shu)理(li)明確(que)(que)。五是(shi)歸(gui)納各(ge)級國有股(gu)東的(de)職責(ze),對(dui)(dui)(dui)股(gu)權(quan)(quan)(quan)激(ji)(ji)勵(li)計(ji)劃(hua)的(de)決(jue)策、申報、實(shi)(shi)施(shi)、終止等(deng)(deng)程序事項予以梳(shu)理(li),并重(zhong)(zhong)申監督管(guan)理(li)、信息披露等(deng)(deng)要求。
問:《指引》在政策要求上有什么新特點?
答(da)(da):《指引》主要有三個方面的(de)(de)(de)(de)特(te)點(dian):一(yi)是(shi)政策(ce)(ce)上(shang)(shang)保(bao)持銜(xian)接一(yi)致。《指引》是(shi)在證(zheng)券監管(guan)部門(men)相(xiang)關規(gui)定(ding)框架下制(zhi)定(ding)的(de)(de)(de)(de),與(yu)國資委(wei)此(ci)前出臺的(de)(de)(de)(de)國有控股(gu)上(shang)(shang)市公(gong)司實(shi)(shi)施(shi)股(gu)權(quan)激(ji)勵(li)的(de)(de)(de)(de)政策(ce)(ce)規(gui)定(ding)也是(shi)銜(xian)接一(yi)致的(de)(de)(de)(de),這(zhe)次提出的(de)(de)(de)(de)都(dou)是(shi)具(ju)(ju)體操作上(shang)(shang)的(de)(de)(de)(de)細化(hua)(hua)規(gui)程(cheng)。二(er)是(shi)清晰界(jie)定(ding)責(ze)(ze)任與(yu)程(cheng)序。國資委(wei)落實(shi)(shi)以管(guan)資本為(wei)主職能轉變要求,股(gu)權(quan)激(ji)勵(li)具(ju)(ju)體實(shi)(shi)施(shi)方案的(de)(de)(de)(de)審(shen)核責(ze)(ze)任在中央(yang)企(qi)(qi)(qi)業(ye)(ye)集團公(gong)司,《指引》通過細化(hua)(hua)完善(shan)操作層(ceng)面的(de)(de)(de)(de)指導,幫助中央(yang)企(qi)(qi)(qi)業(ye)(ye)更(geng)好地(di)擔負起股(gu)權(quan)激(ji)勵(li)主體責(ze)(ze)任,保(bao)障(zhang)該(gai)項工作職責(ze)(ze)中央(yang)企(qi)(qi)(qi)業(ye)(ye)接得(de)(de)住、管(guan)得(de)(de)好、落得(de)(de)實(shi)(shi)。三是(shi)重點(dian)回答(da)(da)了操作問題(ti)。此(ci)前我們出臺的(de)(de)(de)(de)股(gu)權(quan)激(ji)勵(li)相(xiang)關政策(ce)(ce)是(shi)框架性、原則性的(de)(de)(de)(de),中央(yang)企(qi)(qi)(qi)業(ye)(ye)在實(shi)(shi)施(shi)中遇(yu)到了一(yi)些具(ju)(ju)體情況,《指引》在總結經驗(yan)的(de)(de)(de)(de)基礎上(shang)(shang),明(ming)確了可(ke)操作的(de)(de)(de)(de)方法,在政策(ce)(ce)框架內(nei)給予闡釋和細化(hua)(hua),有針(zhen)對性地(di)幫助企(qi)(qi)(qi)業(ye)(ye)在具(ju)(ju)體實(shi)(shi)踐操作上(shang)(shang)與(yu)政策(ce)(ce)規(gui)定(ding)良好對接。
問:近些年中央企業控股上市公司實施股權激勵有哪些值得總結和提煉的有效經驗?
答:國(guo)資委和中央(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)在上市(shi)(shi)公(gong)司股(gu)(gu)(gu)權激(ji)(ji)(ji)勵(li)(li)(li)(li)實(shi)踐(jian)(jian)方面共同(tong)(tong)努力、積(ji)極(ji)探索(suo),結(jie)合(he)國(guo)有企(qi)(qi)(qi)業(ye)(ye)(ye)實(shi)際(ji)情(qing)(qing)況(kuang)和境內(nei)(nei)外市(shi)(shi)場(chang)實(shi)踐(jian)(jian)經(jing)驗,逐(zhu)步(bu)(bu)形成了(le)出資人指(zhi)導下的(de)(de)適合(he)中國(guo)國(guo)企(qi)(qi)(qi)特點(dian)的(de)(de)股(gu)(gu)(gu)權激(ji)(ji)(ji)勵(li)(li)(li)(li)機制(zhi),有效(xiao)(xiao)(xiao)發(fa)(fa)揮了(le)股(gu)(gu)(gu)權激(ji)(ji)(ji)勵(li)(li)(li)(li)作(zuo)(zuo)為(wei)市(shi)(shi)場(chang)化長期激(ji)(ji)(ji)勵(li)(li)(li)(li)工(gong)具(ju)的(de)(de)積(ji)極(ji)作(zuo)(zuo)用(yong),一(yi)些(xie)好的(de)(de)做法(fa)已逐(zhu)漸被市(shi)(shi)場(chang)普遍采納。概括起(qi)(qi)來,中央(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)控(kong)股(gu)(gu)(gu)上市(shi)(shi)公(gong)司實(shi)施股(gu)(gu)(gu)權激(ji)(ji)(ji)勵(li)(li)(li)(li)主要(yao)有五方面好的(de)(de)做法(fa):一(yi)是(shi)(shi)激(ji)(ji)(ji)勵(li)(li)(li)(li)實(shi)施與(yu)(yu)績(ji)效(xiao)(xiao)(xiao)考核(he)(he)相(xiang)(xiang)同(tong)(tong)步(bu)(bu),要(yao)求(qiu)企(qi)(qi)(qi)業(ye)(ye)(ye)健全績(ji)效(xiao)(xiao)(xiao)考核(he)(he)體系,股(gu)(gu)(gu)權激(ji)(ji)(ji)勵(li)(li)(li)(li)的(de)(de)實(shi)施要(yao)與(yu)(yu)公(gong)司業(ye)(ye)(ye)績(ji)與(yu)(yu)激(ji)(ji)(ji)勵(li)(li)(li)(li)對(dui)(dui)象個人績(ji)效(xiao)(xiao)(xiao)考核(he)(he)相(xiang)(xiang)掛鉤,考核(he)(he)目(mu)標要(yao)有利(li)于(yu)促進(jin)企(qi)(qi)(qi)業(ye)(ye)(ye)提高價值創造水平(ping),實(shi)現持續健康發(fa)(fa)展(zhan)。二(er)是(shi)(shi)授(shou)予數量與(yu)(yu)薪(xin)酬(chou)水平(ping)相(xiang)(xiang)關(guan)聯,參照國(guo)際(ji)慣例及(ji)市(shi)(shi)場(chang)實(shi)踐(jian)(jian),統籌(chou)薪(xin)酬(chou)結(jie)構與(yu)(yu)薪(xin)酬(chou)水平(ping),股(gu)(gu)(gu)權激(ji)(ji)(ji)勵(li)(li)(li)(li)授(shou)予價值控(kong)制(zhi)在薪(xin)酬(chou)總(zong)水平(ping)的(de)(de)40%以內(nei)(nei),實(shi)現平(ping)穩規范(fan)起(qi)(qi)步(bu)(bu),但對(dui)(dui)股(gu)(gu)(gu)權激(ji)(ji)(ji)勵(li)(li)(li)(li)行(xing)權收(shou)益(yi)不再進(jin)行(xing)控(kong)制(zhi)。三(san)是(shi)(shi)激(ji)(ji)(ji)勵(li)(li)(li)(li)方式與(yu)(yu)公(gong)司特點(dian)相(xiang)(xiang)匹配,指(zhi)導上市(shi)(shi)公(gong)司根據所處行(xing)業(ye)(ye)(ye)、發(fa)(fa)展(zhan)階段等特點(dian),科學選擇(ze)激(ji)(ji)(ji)勵(li)(li)(li)(li)工(gong)具(ju),并可以結(jie)合(he)市(shi)(shi)場(chang)情(qing)(qing)況(kuang)探索(suo)創新激(ji)(ji)(ji)勵(li)(li)(li)(li)方式。四是(shi)(shi)行(xing)權安排(pai)與(yu)(yu)激(ji)(ji)(ji)勵(li)(li)(li)(li)約(yue)(yue)束相(xiang)(xiang)統籌(chou),引(yin)導企(qi)(qi)(qi)業(ye)(ye)(ye)分(fen)期實(shi)施股(gu)(gu)(gu)權激(ji)(ji)(ji)勵(li)(li)(li)(li),權益(yi)授(shou)予后至少鎖定(ding)兩年(nian),解(jie)鎖后在不低于(yu)三(san)年(nian)內(nei)(nei)分(fen)批生(sheng)效(xiao)(xiao)(xiao),體現長效(xiao)(xiao)(xiao)激(ji)(ji)(ji)勵(li)(li)(li)(li)約(yue)(yue)束。五是(shi)(shi)公(gong)司治(zhi)理與(yu)(yu)管(guan)(guan)理提升相(xiang)(xiang)協(xie)同(tong)(tong),推(tui)動企(qi)(qi)(qi)業(ye)(ye)(ye)持續完善公(gong)司治(zhi)理,不斷(duan)健全經(jing)營管(guan)(guan)理、績(ji)效(xiao)(xiao)(xiao)考核(he)(he)、勞動用(yong)工(gong)和收(shou)入分(fen)配等企(qi)(qi)(qi)業(ye)(ye)(ye)基礎管(guan)(guan)理制(zhi)度(du)。在《指(zhi)引(yin)》的(de)(de)制(zhi)訂過程中,我們對(dui)(dui)上述五方面股(gu)(gu)(gu)權激(ji)(ji)(ji)勵(li)(li)(li)(li)實(shi)踐(jian)(jian)經(jing)驗進(jin)行(xing)了(le)系統提煉,作(zuo)(zuo)為(wei)操作(zuo)(zuo)指(zhi)引(yin)幫助企(qi)(qi)(qi)業(ye)(ye)(ye)更加(jia)科學高效(xiao)(xiao)(xiao)地開展(zhan)好這項工(gong)作(zuo)(zuo)。
問:下一步,中央企業控股上市公司實施股權激勵工作將有什么考慮?
答:黨的(de)(de)十九屆四中(zhong)(zhong)全(quan)(quan)(quan)會明(ming)確提出,要(yao)健全(quan)(quan)(quan)生(sheng)產(chan)要(yao)素(su)(su)由(you)市(shi)(shi)場評價貢(gong)獻、按貢(gong)獻決定(ding)報酬的(de)(de)機制(zhi)。中(zhong)(zhong)共中(zhong)(zhong)央(yang)(yang)、國(guo)(guo)務(wu)院(yuan)(yuan)近期印(yin)(yin)發的(de)(de)《關于(yu)構建更加完善的(de)(de)要(yao)素(su)(su)市(shi)(shi)場化配(pei)置(zhi)體制(zhi)機制(zhi)的(de)(de)意見(jian)》也指出,要(yao)全(quan)(quan)(quan)面(mian)貫徹(che)落(luo)實(shi)(shi)(shi)以增加知識(shi)價值為(wei)導向的(de)(de)收入分(fen)配(pei)政策,充分(fen)尊重科(ke)(ke)研(yan)(yan)、技(ji)術(shu)、管(guan)理(li)人才,充分(fen)體現技(ji)術(shu)、知識(shi)、管(guan)理(li)、數據等要(yao)素(su)(su)的(de)(de)價值。國(guo)(guo)資(zi)委(wei)(wei)將指導中(zhong)(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)貫徹(che)落(luo)實(shi)(shi)(shi)好黨中(zhong)(zhong)央(yang)(yang)、國(guo)(guo)務(wu)院(yuan)(yuan)決策部署,把推動(dong)(dong)中(zhong)(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)控(kong)股(gu)(gu)(gu)上(shang)(shang)市(shi)(shi)公司(si)規范開(kai)展(zhan)(zhan)股(gu)(gu)(gu)權(quan)(quan)激(ji)勵(li)作(zuo)為(wei)重要(yao)舉措(cuo)。應當說,黨的(de)(de)十九大以來,中(zhong)(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)控(kong)股(gu)(gu)(gu)上(shang)(shang)市(shi)(shi)公司(si)實(shi)(shi)(shi)施股(gu)(gu)(gu)權(quan)(quan)激(ji)勵(li)的(de)(de)數量快速增長,目前(qian)已有(you)(you)53家中(zhong)(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)控(kong)股(gu)(gu)(gu)的(de)(de)119家上(shang)(shang)市(shi)(shi)公司(si)有(you)(you)效實(shi)(shi)(shi)施了股(gu)(gu)(gu)權(quan)(quan)激(ji)勵(li),取得(de)了明(ming)顯(xian)進展(zhan)(zhan),但總體上(shang)(shang)中(zhong)(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)控(kong)股(gu)(gu)(gu)境內外上(shang)(shang)市(shi)(shi)公司(si)只有(you)(you)不到30%實(shi)(shi)(shi)施了股(gu)(gu)(gu)權(quan)(quan)激(ji)勵(li),覆蓋(gai)面(mian)還有(you)(you)待提高。《指引》印(yin)(yin)發后,國(guo)(guo)資(zi)委(wei)(wei)將指導中(zhong)(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)積極履行主體責任,推動(dong)(dong)符合(he)條(tiao)件的(de)(de)控(kong)股(gu)(gu)(gu)上(shang)(shang)市(shi)(shi)公司(si)科(ke)(ke)學高效規范地(di)開(kai)展(zhan)(zhan)股(gu)(gu)(gu)權(quan)(quan)激(ji)勵(li)工作(zuo),加快建立健全(quan)(quan)(quan)覆蓋(gai)企(qi)(qi)業(ye)(ye)(ye)經營(ying)管(guan)理(li)骨(gu)干和核心(xin)科(ke)(ke)研(yan)(yan)技(ji)術(shu)人才的(de)(de)正向激(ji)勵(li)機制(zhi),充分(fen)調動(dong)(dong)各(ge)類人員積極性和創造性,推動(dong)(dong)企(qi)(qi)業(ye)(ye)(ye)實(shi)(shi)(shi)現高質(zhi)量發展(zhan)(zhan)。
