近日,國(guo)務院(yuan)國(guo)資委(wei)印發了(le)(le)《國(guo)務院(yuan)國(guo)資委(wei)授權放權清(qing)單(2019年(nian)版)》(以(yi)下簡稱《清(qing)單》)。《清(qing)單》出臺后,國(guo)務院(yuan)國(guo)資委(wei)有關負責(ze)人接受了(le)(le)記者采訪。
1.問:請(qing)簡要(yao)介紹一下《清單》的出(chu)臺背景和重(zhong)要(yao)意(yi)義。
答(da):4月(yue)19日(ri),國(guo)(guo)(guo)(guo)務(wu)院印發(fa)《改革(ge)(ge)國(guo)(guo)(guo)(guo)有(you)資本授(shou)權(quan)(quan)經營體(ti)制(zhi)(zhi)方案》(國(guo)(guo)(guo)(guo)發(fa)〔2019〕9號)明確提(ti)出分類(lei)開展授(shou)權(quan)(quan)放權(quan)(quan)等(deng)改革(ge)(ge)要求(qiu)。習近(jin)平總(zong)書記(ji)近(jin)期再次強調,國(guo)(guo)(guo)(guo)有(you)企業要加大(da)授(shou)權(quan)(quan)放權(quan)(quan),激發(fa)微觀主(zhu)體(ti)活力。制(zhi)(zhi)定《清單(dan)》是(shi)貫徹落實總(zong)書記(ji)重要講話精神、深入推進(jin)國(guo)(guo)(guo)(guo)有(you)資本授(shou)權(quan)(quan)經營體(ti)制(zhi)(zhi)改革(ge)(ge)、完(wan)善國(guo)(guo)(guo)(guo)有(you)資產管理體(ti)制(zhi)(zhi)的重要舉措,也(ye)是(shi)落實由(you)管企業向管資本轉變、依法確立國(guo)(guo)(guo)(guo)有(you)企業市場主(zhu)體(ti)地位(wei)的具體(ti)要求(qiu)。
國(guo)資委堅持“刀刃向內”、自我革命,按照精細(xi)嚴(yan)謹、穩妥(tuo)推進的(de)(de)工作要求,將激(ji)發(fa)微(wei)觀(guan)主體活力與(yu)管(guan)住管(guan)好國(guo)有(you)資本(ben)有(you)機結合,最大(da)程度(du)調動和(he)激(ji)發(fa)企業(ye)(ye)的(de)(de)積(ji)極性,重點選取了5大(da)類、35項(xiang)授權放(fang)權事(shi)項(xiang)列入(ru)《清單》,包括規劃投資與(yu)主業(ye)(ye)管(guan)理(li)(li)(8項(xiang));產權管(guan)理(li)(li)(12項(xiang));選人(ren)用(yong)人(ren)(2項(xiang));企業(ye)(ye)負責人(ren)薪酬管(guan)理(li)(li)、工資總額管(guan)理(li)(li)與(yu)中長期激(ji)勵(10項(xiang));重大(da)財務事(shi)項(xiang)管(guan)理(li)(li)(3項(xiang))等。
2.問(wen):這次授(shou)權放權清單有哪些亮點?
答:2017年(nian)國(guo)務(wu)院辦公廳轉發(fa)了(le)《國(guo)務(wu)院國(guo)資委以(yi)管(guan)資本為主推(tui)進(jin)職能轉變方案》(國(guo)辦發(fa)〔2017〕38號),提出(chu)(chu)精簡(jian)(jian)43項監(jian)管(guan)事項;2018年(nian)國(guo)資委出(chu)(chu)臺(tai)了(le)《國(guo)務(wu)院國(guo)資委出(chu)(chu)資人監(jian)管(guan)權(quan)力和(he)責(ze)(ze)任清(qing)單(試行)》(國(guo)資發(fa)法規(gui)〔2018〕25號,以(yi)下(xia)簡(jian)(jian)稱《權(quan)責(ze)(ze)清(qing)單》),明確了(le)9大類(lei)36項權(quan)責(ze)(ze)事項。與(yu)以(yi)往工作相比(bi),今(jin)年(nian)出(chu)(chu)臺(tai)的授權(quan)放權(quan)清(qing)單主要亮點可以(yi)概括為“3個(ge)更加(jia)”:
一(yi)是更(geng)加明(ming)確(que)相關條件(jian)和程序,確(que)保(bao)(bao)授權(quan)(quan)放(fang)權(quan)(quan)落(luo)實落(luo)地。《清單(dan)》的每項授權(quan)(quan)都(dou)務(wu)求條件(jian)明(ming)確(que)、程序細化、權(quan)(quan)責清晰,確(que)保(bao)(bao)授權(quan)(quan)放(fang)權(quan)(quan)在(zai)實際(ji)工作中(zhong)能夠操作,切實把授權(quan)(quan)放(fang)權(quan)(quan)真正落(luo)下去(qu)。比如,《清單(dan)》全面取消(xiao)了事前(qian)備(bei)(bei)案(an)的程序,要求在(zai)實踐過程中(zhong),除干部(bu)管理外,不能再有“事前(qian)備(bei)(bei)案(an)”“事前(qian)溝通(tong)一(yi)致”“備(bei)(bei)案(an)同(tong)意后(hou)實施”的情形。
二是(shi)更加聚(ju)焦企(qi)業(ye)的(de)重點關切,確保授權放權激發活(huo)(huo)力。對于(yu)具(ju)體授權放權事(shi)項,我(wo)們(men)事(shi)先廣泛聽取(qu)了(le)(le)企(qi)業(ye)意(yi)見(jian),確保我(wo)們(men)《清單》能夠直接回應企(qi)業(ye)的(de)訴(su)求,增強企(qi)業(ye)的(de)獲得感,進一步激發微觀主(zhu)體活(huo)(huo)力和內生動力。需要(yao)說明的(de)是(shi),一些權利事(shi)項雖在其他文件中已有體現,但《清單》作(zuo)了(le)(le)強化(hua),有的(de)在授權對象上進行(xing)了(le)(le)拓(tuo)展,有的(de)在程序方面予以細化(hua),有的(de)體現了(le)(le)鮮(xian)明的(de)支持態度,便(bian)于(yu)企(qi)業(ye)落(luo)實。
三是(shi)更加強(qiang)化分類(lei)授(shou)(shou)權(quan)(quan)(quan)(quan),確保授(shou)(shou)權(quan)(quan)(quan)(quan)放權(quan)(quan)(quan)(quan)精準到位(wei)。《清單》提出的授(shou)(shou)權(quan)(quan)(quan)(quan)放權(quan)(quan)(quan)(quan)事項(xiang)(xiang),并(bing)不是(shi)“一攬(lan)子(zi)”“一刀切”地直接授(shou)(shou)予各(ge)(ge)中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye),而是(shi)根據各(ge)(ge)中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)的功能定位(wei)、發展階段、行(xing)業(ye)(ye)(ye)特點(dian)等(deng)實際,將(jiang)授(shou)(shou)權(quan)(quan)(quan)(quan)事項(xiang)(xiang)分為四種類(lei)型,包括適用(yong)于(yu)各(ge)(ge)中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)的授(shou)(shou)權(quan)(quan)(quan)(quan)放權(quan)(quan)(quan)(quan)事項(xiang)(xiang)21項(xiang)(xiang);適用(yong)于(yu)各(ge)(ge)類(lei)綜(zong)合改革試(shi)點(dian)企(qi)(qi)(qi)業(ye)(ye)(ye)(含國有(you)資本(ben)(ben)投資運(yun)(yun)營公司試(shi)點(dian)、創建(jian)世界(jie)一流示范企(qi)(qi)(qi)業(ye)(ye)(ye)、東(dong)北地區中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)綜(zong)合改革試(shi)點(dian)、落(luo)實董事會職權(quan)(quan)(quan)(quan)試(shi)點(dian)企(qi)(qi)(qi)業(ye)(ye)(ye)等(deng))的授(shou)(shou)權(quan)(quan)(quan)(quan)放權(quan)(quan)(quan)(quan)事項(xiang)(xiang)4項(xiang)(xiang);適用(yong)于(yu)國有(you)資本(ben)(ben)投資、運(yun)(yun)營公司試(shi)點(dian)企(qi)(qi)(qi)業(ye)(ye)(ye)的授(shou)(shou)權(quan)(quan)(quan)(quan)放權(quan)(quan)(quan)(quan)事項(xiang)(xiang)6項(xiang)(xiang);適用(yong)于(yu)少數特定企(qi)(qi)(qi)業(ye)(ye)(ye)的授(shou)(shou)權(quan)(quan)(quan)(quan)放權(quan)(quan)(quan)(quan)事項(xiang)(xiang)4項(xiang)(xiang)。
3.問:《清(qing)單(dan)》的出臺(tai)對(dui)國資委的職責定位有何影響?《清(qing)單(dan)》與出資人權力責任清(qing)單(dan)是什(shen)么關系?
答:我們在制(zhi)定《清單》的(de)(de)(de)(de)過(guo)程(cheng)中,始終牢牢把握(wo)國(guo)資委的(de)(de)(de)(de)職(zhi)責(ze)定位。國(guo)資委根據國(guo)務院授(shou)權(quan),代表國(guo)家(jia)對中央企(qi)業(ye)履(lv)行(xing)出(chu)資人職(zhi)責(ze),同(tong)時也承擔著專司(si)國(guo)有(you)資產監管(guan)職(zhi)責(ze)和(he)負責(ze)中央企(qi)業(ye)黨的(de)(de)(de)(de)建設工作職(zhi)責(ze)。根據中央關于國(guo)有(you)資本(ben)授(shou)權(quan)經營體制(zhi)改(gai)革(ge)的(de)(de)(de)(de)要(yao)(yao)求,開(kai)展(zhan)授(shou)權(quan)放權(quan),就是要(yao)(yao)最大限度(du)減少(shao)對企(qi)業(ye)生產經營活動的(de)(de)(de)(de)直接干預,更多依靠公司(si)治理結構(gou)開(kai)展(zhan)工作,以管(guan)資本(ben)為主履(lv)行(xing)好出(chu)資人職(zhi)責(ze)。同(tong)時,還(huan)要(yao)(yao)落(luo)實授(shou)權(quan)和(he)監管(guan)相(xiang)結合的(de)(de)(de)(de)要(yao)(yao)求,并確(que)保將(jiang)加強黨的(de)(de)(de)(de)全面(mian)領導(dao)貫穿到改(gai)革(ge)的(de)(de)(de)(de)全過(guo)程(cheng)和(he)各方面(mian)。
《清(qing)單》中(zhong)(zhong)的事(shi)(shi)(shi)項(xiang)(xiang)(xiang)(xiang)(xiang)統稱為(wei)(wei)授(shou)權(quan)(quan)(quan)放(fang)權(quan)(quan)(quan)事(shi)(shi)(shi)項(xiang)(xiang)(xiang)(xiang)(xiang),其中(zhong)(zhong),授(shou)權(quan)(quan)(quan)事(shi)(shi)(shi)項(xiang)(xiang)(xiang)(xiang)(xiang)是將(jiang)《權(quan)(quan)(quan)責(ze)清(qing)單》中(zhong)(zhong)的出(chu)資(zi)(zi)人權(quan)(quan)(quan)利授(shou)予(yu)企業董事(shi)(shi)(shi)會或(huo)企業集團行使,事(shi)(shi)(shi)項(xiang)(xiang)(xiang)(xiang)(xiang)前加(jia)上(shang)(shang)“授(shou)權(quan)(quan)(quan)”的表述。這(zhe)些權(quan)(quan)(quan)利仍屬于(yu)(yu)出(chu)資(zi)(zi)人的權(quan)(quan)(quan)利,出(chu)資(zi)(zi)人對其可授(shou)可收(shou)、動態調整。放(fang)權(quan)(quan)(quan)事(shi)(shi)(shi)項(xiang)(xiang)(xiang)(xiang)(xiang)是將(jiang)應由企業依法自主決策的事(shi)(shi)(shi)項(xiang)(xiang)(xiang)(xiang)(xiang)、延伸到子企業的事(shi)(shi)(shi)項(xiang)(xiang)(xiang)(xiang)(xiang),下放(fang)或(huo)歸位于(yu)(yu)企業,事(shi)(shi)(shi)項(xiang)(xiang)(xiang)(xiang)(xiang)前加(jia)上(shang)(shang)“支持”的表述或(huo)直(zhi)接對事(shi)(shi)(shi)項(xiang)(xiang)(xiang)(xiang)(xiang)進行闡(chan)述。放(fang)權(quan)(quan)(quan)事(shi)(shi)(shi)項(xiang)(xiang)(xiang)(xiang)(xiang)是出(chu)資(zi)(zi)人下放(fang)或(huo)取消(xiao)的權(quan)(quan)(quan)利,不列入《權(quan)(quan)(quan)責(ze)清(qing)單》。為(wei)(wei)使文(wen)件之(zhi)間更好地銜接,《權(quan)(quan)(quan)責(ze)清(qing)單》將(jiang)做出(chu)相應調整。
4.問:在加大授(shou)權放權力度的同時(shi),如何確保國(guo)有資產不流失?授(shou)權放權事項是(shi)否會進行(xing)動(dong)態調整?
答(da):《改革國(guo)(guo)有(you)(you)資(zi)本授權經營體制(zhi)方案(an)》明確要(yao)求(qiu),“該放的放權到(dao)位(wei),該管(guan)(guan)(guan)的管(guan)(guan)(guan)住(zhu)管(guan)(guan)(guan)好(hao)”。在授權放權的同時,國(guo)(guo)資(zi)委將著力(li)強(qiang)化監(jian)(jian)(jian)(jian)督監(jian)(jian)(jian)(jian)管(guan)(guan)(guan),加(jia)大事中事后監(jian)(jian)(jian)(jian)管(guan)(guan)(guan)力(li)度(du),加(jia)快推(tui)進(jin)信息化建(jian)設和持續完(wan)善實時在線的國(guo)(guo)資(zi)監(jian)(jian)(jian)(jian)管(guan)(guan)(guan)系統(tong),強(qiang)化對“三重一大”決(jue)策等重大關(guan)鍵事項(xiang)的監(jian)(jian)(jian)(jian)督監(jian)(jian)(jian)(jian)管(guan)(guan)(guan)。要(yao)建(jian)立并(bing)嚴(yan)格執(zhi)行(xing)上下(xia)貫通的責任(ren)追(zhui)究機制(zhi),切(qie)實維護(hu)國(guo)(guo)有(you)(you)資(zi)產(chan)安全,堅決(jue)防止國(guo)(guo)有(you)(you)資(zi)產(chan)流失,確保授權與監(jian)(jian)(jian)(jian)管(guan)(guan)(guan)相(xiang)結(jie)合(he)、放活與管(guan)(guan)(guan)好(hao)相(xiang)統(tong)一。
《清單》的(de)(de)出臺標志(zhi)著(zhu)落實(shi)國(guo)有(you)資本授(shou)權(quan)(quan)經(jing)營體制改革(ge)邁出了重要步(bu)(bu)伐,但分類開展授(shou)權(quan)(quan)放(fang)權(quan)(quan)工(gong)作本身也是(shi)一個持續(xu)推進、動(dong)態調整、逐(zhu)步(bu)(bu)深(shen)化的(de)(de)過(guo)程。國(guo)資委將加強跟蹤督導,定期評估(gu)授(shou)權(quan)(quan)放(fang)權(quan)(quan)的(de)(de)執行(xing)情(qing)況和實(shi)施(shi)效(xiao)果,采取擴大(da)(da)、調整或收回(hui)等措施(shi)動(dong)態調整授(shou)權(quan)(quan)事項和授(shou)權(quan)(quan)范(fan)圍。對(dui)于獲得授(shou)權(quan)(quan)但未能規范(fan)行(xing)權(quan)(quan)或出現重大(da)(da)問題的(de)(de)企業,國(guo)資委將督促企業做出整改,根(gen)據情(qing)況收回(hui)相應的(de)(de)權(quan)(quan)利,定期對(dui)《清單》內容進行(xing)更新,不斷提高(gao)針對(dui)性和有(you)效(xiao)性。
5.問:開展授權放權對(dui)企(qi)業有沒有要求?如何操(cao)作落(luo)地?
答(da):按(an)照權(quan)(quan)責(ze)對等的原(yuan)則,加大(da)授(shou)權(quan)(quan)放權(quan)(quan),意味(wei)著賦予中(zhong)央企業(ye)更(geng)(geng)大(da)的責(ze)任,意味(wei)著對企業(ye)加強(qiang)行權(quan)(quan)能(neng)力建設、自我約束(shu)、規(gui)范運行提出(chu)了新的更(geng)(geng)高要求。我們要求各企業(ye)堅持中(zhong)國特色現代國有企業(ye)制(zhi)(zhi)度(du),把加強(qiang)黨的領導和完(wan)(wan)善公司治理(li)(li)統一起來,加快形成有效制(zhi)(zhi)衡(heng)的公司法人治理(li)(li)結構、靈活高效的市場化經營機制(zhi)(zhi)。要不斷(duan)夯實管(guan)理(li)(li)基礎(chu),優(you)化集團管(guan)控,深化企業(ye)內(nei)部人事、勞動、分配三項制(zhi)(zhi)度(du)改革(ge),健全完(wan)(wan)善風險、內(nei)控和合規(gui)體系,確保各項授(shou)權(quan)(quan)放權(quan)(quan)接得住、行得穩。
改革的(de)(de)(de)關(guan)鍵在抓落實。《清單》的(de)(de)(de)授(shou)權(quan)放權(quan)事項已(yi)經明確(que),各企(qi)業不(bu)能抱(bao)有(you)(you)“有(you)(you)了(le)政策(ce)等細(xi)則,等了(le)細(xi)則要(yao)(yao)(yao)支持”態度,要(yao)(yao)(yao)切實增強改革的(de)(de)(de)主(zhu)(zhu)動性(xing)、自覺(jue)性(xing),把(ba)這項政策(ce)用足(zu)用好。需要(yao)(yao)(yao)強調的(de)(de)(de)是,授(shou)權(quan)放權(quan)不(bu)能只(zhi)停留在企(qi)業集團總部,而要(yao)(yao)(yao)做到“層(ceng)層(ceng)松(song)綁(bang)”,把(ba)授(shou)權(quan)放權(quan)落實到各級(ji)子企(qi)業或管(guan)理主(zhu)(zhu)體上,全面激(ji)發微觀(guan)主(zhu)(zhu)體活力。
6.問(wen):近年來(lai),各地國(guo)資(zi)監(jian)(jian)管機構都在(zai)開展授權(quan)(quan)放權(quan)(quan),請問(wen)這(zhe)次(ci)國(guo)務院國(guo)資(zi)委出臺(tai)授權(quan)(quan)放權(quan)(quan)清單,對(dui)地方國(guo)資(zi)監(jian)(jian)管機構相(xiang)關工作有哪些指導意義?
答:國(guo)(guo)(guo)(guo)(guo)務院(yuan)國(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)委依法對地(di)方(fang)(fang)(fang)國(guo)(guo)(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)產管(guan)理工(gong)作(zuo)負有(you)(you)指導和(he)(he)監(jian)督的(de)(de)職責。《清(qing)(qing)單》的(de)(de)授權(quan)(quan)(quan)(quan)放權(quan)(quan)(quan)(quan)對象,主要(yao)針對國(guo)(guo)(guo)(guo)(guo)務院(yuan)國(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)委監(jian)管(guan)的(de)(de)中(zhong)央企業(ye)。近年來,各地(di)方(fang)(fang)(fang)國(guo)(guo)(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)產監(jian)督管(guan)理機構出臺相關(guan)政策和(he)(he)清(qing)(qing)單,加大授權(quan)(quan)(quan)(quan)放權(quan)(quan)(quan)(quan),取得了(le)積(ji)極(ji)成(cheng)(cheng)效(xiao),形成(cheng)(cheng)了(le)一(yi)些各具特色的(de)(de)做(zuo)法。下一(yi)步,我們將指導各地(di)方(fang)(fang)(fang)國(guo)(guo)(guo)(guo)(guo)資(zi)(zi)(zi)委按照(zhao)國(guo)(guo)(guo)(guo)(guo)務院(yuan)9號文要(yao)求,結合實際推進(jin)本地(di)區(qu)國(guo)(guo)(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)本授權(quan)(quan)(quan)(quan)經營(ying)體(ti)制改革(ge)和(he)(he)開(kai)展授權(quan)(quan)(quan)(quan)放權(quan)(quan)(quan)(quan)工(gong)作(zuo),將已明確取消、下放的(de)(de)監(jian)管(guan)事項(xiang)真(zhen)正落實到位,并(bing)進(jin)一(yi)步授權(quan)(quan)(quan)(quan)、放權(quan)(quan)(quan)(quan),賦(fu)予企業(ye)更多自主權(quan)(quan)(quan)(quan)。我們將加強指導督促(cu),使授權(quan)(quan)(quan)(quan)放權(quan)(quan)(quan)(quan)工(gong)作(zuo)在(zai)中(zhong)央企業(ye)和(he)(he)地(di)方(fang)(fang)(fang)企業(ye)有(you)(you)序推進(jin)、全面落實。
