近日,國務院(yuan)國資委發布(bu)了《關(guan)(guan)于(yu)印(yin)發<中央企(qi)業控股上市公司實施股權激勵工作指引(yin)(yin)>的(de)通知》(國資考分〔2020〕178號,以下簡(jian)稱《指引(yin)(yin)》)。《指引(yin)(yin)》出臺后,國務院(yuan)國資委有關(guan)(guan)負責人接受了記(ji)者采訪。
問:請介紹一下出臺《指引》的背景。
答:黨(dang)的(de)(de)(de)(de)十八屆三中(zhong)(zhong)(zhong)(zhong)全會(hui)以(yi)來,國(guo)(guo)(guo)資(zi)(zi)委以(yi)習近平(ping)新時代中(zhong)(zhong)(zhong)(zhong)國(guo)(guo)(guo)特色社(she)會(hui)主義思想為(wei)指(zhi)導(dao),認真貫徹落(luo)(luo)實(shi)(shi)黨(dang)中(zhong)(zhong)(zhong)(zhong)央(yang)、國(guo)(guo)(guo)務(wu)院各項(xiang)(xiang)決策(ce)部署,扎實(shi)(shi)推(tui)(tui)進(jin)(jin)(jin)國(guo)(guo)(guo)有企(qi)(qi)(qi)(qi)業(ye)(ye)改革(ge)各項(xiang)(xiang)工(gong)作(zuo)(zuo)。目前(qian)國(guo)(guo)(guo)有企(qi)(qi)(qi)(qi)業(ye)(ye)改革(ge)的(de)(de)(de)(de)“1+N”文(wen)件體系已(yi)經(jing)基本定型(xing)(xing),當(dang)(dang)前(qian)制(zhi)(zhi)定政(zheng)策(ce)的(de)(de)(de)(de)重點是具體的(de)(de)(de)(de)操作(zuo)(zuo)規(gui)程。就中(zhong)(zhong)(zhong)(zhong)央(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)控(kong)(kong)股上(shang)(shang)(shang)(shang)市公(gong)司(si)股權(quan)(quan)激勵工(gong)作(zuo)(zuo)而言,國(guo)(guo)(guo)資(zi)(zi)委成(cheng)立(li)以(yi)來,根(gen)據黨(dang)中(zhong)(zhong)(zhong)(zhong)央(yang)、國(guo)(guo)(guo)務(wu)院確立(li)的(de)(de)(de)(de)生(sheng)產要(yao)(yao)素按貢(gong)獻參與分(fen)配的(de)(de)(de)(de)原則,從適應資(zi)(zi)本市場發展(zhan)和(he)(he)企(qi)(qi)(qi)(qi)業(ye)(ye)改制(zhi)(zhi)上(shang)(shang)(shang)(shang)市的(de)(de)(de)(de)需要(yao)(yao)出(chu)發,按照履(lv)行出(chu)資(zi)(zi)人職責的(de)(de)(de)(de)要(yao)(yao)求,積極探索國(guo)(guo)(guo)有控(kong)(kong)股上(shang)(shang)(shang)(shang)市公(gong)司(si)實(shi)(shi)施股權(quan)(quan)激勵的(de)(de)(de)(de)有效(xiao)機制(zhi)(zhi),在實(shi)(shi)踐中(zhong)(zhong)(zhong)(zhong)不斷(duan)完善辦法,尤其是2019年國(guo)(guo)(guo)資(zi)(zi)委制(zhi)(zhi)定出(chu)臺(tai)《關(guan)(guan)于進(jin)(jin)(jin)一步(bu)做好中(zhong)(zhong)(zhong)(zhong)央(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)控(kong)(kong)股上(shang)(shang)(shang)(shang)市公(gong)司(si)股權(quan)(quan)激勵工(gong)作(zuo)(zuo)有關(guan)(guan)事項(xiang)(xiang)的(de)(de)(de)(de)通知》(國(guo)(guo)(guo)資(zi)(zi)發考分(fen)規(gui)〔2019〕102號),標志著中(zhong)(zhong)(zhong)(zhong)央(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)控(kong)(kong)股上(shang)(shang)(shang)(shang)市公(gong)司(si)實(shi)(shi)施股權(quan)(quan)激勵的(de)(de)(de)(de)政(zheng)策(ce)體系已(yi)經(jing)基本定型(xing)(xing)。當(dang)(dang)前(qian)的(de)(de)(de)(de)重點任務(wu)是把工(gong)作(zuo)(zuo)著力點從夯基壘臺(tai)、立(li)梁架(jia)柱轉到(dao)系統(tong)集成(cheng)、協同高(gao)效(xiao)、落(luo)(luo)實(shi)(shi)落(luo)(luo)地上(shang)(shang)(shang)(shang)來,推(tui)(tui)動(dong)這項(xiang)(xiang)制(zhi)(zhi)度(du)更加成(cheng)熟更加定型(xing)(xing)。出(chu)臺(tai)《指(zhi)引》就是把國(guo)(guo)(guo)有控(kong)(kong)股上(shang)(shang)(shang)(shang)市公(gong)司(si)實(shi)(shi)施股權(quan)(quan)激勵的(de)(de)(de)(de)相(xiang)關(guan)(guan)政(zheng)策(ce)規(gui)定和(he)(he)前(qian)期(qi)中(zhong)(zhong)(zhong)(zhong)央(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)開展(zhan)此項(xiang)(xiang)工(gong)作(zuo)(zuo)的(de)(de)(de)(de)實(shi)(shi)踐經(jing)驗進(jin)(jin)(jin)行了匯總梳(shu)理,著力從微觀(guan)操作(zuo)(zuo)層(ceng)面(mian)細化對中(zhong)(zhong)(zhong)(zhong)央(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)的(de)(de)(de)(de)工(gong)作(zuo)(zuo)指(zhi)導(dao),進(jin)(jin)(jin)而推(tui)(tui)動(dong)中(zhong)(zhong)(zhong)(zhong)央(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)擴大控(kong)(kong)股上(shang)(shang)(shang)(shang)市公(gong)司(si)實(shi)(shi)施股權(quan)(quan)激勵的(de)(de)(de)(de)覆蓋面(mian),構(gou)建(jian)科學、規(gui)范的(de)(de)(de)(de)中(zhong)(zhong)(zhong)(zhong)長期(qi)激勵機制(zhi)(zhi),推(tui)(tui)動(dong)企(qi)(qi)(qi)(qi)業(ye)(ye)高(gao)質量發展(zhan)。
問:《指引》具體包含哪些方面內容?
答:《指引》共(gong)九十(shi)七條,近兩萬字,根據(ju)中(zhong)(zhong)央企業控股(gu)(gu)上市(shi)公司實(shi)施(shi)股(gu)(gu)權(quan)激(ji)(ji)勵(li)(li)(li)的(de)(de)各方面(mian)(mian)政(zheng)策(ce)規(gui)定(ding)(ding),從(cong)股(gu)(gu)權(quan)激(ji)(ji)勵(li)(li)(li)計劃的(de)(de)內容要(yao)點、考核體系、管(guan)(guan)理(li)辦(ban)法(fa)和(he)(he)實(shi)施(shi)程序等(deng)方面(mian)(mian),進(jin)行了政(zheng)策(ce)梳(shu)理(li)、系統集成,對上市(shi)公司股(gu)(gu)權(quan)激(ji)(ji)勵(li)(li)(li)實(shi)踐規(gui)范(fan)(fan)(fan)逐一明確闡(chan)釋。一是(shi)重(zhong)點介(jie)紹實(shi)施(shi)股(gu)(gu)權(quan)激(ji)(ji)勵(li)(li)(li)的(de)(de)政(zheng)策(ce)依據(ju)、適用范(fan)(fan)(fan)圍,實(shi)施(shi)股(gu)(gu)權(quan)激(ji)(ji)勵(li)(li)(li)的(de)(de)條件(jian)、原則及(ji)相關要(yao)求。二是(shi)對股(gu)(gu)權(quan)激(ji)(ji)勵(li)(li)(li)計劃中(zhong)(zhong)的(de)(de)激(ji)(ji)勵(li)(li)(li)方式、激(ji)(ji)勵(li)(li)(li)對象(xiang)范(fan)(fan)(fan)圍、權(quan)益(yi)授予(yu)數量、授予(yu)價格(ge)、時(shi)間安排、激(ji)(ji)勵(li)(li)(li)收益(yi)等(deng)的(de)(de)內涵要(yao)義、政(zheng)策(ce)規(gui)定(ding)(ding)、操作(zuo)規(gui)范(fan)(fan)(fan)進(jin)行詳細闡(chan)釋。三是(shi)從(cong)強化公司業績(ji)(ji)考核、健全(quan)激(ji)(ji)勵(li)(li)(li)對象(xiang)績(ji)(ji)效(xiao)考核評價、科創板上市(shi)公司實(shi)施(shi)股(gu)(gu)權(quan)激(ji)(ji)勵(li)(li)(li)的(de)(de)考核等(deng)方面(mian)(mian)明確出資人的(de)(de)導(dao)向和(he)(he)要(yao)求,引導(dao)企業注重(zhong)價值提升,實(shi)現高質(zhi)量發展(zhan)。四是(shi)將(jiang)規(gui)范(fan)(fan)(fan)股(gu)(gu)權(quan)激(ji)(ji)勵(li)(li)(li)管(guan)(guan)理(li)辦(ban)法(fa)、責(ze)任追究與特殊情(qing)形處(chu)(chu)理(li)、財務處(chu)(chu)理(li)和(he)(he)稅收規(gui)定(ding)(ding)等(deng)方面(mian)(mian)的(de)(de)要(yao)求和(he)(he)規(gui)定(ding)(ding)進(jin)行了梳(shu)理(li)明確。五是(shi)歸納各級(ji)國(guo)有股(gu)(gu)東的(de)(de)職責(ze),對股(gu)(gu)權(quan)激(ji)(ji)勵(li)(li)(li)計劃的(de)(de)決策(ce)、申報(bao)、實(shi)施(shi)、終止等(deng)程序事項(xiang)予(yu)以梳(shu)理(li),并(bing)重(zhong)申監督管(guan)(guan)理(li)、信息披(pi)露(lu)等(deng)要(yao)求。
問:《指引》在政策要求上有什么新特點?
答:《指(zhi)(zhi)(zhi)引》主(zhu)要有(you)三個方面的(de)特點:一(yi)是(shi)(shi)(shi)政策(ce)(ce)(ce)上(shang)保持銜(xian)接(jie)一(yi)致(zhi)。《指(zhi)(zhi)(zhi)引》是(shi)(shi)(shi)在(zai)證(zheng)券(quan)監管部門相關規定框架下制定的(de),與國(guo)資(zi)(zi)委此前出臺的(de)國(guo)有(you)控股上(shang)市公司(si)實(shi)(shi)施股權(quan)激(ji)勵(li)的(de)政策(ce)(ce)(ce)規定也是(shi)(shi)(shi)銜(xian)接(jie)一(yi)致(zhi)的(de),這次提(ti)出的(de)都是(shi)(shi)(shi)具(ju)(ju)體操作上(shang)的(de)細化規程。二是(shi)(shi)(shi)清晰界定責(ze)任(ren)與程序(xu)。國(guo)資(zi)(zi)委落實(shi)(shi)以管資(zi)(zi)本為主(zhu)職能(neng)轉變要求,股權(quan)激(ji)勵(li)具(ju)(ju)體實(shi)(shi)施方案的(de)審核(he)責(ze)任(ren)在(zai)中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)集團公司(si),《指(zhi)(zhi)(zhi)引》通(tong)過細化完善操作層面的(de)指(zhi)(zhi)(zhi)導,幫(bang)助中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)更好地(di)擔負(fu)起股權(quan)激(ji)勵(li)主(zhu)體責(ze)任(ren),保障該項工作職責(ze)中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)接(jie)得(de)(de)(de)住(zhu)、管得(de)(de)(de)好、落得(de)(de)(de)實(shi)(shi)。三是(shi)(shi)(shi)重點回答了操作問題(ti)。此前我們出臺的(de)股權(quan)激(ji)勵(li)相關政策(ce)(ce)(ce)是(shi)(shi)(shi)框架性、原則性的(de),中(zhong)(zhong)央企(qi)(qi)(qi)業(ye)在(zai)實(shi)(shi)施中(zhong)(zhong)遇到了一(yi)些(xie)具(ju)(ju)體情(qing)況,《指(zhi)(zhi)(zhi)引》在(zai)總結經驗的(de)基礎(chu)上(shang),明(ming)確了可操作的(de)方法(fa),在(zai)政策(ce)(ce)(ce)框架內給予闡釋和細化,有(you)針(zhen)對(dui)性地(di)幫(bang)助企(qi)(qi)(qi)業(ye)在(zai)具(ju)(ju)體實(shi)(shi)踐(jian)操作上(shang)與政策(ce)(ce)(ce)規定良好對(dui)接(jie)。
問:近些年中央企業控股上市公司實施股權激勵有哪些值得總結和提煉的有效經驗?
答:國(guo)資(zi)委和(he)(he)中(zhong)央企(qi)業(ye)(ye)在(zai)上(shang)市(shi)公(gong)司(si)(si)股(gu)(gu)權(quan)(quan)(quan)激(ji)勵(li)(li)(li)實(shi)(shi)(shi)(shi)(shi)踐(jian)方(fang)(fang)(fang)面共同努力、積極(ji)探索,結(jie)合國(guo)有企(qi)業(ye)(ye)實(shi)(shi)(shi)(shi)(shi)際(ji)情況和(he)(he)境(jing)內(nei)外市(shi)場實(shi)(shi)(shi)(shi)(shi)踐(jian)經驗,逐(zhu)步形(xing)成了(le)出(chu)資(zi)人(ren)指導下的適合中(zhong)國(guo)國(guo)企(qi)特(te)點(dian)的股(gu)(gu)權(quan)(quan)(quan)激(ji)勵(li)(li)(li)機制(zhi),有效發揮了(le)股(gu)(gu)權(quan)(quan)(quan)激(ji)勵(li)(li)(li)作(zuo)為(wei)市(shi)場化長期激(ji)勵(li)(li)(li)工(gong)具的積極(ji)作(zuo)用,一些好(hao)的做法已逐(zhu)漸被市(shi)場普(pu)遍采(cai)納。概括起(qi)來,中(zhong)央企(qi)業(ye)(ye)控(kong)(kong)股(gu)(gu)上(shang)市(shi)公(gong)司(si)(si)實(shi)(shi)(shi)(shi)(shi)施(shi)股(gu)(gu)權(quan)(quan)(quan)激(ji)勵(li)(li)(li)主要(yao)(yao)有五(wu)方(fang)(fang)(fang)面好(hao)的做法:一是(shi)(shi)(shi)激(ji)勵(li)(li)(li)實(shi)(shi)(shi)(shi)(shi)施(shi)與(yu)(yu)(yu)績效考核(he)相(xiang)同步,要(yao)(yao)求(qiu)企(qi)業(ye)(ye)健(jian)全績效考核(he)體系,股(gu)(gu)權(quan)(quan)(quan)激(ji)勵(li)(li)(li)的實(shi)(shi)(shi)(shi)(shi)施(shi)要(yao)(yao)與(yu)(yu)(yu)公(gong)司(si)(si)業(ye)(ye)績與(yu)(yu)(yu)激(ji)勵(li)(li)(li)對象(xiang)個人(ren)績效考核(he)相(xiang)掛鉤(gou),考核(he)目標要(yao)(yao)有利于促進(jin)企(qi)業(ye)(ye)提(ti)高(gao)價(jia)值創(chuang)造水(shui)平,實(shi)(shi)(shi)(shi)(shi)現持續健(jian)康(kang)發展。二是(shi)(shi)(shi)授(shou)予數量(liang)與(yu)(yu)(yu)薪(xin)(xin)酬(chou)水(shui)平相(xiang)關聯(lian),參照國(guo)際(ji)慣例及市(shi)場實(shi)(shi)(shi)(shi)(shi)踐(jian),統籌薪(xin)(xin)酬(chou)結(jie)構與(yu)(yu)(yu)薪(xin)(xin)酬(chou)水(shui)平,股(gu)(gu)權(quan)(quan)(quan)激(ji)勵(li)(li)(li)授(shou)予價(jia)值控(kong)(kong)制(zhi)在(zai)薪(xin)(xin)酬(chou)總水(shui)平的40%以內(nei),實(shi)(shi)(shi)(shi)(shi)現平穩(wen)規(gui)范起(qi)步,但(dan)對股(gu)(gu)權(quan)(quan)(quan)激(ji)勵(li)(li)(li)行(xing)權(quan)(quan)(quan)收益不再進(jin)行(xing)控(kong)(kong)制(zhi)。三是(shi)(shi)(shi)激(ji)勵(li)(li)(li)方(fang)(fang)(fang)式與(yu)(yu)(yu)公(gong)司(si)(si)特(te)點(dian)相(xiang)匹配(pei),指導上(shang)市(shi)公(gong)司(si)(si)根據所處行(xing)業(ye)(ye)、發展階段等特(te)點(dian),科學(xue)選擇激(ji)勵(li)(li)(li)工(gong)具,并可以結(jie)合市(shi)場情況探索創(chuang)新激(ji)勵(li)(li)(li)方(fang)(fang)(fang)式。四是(shi)(shi)(shi)行(xing)權(quan)(quan)(quan)安排與(yu)(yu)(yu)激(ji)勵(li)(li)(li)約(yue)束(shu)相(xiang)統籌,引導企(qi)業(ye)(ye)分期實(shi)(shi)(shi)(shi)(shi)施(shi)股(gu)(gu)權(quan)(quan)(quan)激(ji)勵(li)(li)(li),權(quan)(quan)(quan)益授(shou)予后(hou)至少鎖定兩年(nian),解(jie)鎖后(hou)在(zai)不低于三年(nian)內(nei)分批生效,體現長效激(ji)勵(li)(li)(li)約(yue)束(shu)。五(wu)是(shi)(shi)(shi)公(gong)司(si)(si)治(zhi)理(li)與(yu)(yu)(yu)管(guan)理(li)提(ti)升相(xiang)協同,推動企(qi)業(ye)(ye)持續完善(shan)公(gong)司(si)(si)治(zhi)理(li),不斷健(jian)全經營管(guan)理(li)、績效考核(he)、勞動用工(gong)和(he)(he)收入分配(pei)等企(qi)業(ye)(ye)基礎管(guan)理(li)制(zhi)度。在(zai)《指引》的制(zhi)訂過程(cheng)中(zhong),我們對上(shang)述五(wu)方(fang)(fang)(fang)面股(gu)(gu)權(quan)(quan)(quan)激(ji)勵(li)(li)(li)實(shi)(shi)(shi)(shi)(shi)踐(jian)經驗進(jin)行(xing)了(le)系統提(ti)煉,作(zuo)為(wei)操作(zuo)指引幫助企(qi)業(ye)(ye)更加(jia)科學(xue)高(gao)效地開(kai)展好(hao)這(zhe)項工(gong)作(zuo)。
問:下一步,中央企業控股上市公司實施股權激勵工作將有什么考慮?
答(da):黨的(de)(de)十九(jiu)屆(jie)四中(zhong)(zhong)全會明(ming)確提出(chu),要(yao)健全生(sheng)產要(yao)素(su)由(you)市(shi)(shi)場評價(jia)(jia)貢獻(xian)、按貢獻(xian)決定報酬的(de)(de)機制(zhi)。中(zhong)(zhong)共中(zhong)(zhong)央(yang)(yang)(yang)、國(guo)務院近期印(yin)發的(de)(de)《關(guan)于構建更加(jia)(jia)完善的(de)(de)要(yao)素(su)市(shi)(shi)場化配置體(ti)制(zhi)機制(zhi)的(de)(de)意見》也指出(chu),要(yao)全面貫徹落實(shi)以增加(jia)(jia)知識價(jia)(jia)值為(wei)導(dao)向(xiang)的(de)(de)收入分配政策,充分尊重科研、技(ji)術、管理(li)人才,充分體(ti)現(xian)技(ji)術、知識、管理(li)、數(shu)據等(deng)要(yao)素(su)的(de)(de)價(jia)(jia)值。國(guo)資(zi)委將指導(dao)中(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)貫徹落實(shi)好黨中(zhong)(zhong)央(yang)(yang)(yang)、國(guo)務院決策部署,把推(tui)動中(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)控(kong)股(gu)(gu)(gu)(gu)(gu)上市(shi)(shi)公(gong)司規范(fan)開展(zhan)股(gu)(gu)(gu)(gu)(gu)權(quan)激勵(li)(li)作為(wei)重要(yao)舉措。應當說,黨的(de)(de)十九(jiu)大以來,中(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)控(kong)股(gu)(gu)(gu)(gu)(gu)上市(shi)(shi)公(gong)司實(shi)施股(gu)(gu)(gu)(gu)(gu)權(quan)激勵(li)(li)的(de)(de)數(shu)量快(kuai)速增長,目前已(yi)有53家中(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)控(kong)股(gu)(gu)(gu)(gu)(gu)的(de)(de)119家上市(shi)(shi)公(gong)司有效實(shi)施了股(gu)(gu)(gu)(gu)(gu)權(quan)激勵(li)(li),取(qu)得了明(ming)顯進展(zhan),但(dan)總體(ti)上中(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)控(kong)股(gu)(gu)(gu)(gu)(gu)境內(nei)外上市(shi)(shi)公(gong)司只有不(bu)到30%實(shi)施了股(gu)(gu)(gu)(gu)(gu)權(quan)激勵(li)(li),覆蓋面還有待提高(gao)。《指引(yin)》印(yin)發后,國(guo)資(zi)委將指導(dao)中(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)積(ji)(ji)極履行主體(ti)責任,推(tui)動符合條件的(de)(de)控(kong)股(gu)(gu)(gu)(gu)(gu)上市(shi)(shi)公(gong)司科學高(gao)效規范(fan)地(di)開展(zhan)股(gu)(gu)(gu)(gu)(gu)權(quan)激勵(li)(li)工作,加(jia)(jia)快(kuai)建立健全覆蓋企(qi)(qi)業(ye)經(jing)營管理(li)骨干和(he)核心科研技(ji)術人才的(de)(de)正向(xiang)激勵(li)(li)機制(zhi),充分調動各(ge)類人員積(ji)(ji)極性(xing)和(he)創造性(xing),推(tui)動企(qi)(qi)業(ye)實(shi)現(xian)高(gao)質(zhi)量發展(zhan)。
