近(jin)日(ri),國(guo)務(wu)院國(guo)資委(wei)發(fa)布了(le)(le)《關于印發(fa)<中央企業控股上市公司實施股權(quan)激勵工作指引>的通知》(國(guo)資考分〔2020〕178號,以下簡稱(cheng)《指引》)。《指引》出臺后,國(guo)務(wu)院國(guo)資委(wei)有關負(fu)責人(ren)接受了(le)(le)記者采訪。
問:請介紹一下出臺《指引》的背景。
答:黨(dang)的(de)十(shi)八屆三中(zhong)(zhong)(zhong)全會以(yi)來,國(guo)資委以(yi)習近平(ping)新(xin)時代中(zhong)(zhong)(zhong)國(guo)特色(se)社會主義思想為指導(dao),認真貫(guan)徹落(luo)實黨(dang)中(zhong)(zhong)(zhong)央、國(guo)務(wu)院(yuan)各項(xiang)決策(ce)部署(shu),扎實推進國(guo)有(you)企(qi)(qi)業(ye)改(gai)革各項(xiang)工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)。目前國(guo)有(you)企(qi)(qi)業(ye)改(gai)革的(de)“1+N”文件體(ti)系(xi)(xi)已經(jing)(jing)基(ji)本定型,當(dang)(dang)前制(zhi)定政(zheng)(zheng)策(ce)的(de)重點(dian)是(shi)具體(ti)的(de)操作(zuo)(zuo)(zuo)(zuo)規(gui)(gui)程。就中(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)控(kong)股(gu)(gu)(gu)(gu)(gu)上(shang)市(shi)公(gong)司(si)股(gu)(gu)(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)勵(li)工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)而言,國(guo)資委成(cheng)立(li)(li)以(yi)來,根據(ju)黨(dang)中(zhong)(zhong)(zhong)央、國(guo)務(wu)院(yuan)確立(li)(li)的(de)生產要(yao)素按貢獻參(can)與分(fen)配的(de)原則,從適應資本市(shi)場發展和企(qi)(qi)業(ye)改(gai)制(zhi)上(shang)市(shi)的(de)需(xu)要(yao)出發,按照履行(xing)出資人職責的(de)要(yao)求,積極探索(suo)國(guo)有(you)控(kong)股(gu)(gu)(gu)(gu)(gu)上(shang)市(shi)公(gong)司(si)實施(shi)股(gu)(gu)(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)勵(li)的(de)有(you)效機制(zhi),在實踐(jian)中(zhong)(zhong)(zhong)不(bu)斷(duan)完(wan)善辦法(fa),尤其是(shi)2019年國(guo)資委制(zhi)定出臺《關于進一步做(zuo)好中(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)控(kong)股(gu)(gu)(gu)(gu)(gu)上(shang)市(shi)公(gong)司(si)股(gu)(gu)(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)勵(li)工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)有(you)關事項(xiang)的(de)通(tong)知(zhi)》(國(guo)資發考分(fen)規(gui)(gui)〔2019〕102號(hao)),標志(zhi)著中(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)控(kong)股(gu)(gu)(gu)(gu)(gu)上(shang)市(shi)公(gong)司(si)實施(shi)股(gu)(gu)(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)勵(li)的(de)政(zheng)(zheng)策(ce)體(ti)系(xi)(xi)已經(jing)(jing)基(ji)本定型。當(dang)(dang)前的(de)重點(dian)任務(wu)是(shi)把工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)著力點(dian)從夯基(ji)壘(lei)臺、立(li)(li)梁(liang)架柱轉到系(xi)(xi)統集成(cheng)、協同高效、落(luo)實落(luo)地上(shang)來,推動(dong)這項(xiang)制(zhi)度更(geng)加(jia)成(cheng)熟更(geng)加(jia)定型。出臺《指引》就是(shi)把國(guo)有(you)控(kong)股(gu)(gu)(gu)(gu)(gu)上(shang)市(shi)公(gong)司(si)實施(shi)股(gu)(gu)(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)勵(li)的(de)相(xiang)關政(zheng)(zheng)策(ce)規(gui)(gui)定和前期(qi)中(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)開展此項(xiang)工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)的(de)實踐(jian)經(jing)(jing)驗進行(xing)了匯總梳(shu)理(li),著力從微(wei)觀操作(zuo)(zuo)(zuo)(zuo)層(ceng)面細(xi)化對(dui)中(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)的(de)工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)指導(dao),進而推動(dong)中(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)擴(kuo)大(da)控(kong)股(gu)(gu)(gu)(gu)(gu)上(shang)市(shi)公(gong)司(si)實施(shi)股(gu)(gu)(gu)(gu)(gu)權(quan)(quan)(quan)激(ji)勵(li)的(de)覆蓋面,構建科學(xue)、規(gui)(gui)范的(de)中(zhong)(zhong)(zhong)長期(qi)激(ji)勵(li)機制(zhi),推動(dong)企(qi)(qi)業(ye)高質量(liang)發展。
問:《指引》具體包含哪些方面內容?
答:《指引》共九十七條,近兩萬字(zi),根(gen)據(ju)中(zhong)央企(qi)業控股(gu)上(shang)(shang)市公(gong)(gong)司(si)實(shi)(shi)施(shi)(shi)股(gu)權(quan)(quan)激(ji)(ji)(ji)(ji)勵(li)(li)的(de)各(ge)方(fang)面政(zheng)策(ce)(ce)規(gui)定(ding)(ding),從股(gu)權(quan)(quan)激(ji)(ji)(ji)(ji)勵(li)(li)計(ji)劃(hua)的(de)內容(rong)要(yao)(yao)(yao)點、考(kao)核(he)體系(xi)、管(guan)理辦法(fa)和實(shi)(shi)施(shi)(shi)程序等(deng)(deng)方(fang)面,進(jin)行(xing)(xing)了(le)政(zheng)策(ce)(ce)梳(shu)理、系(xi)統(tong)集成,對上(shang)(shang)市公(gong)(gong)司(si)股(gu)權(quan)(quan)激(ji)(ji)(ji)(ji)勵(li)(li)實(shi)(shi)踐規(gui)范(fan)(fan)逐一(yi)明確闡釋(shi)。一(yi)是(shi)重(zhong)點介(jie)紹實(shi)(shi)施(shi)(shi)股(gu)權(quan)(quan)激(ji)(ji)(ji)(ji)勵(li)(li)的(de)政(zheng)策(ce)(ce)依據(ju)、適用范(fan)(fan)圍(wei),實(shi)(shi)施(shi)(shi)股(gu)權(quan)(quan)激(ji)(ji)(ji)(ji)勵(li)(li)的(de)條件、原則及相(xiang)關要(yao)(yao)(yao)求(qiu)。二是(shi)對股(gu)權(quan)(quan)激(ji)(ji)(ji)(ji)勵(li)(li)計(ji)劃(hua)中(zhong)的(de)激(ji)(ji)(ji)(ji)勵(li)(li)方(fang)式、激(ji)(ji)(ji)(ji)勵(li)(li)對象范(fan)(fan)圍(wei)、權(quan)(quan)益(yi)授(shou)予數量、授(shou)予價格、時間(jian)安(an)排(pai)、激(ji)(ji)(ji)(ji)勵(li)(li)收(shou)益(yi)等(deng)(deng)的(de)內涵要(yao)(yao)(yao)義、政(zheng)策(ce)(ce)規(gui)定(ding)(ding)、操作規(gui)范(fan)(fan)進(jin)行(xing)(xing)詳細闡釋(shi)。三是(shi)從強化公(gong)(gong)司(si)業績考(kao)核(he)、健全(quan)激(ji)(ji)(ji)(ji)勵(li)(li)對象績效考(kao)核(he)評價、科創板上(shang)(shang)市公(gong)(gong)司(si)實(shi)(shi)施(shi)(shi)股(gu)權(quan)(quan)激(ji)(ji)(ji)(ji)勵(li)(li)的(de)考(kao)核(he)等(deng)(deng)方(fang)面明確出資人的(de)導向和要(yao)(yao)(yao)求(qiu),引導企(qi)業注重(zhong)價值提升,實(shi)(shi)現(xian)高質量發展(zhan)。四(si)是(shi)將規(gui)范(fan)(fan)股(gu)權(quan)(quan)激(ji)(ji)(ji)(ji)勵(li)(li)管(guan)理辦法(fa)、責(ze)任追(zhui)究與特殊情(qing)形處理、財務處理和稅收(shou)規(gui)定(ding)(ding)等(deng)(deng)方(fang)面的(de)要(yao)(yao)(yao)求(qiu)和規(gui)定(ding)(ding)進(jin)行(xing)(xing)了(le)梳(shu)理明確。五(wu)是(shi)歸(gui)納各(ge)級(ji)國有股(gu)東的(de)職責(ze),對股(gu)權(quan)(quan)激(ji)(ji)(ji)(ji)勵(li)(li)計(ji)劃(hua)的(de)決策(ce)(ce)、申報、實(shi)(shi)施(shi)(shi)、終止等(deng)(deng)程序事項予以(yi)梳(shu)理,并重(zhong)申監(jian)督管(guan)理、信(xin)息披露等(deng)(deng)要(yao)(yao)(yao)求(qiu)。
問:《指引》在政策要求上有什么新特點?
答:《指引(yin)(yin)》主(zhu)要(yao)有三個方(fang)面(mian)的(de)(de)(de)(de)特點:一是(shi)(shi)政(zheng)策(ce)上保持銜接一致。《指引(yin)(yin)》是(shi)(shi)在(zai)證(zheng)券監管(guan)部(bu)門相(xiang)(xiang)關規定(ding)(ding)框架下制定(ding)(ding)的(de)(de)(de)(de),與國資(zi)委此前出臺的(de)(de)(de)(de)國有控股(gu)上市公(gong)司實(shi)施(shi)股(gu)權激勵的(de)(de)(de)(de)政(zheng)策(ce)規定(ding)(ding)也是(shi)(shi)銜接一致的(de)(de)(de)(de),這(zhe)次提出的(de)(de)(de)(de)都是(shi)(shi)具(ju)體操作(zuo)上的(de)(de)(de)(de)細化規程(cheng)。二(er)是(shi)(shi)清晰(xi)界定(ding)(ding)責(ze)任(ren)與程(cheng)序。國資(zi)委落實(shi)以管(guan)資(zi)本為主(zhu)職(zhi)能轉變要(yao)求,股(gu)權激勵具(ju)體實(shi)施(shi)方(fang)案(an)的(de)(de)(de)(de)審核責(ze)任(ren)在(zai)中(zhong)央(yang)企(qi)(qi)業集(ji)團公(gong)司,《指引(yin)(yin)》通過細化完善操作(zuo)層面(mian)的(de)(de)(de)(de)指導(dao),幫助(zhu)中(zhong)央(yang)企(qi)(qi)業更好地擔負起(qi)股(gu)權激勵主(zhu)體責(ze)任(ren),保障該(gai)項工作(zuo)職(zhi)責(ze)中(zhong)央(yang)企(qi)(qi)業接得(de)住、管(guan)得(de)好、落得(de)實(shi)。三是(shi)(shi)重(zhong)點回答了(le)(le)操作(zuo)問(wen)題。此前我(wo)們出臺的(de)(de)(de)(de)股(gu)權激勵相(xiang)(xiang)關政(zheng)策(ce)是(shi)(shi)框架性(xing)、原則性(xing)的(de)(de)(de)(de),中(zhong)央(yang)企(qi)(qi)業在(zai)實(shi)施(shi)中(zhong)遇到了(le)(le)一些(xie)具(ju)體情(qing)況,《指引(yin)(yin)》在(zai)總結(jie)經驗的(de)(de)(de)(de)基礎上,明確了(le)(le)可操作(zuo)的(de)(de)(de)(de)方(fang)法,在(zai)政(zheng)策(ce)框架內給予闡釋和(he)細化,有針對性(xing)地幫助(zhu)企(qi)(qi)業在(zai)具(ju)體實(shi)踐操作(zuo)上與政(zheng)策(ce)規定(ding)(ding)良好對接。
問:近些年中央企業控股上市公司實施股權激勵有哪些值得總結和提煉的有效經驗?
答:國(guo)資(zi)委和中(zhong)央(yang)企業(ye)在上(shang)(shang)市公(gong)(gong)司(si)股權(quan)(quan)(quan)(quan)激(ji)(ji)(ji)(ji)勵(li)實(shi)踐(jian)方面(mian)(mian)共同(tong)努(nu)力、積(ji)極探(tan)索,結(jie)合(he)國(guo)有企業(ye)實(shi)際情(qing)況(kuang)(kuang)和境內外市場(chang)實(shi)踐(jian)經驗,逐(zhu)步形成了出資(zi)人(ren)指導下的(de)適(shi)合(he)中(zhong)國(guo)國(guo)企特(te)(te)點的(de)股權(quan)(quan)(quan)(quan)激(ji)(ji)(ji)(ji)勵(li)機制,有效(xiao)發揮了股權(quan)(quan)(quan)(quan)激(ji)(ji)(ji)(ji)勵(li)作(zuo)(zuo)(zuo)為市場(chang)化長期(qi)(qi)激(ji)(ji)(ji)(ji)勵(li)工(gong)(gong)具的(de)積(ji)極作(zuo)(zuo)(zuo)用,一些好的(de)做法(fa)已逐(zhu)漸被市場(chang)普遍采納(na)。概(gai)括起(qi)來,中(zhong)央(yang)企業(ye)控(kong)股上(shang)(shang)市公(gong)(gong)司(si)實(shi)施(shi)股權(quan)(quan)(quan)(quan)激(ji)(ji)(ji)(ji)勵(li)主(zhu)要有五(wu)(wu)方面(mian)(mian)好的(de)做法(fa):一是(shi)激(ji)(ji)(ji)(ji)勵(li)實(shi)施(shi)與(yu)(yu)績(ji)效(xiao)考核相同(tong)步,要求(qiu)企業(ye)健全(quan)績(ji)效(xiao)考核體系,股權(quan)(quan)(quan)(quan)激(ji)(ji)(ji)(ji)勵(li)的(de)實(shi)施(shi)要與(yu)(yu)公(gong)(gong)司(si)業(ye)績(ji)與(yu)(yu)激(ji)(ji)(ji)(ji)勵(li)對(dui)象個人(ren)績(ji)效(xiao)考核相掛鉤,考核目標要有利于促進(jin)企業(ye)提(ti)高價值創(chuang)(chuang)造水(shui)平(ping),實(shi)現持續健康發展(zhan)。二是(shi)授(shou)予(yu)數量與(yu)(yu)薪(xin)酬(chou)(chou)水(shui)平(ping)相關(guan)聯,參照國(guo)際慣例及市場(chang)實(shi)踐(jian),統籌薪(xin)酬(chou)(chou)結(jie)構與(yu)(yu)薪(xin)酬(chou)(chou)水(shui)平(ping),股權(quan)(quan)(quan)(quan)激(ji)(ji)(ji)(ji)勵(li)授(shou)予(yu)價值控(kong)制在薪(xin)酬(chou)(chou)總(zong)水(shui)平(ping)的(de)40%以內,實(shi)現平(ping)穩規范(fan)起(qi)步,但(dan)對(dui)股權(quan)(quan)(quan)(quan)激(ji)(ji)(ji)(ji)勵(li)行(xing)權(quan)(quan)(quan)(quan)收(shou)益不再進(jin)行(xing)控(kong)制。三是(shi)激(ji)(ji)(ji)(ji)勵(li)方式(shi)與(yu)(yu)公(gong)(gong)司(si)特(te)(te)點相匹配,指導上(shang)(shang)市公(gong)(gong)司(si)根(gen)據所處行(xing)業(ye)、發展(zhan)階段等(deng)特(te)(te)點,科(ke)學(xue)選擇激(ji)(ji)(ji)(ji)勵(li)工(gong)(gong)具,并可以結(jie)合(he)市場(chang)情(qing)況(kuang)(kuang)探(tan)索創(chuang)(chuang)新激(ji)(ji)(ji)(ji)勵(li)方式(shi)。四是(shi)行(xing)權(quan)(quan)(quan)(quan)安排與(yu)(yu)激(ji)(ji)(ji)(ji)勵(li)約(yue)束相統籌,引(yin)導企業(ye)分期(qi)(qi)實(shi)施(shi)股權(quan)(quan)(quan)(quan)激(ji)(ji)(ji)(ji)勵(li),權(quan)(quan)(quan)(quan)益授(shou)予(yu)后(hou)(hou)至少鎖定兩年,解鎖后(hou)(hou)在不低于三年內分批(pi)生效(xiao),體現長效(xiao)激(ji)(ji)(ji)(ji)勵(li)約(yue)束。五(wu)(wu)是(shi)公(gong)(gong)司(si)治理(li)(li)與(yu)(yu)管理(li)(li)提(ti)升相協同(tong),推(tui)動企業(ye)持續完善(shan)公(gong)(gong)司(si)治理(li)(li),不斷(duan)健全(quan)經營管理(li)(li)、績(ji)效(xiao)考核、勞動用工(gong)(gong)和收(shou)入分配等(deng)企業(ye)基礎管理(li)(li)制度。在《指引(yin)》的(de)制訂過(guo)程中(zhong),我們對(dui)上(shang)(shang)述(shu)五(wu)(wu)方面(mian)(mian)股權(quan)(quan)(quan)(quan)激(ji)(ji)(ji)(ji)勵(li)實(shi)踐(jian)經驗進(jin)行(xing)了系統提(ti)煉(lian),作(zuo)(zuo)(zuo)為操(cao)作(zuo)(zuo)(zuo)指引(yin)幫助(zhu)企業(ye)更加科(ke)學(xue)高效(xiao)地開展(zhan)好這項工(gong)(gong)作(zuo)(zuo)(zuo)。
問:下一步,中央企業控股上市公司實施股權激勵工作將有什么考慮?
答:黨的(de)(de)十九屆四中(zhong)全(quan)(quan)會明確提出(chu),要(yao)(yao)健全(quan)(quan)生產要(yao)(yao)素由市場評價(jia)(jia)貢(gong)獻、按貢(gong)獻決定報(bao)酬的(de)(de)機(ji)制(zhi)。中(zhong)共中(zhong)央、國(guo)(guo)務院近期印(yin)發(fa)的(de)(de)《關于構(gou)建更加完善的(de)(de)要(yao)(yao)素市場化配(pei)(pei)置體(ti)制(zhi)機(ji)制(zhi)的(de)(de)意見(jian)》也指出(chu),要(yao)(yao)全(quan)(quan)面(mian)貫(guan)徹落實(shi)以(yi)(yi)增(zeng)加知識價(jia)(jia)值為導向(xiang)的(de)(de)收入(ru)分配(pei)(pei)政策,充分尊重(zhong)科研(yan)、技術(shu)、管(guan)理人才(cai),充分體(ti)現(xian)技術(shu)、知識、管(guan)理、數據等要(yao)(yao)素的(de)(de)價(jia)(jia)值。國(guo)(guo)資(zi)委(wei)將指導中(zhong)央企(qi)(qi)(qi)業(ye)(ye)貫(guan)徹落實(shi)好黨中(zhong)央、國(guo)(guo)務院決策部(bu)署,把(ba)推動(dong)中(zhong)央企(qi)(qi)(qi)業(ye)(ye)控股(gu)(gu)上(shang)市公(gong)司(si)(si)規范(fan)開展(zhan)股(gu)(gu)權激(ji)勵(li)作為重(zhong)要(yao)(yao)舉措。應當說,黨的(de)(de)十九大以(yi)(yi)來,中(zhong)央企(qi)(qi)(qi)業(ye)(ye)控股(gu)(gu)上(shang)市公(gong)司(si)(si)實(shi)施(shi)股(gu)(gu)權激(ji)勵(li)的(de)(de)數量快速增(zeng)長,目前已(yi)有53家中(zhong)央企(qi)(qi)(qi)業(ye)(ye)控股(gu)(gu)的(de)(de)119家上(shang)市公(gong)司(si)(si)有效實(shi)施(shi)了股(gu)(gu)權激(ji)勵(li),取得了明顯進展(zhan),但總體(ti)上(shang)中(zhong)央企(qi)(qi)(qi)業(ye)(ye)控股(gu)(gu)境(jing)內外上(shang)市公(gong)司(si)(si)只有不到(dao)30%實(shi)施(shi)了股(gu)(gu)權激(ji)勵(li),覆蓋面(mian)還(huan)有待(dai)提高。《指引》印(yin)發(fa)后,國(guo)(guo)資(zi)委(wei)將指導中(zhong)央企(qi)(qi)(qi)業(ye)(ye)積(ji)極履行主體(ti)責任,推動(dong)符(fu)合條(tiao)件的(de)(de)控股(gu)(gu)上(shang)市公(gong)司(si)(si)科學高效規范(fan)地開展(zhan)股(gu)(gu)權激(ji)勵(li)工作,加快建立健全(quan)(quan)覆蓋企(qi)(qi)(qi)業(ye)(ye)經營管(guan)理骨干(gan)和核(he)心科研(yan)技術(shu)人才(cai)的(de)(de)正向(xiang)激(ji)勵(li)機(ji)制(zhi),充分調動(dong)各(ge)類人員積(ji)極性(xing)和創造性(xing),推動(dong)企(qi)(qi)(qi)業(ye)(ye)實(shi)現(xian)高質(zhi)量發(fa)展(zhan)。
