關于做好中央企業違規經營投資責任追究工作體系建設有關事項的通知
各中央企業:
根據(ju)《國務院(yuan)辦(ban)公廳關(guan)于建(jian)(jian)(jian)立國有企(qi)業(ye)違(wei)規(gui)(gui)經營(ying)投資(zi)責(ze)(ze)(ze)(ze)任(ren)(ren)追究制(zhi)度(du)(du)(du)的意見》(國辦(ban)發〔2016〕63號(hao),以(yi)下簡稱(cheng)63號(hao)文件),按照國資(zi)委有關(guan)要(yao)求,各(ge)中央企(qi)業(ye)高(gao)度(du)(du)(du)重視,均成立了違(wei)規(gui)(gui)經營(ying)投資(zi)責(ze)(ze)(ze)(ze)任(ren)(ren)追究工(gong)(gong)(gong)作(zuo)(zuo)領導(dao)小(xiao)組(zu)或工(gong)(gong)(gong)作(zuo)(zuo)小(xiao)組(zu),其中大部分由企(qi)業(ye)主要(yao)負責(ze)(ze)(ze)(ze)人任(ren)(ren)組(zu)長,有序推進制(zhi)度(du)(du)(du)建(jian)(jian)(jian)設、組(zu)織(zhi)建(jian)(jian)(jian)設和體(ti)系建(jian)(jian)(jian)設。目前,責(ze)(ze)(ze)(ze)任(ren)(ren)追究工(gong)(gong)(gong)作(zuo)(zuo)專門制(zhi)度(du)(du)(du)、職能部門、報告機(ji)制(zhi)已基本(ben)實現(xian)全(quan)覆蓋,責(ze)(ze)(ze)(ze)任(ren)(ren)倒查機(ji)制(zhi)基本(ben)形成,以(yi)追責(ze)(ze)(ze)(ze)促進企(qi)業(ye)強化(hua)管理、完善(shan)制(zhi)度(du)(du)(du)等取得積(ji)極成效,保障企(qi)業(ye)合規(gui)(gui)經營(ying)及(ji)高(gao)質(zhi)量發展(zhan)作(zuo)(zuo)用逐步(bu)顯現(xian),63號(hao)文件明確(que)的第一(yi)階(jie)段目標初(chu)步(bu)完成。為進一(yi)步(bu)落實63號(hao)文件“在2020年底前,全(quan)面建(jian)(jian)(jian)立覆蓋各(ge)級(ji)履行(xing)出資(zi)人職責(ze)(ze)(ze)(ze)的機(ji)構及(ji)國有企(qi)業(ye)的責(ze)(ze)(ze)(ze)任(ren)(ren)追究工(gong)(gong)(gong)作(zuo)(zuo)體(ti)系,形成職責(ze)(ze)(ze)(ze)明確(que)、流程清晰、規(gui)(gui)范(fan)有序的責(ze)(ze)(ze)(ze)任(ren)(ren)追究工(gong)(gong)(gong)作(zuo)(zuo)機(ji)制(zhi)”的第二階(jie)段目標,做好(hao)中央企(qi)業(ye)責(ze)(ze)(ze)(ze)任(ren)(ren)追究工(gong)(gong)(gong)作(zuo)(zuo)體(ti)系建(jian)(jian)(jian)設,現(xian)將有關(guan)事項通知(zhi)如(ru)下:
一、進一步提(ti)高對責(ze)任追究(jiu)(jiu)(jiu)工(gong)(gong)作(zuo)重要性的認識。黨中央(yang)(yang)、國(guo)務院(yuan)高度重視強化(hua)(hua)國(guo)有(you)資(zi)(zi)(zi)(zi)(zi)產監管(guan)、落實國(guo)有(you)企(qi)業(ye)(ye)經(jing)營(ying)(ying)投資(zi)(zi)(zi)(zi)(zi)責(ze)任,黨的十八屆三中全會以及(ji)國(guo)資(zi)(zi)(zi)(zi)(zi)國(guo)企(qi)改革系(xi)列(lie)文件對強化(hua)(hua)經(jing)營(ying)(ying)投資(zi)(zi)(zi)(zi)(zi)責(ze)任追究(jiu)(jiu)(jiu),建(jian)立健全國(guo)有(you)企(qi)業(ye)(ye)重大(da)決策失誤和失職、瀆職責(ze)任追究(jiu)(jiu)(jiu)倒查機制等作(zuo)出一系(xi)列(lie)部(bu)署。各(ge)中央(yang)(yang)企(qi)業(ye)(ye)要切(qie)實提(ti)高思(si)想認識,站(zhan)在守(shou)護好(hao)全體人民共同(tong)財富的高度,深刻理(li)(li)解(jie)責(ze)任追究(jiu)(jiu)(jiu)工(gong)(gong)作(zuo)在有(you)效防(fang)止國(guo)有(you)資(zi)(zi)(zi)(zi)(zi)產流失、落實國(guo)有(you)資(zi)(zi)(zi)(zi)(zi)產保值增(zeng)值責(ze)任方面的重要作(zuo)用,將推(tui)進責(ze)任追究(jiu)(jiu)(jiu)工(gong)(gong)作(zuo)體系(xi)建(jian)設作(zuo)為提(ti)升合(he)規經(jing)營(ying)(ying)水平(ping)和防(fang)范(fan)化(hua)(hua)解(jie)重大(da)風(feng)險的重要抓手(shou),通過有(you)效開(kai)展責(ze)任追究(jiu)(jiu)(jiu)工(gong)(gong)作(zuo),促進各(ge)級經(jing)營(ying)(ying)管(guan)理(li)(li)人員(yuan)規范(fan)履職、勤勉盡(jin)責(ze),推(tui)動企(qi)業(ye)(ye)合(he)規經(jing)營(ying)(ying)、行(xing)穩致遠。
二、深(shen)入(ru)推(tui)進組織(zhi)體(ti)(ti)系(xi)建設(she)。各中央企(qi)業(ye)(ye)要(yao)健全責(ze)(ze)(ze)任(ren)追(zhui)究組織(zhi)體(ti)(ti)系(xi),嚴格(ge)落實(shi)(shi)責(ze)(ze)(ze)任(ren),層(ceng)層(ceng)傳導(dao)壓(ya)力,持續深(shen)入(ru)推(tui)進責(ze)(ze)(ze)任(ren)追(zhui)究工(gong)(gong)(gong)(gong)(gong)作(zuo)。一要(yao)加強(qiang)工(gong)(gong)(gong)(gong)(gong)作(zuo)組織(zhi)領(ling)導(dao)。企(qi)業(ye)(ye)主(zhu)要(yao)負責(ze)(ze)(ze)人要(yao)主(zhu)持研(yan)究審(shen)議責(ze)(ze)(ze)任(ren)追(zhui)究工(gong)(gong)(gong)(gong)(gong)作(zuo)重(zhong)要(yao)事(shi)項,統籌(chou)謀(mou)劃,部(bu)署(shu)推(tui)動,保障工(gong)(gong)(gong)(gong)(gong)作(zuo)有(you)效開展。分(fen)管負責(ze)(ze)(ze)人要(yao)靠(kao)前指揮(hui),指導(dao)把關核查質量,督(du)促工(gong)(gong)(gong)(gong)(gong)作(zuo)深(shen)入(ru)推(tui)進。職(zhi)(zhi)能部(bu)門要(yao)切(qie)實(shi)(shi)擔負起直接(jie)責(ze)(ze)(ze)任(ren),抓緊編制工(gong)(gong)(gong)(gong)(gong)作(zuo)體(ti)(ti)系(xi)建設(she)方案,與(yu)人力資源、巡(xun)視、紀檢監察等(deng)部(bu)門密切(qie)配(pei)合,做好具(ju)體(ti)(ti)組織(zhi)實(shi)(shi)施(shi)。二要(yao)進一步強(qiang)化職(zhi)(zhi)能部(bu)門建設(she)。要(yao)切(qie)實(shi)(shi)落實(shi)(shi)職(zhi)(zhi)能部(bu)門編制、人員、資金(jin)等(deng)工(gong)(gong)(gong)(gong)(gong)作(zuo)保障,確保專(zhuan)項工(gong)(gong)(gong)(gong)(gong)作(zuo)獨立有(you)效開展。要(yao)配(pei)齊配(pei)強(qiang)配(pei)優工(gong)(gong)(gong)(gong)(gong)作(zuo)隊伍,加強(qiang)培(pei)訓(xun)教(jiao)育和實(shi)(shi)踐鍛煉,提(ti)升專(zhuan)業(ye)(ye)能力和專(zhuan)業(ye)(ye)精神。三要(yao)推(tui)進所屬企(qi)業(ye)(ye)責(ze)(ze)(ze)任(ren)追(zhui)究工(gong)(gong)(gong)(gong)(gong)作(zuo)組織(zhi)體(ti)(ti)系(xi)建設(she)。按照(zhao)分(fen)級(ji)管理、分(fen)層(ceng)負責(ze)(ze)(ze)的原則(ze),結(jie)合企(qi)業(ye)(ye)實(shi)(shi)際、行(xing)業(ye)(ye)特性等(deng),實(shi)(shi)現職(zhi)(zhi)責(ze)(ze)(ze)主(zhu)體(ti)(ti)上(shang)有(you)人管,監督(du)范圍上(shang)全覆蓋。
三(san)、持續完(wan)(wan)善責(ze)(ze)(ze)任(ren)追(zhui)(zhui)究制(zhi)度(du)(du)(du)體系(xi)。各中央企(qi)業(ye)要(yao)(yao)(yao)加快構建內容協調、流程清(qing)晰、配(pei)套完(wan)(wan)備、有(you)效管用的責(ze)(ze)(ze)任(ren)追(zhui)(zhui)究制(zhi)度(du)(du)(du)體系(xi),不(bu)斷提高工作規范化(hua)、制(zhi)度(du)(du)(du)化(hua)、科學化(hua)水平。一(yi)要(yao)(yao)(yao)推進(jin)制(zhi)度(du)(du)(du)深度(du)(du)(du)覆蓋和(he)有(you)效約(yue)束(shu)。根據所屬企(qi)業(ye)規模體量差異(yi)、業(ye)務(wu)模式特(te)點等(deng)(deng),因企(qi)施(shi)策(ce)(ce)細化(hua)責(ze)(ze)(ze)任(ren)追(zhui)(zhui)究范圍、劃(hua)分資產損失標(biao)準(zhun)等(deng)(deng),防止尺(chi)度(du)(du)(du)范圍寬松,責(ze)(ze)(ze)任(ren)約(yue)束(shu)不(bu)足。二(er)要(yao)(yao)(yao)完(wan)(wan)善配(pei)套制(zhi)度(du)(du)(du)。研究制(zhi)定損失認定、責(ze)(ze)(ze)任(ren)認定、離職(zhi)(zhi)退休人員違規責(ze)(ze)(ze)任(ren)追(zhui)(zhui)究處(chu)理等(deng)(deng)實(shi)(shi)(shi)施(shi)細則,規范工作流程和(he)標(biao)準(zhun),實(shi)(shi)(shi)現責(ze)(ze)(ze)任(ren)追(zhui)(zhui)究工作標(biao)準(zhun)一(yi)致(zhi)、有(you)章可循(xun)、規范有(you)序。三(san)要(yao)(yao)(yao)夯實(shi)(shi)(shi)制(zhi)度(du)(du)(du)基礎。落實(shi)(shi)(shi)63號文件要(yao)(yao)(yao)求,進(jin)一(yi)步完(wan)(wan)善重大決策(ce)(ce)評估、決策(ce)(ce)事項履(lv)職(zhi)(zhi)記錄等(deng)(deng)規定;細化(hua)各類經(jing)營投資責(ze)(ze)(ze)任(ren)條款和(he)清(qing)單,明(ming)確崗(gang)位職(zhi)(zhi)責(ze)(ze)(ze)和(he)履(lv)職(zhi)(zhi)程序;在(zai)有(you)關(guan)外聘(pin)董事、職(zhi)(zhi)業(ye)經(jing)理人聘(pin)任(ren)合同中,要(yao)(yao)(yao)明(ming)確違規經(jing)營投資責(ze)(ze)(ze)任(ren)追(zhui)(zhui)究的原則要(yao)(yao)(yao)求。
四、扎實(shi)做好違規(gui)問題線索(suo)查(cha)處。各中央(yang)企(qi)業要(yao)違規(gui)必究(jiu),追責必嚴,切(qie)實(shi)增強國(guo)資監(jian)(jian)管法規(gui)制度和企(qi)業內部(bu)管理(li)規(gui)定剛性約束。一(yi)(yi)要(yao)加大責任(ren)追究(jiu)工作(zuo)(zuo)力(li)(li)(li)度。對受理(li)查(cha)辦的違規(gui)經營(ying)投(tou)資問題線索(suo)實(shi)行對賬銷(xiao)號管理(li),集中力(li)(li)(li)量抓好國(guo)有資產重大損(sun)(sun)失調(diao)(diao)查(cha),依(yi)法依(yi)規(gui)追究(jiu)有關(guan)(guan)(guan)人員(yuan)責任(ren)。對發現的涉(she)嫌違紀、職務違法及(ji)犯罪的問題線索(suo),要(yao)及(ji)時移送(song)紀檢監(jian)(jian)察(cha)或司法機關(guan)(guan)(guan)查(cha)處。二要(yao)強化責任(ren)追究(jiu)工作(zuo)(zuo)指(zhi)導監(jian)(jian)督(du)。組織對所屬企(qi)業責任(ren)追究(jiu)工作(zuo)(zuo)的監(jian)(jian)督(du)檢查(cha),強化定性、定損(sun)(sun)、定責等關(guan)(guan)(guan)鍵環節(jie)的指(zhi)導把關(guan)(guan)(guan),根據需要(yao)可由(you)上級企(qi)業直(zhi)接開(kai)(kai)展核(he)查(cha)。三(san)要(yao)加強案(an)例通報和有關(guan)(guan)(guan)信息公開(kai)(kai)。要(yao)結合(he)具體(ti)案(an)例的調(diao)(diao)查(cha)處理(li),在適當(dang)范圍總結、通報及(ji)公開(kai)(kai)調(diao)(diao)查(cha)處理(li)情況,以案(an)為鑒(jian),發揮(hui)“追責一(yi)(yi)個、警示一(yi)(yi)片”的警示教育作(zuo)(zuo)用,不斷(duan)提高監(jian)(jian)督(du)追責工作(zuo)(zuo)的影響力(li)(li)(li)和透明度。
五(wu)、探(tan)索工作(zuo)(zuo)方式方法。責(ze)任追(zhui)(zhui)究(jiu)(jiu)(jiu)工作(zuo)(zuo)政(zheng)策(ce)性強(qiang)、涉及面廣、專業(ye)要(yao)(yao)(yao)(yao)(yao)求高(gao),各中央(yang)企業(ye)要(yao)(yao)(yao)(yao)(yao)積(ji)極探(tan)索工作(zuo)(zuo)的(de)新(xin)途徑新(xin)方法。一(yi)要(yao)(yao)(yao)(yao)(yao)探(tan)索開(kai)展境(jing)外核查追(zhui)(zhui)責(ze)。逐步(bu)推進境(jing)外損失(shi)調查和(he)(he)追(zhui)(zhui)責(ze)工作(zuo)(zuo),關注重大決策(ce)、重大合同(tong)、大額資(zi)金管(guan)控和(he)(he)境(jing)外子企業(ye)治理等方面的(de)資(zi)產流失(shi)風險,確保國有資(zi)本投到(dao)哪里,監管(guan)追(zhui)(zhui)責(ze)就延(yan)伸到(dao)哪里。二要(yao)(yao)(yao)(yao)(yao)探(tan)索建立追(zhui)(zhui)責(ze)信(xin)息(xi)(xi)管(guan)理系統。提升工作(zuo)(zuo)信(xin)息(xi)(xi)化水平,逐步(bu)實(shi)現(xian)線上填報(bao)提交責(ze)任追(zhui)(zhui)究(jiu)(jiu)(jiu)工作(zuo)(zuo)報(bao)告,對(dui)受(shou)理、初步(bu)核實(shi)、分(fen)類處置、核查、處理和(he)(he)整改等環節(jie)全過程監督,研(yan)究(jiu)(jiu)(jiu)通(tong)過共(gong)享經(jing)營(ying)管(guan)理信(xin)息(xi)(xi)和(he)(he)構(gou)建大數(shu)據模型,精準發現(xian)違規(gui)問題(ti)。三(san)要(yao)(yao)(yao)(yao)(yao)探(tan)索推進容錯機(ji)制落(luo)實(shi)落(luo)地(di)(di)。進一(yi)步(bu)研(yan)究(jiu)(jiu)(jiu)落(luo)實(shi)“三(san)個區分(fen)開(kai)來”的(de)落(luo)地(di)(di)舉措,具體問題(ti)具體分(fen)析,既防(fang)(fang)止追(zhui)(zhui)責(ze)不(bu)力,又防(fang)(fang)止追(zhui)(zhui)責(ze)泛(fan)化簡單化。同(tong)時,結合實(shi)際,研(yan)究(jiu)(jiu)(jiu)加強(qiang)基(ji)金投資(zi)、混(hun)合所有制等新(xin)業(ye)態領域的(de)責(ze)任追(zhui)(zhui)究(jiu)(jiu)(jiu)工作(zuo)(zuo)。
六(liu)、不斷健(jian)(jian)(jian)全以(yi)(yi)追(zhui)(zhui)責(ze)(ze)促(cu)發(fa)展(zhan)(zhan)的(de)長效(xiao)(xiao)機制(zhi)。責(ze)(ze)任(ren)追(zhui)(zhui)究是手(shou)(shou)段(duan)不是目的(de),各中央企(qi)(qi)(qi)業(ye)(ye)要注重(zhong)做(zuo)好監督(du)“后(hou)半篇文(wen)章”,把追(zhui)(zhui)責(ze)(ze)成果轉(zhuan)化為(wei)促(cu)進企(qi)(qi)(qi)業(ye)(ye)健(jian)(jian)(jian)康發(fa)展(zhan)(zhan)的(de)監管(guan)效(xiao)(xiao)能。一要促(cu)進防范化解(jie)重(zhong)大風(feng)險。舉一反三,以(yi)(yi)點帶面,深(shen)入開(kai)展(zhan)(zhan)共性(xing)問(wen)題(ti)核查,排(pai)查問(wen)題(ti)隱患,預警(jing)提示經營風(feng)險。適時介入風(feng)險事(shi)件處置,跟蹤關注或有(you)資(zi)產(chan)損失,以(yi)(yi)追(zhui)(zhui)責(ze)(ze)促(cu)追(zhui)(zhui)損,及時化解(jie)資(zi)產(chan)損失風(feng)險。二要推(tui)動(dong)完(wan)善企(qi)(qi)(qi)業(ye)(ye)內部控制(zhi)體(ti)系。針對(dui)發(fa)現的(de)內控缺(que)陷和(he)管(guan)控漏洞,標本兼治(zhi),強(qiang)化整改落實,及時制(zhi)定修訂各項管(guan)理制(zhi)度,完(wan)善內控體(ti)系,提升管(guan)理水平(ping)。三要保障(zhang)企(qi)(qi)(qi)業(ye)(ye)合規(gui)經營健(jian)(jian)(jian)康發(fa)展(zhan)(zhan)。以(yi)(yi)責(ze)(ze)任(ren)追(zhui)(zhui)究為(wei)重(zhong)要抓(zhua)手(shou)(shou),通(tong)過懲治(zhi)教(jiao)育建設相(xiang)結合,強(qiang)化各級(ji)管(guan)理人(ren)員合規(gui)履職的(de)自覺性(xing)和(he)主動(dong)性(xing),全面推(tui)進依法治(zhi)企(qi)(qi)(qi),有(you)效(xiao)(xiao)促(cu)進企(qi)(qi)(qi)業(ye)(ye)穩健(jian)(jian)(jian)經營和(he)可持續發(fa)展(zhan)(zhan)。
國(guo)資(zi)(zi)委將(jiang)加(jia)強對(dui)各中央企業責(ze)任追(zhui)究(jiu)工作的(de)(de)指(zhi)導,組織培(pei)訓和交(jiao)流,根據需要檢查(cha)企業貫徹落(luo)實63號(hao)文(wen)件、《中央企業違規經營(ying)投資(zi)(zi)責(ze)任追(zhui)究(jiu)實施(shi)辦法(fa)(試行(xing))》(國(guo)資(zi)(zi)委令(ling)第37號(hao),以下簡稱37號(hao)令(ling))的(de)(de)工作情(qing)況等。各中央企業要認(ren)真制定責(ze)任追(zhui)究(jiu)工作體(ti)(ti)系(xi)建(jian)設(she)(she)方案并(bing)于2019年5月底前將(jiang)有關(guan)情(qing)況書面報送國(guo)資(zi)(zi)委,具體(ti)(ti)實施(shi)落(luo)實情(qing)況納入年度定期報告一并(bing)報送。同時,要注意收集執(zhi)行(xing)37號(hao)令(ling)以及推進責(ze)任追(zhui)究(jiu)工作體(ti)(ti)系(xi)建(jian)設(she)(she)過程中的(de)(de)新情(qing)況、新問題,及時報告國(guo)資(zi)(zi)委。
