各中央企業(ye):
依照《國(guo)有(you)企業(ye)監(jian)事會暫行條例》(國(guo)務院(yuan)令(ling)第283號(hao)(hao)),《關于(yu)加強和(he)改進國(guo)有(you)企業(ye)監(jian)事會工作的若干意見》(國(guo)資發(fa)監(jian)督(du)〔2006〕174號(hao)(hao))和(he)《關于(yu)進一步(bu)支持配合(he)監(jian)事會開展監(jian)督(du)檢查工作有(you)關事項的通知(zhi)》(國(guo)資發(fa)監(jian)督(du)〔2012〕120號(hao)(hao))的有(you)關規定,各中央企業(ye)每年向監(jian)事會報送《企業(ye)年度工作報告(gao)》(以下簡稱年度報告(gao))。為做(zuo)好2014年度報告(gao)填報工作,現將有(you)關事項通知(zhi)如下:
一、加(jia)強(qiang)工作組織,切實提升報告(gao)質量
年度(du)報(bao)(bao)(bao)告是企業向出資(zi)人(ren)報(bao)(bao)(bao)送(song)的(de)(de)重要(yao)文件(jian)。各中央企業要(yao)高(gao)度(du)重視年度(du)報(bao)(bao)(bao)告填(tian)(tian)報(bao)(bao)(bao)組織(zhi)(zhi)(zhi)工(gong)(gong)作(zuo)(zuo),企業法定代表人(ren)切實履行(xing)好填(tian)(tian)報(bao)(bao)(bao)工(gong)(gong)作(zuo)(zuo)第一責(ze)任(ren)人(ren)職(zhi)責(ze),強(qiang)化組織(zhi)(zhi)(zhi)領導,責(ze)成相關(guan)(guan)領導同(tong)志(zhi)總(zong)體(ti)負責(ze),明確具體(ti)牽頭部門(men),構建協調聯動(dong)的(de)(de)跨部門(men)填(tian)(tian)報(bao)(bao)(bao)組織(zhi)(zhi)(zhi)體(ti)系。進一步加強(qiang)填(tian)(tian)報(bao)(bao)(bao)制度(du)建設,將關(guan)(guan)鍵環節和質(zhi)量要(yao)求固(gu)化于制度(du)流程(cheng)中,完(wan)善填(tian)(tian)報(bao)(bao)(bao)工(gong)(gong)作(zuo)(zuo)長(chang)效機制。積(ji)極(ji)培(pei)育穩定的(de)(de)填(tian)(tian)報(bao)(bao)(bao)隊伍,采取(qu)多種方式開展工(gong)(gong)作(zuo)(zuo)交流和業務(wu)培(pei)訓,加大(da)統籌力(li)度(du),形成工(gong)(gong)作(zuo)(zuo)合(he)力(li)。增(zeng)強(qiang)填(tian)(tian)報(bao)(bao)(bao)工(gong)(gong)作(zuo)(zuo)的(de)(de)統一部署,層(ceng)層(ceng)落實填(tian)(tian)報(bao)(bao)(bao)責(ze)任(ren),從嚴制定審(shen)核標(biao)準,逐級匯(hui)總(zong)審(shen)核把關(guan)(guan),切實提升(sheng)年度(du)報(bao)(bao)(bao)告整體(ti)質(zhi)量。
二、突(tu)出填報重點,確保(bao)信息真實完整
年度報(bao)告(gao)是全(quan)面展現企(qi)業(ye)工作成果(guo)(guo)的(de)重(zhong)(zhong)(zhong)要(yao)載體(ti)。各(ge)中央企(qi)業(ye)要(yao)充分(fen)利用年度報(bao)告(gao)系統化框(kuang)架,綜合(he)反映(ying)(ying)企(qi)業(ye)一年來經(jing)(jing)營管理和(he)改革發展成效,突(tu)出年度重(zhong)(zhong)(zhong)點工作和(he)特色成果(guo)(guo),客觀揭(jie)示存在的(de)問(wen)題和(he)風險,切實(shi)(shi)保證信(xin)息的(de)真實(shi)(shi)完整。要(yao)全(quan)面報(bao)告(gao)企(qi)業(ye)貫徹執行(xing)有關法(fa)律(lv)法(fa)規(gui)和(he)規(gui)章制度情況、生(sheng)產(chan)經(jing)(jing)營和(he)財(cai)務(wu)效益(yi)狀況;重(zhong)(zhong)(zhong)點描述企(qi)業(ye)負責人履職行(xing)為和(he)效果(guo)(guo),企(qi)業(ye)重(zhong)(zhong)(zhong)大(da)決策和(he)重(zhong)(zhong)(zhong)要(yao)經(jing)(jing)營管理活動情況;詳(xiang)細(xi)反映(ying)(ying)境外項(xiang)目、金融及其衍生(sheng)業(ye)務(wu)、高(gao)風險業(ye)務(wu)、重(zhong)(zhong)(zhong)大(da)經(jing)(jing)濟合(he)同、節能(neng)減排(pai)等(deng)重(zhong)(zhong)(zhong)點事(shi)(shi)項(xiang);充分(fen)揭(jie)示企(qi)業(ye)經(jing)(jing)營風險、違法(fa)違紀違規(gui)、法(fa)律(lv)訴訟和(he)仲裁、安全(quan)生(sheng)產(chan)責任事(shi)(shi)故、突(tu)發公共事(shi)(shi)件等(deng)重(zhong)(zhong)(zhong)大(da)風險事(shi)(shi)項(xiang)。支持有關企(qi)業(ye)補報(bao)或續報(bao)期后重(zhong)(zhong)(zhong)大(da)事(shi)(shi)項(xiang)。
三(san)、增進溝(gou)通交(jiao)流,加大支(zhi)持配合力度
年(nian)度(du)報(bao)(bao)(bao)告(gao)是企(qi)(qi)(qi)業(ye)(ye)支持(chi)配合監(jian)事會(hui)有效履職(zhi)的(de)(de)重(zhong)要基礎。各中央(yang)企(qi)(qi)(qi)業(ye)(ye)要將年(nian)度(du)報(bao)(bao)(bao)告(gao)填(tian)(tian)(tian)報(bao)(bao)(bao)工(gong)作(zuo)納入支持(chi)配合監(jian)事會(hui)工(gong)作(zuo)體(ti)系,以填(tian)(tian)(tian)報(bao)(bao)(bao)工(gong)作(zuo)為契(qi)機,進一步(bu)增(zeng)進與(yu)派駐本(ben)企(qi)(qi)(qi)業(ye)(ye)監(jian)事會(hui)的(de)(de)溝通配合,加(jia)強(qiang)監(jian)事會(hui)對年(nian)度(du)報(bao)(bao)(bao)告(gao)填(tian)(tian)(tian)報(bao)(bao)(bao)工(gong)作(zuo)的(de)(de)組織(zhi)部署和過程(cheng)指(zhi)導。認真聽取派駐本(ben)企(qi)(qi)(qi)業(ye)(ye)監(jian)事會(hui)意(yi)見,共(gong)同確定(ding)填(tian)(tian)(tian)報(bao)(bao)(bao)范(fan)圍和年(nian)度(du)重(zhong)點(dian)(dian)披(pi)露事項,抓(zhua)好重(zhong)點(dian)(dian)、難點(dian)(dian)、亮點(dian)(dian)內容填(tian)(tian)(tian)報(bao)(bao)(bao)。總(zong)體(ti)填(tian)(tian)(tian)報(bao)(bao)(bao)范(fan)圍應(ying)當(dang)包括企(qi)(qi)(qi)業(ye)(ye)集團(tuan)、境內(外)二級單位、各級金融(rong)子(zi)企(qi)(qi)(qi)業(ye)(ye)以及所托管(guan)企(qi)(qi)(qi)業(ye)(ye);三(san)級(含)以下重(zhong)要子(zi)企(qi)(qi)(qi)業(ye)(ye)及重(zhong)要非法人實體(ti)等填(tian)(tian)(tian)報(bao)(bao)(bao)范(fan)圍可與(yu)監(jian)事會(hui)共(gong)同商定(ding);離岸公(gong)司、殼公(gong)司等特殊子(zi)企(qi)(qi)(qi)業(ye)(ye)不納入填(tian)(tian)(tian)報(bao)(bao)(bao)范(fan)圍。鼓勵有條(tiao)件的(de)(de)中央(yang)企(qi)(qi)(qi)業(ye)(ye)試(shi)行全級次(ci)報(bao)(bao)(bao)送。
四、細化考(kao)核(he)評價,推動報(bao)告(gao)成果應用
年度(du)報(bao)(bao)(bao)告是(shi)展(zhan)示(shi)企(qi)(qi)(qi)業(ye)(ye)精細化管(guan)理狀況的(de)重(zhong)(zhong)要(yao)(yao)平(ping)臺(tai)。各中(zhong)央企(qi)(qi)(qi)業(ye)(ye)要(yao)(yao)加(jia)大年度(du)報(bao)(bao)(bao)告審(shen)(shen)核(he)力度(du),逐項規范審(shen)(shen)核(he)標準,嚴格(ge)執行多(duo)層(ceng)審(shen)(shen)核(he)制度(du),落實(shi)審(shen)(shen)核(he)問題反饋、整改督(du)(du)辦(ban)、補報(bao)(bao)(bao)重(zhong)(zhong)報(bao)(bao)(bao)等(deng)工作機制。要(yao)(yao)結合(he)本(ben)企(qi)(qi)(qi)業(ye)(ye)實(shi)際,開展(zhan)自我評價和(he)(he)總結,著重(zhong)(zhong)加(jia)強重(zhong)(zhong)點子企(qi)(qi)(qi)業(ye)(ye)、基(ji)層(ceng)子企(qi)(qi)(qi)業(ye)(ye)和(he)(he)關鍵(jian)業(ye)(ye)務內容(rong)的(de)評價,建立健(jian)全填報(bao)(bao)(bao)質(zhi)量評價體(ti)系(xi)和(he)(he)通報(bao)(bao)(bao)機制,確保填報(bao)(bao)(bao)質(zhi)量不斷提(ti)高。年度(du)報(bao)(bao)(bao)告重(zhong)(zhong)在應用(yong)(yong),在滿足(zu)監(jian)(jian)事(shi)會監(jian)(jian)督(du)(du)檢查工作需要(yao)(yao)的(de)同時,各中(zhong)央企(qi)(qi)(qi)業(ye)(ye)要(yao)(yao)進一(yi)步(bu)加(jia)強年度(du)報(bao)(bao)(bao)告填報(bao)(bao)(bao)成果的(de)綜合(he)應用(yong)(yong)和(he)(he)信(xin)息共享,積極(ji)推動解決年度(du)報(bao)(bao)(bao)告披露的(de)重(zhong)(zhong)大問題和(he)(he)風險隱患,充分發揮年度(du)報(bao)(bao)(bao)告促進企(qi)(qi)(qi)業(ye)(ye)規范運營、提(ti)升管(guan)理的(de)重(zhong)(zhong)要(yao)(yao)作用(yong)(yong)。
五(wu)、落實填報任務,按時規范備案報送(song)
(一)請各中央企業(ye)于2014年12月(yue)15日前(qian)將與派駐本企業(ye)監(jian)事(shi)會(hui)共(gong)同確定的擬(ni)報(bao)送年度(du)報(bao)告有關事(shi)項,以(yi)正式文件(jian)(jian)形(xing)式(式樣見(jian)附件(jian)(jian)1)報(bao)監(jian)事(shi)會(hui)工作局(ju)備案(an)。
(二(er))請各(ge)中(zhong)央企業于2015年(nian)2月(yue)15日前將(jiang)集團公司與各(ge)級子企業年(nian)度(du)報(bao)(bao)告一并以正(zheng)式文件形(xing)式(式樣見附件2)報(bao)(bao)送派駐本企業監(jian)事會(紙質(zhi)材料1套(tao),光(guang)盤(pan)2套(tao)),同時將(jiang)年(nian)度(du)報(bao)(bao)告(光(guang)盤(pan)1套(tao))及正(zheng)式文件報(bao)(bao)送監(jian)事會工作局備(bei)案。
(三)年度(du)報(bao)(bao)告繼續使用企(qi)(qi)業(ye)(ye)(ye)報(bao)(bao)表處理軟(ruan)件填報(bao)(bao)。《2014年度(du)〈企(qi)(qi)業(ye)(ye)(ye)年度(du)工作報(bao)(bao)告〉格式文本及編制說明(ming)》安裝在企(qi)(qi)業(ye)(ye)(ye)報(bao)(bao)表處理軟(ruan)件中,探索推進(jin)信息(xi)化報(bao)(bao)送(song)和綜合應(ying)用。需要紙質材料的(de)企(qi)(qi)業(ye)(ye)(ye)請與監事會工作局聯系。
(四)2014年度報告(gao)(gao)填報培(pei)訓(xun)與2014年度財務決算(suan)培(pei)訓(xun)統一安排,屆時(shi)請各中央企業務必派負責年度報告(gao)(gao)填報工作的相關(guan)人員參加。
各中央(yang)企業(ye)在(zai)填報過(guo)程中遇到的問題,請及時與(yu)派(pai)駐本企業(ye)監(jian)(jian)事會(hui)(hui)或監(jian)(jian)事會(hui)(hui)工作局聯系。
