各中央企業:
依照《國(guo)(guo)(guo)有(you)(you)企(qi)業監(jian)事(shi)(shi)會暫行條例》(國(guo)(guo)(guo)務院令第283號(hao))、《關于(yu)加強(qiang)和改進(jin)國(guo)(guo)(guo)有(you)(you)企(qi)業監(jian)事(shi)(shi)會工(gong)作(zuo)的若干意見》(國(guo)(guo)(guo)資發監(jian)督(du)(du)〔2006〕174號(hao))和《關于(yu)進(jin)一步(bu)支(zhi)持配合(he)監(jian)事(shi)(shi)會開展監(jian)督(du)(du)檢查(cha)工(gong)作(zuo)有(you)(you)關事(shi)(shi)項的通知》(國(guo)(guo)(guo)資發監(jian)督(du)(du)〔2012〕120號(hao))的有(you)(you)關規定,各中(zhong)央(yang)企(qi)業每年向監(jian)事(shi)(shi)會報送(song)《企(qi)業年度(du)工(gong)作(zuo)報告(gao)》(以(yi)下(xia)簡稱(cheng)年度(du)報告(gao))。為做(zuo)好2016年度(du)報告(gao)填報工(gong)作(zuo),現將有(you)(you)關事(shi)(shi)項通知如下(xia):
一、加強組織(zhi)領導,健全工(gong)作體系
各中(zhong)央(yang)企業(ye)(ye)(ye)要(yao)(yao)高度(du)(du)重視年度(du)(du)報告(gao)(gao)工(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo),健全(quan)組(zu)(zu)織(zhi)(zhi)領(ling)(ling)(ling)導(dao)機制,成立年度(du)(du)報告(gao)(gao)工(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)領(ling)(ling)(ling)導(dao)小組(zu)(zu)或聯席會議(yi),統(tong)(tong)(tong)籌(chou)謀劃、協(xie)同推(tui)動各項(xiang)工(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)。要(yao)(yao)研(yan)究制定年度(du)(du)報告(gao)(gao)工(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)落(luo)實方案(an),明(ming)確工(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)目標(biao)、具體措(cuo)施(shi)、責(ze)任(ren)(ren)主(zhu)體和進度(du)(du)要(yao)(yao)求(qiu),強化部(bu)門(men)聯動,結(jie)合(he)企業(ye)(ye)(ye)實際編(bian)制可追溯、可量化、可評價、可考核的(de)工(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)任(ren)(ren)務(wu)分解(jie)臺賬。企業(ye)(ye)(ye)法定代表人(ren)(ren)(ren)要(yao)(yao)認真履行好年度(du)(du)報告(gao)(gao)工(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)第一責(ze)任(ren)(ren)人(ren)(ren)(ren)職責(ze),強化領(ling)(ling)(ling)導(dao)、落(luo)實責(ze)任(ren)(ren),嚴格(ge)把關、確保質量;分管(guan)領(ling)(ling)(ling)導(dao)要(yao)(yao)履行好直接責(ze)任(ren)(ren)人(ren)(ren)(ren)職責(ze),深入一線、靠前(qian)指揮,把控(kong)關鍵、重點督辦;牽頭部(bu)門(men)要(yao)(yao)加(jia)強組(zu)(zu)織(zhi)(zhi)協(xie)調,及時分解(jie)落(luo)實任(ren)(ren)務(wu)、規范工(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)流程(cheng)、細(xi)化工(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)要(yao)(yao)求(qiu)、密切(qie)跟(gen)蹤督促、強化過(guo)程(cheng)控(kong)制;協(xie)同部(bu)門(men)要(yao)(yao)明(ming)確任(ren)(ren)務(wu)分工(gong)(gong)(gong)(gong),主(zhu)動參與、積極(ji)配合(he),細(xi)化落(luo)實工(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)責(ze)任(ren)(ren),形成有(you)效工(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)合(he)力。中(zhong)央(yang)企業(ye)(ye)(ye)集團總部(bu)要(yao)(yao)加(jia)強對(dui)子企業(ye)(ye)(ye)年度(du)(du)報告(gao)(gao)工(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)的(de)統(tong)(tong)(tong)籌(chou)領(ling)(ling)(ling)導(dao),做(zuo)到統(tong)(tong)(tong)一部(bu)署、統(tong)(tong)(tong)一標(biao)準(zhun)、統(tong)(tong)(tong)一實施(shi)、統(tong)(tong)(tong)一審(shen)核,建立完善橫向全(quan)面覆蓋、縱向責(ze)任(ren)(ren)到人(ren)(ren)(ren)的(de)組(zu)(zu)織(zhi)(zhi)管(guan)理體系。
二(er)、圍繞中心(xin)工作,全面梳(shu)理(li)排查
各中央(yang)企(qi)(qi)業(ye)(ye)要(yao)以(yi)年度(du)(du)報告工(gong)(gong)作為抓(zhua)(zhua)手,緊密圍繞中心工(gong)(gong)作,全(quan)面(mian)總結(jie)一(yi)年來企(qi)(qi)業(ye)(ye)經(jing)營(ying)管(guan)理(li)(li)和改(gai)(gai)革(ge)發(fa)展(zhan)(zhan)情(qing)(qing)(qing)況(kuang),深入排查(cha)(cha)重(zhong)(zhong)大(da)問(wen)題和風(feng)險(xian)隱患,探索(suo)建立企(qi)(qi)業(ye)(ye)自查(cha)(cha)問(wen)題清單,認真分析查(cha)(cha)找原因,制定(ding)切實可(ke)行的(de)(de)整(zheng)改(gai)(gai)措施。要(yao)圍繞黨(dang)中央(yang)、國務院重(zhong)(zhong)大(da)決策部(bu)署及(ji)國資(zi)監管(guan)政策規定(ding)執行情(qing)(qing)(qing)況(kuang),系統(tong)梳理(li)(li)深化國企(qi)(qi)國資(zi)改(gai)(gai)革(ge)和推進(jin)供給(gei)側結(jie)構性改(gai)(gai)革(ge)、瘦身健體、提(ti)質增效(xiao)等重(zhong)(zhong)點任務落實情(qing)(qing)(qing)況(kuang),著(zhu)重(zhong)(zhong)分析化解過剩(sheng)產(chan)能、處置“僵尸企(qi)(qi)業(ye)(ye)”、特困企(qi)(qi)業(ye)(ye)專(zhuan)項治理(li)(li)、壓縮(suo)管(guan)理(li)(li)層(ceng)級、減(jian)少(shao)法人數量、加(jia)快解決歷史遺留問(wen)題等重(zhong)(zhong)點專(zhuan)項工(gong)(gong)作情(qing)(qing)(qing)況(kuang)及(ji)存在(zai)的(de)(de)問(wen)題。要(yao)以(yi)提(ti)高發(fa)展(zhan)(zhan)質量和效(xiao)益為中心,全(quan)面(mian)梳理(li)(li)、集中排查(cha)(cha)企(qi)(qi)業(ye)(ye)內部(bu)控(kong)制、財務管(guan)理(li)(li)、運營(ying)管(guan)控(kong)、境外(wai)資(zi)產(chan)管(guan)理(li)(li)、黨(dang)建及(ji)公司治理(li)(li)等方面(mian)存在(zai)的(de)(de)重(zhong)(zhong)要(yao)管(guan)控(kong)缺陷,詳細報告企(qi)(qi)業(ye)(ye)重(zhong)(zhong)大(da)資(zi)產(chan)減(jian)值(zhi)、重(zhong)(zhong)大(da)資(zi)產(chan)損失、重(zhong)(zhong)大(da)經(jing)營(ying)風(feng)險(xian)、債務違約(yue)風(feng)險(xian)等重(zhong)(zhong)要(yao)風(feng)險(xian)事項。要(yao)建立健全(quan)年度(du)(du)報告揭示問(wen)題整(zheng)改(gai)(gai)落實機制,形成部(bu)門(men)間齊抓(zhua)(zhua)共管(guan)、整(zheng)改(gai)(gai)聯動的(de)(de)工(gong)(gong)作局面(mian),有效(xiao)發(fa)揮年度(du)(du)報告在(zai)系統(tong)診(zhen)斷(duan)和風(feng)險(xian)預判方面(mian)的(de)(de)重(zhong)(zhong)要(yao)作用。
三(san)、加強溝通配合,明確范(fan)圍重(zhong)點(dian)
各中央(yang)企(qi)(qi)(qi)業(ye)(ye)要(yao)(yao)深入貫(guan)徹落實中央(yang)企(qi)(qi)(qi)業(ye)(ye)監(jian)(jian)(jian)事會(hui)工(gong)作會(hui)議精神,按(an)照“兩個(ge)融(rong)入”、“五個(ge)必須”的(de)(de)(de)總體要(yao)(yao)求(qiu)(qiu),進一(yi)步(bu)加(jia)強與派(pai)駐本企(qi)(qi)(qi)業(ye)(ye)監(jian)(jian)(jian)事會(hui)的(de)(de)(de)溝通(tong)配(pei)合,根據監(jian)(jian)(jian)事會(hui)監(jian)(jian)(jian)督(du)檢查工(gong)作需要(yao)(yao),結(jie)合企(qi)(qi)(qi)業(ye)(ye)經營規模(mo)、組織架構(gou)、管(guan)控(kong)模(mo)式、行業(ye)(ye)特(te)點(dian)、區(qu)域(yu)分布、發展階段等情況,共同確定企(qi)(qi)(qi)業(ye)(ye)填(tian)(tian)報(bao)范圍(wei)(wei)和年度(du)重(zhong)(zhong)點(dian)披露(lu)事項。原則上,年度(du)報(bao)告填(tian)(tian)報(bao)范圍(wei)(wei)包括企(qi)(qi)(qi)業(ye)(ye)集團、境內(nei)(nei)(外)二級單位、各級金融(rong)子企(qi)(qi)(qi)業(ye)(ye)以及所托(tuo)管(guan)企(qi)(qi)(qi)業(ye)(ye);整(zheng)體上市中央(yang)企(qi)(qi)(qi)業(ye)(ye)填(tian)(tian)報(bao)范圍(wei)(wei)包括控(kong)股上市公(gong)司(si)(si)所屬境內(nei)(nei)(外)二級單位;離岸公(gong)司(si)(si)、殼(ke)公(gong)司(si)(si)等特(te)殊子企(qi)(qi)(qi)業(ye)(ye)不納入填(tian)(tian)報(bao)范圍(wei)(wei),監(jian)(jian)(jian)事會(hui)另(ling)有要(yao)(yao)求(qiu)(qiu)的(de)(de)(de)除外。三(san)級(含)以下重(zhong)(zhong)要(yao)(yao)子企(qi)(qi)(qi)業(ye)(ye)及重(zhong)(zhong)要(yao)(yao)非(fei)法人(ren)實體等填(tian)(tian)報(bao)范圍(wei)(wei)與監(jian)(jian)(jian)事會(hui)共同商(shang)定,根據監(jian)(jian)(jian)事會(hui)工(gong)作需要(yao)(yao)及年度(du)監(jian)(jian)(jian)督(du)檢查計(ji)劃安排,納入填(tian)(tian)報(bao)范圍(wei)(wei)。鼓勵有條件的(de)(de)(de)中央(yang)企(qi)(qi)(qi)業(ye)(ye)試行全級次報(bao)送(song)。要(yao)(yao)根據派(pai)駐本企(qi)(qi)(qi)業(ye)(ye)監(jian)(jian)(jian)事會(hui)的(de)(de)(de)要(yao)(yao)求(qiu)(qiu),分行業(ye)(ye)、分業(ye)(ye)務板塊梳理重(zhong)(zhong)點(dian)關注(zhu)事項和重(zhong)(zhong)點(dian)填(tian)(tian)報(bao)內(nei)(nei)容。
四(si)、融入(ru)日常管控,完(wan)善長效機制(zhi)
各(ge)中(zhong)央企(qi)(qi)業(ye)(ye)要深(shen)入推進(jin)年度(du)(du)(du)報(bao)告工(gong)(gong)(gong)作(zuo)(zuo)與企(qi)(qi)業(ye)(ye)日常管控工(gong)(gong)(gong)作(zuo)(zuo)的(de)深(shen)度(du)(du)(du)融合,努力(li)實現(xian)工(gong)(gong)(gong)作(zuo)(zuo)聯動(dong)、信息(xi)(xi)共(gong)享、資源(yuan)整合、成(cheng)(cheng)果(guo)(guo)共(gong)用(yong),著力(li)形成(cheng)(cheng)以年度(du)(du)(du)報(bao)告為抓手的(de)企(qi)(qi)業(ye)(ye)自我診斷、自我完(wan)善的(de)長(chang)效工(gong)(gong)(gong)作(zuo)(zuo)機制。要加強年度(du)(du)(du)報(bao)告制度(du)(du)(du)建(jian)(jian)設,建(jian)(jian)立(li)統(tong)一工(gong)(gong)(gong)作(zuo)(zuo)規范和標(biao)準(zhun)體(ti)系,科學安排工(gong)(gong)(gong)作(zuo)(zuo)進(jin)度(du)(du)(du),細化規范工(gong)(gong)(gong)作(zuo)(zuo)標(biao)準(zhun),嚴格審核(he)評價(jia)流程(cheng),實現(xian)全程(cheng)閉環(huan)管理。要建(jian)(jian)立(li)內部協同聯動(dong)機制,充(chong)分利用(yong)已有管理系統(tong)、內部成(cheng)(cheng)果(guo)(guo)、工(gong)(gong)(gong)作(zuo)(zuo)報(bao)告等信息(xi)(xi)載體(ti),避免重(zhong)復(fu)(fu)歸集、重(zhong)復(fu)(fu)報(bao)送。要實現(xian)年度(du)(du)(du)報(bao)告與企(qi)(qi)業(ye)(ye)信息(xi)(xi)化工(gong)(gong)(gong)作(zuo)(zuo)有效對接,充(chong)分利用(yong)信息(xi)(xi)化建(jian)(jian)設基礎(chu),以大數據為核(he)心推進(jin)年度(du)(du)(du)報(bao)告信息(xi)(xi)化建(jian)(jian)設,創新工(gong)(gong)(gong)作(zuo)(zuo)方法,提高工(gong)(gong)(gong)作(zuo)(zuo)效率(lv),分享信息(xi)(xi)資源(yuan),深(shen)化成(cheng)(cheng)果(guo)(guo)應用(yong)。要建(jian)(jian)立(li)健全年度(du)(du)(du)報(bao)告質量綜(zong)合評價(jia)機制,研究制定年度(du)(du)(du)報(bao)告工(gong)(gong)(gong)作(zuo)(zuo)及支持配(pei)合監事會工(gong)(gong)(gong)作(zuo)(zuo)與業(ye)(ye)績考核(he)掛(gua)鉤的(de)具體(ti)措施,完(wan)善激勵約束長(chang)效機制,推動(dong)年度(du)(du)(du)報(bao)告工(gong)(gong)(gong)作(zuo)(zuo)落(luo)到(dao)實處。
五、落實填報任務,按時備案報送
(一)請各中央企(qi)業于2016年(nian)12月15日前將與派駐本(ben)企(qi)業監事會共同確定的擬報(bao)送(song)年(nian)度報(bao)告有關(guan)事項,以正(zheng)式文件形式(式樣(yang)見附件1)報(bao)監事會工作局備(bei)案(an)。
(二)請各中央(yang)企業(ye)于2017年2月28日前將集團公司與(yu)各級子企業(ye)年度報(bao)告一并以正(zheng)式文件形式(式樣(yang)見附件2)報(bao)送派駐本企業(ye)監(jian)事(shi)會(紙質材料1套(tao),光盤2套(tao)),同(tong)時將年度報(bao)告(光盤1套(tao))及(ji)正(zheng)式文件報(bao)送監(jian)事(shi)會工(gong)作局(ju)備(bei)案。
(三)年度(du)報(bao)(bao)告繼(ji)續(xu)使用軟件填(tian)(tian)報(bao)(bao)。《2016年度(du)企業年度(du)工作報(bao)(bao)告格式文本(ben)及編制說明》安(an)裝在(zai)填(tian)(tian)報(bao)(bao)軟件中,繼(ji)續(xu)探索推進信息化報(bao)(bao)送和(he)綜合應用。需要填(tian)(tian)報(bao)(bao)軟件及紙質(zhi)材料(liao)的企業請(qing)與監(jian)事會工作局聯系(xi)。
(四)國(guo)資委(wei)將組織召開“2016年度(du)中央企業年度(du)工作報告布置培訓視頻會議”,屆(jie)時請各中央企業按通知要求組織相關人(ren)員參會。
各中央(yang)企業在填報過程中遇到的(de)問題(ti),請及時與派駐本企業監事會(hui)或(huo)監事會(hui)工作局聯系。
