各中央企業:
依照(zhao)《國有企業(ye)監事(shi)會暫行條(tiao)例》(國務院令第283號)、《關于加強和改進(jin)國有企業(ye)監事(shi)會工(gong)作(zuo)的若干(gan)意見》(國資(zi)發(fa)(fa)監督〔2006〕174號)和《關于進(jin)一(yi)步支持(chi)配合(he)監事(shi)會開展(zhan)監督檢查(cha)工(gong)作(zuo)有關事(shi)項的通知》(國資(zi)發(fa)(fa)監督〔2012〕120號)的有關規(gui)定,各(ge)中央企業(ye)每年向(xiang)監事(shi)會報(bao)送《企業(ye)年度(du)工(gong)作(zuo)報(bao)告》(以下(xia)簡稱年度(du)報(bao)告)。為(wei)做(zuo)好2016年度(du)報(bao)告填(tian)報(bao)工(gong)作(zuo),現將有關事(shi)項通知如下(xia):
一、加強(qiang)組(zu)織領導,健(jian)全工(gong)作體系
各中央企(qi)業要(yao)高度重視年(nian)度報(bao)(bao)(bao)告(gao)(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo),健(jian)全組(zu)織領(ling)(ling)導(dao)機制(zhi)(zhi),成立(li)年(nian)度報(bao)(bao)(bao)告(gao)(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)領(ling)(ling)導(dao)小(xiao)組(zu)或聯(lian)席會議(yi),統籌謀(mou)劃、協(xie)同(tong)推動各項(xiang)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)。要(yao)研究(jiu)制(zhi)(zhi)定(ding)年(nian)度報(bao)(bao)(bao)告(gao)(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)落(luo)實方(fang)案(an),明確(que)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)目(mu)標、具體措施、責任(ren)(ren)(ren)主體和進度要(yao)求(qiu),強化(hua)部(bu)(bu)門聯(lian)動,結合企(qi)業實際編制(zhi)(zhi)可(ke)(ke)追溯、可(ke)(ke)量(liang)化(hua)、可(ke)(ke)評價、可(ke)(ke)考核的(de)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)任(ren)(ren)(ren)務(wu)分(fen)解(jie)臺賬。企(qi)業法定(ding)代表(biao)人要(yao)認(ren)真(zhen)履行好年(nian)度報(bao)(bao)(bao)告(gao)(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)第一責任(ren)(ren)(ren)人職責,強化(hua)領(ling)(ling)導(dao)、落(luo)實責任(ren)(ren)(ren),嚴格把關、確(que)保質量(liang);分(fen)管(guan)領(ling)(ling)導(dao)要(yao)履行好直(zhi)接(jie)責任(ren)(ren)(ren)人職責,深入一線、靠前指揮,把控關鍵、重點(dian)督辦;牽頭部(bu)(bu)門要(yao)加(jia)強組(zu)織協(xie)調(diao),及時分(fen)解(jie)落(luo)實任(ren)(ren)(ren)務(wu)、規范(fan)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)流程、細化(hua)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)要(yao)求(qiu)、密切跟蹤督促、強化(hua)過程控制(zhi)(zhi);協(xie)同(tong)部(bu)(bu)門要(yao)明確(que)任(ren)(ren)(ren)務(wu)分(fen)工(gong)(gong)(gong),主動參(can)與、積極配(pei)合,細化(hua)落(luo)實工(gong)(gong)(gong)作(zuo)(zuo)(zuo)責任(ren)(ren)(ren),形成有效(xiao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)合力。中央企(qi)業集團總(zong)部(bu)(bu)要(yao)加(jia)強對子企(qi)業年(nian)度報(bao)(bao)(bao)告(gao)(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)的(de)統籌領(ling)(ling)導(dao),做(zuo)到統一部(bu)(bu)署、統一標準、統一實施、統一審核,建立(li)完善橫(heng)向全面覆蓋、縱向責任(ren)(ren)(ren)到人的(de)組(zu)織管(guan)理體系。
二、圍繞中心(xin)工作,全面梳理排查(cha)
各中(zhong)央企(qi)(qi)業(ye)要(yao)以年(nian)度報(bao)告工(gong)作(zuo)(zuo)(zuo)為抓(zhua)手,緊密圍繞中(zhong)心(xin)工(gong)作(zuo)(zuo)(zuo),全(quan)面(mian)總結一年(nian)來企(qi)(qi)業(ye)經營管(guan)理(li)(li)和改革(ge)(ge)發展情(qing)(qing)況(kuang),深入排查(cha)(cha)重(zhong)大問(wen)(wen)題和風險(xian)隱患,探(tan)索建立企(qi)(qi)業(ye)自查(cha)(cha)問(wen)(wen)題清單,認真分析查(cha)(cha)找原因,制(zhi)定(ding)切實可(ke)行(xing)的整改措施(shi)。要(yao)圍繞黨中(zhong)央、國(guo)務院重(zhong)大決(jue)(jue)策(ce)部(bu)署及國(guo)資(zi)監管(guan)政(zheng)策(ce)規定(ding)執行(xing)情(qing)(qing)況(kuang),系統(tong)(tong)梳理(li)(li)深化(hua)國(guo)企(qi)(qi)國(guo)資(zi)改革(ge)(ge)和推進供給側結構性改革(ge)(ge)、瘦(shou)身健(jian)體、提質增效(xiao)(xiao)等(deng)(deng)重(zhong)點任務落(luo)實情(qing)(qing)況(kuang),著(zhu)重(zhong)分析化(hua)解(jie)過剩產能、處(chu)置“僵(jiang)尸企(qi)(qi)業(ye)”、特困企(qi)(qi)業(ye)專項(xiang)治理(li)(li)、壓(ya)縮管(guan)理(li)(li)層級、減少法人數量(liang)、加快(kuai)解(jie)決(jue)(jue)歷史遺留問(wen)(wen)題等(deng)(deng)重(zhong)點專項(xiang)工(gong)作(zuo)(zuo)(zuo)情(qing)(qing)況(kuang)及存(cun)在的問(wen)(wen)題。要(yao)以提高發展質量(liang)和效(xiao)(xiao)益為中(zhong)心(xin),全(quan)面(mian)梳理(li)(li)、集中(zhong)排查(cha)(cha)企(qi)(qi)業(ye)內(nei)部(bu)控制(zhi)、財務管(guan)理(li)(li)、運營管(guan)控、境外資(zi)產管(guan)理(li)(li)、黨建及公司治理(li)(li)等(deng)(deng)方(fang)面(mian)存(cun)在的重(zhong)要(yao)管(guan)控缺陷,詳細報(bao)告企(qi)(qi)業(ye)重(zhong)大資(zi)產減值、重(zhong)大資(zi)產損(sun)失、重(zhong)大經營風險(xian)、債務違約風險(xian)等(deng)(deng)重(zhong)要(yao)風險(xian)事項(xiang)。要(yao)建立健(jian)全(quan)年(nian)度報(bao)告揭示問(wen)(wen)題整改落(luo)實機制(zhi),形成部(bu)門間(jian)齊抓(zhua)共管(guan)、整改聯(lian)動的工(gong)作(zuo)(zuo)(zuo)局面(mian),有(you)效(xiao)(xiao)發揮年(nian)度報(bao)告在系統(tong)(tong)診斷和風險(xian)預判方(fang)面(mian)的重(zhong)要(yao)作(zuo)(zuo)(zuo)用。
三、加強溝通配合(he),明確范圍重點
各中(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)(ye)(ye)(ye)要(yao)深入(ru)貫徹(che)落(luo)實(shi)(shi)中(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)(ye)(ye)(ye)監(jian)(jian)(jian)事(shi)(shi)會(hui)(hui)工(gong)(gong)作會(hui)(hui)議精神,按照(zhao)“兩個(ge)融(rong)入(ru)”、“五個(ge)必須”的(de)總體要(yao)求(qiu)(qiu),進一步加強與(yu)派駐本企(qi)(qi)業(ye)(ye)(ye)(ye)監(jian)(jian)(jian)事(shi)(shi)會(hui)(hui)的(de)溝(gou)通配(pei)合,根(gen)據(ju)(ju)監(jian)(jian)(jian)事(shi)(shi)會(hui)(hui)監(jian)(jian)(jian)督檢(jian)查工(gong)(gong)作需(xu)要(yao),結合企(qi)(qi)業(ye)(ye)(ye)(ye)經營(ying)規模、組(zu)織(zhi)架構、管控(kong)模式、行業(ye)(ye)(ye)(ye)特(te)點、區域分(fen)布、發展(zhan)階(jie)段等情況,共同確定企(qi)(qi)業(ye)(ye)(ye)(ye)填(tian)(tian)報(bao)(bao)范(fan)圍(wei)(wei)和年度(du)重點披露事(shi)(shi)項(xiang)。原則上,年度(du)報(bao)(bao)告填(tian)(tian)報(bao)(bao)范(fan)圍(wei)(wei)包(bao)括企(qi)(qi)業(ye)(ye)(ye)(ye)集團、境內(外(wai))二級(ji)單位(wei)、各級(ji)金融(rong)子企(qi)(qi)業(ye)(ye)(ye)(ye)以及(ji)(ji)所托(tuo)管企(qi)(qi)業(ye)(ye)(ye)(ye);整(zheng)體上市中(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)(ye)(ye)(ye)填(tian)(tian)報(bao)(bao)范(fan)圍(wei)(wei)包(bao)括控(kong)股上市公司(si)(si)所屬境內(外(wai))二級(ji)單位(wei);離岸公司(si)(si)、殼公司(si)(si)等特(te)殊(shu)子企(qi)(qi)業(ye)(ye)(ye)(ye)不納入(ru)填(tian)(tian)報(bao)(bao)范(fan)圍(wei)(wei),監(jian)(jian)(jian)事(shi)(shi)會(hui)(hui)另有要(yao)求(qiu)(qiu)的(de)除外(wai)。三級(ji)(含)以下重要(yao)子企(qi)(qi)業(ye)(ye)(ye)(ye)及(ji)(ji)重要(yao)非法人實(shi)(shi)體等填(tian)(tian)報(bao)(bao)范(fan)圍(wei)(wei)與(yu)監(jian)(jian)(jian)事(shi)(shi)會(hui)(hui)共同商(shang)定,根(gen)據(ju)(ju)監(jian)(jian)(jian)事(shi)(shi)會(hui)(hui)工(gong)(gong)作需(xu)要(yao)及(ji)(ji)年度(du)監(jian)(jian)(jian)督檢(jian)查計劃安排(pai),納入(ru)填(tian)(tian)報(bao)(bao)范(fan)圍(wei)(wei)。鼓勵(li)有條(tiao)件的(de)中(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)(ye)(ye)(ye)試行全級(ji)次報(bao)(bao)送。要(yao)根(gen)據(ju)(ju)派駐本企(qi)(qi)業(ye)(ye)(ye)(ye)監(jian)(jian)(jian)事(shi)(shi)會(hui)(hui)的(de)要(yao)求(qiu)(qiu),分(fen)行業(ye)(ye)(ye)(ye)、分(fen)業(ye)(ye)(ye)(ye)務板塊梳理重點關(guan)注事(shi)(shi)項(xiang)和重點填(tian)(tian)報(bao)(bao)內容。
四、融入日常管控,完善長效(xiao)機制
各中央(yang)企業(ye)要(yao)深入(ru)推進(jin)年(nian)(nian)(nian)度(du)(du)報(bao)(bao)(bao)(bao)(bao)告(gao)工(gong)(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)與企業(ye)日常管(guan)(guan)控工(gong)(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)的(de)深度(du)(du)融合,努力(li)實(shi)現(xian)工(gong)(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)聯動(dong)、信(xin)息(xi)(xi)共(gong)(gong)享(xiang)(xiang)、資源整合、成果共(gong)(gong)用,著力(li)形成以年(nian)(nian)(nian)度(du)(du)報(bao)(bao)(bao)(bao)(bao)告(gao)為(wei)抓手的(de)企業(ye)自我(wo)診斷(duan)、自我(wo)完(wan)善(shan)的(de)長(chang)效(xiao)(xiao)工(gong)(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)機(ji)(ji)制(zhi)。要(yao)加(jia)強年(nian)(nian)(nian)度(du)(du)報(bao)(bao)(bao)(bao)(bao)告(gao)制(zhi)度(du)(du)建(jian)設(she)(she),建(jian)立統一工(gong)(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)規范和標準(zhun)體系,科(ke)學安排工(gong)(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)進(jin)度(du)(du),細化(hua)規范工(gong)(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)標準(zhun),嚴格審(shen)核(he)評(ping)價流程,實(shi)現(xian)全程閉環管(guan)(guan)理。要(yao)建(jian)立內部協同聯動(dong)機(ji)(ji)制(zhi),充分(fen)(fen)利用已(yi)有管(guan)(guan)理系統、內部成果、工(gong)(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)報(bao)(bao)(bao)(bao)(bao)告(gao)等信(xin)息(xi)(xi)載(zai)體,避(bi)免(mian)重(zhong)復歸集(ji)、重(zhong)復報(bao)(bao)(bao)(bao)(bao)送。要(yao)實(shi)現(xian)年(nian)(nian)(nian)度(du)(du)報(bao)(bao)(bao)(bao)(bao)告(gao)與企業(ye)信(xin)息(xi)(xi)化(hua)工(gong)(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)有效(xiao)(xiao)對接(jie),充分(fen)(fen)利用信(xin)息(xi)(xi)化(hua)建(jian)設(she)(she)基礎,以大數(shu)據為(wei)核(he)心推進(jin)年(nian)(nian)(nian)度(du)(du)報(bao)(bao)(bao)(bao)(bao)告(gao)信(xin)息(xi)(xi)化(hua)建(jian)設(she)(she),創新工(gong)(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)方法,提高(gao)工(gong)(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)效(xiao)(xiao)率,分(fen)(fen)享(xiang)(xiang)信(xin)息(xi)(xi)資源,深化(hua)成果應(ying)用。要(yao)建(jian)立健全年(nian)(nian)(nian)度(du)(du)報(bao)(bao)(bao)(bao)(bao)告(gao)質量綜合評(ping)價機(ji)(ji)制(zhi),研究制(zhi)定年(nian)(nian)(nian)度(du)(du)報(bao)(bao)(bao)(bao)(bao)告(gao)工(gong)(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)及支持配合監事會工(gong)(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)與業(ye)績(ji)考核(he)掛鉤的(de)具體措施,完(wan)善(shan)激勵約(yue)束長(chang)效(xiao)(xiao)機(ji)(ji)制(zhi),推動(dong)年(nian)(nian)(nian)度(du)(du)報(bao)(bao)(bao)(bao)(bao)告(gao)工(gong)(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)落到實(shi)處。
五(wu)、落實填報任務(wu),按(an)時備案報送
(一)請(qing)各中央(yang)企業于2016年(nian)12月(yue)15日前將與派駐(zhu)本企業監事(shi)會共同確定的擬報送年(nian)度報告有關事(shi)項,以正式(shi)文件形式(shi)(式(shi)樣見(jian)附件1)報監事(shi)會工作(zuo)局備(bei)案。
(二)請(qing)各(ge)(ge)中(zhong)央企(qi)業(ye)(ye)于2017年2月28日前將(jiang)集(ji)團公司與(yu)各(ge)(ge)級子企(qi)業(ye)(ye)年度(du)報(bao)告一并(bing)以正(zheng)式(shi)文(wen)件(jian)(jian)形式(shi)(式(shi)樣見附件(jian)(jian)2)報(bao)送派駐本(ben)企(qi)業(ye)(ye)監事(shi)會(紙(zhi)質(zhi)材料1套,光(guang)盤(pan)2套),同時將(jiang)年度(du)報(bao)告(光(guang)盤(pan)1套)及正(zheng)式(shi)文(wen)件(jian)(jian)報(bao)送監事(shi)會工作局備案。
(三)年度報(bao)告繼(ji)續(xu)使用(yong)軟件填(tian)報(bao)。《2016年度企(qi)業(ye)年度工(gong)作(zuo)報(bao)告格式(shi)文本及編制說明》安裝在填(tian)報(bao)軟件中,繼(ji)續(xu)探索推進信息化報(bao)送和綜合應用(yong)。需要填(tian)報(bao)軟件及紙質(zhi)材(cai)料的企(qi)業(ye)請與監事會工(gong)作(zuo)局(ju)聯系。
(四)國資委將組織召開“2016年度中央企(qi)業年度工(gong)作報告布置培訓視(shi)頻會議(yi)”,屆時請各中央企(qi)業按通知要求組織相關人員參會。
各中(zhong)央企(qi)業(ye)在填報過程中(zhong)遇(yu)到(dao)的問(wen)題,請及時與(yu)派駐本企(qi)業(ye)監事(shi)會或監事(shi)會工作(zuo)局聯系(xi)。
