關于做好中央企業違規經營投資責任追究工作體系建設有關事項的通知 

 

各中央企業:

根據(ju)《國務院辦(ban)公廳(ting)關于(yu)建(jian)(jian)立(li)國有(you)企(qi)(qi)業(ye)(ye)(ye)違規(gui)經營投(tou)資責(ze)(ze)(ze)(ze)(ze)(ze)任(ren)追(zhui)(zhui)(zhui)究制(zhi)度的(de)意見》(國辦(ban)發〔2016〕63號(hao)(hao),以下簡(jian)稱63號(hao)(hao)文(wen)件(jian)),按照國資委(wei)有(you)關要求(qiu),各(ge)中(zhong)央(yang)企(qi)(qi)業(ye)(ye)(ye)高(gao)度重視,均成立(li)了違規(gui)經營投(tou)資責(ze)(ze)(ze)(ze)(ze)(ze)任(ren)追(zhui)(zhui)(zhui)究工(gong)作(zuo)領導(dao)小組或工(gong)作(zuo)小組,其中(zhong)大(da)部分由企(qi)(qi)業(ye)(ye)(ye)主(zhu)要負責(ze)(ze)(ze)(ze)(ze)(ze)人任(ren)組長,有(you)序推進(jin)制(zhi)度建(jian)(jian)設、組織建(jian)(jian)設和體(ti)(ti)系(xi)建(jian)(jian)設。目(mu)前,責(ze)(ze)(ze)(ze)(ze)(ze)任(ren)追(zhui)(zhui)(zhui)究工(gong)作(zuo)專門制(zhi)度、職(zhi)能部門、報(bao)告機制(zhi)已基(ji)(ji)本(ben)實現全覆蓋,責(ze)(ze)(ze)(ze)(ze)(ze)任(ren)倒查機制(zhi)基(ji)(ji)本(ben)形(xing)成,以追(zhui)(zhui)(zhui)責(ze)(ze)(ze)(ze)(ze)(ze)促進(jin)企(qi)(qi)業(ye)(ye)(ye)強化管(guan)理、完善制(zhi)度等取得(de)積極成效,保障企(qi)(qi)業(ye)(ye)(ye)合規(gui)經營及高(gao)質(zhi)量發展作(zuo)用逐步(bu)顯現,63號(hao)(hao)文(wen)件(jian)明確的(de)第(di)(di)一階段(duan)目(mu)標(biao)初步(bu)完成。為進(jin)一步(bu)落實63號(hao)(hao)文(wen)件(jian)“在2020年底(di)前,全面(mian)建(jian)(jian)立(li)覆蓋各(ge)級履行出資人職(zhi)責(ze)(ze)(ze)(ze)(ze)(ze)的(de)機構及國有(you)企(qi)(qi)業(ye)(ye)(ye)的(de)責(ze)(ze)(ze)(ze)(ze)(ze)任(ren)追(zhui)(zhui)(zhui)究工(gong)作(zuo)體(ti)(ti)系(xi),形(xing)成職(zhi)責(ze)(ze)(ze)(ze)(ze)(ze)明確、流(liu)程清晰、規(gui)范有(you)序的(de)責(ze)(ze)(ze)(ze)(ze)(ze)任(ren)追(zhui)(zhui)(zhui)究工(gong)作(zuo)機制(zhi)”的(de)第(di)(di)二階段(duan)目(mu)標(biao),做(zuo)好(hao)中(zhong)央(yang)企(qi)(qi)業(ye)(ye)(ye)責(ze)(ze)(ze)(ze)(ze)(ze)任(ren)追(zhui)(zhui)(zhui)究工(gong)作(zuo)體(ti)(ti)系(xi)建(jian)(jian)設,現將有(you)關事項通知如下:

一、進(jin)一步提(ti)高對責(ze)(ze)任(ren)追(zhui)究工(gong)作(zuo)(zuo)重(zhong)(zhong)(zhong)要性的認(ren)識。黨(dang)中央、國(guo)務院高度(du)重(zhong)(zhong)(zhong)視強(qiang)化國(guo)有(you)資(zi)產(chan)監管、落實(shi)國(guo)有(you)企業經(jing)(jing)營(ying)(ying)投資(zi)責(ze)(ze)任(ren),黨(dang)的十(shi)八屆三中全會以(yi)及國(guo)資(zi)國(guo)企改革系列文件(jian)對強(qiang)化經(jing)(jing)營(ying)(ying)投資(zi)責(ze)(ze)任(ren)追(zhui)究,建立健全國(guo)有(you)企業重(zhong)(zhong)(zhong)大決(jue)策失(shi)誤(wu)和(he)失(shi)職、瀆職責(ze)(ze)任(ren)追(zhui)究倒(dao)查機制等(deng)作(zuo)(zuo)出一系列部署。各(ge)中央企業要切實(shi)提(ti)高思想認(ren)識,站在守(shou)護好全體人民共同財(cai)富的高度(du),深刻(ke)理解責(ze)(ze)任(ren)追(zhui)究工(gong)作(zuo)(zuo)在有(you)效(xiao)(xiao)防止國(guo)有(you)資(zi)產(chan)流失(shi)、落實(shi)國(guo)有(you)資(zi)產(chan)保值增值責(ze)(ze)任(ren)方面(mian)的重(zhong)(zhong)(zhong)要作(zuo)(zuo)用,將推進(jin)責(ze)(ze)任(ren)追(zhui)究工(gong)作(zuo)(zuo)體系建設(she)作(zuo)(zuo)為提(ti)升合(he)規(gui)經(jing)(jing)營(ying)(ying)水平和(he)防范化解重(zhong)(zhong)(zhong)大風險的重(zhong)(zhong)(zhong)要抓手,通過有(you)效(xiao)(xiao)開展責(ze)(ze)任(ren)追(zhui)究工(gong)作(zuo)(zuo),促進(jin)各(ge)級經(jing)(jing)營(ying)(ying)管理人員規(gui)范履職、勤勉盡責(ze)(ze),推動企業合(he)規(gui)經(jing)(jing)營(ying)(ying)、行穩致遠。

二、深入推(tui)(tui)進(jin)組織(zhi)體(ti)(ti)系(xi)建(jian)設(she)。各中央企(qi)業要(yao)健全責(ze)(ze)(ze)(ze)任(ren)追究組織(zhi)體(ti)(ti)系(xi),嚴格落(luo)實(shi)(shi)責(ze)(ze)(ze)(ze)任(ren),層層傳導壓力,持續深入推(tui)(tui)進(jin)責(ze)(ze)(ze)(ze)任(ren)追究工(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)。一要(yao)加(jia)強工(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)組織(zhi)領(ling)導。企(qi)業主要(yao)負(fu)責(ze)(ze)(ze)(ze)人(ren)(ren)(ren)要(yao)主持研(yan)究審議責(ze)(ze)(ze)(ze)任(ren)追究工(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)重要(yao)事項,統(tong)籌謀劃,部(bu)署推(tui)(tui)動,保(bao)障工(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)有(you)效(xiao)開(kai)展。分(fen)管(guan)負(fu)責(ze)(ze)(ze)(ze)人(ren)(ren)(ren)要(yao)靠前指(zhi)(zhi)揮,指(zhi)(zhi)導把關(guan)核查質(zhi)量,督促(cu)工(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)深入推(tui)(tui)進(jin)。職(zhi)(zhi)(zhi)能(neng)部(bu)門(men)要(yao)切(qie)(qie)實(shi)(shi)擔負(fu)起直(zhi)接責(ze)(ze)(ze)(ze)任(ren),抓緊(jin)編制(zhi)工(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)體(ti)(ti)系(xi)建(jian)設(she)方案,與人(ren)(ren)(ren)力資(zi)源、巡視、紀檢監察等部(bu)門(men)密切(qie)(qie)配(pei)合,做好具體(ti)(ti)組織(zhi)實(shi)(shi)施(shi)。二要(yao)進(jin)一步強化職(zhi)(zhi)(zhi)能(neng)部(bu)門(men)建(jian)設(she)。要(yao)切(qie)(qie)實(shi)(shi)落(luo)實(shi)(shi)職(zhi)(zhi)(zhi)能(neng)部(bu)門(men)編制(zhi)、人(ren)(ren)(ren)員、資(zi)金等工(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)保(bao)障,確保(bao)專項工(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)獨立有(you)效(xiao)開(kai)展。要(yao)配(pei)齊配(pei)強配(pei)優工(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)隊(dui)伍,加(jia)強培(pei)訓教(jiao)育和實(shi)(shi)踐鍛(duan)煉,提升專業能(neng)力和專業精(jing)神。三要(yao)推(tui)(tui)進(jin)所屬企(qi)業責(ze)(ze)(ze)(ze)任(ren)追究工(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)組織(zhi)體(ti)(ti)系(xi)建(jian)設(she)。按照分(fen)級管(guan)理、分(fen)層負(fu)責(ze)(ze)(ze)(ze)的原則,結合企(qi)業實(shi)(shi)際、行業特性等,實(shi)(shi)現職(zhi)(zhi)(zhi)責(ze)(ze)(ze)(ze)主體(ti)(ti)上有(you)人(ren)(ren)(ren)管(guan),監督范圍上全覆蓋。

三(san)、持續完善(shan)責(ze)任(ren)(ren)(ren)追(zhui)究(jiu)(jiu)(jiu)制(zhi)(zhi)度(du)體(ti)系。各(ge)中(zhong)央企(qi)業(ye)要加快構建內容(rong)協調、流程(cheng)清晰、配套(tao)完備、有(you)效(xiao)管(guan)用(yong)的(de)責(ze)任(ren)(ren)(ren)追(zhui)究(jiu)(jiu)(jiu)制(zhi)(zhi)度(du)體(ti)系,不(bu)斷提高工(gong)作(zuo)規(gui)(gui)范(fan)化(hua)、制(zhi)(zhi)度(du)化(hua)、科學(xue)化(hua)水(shui)平。一(yi)要推進制(zhi)(zhi)度(du)深度(du)覆蓋和(he)有(you)效(xiao)約束(shu)(shu)。根據所(suo)屬(shu)企(qi)業(ye)規(gui)(gui)模體(ti)量差異、業(ye)務模式特點等,因企(qi)施(shi)(shi)策細(xi)(xi)化(hua)責(ze)任(ren)(ren)(ren)追(zhui)究(jiu)(jiu)(jiu)范(fan)圍、劃(hua)分資(zi)產損失(shi)標準等,防止(zhi)尺度(du)范(fan)圍寬(kuan)松,責(ze)任(ren)(ren)(ren)約束(shu)(shu)不(bu)足。二(er)要完善(shan)配套(tao)制(zhi)(zhi)度(du)。研究(jiu)(jiu)(jiu)制(zhi)(zhi)定損失(shi)認(ren)定、責(ze)任(ren)(ren)(ren)認(ren)定、離職(zhi)退休人員違規(gui)(gui)責(ze)任(ren)(ren)(ren)追(zhui)究(jiu)(jiu)(jiu)處理等實施(shi)(shi)細(xi)(xi)則,規(gui)(gui)范(fan)工(gong)作(zuo)流程(cheng)和(he)標準,實現(xian)責(ze)任(ren)(ren)(ren)追(zhui)究(jiu)(jiu)(jiu)工(gong)作(zuo)標準一(yi)致(zhi)、有(you)章可循(xun)、規(gui)(gui)范(fan)有(you)序(xu)。三(san)要夯實制(zhi)(zhi)度(du)基礎。落(luo)實63號(hao)文件要求,進一(yi)步完善(shan)重大決(jue)策評估、決(jue)策事項履職(zhi)記(ji)錄等規(gui)(gui)定;細(xi)(xi)化(hua)各(ge)類經營投資(zi)責(ze)任(ren)(ren)(ren)條款和(he)清單,明(ming)確崗位職(zhi)責(ze)和(he)履職(zhi)程(cheng)序(xu);在有(you)關外聘董事、職(zhi)業(ye)經理人聘任(ren)(ren)(ren)合同中(zhong),要明(ming)確違規(gui)(gui)經營投資(zi)責(ze)任(ren)(ren)(ren)追(zhui)究(jiu)(jiu)(jiu)的(de)原則要求。

四、扎實(shi)(shi)做(zuo)好(hao)(hao)違(wei)規(gui)(gui)問題(ti)線索(suo)查(cha)處(chu)。各中央(yang)企業(ye)(ye)要(yao)(yao)(yao)(yao)違(wei)規(gui)(gui)必(bi)究,追(zhui)(zhui)(zhui)責(ze)必(bi)嚴,切實(shi)(shi)增強國資監管法(fa)規(gui)(gui)制度和企業(ye)(ye)內部管理規(gui)(gui)定剛性約束。一(yi)要(yao)(yao)(yao)(yao)加大責(ze)任(ren)追(zhui)(zhui)(zhui)究工(gong)(gong)作(zuo)(zuo)力度。對(dui)受理查(cha)辦的(de)(de)違(wei)規(gui)(gui)經營投資問題(ti)線索(suo)實(shi)(shi)行(xing)對(dui)賬(zhang)銷號管理,集中力量(liang)抓好(hao)(hao)國有(you)(you)資產重大損失調查(cha),依法(fa)依規(gui)(gui)追(zhui)(zhui)(zhui)究有(you)(you)關人(ren)員責(ze)任(ren)。對(dui)發(fa)現的(de)(de)涉(she)嫌(xian)違(wei)紀(ji)、職(zhi)務違(wei)法(fa)及犯罪(zui)的(de)(de)問題(ti)線索(suo),要(yao)(yao)(yao)(yao)及時移送紀(ji)檢監察或(huo)司(si)法(fa)機關查(cha)處(chu)。二要(yao)(yao)(yao)(yao)強化責(ze)任(ren)追(zhui)(zhui)(zhui)究工(gong)(gong)作(zuo)(zuo)指導監督。組織對(dui)所屬(shu)企業(ye)(ye)責(ze)任(ren)追(zhui)(zhui)(zhui)究工(gong)(gong)作(zuo)(zuo)的(de)(de)監督檢查(cha),強化定性、定損、定責(ze)等(deng)關鍵環節的(de)(de)指導把關,根據需要(yao)(yao)(yao)(yao)可(ke)由上級企業(ye)(ye)直接開展核查(cha)。三要(yao)(yao)(yao)(yao)加強案(an)例通(tong)報和有(you)(you)關信(xin)息公(gong)開。要(yao)(yao)(yao)(yao)結合具體案(an)例的(de)(de)調查(cha)處(chu)理,在適當范圍(wei)總結、通(tong)報及公(gong)開調查(cha)處(chu)理情況,以案(an)為(wei)鑒,發(fa)揮(hui)“追(zhui)(zhui)(zhui)責(ze)一(yi)個、警(jing)示一(yi)片”的(de)(de)警(jing)示教育作(zuo)(zuo)用(yong),不斷提高監督追(zhui)(zhui)(zhui)責(ze)工(gong)(gong)作(zuo)(zuo)的(de)(de)影響(xiang)力和透明度。

五、探(tan)(tan)索(suo)工作(zuo)方式方法(fa)。責任追(zhui)(zhui)究(jiu)工作(zuo)政(zheng)策性強、涉及面(mian)廣、專業(ye)(ye)要求高,各中(zhong)央企業(ye)(ye)要積(ji)極(ji)探(tan)(tan)索(suo)工作(zuo)的新(xin)途(tu)徑新(xin)方法(fa)。一(yi)要探(tan)(tan)索(suo)開(kai)(kai)展境(jing)(jing)外(wai)(wai)核查(cha)追(zhui)(zhui)責。逐步(bu)推進(jin)境(jing)(jing)外(wai)(wai)損失調查(cha)和(he)追(zhui)(zhui)責工作(zuo),關注重大(da)決策、重大(da)合(he)(he)同(tong)(tong)、大(da)額資金管控和(he)境(jing)(jing)外(wai)(wai)子企業(ye)(ye)治理(li)(li)(li)等方面(mian)的資產(chan)流失風險(xian),確保國有資本投到(dao)哪(na)(na)里,監管追(zhui)(zhui)責就延伸到(dao)哪(na)(na)里。二要探(tan)(tan)索(suo)建立(li)追(zhui)(zhui)責信息(xi)管理(li)(li)(li)系(xi)統。提(ti)升(sheng)工作(zuo)信息(xi)化水(shui)平,逐步(bu)實(shi)(shi)現線上填報提(ti)交責任追(zhui)(zhui)究(jiu)工作(zuo)報告,對(dui)受理(li)(li)(li)、初步(bu)核實(shi)(shi)、分類(lei)處置(zhi)、核查(cha)、處理(li)(li)(li)和(he)整改(gai)等環節全過(guo)程監督,研(yan)(yan)究(jiu)通(tong)過(guo)共享經營管理(li)(li)(li)信息(xi)和(he)構建大(da)數據模型(xing),精準發現違規問題。三要探(tan)(tan)索(suo)推進(jin)容(rong)錯(cuo)機制(zhi)落(luo)實(shi)(shi)落(luo)地。進(jin)一(yi)步(bu)研(yan)(yan)究(jiu)落(luo)實(shi)(shi)“三個(ge)區分開(kai)(kai)來”的落(luo)地舉措,具體問題具體分析,既防止追(zhui)(zhui)責不力,又防止追(zhui)(zhui)責泛化簡單化。同(tong)(tong)時,結合(he)(he)實(shi)(shi)際,研(yan)(yan)究(jiu)加(jia)強基金投資、混合(he)(he)所有制(zhi)等新(xin)業(ye)(ye)態領域的責任追(zhui)(zhui)究(jiu)工作(zuo)。

六(liu)、不(bu)斷健(jian)(jian)全以(yi)追(zhui)責(ze)促(cu)發(fa)展的(de)長效(xiao)機(ji)制(zhi)。責(ze)任(ren)追(zhui)究是手(shou)段不(bu)是目的(de),各中央企(qi)(qi)業(ye)要(yao)(yao)注(zhu)重做好監(jian)督“后半篇文章(zhang)”,把追(zhui)責(ze)成(cheng)果轉化(hua)(hua)(hua)為促(cu)進(jin)企(qi)(qi)業(ye)健(jian)(jian)康(kang)發(fa)展的(de)監(jian)管(guan)效(xiao)能。一(yi)要(yao)(yao)促(cu)進(jin)防范化(hua)(hua)(hua)解重大風險。舉一(yi)反三(san),以(yi)點(dian)帶面,深入開展共性(xing)問題核查(cha),排查(cha)問題隱患,預警(jing)提(ti)(ti)示經營風險。適時介入風險事(shi)件處置,跟(gen)蹤關注(zhu)或有資(zi)(zi)產(chan)損失,以(yi)追(zhui)責(ze)促(cu)追(zhui)損,及(ji)(ji)時化(hua)(hua)(hua)解資(zi)(zi)產(chan)損失風險。二(er)要(yao)(yao)推動(dong)完善企(qi)(qi)業(ye)內部控制(zhi)體(ti)系。針對發(fa)現(xian)的(de)內控缺陷和管(guan)控漏洞,標本兼(jian)治(zhi),強化(hua)(hua)(hua)整改(gai)落(luo)實,及(ji)(ji)時制(zhi)定修訂(ding)各項管(guan)理制(zhi)度(du),完善內控體(ti)系,提(ti)(ti)升(sheng)管(guan)理水平。三(san)要(yao)(yao)保(bao)障企(qi)(qi)業(ye)合(he)規經營健(jian)(jian)康(kang)發(fa)展。以(yi)責(ze)任(ren)追(zhui)究為重要(yao)(yao)抓手(shou),通過懲治(zhi)教育建設相結合(he),強化(hua)(hua)(hua)各級管(guan)理人員合(he)規履職的(de)自覺性(xing)和主動(dong)性(xing),全面推進(jin)依法治(zhi)企(qi)(qi),有效(xiao)促(cu)進(jin)企(qi)(qi)業(ye)穩健(jian)(jian)經營和可持續發(fa)展。

國資委(wei)將(jiang)加強對(dui)各中(zhong)(zhong)央(yang)(yang)企業(ye)責(ze)任(ren)追(zhui)究工(gong)作的指導(dao),組織培訓(xun)和交流,根據需要檢查(cha)企業(ye)貫徹落實(shi)63號(hao)文件、《中(zhong)(zhong)央(yang)(yang)企業(ye)違規經營(ying)投資責(ze)任(ren)追(zhui)究實(shi)施辦法(試行)》(國資委(wei)令第37號(hao),以(yi)(yi)下簡稱37號(hao)令)的工(gong)作情(qing)況等。各中(zhong)(zhong)央(yang)(yang)企業(ye)要認真制(zhi)定(ding)(ding)責(ze)任(ren)追(zhui)究工(gong)作體(ti)系建設方(fang)案并(bing)于(yu)2019年5月底前將(jiang)有(you)關情(qing)況書(shu)面報送(song)國資委(wei),具(ju)體(ti)實(shi)施落實(shi)情(qing)況納入年度定(ding)(ding)期報告一并(bing)報送(song)。同時(shi),要注意收集執行37號(hao)令以(yi)(yi)及(ji)推進責(ze)任(ren)追(zhui)究工(gong)作體(ti)系建設過程(cheng)中(zhong)(zhong)的新情(qing)況、新問題,及(ji)時(shi)報告國資委(wei)。
