國務院國資委有關負責人就《中央企業控股上市公司實施股權激勵工作指引》答記者問

近日,國(guo)務院(yuan)國(guo)資委發(fa)布了(le)《關于印發(fa)<中(zhong)央企(qi)業控股(gu)上市公(gong)司實(shi)施股(gu)權(quan)激(ji)勵工作指(zhi)引>的(de)通知(zhi)》(國(guo)資考分(fen)〔2020〕178號,以(yi)下簡(jian)稱《指(zhi)引》)。《指(zhi)引》出臺后,國(guo)務院(yuan)國(guo)資委有(you)關負責(ze)人接受(shou)了(le)記者采訪。

問:請介紹一下出臺《指引》的背景。

答:黨(dang)的(de)(de)十(shi)八屆三中(zhong)(zhong)全會以(yi)來(lai),國(guo)資(zi)委(wei)以(yi)習(xi)近平新時代中(zhong)(zhong)國(guo)特色社(she)會主(zhu)義(yi)思(si)想為指(zhi)(zhi)導,認真貫徹落(luo)實(shi)(shi)黨(dang)中(zhong)(zhong)央(yang)、國(guo)務院各項(xiang)(xiang)決(jue)策(ce)(ce)(ce)部署(shu),扎實(shi)(shi)推進(jin)(jin)(jin)國(guo)有(you)(you)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)改(gai)(gai)革各項(xiang)(xiang)工作(zuo)(zuo)(zuo)。目前國(guo)有(you)(you)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)改(gai)(gai)革的(de)(de)“1+N”文件體(ti)(ti)系(xi)已經基本定(ding)型,當前制(zhi)(zhi)(zhi)定(ding)政策(ce)(ce)(ce)的(de)(de)重點(dian)是(shi)(shi)具體(ti)(ti)的(de)(de)操作(zuo)(zuo)(zuo)規程(cheng)。就(jiu)中(zhong)(zhong)央(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)控(kong)股(gu)(gu)(gu)上(shang)(shang)(shang)市(shi)(shi)公(gong)(gong)(gong)司(si)(si)(si)股(gu)(gu)(gu)權(quan)(quan)激(ji)勵(li)(li)(li)(li)工作(zuo)(zuo)(zuo)而言,國(guo)資(zi)委(wei)成立(li)以(yi)來(lai),根據黨(dang)中(zhong)(zhong)央(yang)、國(guo)務院確立(li)的(de)(de)生產要(yao)素按(an)貢獻參與分(fen)配的(de)(de)原則,從(cong)適應(ying)資(zi)本市(shi)(shi)場發(fa)(fa)展和企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)改(gai)(gai)制(zhi)(zhi)(zhi)上(shang)(shang)(shang)市(shi)(shi)的(de)(de)需要(yao)出(chu)發(fa)(fa),按(an)照(zhao)履(lv)行出(chu)資(zi)人職(zhi)責的(de)(de)要(yao)求(qiu),積(ji)極(ji)探索國(guo)有(you)(you)控(kong)股(gu)(gu)(gu)上(shang)(shang)(shang)市(shi)(shi)公(gong)(gong)(gong)司(si)(si)(si)實(shi)(shi)施股(gu)(gu)(gu)權(quan)(quan)激(ji)勵(li)(li)(li)(li)的(de)(de)有(you)(you)效(xiao)機制(zhi)(zhi)(zhi),在(zai)實(shi)(shi)踐中(zhong)(zhong)不斷完善辦法,尤其(qi)是(shi)(shi)2019年國(guo)資(zi)委(wei)制(zhi)(zhi)(zhi)定(ding)出(chu)臺《關(guan)于進(jin)(jin)(jin)一步做好中(zhong)(zhong)央(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)控(kong)股(gu)(gu)(gu)上(shang)(shang)(shang)市(shi)(shi)公(gong)(gong)(gong)司(si)(si)(si)股(gu)(gu)(gu)權(quan)(quan)激(ji)勵(li)(li)(li)(li)工作(zuo)(zuo)(zuo)有(you)(you)關(guan)事項(xiang)(xiang)的(de)(de)通知》(國(guo)資(zi)發(fa)(fa)考分(fen)規〔2019〕102號),標志(zhi)著中(zhong)(zhong)央(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)控(kong)股(gu)(gu)(gu)上(shang)(shang)(shang)市(shi)(shi)公(gong)(gong)(gong)司(si)(si)(si)實(shi)(shi)施股(gu)(gu)(gu)權(quan)(quan)激(ji)勵(li)(li)(li)(li)的(de)(de)政策(ce)(ce)(ce)體(ti)(ti)系(xi)已經基本定(ding)型。當前的(de)(de)重點(dian)任務是(shi)(shi)把工作(zuo)(zuo)(zuo)著力點(dian)從(cong)夯基壘(lei)臺、立(li)梁(liang)架柱(zhu)轉(zhuan)到(dao)系(xi)統集(ji)成、協同(tong)高效(xiao)、落(luo)實(shi)(shi)落(luo)地上(shang)(shang)(shang)來(lai),推動這項(xiang)(xiang)制(zhi)(zhi)(zhi)度更(geng)加成熟更(geng)加定(ding)型。出(chu)臺《指(zhi)(zhi)引》就(jiu)是(shi)(shi)把國(guo)有(you)(you)控(kong)股(gu)(gu)(gu)上(shang)(shang)(shang)市(shi)(shi)公(gong)(gong)(gong)司(si)(si)(si)實(shi)(shi)施股(gu)(gu)(gu)權(quan)(quan)激(ji)勵(li)(li)(li)(li)的(de)(de)相關(guan)政策(ce)(ce)(ce)規定(ding)和前期中(zhong)(zhong)央(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)開(kai)展此項(xiang)(xiang)工作(zuo)(zuo)(zuo)的(de)(de)實(shi)(shi)踐經驗進(jin)(jin)(jin)行了匯(hui)總梳理,著力從(cong)微觀(guan)操作(zuo)(zuo)(zuo)層面(mian)細化對(dui)中(zhong)(zhong)央(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)的(de)(de)工作(zuo)(zuo)(zuo)指(zhi)(zhi)導,進(jin)(jin)(jin)而推動中(zhong)(zhong)央(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)擴大控(kong)股(gu)(gu)(gu)上(shang)(shang)(shang)市(shi)(shi)公(gong)(gong)(gong)司(si)(si)(si)實(shi)(shi)施股(gu)(gu)(gu)權(quan)(quan)激(ji)勵(li)(li)(li)(li)的(de)(de)覆(fu)蓋(gai)面(mian),構建(jian)科學(xue)、規范的(de)(de)中(zhong)(zhong)長期激(ji)勵(li)(li)(li)(li)機制(zhi)(zhi)(zhi),推動企(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)高質(zhi)量發(fa)(fa)展。

問:《指引》具體包含哪些方面內容?

答(da):《指引(yin)》共九十七條(tiao)(tiao),近兩萬字(zi),根據中(zhong)央企業(ye)(ye)控股上市公(gong)(gong)司(si)實(shi)(shi)(shi)施股權(quan)(quan)激(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)的(de)(de)(de)(de)各方(fang)面(mian)政(zheng)(zheng)策(ce)(ce)規(gui)定(ding),從股權(quan)(quan)激(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)計(ji)(ji)劃的(de)(de)(de)(de)內(nei)容(rong)要(yao)(yao)(yao)點、考(kao)核體系(xi)、管(guan)理(li)辦(ban)法和實(shi)(shi)(shi)施程序等(deng)(deng)方(fang)面(mian),進(jin)行(xing)了政(zheng)(zheng)策(ce)(ce)梳理(li)、系(xi)統集成,對(dui)上市公(gong)(gong)司(si)股權(quan)(quan)激(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)實(shi)(shi)(shi)踐(jian)規(gui)范逐一明確(que)闡(chan)釋。一是(shi)重(zhong)點介紹實(shi)(shi)(shi)施股權(quan)(quan)激(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)的(de)(de)(de)(de)政(zheng)(zheng)策(ce)(ce)依據、適(shi)用范圍,實(shi)(shi)(shi)施股權(quan)(quan)激(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)的(de)(de)(de)(de)條(tiao)(tiao)件、原則(ze)及(ji)相關要(yao)(yao)(yao)求。二是(shi)對(dui)股權(quan)(quan)激(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)計(ji)(ji)劃中(zhong)的(de)(de)(de)(de)激(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)方(fang)式、激(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)對(dui)象范圍、權(quan)(quan)益授予數量(liang)、授予價(jia)格、時間安排、激(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)收(shou)益等(deng)(deng)的(de)(de)(de)(de)內(nei)涵要(yao)(yao)(yao)義、政(zheng)(zheng)策(ce)(ce)規(gui)定(ding)、操作規(gui)范進(jin)行(xing)詳細闡(chan)釋。三是(shi)從強(qiang)化(hua)公(gong)(gong)司(si)業(ye)(ye)績(ji)(ji)考(kao)核、健全激(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)對(dui)象績(ji)(ji)效考(kao)核評價(jia)、科(ke)創板(ban)上市公(gong)(gong)司(si)實(shi)(shi)(shi)施股權(quan)(quan)激(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)的(de)(de)(de)(de)考(kao)核等(deng)(deng)方(fang)面(mian)明確(que)出資人的(de)(de)(de)(de)導向和要(yao)(yao)(yao)求,引(yin)導企業(ye)(ye)注重(zhong)價(jia)值(zhi)提升,實(shi)(shi)(shi)現高質量(liang)發展。四是(shi)將規(gui)范股權(quan)(quan)激(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)管(guan)理(li)辦(ban)法、責任追究(jiu)與特殊情形處理(li)、財務處理(li)和稅收(shou)規(gui)定(ding)等(deng)(deng)方(fang)面(mian)的(de)(de)(de)(de)要(yao)(yao)(yao)求和規(gui)定(ding)進(jin)行(xing)了梳理(li)明確(que)。五是(shi)歸納各級國(guo)有股東的(de)(de)(de)(de)職責,對(dui)股權(quan)(quan)激(ji)(ji)(ji)(ji)勵(li)(li)(li)(li)計(ji)(ji)劃的(de)(de)(de)(de)決(jue)策(ce)(ce)、申(shen)報、實(shi)(shi)(shi)施、終止等(deng)(deng)程序事項予以(yi)梳理(li),并(bing)重(zhong)申(shen)監督管(guan)理(li)、信息(xi)披露等(deng)(deng)要(yao)(yao)(yao)求。

問:《指引》在政策要求上有什么新特點?

答(da):《指(zhi)(zhi)(zhi)引》主要有三個方面的(de)(de)特點(dian):一是(shi)政(zheng)(zheng)(zheng)策(ce)(ce)上保持銜接(jie)一致。《指(zhi)(zhi)(zhi)引》是(shi)在(zai)(zai)(zai)證券監管部門相關規(gui)定(ding)框架(jia)下制定(ding)的(de)(de),與(yu)(yu)(yu)國(guo)資委(wei)(wei)此前(qian)出臺的(de)(de)國(guo)有控股(gu)上市公司實(shi)施股(gu)權(quan)(quan)激(ji)勵的(de)(de)政(zheng)(zheng)(zheng)策(ce)(ce)規(gui)定(ding)也是(shi)銜接(jie)一致的(de)(de),這次提出的(de)(de)都是(shi)具(ju)(ju)體操(cao)作(zuo)上的(de)(de)細化規(gui)程。二是(shi)清晰界(jie)定(ding)責任與(yu)(yu)(yu)程序。國(guo)資委(wei)(wei)落實(shi)以管資本為(wei)主職能轉(zhuan)變(bian)要求,股(gu)權(quan)(quan)激(ji)勵具(ju)(ju)體實(shi)施方案(an)的(de)(de)審核責任在(zai)(zai)(zai)中(zhong)央(yang)(yang)企(qi)業集(ji)團公司,《指(zhi)(zhi)(zhi)引》通過細化完(wan)善操(cao)作(zuo)層面的(de)(de)指(zhi)(zhi)(zhi)導,幫助中(zhong)央(yang)(yang)企(qi)業更(geng)好(hao)地(di)擔(dan)負起股(gu)權(quan)(quan)激(ji)勵主體責任,保障(zhang)該(gai)項工作(zuo)職責中(zhong)央(yang)(yang)企(qi)業接(jie)得住(zhu)、管得好(hao)、落得實(shi)。三是(shi)重點(dian)回答(da)了(le)操(cao)作(zuo)問題。此前(qian)我們出臺的(de)(de)股(gu)權(quan)(quan)激(ji)勵相關政(zheng)(zheng)(zheng)策(ce)(ce)是(shi)框架(jia)性、原則性的(de)(de),中(zhong)央(yang)(yang)企(qi)業在(zai)(zai)(zai)實(shi)施中(zhong)遇(yu)到了(le)一些具(ju)(ju)體情況,《指(zhi)(zhi)(zhi)引》在(zai)(zai)(zai)總(zong)結經驗的(de)(de)基礎上,明確了(le)可操(cao)作(zuo)的(de)(de)方法,在(zai)(zai)(zai)政(zheng)(zheng)(zheng)策(ce)(ce)框架(jia)內(nei)給予闡釋(shi)和細化,有針對(dui)性地(di)幫助企(qi)業在(zai)(zai)(zai)具(ju)(ju)體實(shi)踐操(cao)作(zuo)上與(yu)(yu)(yu)政(zheng)(zheng)(zheng)策(ce)(ce)規(gui)定(ding)良好(hao)對(dui)接(jie)。

問:近些年中央企業控股上市公司實施股權激勵有哪些值得總結和提煉的有效經驗?

答:國(guo)資委和(he)中央企(qi)業(ye)在(zai)上(shang)市(shi)(shi)(shi)公司股(gu)權(quan)(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)(li)(li)(li)(li)實(shi)(shi)(shi)(shi)(shi)踐方面共同(tong)努力(li)、積極探索(suo)(suo),結(jie)(jie)合(he)國(guo)有企(qi)業(ye)實(shi)(shi)(shi)(shi)(shi)際情(qing)況(kuang)和(he)境內外市(shi)(shi)(shi)場(chang)實(shi)(shi)(shi)(shi)(shi)踐經(jing)(jing)驗,逐步(bu)(bu)形成了(le)(le)出資人指導下的(de)(de)適合(he)中國(guo)國(guo)企(qi)特(te)點(dian)(dian)的(de)(de)股(gu)權(quan)(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)(li)(li)(li)(li)機制(zhi)(zhi),有效發(fa)揮了(le)(le)股(gu)權(quan)(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)(li)(li)(li)(li)作(zuo)(zuo)為市(shi)(shi)(shi)場(chang)化長期激(ji)(ji)(ji)勵(li)(li)(li)(li)(li)(li)工具的(de)(de)積極作(zuo)(zuo)用(yong),一(yi)些好的(de)(de)做(zuo)法已逐漸被市(shi)(shi)(shi)場(chang)普遍采納。概括起來,中央企(qi)業(ye)控(kong)股(gu)上(shang)市(shi)(shi)(shi)公司實(shi)(shi)(shi)(shi)(shi)施股(gu)權(quan)(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)(li)(li)(li)(li)主要(yao)(yao)有五方面好的(de)(de)做(zuo)法:一(yi)是(shi)激(ji)(ji)(ji)勵(li)(li)(li)(li)(li)(li)實(shi)(shi)(shi)(shi)(shi)施與(yu)績效考(kao)核相(xiang)(xiang)(xiang)同(tong)步(bu)(bu),要(yao)(yao)求企(qi)業(ye)健(jian)全績效考(kao)核體(ti)(ti)系(xi)(xi),股(gu)權(quan)(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)(li)(li)(li)(li)的(de)(de)實(shi)(shi)(shi)(shi)(shi)施要(yao)(yao)與(yu)公司業(ye)績與(yu)激(ji)(ji)(ji)勵(li)(li)(li)(li)(li)(li)對(dui)(dui)(dui)象個人績效考(kao)核相(xiang)(xiang)(xiang)掛鉤,考(kao)核目標要(yao)(yao)有利于(yu)促(cu)進企(qi)業(ye)提高(gao)價值創造水(shui)平(ping),實(shi)(shi)(shi)(shi)(shi)現持續健(jian)康發(fa)展(zhan)。二是(shi)授予數量與(yu)薪酬水(shui)平(ping)相(xiang)(xiang)(xiang)關聯,參照國(guo)際慣例及市(shi)(shi)(shi)場(chang)實(shi)(shi)(shi)(shi)(shi)踐,統籌薪酬結(jie)(jie)構與(yu)薪酬水(shui)平(ping),股(gu)權(quan)(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)(li)(li)(li)(li)授予價值控(kong)制(zhi)(zhi)在(zai)薪酬總水(shui)平(ping)的(de)(de)40%以內,實(shi)(shi)(shi)(shi)(shi)現平(ping)穩(wen)規范起步(bu)(bu),但對(dui)(dui)(dui)股(gu)權(quan)(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)(li)(li)(li)(li)行(xing)權(quan)(quan)(quan)(quan)收益不(bu)再進行(xing)控(kong)制(zhi)(zhi)。三是(shi)激(ji)(ji)(ji)勵(li)(li)(li)(li)(li)(li)方式與(yu)公司特(te)點(dian)(dian)相(xiang)(xiang)(xiang)匹(pi)配(pei),指導上(shang)市(shi)(shi)(shi)公司根據(ju)所(suo)處行(xing)業(ye)、發(fa)展(zhan)階(jie)段等特(te)點(dian)(dian),科學選擇激(ji)(ji)(ji)勵(li)(li)(li)(li)(li)(li)工具,并可(ke)以結(jie)(jie)合(he)市(shi)(shi)(shi)場(chang)情(qing)況(kuang)探索(suo)(suo)創新激(ji)(ji)(ji)勵(li)(li)(li)(li)(li)(li)方式。四是(shi)行(xing)權(quan)(quan)(quan)(quan)安排與(yu)激(ji)(ji)(ji)勵(li)(li)(li)(li)(li)(li)約束相(xiang)(xiang)(xiang)統籌,引導企(qi)業(ye)分期實(shi)(shi)(shi)(shi)(shi)施股(gu)權(quan)(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)(li)(li)(li)(li),權(quan)(quan)(quan)(quan)益授予后至少鎖(suo)定兩年(nian),解(jie)鎖(suo)后在(zai)不(bu)低于(yu)三年(nian)內分批生效,體(ti)(ti)現長效激(ji)(ji)(ji)勵(li)(li)(li)(li)(li)(li)約束。五是(shi)公司治理與(yu)管理提升相(xiang)(xiang)(xiang)協同(tong),推(tui)動(dong)企(qi)業(ye)持續完善(shan)公司治理,不(bu)斷健(jian)全經(jing)(jing)營管理、績效考(kao)核、勞動(dong)用(yong)工和(he)收入分配(pei)等企(qi)業(ye)基礎管理制(zhi)(zhi)度。在(zai)《指引》的(de)(de)制(zhi)(zhi)訂過程中,我們(men)對(dui)(dui)(dui)上(shang)述五方面股(gu)權(quan)(quan)(quan)(quan)激(ji)(ji)(ji)勵(li)(li)(li)(li)(li)(li)實(shi)(shi)(shi)(shi)(shi)踐經(jing)(jing)驗進行(xing)了(le)(le)系(xi)(xi)統提煉,作(zuo)(zuo)為操作(zuo)(zuo)指引幫(bang)助企(qi)業(ye)更加科學高(gao)效地(di)開展(zhan)好這項(xiang)工作(zuo)(zuo)。

問:下一步,中央企業控股上市公司實施股權激勵工作將有什么考慮?

答:黨的(de)(de)十九屆四(si)中(zhong)(zhong)(zhong)(zhong)全(quan)(quan)(quan)會(hui)明確提出,要(yao)健(jian)全(quan)(quan)(quan)生產(chan)要(yao)素(su)由市(shi)(shi)(shi)場評(ping)價貢(gong)(gong)獻、按貢(gong)(gong)獻決定(ding)報酬的(de)(de)機(ji)制。中(zhong)(zhong)(zhong)(zhong)共中(zhong)(zhong)(zhong)(zhong)央(yang)、國(guo)務院近期印發(fa)的(de)(de)《關于構(gou)建更加(jia)(jia)完善(shan)的(de)(de)要(yao)素(su)市(shi)(shi)(shi)場化配置(zhi)體(ti)制機(ji)制的(de)(de)意見》也(ye)指(zhi)出,要(yao)全(quan)(quan)(quan)面貫(guan)徹(che)落實(shi)(shi)以增加(jia)(jia)知識(shi)價值為(wei)導向的(de)(de)收入分(fen)配政策(ce),充分(fen)尊重科(ke)(ke)研、技(ji)術、管(guan)理人(ren)(ren)才(cai),充分(fen)體(ti)現(xian)技(ji)術、知識(shi)、管(guan)理、數據(ju)等要(yao)素(su)的(de)(de)價值。國(guo)資委將(jiang)指(zhi)導中(zhong)(zhong)(zhong)(zhong)央(yang)企(qi)業(ye)(ye)(ye)(ye)貫(guan)徹(che)落實(shi)(shi)好黨中(zhong)(zhong)(zhong)(zhong)央(yang)、國(guo)務院決策(ce)部署,把推動中(zhong)(zhong)(zhong)(zhong)央(yang)企(qi)業(ye)(ye)(ye)(ye)控(kong)股(gu)(gu)上(shang)市(shi)(shi)(shi)公(gong)司(si)規(gui)范開展(zhan)股(gu)(gu)權激(ji)勵作為(wei)重要(yao)舉(ju)措。應當(dang)說,黨的(de)(de)十九大以來,中(zhong)(zhong)(zhong)(zhong)央(yang)企(qi)業(ye)(ye)(ye)(ye)控(kong)股(gu)(gu)上(shang)市(shi)(shi)(shi)公(gong)司(si)實(shi)(shi)施(shi)股(gu)(gu)權激(ji)勵的(de)(de)數量快速增長(chang),目前已有53家(jia)中(zhong)(zhong)(zhong)(zhong)央(yang)企(qi)業(ye)(ye)(ye)(ye)控(kong)股(gu)(gu)的(de)(de)119家(jia)上(shang)市(shi)(shi)(shi)公(gong)司(si)有效實(shi)(shi)施(shi)了股(gu)(gu)權激(ji)勵,取得了明顯進展(zhan),但總體(ti)上(shang)中(zhong)(zhong)(zhong)(zhong)央(yang)企(qi)業(ye)(ye)(ye)(ye)控(kong)股(gu)(gu)境內外上(shang)市(shi)(shi)(shi)公(gong)司(si)只有不到30%實(shi)(shi)施(shi)了股(gu)(gu)權激(ji)勵,覆蓋(gai)面還有待提高(gao)。《指(zhi)引》印發(fa)后,國(guo)資委將(jiang)指(zhi)導中(zhong)(zhong)(zhong)(zhong)央(yang)企(qi)業(ye)(ye)(ye)(ye)積(ji)極履行主體(ti)責任,推動符合(he)條件的(de)(de)控(kong)股(gu)(gu)上(shang)市(shi)(shi)(shi)公(gong)司(si)科(ke)(ke)學高(gao)效規(gui)范地開展(zhan)股(gu)(gu)權激(ji)勵工作,加(jia)(jia)快建立健(jian)全(quan)(quan)(quan)覆蓋(gai)企(qi)業(ye)(ye)(ye)(ye)經營管(guan)理骨干和核心科(ke)(ke)研技(ji)術人(ren)(ren)才(cai)的(de)(de)正向激(ji)勵機(ji)制,充分(fen)調(diao)動各類人(ren)(ren)員積(ji)極性和創造性,推動企(qi)業(ye)(ye)(ye)(ye)實(shi)(shi)現(xian)高(gao)質(zhi)量發(fa)展(zhan)。
