近日(ri),國務院國資委發(fa)布了《關(guan)于印發(fa)<中央企業控股上市公司實施股權(quan)激勵工作指(zhi)引(yin)>的(de)通知》(國資考分〔2020〕178號,以下(xia)簡稱《指(zhi)引(yin)》)。《指(zhi)引(yin)》出臺后,國務院國資委有關(guan)負責人接(jie)受了記者采(cai)訪。
問:請介紹一下出臺《指引》的背景。
答:黨的(de)十八屆三中(zhong)(zhong)全會以(yi)來(lai)(lai),國(guo)(guo)(guo)資(zi)(zi)委以(yi)習近平新時代中(zhong)(zhong)國(guo)(guo)(guo)特色社會主義思想為指(zhi)導(dao),認真貫徹落實(shi)黨中(zhong)(zhong)央(yang)(yang)(yang)、國(guo)(guo)(guo)務院各(ge)項(xiang)決(jue)策(ce)部署,扎實(shi)推進(jin)國(guo)(guo)(guo)有(you)(you)企(qi)(qi)業(ye)(ye)改革(ge)各(ge)項(xiang)工(gong)作(zuo)(zuo)。目(mu)前國(guo)(guo)(guo)有(you)(you)企(qi)(qi)業(ye)(ye)改革(ge)的(de)“1+N”文(wen)件(jian)體系已經基(ji)本定(ding)型,當(dang)前制(zhi)定(ding)政策(ce)的(de)重(zhong)點是(shi)(shi)(shi)具體的(de)操作(zuo)(zuo)規(gui)程。就中(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)控(kong)(kong)(kong)股(gu)(gu)(gu)(gu)上市(shi)(shi)(shi)公(gong)司(si)(si)(si)股(gu)(gu)(gu)(gu)權(quan)激(ji)勵(li)工(gong)作(zuo)(zuo)而言,國(guo)(guo)(guo)資(zi)(zi)委成立以(yi)來(lai)(lai),根據黨中(zhong)(zhong)央(yang)(yang)(yang)、國(guo)(guo)(guo)務院確立的(de)生(sheng)產要(yao)(yao)素按貢獻參與(yu)分(fen)配的(de)原(yuan)則,從(cong)適應資(zi)(zi)本市(shi)(shi)(shi)場(chang)發展和企(qi)(qi)業(ye)(ye)改制(zhi)上市(shi)(shi)(shi)的(de)需要(yao)(yao)出(chu)(chu)(chu)發,按照履行出(chu)(chu)(chu)資(zi)(zi)人(ren)職(zhi)責的(de)要(yao)(yao)求,積極探索國(guo)(guo)(guo)有(you)(you)控(kong)(kong)(kong)股(gu)(gu)(gu)(gu)上市(shi)(shi)(shi)公(gong)司(si)(si)(si)實(shi)施股(gu)(gu)(gu)(gu)權(quan)激(ji)勵(li)的(de)有(you)(you)效機(ji)(ji)制(zhi),在實(shi)踐(jian)(jian)中(zhong)(zhong)不斷完善(shan)辦法,尤其是(shi)(shi)(shi)2019年國(guo)(guo)(guo)資(zi)(zi)委制(zhi)定(ding)出(chu)(chu)(chu)臺《關于進(jin)一(yi)步做好(hao)中(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)控(kong)(kong)(kong)股(gu)(gu)(gu)(gu)上市(shi)(shi)(shi)公(gong)司(si)(si)(si)股(gu)(gu)(gu)(gu)權(quan)激(ji)勵(li)工(gong)作(zuo)(zuo)有(you)(you)關事項(xiang)的(de)通知》(國(guo)(guo)(guo)資(zi)(zi)發考分(fen)規(gui)〔2019〕102號),標志著中(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)控(kong)(kong)(kong)股(gu)(gu)(gu)(gu)上市(shi)(shi)(shi)公(gong)司(si)(si)(si)實(shi)施股(gu)(gu)(gu)(gu)權(quan)激(ji)勵(li)的(de)政策(ce)體系已經基(ji)本定(ding)型。當(dang)前的(de)重(zhong)點任務是(shi)(shi)(shi)把工(gong)作(zuo)(zuo)著力點從(cong)夯基(ji)壘(lei)臺、立梁架(jia)柱轉到系統(tong)集成、協(xie)同高效、落實(shi)落地上來(lai)(lai),推動這項(xiang)制(zhi)度更加(jia)(jia)成熟(shu)更加(jia)(jia)定(ding)型。出(chu)(chu)(chu)臺《指(zhi)引(yin)》就是(shi)(shi)(shi)把國(guo)(guo)(guo)有(you)(you)控(kong)(kong)(kong)股(gu)(gu)(gu)(gu)上市(shi)(shi)(shi)公(gong)司(si)(si)(si)實(shi)施股(gu)(gu)(gu)(gu)權(quan)激(ji)勵(li)的(de)相(xiang)關政策(ce)規(gui)定(ding)和前期中(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)開展此項(xiang)工(gong)作(zuo)(zuo)的(de)實(shi)踐(jian)(jian)經驗進(jin)行了匯總梳理,著力從(cong)微觀(guan)操作(zuo)(zuo)層面細化對中(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)的(de)工(gong)作(zuo)(zuo)指(zhi)導(dao),進(jin)而推動中(zhong)(zhong)央(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)擴(kuo)大控(kong)(kong)(kong)股(gu)(gu)(gu)(gu)上市(shi)(shi)(shi)公(gong)司(si)(si)(si)實(shi)施股(gu)(gu)(gu)(gu)權(quan)激(ji)勵(li)的(de)覆(fu)蓋(gai)面,構建科學、規(gui)范的(de)中(zhong)(zhong)長期激(ji)勵(li)機(ji)(ji)制(zhi),推動企(qi)(qi)業(ye)(ye)高質量發展。
問:《指引》具體包含哪些方面內容?
答:《指引(yin)》共九十(shi)七條(tiao),近兩萬字,根(gen)據中央企業(ye)控(kong)股(gu)上市(shi)公(gong)(gong)司(si)實(shi)(shi)(shi)施(shi)(shi)(shi)(shi)股(gu)權(quan)(quan)激(ji)(ji)勵的(de)(de)(de)(de)各(ge)方(fang)面(mian)(mian)政(zheng)策(ce)(ce)規(gui)(gui)(gui)定(ding)(ding),從股(gu)權(quan)(quan)激(ji)(ji)勵計劃(hua)的(de)(de)(de)(de)內容要(yao)(yao)點、考核體系、管理(li)辦(ban)法(fa)(fa)和(he)實(shi)(shi)(shi)施(shi)(shi)(shi)(shi)程(cheng)序等(deng)(deng)方(fang)面(mian)(mian),進行了政(zheng)策(ce)(ce)梳(shu)理(li)、系統集(ji)成,對上市(shi)公(gong)(gong)司(si)股(gu)權(quan)(quan)激(ji)(ji)勵實(shi)(shi)(shi)踐規(gui)(gui)(gui)范逐一明(ming)(ming)確(que)闡釋。一是重(zhong)點介紹實(shi)(shi)(shi)施(shi)(shi)(shi)(shi)股(gu)權(quan)(quan)激(ji)(ji)勵的(de)(de)(de)(de)政(zheng)策(ce)(ce)依據、適用(yong)范圍(wei),實(shi)(shi)(shi)施(shi)(shi)(shi)(shi)股(gu)權(quan)(quan)激(ji)(ji)勵的(de)(de)(de)(de)條(tiao)件、原則及相關要(yao)(yao)求(qiu)。二是對股(gu)權(quan)(quan)激(ji)(ji)勵計劃(hua)中的(de)(de)(de)(de)激(ji)(ji)勵方(fang)式、激(ji)(ji)勵對象(xiang)范圍(wei)、權(quan)(quan)益授予(yu)(yu)數量、授予(yu)(yu)價(jia)(jia)格、時間安排、激(ji)(ji)勵收益等(deng)(deng)的(de)(de)(de)(de)內涵(han)要(yao)(yao)義、政(zheng)策(ce)(ce)規(gui)(gui)(gui)定(ding)(ding)、操作(zuo)規(gui)(gui)(gui)范進行詳細(xi)闡釋。三是從強(qiang)化公(gong)(gong)司(si)業(ye)績考核、健全激(ji)(ji)勵對象(xiang)績效考核評(ping)價(jia)(jia)、科創板上市(shi)公(gong)(gong)司(si)實(shi)(shi)(shi)施(shi)(shi)(shi)(shi)股(gu)權(quan)(quan)激(ji)(ji)勵的(de)(de)(de)(de)考核等(deng)(deng)方(fang)面(mian)(mian)明(ming)(ming)確(que)出(chu)資人(ren)的(de)(de)(de)(de)導(dao)(dao)向和(he)要(yao)(yao)求(qiu),引(yin)導(dao)(dao)企業(ye)注重(zhong)價(jia)(jia)值(zhi)提升,實(shi)(shi)(shi)現高質量發(fa)展。四(si)是將規(gui)(gui)(gui)范股(gu)權(quan)(quan)激(ji)(ji)勵管理(li)辦(ban)法(fa)(fa)、責任追(zhui)究與特殊情形處(chu)理(li)、財(cai)務(wu)處(chu)理(li)和(he)稅收規(gui)(gui)(gui)定(ding)(ding)等(deng)(deng)方(fang)面(mian)(mian)的(de)(de)(de)(de)要(yao)(yao)求(qiu)和(he)規(gui)(gui)(gui)定(ding)(ding)進行了梳(shu)理(li)明(ming)(ming)確(que)。五是歸納各(ge)級國有股(gu)東的(de)(de)(de)(de)職責,對股(gu)權(quan)(quan)激(ji)(ji)勵計劃(hua)的(de)(de)(de)(de)決(jue)策(ce)(ce)、申報(bao)、實(shi)(shi)(shi)施(shi)(shi)(shi)(shi)、終止等(deng)(deng)程(cheng)序事(shi)項予(yu)(yu)以梳(shu)理(li),并重(zhong)申監督管理(li)、信息披露等(deng)(deng)要(yao)(yao)求(qiu)。
問:《指引》在政策要求上有什么新特點?
答:《指(zhi)(zhi)引》主(zhu)(zhu)要有(you)三個方面的(de)(de)(de)特點(dian):一是(shi)政(zheng)(zheng)策(ce)上保持銜接(jie)一致(zhi)。《指(zhi)(zhi)引》是(shi)在(zai)(zai)(zai)證券監管(guan)部(bu)門相(xiang)關(guan)規定框(kuang)架(jia)(jia)下制定的(de)(de)(de),與(yu)國(guo)資委(wei)此前出臺(tai)的(de)(de)(de)國(guo)有(you)控股上市公(gong)司實(shi)施股權(quan)激(ji)(ji)勵的(de)(de)(de)政(zheng)(zheng)策(ce)規定也是(shi)銜接(jie)一致(zhi)的(de)(de)(de),這次提出的(de)(de)(de)都(dou)是(shi)具(ju)體(ti)(ti)操(cao)(cao)(cao)作(zuo)上的(de)(de)(de)細化(hua)規程。二是(shi)清(qing)晰界定責任(ren)與(yu)程序。國(guo)資委(wei)落實(shi)以管(guan)資本為主(zhu)(zhu)職能轉變(bian)要求,股權(quan)激(ji)(ji)勵具(ju)體(ti)(ti)實(shi)施方案的(de)(de)(de)審核責任(ren)在(zai)(zai)(zai)中(zhong)央企(qi)業(ye)集團公(gong)司,《指(zhi)(zhi)引》通過細化(hua)完(wan)善操(cao)(cao)(cao)作(zuo)層面的(de)(de)(de)指(zhi)(zhi)導(dao),幫助中(zhong)央企(qi)業(ye)更好(hao)地擔負起股權(quan)激(ji)(ji)勵主(zhu)(zhu)體(ti)(ti)責任(ren),保障(zhang)該項工作(zuo)職責中(zhong)央企(qi)業(ye)接(jie)得(de)住(zhu)、管(guan)得(de)好(hao)、落得(de)實(shi)。三是(shi)重點(dian)回答了操(cao)(cao)(cao)作(zuo)問題。此前我們(men)出臺(tai)的(de)(de)(de)股權(quan)激(ji)(ji)勵相(xiang)關(guan)政(zheng)(zheng)策(ce)是(shi)框(kuang)架(jia)(jia)性(xing)(xing)、原(yuan)則(ze)性(xing)(xing)的(de)(de)(de),中(zhong)央企(qi)業(ye)在(zai)(zai)(zai)實(shi)施中(zhong)遇到了一些(xie)具(ju)體(ti)(ti)情(qing)況,《指(zhi)(zhi)引》在(zai)(zai)(zai)總(zong)結經驗的(de)(de)(de)基礎上,明確了可操(cao)(cao)(cao)作(zuo)的(de)(de)(de)方法,在(zai)(zai)(zai)政(zheng)(zheng)策(ce)框(kuang)架(jia)(jia)內給予闡釋(shi)和細化(hua),有(you)針對性(xing)(xing)地幫助企(qi)業(ye)在(zai)(zai)(zai)具(ju)體(ti)(ti)實(shi)踐(jian)操(cao)(cao)(cao)作(zuo)上與(yu)政(zheng)(zheng)策(ce)規定良(liang)好(hao)對接(jie)。
問:近些年中央企業控股上市公司實施股權激勵有哪些值得總結和提煉的有效經驗?

問:下一步,中央企業控股上市公司實施股權激勵工作將有什么考慮?
答:黨(dang)的(de)(de)(de)十(shi)九屆四中(zhong)(zhong)(zhong)(zhong)全會明(ming)確提出,要健全生(sheng)產(chan)要素由市(shi)場(chang)評價(jia)(jia)(jia)貢(gong)獻、按貢(gong)獻決定報(bao)酬的(de)(de)(de)機制(zhi)(zhi)(zhi)。中(zhong)(zhong)(zhong)(zhong)共中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)、國(guo)務院(yuan)近期印發(fa)的(de)(de)(de)《關于構建(jian)更加(jia)完善(shan)的(de)(de)(de)要素市(shi)場(chang)化配(pei)置體(ti)制(zhi)(zhi)(zhi)機制(zhi)(zhi)(zhi)的(de)(de)(de)意見(jian)》也指(zhi)出,要全面貫(guan)徹落(luo)實(shi)以增(zeng)加(jia)知(zhi)識(shi)價(jia)(jia)(jia)值為(wei)導(dao)向的(de)(de)(de)收入(ru)分(fen)配(pei)政策(ce),充(chong)分(fen)尊(zun)重科(ke)研(yan)、技術(shu)(shu)、管(guan)理(li)人才(cai),充(chong)分(fen)體(ti)現技術(shu)(shu)、知(zhi)識(shi)、管(guan)理(li)、數據等要素的(de)(de)(de)價(jia)(jia)(jia)值。國(guo)資委將指(zhi)導(dao)中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)企(qi)業(ye)(ye)(ye)貫(guan)徹落(luo)實(shi)好黨(dang)中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)、國(guo)務院(yuan)決策(ce)部署,把推(tui)動中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)企(qi)業(ye)(ye)(ye)控(kong)股(gu)(gu)(gu)上(shang)市(shi)公(gong)司規范(fan)開(kai)展股(gu)(gu)(gu)權激(ji)(ji)勵(li)作為(wei)重要舉(ju)措。應當(dang)說,黨(dang)的(de)(de)(de)十(shi)九大以來,中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)企(qi)業(ye)(ye)(ye)控(kong)股(gu)(gu)(gu)上(shang)市(shi)公(gong)司實(shi)施股(gu)(gu)(gu)權激(ji)(ji)勵(li)的(de)(de)(de)數量快速(su)增(zeng)長,目(mu)前已有53家中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)企(qi)業(ye)(ye)(ye)控(kong)股(gu)(gu)(gu)的(de)(de)(de)119家上(shang)市(shi)公(gong)司有效實(shi)施了股(gu)(gu)(gu)權激(ji)(ji)勵(li),取得了明(ming)顯進(jin)展,但總體(ti)上(shang)中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)企(qi)業(ye)(ye)(ye)控(kong)股(gu)(gu)(gu)境(jing)內外上(shang)市(shi)公(gong)司只有不到30%實(shi)施了股(gu)(gu)(gu)權激(ji)(ji)勵(li),覆蓋面還有待提高(gao)。《指(zhi)引》印發(fa)后,國(guo)資委將指(zhi)導(dao)中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)企(qi)業(ye)(ye)(ye)積極履行(xing)主體(ti)責任,推(tui)動符合(he)條件(jian)的(de)(de)(de)控(kong)股(gu)(gu)(gu)上(shang)市(shi)公(gong)司科(ke)學高(gao)效規范(fan)地(di)開(kai)展股(gu)(gu)(gu)權激(ji)(ji)勵(li)工(gong)作,加(jia)快建(jian)立(li)健全覆蓋企(qi)業(ye)(ye)(ye)經(jing)營管(guan)理(li)骨干(gan)和核心科(ke)研(yan)技術(shu)(shu)人才(cai)的(de)(de)(de)正向激(ji)(ji)勵(li)機制(zhi)(zhi)(zhi),充(chong)分(fen)調(diao)動各類(lei)人員(yuan)積極性和創造(zao)性,推(tui)動企(qi)業(ye)(ye)(ye)實(shi)現高(gao)質量發(fa)展。
