近(jin)日,國(guo)(guo)家(jia)(jia)電(dian)(dian)網(wang)公(gong)(gong)(gong)司(si)取得(de)工商部(bu)門于11月30日頒發(fa)的改(gai)(gai)制(zhi)后的公(gong)(gong)(gong)司(si)營業(ye)執照,公(gong)(gong)(gong)司(si)總(zong)(zong)部(bu)的公(gong)(gong)(gong)司(si)制(zhi)改(gai)(gai)制(zhi)工作圓滿完(wan)成。按照國(guo)(guo)務院(yuan)國(guo)(guo)資(zi)委的部(bu)署(shu)和《公(gong)(gong)(gong)司(si)法》規定,國(guo)(guo)家(jia)(jia)電(dian)(dian)網(wang)公(gong)(gong)(gong)司(si)由(you)全(quan)民所有(you)(you)制(zhi)企(qi)業(ye)整體(ti)改(gai)(gai)制(zhi)為國(guo)(guo)有(you)(you)獨(du)資(zi)公(gong)(gong)(gong)司(si),名稱由(you)“國(guo)(guo)家(jia)(jia)電(dian)(dian)網(wang)公(gong)(gong)(gong)司(si)”變更(geng)為“國(guo)(guo)家(jia)(jia)電(dian)(dian)網(wang)有(you)(you)限(xian)公(gong)(gong)(gong)司(si)”。至(zhi)此,包括國(guo)(guo)家(jia)(jia)電(dian)(dian)網(wang)公(gong)(gong)(gong)司(si)總(zong)(zong)部(bu)和需(xu)改(gai)(gai)制(zhi)的21家(jia)(jia)二級單(dan)(dan)位(wei)、123家(jia)(jia)三級及以下單(dan)(dan)位(wei)公(gong)(gong)(gong)司(si)制(zhi)改(gai)(gai)制(zhi)任務全(quan)部(bu)提前完(wan)成。改(gai)(gai)制(zhi)工作的圓滿完(wan)成標志著國(guo)(guo)家(jia)(jia)電(dian)(dian)網(wang)公(gong)(gong)(gong)司(si)深化(hua)改(gai)(gai)革正式進入(ru)新的階段。
開展國有(you)企(qi)業(ye)公(gong)司(si)制改制是黨中央、國務院的(de)(de)(de)重大決策(ce)部署(shu),是深化國有(you)企(qi)業(ye)改革(ge)(ge)的(de)(de)(de)重要內容(rong),是公(gong)司(si)治(zhi)理方式的(de)(de)(de)深刻變革(ge)(ge),是加(jia)(jia)快(kuai)形成有(you)效制衡(heng)的(de)(de)(de)公(gong)司(si)法人治(zhi)理結構和靈活高效的(de)(de)(de)市場環境機制的(de)(de)(de)前置性條件(jian)。公(gong)司(si)制改制有(you)利于公(gong)司(si)真正成為(wei)獨立(li)市場主體,激發(fa)企(qi)業(ye)活力和動力,為(wei)創建(jian)“兩個(ge)一流(liu)”、實(shi)(shi)現公(gong)司(si)治(zhi)理現代化奠(dian)定堅實(shi)(shi)基礎;有(you)利于把加(jia)(jia)強黨的(de)(de)(de)領導和完善(shan)公(gong)司(si)治(zhi)理統(tong)一起來,加(jia)(jia)快(kuai)形成各司(si)其職、各負(fu)自責、協調(diao)運轉、有(you)效制衡(heng)的(de)(de)(de)公(gong)司(si)治(zhi)理機制。
今年以來,國(guo)(guo)家(jia)電(dian)網(wang)公(gong)(gong)司(si)上下(xia)堅決貫徹落實黨(dang)中央、國(guo)(guo)務院(yuan)決策部署,按照國(guo)(guo)資委(wei)的(de)(de)要(yao)(yao)求(qiu)和公(gong)(gong)司(si)黨(dang)組決策,精心組織,認真(zhen)謀劃,扎實工(gong)(gong)作,保證了改(gai)制(zhi)的(de)(de)順利(li)推進。國(guo)(guo)家(jia)電(dian)網(wang)公(gong)(gong)司(si)黨(dang)組高(gao)度重視公(gong)(gong)司(si)制(zhi)改(gai)制(zhi),先(xian)后兩(liang)次(ci)召開(kai)黨(dang)組會(hui)審議有(you)關(guan)改(gai)制(zhi)議題,國(guo)(guo)家(jia)電(dian)網(wang)公(gong)(gong)司(si)董事長、黨(dang)組書(shu)記舒印(yin)彪多次(ci)對公(gong)(gong)司(si)制(zhi)改(gai)制(zhi)作出重要(yao)(yao)批示,要(yao)(yao)求(qiu)從完善(shan)公(gong)(gong)司(si)治理的(de)(de)高(gao)度,加強頂層設計,統(tong)籌推進改(gai)制(zhi)工(gong)(gong)作。該公(gong)(gong)司(si)成(cheng)立(li)了公(gong)(gong)司(si)制(zhi)改(gai)革專項工(gong)(gong)作領(ling)導小組,成(cheng)立(li)專門辦公(gong)(gong)室;各級單位(wei)均成(cheng)立(li)相應的(de)(de)組織機構和工(gong)(gong)作組,明確各級單位(wei)主要(yao)(yao)負責人是(shi)公(gong)(gong)司(si)制(zhi)改(gai)制(zhi)工(gong)(gong)作的(de)(de)第(di)一責任人。國(guo)(guo)家(jia)電(dian)網(wang)公(gong)(gong)司(si)多次(ci)召開(kai)會(hui)議,統(tong)籌研究和協調解決改(gai)制(zhi)工(gong)(gong)作重大問題,各部門分工(gong)(gong)明確、通力配合、協同推進。
國(guo)家(jia)電網公(gong)(gong)司(si)(si)(si)自去年(nian)年(nian)底(di)即著(zhu)手開(kai)展(zhan)改(gai)制(zhi)(zhi)(zhi)(zhi)(zhi)程(cheng)(cheng)(cheng)(cheng)序(xu)、稅費政策、劃撥土地等問題(ti)的研究(jiu),形成各(ge)類(lei)專題(ti)報(bao)告;今年(nian)年(nian)初(chu),認真調查摸底(di),全面摸清該公(gong)(gong)司(si)(si)(si)各(ge)級全民所(suo)有制(zhi)(zhi)(zhi)(zhi)(zhi)企業家(jia)底(di),并提前研究(jiu)制(zhi)(zhi)(zhi)(zhi)(zhi)定《公(gong)(gong)司(si)(si)(si)制(zhi)(zhi)(zhi)(zhi)(zhi)改(gai)制(zhi)(zhi)(zhi)(zhi)(zhi)工(gong)作(zuo)(zuo)(zuo)方案》,明(ming)確(que)總部及(ji)各(ge)單(dan)(dan)(dan)(dan)位(wei)(wei)(wei)改(gai)制(zhi)(zhi)(zhi)(zhi)(zhi)工(gong)作(zuo)(zuo)(zuo)的關鍵節點(dian)和任(ren)(ren)務(wu)清單(dan)(dan)(dan)(dan)。嚴格過(guo)程(cheng)(cheng)(cheng)(cheng)管控,認真落實《中(zhong)(zhong)央企業公(gong)(gong)司(si)(si)(si)制(zhi)(zhi)(zhi)(zhi)(zhi)改(gai)制(zhi)(zhi)(zhi)(zhi)(zhi)工(gong)作(zuo)(zuo)(zuo)實施方案》要(yao)求,嚴格履行(xing)“三重一大”決策程(cheng)(cheng)(cheng)(cheng)序(xu)和民主程(cheng)(cheng)(cheng)(cheng)序(xu);嚴格履行(xing)第(di)三方中(zhong)(zhong)介(jie)機構評估程(cheng)(cheng)(cheng)(cheng)序(xu),確(que)保(bao)改(gai)制(zhi)(zhi)(zhi)(zhi)(zhi)過(guo)程(cheng)(cheng)(cheng)(cheng)依法合規(gui);組(zu)織對各(ge)單(dan)(dan)(dan)(dan)位(wei)(wei)(wei)改(gai)制(zhi)(zhi)(zhi)(zhi)(zhi)方案預審(shen)和會審(shen),逐項梳理(li)各(ge)單(dan)(dan)(dan)(dan)位(wei)(wei)(wei)上報(bao)的改(gai)制(zhi)(zhi)(zhi)(zhi)(zhi)資料,并依法出(chu)具股(gu)東決定等法律文件,確(que)保(bao)各(ge)單(dan)(dan)(dan)(dan)位(wei)(wei)(wei)提前完成改(gai)制(zhi)(zhi)(zhi)(zhi)(zhi)任(ren)(ren)務(wu)。國(guo)家(jia)電網公(gong)(gong)司(si)(si)(si)在改(gai)制(zhi)(zhi)(zhi)(zhi)(zhi)工(gong)作(zuo)(zuo)(zuo)中(zhong)(zhong)推行(xing)項目制(zhi)(zhi)(zhi)(zhi)(zhi)管理(li),編制(zhi)(zhi)(zhi)(zhi)(zhi)改(gai)制(zhi)(zhi)(zhi)(zhi)(zhi)工(gong)作(zuo)(zuo)(zuo)里程(cheng)(cheng)(cheng)(cheng)碑計(ji)劃,嚴控關鍵任(ren)(ren)務(wu)完成時限,將工(gong)作(zuo)(zuo)(zuo)任(ren)(ren)務(wu)層層責任(ren)(ren)到人、落實到天;主動研究(jiu)改(gai)制(zhi)(zhi)(zhi)(zhi)(zhi)政策,發布《公(gong)(gong)司(si)(si)(si)制(zhi)(zhi)(zhi)(zhi)(zhi)改(gai)制(zhi)(zhi)(zhi)(zhi)(zhi)工(gong)作(zuo)(zuo)(zuo)問答(da)》,集中(zhong)(zhong)解答(da)53項熱點(dian)疑(yi)難問題(ti);建立工(gong)作(zuo)(zuo)(zuo)周報(bao)機制(zhi)(zhi)(zhi)(zhi)(zhi),發布月報(bao)和雙周報(bao)11期,及(ji)時通(tong)報(bao)和宣傳(chuan)各(ge)單(dan)(dan)(dan)(dan)位(wei)(wei)(wei)改(gai)制(zhi)(zhi)(zhi)(zhi)(zhi)進(jin)展(zhan)和典型經驗;完善公(gong)(gong)司(si)(si)(si)各(ge)單(dan)(dan)(dan)(dan)位(wei)(wei)(wei)法人治理(li)結構,及(ji)時修訂(ding)公(gong)(gong)司(si)(si)(si)章程(cheng)(cheng)(cheng)(cheng),編制(zhi)(zhi)(zhi)(zhi)(zhi)二(er)級單(dan)(dan)(dan)(dan)位(wei)(wei)(wei)公(gong)(gong)司(si)(si)(si)章程(cheng)(cheng)(cheng)(cheng)范本并及(ji)時批復(fu),科學設計(ji)二(er)級單(dan)(dan)(dan)(dan)位(wei)(wei)(wei)公(gong)(gong)司(si)(si)(si)治理(li)模式(shi)。
目前,國家(jia)電網(wang)公司各級(ji)(ji)全(quan)民所有(you)(you)制(zhi)企業全(quan)部按(an)期完成公司制(zhi)改制(zhi)任(ren)務。各級(ji)(ji)單位(wei)完成董事會(hui)、監事會(hui)的組建和董事、監事及(ji)高級(ji)(ji)管理人員的配備,以及(ji)完善議事規則修訂(ding)等(deng)工(gong)作,初步建立有(you)(you)效制(zhi)衡的公司法人治理結構。
