近日,國(guo)務院國(guo)資委印發(fa)了《關于切實(shi)加強金(jin)融(rong)衍生業務管理有關事項的通(tong)知》(國(guo)資發(fa)財評規〔2020〕8號,以下簡(jian)稱《通(tong)知》),對原有金(jin)融(rong)衍生業務監管制度進行了整合(he)、修訂。《通(tong)知》出臺后,國(guo)務院國(guo)資委有關負責人(ren)接受了記(ji)者采(cai)訪。
1.問:請介紹一下《通知》出臺的背景。
答:金(jin)融(rong)(rong)衍(yan)(yan)生(sheng)(sheng)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu)是大型(xing)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)管(guan)(guan)理價(jia)格(ge)風(feng)(feng)(feng)險的(de)(de)常用(yong)手段,可有效對沖現(xian)(xian)貨價(jia)格(ge)波(bo)動風(feng)(feng)(feng)險,促進企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)平穩(wen)運行。但(dan)金(jin)融(rong)(rong)衍(yan)(yan)生(sheng)(sheng)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu)本(ben)身也(ye)是一把“雙刃劍”,具(ju)有高杠桿性、高風(feng)(feng)(feng)險性和(he)復雜性,如管(guan)(guan)控不(bu)(bu)當(dang),易(yi)發生(sheng)(sheng)損失風(feng)(feng)(feng)險。為(wei)指(zhi)導企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)加強(qiang)金(jin)融(rong)(rong)衍(yan)(yan)生(sheng)(sheng)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu)風(feng)(feng)(feng)險管(guan)(guan)控,國資(zi)委先后(hou)印(yin)發了《關(guan)于(yu)進一步加強(qiang)中(zhong)(zhong)(zhong)央(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)金(jin)融(rong)(rong)衍(yan)(yan)生(sheng)(sheng)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu)監(jian)(jian)管(guan)(guan)的(de)(de)通知》(國資(zi)發評(ping)(ping)價(jia)〔2009〕19號(hao))、《關(guan)于(yu)建立中(zhong)(zhong)(zhong)央(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)金(jin)融(rong)(rong)衍(yan)(yan)生(sheng)(sheng)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu)臨(lin)時(shi)監(jian)(jian)管(guan)(guan)機制的(de)(de)通知》(國資(zi)發評(ping)(ping)價(jia)〔2010〕187號(hao))、《關(guan)于(yu)取消中(zhong)(zhong)(zhong)央(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)境外商品衍(yan)(yan)生(sheng)(sheng)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu)核準事項的(de)(de)通知》(國資(zi)發評(ping)(ping)價(jia)〔2015〕42號(hao)),構建了中(zhong)(zhong)(zhong)央(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)金(jin)融(rong)(rong)衍(yan)(yan)生(sheng)(sheng)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu)監(jian)(jian)管(guan)(guan)制度(du)框架體(ti)系(xi)。多年(nian)來,中(zhong)(zhong)(zhong)央(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)按(an)照監(jian)(jian)管(guan)(guan)要(yao)(yao)求(qiu),審慎開展業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu),有效管(guan)(guan)控風(feng)(feng)(feng)險,業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu)總體(ti)運行平穩(wen)。但(dan)監(jian)(jian)管(guan)(guan)中(zhong)(zhong)(zhong)發現(xian)(xian),有部分企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)存在集團管(guan)(guan)控不(bu)(bu)到位、業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu)審批(pi)不(bu)(bu)嚴格(ge)、操(cao)作(zuo)程(cheng)序不(bu)(bu)規范(fan)、激勵趨向(xiang)投(tou)機以(yi)及業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu)報告不(bu)(bu)及時(shi)、不(bu)(bu)準確等問題。同時(shi),隨著(zhu)近年(nian)來中(zhong)(zhong)(zhong)央(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)加快“走出去(qu)”步伐,積極拓展國際業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu),運用(yong)金(jin)融(rong)(rong)衍(yan)(yan)生(sheng)(sheng)工具(ju)對沖大宗(zong)商品價(jia)格(ge)、利率(lv)、匯率(lv)波(bo)動風(feng)(feng)(feng)險的(de)(de)需求(qiu)增(zeng)多,開展金(jin)融(rong)(rong)衍(yan)(yan)生(sheng)(sheng)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu)出現(xian)(xian)一些新情況、新變化,現(xian)(xian)行監(jian)(jian)管(guan)(guan)制度(du)已(yi)不(bu)(bu)能充(chong)分滿足企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)實際業(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)(ye)務(wu)(wu)(wu)需要(yao)(yao)。
貫徹落實十九(jiu)屆四中(zhong)全會(hui)關于“增強國(guo)有(you)經濟抗風(feng)險能力”的精(jing)神,為進(jin)一步指導中(zhong)央企業規范開展(zhan)金融衍生業務(wu),在(zai)發揮其功能作用的同(tong)時(shi),切實有(you)效管控(kong)風(feng)險,國(guo)資(zi)委在(zai)廣泛征求中(zhong)央企業和有(you)關監管部門意見的基礎(chu)上(shang),對監管制度進(jin)行了整合、修(xiu)訂,研究制定了《通知》,經由國(guo)資(zi)委黨委會(hui)議審議通過后印(yin)發中(zhong)央企業執行。
2.問:制定《通知》的主要原則是什么?
答:總(zong)體(ti)原(yuan)則(ze)是,堅持(chi)從(cong)嚴管控(kong)(kong)(kong),堅持(chi)套期保值,堅持(chi)風險可控(kong)(kong)(kong),嚴把“入口(kou)關”、“規模關”、“操(cao)作關”,進(jin)(jin)一(yi)(yi)(yi)步(bu)(bu)明確各級主體(ti)責任,進(jin)(jin)一(yi)(yi)(yi)步(bu)(bu)明晰業(ye)務(wu)原(yuan)則(ze),進(jin)(jin)一(yi)(yi)(yi)步(bu)(bu)規范操(cao)作流(liu)程,進(jin)(jin)一(yi)(yi)(yi)步(bu)(bu)加(jia)強(qiang)監(jian)督檢查,指導(dao)企業(ye)建立“嚴格管控(kong)(kong)(kong)、規范操(cao)作、風險可控(kong)(kong)(kong)”的金融衍生業(ye)務(wu)監(jian)管體(ti)系,切實發揮好金融衍生業(ye)務(wu)促進(jin)(jin)企業(ye)平穩運(yun)行的作用。
在《通知》起草過程(cheng)中,注重(zhong)與(yu)原制(zhi)度相(xiang)銜接,實(shi)(shi)(shi)現平穩(wen)過渡;注重(zhong)以問題和(he)風(feng)險(xian)為導向,解決企業實(shi)(shi)(shi)踐中存(cun)在的突出問題,補足(zu)(zu)制(zhi)度短(duan)板;注重(zhong)立(li)足(zu)(zu)企業實(shi)(shi)(shi)際(ji),充(chong)分吸(xi)收企業好的做法和(he)管理經驗(yan),提煉為制(zhi)度規定(ding),力求指(zhi)導性、可操作性強。
3.問:《通知》主要在哪些方面進行了修訂?
答:《通知》包(bao)括(kuo)六個(ge)部分(fen)內容,覆蓋事前、事中和事后的關(guan)鍵環節(jie)。較原有制度的變化主要體現(xian)在以(yi)下(xia)幾(ji)個(ge)方面。
一是落(luo)實各主體管控責任。進一步明確集(ji)(ji)(ji)團(tuan)董事會(hui)、集(ji)(ji)(ji)團(tuan)管理層及集(ji)(ji)(ji)團(tuan)職能(neng)部門、操作主體的(de)職責,建立健全(quan)三級管理體系,嚴(yan)格業務管控。
二是(shi)強化(hua)套期保(bao)值原則。在堅(jian)持交易品種與(yu)(yu)主(zhu)業相關(guan)、交易時(shi)間、規模(mo)、方向與(yu)(yu)實(shi)貨匹配等要求(qiu)的基礎上,進一步強調套期保(bao)值的實(shi)質和原則,即以降低實(shi)貨風險敞口為(wei)目的,禁(jin)止(zhi)投機(ji)交易;通過增加總量和時(shi)點規模(mo)雙管控(kong),嚴防超規模(mo)交易;通過要求(qiu)建立科學的激勵約束和業務(wu)效果綜合評判機(ji)制(zhi),防止(zhi)片面追求(qiu)金(jin)融衍生(sheng)業務(wu)單邊盈(ying)利導(dao)致投機(ji)行為(wei)。
三(san)是實施分類管(guan)控。針對(dui)貨幣類、商(shang)品類衍(yan)生(sheng)業務(wu)的不同(tong)特點(dian)和風險程度,在業務(wu)規模、崗位設置、信息(xi)系(xi)統等方面(mian)區(qu)別對(dui)待,即體現(xian)從嚴監(jian)管(guan),又貼合企業實際。
四是(shi)細(xi)化(hua)風(feng)險(xian)管控要求(qiu)(qiu)。在(zai)(zai)監控手(shou)段上,增加有(you)關建立信息系統(tong)的要求(qiu)(qiu),實現在(zai)(zai)線監測(ce),固(gu)化(hua)制度規定;在(zai)(zai)風(feng)險(xian)預警(jing)上,提(ti)出采用(yong)定量及定性(xing)方法及時識別各類風(feng)險(xian)的要求(qiu)(qiu);在(zai)(zai)應急處(chu)理(li)上,明(ming)確處(chu)理(li)要求(qiu)(qiu),妥善做好應對(dui)。
五是嚴(yan)控操作(zuo)關鍵節(jie)點(dian)。堅持前中后臺分離原則,嚴(yan)格合規管理;強調授權審批要(yao)求(qiu),嚴(yan)防越(yue)權違(wei)規操作(zuo);增加保證金管控要(yao)求(qiu),規范(fan)資(zi)金使用,防范(fan)資(zi)金風險;建立風險管理日報告、部門月(yue)核對、管理層季溝通機制,加強業務(wu)動態管理。
六是強化監(jian)督(du)檢查。對審計(ji)監(jian)督(du)的原則性要(yao)求進行細化,明確集團(tuan)歸口管理(li)部門和(he)內(nei)審部門的監(jian)督(du)檢查責任和(he)側重點(dian),嚴(yan)防違規事項(xiang),確保(bao)制度落實(shi)。
4.問:國資委將采取哪些監管措施?
答:國資委(wei)的監(jian)(jian)管(guan)仍然(ran)聚焦在(zai)事中(zhong)跟(gen)蹤(zong)監(jian)(jian)測與(yu)事后監(jian)(jian)督檢查(cha)(cha),督促企業(ye)(ye)加強風(feng)險管(guan)控。一是(shi)在(zai)日(ri)常工作中(zhong),建立定期(qi)報告(gao)(gao)制度,要求企業(ye)(ye)按(an)季、按(an)年(nian)報告(gao)(gao)業(ye)(ye)務(wu)開展情況(kuang),對于重大(da)事項,要求24小時內專項報告(gao)(gao)。二是(shi)嚴(yan)肅問責(ze)(ze)追責(ze)(ze),對于發生重大(da)損失風(feng)險、造成(cheng)嚴(yan)重影響等(deng)(deng)問題的,將在(zai)業(ye)(ye)績考(kao)核(he)中(zhong)予以扣分或(huo)降級處理,并根據(ju)干部(bu)管(guan)理權限開展責(ze)(ze)任追究。三是(shi)會同(tong)有(you)關(guan)部(bu)門,通過定期(qi)會商、信息(xi)共享、聯合(he)檢查(cha)(cha)等(deng)(deng)方式,形(xing)成(cheng)監(jian)(jian)管(guan)合(he)力,提升監(jian)(jian)管(guan)專業(ye)(ye)性。
5.問:國資委對抓好《通知》的落實有什么具體工作安排?
答:《通(tong)知(zhi)》下發(fa)后,國(guo)資委(wei)將對(dui)(dui)中(zhong)央企業和(he)(he)(he)地方國(guo)資監管部(bu)門進行(xing)培訓,就修(xiu)訂的(de)(de)重點內容(rong)進行(xing)講解和(he)(he)(he)說明,幫助(zhu)(zhu)準(zhun)確理(li)解和(he)(he)(he)把握《通(tong)知(zhi)》的(de)(de)內容(rong)和(he)(he)(he)要求。做好日常對(dui)(dui)口指導(dao),答疑解惑,及(ji)時幫助(zhu)(zhu)解決工作中(zhong)遇到(dao)的(de)(de)困難和(he)(he)(he)問題。加強對(dui)(dui)《通(tong)知(zhi)》執行(xing)情(qing)況的(de)(de)跟(gen)蹤評測,督促企業切實將《通(tong)知(zhi)》要求落實到(dao)位。
