堅持政企分開、明確功能定位、強化多元化決策
——新加坡淡馬錫考察的啟示

黨的(de)(de)十九屆四(si)中(zhong)(zhong)全會(hui)作(zuo)出了(le)堅持和完(wan)善中(zhong)(zhong)國(guo)(guo)特(te)(te)色社會(hui)主義(yi)制(zhi)(zhi)度(du)(du)、推(tui)進國(guo)(guo)家(jia)治(zhi)理(li)體(ti)系(xi)和治(zhi)理(li)能力(li)現代(dai)(dai)化的(de)(de)決定(ding)。完(wan)善中(zhong)(zhong)國(guo)(guo)特(te)(te)色現代(dai)(dai)企(qi)(qi)業(ye)制(zhi)(zhi)度(du)(du),是堅持和完(wan)善中(zhong)(zhong)國(guo)(guo)特(te)(te)色社會(hui)主義(yi)制(zhi)(zhi)度(du)(du)的(de)(de)重要內(nei)容(rong);健全國(guo)(guo)有企(qi)(qi)業(ye)公(gong)(gong)司(si)法(fa)人治(zhi)理(li)結(jie)構,是推(tui)進國(guo)(guo)家(jia)治(zhi)理(li)體(ti)系(xi)和治(zhi)理(li)能力(li)現代(dai)(dai)化的(de)(de)題中(zhong)(zhong)應有之意。構建系(xi)統完(wan)備、科學規范、運行有效(xiao)的(de)(de)制(zhi)(zhi)度(du)(du)體(ti)系(xi),把制(zhi)(zhi)度(du)(du)優勢更好轉化為企(qi)(qi)業(ye)治(zhi)理(li)效(xiao)能,是我(wo)國(guo)(guo)國(guo)(guo)有企(qi)(qi)業(ye)改(gai)革的(de)(de)重要任務(wu)。在深化國(guo)(guo)有企(qi)(qi)業(ye)改(gai)革、建立(li)完(wan)善現代(dai)(dai)企(qi)(qi)業(ye)制(zhi)(zhi)度(du)(du)的(de)(de)過程中(zhong)(zhong),國(guo)(guo)務(wu)院國(guo)(guo)資委始終重視學習借(jie)鑒世(shi)界范圍內(nei)公(gong)(gong)司(si)治(zhi)理(li)的(de)(de)經驗成(cheng)果(guo),和新(xin)加坡淡馬錫(xi)公(gong)(gong)司(si)進行了(le)長(chang)期合作(zuo)交流并(bing)多次組織中(zhong)(zhong)央企(qi)(qi)業(ye)負責人實地考(kao)察。

45年(nian)里(li),淡(dan)(dan)馬(ma)錫資(zi)(zi)產(chan)凈(jing)值增(zeng)長(chang)近千倍,復合年(nian)化股東(dong)總回報率為(wei)(wei)(wei)15%。作(zuo)為(wei)(wei)(wei)一(yi)(yi)個單一(yi)(yi)國(guo)有(you)股東(dong)的(de)企業能夠取得這樣的(de)成(cheng)就,在世(shi)界范圍內極(ji)為(wei)(wei)(wei)罕見。近期(qi)(qi),我(wo)有(you)幸參加了(le)國(guo)資(zi)(zi)委組(zu)織(zhi)的(de)淡(dan)(dan)馬(ma)錫董事論壇(第(di)27期(qi)(qi))。結合長(chang)期(qi)(qi)對(dui)淡(dan)(dan)馬(ma)錫的(de)研(yan)究(jiu)思考(kao)和此(ci)次實地考(kao)察學習,我(wo)認為(wei)(wei)(wei),淡(dan)(dan)馬(ma)錫在堅持政企分開、明(ming)確功能定位、強化多(duo)元(yuan)化決策(ce)、堅持投資(zi)(zi)收益最(zui)大化方面有(you)深入探索,形成(cheng)了(le)協調運轉(zhuan)、有(you)效制衡(heng)的(de)公司(si)法人治理(li)結構,對(dui)國(guo)有(you)企業尤其是中(zhong)央企業完(wan)善公司(si)治理(li)結構有(you)一(yi)(yi)定啟發意義。

一、堅持政企分開,清晰對國有企業授權邊界

1、新(xin)加坡(po)政(zheng)(zheng)(zheng)府(fu)(fu)和淡(dan)馬錫(xi)的(de)“一臂之距(ju)”。政(zheng)(zheng)(zheng)府(fu)(fu)和企(qi)業(ye)的(de)關(guan)系是國有企(qi)業(ye)管(guan)理的(de)世界性難題。新(xin)加坡(po)國有企(qi)業(ye)也經歷過政(zheng)(zheng)(zheng)企(qi)不分的(de)階段,后來新(xin)加坡(po)以淡(dan)馬錫(xi)為(wei)核心進(jin)行了政(zheng)(zheng)(zheng)企(qi)分開的(de)改革(ge),改革(ge)關(guan)鍵是政(zheng)(zheng)(zheng)府(fu)(fu)和企(qi)業(ye)保(bao)持恰(qia)當距(ju)離(li),這個距(ju)離(li)被稱為(wei)“一臂之距(ju)”。

首(shou)先(xian),政(zheng)(zheng)府對(dui)(dui)(dui)淡(dan)馬(ma)(ma)錫(xi)的(de)(de)管控通過法(fa)律來實現。淡(dan)馬(ma)(ma)錫(xi)是根據(ju)新(xin)加(jia)(jia)坡憲(xian)法(fa)而成立的(de)(de)一家機構(gou),有特定的(de)(de)憲(xian)法(fa)條款保(bao)護淡(dan)馬(ma)(ma)錫(xi)積累的(de)(de)儲備金。其次,政(zheng)(zheng)府對(dui)(dui)(dui)淡(dan)馬(ma)(ma)錫(xi)的(de)(de)管理(li)有著(zhu)清(qing)晰的(de)(de)鏈(lian)條。淡(dan)馬(ma)(ma)錫(xi)的(de)(de)股權(quan)結構(gou)非常(chang)簡單(dan),新(xin)加(jia)(jia)坡財(cai)政(zheng)(zheng)部(bu)對(dui)(dui)(dui)淡(dan)馬(ma)(ma)錫(xi)實行(xing)專管,切(qie)斷了(le)其他(ta)政(zheng)(zheng)府部(bu)門(men)對(dui)(dui)(dui)淡(dan)馬(ma)(ma)錫(xi)可(ke)能(neng)的(de)(de)干擾。最后,財(cai)政(zheng)(zheng)部(bu)對(dui)(dui)(dui)淡(dan)馬(ma)(ma)錫(xi)的(de)(de)管控是清(qing)單(dan)式的(de)(de)股東(dong)行(xing)為,除確定淡(dan)馬(ma)(ma)錫(xi)董事(shi)會(hui)成員和總裁,審查淡(dan)馬(ma)(ma)錫(xi)的(de)(de)業(ye)績(ji)表(biao)現外,其余權(quan)力基(ji)本上授(shou)予了(le)董事(shi)會(hui)。

2、清晰授權(quan)、政企(qi)(qi)分開是深化(hua)(hua)我國(guo)(guo)國(guo)(guo)有(you)企(qi)(qi)業改革(ge)的(de)(de)重點。在世(shi)(shi)界范圍內(nei),政企(qi)(qi)不分是國(guo)(guo)有(you)企(qi)(qi)業管理(li)中的(de)(de)通病。淡馬錫執(zhi)行董事兼CEO何晶認為:“政府一開始(shi)就(jiu)讓淡馬錫獨立運作,政府不干涉企(qi)(qi)業的(de)(de)專(zhuan)業化(hua)(hua)經營和經營策(ce)略的(de)(de)制定,是新(xin)加坡國(guo)(guo)有(you)經濟(ji)成功的(de)(de)關鍵。世(shi)(shi)界上很多企(qi)(qi)業之(zhi)所(suo)以失敗,是因為它們無法(fa)成功的(de)(de)理(li)清控股責任和管理(li)責任之(zhi)間的(de)(de)關系(xi)。”同樣,中國(guo)(guo)國(guo)(guo)有(you)企(qi)(qi)業70年的(de)(de)發(fa)(fa)展歷史(shi)中,如何更(geng)好地處(chu)理(li)好政府和企(qi)(qi)業的(de)(de)關系(xi)一直(zhi)是困擾國(guo)(guo)有(you)企(qi)(qi)業發(fa)(fa)展的(de)(de)難題之(zhi)一。

黨的(de)(de)(de)(de)(de)(de)十八大以(yi)來(lai),黨中(zhong)央(yang)、國(guo)(guo)(guo)務院(yuan)相繼發(fa)布了《關(guan)于(yu)(yu)全面深(shen)化(hua)改(gai)革(ge)若干(gan)重大問題的(de)(de)(de)(de)(de)(de)決(jue)定》《關(guan)于(yu)(yu)深(shen)化(hua)國(guo)(guo)(guo)有(you)(you)企(qi)業(ye)(ye)改(gai)革(ge)的(de)(de)(de)(de)(de)(de)指導意見(jian)》《關(guan)于(yu)(yu)改(gai)革(ge)和(he)完善國(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)產管理體(ti)制(zhi)(zhi)的(de)(de)(de)(de)(de)(de)若干(gan)意見(jian)》《改(gai)革(ge)國(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)本授(shou)(shou)權(quan)經營體(ti)制(zhi)(zhi)方案(an)》等(deng)(deng)文件,都要(yao)求依法(fa)理順(shun)政(zheng)(zheng)府(fu)與國(guo)(guo)(guo)有(you)(you)企(qi)業(ye)(ye)的(de)(de)(de)(de)(de)(de)出資(zi)(zi)(zi)關(guan)系(xi),促(cu)使國(guo)(guo)(guo)有(you)(you)企(qi)業(ye)(ye)真正成(cheng)為依法(fa)自主經營、自負盈虧、自擔風險、自我約(yue)束、自我發(fa)展的(de)(de)(de)(de)(de)(de)獨立(li)市(shi)場主體(ti)。可以(yi)說(shuo),政(zheng)(zheng)企(qi)分開、政(zheng)(zheng)資(zi)(zi)(zi)分開是(shi)(shi)國(guo)(guo)(guo)有(you)(you)企(qi)業(ye)(ye)深(shen)化(hua)改(gai)革(ge)的(de)(de)(de)(de)(de)(de)關(guan)鍵(jian)之一。新加坡對淡馬錫的(de)(de)(de)(de)(de)(de)清單(dan)式、法(fa)律式的(de)(de)(de)(de)(de)(de)管理,對我們(men)有(you)(you)啟發(fa)意義。政(zheng)(zheng)企(qi)分開、政(zheng)(zheng)資(zi)(zi)(zi)分開的(de)(de)(de)(de)(de)(de)關(guan)鍵(jian)并(bing)不是(shi)(shi)徹底斷開政(zheng)(zheng)府(fu)和(he)企(qi)業(ye)(ye)的(de)(de)(de)(de)(de)(de)關(guan)系(xi),而是(shi)(shi)明(ming)確(que)出資(zi)(zi)(zi)關(guan)系(xi)、委托代(dai)理關(guan)系(xi)、授(shou)(shou)權(quan)邊界等(deng)(deng),確(que)立(li)國(guo)(guo)(guo)有(you)(you)企(qi)業(ye)(ye)的(de)(de)(de)(de)(de)(de)市(shi)場主體(ti)地位,最大限度降低政(zheng)(zheng)府(fu)對市(shi)場運行的(de)(de)(de)(de)(de)(de)直接干(gan)預。貫(guan)徹落實(shi)十九屆四中(zhong)全會的(de)(de)(de)(de)(de)(de)要(yao)求,當前需要(yao)重點考慮將(jiang)權(quan)責關(guan)系(xi)的(de)(de)(de)(de)(de)(de)基本原(yuan)則(ze)轉化(hua)為可操(cao)作細則(ze),通過法(fa)律、章程或者清單(dan)明(ming)確(que)權(quan)力(li)邊界。

二、做實多元化董事會,實現權力制衡

1、淡馬(ma)(ma)(ma)錫(xi)(xi)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)有(you)著實(shi)(shi)(shi)實(shi)(shi)(shi)在(zai)(zai)在(zai)(zai)的(de)權(quan)(quan)(quan)(quan)(quan)力(li)(li)。淡馬(ma)(ma)(ma)錫(xi)(xi)公(gong)司治(zhi)(zhi)理的(de)關鍵(jian)(jian)是(shi)(shi)做實(shi)(shi)(shi)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)。淡馬(ma)(ma)(ma)錫(xi)(xi)的(de)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)成員(yuan)(yuan)和(he)(he)(he)總(zong)(zong)經(jing)理由(you)提名委(wei)員(yuan)(yuan)會(hui)(hui)(hui)(hui)向新加(jia)坡(po)財政部提名,由(you)財政部向總(zong)(zong)統提名,最后由(you)總(zong)(zong)統批準(zhun)。淡馬(ma)(ma)(ma)錫(xi)(xi)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)擁有(you)實(shi)(shi)(shi)權(quan)(quan)(quan)(quan)(quan)體現(xian)在(zai)(zai)三個(ge)方(fang)面:一(yi)是(shi)(shi)淡馬(ma)(ma)(ma)錫(xi)(xi)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)在(zai)(zai)重大事(shi)(shi)(shi)(shi)項上有(you)著實(shi)(shi)(shi)實(shi)(shi)(shi)在(zai)(zai)在(zai)(zai)的(de)決定(ding)權(quan)(quan)(quan)(quan)(quan),包(bao)括治(zhi)(zhi)理、對(dui)(dui)股(gu)(gu)(gu)東(dong)負責、制定(ding)長(chang)遠戰略、選擇經(jing)理層(ceng)(ceng)、通(tong)過股(gu)(gu)(gu)東(dong)大會(hui)(hui)(hui)(hui)對(dui)(dui)投(tou)資公(gong)司行使(shi)股(gu)(gu)(gu)東(dong)權(quan)(quan)(quan)(quan)(quan)力(li)(li)。二是(shi)(shi)淡馬(ma)(ma)(ma)錫(xi)(xi)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)組成多元(yuan)(yuan),董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)來(lai)源于(yu)政府官員(yuan)(yuan)、下屬企(qi)業領(ling)袖(xiu)和(he)(he)(he)社會(hui)(hui)(hui)(hui)商業人士(shi),且獨立(li)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)或(huo)者(zhe)外部董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)占絕對(dui)(dui)多數地位(wei),相當一(yi)部分(fen)來(lai)自于(yu)新加(jia)坡(po)之(zhi)外的(de)跨(kua)國(guo)(guo)(guo)公(gong)司領(ling)袖(xiu)。這(zhe)種(zhong)設計(ji)是(shi)(shi)對(dui)(dui)西方(fang)公(gong)司治(zhi)(zhi)理結構的(de)重大突破,淡馬(ma)(ma)(ma)錫(xi)(xi)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)并非是(shi)(shi)股(gu)(gu)(gu)權(quan)(quan)(quan)(quan)(quan)或(huo)者(zhe)產權(quan)(quan)(quan)(quan)(quan)決定(ding)的(de),本質是(shi)(shi)治(zhi)(zhi)理多元(yuan)(yuan)化(hua)而(er)不(bu)(bu)是(shi)(shi)股(gu)(gu)(gu)權(quan)(quan)(quan)(quan)(quan)多元(yuan)(yuan)化(hua)。三是(shi)(shi)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)的(de)多元(yuan)(yuan)化(hua)體現(xian)在(zai)(zai)權(quan)(quan)(quan)(quan)(quan)力(li)(li)分(fen)配和(he)(he)(he)制衡。不(bu)(bu)同(tong)(tong)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)角色(se)有(you)著制衡細則:董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)長(chang)和(he)(he)(he)總(zong)(zong)裁(cai)由(you)不(bu)(bu)同(tong)(tong)人擔任(ren);董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)長(chang)和(he)(he)(he)副董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)長(chang)只(zhi)能(neng)來(lai)自獨立(li)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi),不(bu)(bu)可來(lai)自股(gu)(gu)(gu)東(dong)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)和(he)(he)(he)執(zhi)行董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi);董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)長(chang)和(he)(he)(he)副董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)長(chang)不(bu)(bu)能(neng)加(jia)入(ru)審(shen)(shen)計(ji)委(wei)員(yuan)(yuan)會(hui)(hui)(hui)(hui);董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)長(chang)擔任(ren)領(ling)袖(xiu)與薪酬委(wei)員(yuan)(yuan)會(hui)(hui)(hui)(hui)主席;執(zhi)行董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)僅一(yi)人且需兼任(ren)淡馬(ma)(ma)(ma)錫(xi)(xi)總(zong)(zong)裁(cai);總(zong)(zong)裁(cai)不(bu)(bu)能(neng)加(jia)入(ru)審(shen)(shen)計(ji)委(wei)員(yuan)(yuan)會(hui)(hui)(hui)(hui);股(gu)(gu)(gu)東(dong)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)不(bu)(bu)能(neng)參與領(ling)袖(xiu)培(pei)育(yu)與薪酬委(wei)員(yuan)(yuan)會(hui)(hui)(hui)(hui);董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)長(chang)在(zai)(zai)投(tou)票出現(xian)平局時有(you)二次投(tou)票權(quan)(quan)(quan)(quan)(quan)或(huo)者(zhe)決定(ding)性投(tou)票。這(zhe)些復雜的(de)制度設計(ji),形成了(le)制衡甚至監(jian)督。和(he)(he)(he)西方(fang)國(guo)(guo)(guo)家大不(bu)(bu)相同(tong)(tong)的(de)是(shi)(shi),淡馬(ma)(ma)(ma)錫(xi)(xi)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)沒(mei)有(you)一(yi)分(fen)錢(qian)的(de)股(gu)(gu)(gu)權(quan)(quan)(quan)(quan)(quan),做實(shi)(shi)(shi)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)的(de)關鍵(jian)(jian)并不(bu)(bu)是(shi)(shi)通(tong)過股(gu)(gu)(gu)權(quan)(quan)(quan)(quan)(quan)多元(yuan)(yuan)化(hua)或(huo)管理層(ceng)(ceng)持(chi)股(gu)(gu)(gu),而(er)是(shi)(shi)通(tong)過多元(yuan)(yuan)的(de)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)實(shi)(shi)(shi)現(xian)治(zhi)(zhi)理的(de)多元(yuan)(yuan)化(hua)。整體來(lai)看,淡馬(ma)(ma)(ma)錫(xi)(xi)董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)雖無產權(quan)(quan)(quan)(quan)(quan)股(gu)(gu)(gu)權(quan)(quan)(quan)(quan)(quan)但(dan)是(shi)(shi)經(jing)政府授權(quan)(quan)(quan)(quan)(quan)而(er)有(you)實(shi)(shi)(shi)權(quan)(quan)(quan)(quan)(quan),是(shi)(shi)一(yi)個(ge)多元(yuan)(yuan)的(de)組成,運作中形成了(le)明顯(xian)的(de)權(quan)(quan)(quan)(quan)(quan)力(li)(li)制衡,和(he)(he)(he)經(jing)理層(ceng)(ceng)權(quan)(quan)(quan)(quan)(quan)力(li)(li)邊(bian)界(jie)非常清晰。這(zhe)是(shi)(shi)最值(zhi)得我(wo)國(guo)(guo)(guo)國(guo)(guo)(guo)有(you)企(qi)業董(dong)(dong)(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)(hui)(hui)(hui)建設學習借鑒的(de)方(fang)面。

3、中國(guo)國(guo)有(you)(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)必(bi)(bi)須把(ba)握協(xie)調制(zhi)(zhi)衡的(de)(de)(de)(de)公(gong)司(si)(si)(si)治(zhi)理(li)(li)本(ben)質。必(bi)(bi)須看到(dao),世界范圍內主要(yao)國(guo)家的(de)(de)(de)(de)公(gong)司(si)(si)(si)的(de)(de)(de)(de)董(dong)(dong)(dong)事(shi)會運作實質有(you)(you)(you)著(zhu)顯(xian)著(zhu)差異(yi),淡(dan)馬(ma)(ma)錫(xi)的(de)(de)(de)(de)董(dong)(dong)(dong)事(shi)會和(he)(he)歐美德日等(deng)國(guo)家企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)的(de)(de)(de)(de)董(dong)(dong)(dong)事(shi)會有(you)(you)(you)著(zhu)顯(xian)著(zhu)差異(yi),甚(shen)至(zhi)說淡(dan)馬(ma)(ma)錫(xi)董(dong)(dong)(dong)事(shi)會是(shi)(shi)對產權(quan)(quan)理(li)(li)論(lun)、股(gu)(gu)份制(zhi)(zhi)的(de)(de)(de)(de)突破。淡(dan)馬(ma)(ma)錫(xi)有(you)(you)(you)關人士認為,其董(dong)(dong)(dong)事(shi)會是(shi)(shi)委托(tuo)少(shao)數幾(ji)個人去指揮(hui)千軍萬馬(ma)(ma),關鍵(jian)是(shi)(shi)實現授權(quan)(quan)與(yu)問責的(de)(de)(de)(de)平衡、實現董(dong)(dong)(dong)事(shi)會和(he)(he)經理(li)(li)層(ceng)各司(si)(si)(si)其職。我(wo)們要(yao)從(cong)不(bu)同形(xing)式背(bei)后看到(dao)本(ben)質:大(da)型企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)的(de)(de)(de)(de)治(zhi)理(li)(li)是(shi)(shi)權(quan)(quan)力(li)分配,是(shi)(shi)形(xing)成(cheng)協(xie)調運轉、有(you)(you)(you)效制(zhi)(zhi)衡的(de)(de)(de)(de)體制(zhi)(zhi)機制(zhi)(zhi)。中國(guo)國(guo)有(you)(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)董(dong)(dong)(dong)事(shi)會建設(she)必(bi)(bi)須從(cong)這個本(ben)質出發,分析不(bu)同董(dong)(dong)(dong)事(shi)會模(mo)式的(de)(de)(de)(de)本(ben)質、分析公(gong)司(si)(si)(si)治(zhi)理(li)(li)的(de)(de)(de)(de)本(ben)質。具(ju)體來說,西方(fang)國(guo)有(you)(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)中沒(mei)有(you)(you)(you)黨(dang)組(zu)織,我(wo)國(guo)國(guo)有(you)(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)中黨(dang)組(zu)織要(yao)發揮(hui)領導(dao)作用,“把(ba)方(fang)向(xiang)、管(guan)大(da)局、保(bao)落(luo)實”,依照規定(ding)討(tao)論(lun)和(he)(he)決(jue)(jue)定(ding)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)重大(da)事(shi)項,在(zai)這種情況(kuang)下(xia)(xia),哪一(yi)種董(dong)(dong)(dong)事(shi)會模(mo)式都不(bu)能(neng)直(zhi)接套用。國(guo)有(you)(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)管(guan)理(li)(li),就是(shi)(shi)黨(dang)和(he)(he)人民把(ba)國(guo)有(you)(you)(you)資(zi)產委托(tuo)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)領導(dao)人員經營管(guan)理(li)(li)。有(you)(you)(you)委托(tuo)就要(yao)有(you)(you)(you)信(xin)任,但信(xin)任不(bu)能(neng)沒(mei)有(you)(you)(you)監(jian)督;有(you)(you)(you)授權(quan)(quan)就要(yao)有(you)(you)(you)權(quan)(quan)力(li)清單(dan)和(he)(he)邊界,權(quan)(quan)力(li)不(bu)能(neng)沒(mei)有(you)(you)(you)監(jian)督、權(quan)(quan)力(li)不(bu)能(neng)導(dao)向(xiang)“關鍵(jian)少(shao)數”獨(du)斷專行,要(yao)通過建立健全和(he)(he)強化企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)管(guan)理(li)(li)中的(de)(de)(de)(de)“明規則”,讓“潛(qian)規則”失去存在(zai)的(de)(de)(de)(de)土壤。因此,國(guo)有(you)(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)治(zhi)理(li)(li)本(ben)質的(de)(de)(de)(de)是(shi)(shi)“一(yi)股(gu)(gu)獨(du)大(da)”根本(ben)約束下(xia)(xia)尋求實現治(zhi)理(li)(li)制(zhi)(zhi)衡化、決(jue)(jue)策多元(yuan)化或者,或者是(shi)(shi)堅持(chi)民主集中制(zhi)(zhi)原則,探索建設(she)董(dong)(dong)(dong)事(shi)會并發揮(hui)董(dong)(dong)(dong)事(shi)會的(de)(de)(de)(de)作用,探索黨(dang)組(zu)織融入公(gong)司(si)(si)(si)治(zhi)理(li)(li)。
