【特別策劃管資本——專家解讀】把履行好出資人職責作為管資本的重要抓手

2019年11月,國務院國資(zi)(zi)(zi)(zi)(zi)(zi)委(wei)印發(fa)《關于以管(guan)(guan)(guan)(guan)資(zi)(zi)(zi)(zi)(zi)(zi)本(ben)(ben)為主(zhu)加快(kuai)國有(you)資(zi)(zi)(zi)(zi)(zi)(zi)產監(jian)管(guan)(guan)(guan)(guan)職能轉變的(de)(de)(de)實施(shi)意見》,旨(zhi)在(zai)使國資(zi)(zi)(zi)(zi)(zi)(zi)監(jian)管(guan)(guan)(guan)(guan)機構加快(kuai)從(cong)管(guan)(guan)(guan)(guan)企(qi)業(ye)向管(guan)(guan)(guan)(guan)資(zi)(zi)(zi)(zi)(zi)(zi)本(ben)(ben)轉變。在(zai)我看來,管(guan)(guan)(guan)(guan)企(qi)業(ye)還(huan)是(shi)管(guan)(guan)(guan)(guan)資(zi)(zi)(zi)(zi)(zi)(zi)本(ben)(ben),這只是(shi)國資(zi)(zi)(zi)(zi)(zi)(zi)監(jian)管(guan)(guan)(guan)(guan)機構履行出資(zi)(zi)(zi)(zi)(zi)(zi)人(ren)職責方式的(de)(de)(de)不同(tong),而這種(zhong)不同(tong)則主(zhu)要(yao)是(shi)由履行出資(zi)(zi)(zi)(zi)(zi)(zi)人(ren)職責的(de)(de)(de)企(qi)業(ye)不同(tong)的(de)(de)(de)制(zhi)度安(an)排(pai)決定的(de)(de)(de)。國資(zi)(zi)(zi)(zi)(zi)(zi)監(jian)管(guan)(guan)(guan)(guan)機構是(shi)管(guan)(guan)(guan)(guan)企(qi)業(ye)還(huan)管(guan)(guan)(guan)(guan)資(zi)(zi)(zi)(zi)(zi)(zi)本(ben)(ben),并不取決于國資(zi)(zi)(zi)(zi)(zi)(zi)監(jian)管(guan)(guan)(guan)(guan)機構的(de)(de)(de)主(zhu)觀愿望,而是(shi)取決于其所(suo)監(jian)管(guan)(guan)(guan)(guan)的(de)(de)(de)企(qi)業(ye)所(suo)采取的(de)(de)(de)制(zhi)度安(an)排(pai)。

換句話說,新時代國有企(qi)(qi)業的變化(hua),決(jue)定了監管方式必須(xu)從管資產、管企(qi)(qi)業轉向管資本。

國資監管機構履行出資人職責的根源是國有企業公司制改革

國(guo)有(you)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)是(shi)中國(guo)經濟(ji)(ji)中的(de)重要行(xing)為主(zhu)體(ti)。在計(ji)劃經濟(ji)(ji)下(xia),國(guo)有(you)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)是(shi)指令性(xing)計(ji)劃的(de)執行(xing)者(zhe);改革開放后(hou),國(guo)有(you)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)由(you)指令性(xing)計(ji)劃執行(xing)者(zhe)逐步轉變為市場競爭主(zhu)體(ti)。在此(ci)過程中,國(guo)有(you)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)制(zhi)度(du)安排在不斷變化,經過擴大企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)自(zi)主(zhu)權、實行(xing)經濟(ji)(ji)責任制(zhi)、兩步“利(li)改稅”、承包經營責任制(zhi)、轉換企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)經營機制(zhi)等一系列改革舉措,最終(zhong)將(jiang)國(guo)有(you)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)改革方向確定為建立現代企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)制(zhi)度(du),即由(you)《企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)法(fa)(fa)》規制(zhi)的(de)工廠(chang)制(zhi)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)改革為按《公(gong)司(si)法(fa)(fa)》登記(ji)注冊的(de)公(gong)司(si)制(zhi)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye);同(tong)時(shi),單體(ti)法(fa)(fa)人(ren)(ren)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)通過聯(lian)合重組發展成(cheng)(cheng)為企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)集團,它是(shi)由(you)不同(tong)層(ceng)級的(de)眾多(duo)法(fa)(fa)人(ren)(ren)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)組成(cheng)(cheng)的(de)法(fa)(fa)人(ren)(ren)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)聯(lian)合體(ti),集團公(gong)司(si)為一級法(fa)(fa)人(ren)(ren),其(qi)下(xia)有(you)二級、三級甚至更多(duo)層(ceng)級的(de)法(fa)(fa)人(ren)(ren)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)(ye)。

公(gong)(gong)司(si)(si)制(zhi)(zhi)(zhi)企業(ye)(ye)(ye)(ye)要(yao)有(you)(you)出(chu)(chu)資(zi)(zi)(zi)(zi)(zi),即(ji)注冊資(zi)(zi)(zi)(zi)(zi)本,對(dui)(dui)企業(ye)(ye)(ye)(ye)來說(shuo),它(ta)是資(zi)(zi)(zi)(zi)(zi)本;對(dui)(dui)出(chu)(chu)資(zi)(zi)(zi)(zi)(zi)者來說(shuo),它(ta)是自己的(de)(de)股權,形成自己的(de)(de)資(zi)(zi)(zi)(zi)(zi)產,因為(wei)(wei)它(ta)是一種可(ke)交易的(de)(de)價值。出(chu)(chu)資(zi)(zi)(zi)(zi)(zi)可(ke)獨(du)(du)資(zi)(zi)(zi)(zi)(zi)也(ye)可(ke)多個出(chu)(chu)資(zi)(zi)(zi)(zi)(zi)者共同(tong)出(chu)(chu)資(zi)(zi)(zi)(zi)(zi),可(ke)以是國(guo)有(you)(you)也(ye)可(ke)以是非國(guo)有(you)(you);若出(chu)(chu)資(zi)(zi)(zi)(zi)(zi)大于(yu)50%則(ze)為(wei)(wei)絕(jue)對(dui)(dui)控(kong)(kong)股,若出(chu)(chu)資(zi)(zi)(zi)(zi)(zi)不大于(yu)50%但通(tong)過相(xiang)應協議安排(pai)而擁(yong)有(you)(you)控(kong)(kong)制(zhi)(zhi)(zhi)權則(ze)為(wei)(wei)相(xiang)對(dui)(dui)控(kong)(kong)股。因上述不同(tong)的(de)(de)出(chu)(chu)資(zi)(zi)(zi)(zi)(zi)安排(pai),公(gong)(gong)司(si)(si)制(zhi)(zhi)(zhi)企業(ye)(ye)(ye)(ye)中(zhong)有(you)(you)國(guo)有(you)(you)獨(du)(du)資(zi)(zi)(zi)(zi)(zi)公(gong)(gong)司(si)(si)、國(guo)有(you)(you)全資(zi)(zi)(zi)(zi)(zi)公(gong)(gong)司(si)(si)、國(guo)有(you)(you)控(kong)(kong)股公(gong)(gong)司(si)(si)、國(guo)有(you)(you)參股公(gong)(gong)司(si)(si),它(ta)們(men)均稱之(zhi)為(wei)(wei)國(guo)家(jia)出(chu)(chu)資(zi)(zi)(zi)(zi)(zi)企業(ye)(ye)(ye)(ye),即(ji)國(guo)有(you)(you)企業(ye)(ye)(ye)(ye)。根據(ju)《公(gong)(gong)司(si)(si)法》,公(gong)(gong)司(si)(si)制(zhi)(zhi)(zhi)企業(ye)(ye)(ye)(ye)中(zhong)的(de)(de)國(guo)家(jia)出(chu)(chu)資(zi)(zi)(zi)(zi)(zi)要(yao)有(you)(you)相(xiang)應的(de)(de)出(chu)(chu)資(zi)(zi)(zi)(zi)(zi)人(ren)及(ji)履行出(chu)(chu)資(zi)(zi)(zi)(zi)(zi)人(ren)職(zhi)責的(de)(de)主體。

根(gen)據(ju)《企(qi)業(ye)國(guo)(guo)有資(zi)(zi)(zi)產法(fa)》,公(gong)司制企(qi)業(ye)中(zhong)的(de)(de)(de)國(guo)(guo)家(jia)(jia)出(chu)(chu)資(zi)(zi)(zi)形成(cheng)的(de)(de)(de)國(guo)(guo)有資(zi)(zi)(zi)本,出(chu)(chu)資(zi)(zi)(zi)人(ren)(ren)(ren)(ren)是(shi)全(quan)體(ti)人(ren)(ren)(ren)(ren)民(min)(min)(min),歸全(quan)體(ti)人(ren)(ren)(ren)(ren)民(min)(min)(min)所(suo)(suo)有。而全(quan)體(ti)人(ren)(ren)(ren)(ren)民(min)(min)(min)是(shi)眾多的(de)(de)(de)個體(ti),共同行(xing)使所(suo)(suo)有權(quan)意味著(zhu)高昂的(de)(de)(de)成(cheng)本。因此,需要代(dai)(dai)表全(quan)體(ti)人(ren)(ren)(ren)(ren)民(min)(min)(min)的(de)(de)(de)國(guo)(guo)家(jia)(jia)擁有這一所(suo)(suo)有權(quan),具(ju)體(ti)則由(you)國(guo)(guo)務院代(dai)(dai)表國(guo)(guo)家(jia)(jia)行(xing)使國(guo)(guo)有資(zi)(zi)(zi)本所(suo)(suo)有權(quan);國(guo)(guo)務院和地方人(ren)(ren)(ren)(ren)民(min)(min)(min)政(zheng)府(fu)依(yi)照法(fa)律(lv)、行(xing)政(zheng)法(fa)規的(de)(de)(de)規定(ding),分別(bie)代(dai)(dai)表國(guo)(guo)家(jia)(jia)對公(gong)司制企(qi)業(ye)中(zhong)的(de)(de)(de)國(guo)(guo)有資(zi)(zi)(zi)本履行(xing)出(chu)(chu)資(zi)(zi)(zi)人(ren)(ren)(ren)(ren)職責,享(xiang)有出(chu)(chu)資(zi)(zi)(zi)人(ren)(ren)(ren)(ren)權(quan)益。國(guo)(guo)務院國(guo)(guo)有資(zi)(zi)(zi)產監(jian)(jian)督(du)(du)管(guan)理(li)機(ji)構(gou)(gou)和地方人(ren)(ren)(ren)(ren)民(min)(min)(min)政(zheng)府(fu)按(an)照國(guo)(guo)務院的(de)(de)(de)規定(ding)設立的(de)(de)(de)國(guo)(guo)有資(zi)(zi)(zi)產監(jian)(jian)督(du)(du)管(guan)理(li)機(ji)構(gou)(gou),根(gen)據(ju)本級人(ren)(ren)(ren)(ren)民(min)(min)(min)政(zheng)府(fu)的(de)(de)(de)授(shou)權(quan),代(dai)(dai)表本級人(ren)(ren)(ren)(ren)民(min)(min)(min)政(zheng)府(fu)對國(guo)(guo)家(jia)(jia)出(chu)(chu)資(zi)(zi)(zi)企(qi)業(ye)履行(xing)出(chu)(chu)資(zi)(zi)(zi)人(ren)(ren)(ren)(ren)職責。由(you)國(guo)(guo)資(zi)(zi)(zi)監(jian)(jian)管(guan)機(ji)構(gou)(gou)履行(xing)出(chu)(chu)資(zi)(zi)(zi)人(ren)(ren)(ren)(ren)職責的(de)(de)(de)企(qi)業(ye),也稱(cheng)之(zhi)為國(guo)(guo)資(zi)(zi)(zi)監(jian)(jian)管(guan)機(ji)構(gou)(gou)監(jian)(jian)管(guan)企(qi)業(ye)。國(guo)(guo)資(zi)(zi)(zi)監(jian)(jian)管(guan)機(ji)構(gou)(gou)同監(jian)(jian)管(guan)企(qi)業(ye)的(de)(de)(de)關(guan)系(xi)是(shi)出(chu)(chu)資(zi)(zi)(zi)者(zhe)與被出(chu)(chu)資(zi)(zi)(zi)者(zhe)之(zhi)間(jian)的(de)(de)(de)關(guan)系(xi)。

在(zai)企(qi)(qi)業集(ji)(ji)團(tuan)(tuan),國(guo)資(zi)(zi)監(jian)(jian)管(guan)機(ji)構監(jian)(jian)督管(guan)理(li)的(de)(de)只是(shi)一級法(fa)人集(ji)(ji)團(tuan)(tuan)公司(si),而其(qi)他法(fa)人企(qi)(qi)業則(ze)由集(ji)(ji)團(tuan)(tuan)公司(si)負責(ze)監(jian)(jian)督管(guan)理(li)。而企(qi)(qi)業集(ji)(ji)團(tuan)(tuan)各層級法(fa)人企(qi)(qi)業均為(wei)國(guo)有(you)企(qi)(qi)業,因(yin)(yin)此,國(guo)資(zi)(zi)監(jian)(jian)管(guan)機(ji)構履行出資(zi)(zi)人職(zhi)責(ze)的(de)(de)是(shi)集(ji)(ji)團(tuan)(tuan)所(suo)有(you)的(de)(de)法(fa)人企(qi)(qi)業,而不(bu)只是(shi)所(suo)監(jian)(jian)管(guan)的(de)(de)集(ji)(ji)團(tuan)(tuan)公司(si)。正因(yin)(yin)為(wei)如此,集(ji)(ji)團(tuan)(tuan)旗下(xia)各法(fa)人企(qi)(qi)業的(de)(de)有(you)關(guan)事項,要(yao)報(bao)國(guo)資(zi)(zi)監(jian)(jian)管(guan)機(ji)構審批,這是(shi)國(guo)資(zi)(zi)監(jian)(jian)管(guan)機(ji)構對所(suo)有(you)法(fa)人企(qi)(qi)業履行出資(zi)(zi)人職(zhi)責(ze)的(de)(de)權利決(jue)定的(de)(de)。

我(wo)們設想這里的(de)(de)國資(zi)監管(guan)(guan)機(ji)構是(shi)(shi)(shi)(shi)一個自然(ran)人(ren)(ren),他同(tong)樣要對集(ji)團旗(qi)下(xia)各法人(ren)(ren)企(qi)(qi)業的(de)(de)有關事(shi)項進行審批(pi),這是(shi)(shi)(shi)(shi)他作為出資(zi)人(ren)(ren)的(de)(de)權利。所以,國資(zi)監管(guan)(guan)機(ji)構對集(ji)團公司及旗(qi)下(xia)法人(ren)(ren)企(qi)(qi)業有關事(shi)項的(de)(de)審批(pi)是(shi)(shi)(shi)(shi)履行出資(zi)人(ren)(ren)職責的(de)(de)監督管(guan)(guan)理(li)行為,是(shi)(shi)(shi)(shi)在行使出資(zi)人(ren)(ren)權利,若將其說(shuo)成是(shi)(shi)(shi)(shi)管(guan)(guan)企(qi)(qi)業,則是(shi)(shi)(shi)(shi)不(bu)準(zhun)確的(de)(de)。

公司制企業的制度(du)安排決定著出(chu)資人履責的方式

國資(zi)監管(guan)機(ji)構(gou)履(lv)行出(chu)資(zi)人職責源自于公司(si)(si)制企(qi)(qi)業(ye)的制度(du)安排,但(dan)國資(zi)監管(guan)機(ji)構(gou)監督管(guan)理的企(qi)(qi)業(ye)卻有(you)兩種:按《企(qi)(qi)業(ye)法》注(zhu)冊登記(ji)的國有(you)獨資(zi)企(qi)(qi)業(ye),按《公司(si)(si)法》注(zhu)冊登記(ji)的公司(si)(si)制企(qi)(qi)業(ye)。

按《企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)法(fa)》注(zhu)冊登記的(de)國有(you)獨(du)資(zi)(zi)(zi)(zi)(zi)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)是(shi)沒(mei)有(you)出資(zi)(zi)(zi)(zi)(zi)人的(de),雖然企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)也是(shi)法(fa)人,但(dan)它對企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)的(de)全部資(zi)(zi)(zi)(zi)(zi)產(chan)并沒(mei)有(you)法(fa)人財產(chan)權,企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)的(de)全部資(zi)(zi)(zi)(zi)(zi)產(chan)是(shi)屬于企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)投(tou)資(zi)(zi)(zi)(zi)(zi)創辦者所有(you)。因此(ci),把國資(zi)(zi)(zi)(zi)(zi)監管(guan)機構對由《企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)法(fa)》注(zhu)冊登記的(de)國有(you)獨(du)資(zi)(zi)(zi)(zi)(zi)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)所行(xing)(xing)使的(de)權利(li)也說(shuo)成(cheng)是(shi)履行(xing)(xing)出資(zi)(zi)(zi)(zi)(zi)人職責,是(shi)不(bu)正確的(de)。因為這里并沒(mei)有(you)出資(zi)(zi)(zi)(zi)(zi)人制(zhi)度(du),何(he)談(tan)履行(xing)(xing)出資(zi)(zi)(zi)(zi)(zi)人職責?那么,我(wo)們的(de)對此(ci)解釋就是(shi)國資(zi)(zi)(zi)(zi)(zi)監管(guan)機構在(zai)管(guan)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)。

而且,國(guo)(guo)資監管(guan)機(ji)(ji)構對《公(gong)(gong)司(si)法》注冊登(deng)(deng)記的(de)(de)(de)公(gong)(gong)司(si)制企(qi)(qi)(qi)業(ye)的(de)(de)(de)監督(du)管(guan)理(li)方式(shi)同(tong)對《企(qi)(qi)(qi)業(ye)法》注冊登(deng)(deng)記的(de)(de)(de)國(guo)(guo)有獨資企(qi)(qi)(qi)業(ye)的(de)(de)(de)監督(du)管(guan)理(li)方式(shi)都是相同(tong)的(de)(de)(de),如(ru)果把后(hou)者說(shuo)成(cheng)是管(guan)企(qi)(qi)(qi)業(ye),那么對前(qian)者來說(shuo)則同(tong)樣(yang)是管(guan)企(qi)(qi)(qi)業(ye)。那么,為什么國(guo)(guo)資監管(guan)機(ji)(ji)構會(hui)對兩種不同(tong)規(gui)制的(de)(de)(de)企(qi)(qi)(qi)業(ye)采取(qu)同(tong)樣(yang)的(de)(de)(de)監管(guan)方式(shi)?顯然,這里的(de)(de)(de)問題不在(zai)于(yu)后(hou)者,而在(zai)于(yu)前(qian)者。前(qian)者采取(qu)的(de)(de)(de)是國(guo)(guo)有獨資公(gong)(gong)司(si)形式(shi),因此,對其監管(guan)方式(shi)很容易同(tong)國(guo)(guo)有獨資企(qi)(qi)(qi)業(ye)相同(tong)。

在公(gong)(gong)司(si)制(zhi)企(qi)(qi)(qi)業(ye)(ye),由股(gu)(gu)東(dong)(dong)(dong)參(can)加的(de)(de)股(gu)(gu)東(dong)(dong)(dong)大會(hui)(hui)(hui)(hui)選舉(ju)董(dong)(dong)(dong)事(shi)(shi)并(bing)(bing)建(jian)立(li)董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui),董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)聘任公(gong)(gong)司(si)高管(guan),高管(guan)負責經營管(guan)理(li)企(qi)(qi)(qi)業(ye)(ye)。若公(gong)(gong)司(si)制(zhi)企(qi)(qi)(qi)業(ye)(ye)為(wei)國(guo)(guo)(guo)(guo)有獨(du)(du)(du)資(zi),其(qi)出資(zi)人(ren)只有國(guo)(guo)(guo)(guo)家,那么國(guo)(guo)(guo)(guo)資(zi)監(jian)(jian)管(guan)機(ji)構(gou)(gou)(gou)在行使出資(zi)人(ren)權(quan)利的(de)(de)同(tong)時,它還要行使股(gu)(gu)東(dong)(dong)(dong)會(hui)(hui)(hui)(hui)權(quan)利,而(er)股(gu)(gu)東(dong)(dong)(dong)會(hui)(hui)(hui)(hui)選舉(ju)董(dong)(dong)(dong)事(shi)(shi),公(gong)(gong)司(si)董(dong)(dong)(dong)事(shi)(shi)自(zi)然就由國(guo)(guo)(guo)(guo)資(zi)監(jian)(jian)管(guan)機(ji)構(gou)(gou)(gou)決(jue)定,這就意味著董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)是(shi)(shi)(shi)國(guo)(guo)(guo)(guo)資(zi)監(jian)(jian)管(guan)機(ji)構(gou)(gou)(gou)的(de)(de)受托人(ren)和代理(li)人(ren),它的(de)(de)權(quan)力(li)(li)是(shi)(shi)(shi)由國(guo)(guo)(guo)(guo)資(zi)監(jian)(jian)管(guan)機(ji)構(gou)(gou)(gou)授予的(de)(de),因此,在國(guo)(guo)(guo)(guo)有獨(du)(du)(du)資(zi)公(gong)(gong)司(si),國(guo)(guo)(guo)(guo)資(zi)監(jian)(jian)管(guan)機(ji)構(gou)(gou)(gou)是(shi)(shi)(shi)集(ji)股(gu)(gu)東(dong)(dong)(dong)權(quan)利、股(gu)(gu)東(dong)(dong)(dong)會(hui)(hui)(hui)(hui)權(quan)力(li)(li)、董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)權(quan)力(li)(li)于(yu)一(yi)身(shen)。所(suo)以,國(guo)(guo)(guo)(guo)資(zi)監(jian)(jian)管(guan)機(ji)構(gou)(gou)(gou)要審批或(huo)備(bei)案企(qi)(qi)(qi)業(ye)(ye)投(tou)資(zi)融資(zi)、發展戰略與規(gui)劃、重(zhong)大資(zi)產(chan)處置,任免并(bing)(bing)考核企(qi)(qi)(qi)業(ye)(ye)高管(guan),索要企(qi)(qi)(qi)業(ye)(ye)經營管(guan)理(li)情(qing)況(kuang)(kuang)、財務報表(biao)等。股(gu)(gu)東(dong)(dong)(dong)會(hui)(hui)(hui)(hui)權(quan)力(li)(li)、董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)權(quan)力(li)(li),它們都是(shi)(shi)(shi)企(qi)(qi)(qi)業(ye)(ye)本身(shen)的(de)(de)制(zhi)度(du)安(an)(an)排(pai),但在國(guo)(guo)(guo)(guo)有獨(du)(du)(du)資(zi)公(gong)(gong)司(si)中,它們卻成(cheng)為(wei)國(guo)(guo)(guo)(guo)資(zi)監(jian)(jian)管(guan)機(ji)構(gou)(gou)(gou)的(de)(de)權(quan)力(li)(li)和制(zhi)度(du)安(an)(an)排(pai)。因此,國(guo)(guo)(guo)(guo)資(zi)監(jian)(jian)管(guan)機(ji)構(gou)(gou)(gou)的(de)(de)工作自(zi)然就延伸到企(qi)(qi)(qi)業(ye)(ye)之(zhi)中,從(cong)而(er)給(gei)人(ren)的(de)(de)印象(xiang)是(shi)(shi)(shi)國(guo)(guo)(guo)(guo)資(zi)監(jian)(jian)管(guan)機(ji)構(gou)(gou)(gou)在“管(guan)企(qi)(qi)(qi)業(ye)(ye)”。實際上,國(guo)(guo)(guo)(guo)資(zi)監(jian)(jian)管(guan)機(ji)構(gou)(gou)(gou)并(bing)(bing)不是(shi)(shi)(shi)在“管(guan)企(qi)(qi)(qi)業(ye)(ye)”,這是(shi)(shi)(shi)國(guo)(guo)(guo)(guo)資(zi)監(jian)(jian)管(guan)機(ji)構(gou)(gou)(gou)對國(guo)(guo)(guo)(guo)有獨(du)(du)(du)資(zi)公(gong)(gong)司(si)履行出資(zi)人(ren)職責而(er)必須(xu)要做的(de)(de)一(yi)種制(zhi)度(du)安(an)(an)排(pai)。也就是(shi)(shi)(shi)說,在公(gong)(gong)司(si)制(zhi)企(qi)(qi)(qi)業(ye)(ye)為(wei)國(guo)(guo)(guo)(guo)有獨(du)(du)(du)資(zi)的(de)(de)情(qing)況(kuang)(kuang)下,國(guo)(guo)(guo)(guo)資(zi)監(jian)(jian)管(guan)機(ji)構(gou)(gou)(gou)只能(neng)是(shi)(shi)(shi)“管(guan)企(qi)(qi)(qi)業(ye)(ye)”,即使建(jian)立(li)了董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui),董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)也只能(neng)是(shi)(shi)(shi)“提線木偶”,它難(nan)以行使董(dong)(dong)(dong)事(shi)(shi)會(hui)(hui)(hui)(hui)的(de)(de)真正權(quan)力(li)(li)。

2004年,國(guo)(guo)(guo)務院國(guo)(guo)(guo)資(zi)(zi)委(wei)開(kai)始(shi)國(guo)(guo)(guo)有獨資(zi)(zi)企業(ye)建立(li)規(gui)范董(dong)事(shi)會試點(dian),至今已有15年。除個(ge)別中央企業(ye)外,其(qi)他都(dou)已建立(li)規(gui)范的(de)董(dong)事(shi)會,但這(zhe)些董(dong)事(shi)會仍然是試點(dian),原因很簡單(dan),這(zhe)樣的(de)董(dong)事(shi)會很難成為法定意義上的(de)獨立(li)董(dong)事(shi)會,它只是國(guo)(guo)(guo)資(zi)(zi)監管機構履行出(chu)資(zi)(zi)人職(zhi)責(ze)而自行做出(chu)的(de)制度安(an)排。

如果公(gong)司(si)制企(qi)業(ye)不(bu)是(shi)國(guo)(guo)(guo)有(you)(you)獨資(zi)(zi)(zi)(zi)(zi)(zi),而(er)是(shi)國(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)本(ben)(ben)(ben)同(tong)非(fei)國(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)本(ben)(ben)(ben)共(gong)同(tong)出(chu)資(zi)(zi)(zi)(zi)(zi)(zi)的(de)混合所有(you)(you)制企(qi)業(ye),那么,國(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)監(jian)管(guan)機(ji)構(gou)只能(neng)對混合所有(you)(you)制企(qi)業(ye)的(de)國(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)本(ben)(ben)(ben)履(lv)行出(chu)資(zi)(zi)(zi)(zi)(zi)(zi)人(ren)職責,行使國(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)產所有(you)(you)權(quan)(quan)(quan),股東(dong)會(hui)(hui)(hui)權(quan)(quan)(quan)力則由國(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)監(jian)管(guan)機(ji)構(gou)同(tong)非(fei)國(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)本(ben)(ben)(ben)出(chu)資(zi)(zi)(zi)(zi)(zi)(zi)人(ren)共(gong)同(tong)擁(yong)有(you)(you),它(ta)不(bu)再(zai)(zai)是(shi)國(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)監(jian)管(guan)機(ji)構(gou)的(de)權(quan)(quan)(quan)力而(er)是(shi)全體(ti)出(chu)資(zi)(zi)(zi)(zi)(zi)(zi)人(ren)的(de)共(gong)同(tong)權(quan)(quan)(quan)力。股東(dong)會(hui)(hui)(hui)選(xuan)舉董事(shi)建(jian)(jian)立董事(shi)會(hui)(hui)(hui),這時的(de)董事(shi)會(hui)(hui)(hui)同(tong)由國(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)監(jian)管(guan)機(ji)構(gou)決定董事(shi)建(jian)(jian)立的(de)董事(shi)會(hui)(hui)(hui)是(shi)不(bu)同(tong)的(de),它(ta)的(de)權(quan)(quan)(quan)力不(bu)再(zai)(zai)國(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)監(jian)管(guan)機(ji)構(gou)授(shou)予的(de)而(er)是(shi)由《公(gong)司(si)法(fa)》決定的(de),進而(er)可以(yi)獨立行使自己的(de)權(quan)(quan)(quan)力。這時,國(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)監(jian)管(guan)機(ji)構(gou)只能(neng)是(shi)行使股東(dong)權(quan)(quan)(quan)利,不(bu)再(zai)(zai)行使股東(dong)會(hui)(hui)(hui)、董事(shi)會(hui)(hui)(hui)權(quan)(quan)(quan)力,從而(er)國(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)監(jian)管(guan)機(ji)構(gou)不(bu)再(zai)(zai)“管(guan)企(qi)業(ye)”,而(er)是(shi)關(guan)心和關(guan)注企(qi)業(ye)中國(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)本(ben)(ben)(ben)出(chu)資(zi)(zi)(zi)(zi)(zi)(zi),重在履(lv)行好出(chu)資(zi)(zi)(zi)(zi)(zi)(zi)人(ren)職責,即我們所說的(de)管(guan)資(zi)(zi)(zi)(zi)(zi)(zi)本(ben)(ben)(ben)。

國資監管機構管資本的制度安排

由上述(shu)可以看出,由管企業(ye)變(bian)為管資(zi)本,這不是(shi)由國(guo)資(zi)監管機構本身能夠決定(ding)的(de)(de)。必(bi)須先有國(guo)資(zi)監管機構履行(xing)出資(zi)人職責的(de)(de)企業(ye)在(zai)制度安排(pai)上的(de)(de)變(bian)革,才會(hui)有國(guo)資(zi)監管機構從管企業(ye)到(dao)管資(zi)本的(de)(de)真正(zheng)轉(zhuan)變(bian)。

現在,國資(zi)(zi)監管機(ji)構履(lv)行出資(zi)(zi)人(ren)(ren)職(zhi)責(ze)的企(qi)(qi)(qi)業(ye)(ye)并不(bu)是(shi)(shi)簡單(dan)的公司制(zhi)企(qi)(qi)(qi)業(ye)(ye),它是(shi)(shi)由眾多法(fa)人(ren)(ren)企(qi)(qi)(qi)業(ye)(ye)組成(cheng)的企(qi)(qi)(qi)業(ye)(ye)集(ji)(ji)(ji)團(tuan)(tuan)(tuan)(tuan)(tuan),而(er)這樣的企(qi)(qi)(qi)業(ye)(ye)集(ji)(ji)(ji)團(tuan)(tuan)(tuan)(tuan)(tuan)通過集(ji)(ji)(ji)團(tuan)(tuan)(tuan)(tuan)(tuan)公司不(bu)斷加強(qiang)集(ji)(ji)(ji)團(tuan)(tuan)(tuan)(tuan)(tuan)化(hua)管控(kong)已經成(cheng)為集(ji)(ji)(ji)團(tuan)(tuan)(tuan)(tuan)(tuan)化(hua)大企(qi)(qi)(qi)業(ye)(ye),它有(you)明(ming)確的戰(zhan)略與規劃,集(ji)(ji)(ji)團(tuan)(tuan)(tuan)(tuan)(tuan)旗(qi)下(xia)的各法(fa)人(ren)(ren)企(qi)(qi)(qi)業(ye)(ye)只(zhi)是(shi)(shi)集(ji)(ji)(ji)團(tuan)(tuan)(tuan)(tuan)(tuan)戰(zhan)略的執行者和(he)業(ye)(ye)務(wu)運營單(dan)位(wei),雖然它們(men)(men)也在面向市(shi)場從事生產經營活動,但它們(men)(men)的投資(zi)(zi)、業(ye)(ye)務(wu)、預決算均要受到(dao)集(ji)(ji)(ji)團(tuan)(tuan)(tuan)(tuan)(tuan)的管控(kong),因此,它們(men)(men)只(zhi)是(shi)(shi)集(ji)(ji)(ji)團(tuan)(tuan)(tuan)(tuan)(tuan)化(hua)大企(qi)(qi)(qi)業(ye)(ye)這一市(shi)場主體的有(you)機(ji)構成(cheng)部分,是(shi)(shi)集(ji)(ji)(ji)團(tuan)(tuan)(tuan)(tuan)(tuan)子企(qi)(qi)(qi)業(ye)(ye),不(bu)應再(zai)是(shi)(shi)國有(you)企(qi)(qi)(qi)業(ye)(ye)。基于(yu)這樣的認(ren)識和(he)判斷,集(ji)(ji)(ji)團(tuan)(tuan)(tuan)(tuan)(tuan)旗(qi)下(xia)法(fa)人(ren)(ren)企(qi)(qi)(qi)業(ye)(ye),其出資(zi)(zi)人(ren)(ren)應該是(shi)(shi)集(ji)(ji)(ji)團(tuan)(tuan)(tuan)(tuan)(tuan)公司,由集(ji)(ji)(ji)團(tuan)(tuan)(tuan)(tuan)(tuan)公司履(lv)行出資(zi)(zi)人(ren)(ren)職(zhi)責(ze),而(er)國資(zi)(zi)監管機(ji)構只(zhi)能對集(ji)(ji)(ji)團(tuan)(tuan)(tuan)(tuan)(tuan)公司履(lv)行出資(zi)(zi)人(ren)(ren)職(zhi)責(ze),不(bu)能再(zai)對集(ji)(ji)(ji)團(tuan)(tuan)(tuan)(tuan)(tuan)旗(qi)下(xia)法(fa)人(ren)(ren)企(qi)(qi)(qi)業(ye)(ye)履(lv)行出資(zi)(zi)人(ren)(ren)職(zhi)責(ze)。

因此,我(wo)們(men)今天(tian)再(zai)談國有(you)企(qi)(qi)(qi)業(ye)(ye)改(gai)(gai)革(ge),其(qi)真正(zheng)的(de)(de)改(gai)(gai)革(ge)對象應(ying)該是上述所(suo)(suo)說的(de)(de)集團(tuan)化(hua)大(da)企(qi)(qi)(qi)業(ye)(ye),不應(ying)該是其(qi)中的(de)(de)子(zi)企(qi)(qi)(qi)業(ye)(ye)。當然子(zi)企(qi)(qi)(qi)業(ye)(ye)也(ye)要進(jin)行改(gai)(gai)革(ge),但它(ta)們(men)的(de)(de)改(gai)(gai)革(ge)是基于集團(tuan)大(da)企(qi)(qi)(qi)業(ye)(ye)整體改(gai)(gai)革(ge)所(suo)(suo)做出的(de)(de)改(gai)(gai)革(ge)選(xuan)擇。集團(tuan)層面(mian)(mian)應(ying)推進(jin)股(gu)權(quan)多元化(hua),中央企(qi)(qi)(qi)業(ye)(ye)已經在(zai)這方面(mian)(mian)取得明顯進(jin)展。推進(jin)集團(tuan)層面(mian)(mian)混改(gai)(gai)應(ying)該也(ye)是一項選(xuan)擇。

這(zhe)方面,地方企(qi)業已經(jing)(jing)有實踐且效果良好,如鄭州煤礦機(ji)(ji)(ji)(ji)械集團(tuan)股(gu)(gu)(gu)份有限公司(下稱鄭煤機(ji)(ji)(ji)(ji))是(shi)河南省國資(zi)(zi)委監(jian)(jian)管(guan)(guan)企(qi)業,它是(shi)一(yi)家整(zheng)體(ti)上(shang)市公司,股(gu)(gu)(gu)權結(jie)構為河南省國資(zi)(zi)委、機(ji)(ji)(ji)(ji)構投資(zi)(zi)者、社(she)會公眾股(gu)(gu)(gu)、集團(tuan)高管(guan)(guan)。集團(tuan)高管(guan)(guan)全部持股(gu)(gu)(gu),其(qi)中董(dong)(dong)事(shi)長、總經(jing)(jing)理(li)持股(gu)(gu)(gu)相同(tong)且高于其(qi)他高管(guan)(guan)。集團(tuan)層(ceng)面股(gu)(gu)(gu)權多(duo)元化或混改后,就(jiu)可(ke)(ke)以(yi)建立(li)由(you)(you)多(duo)個投資(zi)(zi)者成立(li)的(de)(de)股(gu)(gu)(gu)東(dong)大會、由(you)(you)股(gu)(gu)(gu)東(dong)大會選舉董(dong)(dong)事(shi)建立(li)董(dong)(dong)事(shi)會。這(zhe)時(shi),國資(zi)(zi)監(jian)(jian)管(guan)(guan)機(ji)(ji)(ji)(ji)構只(zhi)是(shi)履(lv)行(xing)出資(zi)(zi)人(ren)職責,行(xing)使股(gu)(gu)(gu)東(dong)權利,就(jiu)不再擁有股(gu)(gu)(gu)東(dong)會、董(dong)(dong)事(shi)會的(de)(de)權力(li),甚至監(jian)(jian)事(shi)會的(de)(de)權力(li),這(zhe)樣(yang)就(jiu)可(ke)(ke)以(yi)實現國資(zi)(zi)監(jian)(jian)管(guan)(guan)機(ji)(ji)(ji)(ji)構履(lv)行(xing)出資(zi)(zi)人(ren)職責企(qi)業治理(li)上(shang)的(de)(de)轉(zhuan)變(bian),即由(you)(you)國資(zi)(zi)監(jian)(jian)管(guan)(guan)機(ji)(ji)(ji)(ji)構治理(li)或管(guan)(guan)理(li)走向國資(zi)(zi)監(jian)(jian)管(guan)(guan)機(ji)(ji)(ji)(ji)構同(tong)其(qi)他出資(zi)(zi)者共同(tong)治理(li)。這(zhe)樣(yang)的(de)(de)轉(zhuan)變(bian)必(bi)然帶來國資(zi)(zi)監(jian)(jian)管(guan)(guan)機(ji)(ji)(ji)(ji)構履(lv)責方式的(de)(de)變(bian)化,即由(you)(you)管(guan)(guan)企(qi)業變(bian)為管(guan)(guan)資(zi)(zi)本。

這里所說的(de)管(guan)(guan)資(zi)(zi)本同(tong)樣是一種制度安(an)排,而不能望(wang)文(wen)生義來解釋如何(he)管(guan)(guan)資(zi)(zi)本,因為資(zi)(zi)本就是在公(gong)司制企(qi)(qi)業(ye)中(zhong)的(de)出資(zi)(zi),它(ta)由(you)企(qi)(qi)業(ye)經(jing)營管(guan)(guan)理者來支配(pei)和使用,國(guo)資(zi)(zi)監管(guan)(guan)機構(gou)已經(jing)失去了對出資(zi)(zi)的(de)使用權(quan)和支配(pei)權(quan),但國(guo)資(zi)(zi)監管(guan)(guan)機構(gou)履(lv)行出資(zi)(zi)人職責就對企(qi)(qi)業(ye)擁(yong)有了權(quan)利(li),這種權(quan)利(li)要(yao)求國(guo)資(zi)(zi)監管(guan)(guan)機構(gou)與企(qi)(qi)業(ye)建立一種制度安(an)排,其(qi)特征主要(yao)有三(san)個(ge)方(fang)面(mian):

一是國資(zi)監管機構要在(zai)多元出資(zi)主體(ti)法(fa)人(ren)治(zhi)理結構中(zhong)履(lv)責(ze)。包括依法(fa)制(zhi)定或(huo)參(can)與制(zhi)訂公司(si)(si)章程(cheng)(cheng),推動(dong)各治(zhi)理主體(ti)嚴格依照公司(si)(si)章程(cheng)(cheng)行權履(lv)職,充分發揮公司(si)(si)章程(cheng)(cheng)在(zai)公司(si)(si)治(zhi)理中(zhong)的(de)基礎作用。委(wei)派(pai)股東(dong)代表參(can)加股東(dong)大會,依據股權關系向履(lv)行出資(zi)人(ren)職責(ze)的(de)企業委(wei)派(pai)董(dong)事(shi)或(huo)提名(ming)董(dong)事(shi)人(ren)選(xuan),規范董(dong)事(shi)的(de)權利和責(ze)任,做好(hao)董(dong)事(shi)會建設等。

二是按清(qing)單履(lv)責(ze)。依照《中華(hua)人民共和國(guo)公(gong)司法(fa)》《中華(hua)人民共和國(guo)企業國(guo)有資產(chan)法(fa)》等法(fa)律法(fa)規,建立完善權力和責(ze)任清(qing)單,明確(que)履(lv)職重點,厘清(qing)職責(ze)邊(bian)界。按照權責(ze)法(fa)定原則(ze),將不(bu)該有的權力攔(lan)在清(qing)單之外;保證清(qing)單內的權力規范(fan)運(yun)行(xing)。根據職能(neng)轉變進展情況,對清(qing)單實施動(dong)態調整,規范(fan)權責(ze)事項履(lv)職內容(rong)和方式(shi)。
