中(zhong)國鐵道建筑總公(gong)(gong)司(si)董(dong)(dong)(dong)事(shi)長、黨委(wei)書記(ji),中(zhong)國鐵建股份(fen)有限(xian)公(gong)(gong)司(si)董(dong)(dong)(dong)事(shi)長、黨委(wei)書記(ji)孟鳳朝認(ren)為(wei)可(ke)以從五大(da)路徑(jing)培育改革發(fa)展(zhan)新動能(neng)。他介紹稱,目前,中(zhong)國鐵建持(chi)續(xu)完善公(gong)(gong)司(si)治理(li)體(ti)系(xi),著力構(gou)建股東大(da)會(hui)(hui)依法(fa)行權(quan),監事(shi)會(hui)(hui)依規監督,黨委(wei)會(hui)(hui)有效參與(yu)的公(gong)(gong)司(si)治理(li)結(jie)構(gou)。董(dong)(dong)(dong)事(shi)會(hui)(hui)中(zhong)外部(bu)董(dong)(dong)(dong)事(shi)占多數(shu)的制(zhi)度安排,確保(bao)了董(dong)(dong)(dong)事(shi)獨(du)(du)立客觀發(fa)表意見(jian),董(dong)(dong)(dong)事(shi)會(hui)(hui)注(zhu)重充(chong)分(fen)發(fa)揮外部(bu)董(dong)(dong)(dong)事(shi)的作(zuo)用,注(zhu)重保(bao)持(chi)獨(du)(du)立董(dong)(dong)(dong)事(shi)的獨(du)(du)立性,注(zhu)重發(fa)揮專門委(wei)員會(hui)(hui)輔助決(jue)策的作(zuo)用,打造勤勉盡(jin)責、暢所欲言、合(he)規運作(zuo)的董(dong)(dong)(dong)事(shi)會(hui)(hui)文化。董(dong)(dong)(dong)事(shi)會(hui)(hui)圍繞保(bao)增長、調結(jie)構(gou)、促轉型(xing),以戰略(lve)引(yin)導實現(xian)(xian)企(qi)(qi)(qi)業(ye)(ye)發(fa)展(zhan),以科學決(jue)策實現(xian)(xian)企(qi)(qi)(qi)業(ye)(ye)穩定(ding)發(fa)展(zhan),以風險(xian)管控引(yin)領企(qi)(qi)(qi)業(ye)(ye)健康發(fa)展(zhan),以文化塑造促進企(qi)(qi)(qi)業(ye)(ye)基業(ye)(ye)長青(qing),連續(xu)多年被國務院國資委(wei)考評為(wei)運行良好(hao)的董(dong)(dong)(dong)事(shi)會(hui)(hui),為(wei)評價最(zui)高(gao)(gao)等(deng)級。公(gong)(gong)司(si)在(zai)資本市場獲得高(gao)(gao)度認(ren)可(ke),多次被評為(wei)“最(zui)受(shou)投資者尊重的上市公(gong)(gong)司(si)”,“中(zhong)國上市公(gong)(gong)司(si)最(zui)具競爭力企(qi)(qi)(qi)業(ye)(ye)”等(deng)稱號。
國(guo)務(wu)院國(guo)資(zi)委(wei)資(zi)本(ben)運營(ying)和(he)收益管(guan)理(li)(li)(li)(li)局局長(chang)李冰認(ren)為,應完善國(guo)有(you)(you)企(qi)業法人(ren)(ren)(ren)治理(li)(li)(li)(li)結(jie)構(gou)(gou)。進(jin)一步(bu)完善國(guo)有(you)(you)企(qi)業法人(ren)(ren)(ren)治理(li)(li)(li)(li)結(jie)構(gou)(gou),是全面(mian)深化改革的重要內容。首(shou)先(xian)要規范(fan)各(ge)個治理(li)(li)(li)(li)主體(ti)的權責。按照改革的要求,有(you)(you)關(guan)方面(mian)正在積(ji)極研究制定(ding)相關(guan)文件(jian),包括進(jin)一步(bu)推(tui)動(dong)(dong)股(gu)東(dong)監(jian)(jian)管(guan)方式(shi)的轉變,實(shi)現以管(guan)資(zi)本(ben)為主的監(jian)(jian)管(guan)方式(shi)變革。董(dong)(dong)(dong)事會進(jin)一步(bu)落實(shi)職權,經理(li)(li)(li)(li)層進(jin)一步(bu)推(tui)動(dong)(dong)活力(li)的釋放,監(jian)(jian)事會有(you)(you)效性進(jin)一步(bu)提高。推(tui)動(dong)(dong)規范(fan)董(dong)(dong)(dong)事會的建設(she),就是要切實(shi)落實(shi)和(he)維護董(dong)(dong)(dong)事會依法行(xing)使重大決策(ce)、選人(ren)(ren)(ren)用人(ren)(ren)(ren)、保(bao)證經理(li)(li)(li)(li)層經營(ying)的自主權,而且明確法務(wu)授權,任(ren)何(he)政府機構(gou)(gou)不得干涉。針(zhen)對當前(qian)深化規范(fan)董(dong)(dong)(dong)事會建設(she)當中的各(ge)種問題,進(jin)一步(bu)規范(fan)董(dong)(dong)(dong)事長(chang)、總(zong)經理(li)(li)(li)(li)行(xing)權行(xing)為,理(li)(li)(li)(li)順托管(guan)代理(li)(li)(li)(li)的關(guan)系,委(wei)托代理(li)(li)(li)(li)關(guan)系,切實(shi)解(jie)決少數董(dong)(dong)(dong)事會虛設(she)的問題。
李冰表示,推(tui)動規范董事(shi)(shi)會的(de)建設,還有一個(ge)很(hen)重要(yao)的(de)方面,就是(shi)要(yao)提升董事(shi)(shi)的(de)履職能力(li),研究解(jie)決外部(bu)董事(shi)(shi)來(lai)源不(bu)足的(de)問題,積極拓展董事(shi)(shi)來(lai)源渠(qu)道,加強外部(bu)董事(shi)(shi)的(de)隊(dui)伍建設。
國(guo)務院國(guo)資委研究(jiu)中心主任楚(chu)序平認(ren)為(wei),2017年(nian)國(guo)企治(zhi)理(li)需注重五(wu)大維度(du):一(yi)是(shi)(shi),進(jin)一(yi)步加強國(guo)有企業黨的(de)建(jian)設;二是(shi)(shi),探(tan)索中國(guo)特色(se)現代國(guo)有企業制(zhi)度(du);三是(shi)(shi),進(jin)一(yi)步推進(jin)董事會授權改(gai)革;四是(shi)(shi),探(tan)索國(guo)有資本(ben)投資運營(ying)公(gong)司(si)治(zhi)理(li)機制(zhi);五(wu)是(shi)(shi),大力探(tan)索勞動(dong)和資本(ben)結(jie)(jie)合的(de)新公(gong)有制(zhi)。產(chan)權結(jie)(jie)構合理(li)是(shi)(shi)公(gong)司(si)有效(xiao)治(zhi)理(li)最根本(ben)、最基礎的(de)。
楚序平表示,董(dong)事(shi)(shi)會(hui)是(shi)(shi)公司(si)(si)(si)治理(li)的(de)核心,公司(si)(si)(si)發展(zhan)關鍵在董(dong)事(shi)(shi)會(hui),而其中需要重視的(de)是(shi)(shi)人和(he)制度。對于董(dong)事(shi)(shi)會(hui)制度來講(jiang),當前(qian)國有企業的(de)董(dong)事(shi)(shi)會(hui)制度正在進行(xing)深(shen)刻的(de)變革。公司(si)(si)(si)治理(li)模(mo)式在薪酬差異(yi)化、完善董(dong)事(shi)(shi)會(hui)職權等方(fang)面的(de)改革中取得巨大進展(zhan)。
在(zai)(zai)(zai)楚序平看來,2017年,國(guo)有企(qi)(qi)業(ye)公司治(zhi)(zhi)理(li)改革任務艱(jian)巨。與此(ci)同時(shi),企(qi)(qi)業(ye)組織(zhi)也在(zai)(zai)(zai)向(xiang)扁平化(hua)、網絡化(hua)、社會(hui)化(hua)、柔(rou)性化(hua)、去行政(zheng)化(hua)結構演進,新(xin)(xin)商業(ye)生(sheng)態系統和無邊(bian)界組織(zhi)正在(zai)(zai)(zai)快速形(xing)成。勞動和資(zi)本(ben)相結合新(xin)(xin)的共享經濟(ji)新(xin)(xin)時(shi)代,國(guo)企(qi)(qi)公司治(zhi)(zhi)理(li)面臨(lin)著嚴峻的挑(tiao)戰。
