經濟日報:完善國企公司治理 以制度創新增活力

今年的政府工(gong)作報告提出,大力(li)推(tui)進(jin)國有企(qi)(qi)(qi)(qi)(qi)業(ye)改革(ge)。推(tui)進(jin)股(gu)權多元(yuan)化改革(ge),開展落實企(qi)(qi)(qi)(qi)(qi)業(ye)董(dong)事會(hui)職(zhi)權、市場化選聘經(jing)營者(zhe)、職(zhi)業(ye)經(jing)理人制(zhi)度(du)、混合所有制(zhi)、員工(gong)持(chi)股(gu)等(deng)試點(dian)。深化企(qi)(qi)(qi)(qi)(qi)業(ye)用人制(zhi)度(du)改革(ge),探索建立與市場化選任方(fang)式相適應的高層次人才和(he)企(qi)(qi)(qi)(qi)(qi)業(ye)經(jing)營管理者(zhe)薪(xin)酬制(zhi)度(du)。《關于深化國有企(qi)(qi)(qi)(qi)(qi)業(ye)改革(ge)的指導意(yi)見》亦對此進(jin)行了(le)系統闡述,列出了(le)“時間表”,繪(hui)制(zhi)了(le)“路線圖”。如(ru)何進(jin)一步加快(kuai)完善現代企(qi)(qi)(qi)(qi)(qi)業(ye)制(zhi)度(du),以制(zhi)度(du)創新持(chi)續增強國企(qi)(qi)(qi)(qi)(qi)活(huo)力(li),成為各(ge)界關注(zhu)的熱點(dian)問題(ti)。

當前,大(da)部分國(guo)有(you)(you)企(qi)(qi)業(ye)已(yi)經實行了公司制改革(ge),但仍存在(zai)不(bu)少問題(ti),一(yi)些(xie)企(qi)(qi)業(ye)管(guan)理(li)混亂,雖然形式(shi)上都成立(li)了董(dong)事會、監事會、經理(li)層(ceng),但因未建立(li)有(you)(you)效(xiao)的公司治理(li)機制而廣受詬病(bing),被批評為“換湯不(bu)換藥”“形似神(shen)不(bu)似”。這些(xie)問題(ti)亟待破解(jie)。在(zai)這一(yi)過(guo)程中,推動國(guo)有(you)(you)企(qi)(qi)業(ye)完(wan)善現代(dai)企(qi)(qi)業(ye)制度,既可增(zeng)強國(guo)有(you)(you)企(qi)(qi)業(ye)競爭力,又(you)有(you)(you)助于強化(hua)(hua)(hua)國(guo)有(you)(you)企(qi)(qi)業(ye)和國(guo)有(you)(you)資產監管(guan),是順應市場化(hua)(hua)(hua)、現代(dai)化(hua)(hua)(hua)、國(guo)際化(hua)(hua)(hua)新形勢,做強做優國(guo)有(you)(you)企(qi)(qi)業(ye)的重要之(zhi)舉。

在公(gong)(gong)司(si)內部各(ge)機(ji)構中(zhong),董事(shi)(shi)會(hui)居(ju)于樞紐(niu)地(di)位,對內執(zhi)行(xing)業務、對外代表公(gong)(gong)司(si),是公(gong)(gong)司(si)治理結(jie)構的(de)核心(xin)。上(shang)世(shi)紀以來(lai),各(ge)國公(gong)(gong)司(si)法(fa)先后作出調整,強化董事(shi)(shi)會(hui)權力。董事(shi)(shi)會(hui)全權負(fu)責管(guan)理公(gong)(gong)司(si),股東會(hui)只能在法(fa)律和(he)章程規定的(de)范圍(wei)內行(xing)使職權。由此,公(gong)(gong)司(si)權力主要集中(zhong)于董事(shi)(shi)會(hui),公(gong)(gong)司(si)治理結(jie)構和(he)運(yun)行(xing)機(ji)制(zhi)都圍(wei)繞董事(shi)(shi)會(hui)展開。

在英(ying)美(mei)法國(guo)家(jia),董(dong)事會更(geng)多的是監(jian)督者(zhe)角(jiao)(jiao)色(se),其主(zhu)要(yao)任務是代表股(gu)東選聘(pin)、解聘(pin)和監(jian)督管(guan)(guan)理層,同時,通過審核(he)批準重大事項對公(gong)司(si)實施戰(zhan)略監(jian)控。大陸法系國(guo)家(jia)董(dong)事會的職能更(geng)集中于決策(ce)和管(guan)(guan)理。我國(guo)公(gong)司(si)治理模式與日本、意(yi)大利較為相近,即(ji)董(dong)事會主(zhu)要(yao)負(fu)責戰(zhan)略決策(ce),偏重管(guan)(guan)理者(zhe)的角(jiao)(jiao)色(se)。

公(gong)司(si)(si)制度(du)發(fa)展至今,董(dong)事(shi)會在公(gong)司(si)(si)治(zhi)理(li)中的核(he)心作用日益(yi)凸顯,董(dong)事(shi)會能不能充分發(fa)揮作用在很(hen)大程度(du)上決定著公(gong)司(si)(si)治(zhi)理(li)的有(you)效(xiao)性(xing)。推進國有(you)企業公(gong)司(si)(si)制改革(ge)和(he)完善公(gong)司(si)(si)治(zhi)理(li),必須重(zhong)視發(fa)揮董(dong)事(shi)會的作用。

建立(li)規范有效(xiao)的(de)(de)董事(shi)(shi)(shi)會制度一直是國(guo)(guo)有企業改革的(de)(de)難點(dian)問題。這些年(nian)來,國(guo)(guo)務院國(guo)(guo)資委在中(zhong)央企業的(de)(de)國(guo)(guo)有獨資公司中(zhong)開展建立(li)和完善董事(shi)(shi)(shi)會試(shi)點(dian),目前央企規范建設(she)董事(shi)(shi)(shi)會總(zong)數已(yi)達(da)85家。試(shi)點(dian)企業成立(li)了(le)外部董事(shi)(shi)(shi)占多數的(de)(de)董事(shi)(shi)(shi)會,設(she)立(li)了(le)若干董事(shi)(shi)(shi)會專門(men)委員會,細化董事(shi)(shi)(shi)會運作(zuo)制度和工作(zuo)機制,力(li)求(qiu)實(shi)現(xian)董事(shi)(shi)(shi)會對公司有效(xiao)的(de)(de)戰略(lve)控制和監督(du)。

從實(shi)踐(jian)情況看,試點企(qi)(qi)(qi)業(ye)初步實(shi)現(xian)(xian)了決策(ce)與執行的(de)相對分離、權(quan)(quan)力制(zhi)(zhi)(zhi)衡,基本做到重(zhong)大事(shi)(shi)項董(dong)事(shi)(shi)會(hui)(hui)集體決策(ce),很大程度上改(gai)變(bian)了“一(yi)(yi)個人(ren)說了算”的(de)弊病,提高(gao)了管(guan)理(li)和(he)決策(ce)水平,促(cu)進了企(qi)(qi)(qi)業(ye)改(gai)革發(fa)(fa)展。但存(cun)在(zai)(zai)的(de)突(tu)出問(wen)題是,運作中(zhong)仍存(cun)在(zai)(zai)董(dong)事(shi)(shi)會(hui)(hui)職(zhi)權(quan)(quan)沒有落實(shi)到位,權(quan)(quan)力和(he)責(ze)任(ren)不(bu)匹配,董(dong)事(shi)(shi)會(hui)(hui)形(xing)同(tong)虛設(she),內(nei)部(bu)人(ren)員控制(zhi)(zhi)(zhi)不(bu)合(he)理(li)等(deng)現(xian)(xian)象。可見,董(dong)事(shi)(shi)會(hui)(hui)建(jian)設(she)任(ren)重(zhong)道遠,完善國(guo)(guo)企(qi)(qi)(qi)公司治理(li)亦是一(yi)(yi)項長期任(ren)務。在(zai)(zai)這(zhe)一(yi)(yi)過程中(zhong),我(wo)們不(bu)僅要(yao)厘(li)清企(qi)(qi)(qi)業(ye)勞(lao)動者、所有者、經營者的(de)權(quan)(quan)利和(he)責(ze)任(ren),同(tong)時(shi),還要(yao)繼續推進董(dong)事(shi)(shi)會(hui)(hui)規范建(jian)設(she),以(yi)形(xing)成有效(xiao)制(zhi)(zhi)(zhi)衡機(ji)制(zhi)(zhi)(zhi),并把體制(zhi)(zhi)(zhi)機(ji)制(zhi)(zhi)(zhi)創新與企(qi)(qi)(qi)業(ye)發(fa)(fa)展有機(ji)結合(he)起來,以(yi)此激發(fa)(fa)國(guo)(guo)有企(qi)(qi)(qi)業(ye)的(de)活力與競爭(zheng)力。

第一,落實(shi)董(dong)事(shi)會(hui)(hui)(hui)(hui)的(de)法定職(zhi)權。各(ge)國法律(lv)均(jun)賦予董(dong)事(shi)會(hui)(hui)(hui)(hui)較為(wei)廣泛的(de)職(zhi)權,一般(ban)采取概括方(fang)式(shi)予以規(gui)定。我國法律(lv)對(dui)董(dong)事(shi)會(hui)(hui)(hui)(hui)職(zhi)權采取了列舉(ju)式(shi)規(gui)定,同時(shi),公(gong)(gong)(gong)(gong)司(si)章程還可以規(gui)定其他職(zhi)權。依照我國《公(gong)(gong)(gong)(gong)司(si)法》規(gui)定,董(dong)事(shi)會(hui)(hui)(hui)(hui)對(dui)股(gu)東(dong)(dong)會(hui)(hui)(hui)(hui)負責(ze),行(xing)(xing)使十余項(xiang)法定職(zhi)權,大(da)致可分為(wei)4類:一是執行(xing)(xing)股(gu)東(dong)(dong)會(hui)(hui)(hui)(hui)的(de)決(jue)議(yi);二是重(zhong)大(da)經營(ying)管(guan)(guan)理(li)(li)事(shi)項(xiang)決(jue)定權,如決(jue)定公(gong)(gong)(gong)(gong)司(si)經營(ying)計劃和投資方(fang)案(an)、內部管(guan)(guan)理(li)(li)機構的(de)設置;三是重(zhong)要方(fang)案(an)制訂權,董(dong)事(shi)會(hui)(hui)(hui)(hui)負責(ze)制訂并(bing)向股(gu)東(dong)(dong)會(hui)(hui)(hui)(hui)提出公(gong)(gong)(gong)(gong)司(si)財(cai)務(wu)預算、決(jue)算方(fang)案(an)以及(ji)(ji)利潤分配(pei)方(fang)案(an)、彌補虧損(sun)方(fang)案(an)、增加或(huo)者(zhe)減少(shao)注冊(ce)資本以及(ji)(ji)發行(xing)(xing)公(gong)(gong)(gong)(gong)司(si)債券的(de)方(fang)案(an)、合并(bing)、分立、解(jie)散或(huo)者(zhe)變更(geng)公(gong)(gong)(gong)(gong)司(si)形式(shi)的(de)方(fang)案(an)等;四是決(jue)定聘(pin)(pin)(pin)任(ren)或(huo)者(zhe)解(jie)聘(pin)(pin)(pin)公(gong)(gong)(gong)(gong)司(si)經理(li)(li)及(ji)(ji)其報酬事(shi)項(xiang),并(bing)根據經理(li)(li)的(de)提名決(jue)定聘(pin)(pin)(pin)任(ren)或(huo)者(zhe)解(jie)聘(pin)(pin)(pin)公(gong)(gong)(gong)(gong)司(si)副(fu)經理(li)(li)、財(cai)務(wu)負責(ze)人及(ji)(ji)其報酬事(shi)項(xiang)。只(zhi)有真正(zheng)讓這(zhe)些(xie)企業董(dong)事(shi)會(hui)(hui)(hui)(hui)職(zhi)權落實(shi),責(ze)任(ren)和權利統(tong)一,董(dong)事(shi)會(hui)(hui)(hui)(hui)才能(neng)真正(zheng)承擔起受托責(ze)任(ren),更(geng)好地維護國家(jia)股(gu)東(dong)(dong)長遠利益。

第二,完(wan)善(shan)股(gu)東(dong)授(shou)權(quan)(quan)制度(du)。我國(guo)《公司(si)法(fa)》規(gui)(gui)定(ding),國(guo)有(you)(you)獨(du)資公司(si)不設股(gu)東(dong)會(hui),由(you)國(guo)有(you)(you)資產監督管(guan)理(li)機構(gou)(gou)行使股(gu)東(dong)會(hui)職(zhi)權(quan)(quan)。國(guo)有(you)(you)資產監督管(guan)理(li)機構(gou)(gou)可以授(shou)權(quan)(quan)公司(si)董事(shi)會(hui)行使股(gu)東(dong)會(hui)的(de)部分職(zhi)權(quan)(quan),決定(ding)公司(si)的(de)重大事(shi)項(xiang)。因此,國(guo)有(you)(you)獨(du)資公司(si)董事(shi)會(hui)不僅(jin)依法(fa)享有(you)(you)一(yi)般(ban)公司(si)董事(shi)會(hui)的(de)職(zhi)權(quan)(quan),還(huan)可以獲得股(gu)東(dong)授(shou)權(quan)(quan),具有(you)(you)更充(chong)分的(de)職(zhi)權(quan)(quan)。這(zhe)是(shi)《公司(si)法(fa)》規(gui)(gui)定(ding)的(de)國(guo)有(you)(you)獨(du)資公司(si)董事(shi)會(hui)職(zhi)權(quan)(quan)一(yi)項(xiang)特(te)色,既(ji)是(shi)為國(guo)有(you)(you)企(qi)業(ye)改革留出創(chuang)新空間(jian),也是(shi)給國(guo)有(you)(you)資產監督管(guan)理(li)機構(gou)(gou)留下股(gu)東(dong)自(zi)治的(de)余地(di)。

對(dui)此,需(xu)要明(ming)確(que)授權(quan)(quan)(quan)范圍(wei),規定(ding)授權(quan)(quan)(quan)條件。按照公(gong)司(si)(si)法的(de)(de)(de)一般原(yuan)則(ze),除了股東(dong)會(hui)固有權(quan)(quan)(quan)利以(yi)及避免利益(yi)沖(chong)突(tu),不能或不宜授權(quan)(quan)(quan)的(de)(de)(de)以(yi)外(wai),應當盡可能授權(quan)(quan)(quan)董(dong)事(shi)會(hui)決定(ding)公(gong)司(si)(si)經營管理的(de)(de)(de)重(zhong)大事(shi)項(xiang)。如決定(ding)公(gong)司(si)(si)的(de)(de)(de)經營方針和投(tou)資計劃、批準(zhun)公(gong)司(si)(si)的(de)(de)(de)年度財務預算方案(an)、決算方案(an)等。授權(quan)(quan)(quan)應當針對(dui)不同公(gong)司(si)(si)的(de)(de)(de)具體情況,對(dui)授權(quan)(quan)(quan)事(shi)項(xiang)做出(chu)區別性的(de)(de)(de)規定(ding),決定(ding)具體授權(quan)(quan)(quan)事(shi)項(xiang)的(de)(de)(de)范圍(wei)。在一定(ding)條件下應當暫時(shi)中止(zhi)或終止(zhi)授權(quan)(quan)(quan),如原(yuan)來具備授權(quan)(quan)(quan)的(de)(de)(de)條件的(de)(de)(de)部分喪失、董(dong)事(shi)會(hui)或董(dong)事(shi)嚴(yan)重(zhong)違反(fan)義(yi)務、公(gong)司(si)(si)經營出(chu)現嚴(yan)重(zhong)困(kun)難陷入困(kun)境等,將授權(quan)(quan)(quan)的(de)(de)(de)權(quan)(quan)(quan)利收回自己行(xing)使,待公(gong)司(si)(si)狀況恢復(fu)正常后(hou)恢復(fu)或再(zai)行(xing)授權(quan)(quan)(quan)。
