今年的(de)(de)政府(fu)工作(zuo)報告提(ti)出,大力推進(jin)(jin)國有(you)企(qi)業改(gai)(gai)革(ge)。推進(jin)(jin)股權多元(yuan)化(hua)(hua)(hua)改(gai)(gai)革(ge),開展(zhan)落實(shi)企(qi)業董事會職(zhi)權、市(shi)場(chang)化(hua)(hua)(hua)選(xuan)聘經(jing)營者(zhe)、職(zhi)業經(jing)理(li)人(ren)制(zhi)度(du)(du)、混合所有(you)制(zhi)、員(yuan)工持(chi)股等試點(dian)。深(shen)化(hua)(hua)(hua)企(qi)業用人(ren)制(zhi)度(du)(du)改(gai)(gai)革(ge),探索建(jian)立與市(shi)場(chang)化(hua)(hua)(hua)選(xuan)任方式相適應的(de)(de)高層次人(ren)才和企(qi)業經(jing)營管理(li)者(zhe)薪酬制(zhi)度(du)(du)。《關于深(shen)化(hua)(hua)(hua)國有(you)企(qi)業改(gai)(gai)革(ge)的(de)(de)指導意見》亦對此進(jin)(jin)行了系統闡述,列出了“時間表”,繪(hui)制(zhi)了“路線圖(tu)”。如(ru)何進(jin)(jin)一步加快完善(shan)現代企(qi)業制(zhi)度(du)(du),以制(zhi)度(du)(du)創新持(chi)續增強國企(qi)活力,成為各界關注的(de)(de)熱(re)點(dian)問題(ti)。
當(dang)前(qian),大部(bu)分國(guo)(guo)(guo)有企(qi)(qi)(qi)業(ye)已經(jing)實(shi)行(xing)了公司(si)制改革,但仍存在不少問題(ti),一些企(qi)(qi)(qi)業(ye)管(guan)理混亂,雖然形式上都成立了董(dong)事(shi)會、監(jian)事(shi)會、經(jing)理層(ceng),但因未建立有效的公司(si)治理機制而廣(guang)受(shou)詬病,被(bei)批評為“換湯(tang)不換藥”“形似神(shen)不似”。這些問題(ti)亟待破解。在這一過程(cheng)中,推動國(guo)(guo)(guo)有企(qi)(qi)(qi)業(ye)完善現代企(qi)(qi)(qi)業(ye)制度,既(ji)可增強(qiang)國(guo)(guo)(guo)有企(qi)(qi)(qi)業(ye)競爭(zheng)力,又有助于強(qiang)化(hua)國(guo)(guo)(guo)有企(qi)(qi)(qi)業(ye)和國(guo)(guo)(guo)有資產(chan)監(jian)管(guan),是順應市場(chang)化(hua)、現代化(hua)、國(guo)(guo)(guo)際化(hua)新形勢,做(zuo)強(qiang)做(zuo)優(you)國(guo)(guo)(guo)有企(qi)(qi)(qi)業(ye)的重要之舉。
在公司(si)內(nei)部各機構(gou)中,董(dong)(dong)事(shi)會居(ju)于樞紐地位,對(dui)(dui)內(nei)執行業務、對(dui)(dui)外代表(biao)公司(si),是公司(si)治理結(jie)(jie)構(gou)的(de)核(he)心。上(shang)世紀以來,各國公司(si)法(fa)先后作(zuo)出調整,強(qiang)化(hua)董(dong)(dong)事(shi)會權力。董(dong)(dong)事(shi)會全權負責管理公司(si),股東會只(zhi)能在法(fa)律和章程規定的(de)范(fan)圍(wei)內(nei)行使職權。由此(ci),公司(si)權力主要集中于董(dong)(dong)事(shi)會,公司(si)治理結(jie)(jie)構(gou)和運行機制都圍(wei)繞董(dong)(dong)事(shi)會展開。
在(zai)英美法(fa)國(guo)(guo)家(jia),董事(shi)會(hui)更(geng)多的(de)(de)是監督者角色,其主要任(ren)務是代表(biao)股東(dong)選聘、解(jie)聘和(he)監督管(guan)理(li)層,同時,通過(guo)審核批準重(zhong)大事(shi)項(xiang)對公(gong)司(si)實施戰略監控。大陸(lu)法(fa)系國(guo)(guo)家(jia)董事(shi)會(hui)的(de)(de)職能更(geng)集中于決(jue)策(ce)和(he)管(guan)理(li)。我(wo)國(guo)(guo)公(gong)司(si)治理(li)模式與日本、意(yi)大利較為相近,即董事(shi)會(hui)主要負責戰略決(jue)策(ce),偏重(zhong)管(guan)理(li)者的(de)(de)角色。
公(gong)司(si)(si)制(zhi)(zhi)度(du)發展至今,董(dong)事(shi)會在公(gong)司(si)(si)治理(li)中的(de)核心作用日(ri)益凸顯,董(dong)事(shi)會能不能充(chong)分發揮作用在很大程度(du)上決定著公(gong)司(si)(si)治理(li)的(de)有(you)效性。推進(jin)國有(you)企業公(gong)司(si)(si)制(zhi)(zhi)改(gai)革(ge)和完善公(gong)司(si)(si)治理(li),必(bi)須重視發揮董(dong)事(shi)會的(de)作用。
建(jian)立規范(fan)有(you)(you)效的(de)(de)董(dong)(dong)事(shi)(shi)(shi)會(hui)制(zhi)度一直是國(guo)有(you)(you)企(qi)(qi)業(ye)(ye)改革的(de)(de)難點問(wen)題(ti)。這些年來,國(guo)務院國(guo)資委(wei)在中(zhong)央企(qi)(qi)業(ye)(ye)的(de)(de)國(guo)有(you)(you)獨資公司(si)中(zhong)開展建(jian)立和完善董(dong)(dong)事(shi)(shi)(shi)會(hui)試(shi)點,目(mu)前央企(qi)(qi)規范(fan)建(jian)設(she)董(dong)(dong)事(shi)(shi)(shi)會(hui)總數(shu)已(yi)達(da)85家。試(shi)點企(qi)(qi)業(ye)(ye)成立了外部董(dong)(dong)事(shi)(shi)(shi)占多(duo)數(shu)的(de)(de)董(dong)(dong)事(shi)(shi)(shi)會(hui),設(she)立了若干董(dong)(dong)事(shi)(shi)(shi)會(hui)專(zhuan)門委(wei)員會(hui),細化董(dong)(dong)事(shi)(shi)(shi)會(hui)運作制(zhi)度和工作機制(zhi),力求實(shi)現(xian)董(dong)(dong)事(shi)(shi)(shi)會(hui)對公司(si)有(you)(you)效的(de)(de)戰略(lve)控制(zhi)和監(jian)督。
從實(shi)踐情況看,試點企(qi)業(ye)初步實(shi)現(xian)了(le)(le)決(jue)策(ce)(ce)與執行(xing)的(de)(de)相對分離、權力(li)制(zhi)衡(heng),基本做到重大(da)(da)事(shi)項董(dong)事(shi)會(hui)集(ji)體決(jue)策(ce)(ce),很大(da)(da)程度(du)上改變了(le)(le)“一(yi)個人說了(le)(le)算”的(de)(de)弊病(bing),提(ti)高了(le)(le)管理(li)(li)和決(jue)策(ce)(ce)水(shui)平,促進(jin)了(le)(le)企(qi)業(ye)改革發(fa)展。但存(cun)在(zai)的(de)(de)突(tu)出問題是,運作中仍存(cun)在(zai)董(dong)事(shi)會(hui)職(zhi)權沒有(you)落(luo)實(shi)到位(wei),權力(li)和責任不匹配,董(dong)事(shi)會(hui)形同虛設(she),內(nei)部人員控(kong)制(zhi)不合理(li)(li)等現(xian)象。可(ke)見(jian),董(dong)事(shi)會(hui)建(jian)設(she)任重道遠,完善國企(qi)公司治(zhi)理(li)(li)亦是一(yi)項長期任務。在(zai)這一(yi)過程中,我們不僅要厘清企(qi)業(ye)勞(lao)動者、所有(you)者、經營者的(de)(de)權利和責任,同時,還(huan)要繼(ji)續推進(jin)董(dong)事(shi)會(hui)規范建(jian)設(she),以形成(cheng)有(you)效制(zhi)衡(heng)機制(zhi),并(bing)把體制(zhi)機制(zhi)創(chuang)新與企(qi)業(ye)發(fa)展有(you)機結(jie)合起來,以此(ci)激發(fa)國有(you)企(qi)業(ye)的(de)(de)活力(li)與競爭力(li)。
第一(yi),落(luo)實董(dong)事(shi)(shi)會(hui)(hui)(hui)的(de)(de)法定職(zhi)(zhi)權(quan)。各國(guo)法律(lv)均賦(fu)予(yu)董(dong)事(shi)(shi)會(hui)(hui)(hui)較(jiao)為(wei)(wei)廣泛的(de)(de)職(zhi)(zhi)權(quan),一(yi)般(ban)采取(qu)概括方(fang)式(shi)予(yu)以規(gui)定。我國(guo)法律(lv)對(dui)董(dong)事(shi)(shi)會(hui)(hui)(hui)職(zhi)(zhi)權(quan)采取(qu)了列舉(ju)式(shi)規(gui)定,同時,公(gong)(gong)(gong)司(si)章程還可(ke)以規(gui)定其(qi)他職(zhi)(zhi)權(quan)。依照我國(guo)《公(gong)(gong)(gong)司(si)法》規(gui)定,董(dong)事(shi)(shi)會(hui)(hui)(hui)對(dui)股(gu)東(dong)(dong)會(hui)(hui)(hui)負(fu)責(ze),行使十余(yu)項(xiang)法定職(zhi)(zhi)權(quan),大致可(ke)分(fen)為(wei)(wei)4類(lei):一(yi)是執(zhi)行股(gu)東(dong)(dong)會(hui)(hui)(hui)的(de)(de)決(jue)(jue)議;二是重大經營(ying)管(guan)理事(shi)(shi)項(xiang)決(jue)(jue)定權(quan),如決(jue)(jue)定公(gong)(gong)(gong)司(si)經營(ying)計(ji)劃和投(tou)資方(fang)案(an)(an)(an)、內部管(guan)理機構(gou)的(de)(de)設置;三(san)是重要方(fang)案(an)(an)(an)制訂權(quan),董(dong)事(shi)(shi)會(hui)(hui)(hui)負(fu)責(ze)制訂并(bing)向股(gu)東(dong)(dong)會(hui)(hui)(hui)提(ti)出公(gong)(gong)(gong)司(si)財務預算、決(jue)(jue)算方(fang)案(an)(an)(an)以及(ji)(ji)利潤分(fen)配方(fang)案(an)(an)(an)、彌補虧損方(fang)案(an)(an)(an)、增加或者(zhe)減少注冊(ce)資本(ben)以及(ji)(ji)發行公(gong)(gong)(gong)司(si)債券的(de)(de)方(fang)案(an)(an)(an)、合并(bing)、分(fen)立、解散或者(zhe)變更(geng)公(gong)(gong)(gong)司(si)形式(shi)的(de)(de)方(fang)案(an)(an)(an)等;四是決(jue)(jue)定聘(pin)任(ren)(ren)或者(zhe)解聘(pin)公(gong)(gong)(gong)司(si)經理及(ji)(ji)其(qi)報(bao)酬(chou)事(shi)(shi)項(xiang),并(bing)根(gen)據(ju)經理的(de)(de)提(ti)名決(jue)(jue)定聘(pin)任(ren)(ren)或者(zhe)解聘(pin)公(gong)(gong)(gong)司(si)副經理、財務負(fu)責(ze)人及(ji)(ji)其(qi)報(bao)酬(chou)事(shi)(shi)項(xiang)。只有真正讓這些企業董(dong)事(shi)(shi)會(hui)(hui)(hui)職(zhi)(zhi)權(quan)落(luo)實,責(ze)任(ren)(ren)和權(quan)利統一(yi),董(dong)事(shi)(shi)會(hui)(hui)(hui)才能真正承擔起受(shou)托責(ze)任(ren)(ren),更(geng)好地維護國(guo)家(jia)股(gu)東(dong)(dong)長遠(yuan)利益。
第二,完善股東(dong)(dong)授權制度。我國(guo)《公(gong)司(si)(si)法(fa)》規定,國(guo)有獨資(zi)(zi)公(gong)司(si)(si)不(bu)設股東(dong)(dong)會,由(you)國(guo)有資(zi)(zi)產監(jian)督(du)(du)(du)管理機構(gou)行使(shi)股東(dong)(dong)會職(zhi)(zhi)權。國(guo)有資(zi)(zi)產監(jian)督(du)(du)(du)管理機構(gou)可以授權公(gong)司(si)(si)董(dong)(dong)事(shi)會行使(shi)股東(dong)(dong)會的部分職(zhi)(zhi)權,決定公(gong)司(si)(si)的重大(da)事(shi)項。因此,國(guo)有獨資(zi)(zi)公(gong)司(si)(si)董(dong)(dong)事(shi)會不(bu)僅依法(fa)享(xiang)有一般公(gong)司(si)(si)董(dong)(dong)事(shi)會的職(zhi)(zhi)權,還可以獲得股東(dong)(dong)授權,具有更充分的職(zhi)(zhi)權。這是(shi)《公(gong)司(si)(si)法(fa)》規定的國(guo)有獨資(zi)(zi)公(gong)司(si)(si)董(dong)(dong)事(shi)會職(zhi)(zhi)權一項特色,既是(shi)為國(guo)有企業改革留出創新空間,也是(shi)給(gei)國(guo)有資(zi)(zi)產監(jian)督(du)(du)(du)管理機構(gou)留下(xia)股東(dong)(dong)自治的余地。
對此,需要明(ming)確授(shou)(shou)(shou)(shou)(shou)(shou)(shou)權(quan)(quan)(quan)范(fan)圍,規定授(shou)(shou)(shou)(shou)(shou)(shou)(shou)權(quan)(quan)(quan)條(tiao)件(jian)。按照公司(si)(si)(si)法的(de)(de)一般(ban)原則(ze),除了股東會固有權(quan)(quan)(quan)利(li)以及避免利(li)益沖突,不(bu)能或(huo)(huo)不(bu)宜授(shou)(shou)(shou)(shou)(shou)(shou)(shou)權(quan)(quan)(quan)的(de)(de)以外(wai),應當(dang)盡(jin)可(ke)能授(shou)(shou)(shou)(shou)(shou)(shou)(shou)權(quan)(quan)(quan)董事會決(jue)定公司(si)(si)(si)經(jing)營管理的(de)(de)重(zhong)(zhong)大事項(xiang)。如決(jue)定公司(si)(si)(si)的(de)(de)經(jing)營方(fang)(fang)針和投(tou)資(zi)計劃、批準公司(si)(si)(si)的(de)(de)年(nian)度財(cai)務(wu)(wu)預算(suan)方(fang)(fang)案、決(jue)算(suan)方(fang)(fang)案等(deng)。授(shou)(shou)(shou)(shou)(shou)(shou)(shou)權(quan)(quan)(quan)應當(dang)針對不(bu)同公司(si)(si)(si)的(de)(de)具(ju)(ju)體(ti)(ti)情(qing)況,對授(shou)(shou)(shou)(shou)(shou)(shou)(shou)權(quan)(quan)(quan)事項(xiang)做(zuo)出區別(bie)性的(de)(de)規定,決(jue)定具(ju)(ju)體(ti)(ti)授(shou)(shou)(shou)(shou)(shou)(shou)(shou)權(quan)(quan)(quan)事項(xiang)的(de)(de)范(fan)圍。在一定條(tiao)件(jian)下應當(dang)暫(zan)時中(zhong)止或(huo)(huo)終止授(shou)(shou)(shou)(shou)(shou)(shou)(shou)權(quan)(quan)(quan),如原來具(ju)(ju)備授(shou)(shou)(shou)(shou)(shou)(shou)(shou)權(quan)(quan)(quan)的(de)(de)條(tiao)件(jian)的(de)(de)部分(fen)喪失、董事會或(huo)(huo)董事嚴重(zhong)(zhong)違反義務(wu)(wu)、公司(si)(si)(si)經(jing)營出現嚴重(zhong)(zhong)困難陷入困境(jing)等(deng),將授(shou)(shou)(shou)(shou)(shou)(shou)(shou)權(quan)(quan)(quan)的(de)(de)權(quan)(quan)(quan)利(li)收回自己(ji)行使,待公司(si)(si)(si)狀(zhuang)況恢(hui)復(fu)正常(chang)后恢(hui)復(fu)或(huo)(huo)再行授(shou)(shou)(shou)(shou)(shou)(shou)(shou)權(quan)(quan)(quan)。
