2017年(nian)3月31日,中共云南(nan)省(sheng)委(wei)辦(ban)(ban)公廳云南(nan)省(sheng)人民政府辦(ban)(ban)公廳印發(fa)了(le)(le)《關于(yu)推進省(sheng)級經(jing)營(ying)性(xing)國(guo)有資(zi)產(chan)(chan)集中統(tong)一監管實(shi)(shi)施意(yi)見》(云辦(ban)(ban)發(fa)〔2017〕16號,以(yi)下簡(jian)稱《實(shi)(shi)施意(yi)見》)文件,對全(quan)面推進落實(shi)(shi)省(sheng)級經(jing)營(ying)性(xing)國(guo)有資(zi)產(chan)(chan)統(tong)一監管工作做出了(le)(le)具(ju)體部署和安排。
一、出臺背景
推進經營性國(guo)有資產集中統一監管,是黨中央、國(guo)務(wu)院和(he)省委省政府的(de)安排部署(shu),是全(quan)面深化國(guo)有企(qi)業改革(ge)的(de)重要舉措。
《中(zhong)(zhong)共(gong)中(zhong)(zhong)央(yang) 國(guo)(guo)務(wu)院關(guan)于深化國(guo)(guo)有(you)(you)(you)企(qi)業(ye)改(gai)革(ge)的指導意見(jian)》(中(zhong)(zhong)發(fa)(fa)〔2015〕22號)明確提(ti)出(chu):“以管(guan)資(zi)(zi)本(ben)為主(zhu)推(tui)進(jin)經(jing)(jing)營性(xing)國(guo)(guo)有(you)(you)(you)資(zi)(zi)產(chan)集(ji)中(zhong)(zhong)統(tong)一監(jian)管(guan)。穩(wen)步將黨(dang)政機關(guan)、事業(ye)單位所屬企(qi)業(ye)的國(guo)(guo)有(you)(you)(you)資(zi)(zi)本(ben)納入經(jing)(jing)營性(xing)國(guo)(guo)有(you)(you)(you)資(zi)(zi)產(chan)集(ji)中(zhong)(zhong)統(tong)一監(jian)管(guan)體(ti)系”。《國(guo)(guo)務(wu)院關(guan)于改(gai)革(ge)和(he)完善(shan)國(guo)(guo)有(you)(you)(you)資(zi)(zi)產(chan)管(guan)理體(ti)制(zhi)的若干意見(jian)》(國(guo)(guo)發(fa)(fa)〔2015〕63號)、《中(zhong)(zhong)共(gong)云(yun)(yun)南省委 云(yun)(yun)南省人民政府(fu)關(guan)于全面(mian)深化國(guo)(guo)有(you)(you)(you)企(qi)業(ye)改(gai)革(ge)的意見(jian)》(云(yun)(yun)發(fa)(fa)〔2014〕10號)、《云(yun)(yun)南省人民政府(fu)關(guan)于完善(shan)國(guo)(guo)有(you)(you)(you)資(zi)(zi)產(chan)管(guan)理體(ti)制(zhi)的實施(shi)意見(jian)》(云(yun)(yun)發(fa)(fa)〔2016〕6號)等文(wen)件對推(tui)進(jin)經(jing)(jing)營性(xing)國(guo)(guo)有(you)(you)(you)資(zi)(zi)產(chan)集(ji)中(zhong)(zhong)統(tong)一監(jian)管(guan)作了具體(ti)要(yao)求。
2016年以來(lai),省(sheng)(sheng)委(wei)(wei)、省(sheng)(sheng)政(zheng)府(fu)對推動我省(sheng)(sheng)經(jing)(jing)(jing)營(ying)性(xing)國有(you)(you)資(zi)產集(ji)中統一(yi)(yi)監管工作(zuo)(zuo)高度重(zhong)視(shi),陳豪書(shu)記作(zuo)(zuo)出重(zhong)要指(zhi)示批(pi)示并(bing)專(zhuan)題聽取(qu)匯報(bao),對抓(zhua)緊推進經(jing)(jing)(jing)營(ying)性(xing)國有(you)(you)資(zi)產集(ji)中統一(yi)(yi)監管工作(zuo)(zuo)作(zuo)(zuo)出了(le)明(ming)確指(zhi)示。2016年6月(yue),省(sheng)(sheng)委(wei)(wei)辦(ban)公廳、省(sheng)(sheng)政(zheng)府(fu)辦(ban)公廳下發通知,對省(sheng)(sheng)級(ji)經(jing)(jing)(jing)營(ying)性(xing)國有(you)(you)資(zi)產進行了(le)全面摸底(di),省(sheng)(sheng)國資(zi)委(wei)(wei)赴上海(hai)、江西、四(si)川(chuan)等7個(ge)省(sheng)(sheng)市(shi)考(kao)察(cha)學習,并(bing)就相關事項向(xiang)國務院國資(zi)委(wei)(wei)作(zuo)(zuo)了(le)匯報(bao),在廣(guang)泛征求了(le)相關單位意見(jian)建議(yi)(yi)基礎上,形成了(le)《實施意見(jian)》代(dai)擬(ni)稿。2017年2月(yue)10日省(sheng)(sheng)政(zheng)府(fu)第(di)(di)106次常務會議(yi)(yi),2月(yue)25日省(sheng)(sheng)委(wei)(wei)第(di)(di)12次常委(wei)(wei)會審議(yi)(yi)通過了(le)《實施意見(jian)》,由中共云南省(sheng)(sheng)委(wei)(wei)辦(ban)公廳,云南省(sheng)(sheng)人民政(zheng)府(fu)省(sheng)(sheng)政(zheng)府(fu)辦(ban)公廳正式印發。
二、主要內容
《實(shi)施(shi)意(yi)見》共分為總(zong)體要(yao)求(qiu)、納入(ru)集中(zhong)(zhong)(zhong)統一監(jian)管(guan)范圍、集中(zhong)(zhong)(zhong)統一監(jian)管(guan)方式(shi)、資產處置方式(shi)、加(jia)強納入(ru)集中(zhong)(zhong)(zhong)統一監(jian)管(guan)企業(ye)黨建工(gong)作和組織實(shi)施(shi)六個部分。
(一(yi))明(ming)(ming)確(que)推(tui)進(jin)省級經營(ying)性國(guo)(guo)有(you)資(zi)產(chan)(chan)集(ji)中統(tong)一(yi)監管的(de)總體(ti)要求。提出了推(tui)進(jin)省級經營(ying)性國(guo)(guo)有(you)資(zi)產(chan)(chan)集(ji)中統(tong)一(yi)監管的(de)指導(dao)思想,依(yi)法依(yi)規、公開透(tou)明(ming)(ming);政(zheng)企分開、政(zheng)資(zi)分開;分類推(tui)進(jin)、優(you)化配(pei)置;有(you)序實施、確(que)保穩(wen)定的(de)基(ji)本原則和到2017年(nian)上(shang)半年(nian)基(ji)本完成(cheng)省級經營(ying)性國(guo)(guo)有(you)資(zi)產(chan)(chan)集(ji)中統(tong)一(yi)監管,2018年(nian)年(nian)底前完成(cheng)全部經營(ying)性國(guo)(guo)有(you)資(zi)產(chan)(chan)集(ji)中統(tong)一(yi)監管工作目標(biao)。
(二)明確納(na)(na)入集(ji)中(zhong)統(tong)一(yi)監管的(de)國(guo)(guo)有(you)資(zi)(zi)產范(fan)圍。依據(ju)《企(qi)(qi)業(ye)(ye)國(guo)(guo)有(you)資(zi)(zi)產法》《企(qi)(qi)業(ye)(ye)國(guo)(guo)有(you)資(zi)(zi)產監督管理暫行條例》及有(you)關(guan)政策規定,《實(shi)施意見(jian)》明確納(na)(na)入集(ji)中(zhong)統(tong)一(yi)監管的(de)范(fan)圍包括:黨委、人(ren)大(da)、政府、政協、審判機關(guan)、檢(jian)察機關(guan)、人(ren)民團體、事業(ye)(ye)單位(wei)所屬(shu)企(qi)(qi)業(ye)(ye)的(de)經(jing)營性(xing)國(guo)(guo)有(you)資(zi)(zi)產,包括國(guo)(guo)有(you)獨資(zi)(zi)企(qi)(qi)業(ye)(ye)、國(guo)(guo)有(you)獨資(zi)(zi)公(gong)司(si)(si)、國(guo)(guo)有(you)資(zi)(zi)本(ben)控(kong)股公(gong)司(si)(si)、國(guo)(guo)有(you)資(zi)(zi)本(ben)參(can)股公(gong)司(si)(si)和其他(ta)類型企(qi)(qi)業(ye)(ye)的(de)經(jing)營性(xing)國(guo)(guo)有(you)資(zi)(zi)產。按照國(guo)(guo)家推(tui)進(jin)事業(ye)(ye)單位(wei)改革的(de)有(you)關(guan)精神,由事業(ye)(ye)單位(wei)改制(zhi)為(wei)國(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)的(de),改制(zhi)完成后納(na)(na)入集(ji)中(zhong)統(tong)一(yi)監管范(fan)圍。
(三)明(ming)確集(ji)中統(tong)一(yi)監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)(guan)方式。針對(dui)省(sheng)級經營性國(guo)有(you)資(zi)產(chan)(chan)實際(ji)情況(kuang),提出(chu)(chu)(chu)集(ji)中統(tong)一(yi)監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)(guan)的(de)四種(zhong)方式,一(yi)是(shi)國(guo)資(zi)委(wei)(wei)監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)(guan)。對(dui)直(zhi)接(jie)劃轉和已理(li)順資(zi)產(chan)(chan)關(guan)系的(de)企業,由省(sheng)國(guo)資(zi)委(wei)(wei)直(zhi)接(jie)監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)(guan)。二是(shi)國(guo)資(zi)委(wei)(wei)監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)(guan)與(yu)(yu)行業管(guan)(guan)(guan)(guan)(guan)(guan)理(li)相(xiang)結(jie)合。對(dui)住建、交通(tong)、水利、農林、金融等行業特征(zheng)明(ming)顯(xian)的(de)企業,由省(sheng)國(guo)資(zi)委(wei)(wei)統(tong)一(yi)履(lv)行出(chu)(chu)(chu)資(zi)人(ren)職責(ze),承(cheng)擔保值(zhi)增值(zhi)責(ze)任,相(xiang)關(guan)單位根據各自行業管(guan)(guan)(guan)(guan)(guan)(guan)理(li)職責(ze),強化公(gong)共管(guan)(guan)(guan)(guan)(guan)(guan)理(li)職能,共同促進(jin)企業發(fa)展(zhan)。三是(shi)國(guo)資(zi)委(wei)(wei)監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)(guan)與(yu)(yu)部(bu)門(men)主管(guan)(guan)(guan)(guan)(guan)(guan)相(xiang)結(jie)合。對(dui)省(sheng)屬文(wen)(wen)化國(guo)有(you)企業,由省(sheng)國(guo)資(zi)委(wei)(wei)履(lv)行出(chu)(chu)(chu)資(zi)人(ren)職責(ze),承(cheng)擔保值(zhi)增值(zhi)責(ze)任,宣傳文(wen)(wen)化部(bu)門(men)進(jin)行導向管(guan)(guan)(guan)(guan)(guan)(guan)理(li),推(tui)動出(chu)(chu)(chu)資(zi)人(ren)監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)(guan)制度(du)(du)與(yu)(yu)主管(guan)(guan)(guan)(guan)(guan)(guan)主辦制度(du)(du)的(de)有(you)效銜接(jie),依法規范國(guo)有(you)文(wen)(wen)化資(zi)產(chan)(chan)監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)(guan)。四是(shi)委(wei)(wei)托(tuo)監(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)(guan)。對(dui)監(jian)(jian)(jian)獄類等部(bu)分特殊行業以及其他存(cun)在(zai)特殊情況(kuang)的(de)企業,由省(sheng)政府(fu)授權省(sheng)國(guo)資(zi)委(wei)(wei)履(lv)行出(chu)(chu)(chu)資(zi)人(ren)職責(ze),省(sheng)國(guo)資(zi)委(wei)(wei)再委(wei)(wei)托(tuo)相(xiang)關(guan)部(bu)門(men)履(lv)行職責(ze)。
(四)明(ming)確資(zi)產(chan)(chan)處置(zhi)方(fang)式。針對(dui)省(sheng)(sheng)(sheng)級(ji)經(jing)營性國(guo)有(you)(you)資(zi)產(chan)(chan)實(shi)際情況,明(ming)確通過三種國(guo)有(you)(you)資(zi)產(chan)(chan)處置(zhi)方(fang)式推進(jin)經(jing)營性國(guo)有(you)(you)資(zi)產(chan)(chan)集中統一(yi)監管(guan)(guan)(guan):一(yi)是(shi)直接(jie)劃轉(zhuan)(zhuan)(zhuan)。對(dui)行業(ye)地位突出(chu)、產(chan)(chan)權關(guan)系清(qing)晰、管(guan)(guan)(guan)理較為規范(fan)的(de)(de)企(qi)(qi)(qi)業(ye)直接(jie)進(jin)行產(chan)(chan)權劃轉(zhuan)(zhuan)(zhuan),由省(sheng)(sheng)(sheng)政府授權省(sheng)(sheng)(sheng)國(guo)資(zi)委(wei)(wei)履行出(chu)資(zi)人職責(ze)。二(er)是(shi)整(zheng)合(he)重組(zu)。對(dui)具(ju)(ju)(ju)有(you)(you)一(yi)定資(zi)產(chan)(chan)規模和經(jing)營能力(li)、與省(sheng)(sheng)(sheng)國(guo)資(zi)委(wei)(wei)監管(guan)(guan)(guan)企(qi)(qi)(qi)業(ye)存(cun)在同(tong)類同(tong)質的(de)(de)企(qi)(qi)(qi)業(ye),按(an)照產(chan)(chan)業(ye)相近、業(ye)務相關(guan)、優(you)勢互補的(de)(de)原(yuan)則,整(zheng)合(he)重組(zu)進(jin)入省(sheng)(sheng)(sheng)國(guo)資(zi)委(wei)(wei)所屬國(guo)有(you)(you)資(zi)本投(tou)資(zi)運營公司(si)或其他相關(guan)企(qi)(qi)(qi)業(ye)。對(dui)存(cun)在歷(li)史遺留問題(ti)的(de)(de)企(qi)(qi)(qi)業(ye),由主管(guan)(guan)(guan)單(dan)位先進(jin)行認真清(qing)理,再整(zheng)合(he)重組(zu)劃轉(zhuan)(zhuan)(zhuan)省(sheng)(sheng)(sheng)國(guo)資(zi)委(wei)(wei)監管(guan)(guan)(guan)。三是(shi)改制(zhi)退(tui)出(chu)。對(dui)資(zi)不抵債、停業(ye)停產(chan)(chan)、不具(ju)(ju)(ju)備正常(chang)生產(chan)(chan)經(jing)營條件和其他需要(yao)改制(zhi)退(tui)出(chu)的(de)(de)企(qi)(qi)(qi)業(ye),由主管(guan)(guan)(guan)單(dan)位具(ju)(ju)(ju)體(ti)負責(ze),依據有(you)(you)關(guan)規定制(zhi)定企(qi)(qi)(qi)業(ye)改制(zhi)退(tui)出(chu)方(fang)案,實(shi)行國(guo)有(you)(you)資(zi)本退(tui)出(chu)。省(sheng)(sheng)(sheng)財政廳、省(sheng)(sheng)(sheng)人社(she)廳、省(sheng)(sheng)(sheng)國(guo)資(zi)委(wei)(wei)等單(dan)位給(gei)予具(ju)(ju)(ju)體(ti)指導。
(五)明確加強(qiang)納入集中(zhong)統(tong)(tong)一(yi)監管企業黨建工作要(yao)求。按照(zhao)黨組織(zhi)關(guan)(guan)(guan)系(xi)與資(zi)產關(guan)(guan)(guan)系(xi)相統(tong)(tong)一(yi)的原(yuan)則(ze)規(gui)范黨組織(zhi)隸(li)屬關(guan)(guan)(guan)系(xi),進(jin)一(yi)步(bu)加強(qiang)和改進(jin)企業黨建工作,充(chong)分發揮黨組織(zhi)的領導核心和政(zheng)治核心作用。改制(zhi)退出企業要(yao)做(zuo)好(hao)黨組織(zhi)關(guan)(guan)(guan)系(xi)接續(xu)工作,需要(yao)撤銷的及時上(shang)報上(shang)級黨組織(zhi)辦理(li)相關(guan)(guan)(guan)手續(xu)。
(六(liu)(liu))組(zu)(zu)織實(shi)施。一(yi)(yi)(yi)是(shi)加強領(ling)導(dao)。集(ji)中(zhong)(zhong)統(tong)一(yi)(yi)(yi)監(jian)管(guan)(guan)工作(zuo)(zuo)在(zai)省(sheng)(sheng)委、省(sheng)(sheng)政府的(de)(de)統(tong)一(yi)(yi)(yi)領(ling)導(dao)下有(you)(you)序開展(zhan),各省(sheng)(sheng)級(ji)相關單(dan)(dan)位(wei)成(cheng)立由主(zhu)要(yao)負責(ze)(ze)人擔任組(zu)(zu)長的(de)(de)領(ling)導(dao)小組(zu)(zu),省(sheng)(sheng)國(guo)(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)產(chan)(chan)監(jian)管(guan)(guan)和國(guo)(guo)(guo)(guo)有(you)(you)企業改(gai)革工作(zuo)(zuo)領(ling)導(dao)小組(zu)(zu)負責(ze)(ze)組(zu)(zu)織協調推進(jin)(jin)(jin)工作(zuo)(zuo)。二是(shi)落實(shi)責(ze)(ze)任。各省(sheng)(sheng)級(ji)相關單(dan)(dan)位(wei)承擔主(zhu)體責(ze)(ze)任,單(dan)(dan)位(wei)主(zhu)要(yao)負責(ze)(ze)人是(shi)第一(yi)(yi)(yi)責(ze)(ze)任人。各相關單(dan)(dan)位(wei)的(de)(de)分管(guan)(guan)省(sheng)(sheng)領(ling)導(dao)負責(ze)(ze)進(jin)(jin)(jin)行(xing)督導(dao)落實(shi)。各省(sheng)(sheng)級(ji)相關單(dan)(dan)位(wei)集(ji)中(zhong)(zhong)統(tong)一(yi)(yi)(yi)監(jian)管(guan)(guan)工作(zuo)(zuo)納入年度(du)(du)(du)工作(zuo)(zuo)目標考核內容。三是(shi)規范程序。省(sheng)(sheng)直各相關單(dan)(dan)位(wei)在(zai)資(zi)(zi)(zi)(zi)(zi)(zi)產(chan)(chan)清理基礎上,商(shang)(shang)省(sheng)(sheng)國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)委提出工作(zuo)(zuo)方(fang)案,報請省(sheng)(sheng)委、省(sheng)(sheng)政府批準(zhun)后分類推進(jin)(jin)(jin)。四是(shi)政策支持。明(ming)確了財政、人力資(zi)(zi)(zi)(zi)(zi)(zi)源(yuan)和社會保障、國(guo)(guo)(guo)(guo)土(tu)資(zi)(zi)(zi)(zi)(zi)(zi)源(yuan)、稅務、工商(shang)(shang)、工會等部(bu)門及(ji)企業所在(zai)地政府的(de)(de)政策要(yao)求。五是(shi)嚴(yan)(yan)明(ming)紀律。要(yao)求嚴(yan)(yan)格按(an)時間進(jin)(jin)(jin)度(du)(du)(du)推進(jin)(jin)(jin)工作(zuo)(zuo),保持企業正常生產(chan)(chan)經營(ying)(ying)(ying),不得隱瞞(man)經營(ying)(ying)(ying)性(xing)(xing)國(guo)(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)產(chan)(chan),不得擅自處置資(zi)(zi)(zi)(zi)(zi)(zi)產(chan)(chan),不得突擊花錢、私分財物,不得突擊進(jin)(jin)(jin)人、突擊提拔。違(wei)反規定的(de)(de),嚴(yan)(yan)肅(su)追究單(dan)(dan)位(wei)主(zhu)要(yao)負責(ze)(ze)人和相關責(ze)(ze)任人的(de)(de)責(ze)(ze)任。六(liu)(liu)是(shi)時間進(jin)(jin)(jin)度(du)(du)(du)。2017年4月底之前(qian)完成(cheng)資(zi)(zi)(zi)(zi)(zi)(zi)產(chan)(chan)清理,上半年基本(ben)完成(cheng)集(ji)中(zhong)(zhong)統(tong)一(yi)(yi)(yi)監(jian)管(guan)(guan),年底之前(qian)確定全部(bu)省(sheng)(sheng)級(ji)經營(ying)(ying)(ying)性(xing)(xing)國(guo)(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)產(chan)(chan)集(ji)中(zhong)(zhong)統(tong)一(yi)(yi)(yi)監(jian)管(guan)(guan)方(fang)案并進(jin)(jin)(jin)行(xing)階段性(xing)(xing)總結,2018年年底之前(qian)完成(cheng)全部(bu)省(sheng)(sheng)級(ji)經營(ying)(ying)(ying)性(xing)(xing)國(guo)(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)產(chan)(chan)集(ji)中(zhong)(zhong)統(tong)一(yi)(yi)(yi)監(jian)管(guan)(guan)并進(jin)(jin)(jin)行(xing)全面總結驗收。另外,自本(ben)意(yi)(yi)見印發之日起,除國(guo)(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)監(jian)管(guan)(guan)機構外,省(sheng)(sheng)級(ji)黨政機關、事業單(dan)(dan)位(wei)原則(ze)上不再(zai)履行(xing)出資(zi)(zi)(zi)(zi)(zi)(zi)人職責(ze)(ze),不再(zai)直接管(guan)(guan)理國(guo)(guo)(guo)(guo)有(you)(you)企業,不得作(zuo)(zuo)為出資(zi)(zi)(zi)(zi)(zi)(zi)人登記成(cheng)立企業。按(an)照(zhao)國(guo)(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)產(chan)(chan)分級(ji)管(guan)(guan)理的(de)(de)原則(ze),各州(市)黨委、政府應當(dang)(dang)參照(zhao)本(ben)意(yi)(yi)見,結合(he)本(ben)地經營(ying)(ying)(ying)性(xing)(xing)國(guo)(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)產(chan)(chan)實(shi)際情況,及(ji)時制定本(ben)地區推進(jin)(jin)(jin)經營(ying)(ying)(ying)性(xing)(xing)國(guo)(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)產(chan)(chan)集(ji)中(zhong)(zhong)統(tong)一(yi)(yi)(yi)監(jian)管(guan)(guan)工作(zuo)(zuo)的(de)(de)意(yi)(yi)見,原則(ze)上應當(dang)(dang)確保在(zai)2018年年底前(qian)實(shi)現(xian)經營(ying)(ying)(ying)性(xing)(xing)國(guo)(guo)(guo)(guo)有(you)(you)資(zi)(zi)(zi)(zi)(zi)(zi)產(chan)(chan)集(ji)中(zhong)(zhong)統(tong)一(yi)(yi)(yi)監(jian)管(guan)(guan)。
