今年以來,山東濰坊堅持把市屬國(guo)有企業(ye)(ye)建(jian)立(li)現代企業(ye)(ye)制度作(zuo)為國(guo)企改(gai)革(ge)重要(yao)內容,在(zai)落實企業(ye)(ye)法(fa)人(ren)(ren)財(cai)產權、優化市級國(guo)有經濟布局(ju)、健全(quan)企業(ye)(ye)法(fa)人(ren)(ren)治理結構、業(ye)(ye)績考核、薪酬(chou)制度改(gai)革(ge)、國(guo)有企業(ye)(ye)黨建(jian)工作(zuo)等方面采取多項重要(yao)舉(ju)措,積(ji)極實施,全(quan)力(li)推(tui)進,成效顯著。
一是建(jian)章立(li)(li)(li)制(zhi)(zhi)(zhi),穩步(bu)建(jian)立(li)(li)(li)現(xian)(xian)代(dai)企(qi)(qi)業制(zhi)(zhi)(zhi)度(du)(du)(du)。今年5月,《濰坊市(shi)屬(shu)國(guo)有(you)(you)企(qi)(qi)業建(jian)立(li)(li)(li)現(xian)(xian)代(dai)企(qi)(qi)業制(zhi)(zhi)(zhi)度(du)(du)(du)總體方(fang)(fang)案》(以(yi)下簡稱《總體方(fang)(fang)案》)正式(shi)(shi)出臺并印發(fa),內(nei)(nei)容(rong)涉及調(diao)整優(you)化(hua)市(shi)級國(guo)有(you)(you)資本(ben)(ben)結構(gou)、建(jian)立(li)(li)(li)完善企(qi)(qi)業法(fa)人治理(li)結構(gou)、建(jian)立(li)(li)(li)考核(he)激(ji)勵約(yue)(yue)束(shu)和風(feng)險(xian)防控(kong)機制(zhi)(zhi)(zhi)等(deng)多(duo)個方(fang)(fang)面(mian)(mian)(mian)(mian)。為逐步(bu)在(zai)市(shi)屬(shu)國(guo)有(you)(you)企(qi)(qi)業建(jian)立(li)(li)(li)產權清晰、權責(ze)明確、政企(qi)(qi)分開、管理(li)科學的(de)現(xian)(xian)代(dai)企(qi)(qi)業制(zhi)(zhi)(zhi)度(du)(du)(du),在(zai)市(shi)屬(shu)國(guo)有(you)(you)企(qi)(qi)業資本(ben)(ben)結構(gou)方(fang)(fang)面(mian)(mian)(mian)(mian),通過引入社會資本(ben)(ben),市(shi)屬(shu)國(guo)有(you)(you)獨資、控(kong)股(gu)企(qi)(qi)業交叉持(chi)股(gu),債權轉股(gu)權和資本(ben)(ben)證券化(hua)等(deng)方(fang)(fang)式(shi)(shi),對市(shi)屬(shu)國(guo)有(you)(you)企(qi)(qi)業尤其是國(guo)有(you)(you)獨資、控(kong)股(gu)企(qi)(qi)業進(jin)行股(gu)權多(duo)元化(hua)改(gai)造,調(diao)整優(you)化(hua)市(shi)級國(guo)有(you)(you)資本(ben)(ben)結構(gou);在(zai)市(shi)屬(shu)國(guo)有(you)(you)企(qi)(qi)業法(fa)人治理(li)結構(gou)方(fang)(fang)面(mian)(mian)(mian)(mian),分別針對股(gu)東會、董事會、監事會、經理(li)層的(de)職權、工作機制(zhi)(zhi)(zhi)、考核(he)評價等(deng)內(nei)(nei)容(rong)進(jin)行明確;在(zai)考核(he)激(ji)勵約(yue)(yue)束(shu)方(fang)(fang)面(mian)(mian)(mian)(mian),建(jian)立(li)(li)(li)年度(du)(du)(du)考核(he)與任期考核(he)相結合、考核(he)結果與獎懲相掛(gua)鉤、責(ze)任與職權相匹配的(de)考核(he)激(ji)勵約(yue)(yue)束(shu)制(zhi)(zhi)(zhi)度(du)(du)(du);在(zai)風(feng)險(xian)防控(kong)方(fang)(fang)面(mian)(mian)(mian)(mian),實(shi)行內(nei)(nei)部控(kong)制(zhi)(zhi)(zhi)制(zhi)(zhi)(zhi)度(du)(du)(du)、財務(wu)報告制(zhi)(zhi)(zhi)度(du)(du)(du),建(jian)立(li)(li)(li)防范利(li)益沖突機制(zhi)(zhi)(zhi)。目的(de)是以(yi)完善的(de)企(qi)(qi)業法(fa)人制(zhi)(zhi)(zhi)度(du)(du)(du)為主體,以(yi)有(you)(you)限責(ze)任制(zhi)(zhi)(zhi)度(du)(du)(du)為核(he)心,以(yi)公司制(zhi)(zhi)(zhi)企(qi)(qi)業為主要形式(shi)(shi),建(jian)立(li)(li)(li)符(fu)合市(shi)場經濟發(fa)展要求的(de)現(xian)(xian)代(dai)企(qi)(qi)業制(zhi)(zhi)(zhi)度(du)(du)(du)。
二(er)是著眼發展(zhan)(zhan),調整優(you)化(hua)市(shi)(shi)(shi)(shi)(shi)級(ji)(ji)(ji)國(guo)有資本(ben)布局(ju)。為(wei)統籌市(shi)(shi)(shi)(shi)(shi)級(ji)(ji)(ji)國(guo)有資本(ben)布局(ju),提(ti)高對重(zhong)(zhong)(zhong)(zhong)點領域建設發展(zhan)(zhan)的支撐、引(yin)領、控制能力,結(jie)合市(shi)(shi)(shi)(shi)(shi)級(ji)(ji)(ji)投(tou)資集(ji)(ji)(ji)(ji)團(tuan)(tuan)公司(si)(si)發展(zhan)(zhan)現狀,濰(wei)坊市(shi)(shi)(shi)(shi)(shi)今年制定(ding)出臺(tai)了《濰(wei)坊市(shi)(shi)(shi)(shi)(shi)市(shi)(shi)(shi)(shi)(shi)級(ji)(ji)(ji)投(tou)資集(ji)(ji)(ji)(ji)團(tuan)(tuan)公司(si)(si)優(you)化(hua)重(zhong)(zhong)(zhong)(zhong)組實施方案》。根據方案要求,濰(wei)坊市(shi)(shi)(shi)(shi)(shi)級(ji)(ji)(ji)投(tou)資集(ji)(ji)(ji)(ji)團(tuan)(tuan)公司(si)(si)優(you)化(hua)重(zhong)(zhong)(zhong)(zhong)組工作立足(zu)城市(shi)(shi)(shi)(shi)(shi)重(zhong)(zhong)(zhong)(zhong)要基礎設施、重(zhong)(zhong)(zhong)(zhong)點片區開(kai)發、重(zhong)(zhong)(zhong)(zhong)點產業(ye)轉型升級(ji)(ji)(ji)及重(zhong)(zhong)(zhong)(zhong)要機制保障需要,整合設立市(shi)(shi)(shi)(shi)(shi)城建投(tou)資集(ji)(ji)(ji)(ji)團(tuan)(tuan)、市(shi)(shi)(shi)(shi)(shi)金控集(ji)(ji)(ji)(ji)團(tuan)(tuan)、市(shi)(shi)(shi)(shi)(shi)投(tou)資集(ji)(ji)(ji)(ji)團(tuan)(tuan)、濰(wei)坊港集(ji)(ji)(ji)(ji)團(tuan)(tuan)、濱海(hai)教(jiao)育投(tou)資集(ji)(ji)(ji)(ji)團(tuan)(tuan)、食品谷集(ji)(ji)(ji)(ji)團(tuan)(tuan)、市(shi)(shi)(shi)(shi)(shi)再擔保集(ji)(ji)(ji)(ji)團(tuan)(tuan)七(qi)個市(shi)(shi)(shi)(shi)(shi)級(ji)(ji)(ji)國(guo)有控股(gu)投(tou)資集(ji)(ji)(ji)(ji)團(tuan)(tuan)公司(si)(si),合理(li)配置資源,規(gui)范(fan)完善(shan)統一監(jian)管和運行機制,逐漸形成市(shi)(shi)(shi)(shi)(shi)級(ji)(ji)(ji)投(tou)融(rong)資發展(zhan)(zhan)基本(ben)框架。
三是探(tan)索創(chuang)新,建立(li)(li)完善(shan)法人治理結構。濰(wei)坊(fang)市在市屬國有(you)企業(ye)探(tan)索實施了外(wai)部(bu)董(dong)事(shi)、專(zhuan)(zhuan)職(zhi)監(jian)事(shi)制度,以(yi)《濰(wei)坊(fang)市市管(guan)國有(you)獨資(zi)(zi)公(gong)(gong)司外(wai)部(bu)董(dong)事(shi)管(guan)理試行辦法》為(wei)指導,采取(qu)政府(fu)購買服務(wu)的(de)方式(shi),由濰(wei)坊(fang)國資(zi)(zi)委(wei)從各類企業(ye)領導人員和社會中介機構、科研院所中選(xuan)聘部(bu)分符合條件的(de)高級(ji)管(guan)理人員和專(zhuan)(zhuan)家學者擔(dan)任(ren)外(wai)部(bu)董(dong)事(shi),建立(li)(li)了外(wai)部(bu)董(dong)事(shi)人才庫;同時,以(yi)《濰(wei)坊(fang)市市管(guan)企業(ye)監(jian)事(shi)會管(guan)理暫行辦法》為(wei)指導,建立(li)(li)了專(zhuan)(zhuan)職(zhi)監(jian)事(shi)制度,加強(qiang)專(zhuan)(zhuan)職(zhi)監(jian)事(shi)管(guan)理。截至目前,濰(wei)坊(fang)國資(zi)(zi)委(wei)已向(xiang)市投(tou)資(zi)(zi)公(gong)(gong)司、濰(wei)坊(fang)市國有(you)資(zi)(zi)產經營投(tou)資(zi)(zi)集團等(deng)13家市屬國有(you)企業(ye)派出了外(wai)部(bu)董(dong)事(shi),向(xiang)濰(wei)坊(fang)市城建投(tou)資(zi)(zi)集團公(gong)(gong)司、濰(wei)坊(fang)市文化旅游建設投(tou)資(zi)(zi)公(gong)(gong)司等(deng)13家企業(ye)派出了專(zhuan)(zhuan)職(zhi)監(jian)事(shi)。
四是(shi)加強監管(guan),健全激勵約束(shu)機制。今年以來,濰坊(fang)(fang)(fang)國資委積極推(tui)進市(shi)管(guan)企(qi)業(ye)負(fu)責(ze)(ze)人經營業(ye)績考(kao)(kao)核(he)(he)(he)(he)制度,落實國有資產保值(zhi)增值(zhi)責(ze)(ze)任(ren)。按照《濰坊(fang)(fang)(fang)市(shi)市(shi)管(guan)企(qi)業(ye)負(fu)責(ze)(ze)人業(ye)績考(kao)(kao)核(he)(he)(he)(he)辦法(fa)》規(gui)定(ding)的考(kao)(kao)核(he)(he)(he)(he)方(fang)式與(yu)流程,按照分類考(kao)(kao)核(he)(he)(he)(he)與(yu)綜合(he)(he)評價(jia)相結合(he)(he)原則,科學確定(ding)業(ye)績考(kao)(kao)核(he)(he)(he)(he)年度和(he)任(ren)期目(mu)標值(zhi),7月(yue)份,正式與(yu)各企(qi)業(ye)簽訂2015年業(ye)績考(kao)(kao)核(he)(he)(he)(he)目(mu)標責(ze)(ze)任(ren)書,建立(li)了目(mu)標考(kao)(kao)核(he)(he)(he)(he)機制,完善了濰坊(fang)(fang)(fang)市(shi)管(guan)企(qi)業(ye)負(fu)責(ze)(ze)人業(ye)績考(kao)(kao)核(he)(he)(he)(he)體系。
