為全(quan)(quan)面貫徹黨(dang)的十(shi)八大和十(shi)八屆三中(zhong)、四中(zhong)、五(wu)中(zhong)全(quan)(quan)會精神,進一步深(shen)化(hua)全(quan)(quan)區(qu)國有(you)(you)企(qi)(qi)業(ye)改(gai)革(ge),根(gen)據《中(zhong)共(gong)中(zhong)央、國務院關于(yu)深(shen)化(hua)國有(you)(you)企(qi)(qi)業(ye)改(gai)革(ge)的指導意(yi)見(jian)》(中(zhong)發〔2015〕22號)精神,結合自(zi)治區(qu)實(shi)(shi)際,提出(chu)如下實(shi)(shi)施意(yi)見(jian)。
一、深化國有企(qi)業改革的(de)重要意義和總體(ti)要求
1.重(zhong)要(yao)(yao)(yao)(yao)意(yi)義(yi)。國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)屬于全民所有(you)(you)(you)(you)(you)(you)(you),是生(sheng)產(chan)資(zi)料公有(you)(you)(you)(you)(you)(you)(you)制(zhi)(zhi)的(de)重(zhong)要(yao)(yao)(yao)(yao)實現形式,是堅(jian)持社(she)會(hui)主義(yi)基(ji)本(ben)(ben)經(jing)(jing)(jing)濟(ji)(ji)制(zhi)(zhi)度的(de)堅(jian)強(qiang)基(ji)礎,是引(yin)導、推動和(he)(he)調控(kong)經(jing)(jing)(jing)濟(ji)(ji)社(she)會(hui)發(fa)展(zhan)的(de)基(ji)本(ben)(ben)力(li)(li)量,是實現廣大人民群眾根本(ben)(ben)利益和(he)(he)共同(tong)富(fu)裕的(de)重(zhong)要(yao)(yao)(yao)(yao)保(bao)(bao)證(zheng)。改(gai)革(ge)開放(fang)以(yi)(yi)來,自治區(qu)黨委、政(zheng)府在(zai)(zai)黨中(zhong)央、國(guo)(guo)(guo)(guo)務院正(zheng)確領導下,圍繞處理(li)好政(zheng)府與企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)、企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)與市場(chang)的(de)關系,堅(jian)定不(bu)移(yi)推進(jin)國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)改(gai)革(ge),國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)經(jing)(jing)(jing)濟(ji)(ji)的(de)經(jing)(jing)(jing)營機(ji)制(zhi)(zhi)、管理(li)體系以(yi)(yi)及(ji)國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)面貌發(fa)生(sheng)了根本(ben)(ben)性變化(hua),總體上(shang)已經(jing)(jing)(jing)同(tong)市場(chang)經(jing)(jing)(jing)濟(ji)(ji)相融合(he),在(zai)(zai)應(ying)對市場(chang)挑(tiao)戰、保(bao)(bao)證(zheng)經(jing)(jing)(jing)濟(ji)(ji)持續健(jian)康(kang)發(fa)展(zhan)中(zhong)發(fa)揮(hui)了重(zhong)要(yao)(yao)(yao)(yao)作用(yong),在(zai)(zai)結構調整和(he)(he)產(chan)業(ye)(ye)(ye)(ye)轉型升(sheng)級(ji)中(zhong)發(fa)揮(hui)了重(zhong)要(yao)(yao)(yao)(yao)作用(yong),在(zai)(zai)保(bao)(bao)障(zhang)(zhang)和(he)(he)改(gai)善(shan)民生(sheng)、促進(jin)各(ge)族人民共同(tong)富(fu)裕中(zhong)發(fa)揮(hui)了重(zhong)要(yao)(yao)(yao)(yao)作用(yong),在(zai)(zai)加強(qiang)生(sheng)態建設和(he)(he)環境保(bao)(bao)護、筑牢我國(guo)(guo)(guo)(guo)北方重(zhong)要(yao)(yao)(yao)(yao)生(sheng)態安全屏障(zhang)(zhang)中(zhong)發(fa)揮(hui)了重(zhong)要(yao)(yao)(yao)(yao)作用(yong)。但內(nei)蒙古自治區(qu)國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)仍然存在(zai)(zai)一(yi)(yi)些(xie)發(fa)展(zhan)中(zhong)亟待解決的(de)矛盾和(he)(he)問(wen)題,政(zheng)企(qi)(qi)(qi)(qi)(qi)(qi)不(bu)分(fen)(fen)(fen)、事企(qi)(qi)(qi)(qi)(qi)(qi)不(bu)分(fen)(fen)(fen)、政(zheng)資(zi)不(bu)分(fen)(fen)(fen)較為突出(chu),企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)的(de)市場(chang)主體地位需(xu)(xu)(xu)(xu)(xu)要(yao)(yao)(yao)(yao)進(jin)一(yi)(yi)步(bu)確立;多數國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)規模較小,產(chan)業(ye)(ye)(ye)(ye)發(fa)展(zhan)層(ceng)次較低(di),布局(ju)結構需(xu)(xu)(xu)(xu)(xu)要(yao)(yao)(yao)(yao)進(jin)一(yi)(yi)步(bu)優(you)化(hua);企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)治理(li)結構不(bu)完善(shan)、運作不(bu)規范,經(jing)(jing)(jing)營機(ji)制(zhi)(zhi)需(xu)(xu)(xu)(xu)(xu)要(yao)(yao)(yao)(yao)進(jin)一(yi)(yi)步(bu)理(li)順;部(bu)分(fen)(fen)(fen)企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)管理(li)混亂,國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)資(zi)產(chan)流失(shi)等問(wen)題突出(chu),國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)資(zi)產(chan)監管需(xu)(xu)(xu)(xu)(xu)要(yao)(yao)(yao)(yao)進(jin)一(yi)(yi)步(bu)強(qiang)化(hua);企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)經(jing)(jing)(jing)營機(ji)制(zhi)(zhi)還不(bu)能(neng)完全適應(ying)市場(chang)競爭的(de)需(xu)(xu)(xu)(xu)(xu)要(yao)(yao)(yao)(yao),國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)的(de)效率和(he)(he)競爭力(li)(li)需(xu)(xu)(xu)(xu)(xu)要(yao)(yao)(yao)(yao)進(jin)一(yi)(yi)步(bu)提升(sheng)。各(ge)地區(qu)各(ge)有(you)(you)(you)(you)(you)(you)(you)關部(bu)門要(yao)(yao)(yao)(yao)充分(fen)(fen)(fen)認(ren)識深化(hua)國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)改(gai)革(ge)的(de)重(zhong)要(yao)(yao)(yao)(yao)意(yi)義(yi),以(yi)(yi)高(gao)度的(de)政(zheng)治責任感扎實推進(jin)國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)改(gai)革(ge),堅(jian)決破除各(ge)方面體制(zhi)(zhi)機(ji)制(zhi)(zhi)障(zhang)(zhang)礙,努力(li)(li)把國(guo)(guo)(guo)(guo)有(you)(you)(you)(you)(you)(you)(you)企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)做(zuo)(zuo)強(qiang)做(zuo)(zuo)優(you)做(zuo)(zuo)大。
2.指(zhi)導思(si)想。全面貫徹(che)(che)落實黨(dang)的(de)(de)十八大和(he)十八屆三中(zhong)、四中(zhong)、五中(zhong)全會精神,以(yi)鄧小平理(li)論、“三個代(dai)表(biao)”重要思(si)想、科學發展(zhan)觀為(wei)指(zhi)導,深入貫徹(che)(che)習近(jin)平總書記(ji)系(xi)列重要講話(hua)和(he)考(kao)察內(nei)(nei)蒙古(gu)重要講話(hua)精神,認(ren)真貫徹(che)(che)自(zi)治(zhi)區(qu)黨(dang)委(wei)、政(zheng)府全面深化改(gai)革決策(ce)部署(shu),堅(jian)持(chi)和(he)完善基本經(jing)濟制度,堅(jian)持(chi)社會主義(yi)市場經(jing)濟改(gai)革方向(xiang),以(yi)規范經(jing)營決策(ce)、資產(chan)保值增值、公平參與競爭(zheng)、提高企(qi)業(ye)(ye)效率、增強(qiang)(qiang)企(qi)業(ye)(ye)活力(li)(li)、承擔社會責任為(wei)重點,完善產(chan)權(quan)清晰、權(quan)責明確、政(zheng)企(qi)分開(kai)、管(guan)理(li)科學的(de)(de)現代(dai)企(qi)業(ye)(ye)制度,完善國(guo)有(you)(you)(you)資產(chan)監(jian)管(guan)體制,防(fang)止國(guo)有(you)(you)(you)資產(chan)流失,全面推進依法(fa)治(zhi)企(qi),加強(qiang)(qiang)和(he)改(gai)進黨(dang)對國(guo)有(you)(you)(you)企(qi)業(ye)(ye)的(de)(de)領(ling)導,做(zuo)強(qiang)(qiang)做(zuo)優(you)做(zuo)大國(guo)有(you)(you)(you)企(qi)業(ye)(ye),不斷增強(qiang)(qiang)國(guo)有(you)(you)(you)經(jing)濟活力(li)(li)、影響力(li)(li)、抗(kang)風險(xian)能力(li)(li),推動內(nei)(nei)蒙古(gu)自(zi)治(zhi)區(qu)國(guo)有(you)(you)(you)經(jing)濟、國(guo)有(you)(you)(you)企(qi)業(ye)(ye)創(chuang)新發展(zhan)、協調發展(zhan)、綠色發展(zhan)、開(kai)放發展(zhan)、共享發展(zhan),主動適應和(he)引領(ling)經(jing)濟發展(zhan)新常態,為(wei)建設現代(dai)化內(nei)(nei)蒙古(gu)、打造祖國(guo)北疆(jiang)亮麗風景線(xian)作出積極貢(gong)獻。
3.基本原(yuan)則。深化國(guo)有(you)企(qi)(qi)業改革,必(bi)須認真(zhen)貫徹落實(shi)黨(dang)中央、國(guo)務院關(guan)于深化國(guo)有(you)企(qi)(qi)業改革的一系列戰略決策,把握好以下基本原(yuan)則:
——堅持(chi)和完善基本(ben)經濟制度。毫不(bu)動搖鞏固和發(fa)(fa)展公有制經濟,毫不(bu)動搖鼓勵、支(zhi)持(chi)、引(yin)導非公有制經濟發(fa)(fa)展。促進(jin)國有資本(ben)、集(ji)體資本(ben)、非公有資本(ben)等相互融合,積極探索、穩步發(fa)(fa)展混(hun)合所有制經濟,推動各(ge)種所有制經濟取長補短(duan)、相互促進(jin)、融合發(fa)(fa)展。
——堅持社會(hui)主義市場(chang)經(jing)濟改(gai)革方向。牢(lao)牢(lao)把握使市場(chang)在資源配置(zhi)中起決定性作(zuo)用這條主線,遵循市場(chang)經(jing)濟規律和企業發(fa)展規律,堅持政企分(fen)開、政資分(fen)開、所有權與經(jing)營(ying)權分(fen)離,堅持權利、義務、責任相統一,堅持激勵(li)機制(zhi)和約束機制(zhi)相結(jie)合,促使國有企業真正(zheng)成為依法自(zi)(zi)主經(jing)營(ying)、自(zi)(zi)負盈虧、自(zi)(zi)擔風險、自(zi)(zi)我(wo)約束、自(zi)(zi)我(wo)發(fa)展的獨立(li)市場(chang)主體(ti)。
——堅(jian)持(chi)增強活力(li)與(yu)強化(hua)監(jian)管相結合。繼續推進簡政放權(quan),依法落實企業(ye)法人財產(chan)權(quan)和經(jing)營自主權(quan),進一(yi)步激發企業(ye)活力(li)、創造力(li)和市場(chang)競爭(zheng)力(li),健全完善國(guo)有(you)企業(ye)監(jian)管制度,防(fang)止國(guo)有(you)資產(chan)流失,確保(bao)國(guo)有(you)資產(chan)保(bao)值(zhi)增值(zhi)。
——堅持黨對國(guo)有(you)企(qi)業(ye)的(de)領導。貫徹全(quan)面(mian)從嚴治(zhi)黨方針,充分發揮企(qi)業(ye)黨組織的(de)政治(zhi)核(he)心作用,加強(qiang)企(qi)業(ye)領導班子和(he)人(ren)才隊伍建設,創新基層(ceng)黨建工(gong)作,深入推進(jin)黨風廉(lian)政建設,堅持全(quan)心全(quan)意依(yi)靠(kao)工(gong)人(ren)階級,維護職工(gong)合法權益(yi),為(wei)國(guo)有(you)企(qi)業(ye)改革發展提供堅強(qiang)有(you)力(li)的(de)政治(zhi)保(bao)證、組織保(bao)證和(he)人(ren)才支(zhi)撐。
——堅(jian)持(chi)積極穩(wen)妥統籌推進。正確處理推進改(gai)革和堅(jian)持(chi)法(fa)治的(de)關(guan)系,正確處理改(gai)革發展穩(wen)定關(guan)系,正確處理搞好(hao)頂層設(she)計和尊重基層首創精神(shen)的(de)關(guan)系,突出(chu)問題導向(xiang),堅(jian)持(chi)分(fen)類推進,把握好(hao)改(gai)革的(de)次序、節奏和力(li)度,確保(bao)改(gai)革扎實推進、務(wu)求實效。
4.主(zhu)要目標。到2020年,在國(guo)(guo)有(you)(you)企業改革重要領域和關鍵環節取得(de)決定性成果,形成更加符合(he)社(she)會主(zhu)義市場經(jing)濟發展要求的(de)國(guo)(guo)有(you)(you)資產管理體制和市場化經(jing)營機制,國(guo)(guo)有(you)(you)資本(ben)布局結構(gou)更趨合(he)理,國(guo)(guo)有(you)(you)資本(ben)整體規模和實(shi)力顯著增強,打造一批優強大企業集團。
——現(xian)代企業制(zhi)度(du)進(jin)一(yi)步完善。協調(diao)運轉、有效制(zhi)衡的法人治理(li)結構更(geng)(geng)加健(jian)(jian)全,董事會建(jian)設更(geng)(geng)加規范,派駐(zhu)監事會實現(xian)全覆(fu)蓋,職業經理(li)人制(zhi)度(du)全面(mian)推(tui)行,人力資源、勞動(dong)、分配(pei)制(zhi)度(du)和激勵約束市(shi)場化機制(zhi)進(jin)一(yi)步健(jian)(jian)全,企業的經營發(fa)展(zhan)活力明(ming)顯(xian)增(zeng)強。
——國有資(zi)(zi)產(chan)監(jian)管(guan)體制(zhi)更加科學有效。按照政企(qi)分開(kai)、事企(qi)分開(kai)、政資(zi)(zi)分開(kai)和所有權(quan)與(yu)經(jing)營(ying)權(quan)分離的原則,建成權(quan)責明確、管(guan)理規范、統(tong)籌協調的經(jing)營(ying)性國有資(zi)(zi)產(chan)監(jian)管(guan)體系;按照以(yi)管(guan)資(zi)(zi)本為主(zhu)的要求,不斷健全國有資(zi)(zi)本授權(quan)經(jing)營(ying)體制(zhi),改組若干服務(wu)于自治區(qu)戰(zhan)略目標的國有資(zi)(zi)本投資(zi)(zi)、運營(ying)公司。
——國(guo)有(you)(you)資(zi)本配置效率顯著(zhu)提(ti)高。國(guo)有(you)(you)經濟布局(ju)進一步優化,國(guo)有(you)(you)經濟結(jie)構更趨合(he)理,發展質量和競爭能力明顯提(ti)升;國(guo)有(you)(you)企(qi)業(ye)在(zai)提(ti)升自主創新能力、保護資(zi)源環(huan)境、加快轉型(xing)升級、履行社(she)會責任中(zhong)的(de)引領(ling)和表(biao)率作用充分發揮(hui);80%以上的(de)國(guo)有(you)(you)資(zi)本集中(zhong)在(zai)前(qian)瞻性戰略性新興產(chan)業(ye)、支(zhi)柱產(chan)業(ye)、特色優勢產(chan)業(ye)和重要基(ji)礎設施投資(zi)建設領(ling)域;國(guo)有(you)(you)骨干(gan)企(qi)業(ye)走出去(qu)參與(yu)國(guo)際產(chan)能合(he)作、開拓國(guo)際市場的(de)能力明顯增強。
——企(qi)業黨(dang)的(de)(de)建(jian)設全面加強(qiang)。國(guo)有企(qi)業黨(dang)組(zu)織在公(gong)司治(zhi)理中(zhong)的(de)(de)政(zheng)治(zhi)核心作用充分(fen)發(fa)揮,培養一批德才兼備(bei)、善于經營、充滿活力(li)的(de)(de)企(qi)業家人才隊伍;國(guo)有企(qi)業反(fan)腐(fu)倡(chang)廉(lian)“兩個(ge)責任”全面落(luo)實,反(fan)腐(fu)倡(chang)廉(lian)制度體系、工作體系更加完善。
二、分類推進國(guo)有企業改(gai)革
5.合理界(jie)定(ding)不同(tong)國(guo)有企(qi)業(ye)功(gong)能(neng)(neng)。根據不同(tong)領域國(guo)有資本的(de)戰(zhan)略定(ding)位和發(fa)展目(mu)標(biao),結合自(zi)治區國(guo)有企(qi)業(ye)現狀,將國(guo)有企(qi)業(ye)分(fen)(fen)(fen)為公益類(lei)(lei)(lei)、特定(ding)功(gong)能(neng)(neng)類(lei)(lei)(lei)和商業(ye)競爭類(lei)(lei)(lei)。通過(guo)界(jie)定(ding)功(gong)能(neng)(neng)、劃分(fen)(fen)(fen)類(lei)(lei)(lei)別,實行分(fen)(fen)(fen)類(lei)(lei)(lei)改革(ge)、分(fen)(fen)(fen)類(lei)(lei)(lei)監管、分(fen)(fen)(fen)類(lei)(lei)(lei)定(ding)責(ze)、分(fen)(fen)(fen)類(lei)(lei)(lei)考核,提高改革(ge)的(de)針(zhen)對性、監管的(de)有效性、考核評價的(de)科學性,推動國(guo)有企(qi)業(ye)與市(shi)場(chang)經(jing)濟深(shen)入(ru)融合。
公(gong)益類國有企業(ye)(ye)的主業(ye)(ye)主要分(fen)布于(yu)供(gong)水、供(gong)氣、供(gong)熱、公(gong)共(gong)交(jiao)通(tong)、重(zhong)要商品(pin)和(he)戰略(lve)物資儲備等行業(ye)(ye)和(he)領域(yu)。這類企業(ye)(ye)以(yi)保障(zhang)民生、服務社會(hui)、提供(gong)公(gong)共(gong)產(chan)品(pin)和(he)服務為主要目標,實現社會(hui)效益最大化(hua)。
特定功(gong)能類國有企業(ye)的(de)主業(ye)主要(yao)分布(bu)于(yu)文化、軍工、電網(wang)、鐵路、石油天然氣、電信、郵政、煙草(cao)、重(zhong)大(da)基礎設(she)施建設(she)、重(zhong)要(yao)礦(kuang)產資(zi)源(yuan)開發、基礎共性(xing)技術研究等(deng)重(zhong)要(yao)行(xing)業(ye)和關(guan)鍵領域,以(yi)及政府各類平(ping)臺(tai)公司。這類企業(ye)以(yi)服(fu)務國家和自治區戰(zhan)略(lve)、保障國家安全和國民經(jing)濟運行(xing)、發展(zhan)前瞻性(xing)戰(zhan)略(lve)性(xing)產業(ye)以(yi)及完(wan)成特殊任(ren)務為(wei)主要(yao)目(mu)標,實現經(jing)濟效益(yi)與(yu)社(she)會效益(yi)的(de)有機統一。
商(shang)(shang)業(ye)(ye)(ye)競爭(zheng)類(lei)國有企業(ye)(ye)(ye)主要分布于充(chong)分競爭(zheng)行(xing)業(ye)(ye)(ye)和領(ling)域。這類(lei)企業(ye)(ye)(ye)以增強國有經(jing)(jing)濟活力、放大國有資(zi)本功能、實(shi)現國有資(zi)產保值增值為主要目(mu)標(biao),兼顧社會(hui)效益,按照市場化要求實(shi)行(xing)商(shang)(shang)業(ye)(ye)(ye)化經(jing)(jing)營(ying),依法獨立自(zi)主開展生產經(jing)(jing)營(ying)活動,實(shi)現優勝劣汰、有序進退。
履行出(chu)資人職責的(de)機構(gou)要按照(zhao)誰出(chu)資誰分類(lei)(lei)的(de)原則,制定(ding)所出(chu)資企業的(de)功(gong)能界(jie)定(ding)和分類(lei)(lei)方(fang)案,報本級(ji)政(zheng)府(fu)批準。企業功(gong)能類(lei)(lei)別可(ke)根據(ju)實際(ji)情況進行動態調整。
6.推進公(gong)益類國(guo)有(you)企業改革(ge)。加大國(guo)有(you)資本(ben)投入,優化(hua)公(gong)益性業務資源(yuan)配置,引入市場機制,提高公(gong)共服務效率和(he)(he)能(neng)力。具(ju)備條件的公(gong)益類國(guo)有(you)企業可以推行(xing)股權(quan)多(duo)元(yuan)化(hua)改革(ge),也可以通過購買服務、特許經(jing)營、委托代理等方(fang)式,鼓勵非國(guo)有(you)企業參與經(jing)營。加強對公(gong)益類國(guo)有(you)企業的產品和(he)(he)服務質量、價格水平、運營成本(ben)、安全生產、信(xin)息披露等方(fang)面的監管和(he)(he)考核,考核中要引入社會評價。

17.加大(da)國有(you)(you)企(qi)(qi)業(ye)(ye)公司制(zhi)(zhi)股(gu)(gu)份制(zhi)(zhi)改革(ge)力度。以促進國有(you)(you)企(qi)(qi)業(ye)(ye)轉(zhuan)換經營(ying)機(ji)制(zhi)(zhi)、放(fang)大(da)國有(you)(you)資(zi)本(ben)功能、提高國有(you)(you)資(zi)本(ben)配置(zhi)和運(yun)行(xing)效(xiao)率為目標,積極引入中央企(qi)(qi)業(ye)(ye)、其他省區市國有(you)(you)企(qi)(qi)業(ye)(ye)、非公有(you)(you)制(zhi)(zhi)企(qi)(qi)業(ye)(ye)、境外(wai)企(qi)(qi)業(ye)(ye)等各(ge)類(lei)投資(zi)者,實現股(gu)(gu)權多元化(hua)(hua)。開(kai)展非公有(you)(you)制(zhi)(zhi)經濟(ji)參(can)與國有(you)(you)企(qi)(qi)業(ye)(ye)改革(ge)試(shi)點,推動國有(you)(you)企(qi)(qi)業(ye)(ye)股(gu)(gu)份制(zhi)(zhi)改革(ge)。推動國有(you)(you)企(qi)(qi)業(ye)(ye)特別是競爭類(lei)企(qi)(qi)業(ye)(ye)改制(zhi)(zhi)上市,允許將部分國有(you)(you)資(zi)本(ben)轉(zhuan)化(hua)(hua)為優先(xian)股(gu)(gu),在少數(shu)特定領域(包括文化(hua)(hua)領域)探索建立國家特殊管(guan)理股(gu)(gu)機(ji)制(zhi)(zhi)。
18.穩步(bu)推進國有(you)(you)(you)(you)(you)(you)企(qi)業混合所(suo)有(you)(you)(you)(you)(you)(you)制(zhi)(zhi)(zhi)改(gai)革。制(zhi)(zhi)(zhi)定(ding)自治區國有(you)(you)(you)(you)(you)(you)企(qi)業發(fa)展混合所(suo)有(you)(you)(you)(you)(you)(you)制(zhi)(zhi)(zhi)經(jing)濟的意(yi)見,支持各類(lei)社會資(zi)本參與國有(you)(you)(you)(you)(you)(you)企(qi)業產(chan)權制(zhi)(zhi)(zhi)度改(gai)革,受讓國有(you)(you)(you)(you)(you)(you)產(chan)權,參與國有(you)(you)(you)(you)(you)(you)控股上市(shi)公司增發(fa)股票(piao),收購關閉(bi)破產(chan)國有(you)(you)(you)(you)(you)(you)企(qi)業剩(sheng)余資(zi)產(chan)。鼓(gu)勵(li)國有(you)(you)(you)(you)(you)(you)企(qi)業通(tong)過投資(zi)入(ru)股、聯合投資(zi)、重組等多種方式對(dui)非國有(you)(you)(you)(you)(you)(you)企(qi)業進行(xing)投資(zi)。對(dui)適宜進行(xing)混合所(suo)有(you)(you)(you)(you)(you)(you)制(zhi)(zhi)(zhi)改(gai)革的國有(you)(you)(you)(you)(you)(you)企(qi)業,要(yao)充分(fen)發(fa)揮市(shi)場機(ji)制(zhi)(zhi)(zhi)作用,堅持因(yin)企(qi)施策、依法依規、公開公正,切實保護混合所(suo)有(you)(you)(you)(you)(you)(you)制(zhi)(zhi)(zhi)企(qi)業各類(lei)出資(zi)人的產(chan)權權益。
19.鼓勵國(guo)(guo)有(you)(you)資(zi)(zi)(zi)本(ben)與社(she)(she)會(hui)資(zi)(zi)(zi)本(ben)融合(he)發展(zhan)。開(kai)展(zhan)多(duo)種類型政(zheng)府和(he)社(she)(she)會(hui)資(zi)(zi)(zi)本(ben)合(he)作(zuo)(zuo)(zuo)試點,逐步(bu)推(tui)廣政(zheng)府和(he)社(she)(she)會(hui)資(zi)(zi)(zi)本(ben)合(he)作(zuo)(zuo)(zuo)模式。鼓勵國(guo)(guo)有(you)(you)資(zi)(zi)(zi)本(ben)加強與區(qu)內外具有(you)(you)相(xiang)關優勢的(de)產業(ye)資(zi)(zi)(zi)本(ben)進行(xing)合(he)作(zuo)(zuo)(zuo)對(dui)接,與行(xing)業(ye)上下游企(qi)業(ye)發展(zhan)形(xing)成完(wan)(wan)整產業(ye)鏈(lian)。制定非(fei)國(guo)(guo)有(you)(you)資(zi)(zi)(zi)本(ben)參與國(guo)(guo)有(you)(you)企(qi)業(ye)投資(zi)(zi)(zi)項(xiang)目的(de)意見,引(yin)導(dao)社(she)(she)會(hui)資(zi)(zi)(zi)本(ben)投向(xiang)國(guo)(guo)家(jia)、自治(zhi)區(qu)重(zhong)(zhong)點建設項(xiang)目,組合(he)引(yin)入養(yang)老(lao)基金、保險基金、社(she)(she)保基金等社(she)(she)會(hui)資(zi)(zi)(zi)本(ben)參與自治(zhi)區(qu)重(zhong)(zhong)點工(gong)程投資(zi)(zi)(zi),實行(xing)市(shi)場化經營運作(zuo)(zuo)(zuo)。在金融、電(dian)力、交通、資(zi)(zi)(zi)源(yuan)開(kai)發、公(gong)共事業(ye)等領域,加快(kuai)向(xiang)非(fei)國(guo)(guo)有(you)(you)資(zi)(zi)(zi)本(ben)推(tui)出符合(he)產業(ye)導(dao)向(xiang)、有(you)(you)利于(yu)轉型升級的(de)項(xiang)目。利用(yong)公(gong)開(kai)的(de)信息交易(yi)平臺(tai),建立和(he)完(wan)(wan)善(shan)國(guo)(guo)有(you)(you)資(zi)(zi)(zi)本(ben)與非(fei)國(guo)(guo)有(you)(you)資(zi)(zi)(zi)本(ben)經常性對(dui)接渠道。
20.探索(suo)實(shi)行混合(he)(he)所(suo)(suo)(suo)有(you)(you)制企(qi)(qi)業(ye)(ye)(ye)員(yuan)(yuan)(yuan)工(gong)(gong)持(chi)(chi)(chi)股(gu)。制定混合(he)(he)所(suo)(suo)(suo)有(you)(you)制企(qi)(qi)業(ye)(ye)(ye)實(shi)行員(yuan)(yuan)(yuan)工(gong)(gong)持(chi)(chi)(chi)股(gu)試點的意見,在(zai)主要(yao)從事競爭性業(ye)(ye)(ye)務(wu)的國有(you)(you)控股(gu)混合(he)(he)所(suo)(suo)(suo)有(you)(you)制企(qi)(qi)業(ye)(ye)(ye)開展(zhan)員(yuan)(yuan)(yuan)工(gong)(gong)持(chi)(chi)(chi)股(gu)試點工(gong)(gong)作。已改(gai)制為混合(he)(he)所(suo)(suo)(suo)有(you)(you)制的企(qi)(qi)業(ye)(ye)(ye),允(yun)許員(yuan)(yuan)(yuan)工(gong)(gong)個人直接(jie)出(chu)(chu)資(zi)入(ru)(ru)股(gu)或以(yi)法(fa)律、行政(zheng)法(fa)規允(yun)許的其他方式持(chi)(chi)(chi)股(gu)。允(yun)許國有(you)(you)企(qi)(qi)業(ye)(ye)(ye)改(gai)制引(yin)入(ru)(ru)外部投資(zi)者或與外部投資(zi)者、項目團隊共同出(chu)(chu)資(zi)新設混合(he)(he)所(suo)(suo)(suo)有(you)(you)制企(qi)(qi)業(ye)(ye)(ye)時,同步引(yin)入(ru)(ru)員(yuan)(yuan)(yuan)工(gong)(gong)持(chi)(chi)(chi)股(gu)。優先支持(chi)(chi)(chi)人力(li)和(he)技術資(zi)本要(yao)素貢獻占比(bi)較高的轉(zhuan)制科(ke)(ke)研院所(suo)(suo)(suo)、高新技術企(qi)(qi)業(ye)(ye)(ye)、科(ke)(ke)技服(fu)務(wu)型企(qi)(qi)業(ye)(ye)(ye)開展(zhan)員(yuan)(yuan)(yuan)工(gong)(gong)持(chi)(chi)(chi)股(gu)試點。支持(chi)(chi)(chi)對企(qi)(qi)業(ye)(ye)(ye)經營(ying)業(ye)(ye)(ye)績和(he)持(chi)(chi)(chi)續發展(zhan)有(you)(you)直接(jie)或較大(da)影響(xiang)的科(ke)(ke)研人員(yuan)(yuan)(yuan)、經營(ying)管理人員(yuan)(yuan)(yuan)、技術業(ye)(ye)(ye)務(wu)骨干等(deng)持(chi)(chi)(chi)股(gu)。規范(fan)審核、評(ping)估等(deng)操作程序(xu)(xu),建立和(he)完善員(yuan)(yuan)(yuan)工(gong)(gong)持(chi)(chi)(chi)股(gu)有(you)(you)序(xu)(xu)流轉(zhuan)和(he)退(tui)出(chu)(chu)機制,確保員(yuan)(yuan)(yuan)工(gong)(gong)持(chi)(chi)(chi)股(gu)公開透明,嚴禁暗箱操作,防止利(li)益輸送。
六、強化和完善監督(du)機制
21.完善監(jian)督(du)(du)體系(xi)。加快國有(you)企(qi)業行為(wei)規范制度建設,堅持問題導向,立足制度創(chuang)新(xin),強化國有(you)企(qi)業內部監(jian)督(du)(du)、出(chu)資(zi)人監(jian)督(du)(du)、審計(ji)和紀(ji)檢(jian)監(jian)督(du)(du)以及社會(hui)監(jian)督(du)(du),加快形成覆(fu)蓋(gai)全面(mian)、分工(gong)明(ming)確(que)、協同配合、制約有(you)力(li)的國有(you)企(qi)業監(jian)督(du)(du)體系(xi)。明(ming)確(que)各類監(jian)督(du)(du)主體的監(jian)督(du)(du)職責,形成工(gong)作合力(li)。
22.強(qiang)化(hua)企(qi)(qi)(qi)(qi)業內(nei)部(bu)監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)(du)(du)。完(wan)善企(qi)(qi)(qi)(qi)業內(nei)部(bu)監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)(du)(du)機(ji)構設置、職(zhi)權(quan)劃分(fen)(fen),明確內(nei)部(bu)監(jian)(jian)(jian)(jian)(jian)事會、內(nei)部(bu)審(shen)計(ji)、紀檢(jian)監(jian)(jian)(jian)(jian)(jian)察(cha)以及(ji)法(fa)(fa)(fa)律(lv)、財務(wu)等部(bu)門(men)的(de)(de)(de)(de)監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)(du)(du)職(zhi)責,形(xing)成(cheng)權(quan)責一致、分(fen)(fen)工(gong)合理、監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)(du)(du)有(you)力(li)的(de)(de)(de)(de)監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)(du)(du)機(ji)制(zhi)(zhi)。監(jian)(jian)(jian)(jian)(jian)事會依(yi)法(fa)(fa)(fa)對(dui)企(qi)(qi)(qi)(qi)業的(de)(de)(de)(de)財務(wu)活動、國有(you)資(zi)產保值增值狀(zhuang)況以及(ji)企(qi)(qi)(qi)(qi)業負(fu)責人(ren)的(de)(de)(de)(de)經營(ying)管理行為(wei)(wei)等進(jin)(jin)行監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)(du)(du);內(nei)部(bu)審(shen)計(ji)部(bu)門(men)主(zhu)要(yao)(yao)對(dui)企(qi)(qi)(qi)(qi)業內(nei)部(bu)控制(zhi)(zhi)的(de)(de)(de)(de)健全性(xing)(xing)、有(you)效性(xing)(xing)以及(ji)會計(ji)及(ji)相關信(xin)息的(de)(de)(de)(de)真實(shi)性(xing)(xing)、合法(fa)(fa)(fa)性(xing)(xing)、完(wan)整性(xing)(xing)等進(jin)(jin)行監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)(du)(du);紀檢(jian)監(jian)(jian)(jian)(jian)(jian)察(cha)部(bu)門(men)重(zhong)(zhong)點(dian)(dian)加強(qiang)對(dui)企(qi)(qi)(qi)(qi)業領導班子(zi)及(ji)其成(cheng)員以及(ji)重(zhong)(zhong)點(dian)(dian)部(bu)門(men)、重(zhong)(zhong)點(dian)(dian)崗(gang)位(wei)的(de)(de)(de)(de)監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)(du)(du);法(fa)(fa)(fa)律(lv)、財務(wu)等部(bu)門(men)重(zhong)(zhong)點(dian)(dian)從防范企(qi)(qi)(qi)(qi)業法(fa)(fa)(fa)律(lv)風險、財務(wu)風險等方(fang)面履行監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)(du)(du)職(zhi)責。強(qiang)化(hua)對(dui)權(quan)力(li)集(ji)(ji)中、資(zi)金密集(ji)(ji)、資(zi)源富集(ji)(ji)、資(zi)產聚(ju)集(ji)(ji)的(de)(de)(de)(de)部(bu)門(men)和崗(gang)位(wei)的(de)(de)(de)(de)監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)(du)(du),切實(shi)增強(qiang)監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)(du)(du)的(de)(de)(de)(de)針對(dui)性(xing)(xing)和有(you)效性(xing)(xing),防止權(quan)力(li)濫用。強(qiang)化(hua)企(qi)(qi)(qi)(qi)業內(nei)部(bu)流程控制(zhi)(zhi),推(tui)行分(fen)(fen)事行權(quan)、分(fen)(fen)崗(gang)設權(quan)、分(fen)(fen)級(ji)授權(quan)、定期(qi)輪崗(gang)等內(nei)控制(zhi)(zhi)度(du),創新監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)(du)(du)方(fang)法(fa)(fa)(fa)。建(jian)立企(qi)(qi)(qi)(qi)業內(nei)部(bu)審(shen)計(ji)部(bu)門(men)向董事會負(fu)責的(de)(de)(de)(de)工(gong)作(zuo)機(ji)制(zhi)(zhi)。建(jian)立和完(wan)善國有(you)企(qi)(qi)(qi)(qi)業法(fa)(fa)(fa)律(lv)顧(gu)問制(zhi)(zhi)度(du),發(fa)揮企(qi)(qi)(qi)(qi)業總法(fa)(fa)(fa)律(lv)顧(gu)問在(zai)經營(ying)管理中的(de)(de)(de)(de)法(fa)(fa)(fa)律(lv)審(shen)核把關作(zuo)用,推(tui)進(jin)(jin)企(qi)(qi)(qi)(qi)業依(yi)法(fa)(fa)(fa)經營(ying),防范企(qi)(qi)(qi)(qi)業法(fa)(fa)(fa)律(lv)風險。健全以職(zhi)工(gong)代(dai)表(biao)(biao)大會為(wei)(wei)基本形(xing)式的(de)(de)(de)(de)企(qi)(qi)(qi)(qi)業民主(zhu)管理制(zhi)(zhi)度(du),加強(qiang)企(qi)(qi)(qi)(qi)業職(zhi)工(gong)民主(zhu)監(jian)(jian)(jian)(jian)(jian)督(du)(du)(du)(du)(du),企(qi)(qi)(qi)(qi)業重(zhong)(zhong)要(yao)(yao)事項涉及(ji)職(zhi)工(gong)切身利(li)益的(de)(de)(de)(de),要(yao)(yao)征求(qiu)職(zhi)工(gong)代(dai)表(biao)(biao)意見,必要(yao)(yao)時(shi)提交職(zhi)工(gong)代(dai)表(biao)(biao)大會審(shen)議,并及(ji)時(shi)向全體職(zhi)工(gong)公布(bu)。

28.切實(shi)(shi)落實(shi)(shi)國(guo)有(you)企業反(fan)腐(fu)(fu)倡廉“兩個責(ze)(ze)(ze)(ze)任(ren)”。國(guo)有(you)企業黨(dang)(dang)組織要(yao)切實(shi)(shi)履行(xing)好(hao)主(zhu)體責(ze)(ze)(ze)(ze)任(ren),做到黨(dang)(dang)風(feng)廉政建設、反(fan)腐(fu)(fu)敗(bai)工作(zuo)與業務工作(zuo)同部署、同檢查(cha)、同考(kao)核(he)。黨(dang)(dang)組織書記(ji)要(yao)切實(shi)(shi)履行(xing)黨(dang)(dang)風(feng)廉政建設第一責(ze)(ze)(ze)(ze)任(ren)人(ren)職責(ze)(ze)(ze)(ze),黨(dang)(dang)組織領(ling)導(dao)班(ban)子成員對職責(ze)(ze)(ze)(ze)范(fan)圍內的(de)黨(dang)(dang)風(feng)廉政建設履行(xing)好(hao)領(ling)導(dao)責(ze)(ze)(ze)(ze)任(ren)。國(guo)有(you)企業紀(ji)檢監察機(ji)構(gou)(gou)要(yao)深化(hua)轉(zhuan)職能、轉(zhuan)方式(shi)、轉(zhuan)作(zuo)風(feng),聚焦主(zhu)業主(zhu)責(ze)(ze)(ze)(ze),強化(hua)監督執紀(ji)問(wen)責(ze)(ze)(ze)(ze)。推動國(guo)有(you)企業紀(ji)律檢查(cha)工作(zuo)雙重(zhong)領(ling)導(dao)體制(zhi)具體化(hua)、程序(xu)化(hua)、制(zhi)度化(hua),強化(hua)上級紀(ji)委(wei)對下級紀(ji)委(wei)的(de)領(ling)導(dao)。堅持(chi)運用(yong)法(fa)(fa)治思維和(he)法(fa)(fa)治方式(shi)懲治腐(fu)(fu)敗(bai),嚴(yan)格落實(shi)(shi)反(fan)“四風(feng)”規定,嚴(yan)肅查(cha)處違紀(ji)行(xing)為(wei),努(nu)力構(gou)(gou)筑企業領(ling)導(dao)人(ren)員不(bu)敢腐(fu)(fu)、不(bu)能腐(fu)(fu)、不(bu)想(xiang)腐(fu)(fu)的(de)有(you)效機(ji)制(zhi)。
八、形成推進國有企(qi)業改革(ge)的合力
29.完(wan)善(shan)國(guo)(guo)(guo)(guo)有(you)(you)企(qi)業(ye)改(gai)(gai)(gai)革(ge)(ge)(ge)各類配(pei)套政策(ce)(ce)措(cuo)施。各地(di)(di)區(qu)各有(you)(you)關部(bu)門(men)要研(yan)究制(zhi)定(ding)相(xiang)關配(pei)套政策(ce)(ce)措(cuo)施,加(jia)大(da)對國(guo)(guo)(guo)(guo)有(you)(you)企(qi)業(ye)改(gai)(gai)(gai)革(ge)(ge)(ge)的(de)(de)(de)(de)支(zhi)持(chi)力度。落(luo)(luo)實以國(guo)(guo)(guo)(guo)有(you)(you)劃(hua)撥土(tu)(tu)地(di)(di)采用(yong)國(guo)(guo)(guo)(guo)家作價(jia)入(ru)股的(de)(de)(de)(de)方(fang)式(shi)支(zhi)持(chi)企(qi)業(ye)發(fa)展(zhan)的(de)(de)(de)(de)政策(ce)(ce),土(tu)(tu)地(di)(di)出(chu)讓價(jia)扣(kou)除補(bu)繳土(tu)(tu)地(di)(di)價(jia)款(kuan)(kuan)后的(de)(de)(de)(de)剩(sheng)余部(bu)分(fen)可(ke)用(yong)于增加(jia)原企(qi)業(ye)的(de)(de)(de)(de)國(guo)(guo)(guo)(guo)有(you)(you)資本金,補(bu)繳土(tu)(tu)地(di)(di)價(jia)款(kuan)(kuan)可(ke)返還企(qi)業(ye)用(yong)于安(an)置(zhi)職工(gong)或解決國(guo)(guo)(guo)(guo)企(qi)改(gai)(gai)(gai)革(ge)(ge)(ge)其他(ta)遺留問題。設立(li)自治區(qu)國(guo)(guo)(guo)(guo)有(you)(you)企(qi)業(ye)改(gai)(gai)(gai)革(ge)(ge)(ge)重組(zu)專項基金,支(zhi)持(chi)企(qi)業(ye)改(gai)(gai)(gai)革(ge)(ge)(ge)重組(zu)。研(yan)究完(wan)善(shan)支(zhi)持(chi)國(guo)(guo)(guo)(guo)有(you)(you)企(qi)業(ye)改(gai)(gai)(gai)革(ge)(ge)(ge)重組(zu)上市的(de)(de)(de)(de)財稅政策(ce)(ce),對涉及的(de)(de)(de)(de)資產(chan)(chan)評估(gu)增值、債務(wu)重組(zu)收益、土(tu)(tu)地(di)(di)房屋權(quan)屬轉(zhuan)移等(deng)(deng),按國(guo)(guo)(guo)(guo)家有(you)(you)關規(gui)(gui)定(ding)落(luo)(luo)實稅收優惠政策(ce)(ce)。健(jian)全公(gong)共服務(wu)體(ti)系,推(tui)進政府購(gou)買服務(wu),加(jia)快建立(li)穩定(ding)可(ke)靠、補(bu)償合理、公(gong)開(kai)透明的(de)(de)(de)(de)國(guo)(guo)(guo)(guo)有(you)(you)企(qi)業(ye)公(gong)共服務(wu)支(zhi)出(chu)補(bu)償機制(zhi)。依法(fa)平等(deng)(deng)保(bao)(bao)(bao)護各類產(chan)(chan)權(quan),推(tui)動國(guo)(guo)(guo)(guo)有(you)(you)產(chan)(chan)權(quan)公(gong)開(kai)有(you)(you)序流轉(zhuan),將(jiang)國(guo)(guo)(guo)(guo)有(you)(you)產(chan)(chan)權(quan)交易(yi)統一納入(ru)公(gong)共資源交易(yi)平臺,保(bao)(bao)(bao)障(zhang)所(suo)有(you)(you)市場主體(ti)的(de)(de)(de)(de)平等(deng)(deng)法(fa)律地(di)(di)位和(he)發(fa)展(zhan)權(quan)利。深化行(xing)政審批(pi)制(zhi)度改(gai)(gai)(gai)革(ge)(ge)(ge),梳理和(he)完(wan)善(shan)國(guo)(guo)(guo)(guo)有(you)(you)企(qi)業(ye)改(gai)(gai)(gai)革(ge)(ge)(ge)涉及的(de)(de)(de)(de)工(gong)商登記、財稅管(guan)(guan)理、價(jia)格管(guan)(guan)理、土(tu)(tu)地(di)(di)流轉(zhuan)、國(guo)(guo)(guo)(guo)資監管(guan)(guan)、金融(rong)證券(quan)等(deng)(deng)方(fang)面的(de)(de)(de)(de)政策(ce)(ce)規(gui)(gui)定(ding),優化政策(ce)(ce)、簡化手續(xu)、提高效率,服務(wu)企(qi)業(ye)發(fa)展(zhan)。健(jian)全企(qi)業(ye)退出(chu)機制(zhi),完(wan)善(shan)國(guo)(guo)(guo)(guo)有(you)(you)企(qi)業(ye)退出(chu)的(de)(de)(de)(de)相(xiang)關配(pei)套政策(ce)(ce),妥善(shan)處理人員安(an)置(zhi)、醫療(liao)和(he)養老保(bao)(bao)(bao)險接續(xu)以及其他(ta)相(xiang)關問題。
30.加(jia)快剝離企(qi)(qi)業(ye)(ye)辦社(she)會(hui)(hui)職能(neng)和解(jie)(jie)決(jue)歷(li)史遺留問(wen)題(ti)(ti)。落(luo)實(shi)國家(jia)關于推動解(jie)(jie)決(jue)國有企(qi)(qi)業(ye)(ye)改革遺留問(wen)題(ti)(ti)的(de)(de)政(zheng)策(ce)(ce)要求,研究(jiu)制定(ding)自(zi)治區國有企(qi)(qi)業(ye)(ye)剝離辦社(she)會(hui)(hui)職能(neng)和解(jie)(jie)決(jue)歷(li)史遺留問(wen)題(ti)(ti)實(shi)施方(fang)案,完善(shan)(shan)配套政(zheng)策(ce)(ce),以企(qi)(qi)業(ye)(ye)為(wei)主體,維護職工合法(fa)權益(yi),推進國有企(qi)(qi)業(ye)(ye)辦醫院、幼(you)教、社(she)區等公共服(fu)務機構(gou)的(de)(de)分離移交(jiao),逐步落(luo)實(shi)國有企(qi)(qi)業(ye)(ye)退休職工社(she)會(hui)(hui)化(hua)管理等政(zheng)策(ce)(ce)措(cuo)施。新改組混合所有制企(qi)(qi)業(ye)(ye)必須妥(tuo)善(shan)(shan)解(jie)(jie)決(jue)好(hao)歷(li)史包袱(fu),研究(jiu)解(jie)(jie)決(jue)涉及(ji)職工切身利益(yi)的(de)(de)實(shi)際問(wen)題(ti)(ti),妥(tuo)善(shan)(shan)安(an)置轉崗職工。
31.強化國(guo)(guo)有(you)(you)企(qi)(qi)(qi)業(ye)(ye)改(gai)(gai)革(ge)(ge)(ge)(ge)的(de)(de)組(zu)(zu)織落實。自(zi)治區(qu)成立國(guo)(guo)有(you)(you)企(qi)(qi)(qi)業(ye)(ye)改(gai)(gai)革(ge)(ge)(ge)(ge)領(ling)導(dao)小組(zu)(zu),負責(ze)全(quan)區(qu)國(guo)(guo)有(you)(you)企(qi)(qi)(qi)業(ye)(ye)改(gai)(gai)革(ge)(ge)(ge)(ge)工(gong)作(zuo)(zuo)的(de)(de)協(xie)調指導(dao)。領(ling)導(dao)小組(zu)(zu)辦(ban)公室設在自(zi)治區(qu)國(guo)(guo)資委,承(cheng)擔領(ling)導(dao)小組(zu)(zu)的(de)(de)日(ri)常工(gong)作(zuo)(zuo)。各(ge)級黨委、政府要切實履行對(dui)深化國(guo)(guo)有(you)(you)企(qi)(qi)(qi)業(ye)(ye)改(gai)(gai)革(ge)(ge)(ge)(ge)的(de)(de)領(ling)導(dao)責(ze)任,加強統籌協(xie)調、明確責(ze)任分工(gong),大膽探索(suo),試點先行,積極穩妥推進國(guo)(guo)有(you)(you)企(qi)(qi)(qi)業(ye)(ye)改(gai)(gai)革(ge)(ge)(ge)(ge)。將國(guo)(guo)有(you)(you)企(qi)(qi)(qi)業(ye)(ye)改(gai)(gai)革(ge)(ge)(ge)(ge)創新(xin)工(gong)作(zuo)(zuo)納入(ru)績效考(kao)核(he),作(zuo)(zuo)為(wei)職務晉升和獎(jiang)勵(li)的(de)(de)重(zhong)要依據。注(zhu)重(zhong)輿(yu)論(lun)宣傳引導(dao),凝(ning)聚改(gai)(gai)革(ge)(ge)(ge)(ge)共(gong)識,調動各(ge)方面的(de)(de)積極性,加強新(xin)聞發布,營造支(zhi)持改(gai)(gai)革(ge)(ge)(ge)(ge)的(de)(de)良好氛圍。建立改(gai)(gai)革(ge)(ge)(ge)(ge)容(rong)錯機制,鼓勵(li)國(guo)(guo)有(you)(you)企(qi)(qi)(qi)業(ye)(ye)在法治框架內開展改(gai)(gai)革(ge)(ge)(ge)(ge)探索(suo)。
各盟市要依照《中共中央、國(guo)務院關于(yu)深化國(guo)有(you)企業改革的指導意(yi)見(jian)》和本(ben)實(shi)施(shi)意(yi)見(jian)精神,結合實(shi)際制(zhi)定實(shi)施(shi)意(yi)見(jian)和配(pei)套政策措(cuo)施(shi)。
