內蒙古出臺關于深化國有企業改革的具體實施意見

  為全面貫徹(che)黨的十八大和十八屆三中、四中、五(wu)中全會精神,進(jin)一步深(shen)化全區(qu)國有企業(ye)改(gai)革,根(gen)據(ju)《中共(gong)中央、國務(wu)院關(guan)于深(shen)化國有企業(ye)改(gai)革的指導意見(jian)》(中發〔2015〕22號)精神,結合(he)自治區(qu)實際,提出(chu)如下實施意見(jian)。

  一、深化國有企業改革的重要意義和總體要求

  1.重(zhong)(zhong)(zhong)要(yao)(yao)意義(yi)。國(guo)(guo)有(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)屬(shu)于全(quan)民(min)所有(you)(you),是生(sheng)產(chan)(chan)(chan)資(zi)料公(gong)有(you)(you)制的重(zhong)(zhong)(zhong)要(yao)(yao)實(shi)現(xian)形式,是堅(jian)持社會主義(yi)基(ji)本(ben)經(jing)(jing)(jing)濟(ji)(ji)制度的堅(jian)強基(ji)礎,是引導、推動和(he)調(diao)控經(jing)(jing)(jing)濟(ji)(ji)社會發(fa)展(zhan)的基(ji)本(ben)力量,是實(shi)現(xian)廣大人(ren)(ren)民(min)群眾(zhong)根(gen)本(ben)利益和(he)共同富裕(yu)的重(zhong)(zhong)(zhong)要(yao)(yao)保(bao)證。改(gai)革(ge)開放以(yi)來,自治(zhi)區黨(dang)委(wei)、政府(fu)在(zai)(zai)黨(dang)中(zhong)(zhong)(zhong)央、國(guo)(guo)務院(yuan)正(zheng)確(que)領導下(xia),圍(wei)繞處理(li)好(hao)政府(fu)與企(qi)(qi)(qi)(qi)業(ye)(ye)、企(qi)(qi)(qi)(qi)業(ye)(ye)與市(shi)場(chang)(chang)(chang)(chang)的關系,堅(jian)定不(bu)(bu)移推進(jin)(jin)國(guo)(guo)有(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)改(gai)革(ge),國(guo)(guo)有(you)(you)經(jing)(jing)(jing)濟(ji)(ji)的經(jing)(jing)(jing)營(ying)機(ji)制、管(guan)理(li)體(ti)系以(yi)及國(guo)(guo)有(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)面貌發(fa)生(sheng)了根(gen)本(ben)性變(bian)化(hua)(hua),總體(ti)上(shang)已經(jing)(jing)(jing)同市(shi)場(chang)(chang)(chang)(chang)經(jing)(jing)(jing)濟(ji)(ji)相融合(he),在(zai)(zai)應對市(shi)場(chang)(chang)(chang)(chang)挑戰、保(bao)證經(jing)(jing)(jing)濟(ji)(ji)持續健康發(fa)展(zhan)中(zhong)(zhong)(zhong)發(fa)揮了重(zhong)(zhong)(zhong)要(yao)(yao)作(zuo)用(yong),在(zai)(zai)結(jie)(jie)構調(diao)整和(he)產(chan)(chan)(chan)業(ye)(ye)轉型升級中(zhong)(zhong)(zhong)發(fa)揮了重(zhong)(zhong)(zhong)要(yao)(yao)作(zuo)用(yong),在(zai)(zai)保(bao)障和(he)改(gai)善民(min)生(sheng)、促(cu)進(jin)(jin)各(ge)族人(ren)(ren)民(min)共同富裕(yu)中(zhong)(zhong)(zhong)發(fa)揮了重(zhong)(zhong)(zhong)要(yao)(yao)作(zuo)用(yong),在(zai)(zai)加強生(sheng)態建設和(he)環(huan)境保(bao)護、筑牢我國(guo)(guo)北(bei)方(fang)(fang)重(zhong)(zhong)(zhong)要(yao)(yao)生(sheng)態安全(quan)屏障中(zhong)(zhong)(zhong)發(fa)揮了重(zhong)(zhong)(zhong)要(yao)(yao)作(zuo)用(yong)。但內蒙古自治(zhi)區國(guo)(guo)有(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)仍然存在(zai)(zai)一(yi)些發(fa)展(zhan)中(zhong)(zhong)(zhong)亟待(dai)解決的矛盾和(he)問(wen)題(ti),政企(qi)(qi)(qi)(qi)不(bu)(bu)分(fen)、事(shi)企(qi)(qi)(qi)(qi)不(bu)(bu)分(fen)、政資(zi)不(bu)(bu)分(fen)較(jiao)(jiao)為突(tu)出(chu),企(qi)(qi)(qi)(qi)業(ye)(ye)的市(shi)場(chang)(chang)(chang)(chang)主體(ti)地(di)(di)位需要(yao)(yao)進(jin)(jin)一(yi)步(bu)(bu)確(que)立;多數國(guo)(guo)有(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)規(gui)模較(jiao)(jiao)小,產(chan)(chan)(chan)業(ye)(ye)發(fa)展(zhan)層次較(jiao)(jiao)低,布局(ju)結(jie)(jie)構需要(yao)(yao)進(jin)(jin)一(yi)步(bu)(bu)優化(hua)(hua);企(qi)(qi)(qi)(qi)業(ye)(ye)治(zhi)理(li)結(jie)(jie)構不(bu)(bu)完善、運作(zuo)不(bu)(bu)規(gui)范,經(jing)(jing)(jing)營(ying)機(ji)制需要(yao)(yao)進(jin)(jin)一(yi)步(bu)(bu)理(li)順;部(bu)分(fen)企(qi)(qi)(qi)(qi)業(ye)(ye)管(guan)理(li)混(hun)亂,國(guo)(guo)有(you)(you)資(zi)產(chan)(chan)(chan)流失等(deng)問(wen)題(ti)突(tu)出(chu),國(guo)(guo)有(you)(you)資(zi)產(chan)(chan)(chan)監管(guan)需要(yao)(yao)進(jin)(jin)一(yi)步(bu)(bu)強化(hua)(hua);企(qi)(qi)(qi)(qi)業(ye)(ye)經(jing)(jing)(jing)營(ying)機(ji)制還不(bu)(bu)能(neng)完全(quan)適應市(shi)場(chang)(chang)(chang)(chang)競爭(zheng)的需要(yao)(yao),國(guo)(guo)有(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)的效率(lv)和(he)競爭(zheng)力需要(yao)(yao)進(jin)(jin)一(yi)步(bu)(bu)提升。各(ge)地(di)(di)區各(ge)有(you)(you)關部(bu)門要(yao)(yao)充分(fen)認識深化(hua)(hua)國(guo)(guo)有(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)改(gai)革(ge)的重(zhong)(zhong)(zhong)要(yao)(yao)意義(yi),以(yi)高度的政治(zhi)責任(ren)感扎實(shi)推進(jin)(jin)國(guo)(guo)有(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)改(gai)革(ge),堅(jian)決破除各(ge)方(fang)(fang)面體(ti)制機(ji)制障礙,努力把國(guo)(guo)有(you)(you)企(qi)(qi)(qi)(qi)業(ye)(ye)做強做優做大。

  2.指導(dao)思想。全(quan)面貫徹落實黨(dang)的十八大(da)和(he)十八屆三(san)中(zhong)、四(si)中(zhong)、五中(zhong)全(quan)會(hui)精神,以(yi)鄧小平理(li)論(lun)、“三(san)個(ge)代表”重(zhong)要思想、科(ke)學發(fa)(fa)展(zhan)(zhan)觀為指導(dao),深入貫徹習近(jin)平總書(shu)記(ji)系列重(zhong)要講話和(he)考察內(nei)蒙(meng)古重(zhong)要講話精神,認真(zhen)貫徹自治區(qu)黨(dang)委、政(zheng)府全(quan)面深化改革(ge)決策部署,堅(jian)持和(he)完(wan)善(shan)(shan)基本經濟(ji)制度(du),堅(jian)持社會(hui)主(zhu)義市場經濟(ji)改革(ge)方(fang)向,以(yi)規范經營(ying)決策、資(zi)(zi)產保(bao)值增(zeng)值、公平參與競(jing)爭、提高企(qi)(qi)業效率、增(zeng)強(qiang)(qiang)企(qi)(qi)業活力、承擔社會(hui)責任為重(zhong)點,完(wan)善(shan)(shan)產權清晰、權責明確、政(zheng)企(qi)(qi)分(fen)開、管理(li)科(ke)學的現(xian)代企(qi)(qi)業制度(du),完(wan)善(shan)(shan)國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產監管體(ti)制,防止國(guo)(guo)(guo)有(you)(you)(you)資(zi)(zi)產流失,全(quan)面推進(jin)(jin)依法治企(qi)(qi),加強(qiang)(qiang)和(he)改進(jin)(jin)黨(dang)對國(guo)(guo)(guo)有(you)(you)(you)企(qi)(qi)業的領導(dao),做強(qiang)(qiang)做優做大(da)國(guo)(guo)(guo)有(you)(you)(you)企(qi)(qi)業,不(bu)斷增(zeng)強(qiang)(qiang)國(guo)(guo)(guo)有(you)(you)(you)經濟(ji)活力、影響力、抗風(feng)險能力,推動(dong)內(nei)蒙(meng)古自治區(qu)國(guo)(guo)(guo)有(you)(you)(you)經濟(ji)、國(guo)(guo)(guo)有(you)(you)(you)企(qi)(qi)業創(chuang)新(xin)發(fa)(fa)展(zhan)(zhan)、協調(diao)發(fa)(fa)展(zhan)(zhan)、綠色發(fa)(fa)展(zhan)(zhan)、開放(fang)發(fa)(fa)展(zhan)(zhan)、共享發(fa)(fa)展(zhan)(zhan),主(zhu)動(dong)適應和(he)引領經濟(ji)發(fa)(fa)展(zhan)(zhan)新(xin)常態,為建設(she)現(xian)代化內(nei)蒙(meng)古、打造祖國(guo)(guo)(guo)北疆(jiang)亮麗風(feng)景線作(zuo)出(chu)積極貢獻(xian)。

  3.基(ji)本原(yuan)則。深(shen)化國有(you)企(qi)業(ye)改革(ge),必須(xu)認真貫徹落實黨中(zhong)央、國務院關于(yu)深(shen)化國有(you)企(qi)業(ye)改革(ge)的一系列戰略決策(ce),把握好以下(xia)基(ji)本原(yuan)則:

  ——堅持和(he)完(wan)善基本(ben)經(jing)濟(ji)制度(du)。毫不動(dong)(dong)搖(yao)(yao)鞏固和(he)發(fa)展(zhan)公有(you)制經(jing)濟(ji),毫不動(dong)(dong)搖(yao)(yao)鼓勵、支持、引導非公有(you)制經(jing)濟(ji)發(fa)展(zhan)。促進國有(you)資(zi)本(ben)、集(ji)體資(zi)本(ben)、非公有(you)資(zi)本(ben)等相(xiang)互(hu)融(rong)合,積極探索、穩(wen)步發(fa)展(zhan)混(hun)合所有(you)制經(jing)濟(ji),推動(dong)(dong)各種(zhong)所有(you)制經(jing)濟(ji)取長(chang)補短、相(xiang)互(hu)促進、融(rong)合發(fa)展(zhan)。

  ——堅持(chi)社會主(zhu)義(yi)市場(chang)經(jing)(jing)濟改革方向(xiang)。牢牢把(ba)握使市場(chang)在(zai)資(zi)源配置中起決定性作用這條主(zhu)線,遵(zun)循市場(chang)經(jing)(jing)濟規律和(he)企(qi)(qi)業發(fa)展規律,堅持(chi)政企(qi)(qi)分(fen)開、政資(zi)分(fen)開、所有(you)權與經(jing)(jing)營權分(fen)離,堅持(chi)權利、義(yi)務(wu)、責(ze)任相(xiang)統一,堅持(chi)激勵機制和(he)約(yue)束機制相(xiang)結合(he),促使國有(you)企(qi)(qi)業真(zhen)正成(cheng)為依法自(zi)(zi)(zi)主(zhu)經(jing)(jing)營、自(zi)(zi)(zi)負盈虧、自(zi)(zi)(zi)擔風險、自(zi)(zi)(zi)我約(yue)束、自(zi)(zi)(zi)我發(fa)展的獨立市場(chang)主(zhu)體。

  ——堅持增(zeng)強(qiang)活(huo)(huo)力與強(qiang)化(hua)監管相(xiang)結(jie)合。繼續(xu)推進(jin)簡政(zheng)放權,依法落實企(qi)業法人財產(chan)(chan)權和經營自主權,進(jin)一(yi)步激發企(qi)業活(huo)(huo)力、創造力和市場競爭(zheng)力,健全完善國(guo)(guo)有企(qi)業監管制度(du),防止(zhi)國(guo)(guo)有資(zi)產(chan)(chan)流失,確保國(guo)(guo)有資(zi)產(chan)(chan)保值增(zeng)值。

  ——堅(jian)持黨對國(guo)有(you)企(qi)(qi)業的領導(dao)。貫徹全(quan)(quan)(quan)面從嚴(yan)治(zhi)黨方針,充分發(fa)揮企(qi)(qi)業黨組織的政(zheng)治(zhi)核心(xin)作(zuo)用,加強(qiang)企(qi)(qi)業領導(dao)班子和(he)人(ren)才(cai)隊(dui)伍建(jian)設(she),創新基層黨建(jian)工作(zuo),深入推進(jin)黨風廉(lian)政(zheng)建(jian)設(she),堅(jian)持全(quan)(quan)(quan)心(xin)全(quan)(quan)(quan)意依靠(kao)工人(ren)階級(ji),維(wei)護職工合法權益(yi),為國(guo)有(you)企(qi)(qi)業改革發(fa)展提供堅(jian)強(qiang)有(you)力的政(zheng)治(zhi)保(bao)證(zheng)、組織保(bao)證(zheng)和(he)人(ren)才(cai)支撐(cheng)。

  ——堅持積極穩妥統籌(chou)推(tui)進(jin)(jin)(jin)。正確(que)處(chu)理(li)推(tui)進(jin)(jin)(jin)改(gai)(gai)革(ge)和堅持法治(zhi)的關系,正確(que)處(chu)理(li)改(gai)(gai)革(ge)發展穩定關系,正確(que)處(chu)理(li)搞好頂層設計和尊重(zhong)基層首創精神的關系,突(tu)出問(wen)題導向,堅持分類推(tui)進(jin)(jin)(jin),把握好改(gai)(gai)革(ge)的次序、節(jie)奏和力度,確(que)保(bao)改(gai)(gai)革(ge)扎(zha)實推(tui)進(jin)(jin)(jin)、務求實效。

  4.主要目標。到2020年,在(zai)國(guo)有(you)企業改革重要領域和(he)(he)關鍵環節取得決定(ding)性成(cheng)果(guo),形成(cheng)更加符合(he)社會主義市(shi)(shi)場經濟發展要求的國(guo)有(you)資(zi)產管(guan)理體制(zhi)(zhi)和(he)(he)市(shi)(shi)場化經營(ying)機制(zhi)(zhi),國(guo)有(you)資(zi)本布局結(jie)構更趨合(he)理,國(guo)有(you)資(zi)本整體規(gui)模和(he)(he)實力顯著(zhu)增強,打造一批優強大企業集團。

  ——現(xian)代企(qi)業(ye)(ye)制度進一步(bu)完善。協調運(yun)轉、有效制衡的(de)法人治理結構更加健全(quan)(quan)(quan),董事會(hui)(hui)建(jian)設更加規范(fan),派駐監事會(hui)(hui)實現(xian)全(quan)(quan)(quan)覆蓋,職(zhi)業(ye)(ye)經理人制度全(quan)(quan)(quan)面推(tui)行,人力資源、勞動(dong)、分配制度和激(ji)勵約束(shu)市(shi)場化機制進一步(bu)健全(quan)(quan)(quan),企(qi)業(ye)(ye)的(de)經營發展活力明顯增強。

  ——國(guo)有資(zi)產監(jian)管(guan)體(ti)制更(geng)加科學有效。按(an)(an)照政(zheng)企分(fen)開(kai)、事企分(fen)開(kai)、政(zheng)資(zi)分(fen)開(kai)和所有權(quan)(quan)與(yu)經營權(quan)(quan)分(fen)離的原則,建(jian)成(cheng)權(quan)(quan)責明確、管(guan)理規范(fan)、統籌協(xie)調的經營性國(guo)有資(zi)產監(jian)管(guan)體(ti)系;按(an)(an)照以(yi)管(guan)資(zi)本(ben)為主的要(yao)求,不斷健全國(guo)有資(zi)本(ben)授權(quan)(quan)經營體(ti)制,改組(zu)若干服務(wu)于自(zi)治(zhi)區戰略目標的國(guo)有資(zi)本(ben)投(tou)資(zi)、運營公司。

  ——國(guo)(guo)有(you)(you)(you)資(zi)本(ben)配置(zhi)效率顯(xian)著(zhu)提高(gao)。國(guo)(guo)有(you)(you)(you)經(jing)濟布局進一步(bu)優化,國(guo)(guo)有(you)(you)(you)經(jing)濟結構更(geng)趨合(he)理,發展質量和競爭能(neng)(neng)力明顯(xian)提升(sheng);國(guo)(guo)有(you)(you)(you)企業在提升(sheng)自主創新能(neng)(neng)力、保(bao)護資(zi)源環境、加快轉型升(sheng)級、履行社會責任中的引領和表率作用充分發揮;80%以上(shang)的國(guo)(guo)有(you)(you)(you)資(zi)本(ben)集中在前瞻(zhan)性(xing)戰略性(xing)新興(xing)產(chan)業、支柱(zhu)產(chan)業、特色優勢產(chan)業和重要基礎設(she)施(shi)投(tou)資(zi)建設(she)領域;國(guo)(guo)有(you)(you)(you)骨干企業走出去(qu)參與國(guo)(guo)際產(chan)能(neng)(neng)合(he)作、開(kai)拓國(guo)(guo)際市場的能(neng)(neng)力明顯(xian)增強(qiang)。

  ——企(qi)業(ye)(ye)黨的建設全面加強。國有(you)企(qi)業(ye)(ye)黨組(zu)織在公司治(zhi)理中的政治(zhi)核(he)心作用充(chong)分發揮(hui),培養(yang)一批德才兼(jian)備、善于經(jing)營(ying)、充(chong)滿(man)活力的企(qi)業(ye)(ye)家人才隊伍;國有(you)企(qi)業(ye)(ye)反腐倡(chang)廉“兩個責任(ren)”全面落實(shi),反腐倡(chang)廉制度體系(xi)、工作體系(xi)更加完善。

  二、分類推進國(guo)有企業改革

  5.合理界(jie)(jie)定(ding)(ding)不同國有(you)企(qi)業功(gong)(gong)能。根據不同領域國有(you)資本的戰略定(ding)(ding)位(wei)和發展目標,結合自治區國有(you)企(qi)業現(xian)狀,將國有(you)企(qi)業分(fen)為公益(yi)類(lei)、特定(ding)(ding)功(gong)(gong)能類(lei)和商(shang)業競(jing)爭類(lei)。通(tong)過(guo)界(jie)(jie)定(ding)(ding)功(gong)(gong)能、劃分(fen)類(lei)別,實行分(fen)類(lei)改(gai)革、分(fen)類(lei)監管、分(fen)類(lei)定(ding)(ding)責、分(fen)類(lei)考核(he),提高改(gai)革的針對性(xing)、監管的有(you)效(xiao)性(xing)、考核(he)評價的科(ke)學(xue)性(xing),推動國有(you)企(qi)業與市場經濟(ji)深(shen)入(ru)融合。

  公益類(lei)(lei)國有企業(ye)的主(zhu)業(ye)主(zhu)要分(fen)布于供水、供氣、供熱(re)、公共(gong)(gong)交通、重要商品(pin)和(he)戰(zhan)略物資儲備等行業(ye)和(he)領(ling)域(yu)。這類(lei)(lei)企業(ye)以保障民生、服務社(she)會、提供公共(gong)(gong)產品(pin)和(he)服務為主(zhu)要目標,實(shi)現社(she)會效益最大化(hua)。

  特(te)定功能類(lei)(lei)國有企業(ye)(ye)的主業(ye)(ye)主要(yao)分布于文化、軍工、電網、鐵(tie)路、石油天然氣(qi)、電信、郵政、煙草、重(zhong)(zhong)大(da)基礎(chu)設施建設、重(zhong)(zhong)要(yao)礦(kuang)產資(zi)源開發、基礎(chu)共性(xing)技術研究等重(zhong)(zhong)要(yao)行業(ye)(ye)和關鍵領域,以(yi)及(ji)政府各(ge)類(lei)(lei)平臺公司(si)。這類(lei)(lei)企業(ye)(ye)以(yi)服(fu)務國家和自(zi)治區戰略(lve)、保障(zhang)國家安全和國民經(jing)(jing)濟運(yun)行、發展前瞻性(xing)戰略(lve)性(xing)產業(ye)(ye)以(yi)及(ji)完成特(te)殊任務為主要(yao)目標(biao),實(shi)現經(jing)(jing)濟效(xiao)(xiao)益與(yu)社會(hui)效(xiao)(xiao)益的有機(ji)統一。

  商業(ye)(ye)競(jing)爭類國有(you)(you)(you)企業(ye)(ye)主要分(fen)布于(yu)充(chong)分(fen)競(jing)爭行業(ye)(ye)和(he)領(ling)域(yu)。這(zhe)類企業(ye)(ye)以增強國有(you)(you)(you)經濟(ji)活(huo)力、放大(da)國有(you)(you)(you)資(zi)本功(gong)能、實現(xian)(xian)國有(you)(you)(you)資(zi)產保值增值為主要目(mu)標,兼顧社會(hui)效益,按(an)照(zhao)市場化(hua)要求(qiu)實行商業(ye)(ye)化(hua)經營,依法獨立自主開展生(sheng)產經營活(huo)動,實現(xian)(xian)優勝(sheng)劣汰(tai)、有(you)(you)(you)序進退(tui)。

  履行(xing)出資人職責的(de)機構要(yao)按照(zhao)誰出資誰分類的(de)原則,制(zhi)定所出資企(qi)業的(de)功能(neng)界定和分類方案,報本(ben)級政府批準。企(qi)業功能(neng)類別可根據實際情況進行(xing)動態調整。

  6.推(tui)進公(gong)益類(lei)國有(you)企(qi)業改(gai)革。加大(da)國有(you)資(zi)本(ben)投入(ru)(ru),優化(hua)公(gong)益性業務(wu)資(zi)源配置,引(yin)入(ru)(ru)市場(chang)機制(zhi),提高公(gong)共服(fu)務(wu)效率和(he)能力。具備(bei)條件的公(gong)益類(lei)國有(you)企(qi)業可(ke)(ke)以(yi)(yi)推(tui)行股(gu)權多(duo)元化(hua)改(gai)革,也可(ke)(ke)以(yi)(yi)通過購買服(fu)務(wu)、特許經營、委托代理等方式,鼓(gu)勵非(fei)國有(you)企(qi)業參與經營。加強對公(gong)益類(lei)國有(you)企(qi)業的產品(pin)和(he)服(fu)務(wu)質量、價格水平、運營成(cheng)本(ben)、安全(quan)生產、信息(xi)披露等方面的監管和(he)考核,考核中(zhong)要引(yin)入(ru)(ru)社會評價。

  29.完(wan)善國(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業(ye)(ye)改(gai)(gai)革(ge)(ge)各(ge)(ge)類(lei)配(pei)套(tao)政(zheng)(zheng)策(ce)措施。各(ge)(ge)地(di)(di)區(qu)各(ge)(ge)有(you)(you)(you)(you)關(guan)(guan)部門要研究制定(ding)相關(guan)(guan)配(pei)套(tao)政(zheng)(zheng)策(ce)措施,加(jia)大(da)對國(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業(ye)(ye)改(gai)(gai)革(ge)(ge)的(de)(de)(de)支持(chi)力度。落(luo)實以(yi)國(guo)(guo)有(you)(you)(you)(you)劃撥土(tu)地(di)(di)采用國(guo)(guo)家作(zuo)價(jia)(jia)(jia)入股的(de)(de)(de)方式支持(chi)企(qi)(qi)(qi)業(ye)(ye)發(fa)展(zhan)的(de)(de)(de)政(zheng)(zheng)策(ce),土(tu)地(di)(di)出(chu)讓價(jia)(jia)(jia)扣除(chu)補(bu)繳土(tu)地(di)(di)價(jia)(jia)(jia)款后的(de)(de)(de)剩余部分可(ke)用于增(zeng)加(jia)原企(qi)(qi)(qi)業(ye)(ye)的(de)(de)(de)國(guo)(guo)有(you)(you)(you)(you)資本金,補(bu)繳土(tu)地(di)(di)價(jia)(jia)(jia)款可(ke)返還企(qi)(qi)(qi)業(ye)(ye)用于安(an)置職工或解決國(guo)(guo)企(qi)(qi)(qi)改(gai)(gai)革(ge)(ge)其他(ta)遺留問題。設(she)立自治區(qu)國(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業(ye)(ye)改(gai)(gai)革(ge)(ge)重(zhong)(zhong)組(zu)專項基金,支持(chi)企(qi)(qi)(qi)業(ye)(ye)改(gai)(gai)革(ge)(ge)重(zhong)(zhong)組(zu)。研究完(wan)善支持(chi)國(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業(ye)(ye)改(gai)(gai)革(ge)(ge)重(zhong)(zhong)組(zu)上市的(de)(de)(de)財稅(shui)政(zheng)(zheng)策(ce),對涉(she)及(ji)(ji)的(de)(de)(de)資產(chan)(chan)評估增(zeng)值、債務(wu)重(zhong)(zhong)組(zu)收益、土(tu)地(di)(di)房屋權(quan)屬轉(zhuan)移等(deng)(deng),按(an)國(guo)(guo)家有(you)(you)(you)(you)關(guan)(guan)規定(ding)落(luo)實稅(shui)收優惠政(zheng)(zheng)策(ce)。健全公(gong)共服務(wu)體系,推進政(zheng)(zheng)府購(gou)買服務(wu),加(jia)快建立穩定(ding)可(ke)靠、補(bu)償(chang)合理(li)、公(gong)開(kai)(kai)透明(ming)的(de)(de)(de)國(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業(ye)(ye)公(gong)共服務(wu)支出(chu)補(bu)償(chang)機制。依法平(ping)等(deng)(deng)保(bao)護各(ge)(ge)類(lei)產(chan)(chan)權(quan),推動國(guo)(guo)有(you)(you)(you)(you)產(chan)(chan)權(quan)公(gong)開(kai)(kai)有(you)(you)(you)(you)序流轉(zhuan),將國(guo)(guo)有(you)(you)(you)(you)產(chan)(chan)權(quan)交易(yi)統一納(na)入公(gong)共資源交易(yi)平(ping)臺,保(bao)障所有(you)(you)(you)(you)市場主體的(de)(de)(de)平(ping)等(deng)(deng)法律地(di)(di)位和(he)發(fa)展(zhan)權(quan)利(li)。深化(hua)行政(zheng)(zheng)審批制度改(gai)(gai)革(ge)(ge),梳理(li)和(he)完(wan)善國(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業(ye)(ye)改(gai)(gai)革(ge)(ge)涉(she)及(ji)(ji)的(de)(de)(de)工商登記、財稅(shui)管理(li)、價(jia)(jia)(jia)格管理(li)、土(tu)地(di)(di)流轉(zhuan)、國(guo)(guo)資監管、金融證券等(deng)(deng)方面的(de)(de)(de)政(zheng)(zheng)策(ce)規定(ding),優化(hua)政(zheng)(zheng)策(ce)、簡化(hua)手續、提高效率,服務(wu)企(qi)(qi)(qi)業(ye)(ye)發(fa)展(zhan)。健全企(qi)(qi)(qi)業(ye)(ye)退出(chu)機制,完(wan)善國(guo)(guo)有(you)(you)(you)(you)企(qi)(qi)(qi)業(ye)(ye)退出(chu)的(de)(de)(de)相關(guan)(guan)配(pei)套(tao)政(zheng)(zheng)策(ce),妥善處理(li)人員(yuan)安(an)置、醫療和(he)養老保(bao)險接續以(yi)及(ji)(ji)其他(ta)相關(guan)(guan)問題。

  30.加快(kuai)剝離企(qi)(qi)業(ye)(ye)(ye)辦(ban)社會職能(neng)和(he)(he)解決(jue)(jue)歷史(shi)(shi)遺(yi)(yi)(yi)留(liu)(liu)問題(ti)。落實(shi)國(guo)家關于推動解決(jue)(jue)國(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)改(gai)革(ge)遺(yi)(yi)(yi)留(liu)(liu)問題(ti)的(de)政(zheng)策(ce)要求,研(yan)究制(zhi)定(ding)自治區國(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)剝離辦(ban)社會職能(neng)和(he)(he)解決(jue)(jue)歷史(shi)(shi)遺(yi)(yi)(yi)留(liu)(liu)問題(ti)實(shi)施(shi)(shi)方案,完善配套政(zheng)策(ce),以企(qi)(qi)業(ye)(ye)(ye)為主體(ti),維護職工(gong)合(he)法權益,推進國(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)辦(ban)醫院、幼教、社區等公共服(fu)務機構的(de)分離移交(jiao),逐步落實(shi)國(guo)有(you)企(qi)(qi)業(ye)(ye)(ye)退休職工(gong)社會化管理等政(zheng)策(ce)措施(shi)(shi)。新改(gai)組混合(he)所有(you)制(zhi)企(qi)(qi)業(ye)(ye)(ye)必須妥(tuo)(tuo)善解決(jue)(jue)好歷史(shi)(shi)包袱,研(yan)究解決(jue)(jue)涉及職工(gong)切身利益的(de)實(shi)際(ji)問題(ti),妥(tuo)(tuo)善安置(zhi)轉崗(gang)職工(gong)。

  31.強(qiang)(qiang)化國(guo)(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)改(gai)(gai)革(ge)(ge)的(de)組織落實。自治(zhi)區成立(li)國(guo)(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)改(gai)(gai)革(ge)(ge)領(ling)導(dao)小組,負責(ze)全區國(guo)(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)改(gai)(gai)革(ge)(ge)工作(zuo)的(de)協調指導(dao)。領(ling)導(dao)小組辦(ban)公室設在(zai)自治(zhi)區國(guo)(guo)(guo)資委,承擔領(ling)導(dao)小組的(de)日(ri)常工作(zuo)。各(ge)級黨委、政府要切實履行(xing)對深化國(guo)(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)改(gai)(gai)革(ge)(ge)的(de)領(ling)導(dao)責(ze)任,加強(qiang)(qiang)統(tong)籌協調、明確責(ze)任分工,大膽探索,試點先行(xing),積極(ji)(ji)穩妥推(tui)進國(guo)(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)改(gai)(gai)革(ge)(ge)。將國(guo)(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)改(gai)(gai)革(ge)(ge)創(chuang)新工作(zuo)納入績效考(kao)核,作(zuo)為職務晉(jin)升(sheng)和獎勵的(de)重要依據。注重輿論宣傳(chuan)引導(dao),凝聚改(gai)(gai)革(ge)(ge)共(gong)識,調動各(ge)方面的(de)積極(ji)(ji)性,加強(qiang)(qiang)新聞發布,營造支持改(gai)(gai)革(ge)(ge)的(de)良(liang)好(hao)氛圍(wei)。建立(li)改(gai)(gai)革(ge)(ge)容錯(cuo)機(ji)制,鼓勵國(guo)(guo)(guo)有(you)企(qi)(qi)業(ye)(ye)在(zai)法治(zhi)框架內開展改(gai)(gai)革(ge)(ge)探索。

  各盟市(shi)要依照(zhao)《中(zhong)(zhong)共中(zhong)(zhong)央、國務院關于深化國有企業改革的(de)指導(dao)意(yi)見(jian)》和本實施(shi)意(yi)見(jian)精神,結(jie)合(he)實際(ji)制定實施(shi)意(yi)見(jian)和配套政策措(cuo)施(shi)。
