為推(tui)動監(jian)管(guan)企(qi)業國有(you)資(zi)本授權經(jing)營體(ti)制改革(ge),進一步促進監(jian)管(guan)企(qi)業董事(shi)會(hui)規(gui)范運轉,加強董事(shi)會(hui)建設,貴州國資(zi)委積極開展監(jian)管(guan)企(qi)業董事(shi)會(hui)運行評(ping)估工作,組織董事(shi)會(hui)運行評(ping)估小組對茅(mao)臺集團、黔晟公司等8戶獨資(zi)企(qi)業董事(shi)會(hui)運行情況(kuang)進行了評(ping)估,為完(wan)善(shan)監(jian)管(guan)企(qi)業治(zhi)理結構、健全現(xian)代企(qi)業制度及開展授權經(jing)營試點奠(dian)定堅實(shi)基(ji)礎。
一是全面構建董事會運行評估指標體系。在借鑒國(guo)(guo)(guo)(guo)內(nei)外董(dong)事(shi)(shi)會(hui)運(yun)(yun)行(xing)(xing)評(ping)(ping)估(gu)(gu)經驗的(de)(de)基礎上,結(jie)合(he)我國(guo)(guo)(guo)(guo)法(fa)(fa)律、法(fa)(fa)規、制度(du)等環境因素以及(ji)我委(wei)監(jian)管(guan)企(qi)業(ye)(ye)(ye)(ye)治(zhi)理實際狀況,從可(ke)操作(zuo)、可(ke)考(kao)核印證等角度(du)設計了(le)《貴州(zhou)國(guo)(guo)(guo)(guo)資(zi)(zi)委(wei)監(jian)管(guan)企(qi)業(ye)(ye)(ye)(ye)董(dong)事(shi)(shi)會(hui)運(yun)(yun)行(xing)(xing)評(ping)(ping)估(gu)(gu)要(yao)點》,著重從董(dong)事(shi)(shi)會(hui)體(ti)(ti)系健全、運(yun)(yun)行(xing)(xing)規范(fan)、運(yun)(yun)行(xing)(xing)效率(lv)與效果、董(dong)事(shi)(shi)會(hui)成員履(lv)職盡責等4個(ge)維度(du)初(chu)步(bu)構建了(le)貴州(zhou)國(guo)(guo)(guo)(guo)資(zi)(zi)委(wei)監(jian)管(guan)企(qi)業(ye)(ye)(ye)(ye)董(dong)事(shi)(shi)會(hui)運(yun)(yun)行(xing)(xing)評(ping)(ping)估(gu)(gu)指標體(ti)(ti)系,作(zuo)為茅臺集團、黔晟公司等8戶企(qi)業(ye)(ye)(ye)(ye)董(dong)事(shi)(shi)會(hui)運(yun)(yun)行(xing)(xing)評(ping)(ping)估(gu)(gu)打分(fen)標準(zhun),研(yan)究制定了(le)《監(jian)管(guan)企(qi)業(ye)(ye)(ye)(ye)董(dong)事(shi)(shi)會(hui)運(yun)(yun)行(xing)(xing)評(ping)(ping)估(gu)(gu)評(ping)(ping)級辦(ban)法(fa)(fa)》,對(dui)照《貴州(zhou)國(guo)(guo)(guo)(guo)資(zi)(zi)委(wei)監(jian)管(guan)企(qi)業(ye)(ye)(ye)(ye)董(dong)事(shi)(shi)會(hui)運(yun)(yun)行(xing)(xing)評(ping)(ping)估(gu)(gu)要(yao)點》的(de)(de)得分(fen)和綜合(he)評(ping)(ping)價(jia),初(chu)步(bu)將8戶獨資(zi)(zi)企(qi)業(ye)(ye)(ye)(ye)董(dong)事(shi)(shi)會(hui)運(yun)(yun)行(xing)(xing)狀況評(ping)(ping)定為A、B、C三(san)個(ge)等級。
二是科學設計董事會運行評估操作流程。根據(ju)工(gong)作(zuo)需(xu)要,將此次董(dong)事會(hui)(hui)(hui)(hui)運行(xing)評(ping)(ping)(ping)估(gu)(gu)(gu)工(gong)作(zuo)設計為五個步驟。第一步,實(shi)(shi)地查(cha)看。評(ping)(ping)(ping)估(gu)(gu)(gu)小組到8戶獨資(zi)企(qi)業采取(qu)聽取(qu)匯報(bao)、查(cha)閱資(zi)料、個別訪談、收集(ji)資(zi)料等(deng)方式對(dui)其董(dong)事會(hui)(hui)(hui)(hui)運行(xing)情況進行(xing)了實(shi)(shi)地評(ping)(ping)(ping)估(gu)(gu)(gu)。第二步,綜(zong)合(he)(he)評(ping)(ping)(ping)分。評(ping)(ping)(ping)估(gu)(gu)(gu)小組根據(ju)綜(zong)合(he)(he)評(ping)(ping)(ping)估(gu)(gu)(gu)情況進行(xing)初步打(da)分。第三步,集(ji)體(ti)(ti)討論。召開了3次委(wei)機關有關處(chu)室參加(jia)的(de)專(zhuan)門評(ping)(ping)(ping)估(gu)(gu)(gu)會(hui)(hui)(hui)(hui)議,分別對(dui)每戶企(qi)業董(dong)事會(hui)(hui)(hui)(hui)運行(xing)評(ping)(ping)(ping)估(gu)(gu)(gu)初步結果(guo)(guo)進行(xing)集(ji)體(ti)(ti)討論。第四(si)步,評(ping)(ping)(ping)估(gu)(gu)(gu)評(ping)(ping)(ping)級。將企(qi)業董(dong)事會(hui)(hui)(hui)(hui)運行(xing)評(ping)(ping)(ping)估(gu)(gu)(gu)結果(guo)(guo)報(bao)貴州國資(zi)委(wei)主(zhu)任(ren)辦公會(hui)(hui)(hui)(hui)議研究。最后一步,反饋意見。將8戶獨資(zi)企(qi)業董(dong)事會(hui)(hui)(hui)(hui)運行(xing)實(shi)(shi)際情況反饋給被評(ping)(ping)(ping)估(gu)(gu)(gu)企(qi)業董(dong)事會(hui)(hui)(hui)(hui),針(zhen)對(dui)評(ping)(ping)(ping)估(gu)(gu)(gu)工(gong)作(zuo)中發現的(de)問題,提出了加(jia)強和改(gai)進董(dong)事會(hui)(hui)(hui)(hui)建設的(de)建議和意見。
三是充分運用董事會運行評估成果。將(jiang)充分發揮董(dong)(dong)事會(hui)運行評估對監(jian)管(guan)企(qi)業董(dong)(dong)事會(hui)領導班子及(ji)董(dong)(dong)事個人(ren)導向作用。一(yi)是將(jiang)董(dong)(dong)事會(hui)運行評估結果作為對董(dong)(dong)事考核、聘任的(de)重要參考依據(ju)(ju)。二是根(gen)據(ju)(ju)本次(ci)董(dong)(dong)事會(hui)運行評估結果,由貴州國資委法(fa)規處、領管(guan)處等處室牽頭研(yan)(yan)究,提(ti)出對相(xiang)(xiang)關(guan)企(qi)業董(dong)(dong)事會(hui)進行授(shou)權(quan)經營(ying)的(de)辦法(fa)并開展授(shou)權(quan)經營(ying)試點。三是將(jiang)本次(ci)董(dong)(dong)事會(hui)運行評估結果的(de)意見和(he)建議(yi)反(fan)饋給相(xiang)(xiang)關(guan)企(qi)業,促其改進提(ti)高。四是研(yan)(yan)究提(ti)出加強和(he)改進監(jian)管(guan)企(qi)業董(dong)(dong)事會(hui)建設的(de)意見印發企(qi)業。
