廣西國資委部署2015年監事會重點工作

  近期(qi),廣西國(guo)資(zi)(zi)委召開(kai)專題會議研(yan)究部(bu)署了2015年監(jian)(jian)事(shi)會重點工(gong)作(zuo)。要求監(jian)(jian)事(shi)會要認(ren)真貫徹落(luo)實黨的十八(ba)大(da)、十八(ba)屆三(san)中(zhong)、四中(zhong)全(quan)會和(he)中(zhong)央(yang)經(jing)濟工(gong)作(zuo)會議、廣西經(jing)濟工(gong)作(zuo)會議及(ji)國(guo)資(zi)(zi)監(jian)(jian)管(guan)工(gong)作(zuo)會議精神,將監(jian)(jian)事(shi)會工(gong)作(zuo)緊密結合和(he)深(shen)入融(rong)合到廣西國(guo)資(zi)(zi)國(guo)企(qi)(qi)改革發展的總體目標任務中(zhong),著重從完善企(qi)(qi)業(ye)監(jian)(jian)督制衡機制,增(zeng)強監(jian)(jian)督實效、強化當期(qi)監(jian)(jian)督、加大(da)成果運用、改進(jin)工(gong)作(zuo)方法、加強隊伍建(jian)設等6個方面下功夫,不斷(duan)深(shen)化監(jian)(jian)管(guan)協同和(he)監(jian)(jian)管(guan)聯動,進(jin)一步增(zeng)強監(jian)(jian)事(shi)會監(jian)(jian)督的時效性(xing)、權威性(xing)、有效性(xing)和(he)靈敏性(xing),促進(jin)監(jian)(jian)管(guan)企(qi)(qi)業(ye)平穩健康發展。

  一是推進(jin)(jin)企(qi)業(ye)(ye)內部(bu)監(jian)(jian)事會建(jian)設,加速構建(jian)“大監(jian)(jian)督、全(quan)覆蓋”工(gong)作(zuo)(zuo)體(ti)系(xi)。認真(zhen)抓好(hao)《廣西國資委關于加強(qiang)企(qi)業(ye)(ye)內部(bu)監(jian)(jian)事會制(zhi)(zhi)度建(jian)設的(de)(de)指導意見》的(de)(de)落(luo)實(shi)(shi)(shi)。建(jian)立健全(quan)企(qi)業(ye)(ye)內部(bu)監(jian)(jian)督體(ti)系(xi),建(jian)立完善工(gong)作(zuo)(zuo)制(zhi)(zhi)度,理順監(jian)(jian)督體(ti)制(zhi)(zhi)機制(zhi)(zhi),落(luo)實(shi)(shi)(shi)監(jian)(jian)督職權(quan),規(gui)范監(jian)(jian)督行為。做實(shi)(shi)(shi)子(zi)企(qi)業(ye)(ye)監(jian)(jian)事會工(gong)作(zuo)(zuo),著力推動(dong)建(jian)立子(zi)企(qi)業(ye)(ye)重(zhong)大事項報告制(zhi)(zhi)度,探(tan)索建(jian)立母子(zi)公(gong)司(si)監(jian)(jian)事會工(gong)作(zuo)(zuo)聯動(dong)機制(zhi)(zhi),落(luo)實(shi)(shi)(shi)集(ji)團公(gong)司(si)對重(zhong)要(yao)(yao)子(zi)企(qi)業(ye)(ye)經(jing)營管(guan)理的(de)(de)知情(qing)權(quan)和監(jian)(jian)督權(quan)。通過推進(jin)(jin)監(jian)(jian)事會制(zhi)(zhi)度在監(jian)(jian)管(guan)企(qi)業(ye)(ye)內部(bu)的(de)(de)全(quan)面實(shi)(shi)(shi)施,將(jiang)各(ge)級(ji)國有資產置(zhi)于各(ge)級(ji)監(jian)(jian)事會的(de)(de)監(jian)(jian)督之內,發揮監(jian)(jian)事會在國有企(qi)業(ye)(ye)公(gong)司(si)法人治(zhi)理結構中的(de)(de)重(zhong)要(yao)(yao)作(zuo)(zuo)用。

  二是(shi)聚焦監(jian)(jian)督(du)內容,增強監(jian)(jian)督(du)檢(jian)查的針對性(xing)和(he)有(you)效性(xing)。以“問(wen)題和(he)風(feng)(feng)(feng)險”為導向,加強對企業(ye)(ye)“三重一大”決(jue)策(ce)程序(xu)、企業(ye)(ye)風(feng)(feng)(feng)險管控制度、企業(ye)(ye)負責(ze)人履職(zhi)行(xing)為的監(jian)(jian)督(du),加大對企業(ye)(ye)經(jing)營運行(xing)信息分析和(he)重點(dian)經(jing)營風(feng)(feng)(feng)險的預(yu)測預(yu)警力度,密切關注各項改革舉措(cuo)對企業(ye)(ye)的影(ying)響,跟蹤研判主要(yao)業(ye)(ye)務(wu)風(feng)(feng)(feng)險點(dian)的演變(bian),重點(dian)跟蹤企業(ye)(ye)非(fei)主業(ye)(ye)投資、委貸(dai)、擔保、融(rong)資性(xing)貿易、金融(rong)衍(yan)生(sheng)品、房地產領域等業(ye)(ye)務(wu)以及混(hun)合所有(you)制企業(ye)(ye)管理(li)運營的風(feng)(feng)(feng)險防(fang)范(fan),不(bu)斷(duan)增強監(jian)(jian)督(du)檢(jian)查的針對性(xing)和(he)有(you)效性(xing)。

  三是(shi)做(zuo)深做(zuo)實(shi)(shi)做(zuo)細當期監(jian)(jian)(jian)(jian)督(du)(du),提(ti)高監(jian)(jian)(jian)(jian)督(du)(du)檢查的(de)質量水平。充分發揮(hui)監(jian)(jian)(jian)(jian)事會實(shi)(shi)時(shi)動態監(jian)(jian)(jian)(jian)督(du)(du)、現場監(jian)(jian)(jian)(jian)督(du)(du)優勢(shi),進一(yi)步強化日常監(jian)(jian)(jian)(jian)督(du)(du)檢查工作(zuo)。切(qie)實(shi)(shi)發揮(hui)重(zhong)點(dian)(dian)(dian)聯系人作(zuo)用,增強日常監(jian)(jian)(jian)(jian)督(du)(du)的(de)敏(min)感性。及(ji)時(shi)歸集企業(ye)重(zhong)要情況(kuang),圍(wei)繞問(wen)(wen)題線索延伸開(kai)展追蹤調查。圍(wei)繞出資人重(zhong)點(dian)(dian)(dian)關(guan)注事項(xiang)以(yi)(yi)及(ji)行(xing)業(ye)企業(ye)共(gong)性、熱點(dian)(dian)(dian)問(wen)(wen)題,統一(yi)組織制定(ding)年度專(zhuan)(zhuan)項(xiang)檢查計(ji)劃,深入(ru)務實(shi)(shi)開(kai)展專(zhuan)(zhuan)項(xiang)檢查。針對重(zhong)點(dian)(dian)(dian)企業(ye)、重(zhong)點(dian)(dian)(dian)業(ye)務、關(guan)鍵環節(jie)以(yi)(yi)及(ji)可能(neng)存在(zai)的(de)問(wen)(wen)題和風險(xian)源(yuan)點(dian)(dian)(dian),認真組織開(kai)展專(zhuan)(zhuan)項(xiang)審計(ji),以(yi)(yi)“深”、“實(shi)(shi)”、“準”、“效”為目標,不(bu)斷(duan)提(ti)升專(zhuan)(zhuan)項(xiang)審計(ji)質量。

  四是立(li)足(zu)整改落(luo)實(shi),強化監(jian)(jian)(jian)督(du)(du)(du)檢(jian)查(cha)(cha)成(cheng)(cheng)果(guo)(guo)的(de)(de)充分(fen)運用(yong)(yong)。進(jin)一步建立(li)健全(quan)監(jian)(jian)(jian)事會監(jian)(jian)(jian)督(du)(du)(du)檢(jian)查(cha)(cha)成(cheng)(cheng)果(guo)(guo)的(de)(de)運用(yong)(yong)機(ji)制,規(gui)范(fan)完(wan)(wan)善“監(jian)(jian)(jian)事會發(fa)現問(wen)題(ti)、報告問(wen)題(ti)、指導和(he)督(du)(du)(du)促整改,國資委研究批示、加強管(guan)(guan)理(li)、督(du)(du)(du)查(cha)(cha)督(du)(du)(du)辦,企(qi)業(ye)整改落(luo)實(shi)、反饋(kui)結果(guo)(guo)”的(de)(de)監(jian)(jian)(jian)督(du)(du)(du)檢(jian)查(cha)(cha)成(cheng)(cheng)果(guo)(guo)運用(yong)(yong)工(gong)(gong)作(zuo)(zuo)閉(bi)環。不斷(duan)提升報告的(de)(de)質(zhi)量和(he)水平,確保報告的(de)(de)時(shi)效性(xing)、信息性(xing)、客觀(guan)性(xing)和(he)嚴謹性(xing)。繼續(xu)強化監(jian)(jian)(jian)督(du)(du)(du)成(cheng)(cheng)果(guo)(guo)在(zai)委內(nei)的(de)(de)運用(yong)(yong),不斷(duan)深化監(jian)(jian)(jian)事會與委機(ji)關處(chu)室的(de)(de)監(jian)(jian)(jian)管(guan)(guan)協同和(he)監(jian)(jian)(jian)管(guan)(guan)聯動(dong)(dong),共同指導督(du)(du)(du)促企(qi)業(ye)開展(zhan)整改落(luo)實(shi)。著力推動(dong)(dong)監(jian)(jian)(jian)事會監(jian)(jian)(jian)督(du)(du)(du)成(cheng)(cheng)果(guo)(guo)在(zai)企(qi)業(ye)的(de)(de)運用(yong)(yong),繼續(xu)完(wan)(wan)善企(qi)業(ye)整改后評價和(he)績效考評掛鉤(gou)工(gong)(gong)作(zuo)(zuo),將監(jian)(jian)(jian)督(du)(du)(du)成(cheng)(cheng)果(guo)(guo)實(shi)實(shi)在(zai)在(zai)地(di)轉化為促進(jin)企(qi)業(ye)規(gui)范(fan)管(guan)(guan)理(li)、防范(fan)風險(xian)、健康發(fa)展(zhan)的(de)(de)工(gong)(gong)作(zuo)(zuo)實(shi)效。

  五是適應新形(xing)勢新常態(tai),不斷(duan)加強(qiang)和(he)(he)改(gai)進(jin)(jin)監(jian)(jian)(jian)事(shi)會工(gong)作(zuo)(zuo)(zuo)(zuo)。在(zai)廣(guang)西全面深(shen)化(hua)(hua)國(guo)(guo)(guo)(guo)資(zi)國(guo)(guo)(guo)(guo)企改(gai)革,大力推進(jin)(jin)政企分開、實施(shi)分類(lei)監(jian)(jian)(jian)管(guan)和(he)(he)委托(tuo)監(jian)(jian)(jian)管(guan)、發展混合所有制經濟、推動監(jian)(jian)(jian)管(guan)企業(ye)內外部資(zi)源整(zheng)合重組、健全完(wan)(wan)善現(xian)代企業(ye)制度(du)的(de)新形(xing)勢、新任務、新要求(qiu)下,進(jin)(jin)一步改(gai)進(jin)(jin)、完(wan)(wan)善、深(shen)化(hua)(hua)和(he)(he)加強(qiang)監(jian)(jian)(jian)事(shi)會工(gong)作(zuo)(zuo)(zuo)(zuo)。創(chuang)新監(jian)(jian)(jian)督(du)(du)模式、方式和(he)(he)手段,探(tan)索(suo)差異(yi)化(hua)(hua)監(jian)(jian)(jian)督(du)(du)的(de)方式方法,健全差異(yi)化(hua)(hua)監(jian)(jian)(jian)督(du)(du)的(de)權(quan)力運行制約和(he)(he)監(jian)(jian)(jian)督(du)(du)體系,進(jin)(jin)一步規范完(wan)(wan)善“兩個融(rong)入”工(gong)作(zuo)(zuo)(zuo)(zuo)內容,加快構(gou)建“全覆蓋、大監(jian)(jian)(jian)督(du)(du)”工(gong)作(zuo)(zuo)(zuo)(zuo)格局(ju)。強(qiang)化(hua)(hua)當期(qi)監(jian)(jian)(jian)督(du)(du),努(nu)力使(shi)監(jian)(jian)(jian)事(shi)會工(gong)作(zuo)(zuo)(zuo)(zuo)在(zai)國(guo)(guo)(guo)(guo)資(zi)監(jian)(jian)(jian)管(guan)和(he)(he)國(guo)(guo)(guo)(guo)有企業(ye)改(gai)革發展中更有作(zuo)(zuo)(zuo)(zuo)為。

  六是(shi)加(jia)強學(xue)習培訓,提升隊伍能力素質。加(jia)大(da)各監(jian)事會(hui)之間(jian)(jian)、與子企(qi)業監(jian)事會(hui)之間(jian)(jian)、與外省監(jian)事會(hui)之間(jian)(jian)的(de)業務交流(liu),學(xue)習借鑒,取長補短。拓寬培訓渠道,改進培訓方(fang)式,有針(zhen)對性地組織開展(zhan)培訓活動,提高培訓效(xiao)果。圍繞深化改革(ge)的(de)新形勢、新任務、新要求,加(jia)強監(jian)督實踐中的(de)熱點難點問題(ti)組織開展(zhan)專題(ti)研究,結合典型(xing)案例開展(zhan)研討交流(liu),進一步(bu)提升監(jian)事會(hui)履(lv)職水平。
