為(wei)提升所出資(zi)企(qi)(qi)業(ye)(ye)董事(shi)會(hui)(hui)決策能力和(he)管理水平、更好(hao)推(tui)動(dong)企(qi)(qi)業(ye)(ye)改革發展(zhan),廈(sha)(sha)門國(guo)(guo)資(zi)委于(yu)2014年(nian)7-8月召開廈(sha)(sha)門建發集(ji)(ji)團(tuan)(tuan)、路(lu)橋(qiao)集(ji)(ji)團(tuan)(tuan)、輕(qing)工(gong)集(ji)(ji)團(tuan)(tuan)、住宅集(ji)(ji)團(tuan)(tuan)、特房集(ji)(ji)團(tuan)(tuan)和(he)象嶼(yu)集(ji)(ji)團(tuan)(tuan)等6家企(qi)(qi)業(ye)(ye)董事(shi)會(hui)(hui)年(nian)度工(gong)作(zuo)報(bao)告(gao)專(zhuan)題會(hui)(hui)議。會(hui)(hui)上,各企(qi)(qi)業(ye)(ye)董事(shi)長報(bao)告(gao)了(le)2013年(nian)度主要工(gong)作(zuo)并對(dui)今后工(gong)作(zuo)進行(xing)謀(mou)劃,廈(sha)(sha)門國(guo)(guo)資(zi)委主任(ren)林杰(jie)和(he)各企(qi)(qi)業(ye)(ye)監事(shi)會(hui)(hui)主席(xi)對(dui)企(qi)(qi)業(ye)(ye)董事(shi)會(hui)(hui)年(nian)度工(gong)作(zuo)作(zuo)出評(ping)價,黃(huang)世忠、沈永貴、洪(hong)永裕等9位(wei)專(zhuan)家從第三方視角對(dui)企(qi)(qi)業(ye)(ye)董事(shi)會(hui)(hui)工(gong)作(zuo)提出建設(she)性意見。董事(shi)會(hui)(hui)年(nian)度工(gong)作(zuo)報(bao)告(gao)制度是廈(sha)(sha)門國(guo)(guo)資(zi)委在全省首創,加(jia)快了(le)國(guo)(guo)資(zi)國(guo)(guo)企(qi)(qi)改革的步伐(fa)、推(tui)動(dong)了(le)企(qi)(qi)業(ye)(ye)持續健康穩定發展(zhan),取得了(le)以(yi)下四項成效:
一(yi)、明確(que)了(le)(le)國(guo)資(zi)(zi)(zi)委(wei)(wei)(wei)(wei)與董(dong)事(shi)(shi)會的(de)(de)(de)職(zhi)能定(ding)位。圍(wei)繞黨的(de)(de)(de)十(shi)八(ba)屆三中全(quan)會提出(chu)以(yi)管資(zi)(zi)(zi)本(ben)為主的(de)(de)(de)國(guo)有(you)(you)(you)資(zi)(zi)(zi)產監管模式,廈門國(guo)資(zi)(zi)(zi)委(wei)(wei)(wei)(wei)強化了(le)(le)積(ji)極股東的(de)(de)(de)角色。根據《公司法(fa)》、《國(guo)有(you)(you)(you)資(zi)(zi)(zi)產法(fa)》等法(fa)規制度的(de)(de)(de)規定(ding),國(guo)資(zi)(zi)(zi)委(wei)(wei)(wei)(wei)受(shou)政(zheng)府委(wei)(wei)(wei)(wei)托、代表政(zheng)府履行(xing)企(qi)業(ye)國(guo)有(you)(you)(you)資(zi)(zi)(zi)本(ben)出(chu)資(zi)(zi)(zi)人(ren)的(de)(de)(de)職(zhi)責;國(guo)有(you)(you)(you)企(qi)業(ye)董(dong)事(shi)(shi)會受(shou)國(guo)資(zi)(zi)(zi)委(wei)(wei)(wei)(wei)的(de)(de)(de)委(wei)(wei)(wei)(wei)托行(xing)使國(guo)有(you)(you)(you)股東權利(li),并(bing)對(dui)廈門國(guo)資(zi)(zi)(zi)委(wei)(wei)(wei)(wei)負責。通過董(dong)事(shi)(shi)會年度工作(zuo)報(bao)(bao)告這(zhe)一(yi)形式,企(qi)業(ye)董(dong)事(shi)(shi)會每年向出(chu)資(zi)(zi)(zi)人(ren)報(bao)(bao)告工作(zuo)并(bing)接(jie)受(shou)質詢,清晰確(que)立了(le)(le)國(guo)資(zi)(zi)(zi)委(wei)(wei)(wei)(wei)國(guo)有(you)(you)(you)資(zi)(zi)(zi)本(ben)出(chu)資(zi)(zi)(zi)人(ren)的(de)(de)(de)職(zhi)責,也促進(jin)了(le)(le)企(qi)業(ye)董(dong)事(shi)(shi)會職(zhi)能作(zuo)用的(de)(de)(de)發揮。
二、有(you)力推(tui)(tui)動(dong)了(le)國(guo)(guo)企(qi)深化(hua)改革轉(zhuan)(zhuan)型(xing)發(fa)(fa)(fa)展。根據董事會年度工作報(bao)告專(zhuan)題會議提出的各(ge)集團加快企(qi)業(ye)(ye)轉(zhuan)(zhuan)型(xing)升級、積(ji)極(ji)發(fa)(fa)(fa)展混合經(jing)濟新(xin)(xin)模式(shi)的意(yi)見,各(ge)國(guo)(guo)有(you)企(qi)業(ye)(ye)進(jin)行了(le)商業(ye)(ye)模式(shi)、經(jing)營模式(shi)、管理模式(shi)和(he)盈(ying)利模式(shi)的創新(xin)(xin)。廈門(men)建(jian)發(fa)(fa)(fa)股份的供應鏈運營業(ye)(ye)務舉辦了(le)創新(xin)(xin)專(zhuan)題研(yan)討(tao)會,投(tou)資(zi)打造和(he)著(zhu)力推(tui)(tui)廣廈門(men)建(jian)發(fa)(fa)(fa)汽車有(you)限(xian)公司(si)“福建(jian)皮(pi)皮(pi)車電子商務”;建(jian)發(fa)(fa)(fa)集團研(yan)討(tao)設立一(yi)家涉(she)及互聯網應用、文化(hua)創意(yi)、節能環(huan)保等(deng)國(guo)(guo)家鼓勵的戰略性新(xin)(xin)興產(chan)業(ye)(ye)投(tou)資(zi)項目(mu)(mu)的新(xin)(xin)興產(chan)業(ye)(ye)投(tou)資(zi)公司(si);住宅集團進(jin)一(yi)步深化(hua)資(zi)產(chan)資(zi)本化(hua)、資(zi)本證券化(hua)、物業(ye)(ye)管理延伸增值服務的探索,并通過意(yi)向(xiang)項目(mu)(mu)開(kai)(kai)展養老地(di)產(chan)、旅游地(di)產(chan)等(deng)多(duo)元化(hua)地(di)產(chan)開(kai)(kai)發(fa)(fa)(fa)的前期研(yan)究,積(ji)極(ji)穩妥延伸產(chan)業(ye)(ye)鏈布局。
三、有力(li)推(tui)動國企(qi)法人治(zhi)理結(jie)構的進(jin)一步(bu)完(wan)(wan)(wan)善(shan)(shan)。為(wei)形成職責明確、有效制(zhi)衡的公司法人治(zhi)理結(jie)構,6家集團(tuan)根據廈門國資委、監事(shi)會和(he)(he)(he)專家組的建議和(he)(he)(he)評價意見,繼續推(tui)動完(wan)(wan)(wan)善(shan)(shan)董(dong)(dong)(dong)事(shi)會建設(she):積(ji)極探索解(jie)決“董(dong)(dong)(dong)事(shi)會與經理班子重合度(du)較高,決策權和(he)(he)(he)執(zhi)行權重疊(die)現(xian)象(xiang)較為(wei)普遍”等(deng)問(wen)題,優化完(wan)(wan)(wan)善(shan)(shan)董(dong)(dong)(dong)事(shi)會內部(bu)(bu)結(jie)構;按照《公司法》和(he)(he)(he)《公司章程》規定逐步(bu)配(pei)齊董(dong)(dong)(dong)事(shi)席位,進(jin)一步(bu)完(wan)(wan)(wan)善(shan)(shan)董(dong)(dong)(dong)事(shi)會組織(zhi)建設(she);加強董(dong)(dong)(dong)事(shi)會各專門委員會的建設(she),探索引入外部(bu)(bu)董(dong)(dong)(dong)事(shi),提高董(dong)(dong)(dong)事(shi)會決策能力(li)和(he)(he)(he)水平。
四、強化(hua)了企業(ye)(ye)風(feng)(feng)(feng)險(xian)管(guan)(guan)(guan)控(kong)機制(zhi)。董事(shi)(shi)會(hui)年度工(gong)作報(bao)告專題會(hui)議對(dui)企業(ye)(ye)的(de)(de)風(feng)(feng)(feng)險(xian)管(guan)(guan)(guan)控(kong)情況進(jin)行了“會(hui)診”、“把(ba)脈”。企業(ye)(ye)董事(shi)(shi)會(hui)對(dui)集團及(ji)下(xia)屬(shu)企業(ye)(ye)的(de)(de)風(feng)(feng)(feng)險(xian)承(cheng)擔責(ze)任負有監控(kong)職責(ze)。但是目前各(ge)企業(ye)(ye)的(de)(de)全(quan)(quan)面風(feng)(feng)(feng)險(xian)管(guan)(guan)(guan)理(li)尚未(wei)完(wan)全(quan)(quan)嵌入董事(shi)(shi)會(hui)為(wei)核心的(de)(de)公司(si)治理(li)和(he)(he)(he)集團管(guan)(guan)(guan)控(kong)。會(hui)議建議董事(shi)(shi)會(hui)居安(an)思危、未(wei)雨綢繆,進(jin)一步健全(quan)(quan)完(wan)善風(feng)(feng)(feng)險(xian)管(guan)(guan)(guan)控(kong)體系(xi)。根據會(hui)議提(ti)出(chu)的(de)(de)評價意見(jian),6家(jia)企業(ye)(ye)對(dui)自身存在的(de)(de)風(feng)(feng)(feng)險(xian)管(guan)(guan)(guan)控(kong)問題認真(zhen)分(fen)析(xi)總結,明確將盡快設(she)立(li)風(feng)(feng)(feng)險(xian)管(guan)(guan)(guan)理(li)委員會(hui),由(you)其協助董事(shi)(shi)會(hui)進(jin)行風(feng)(feng)(feng)險(xian)管(guan)(guan)(guan)控(kong)并向(xiang)董事(shi)(shi)會(hui)報(bao)告;試點(dian)進(jin)行風(feng)(feng)(feng)險(xian)管(guan)(guan)(guan)理(li)報(bao)告制(zhi)度,要(yao)求下(xia)屬(shu)企業(ye)(ye)和(he)(he)(he)主要(yao)業(ye)(ye)務板塊定(ding)期向(xiang)董事(shi)(shi)會(hui)提(ti)交風(feng)(feng)(feng)險(xian)管(guan)(guan)(guan)理(li)報(bao)告,董事(shi)(shi)會(hui)定(ding)期聽取和(he)(he)(he)審議風(feng)(feng)(feng)險(xian)管(guan)(guan)(guan)理(li)報(bao)告;嘗試將關鍵(jian)風(feng)(feng)(feng)險(xian)指標(KRI)納入績效評價,切實提(ti)高企業(ye)(ye)風(feng)(feng)(feng)險(xian)控(kong)制(zhi)水平。
