山西省印發關于深化國資國企改革的實施意見

    山西省(sheng)(sheng)印發《山西省(sheng)(sheng)人民政府關于深化國資(zi)國企改革的實施意見》,全文(wen)如(ru)下:

  為貫(guan)徹落實黨(dang)的(de)(de)十(shi)八(ba)(ba)大、十(shi)八(ba)(ba)屆三(san)中全會精神,進(jin)一(yi)步深化(hua)國資國企改革,根(gen)據省委《關于深入貫(guan)徹黨(dang)的(de)(de)十(shi)八(ba)(ba)屆三(san)中全會精神加快推(tui)進(jin)轉(zhuan)型綜改試驗區建設的(de)(de)若干意見》(晉發〔2014〕3號(hao)),提出(chu)以下實施(shi)意見。

  一、指導思想和總體要求

  (一)指導思(si)想。

  堅持(chi)以鄧小平理論(lun)、“三個代表(biao)”重要(yao)思想和(he)科學發(fa)(fa)展觀為指導,深入貫徹落實黨的十(shi)八大、十(shi)八屆三中(zhong)全會精神,堅持(chi)基本經(jing)(jing)濟(ji)(ji)制(zhi)度,堅持(chi)市場化改革方向(xiang),堅持(chi)政(zheng)企分開(kai)、政(zheng)資分開(kai)、所(suo)有(you)(you)權(quan)(quan)與經(jing)(jing)營權(quan)(quan)相分離原(yuan)則,解放(fang)思想,擴大開(kai)放(fang),完善國有(you)(you)資產管理體制(zhi),推動(dong)(dong)國有(you)(you)企業(ye)完善現代企業(ye)制(zhi)度,進(jin)一步做強做大國有(you)(you)企業(ye),增(zeng)強國有(you)(you)經(jing)(jing)濟(ji)(ji)活力(li)、控制(zhi)力(li)和(he)影響(xiang)力(li),積極(ji)發(fa)(fa)展混合(he)所(suo)有(you)(you)制(zhi)經(jing)(jing)濟(ji)(ji),促進(jin)國有(you)(you)經(jing)(jing)濟(ji)(ji)與其他所(suo)有(you)(you)制(zhi)經(jing)(jing)濟(ji)(ji)共同發(fa)(fa)展,為推動(dong)(dong)轉型綜改試驗(yan)區建(jian)設、實現山西(xi)全面(mian)建(jian)成(cheng)小康社會目標作(zuo)出積極(ji)貢(gong)獻。

  (二(er))總體要(yao)求。

  公(gong)(gong)有(you)制(zhi)(zhi)實(shi)現形式進一步豐(feng)富。全(quan)面完(wan)成國有(you)企(qi)業公(gong)(gong)司制(zhi)(zhi)改革(ge),深化股(gu)份制(zhi)(zhi)改革(ge),具(ju)備條件(jian)的國有(you)企(qi)業實(shi)現整體(ti)上市(shi)或核心業務資(zi)產上市(shi),提高國有(you)資(zi)本證(zheng)券化水平(ping)。積極發展混合(he)所有(you)制(zhi)(zhi)經(jing)濟,引入非公(gong)(gong)有(you)制(zhi)(zhi)經(jing)濟參與國有(you)企(qi)業改制(zhi)(zhi)重組,實(shi)現投(tou)資(zi)主(zhu)體(ti)多元(yuan)化。

  現代(dai)企(qi)(qi)(qi)業(ye)(ye)制(zhi)度(du)(du)進(jin)一步完善。加(jia)強產權(quan)代(dai)表管理(li),健全(quan)協(xie)調運轉(zhuan)、有效(xiao)制(zhi)衡的(de)公(gong)(gong)司法人治理(li)結構。探索(suo)建(jian)立職業(ye)(ye)經理(li)人制(zhi)度(du)(du)。建(jian)立更加(jia)適應市場經濟(ji)的(de)企(qi)(qi)(qi)業(ye)(ye)人事、勞(lao)動(dong)和(he)分(fen)配制(zhi)度(du)(du),完善激勵和(he)約束機(ji)制(zhi)。建(jian)立完善國有企(qi)(qi)(qi)業(ye)(ye)信(xin)息(xi)公(gong)(gong)開制(zhi)度(du)(du)。積(ji)極履(lv)行社會責任,樹立良好(hao)的(de)企(qi)(qi)(qi)業(ye)(ye)形象。

  國(guo)有資產(chan)管(guan)(guan)理體制進一(yi)步(bu)健全。以管(guan)(guan)資本(ben)為主加強(qiang)(qiang)國(guo)有資產(chan)監管(guan)(guan)。推進經(jing)營性(xing)國(guo)有資產(chan)集中統一(yi)監管(guan)(guan)。建立分(fen)類加強(qiang)(qiang)監管(guan)(guan)、分(fen)類調整結(jie)(jie)構、分(fen)類實施(shi)考核的制度體系(xi)并逐(zhu)步(bu)組織實施(shi)。將(jiang)優化國(guo)有資本(ben)配置和創新監管(guan)(guan)方式、完善監管(guan)(guan)體系(xi)相結(jie)(jie)合,提高監管(guan)(guan)的科學性(xing)和有效性(xing)。

  二、主要內容和重(zhong)點任務

  (三(san))深化產(chan)權改(gai)革(ge)(ge),激發(fa)體制(zhi)機制(zhi)活力。進一步(bu)鞏固完善國(guo)有(you)(you)(you)企(qi)業(ye)(ye)(ye)股權多(duo)元化改(gai)革(ge)(ge)工作,按(an)照總體設計(ji)、適時啟動、試點先行的工作原(yuan)則,推(tui)進國(guo)有(you)(you)(you)企(qi)業(ye)(ye)(ye)股權多(duo)元化改(gai)革(ge)(ge),優化國(guo)有(you)(you)(you)企(qi)業(ye)(ye)(ye)股權結(jie)構。積極創造條(tiao)件(jian)推(tui)動國(guo)有(you)(you)(you)企(qi)業(ye)(ye)(ye)特(te)別是競爭性領域企(qi)業(ye)(ye)(ye)整(zheng)體上市(shi)或核心業(ye)(ye)(ye)務(wu)資產(chan)上市(shi)。

  (四(si))吸(xi)收多(duo)種資(zi)本,發展混(hun)合所(suo)有(you)制企(qi)業(ye)。鼓勵各類(lei)投(tou)資(zi)主體通過多(duo)種形式參與國(guo)(guo)有(you)企(qi)業(ye)改制重組(zu)或國(guo)(guo)有(you)控股(gu)(gu)(gu)上(shang)市公司(si)增發股(gu)(gu)(gu)票(piao)。除國(guo)(guo)家規定的領(ling)域外,國(guo)(guo)有(you)企(qi)業(ye)資(zi)本投(tou)資(zi)項(xiang)目可(ke)吸(xi)收一定比例非(fei)國(guo)(guo)有(you)股(gu)(gu)(gu)份,國(guo)(guo)有(you)企(qi)業(ye)在競爭性領(ling)域新上(shang)項(xiang)目允許非(fei)國(guo)(guo)有(you)資(zi)本控股(gu)(gu)(gu)。積(ji)極引入股(gu)(gu)(gu)權投(tou)資(zi)基金(jin)參與國(guo)(guo)有(you)企(qi)業(ye)改制上(shang)市、重組(zu)整合,構建(jian)開放型經濟體系。探索混(hun)合所(suo)有(you)制企(qi)業(ye)員工持股(gu)(gu)(gu)。

  (五)完善法人治理(li)(li)(li)結構(gou),實現權(quan)(quan)力有(you)效(xiao)制(zhi)衡(heng)。建(jian)立(li)(li)健全股東(大)會、董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)會、監(jian)事(shi)(shi)(shi)(shi)(shi)會、經(jing)理(li)(li)(li)層(ceng)(ceng)相互獨立(li)(li)、各(ge)司(si)其(qi)職(zhi)的(de)(de)責任(ren)制(zhi)體系,形成協(xie)調運轉、有(you)效(xiao)制(zhi)衡(heng)的(de)(de)決策、執(zhi)行(xing)、監(jian)督機(ji)制(zhi)。全面(mian)加(jia)強(qiang)出資(zi)人對產權(quan)(quan)代表(biao)的(de)(de)委派與(yu)管(guan)(guan)理(li)(li)(li)。積(ji)極推(tui)進國(guo)有(you)獨資(zi)公司(si)、國(guo)有(you)控股公司(si)規范(fan)董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)會建(jian)設,探索建(jian)立(li)(li)外部董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)制(zhi)度(du),董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)會成員主要以股東董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)、外部董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)和職(zhi)工董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)構(gou)成。加(jia)強(qiang)董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)會和董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)的(de)(de)任(ren)期考核(he)評價(jia)工作(zuo)。對董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)會運作(zuo)規范(fan)、制(zhi)度(du)健全、權(quan)(quan)責明確(que)等條件具(ju)備的(de)(de)企(qi)業,逐步(bu)將經(jing)理(li)(li)(li)層(ceng)(ceng)選(xuan)聘、考核(he)評價(jia)、薪酬管(guan)(guan)理(li)(li)(li)等權(quan)(quan)力交由(you)董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)會負責管(guan)(guan)理(li)(li)(li)。深(shen)化對經(jing)理(li)(li)(li)層(ceng)(ceng)選(xuan)任(ren)及(ji)管(guan)(guan)理(li)(li)(li)機(ji)制(zhi)改革,合(he)理(li)(li)(li)增加(jia)市場化選(xuan)聘比例,形成經(jing)理(li)(li)(li)層(ceng)(ceng)產生(sheng)以市場化選(xuan)聘為主導和任(ren)期制(zhi)契約化管(guan)(guan)理(li)(li)(li)的(de)(de)運行(xing)機(ji)制(zhi),逐步(bu)推(tui)行(xing)職(zhi)業經(jing)理(li)(li)(li)人制(zhi)度(du)。根據企(qi)業規模大小(xiao)、行(xing)業類別和實際情況(kuang),合(he)理(li)(li)(li)確(que)定并從嚴掌握企(qi)業領(ling)導班(ban)子職(zhi)數(shu)。健全對董(dong)(dong)事(shi)(shi)(shi)(shi)(shi)會、經(jing)理(li)(li)(li)層(ceng)(ceng)等機(ji)構(gou)及(ji)相關人員的(de)(de)責任(ren)追究機(ji)制(zhi)。充(chong)分發揮監(jian)事(shi)(shi)(shi)(shi)(shi)會的(de)(de)監(jian)督作(zuo)用(yong)。

  (六)深化(hua)企(qi)(qi)業(ye)(ye)內(nei)部(bu)改(gai)(gai)革,完善激(ji)(ji)勵約束(shu)機(ji)制。進一(yi)步(bu)深化(hua)國有企(qi)(qi)業(ye)(ye)內(nei)部(bu)管理(li)(li)(li)(li)人(ren)(ren)員能上能下、員工(gong)能進能出、收(shou)(shou)入能增能減(jian)的(de)制度改(gai)(gai)革。切實(shi)簡政放(fang)權,優化(hua)政務環境,落實(shi)企(qi)(qi)業(ye)(ye)自(zi)(zi)定編制、自(zi)(zi)主用(yong)工(gong)、自(zi)(zi)主分(fen)配(pei)等(deng)權利。合(he)(he)理(li)(li)(li)(li)確(que)定并(bing)嚴格規范管理(li)(li)(li)(li)人(ren)(ren)員薪(xin)酬水平(ping)、職(zhi)務待(dai)遇、職(zhi)務消(xiao)費、業(ye)(ye)務消(xiao)費。根據國有企(qi)(qi)業(ye)(ye)功能定位、法人(ren)(ren)治理(li)(li)(li)(li)結(jie)構完善程度以及(ji)領導人(ren)(ren)員選任(ren)方(fang)式等(deng),進一(yi)步(bu)改(gai)(gai)革完善國有企(qi)(qi)業(ye)(ye)領導人(ren)(ren)員薪(xin)酬分(fen)配(pei)制度,探索授權董(dong)事(shi)會通過(guo)市場(chang)化(hua)機(ji)制確(que)定經(jing)理(li)(li)(li)(li)層薪(xin)酬,使企(qi)(qi)業(ye)(ye)經(jing)營(ying)管理(li)(li)(li)(li)人(ren)(ren)員薪(xin)酬與經(jing)營(ying)管理(li)(li)(li)(li)績效、風(feng)險和責任(ren)緊密(mi)結(jie)合(he)(he),與分(fen)類管理(li)(li)(li)(li)相適(shi)應,與選任(ren)方(fang)式相匹配(pei),體(ti)現管理(li)(li)(li)(li)要素參與收(shou)(shou)益(yi)分(fen)配(pei)。積(ji)極推進企(qi)(qi)業(ye)(ye)管理(li)(li)(li)(li)人(ren)(ren)員任(ren)期及(ji)中長(chang)期激(ji)(ji)勵。進一(yi)步(bu)完善企(qi)(qi)業(ye)(ye)職(zhi)工(gong)工(gong)資(zi)集體(ti)協商(shang)機(ji)制。

  (七)加強管(guan)理創新(xin)(xin)(xin),提(ti)(ti)高經(jing)濟運(yun)(yun)行(xing)質量。利用市場(chang)(chang)倒逼機(ji)制(zhi),深化(hua)對標管(guan)理,借(jie)鑒世界(jie)一流企(qi)業的(de)(de)管(guan)理經(jing)驗(yan),完善安全(quan)生產(chan)(chan)、科研開發、項(xiang)目(mu)建(jian)設等方面(mian)的(de)(de)基礎管(guan)理制(zhi)度,構建(jian)適應(ying)市場(chang)(chang)經(jing)濟發展要(yao)求的(de)(de)管(guan)理創新(xin)(xin)(xin)動力機(ji)制(zhi)、運(yun)(yun)行(xing)機(ji)制(zhi)、考核評(ping)價機(ji)制(zhi)和成果(guo)轉化(hua)機(ji)制(zhi),提(ti)(ti)升企(qi)業規范(fan)化(hua)、集約化(hua)、精細化(hua)管(guan)理水平(ping)。創新(xin)(xin)(xin)商(shang)業模式(shi),發揮信息(xi)化(hua)在(zai)管(guan)理模式(shi)創新(xin)(xin)(xin)和業態轉型中的(de)(de)重(zhong)要(yao)作用,提(ti)(ti)高資源配置能力,推進產(chan)(chan)業升級,轉變發展方式(shi),增強企(qi)業核心競爭力和抗風險(xian)能力。

  (八)推行信(xin)(xin)(xin)息(xi)(xi)公(gong)(gong)開(kai),提升國企(qi)(qi)透明程度(du)(du)。建立更(geng)加公(gong)(gong)開(kai)透明的(de)國有企(qi)(qi)業(ye)(ye)信(xin)(xin)(xin)息(xi)(xi)公(gong)(gong)開(kai)制度(du)(du),借鑒上(shang)市公(gong)(gong)司管(guan)理(li)模式(shi),建立企(qi)(qi)業(ye)(ye)真(zhen)實(shi)、準確、及時披露相關信(xin)(xin)(xin)息(xi)(xi)的(de)制度(du)(du)體(ti)(ti)系(xi)。各(ge)國有企(qi)(qi)業(ye)(ye)是(shi)信(xin)(xin)(xin)息(xi)(xi)公(gong)(gong)開(kai)的(de)主體(ti)(ti),公(gong)(gong)開(kai)的(de)主要內(nei)容是(shi)企(qi)(qi)業(ye)(ye)財(cai)務(wu)狀況、經營成果、重大投(tou)資、人員招聘、薪酬水平、職務(wu)消(xiao)費、業(ye)(ye)務(wu)消(xiao)費等重大事(shi)項,在同級主要新聞媒(mei)體(ti)(ti)按季(ji)度(du)(du)、半年(nian)度(du)(du)和年(nian)度(du)(du)公(gong)(gong)開(kai),主動接受(shou)社會公(gong)(gong)眾(zhong)監督。

  (九)加(jia)強(qiang)黨(dang)(dang)的(de)(de)(de)領導,發揮(hui)政(zheng)治(zhi)(zhi)核(he)心(xin)作(zuo)用(yong)。發揮(hui)黨(dang)(dang)組(zu)(zu)織(zhi)在(zai)深化(hua)企(qi)業(ye)改革(ge)中的(de)(de)(de)把關定向、動員群眾、服(fu)務群眾、促進和諧等方(fang)面的(de)(de)(de)作(zuo)用(yong),確保各項改革(ge)措(cuo)施的(de)(de)(de)平穩推進。按照參與決策(ce)、帶頭執行、有(you)效(xiao)(xiao)監(jian)督的(de)(de)(de)要求,建(jian)(jian)立健全企(qi)業(ye)黨(dang)(dang)組(zu)(zu)織(zhi)在(zai)現(xian)代(dai)企(qi)業(ye)制(zhi)(zhi)度下充分發揮(hui)政(zheng)治(zhi)(zhi)核(he)心(xin)作(zuo)用(yong)的(de)(de)(de)體(ti)(ti)制(zhi)(zhi)機(ji)(ji)制(zhi)(zhi)。堅持把黨(dang)(dang)管干部原則與董事會(hui)依法選擇經營管理者以(yi)及經營管理者依法行使用(yong)人權(quan)相(xiang)結合,探索黨(dang)(dang)組(zu)(zu)織(zhi)在(zai)企(qi)業(ye)選人用(yong)人中發揮(hui)作(zuo)用(yong)的(de)(de)(de)有(you)效(xiao)(xiao)途徑。充分發揮(hui)工會(hui)、共青(qing)團等群團組(zu)(zu)織(zhi)的(de)(de)(de)作(zuo)用(yong),完善職(zhi)工代(dai)表大會(hui)等職(zhi)工民(min)主管理制(zhi)(zhi)度。落實黨(dang)(dang)風廉(lian)政(zheng)建(jian)(jian)設責任制(zhi)(zhi),加(jia)強(qiang)國有(you)企(qi)業(ye)反腐敗體(ti)(ti)制(zhi)(zhi)機(ji)(ji)制(zhi)(zhi)創新,健全反腐倡廉(lian)和改進作(zuo)風常態化(hua)制(zhi)(zhi)度,完善懲治(zhi)(zhi)和預(yu)防腐敗體(ti)(ti)系(xi),形成(cheng)與企(qi)業(ye)制(zhi)(zhi)度相(xiang)適應的(de)(de)(de)權(quan)力(li)運行制(zhi)(zhi)約和監(jian)督體(ti)(ti)系(xi)。

  (十(shi))研(yan)究界定功(gong)(gong)能(neng),探索(suo)國企分(fen)類(lei)監管。突出企業(ye)市(shi)場屬性(xing),兼顧(gu)股權結構(gou)、產業(ye)特征、發(fa)展(zhan)階(jie)段不同,探索(suo)國有企業(ye)根(gen)據不同功(gong)(gong)能(neng)定位,實行(xing)分(fen)類(lei)監管,推(tui)動國有企業(ye)實現經濟效(xiao)益和社會(hui)效(xiao)益的有機統(tong)一、均衡發(fa)展(zhan)。

  (十一)成立投資(zi)(zi)(zi)(zi)(zi)(運營(ying))公(gong)司(si)(si),提升資(zi)(zi)(zi)(zi)(zi)本(ben)運營(ying)效率。以(yi)管(guan)資(zi)(zi)(zi)(zi)(zi)本(ben)為主加強(qiang)國有(you)資(zi)(zi)(zi)(zi)(zi)產(chan)監管(guan),形成具有(you)不同功(gong)能(neng)(neng)的國有(you)資(zi)(zi)(zi)(zi)(zi)本(ben)投資(zi)(zi)(zi)(zi)(zi)運營(ying)主體。選擇(ze)主業(ye)明確(que)、治理結(jie)構較為完善、科(ke)技創新能(neng)(neng)力和核心競(jing)爭力較強(qiang)、風險管(guan)控機制健全的企業(ye)有(you)序改組(zu)為國有(you)資(zi)(zi)(zi)(zi)(zi)本(ben)投資(zi)(zi)(zi)(zi)(zi)公(gong)司(si)(si),強(qiang)化產(chan)業(ye)聚集和資(zi)(zi)(zi)(zi)(zi)源(yuan)整(zheng)合(he)。以(yi)經營(ying)國有(you)資(zi)(zi)(zi)(zi)(zi)本(ben)為主要功(gong)能(neng)(neng),有(you)序組(zu)建國有(you)資(zi)(zi)(zi)(zi)(zi)本(ben)運營(ying)公(gong)司(si)(si)。推進國有(you)資(zi)(zi)(zi)(zi)(zi)本(ben)在一般競(jing)爭性(xing)領域(yu)的合(he)理流(liu)動(dong)與有(you)序進退(tui),提高國有(you)資(zi)(zi)(zi)(zi)(zi)本(ben)配置(zhi)效率。

  (十二)優化國(guo)資(zi)(zi)監(jian)(jian)管方(fang)式(shi),健全國(guo)資(zi)(zi)監(jian)(jian)督(du)(du)體(ti)系。將(jiang)國(guo)資(zi)(zi)監(jian)(jian)管要(yao)求具(ju)體(ti)體(ti)現在(zai)公司章(zhang)程(cheng)中,使(shi)公司章(zhang)程(cheng)真正成為在(zai)法律法規規范下(xia)行使(shi)出資(zi)(zi)人權利的(de)重(zhong)要(yao)手段(duan)和基本(ben)依(yi)據。完(wan)善經營業(ye)(ye)績(ji)考(kao)(kao)核(he)體(ti)系,探索不同類別、不同行業(ye)(ye)、不同性質(zhi)企(qi)業(ye)(ye)的(de)考(kao)(kao)核(he)模式(shi),提高考(kao)(kao)核(he)工作的(de)導向性和針對性。加強財會、審計、紀(ji)檢監(jian)(jian)察(cha)、監(jian)(jian)事會監(jian)(jian)督(du)(du)的(de)有效協同,形成監(jian)(jian)督(du)(du)合力。

  (十三)推動統(tong)一監(jian)(jian)管(guan),實現監(jian)(jian)管(guan)全(quan)(quan)面覆(fu)蓋。適時(shi)推進山西省企(qi)(qi)(qi)業(ye)國有(you)資(zi)產(chan)(chan)(chan)監(jian)(jian)督管(guan)理(li)條(tiao)例(li)的(de)制訂出(chu)臺,健(jian)全(quan)(quan)國有(you)資(zi)產(chan)(chan)(chan)監(jian)(jian)管(guan)法規體(ti)系(xi),完善國有(you)資(zi)產(chan)(chan)(chan)基礎管(guan)理(li)制度(du)。充(chong)分(fen)發(fa)揮各級國資(zi)委的(de)專業(ye)化監(jian)(jian)管(guan)優勢(shi),推動經營(ying)性(xing)國有(you)資(zi)產(chan)(chan)(chan)集中統(tong)一監(jian)(jian)管(guan),繼續深化脫鉤(gou)改(gai)革工作,建立我(wo)省經營(ying)性(xing)國有(you)資(zi)產(chan)(chan)(chan)監(jian)(jian)管(guan)全(quan)(quan)覆(fu)蓋體(ti)系(xi)。政(zheng)企(qi)(qi)(qi)脫鉤(gou)后的(de)企(qi)(qi)(qi)業(ye)、事業(ye)單位(wei)改(gai)革轉制形成的(de)企(qi)(qi)(qi)業(ye)、以(yi)及新組建的(de)國有(you)企(qi)(qi)(qi)業(ye)要逐步(bu)納入國資(zi)監(jian)(jian)管(guan)體(ti)系(xi)。

  (十四)加強(qiang)指導監督,完(wan)善(shan)國資委機(ji)構和職能。按照《中華人民共和國企(qi)業(ye)國有資產(chan)(chan)法(fa)》、《企(qi)業(ye)國有資產(chan)(chan)監督管(guan)理暫行條例》的(de)(de)(de)規定,健(jian)全完(wan)善(shan)省、市(shi)國有資產(chan)(chan)監管(guan)機(ji)構,依法(fa)明確其作為(wei)本(ben)(ben)級政府國有資產(chan)(chan)出(chu)資人代(dai)表的(de)(de)(de)定位和直屬特設機(ji)構的(de)(de)(de)性質。明確市(shi)、縣(xian)級國有資產(chan)(chan)監管(guan)責任(ren)主體。指導各市(shi)、縣(xian)準確把握國資國企(qi)改革的(de)(de)(de)部署要求,進一步突出(chu)機(ji)構的(de)(de)(de)專業(ye)性和獨立性。改革完(wan)善(shan)國有資本(ben)(ben)授(shou)權經營體制。

  (十五(wu))加強資(zi)(zi)(zi)本(ben)(ben)預算管理,探索收(shou)益(yi)共(gong)享機(ji)制。完(wan)善國(guo)(guo)有資(zi)(zi)(zi)本(ben)(ben)經營預算制度,逐步提高國(guo)(guo)有資(zi)(zi)(zi)本(ben)(ben)收(shou)益(yi)上繳比例,合理分配(pei)和(he)(he)使用國(guo)(guo)有資(zi)(zi)(zi)本(ben)(ben)收(shou)益(yi),統籌考慮國(guo)(guo)有資(zi)(zi)(zi)本(ben)(ben)收(shou)益(yi)再(zai)投資(zi)(zi)(zi)和(he)(he)民生關系。進一步發(fa)揮(hui)國(guo)(guo)有資(zi)(zi)(zi)本(ben)(ben)經營預算在(zai)推進改革發(fa)展、布局結構調整、科技進步和(he)(he)轉型升(sheng)級(ji)中的引領作用。建立和(he)(he)完(wan)善國(guo)(guo)有資(zi)(zi)(zi)本(ben)(ben)收(shou)益(yi)的共(gong)享機(ji)制,在(zai)國(guo)(guo)有資(zi)(zi)(zi)本(ben)(ben)收(shou)益(yi)中確(que)定(ding)一定(ding)比例直接用于(yu)民生支出。

  (十六)持續(xu)深(shen)化(hua)改革(ge),完善國資監(jian)管體(ti)(ti)系。推(tui)動國有重要骨干企(qi)業(ye)進行股(gu)份制改造,發展(zhan)混(hun)合所有制經濟,推(tui)行資源資產(chan)化(hua)、資產(chan)資本(ben)(ben)化(hua)、資本(ben)(ben)證券化(hua)改革(ge)工作(zuo)。到(dao)2020年(nian),建立(li)完善科學(xue)的(de)現代企(qi)業(ye)制度(du),培育真(zhen)正(zheng)的(de)市場競爭主體(ti)(ti)。形(xing)成覆蓋全面、監(jian)管到(dao)位、權責明確、科學(xue)發展(zhan)的(de)國有資產(chan)監(jian)管格局(ju)。

  三、保障(zhang)措施

  (十七)成立工(gong)作(zuo)機構,加(jia)強組(zu)(zu)(zu)織(zhi)領導(dao)(dao)。成立山西省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)深化省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)屬國(guo)(guo)(guo)(guo)有(you)(you)企(qi)(qi)業(ye)改(gai)革工(gong)作(zuo)領導(dao)(dao)小組(zu)(zu)(zu)(以下簡稱領導(dao)(dao)小組(zu)(zu)(zu)),組(zu)(zu)(zu)長(chang)由省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)長(chang)擔(dan)任(ren)(ren),副(fu)組(zu)(zu)(zu)長(chang)由常務副(fu)省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)長(chang)、分管(guan)工(gong)業(ye)的副(fu)省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)長(chang)擔(dan)任(ren)(ren),領導(dao)(dao)小組(zu)(zu)(zu)成員由省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)政府辦(ban)(ban)公廳、省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)委(wei)(wei)(wei)組(zu)(zu)(zu)織(zhi)部、省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)編辦(ban)(ban)、省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)發(fa)展改(gai)革委(wei)(wei)(wei)、省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)經信(xin)委(wei)(wei)(wei)、省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)財(cai)政廳、省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)人(ren)力資源(yuan)社會保障廳、省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)國(guo)(guo)(guo)(guo)土資源(yuan)廳、省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)國(guo)(guo)(guo)(guo)資委(wei)(wei)(wei)、省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)國(guo)(guo)(guo)(guo)稅局、省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)地稅局、省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)工(gong)商局、省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)總(zong)工(gong)會等(deng)相(xiang)關部門主要負(fu)責人(ren)組(zu)(zu)(zu)成。領導(dao)(dao)小組(zu)(zu)(zu)辦(ban)(ban)公室設(she)在(zai)省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)國(guo)(guo)(guo)(guo)資委(wei)(wei)(wei),省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)國(guo)(guo)(guo)(guo)資委(wei)(wei)(wei)主任(ren)(ren)兼任(ren)(ren)辦(ban)(ban)公室主任(ren)(ren)。領導(dao)(dao)小組(zu)(zu)(zu)統一組(zu)(zu)(zu)織(zhi)領導(dao)(dao)省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)屬國(guo)(guo)(guo)(guo)有(you)(you)企(qi)(qi)業(ye)改(gai)革工(gong)作(zuo),負(fu)責協(xie)調解決省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)屬國(guo)(guo)(guo)(guo)有(you)(you)企(qi)(qi)業(ye)改(gai)革中(zhong)的重大問(wen)題,制定(ding)政策措施(shi)。領導(dao)(dao)小組(zu)(zu)(zu)辦(ban)(ban)公室負(fu)責省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)屬國(guo)(guo)(guo)(guo)有(you)(you)企(qi)(qi)業(ye)改(gai)革的日常工(gong)作(zuo),及(ji)時(shi)研(yan)究改(gai)革中(zhong)存在(zai)的問(wen)題,指(zhi)導(dao)(dao)、審定(ding)和批復省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)屬國(guo)(guo)(guo)(guo)有(you)(you)企(qi)(qi)業(ye)改(gai)革方案,協(xie)調相(xiang)關部門落實(shi)(shi)改(gai)革措施(shi)。各成員單位要高度重視,加(jia)強配(pei)合,密切(qie)協(xie)作(zuo),把支持(chi)深化國(guo)(guo)(guo)(guo)有(you)(you)企(qi)(qi)業(ye)改(gai)革列入重要議(yi)事日程(cheng),切(qie)實(shi)(shi)推動省(sheng)(sheng)(sheng)(sheng)(sheng)(sheng)屬國(guo)(guo)(guo)(guo)有(you)(you)企(qi)(qi)業(ye)的改(gai)革。

  (十(shi)八)優(you)化政(zheng)(zheng)策環(huan)境,形成國企改革合力。切實轉變(bian)政(zheng)(zheng)府(fu)職能,最(zui)大限度(du)減少行政(zheng)(zheng)審批,優(you)化制度(du)、簡(jian)化手(shou)續、提高效率。梳理完(wan)善國有(you)企業(ye)改革涉(she)及的(de)工商登記(ji)、財(cai)稅管(guan)理、土(tu)地變(bian)更、勞(lao)動保障(zhang)、國資監管(guan)、證券(quan)監管(guan)等方面的(de)政(zheng)(zheng)策規定,優(you)化政(zheng)(zheng)策環(huan)境。各級政(zheng)(zheng)府(fu)及有(you)關(guan)部門要加快政(zheng)(zheng)府(fu)職能轉變(bian),建設服務型政(zheng)(zheng)府(fu),以綜改試驗的(de)理念,提供優(you)惠政(zheng)(zheng)策,解決企業(ye)實際困難(nan),以政(zheng)(zheng)策動力激(ji)發(fa)發(fa)展活力,為國有(you)企業(ye)改革發(fa)展創造良好環(huan)境。

  (十九)制定政策措施,盡快解決遺留問題。依法合規、用好用活國有企業改革專項資金,研究制定有關政策措施,多渠道籌措資金,加大國有資本經營預算用于解決國有企業歷史遺留問題的力度。注重政策銜接,研究解決職工關心的實際問題,妥善安置轉崗職工,做好職工技能培訓和再就業工作,確保企業和社會穩定。
