山(shan)西省(sheng)(sheng)印發《山(shan)西省(sheng)(sheng)人民政(zheng)府關于深(shen)化國資國企改革的(de)實施意(yi)見》,全文如下:
為貫徹(che)落實(shi)黨的(de)十(shi)八大、十(shi)八屆(jie)三中全會精神,進一步深(shen)化(hua)國資國企改(gai)革,根(gen)據省(sheng)委《關于(yu)深(shen)入貫徹(che)黨的(de)十(shi)八屆(jie)三中全會精神加快推進轉型綜改(gai)試驗區建設(she)的(de)若(ruo)干意(yi)見(jian)》(晉發(fa)〔2014〕3號(hao)),提(ti)出(chu)以下(xia)實(shi)施(shi)意(yi)見(jian)。
一、指(zhi)導思想和總體要(yao)求
(一)指導(dao)思想。
堅持以鄧(deng)小平理論、“三(san)(san)個代表”重要思想和(he)科學發(fa)展(zhan)觀為指導,深入(ru)貫(guan)徹落實(shi)黨的十八(ba)(ba)大、十八(ba)(ba)屆三(san)(san)中全會精神,堅持基本經濟(ji)(ji)制(zhi)度,堅持市場化改革(ge)方向,堅持政企(qi)(qi)分(fen)開(kai)、政資分(fen)開(kai)、所有(you)(you)權(quan)與經營權(quan)相分(fen)離原則,解放思想,擴大開(kai)放,完善國(guo)有(you)(you)資產管理體制(zhi),推動國(guo)有(you)(you)企(qi)(qi)業(ye)完善現代企(qi)(qi)業(ye)制(zhi)度,進一步做強做大國(guo)有(you)(you)企(qi)(qi)業(ye),增強國(guo)有(you)(you)經濟(ji)(ji)活力(li)、控(kong)制(zhi)力(li)和(he)影響力(li),積(ji)(ji)極發(fa)展(zhan)混合(he)所有(you)(you)制(zhi)經濟(ji)(ji),促進國(guo)有(you)(you)經濟(ji)(ji)與其他所有(you)(you)制(zhi)經濟(ji)(ji)共同(tong)發(fa)展(zhan),為推動轉型綜改試驗(yan)區建設(she)、實(shi)現山西全面建成小康社會目(mu)標作出積(ji)(ji)極貢獻(xian)。
(二)總(zong)體要求。
公有(you)(you)(you)制(zhi)實現(xian)形(xing)式進一步(bu)豐富。全面(mian)完成國(guo)有(you)(you)(you)企(qi)業公司制(zhi)改革,深化(hua)(hua)股份制(zhi)改革,具備條件的國(guo)有(you)(you)(you)企(qi)業實現(xian)整體(ti)上市或核心業務資產上市,提高(gao)國(guo)有(you)(you)(you)資本證券化(hua)(hua)水(shui)平。積極發展混合所(suo)有(you)(you)(you)制(zhi)經濟,引入(ru)非公有(you)(you)(you)制(zhi)經濟參與國(guo)有(you)(you)(you)企(qi)業改制(zhi)重組(zu),實現(xian)投資主(zhu)體(ti)多元化(hua)(hua)。
現代企(qi)業(ye)制度進一步完(wan)(wan)善(shan)。加強產權代表(biao)管理,健全(quan)協調運轉、有(you)效制衡的公司法(fa)人(ren)治理結構(gou)。探索建立(li)職業(ye)經理人(ren)制度。建立(li)更加適(shi)應市(shi)場經濟的企(qi)業(ye)人(ren)事、勞動和分配制度,完(wan)(wan)善(shan)激勵和約束機(ji)制。建立(li)完(wan)(wan)善(shan)國(guo)有(you)企(qi)業(ye)信息公開制度。積(ji)極履(lv)行社(she)會責任,樹立(li)良好的企(qi)業(ye)形(xing)象。
國(guo)有(you)資(zi)(zi)產管(guan)理(li)體(ti)制(zhi)進一步健(jian)全。以管(guan)資(zi)(zi)本為主加強國(guo)有(you)資(zi)(zi)產監管(guan)。推進經營性國(guo)有(you)資(zi)(zi)產集中統一監管(guan)。建(jian)立分(fen)(fen)類(lei)加強監管(guan)、分(fen)(fen)類(lei)調整結(jie)構、分(fen)(fen)類(lei)實施考(kao)核的(de)制(zhi)度體(ti)系并逐步組(zu)織(zhi)實施。將(jiang)優化國(guo)有(you)資(zi)(zi)本配(pei)置和(he)創新監管(guan)方(fang)式、完善監管(guan)體(ti)系相結(jie)合,提(ti)高監管(guan)的(de)科學(xue)性和(he)有(you)效性。
二(er)、主要(yao)內容(rong)和重點任(ren)務(wu)
(三)深化產(chan)(chan)權(quan)(quan)改革,激發體(ti)制機制活力。進(jin)一步鞏固完善國(guo)(guo)有企(qi)業(ye)股(gu)權(quan)(quan)多元(yuan)化改革工(gong)作,按照總體(ti)設計、適時啟(qi)動、試點(dian)先行(xing)的(de)工(gong)作原則,推進(jin)國(guo)(guo)有企(qi)業(ye)股(gu)權(quan)(quan)多元(yuan)化改革,優化國(guo)(guo)有企(qi)業(ye)股(gu)權(quan)(quan)結構。積極創造(zao)條件(jian)推動國(guo)(guo)有企(qi)業(ye)特別是競(jing)爭性(xing)領域企(qi)業(ye)整體(ti)上(shang)市或核心業(ye)務資產(chan)(chan)上(shang)市。
(四)吸收多種(zhong)資(zi)(zi)(zi)本,發展混合所(suo)有(you)(you)制企業(ye)。鼓(gu)勵各類投(tou)資(zi)(zi)(zi)主體通過(guo)多種(zhong)形式參與(yu)國(guo)(guo)有(you)(you)企業(ye)改(gai)制重組或國(guo)(guo)有(you)(you)控(kong)股上市公司(si)增發股票。除國(guo)(guo)家規定(ding)的領域外,國(guo)(guo)有(you)(you)企業(ye)資(zi)(zi)(zi)本投(tou)資(zi)(zi)(zi)項(xiang)目(mu)可吸收一定(ding)比例非國(guo)(guo)有(you)(you)股份(fen),國(guo)(guo)有(you)(you)企業(ye)在競爭性(xing)領域新(xin)上項(xiang)目(mu)允(yun)許(xu)非國(guo)(guo)有(you)(you)資(zi)(zi)(zi)本控(kong)股。積極(ji)引入股權投(tou)資(zi)(zi)(zi)基金參與(yu)國(guo)(guo)有(you)(you)企業(ye)改(gai)制上市、重組整合,構(gou)建開放型經(jing)濟體系(xi)。探索(suo)混合所(suo)有(you)(you)制企業(ye)員工持(chi)股。
(五)完(wan)善法(fa)人治理(li)(li)(li)(li)結構,實(shi)現權力有效(xiao)制(zhi)(zhi)(zhi)(zhi)(zhi)衡。建立健(jian)(jian)(jian)全(quan)股(gu)東(大)會(hui)(hui)(hui)、董(dong)(dong)事(shi)會(hui)(hui)(hui)、監事(shi)會(hui)(hui)(hui)、經(jing)(jing)(jing)理(li)(li)(li)(li)層(ceng)相互獨(du)立、各司(si)其職的(de)責任(ren)制(zhi)(zhi)(zhi)(zhi)(zhi)體系,形(xing)成(cheng)協(xie)調運轉(zhuan)、有效(xiao)制(zhi)(zhi)(zhi)(zhi)(zhi)衡的(de)決策、執行(xing)、監督(du)機(ji)(ji)(ji)制(zhi)(zhi)(zhi)(zhi)(zhi)。全(quan)面加強(qiang)出資人對產(chan)權代(dai)表的(de)委派與管理(li)(li)(li)(li)。積(ji)極推(tui)進國有獨(du)資公司(si)、國有控(kong)股(gu)公司(si)規范董(dong)(dong)事(shi)會(hui)(hui)(hui)建設,探索建立外部董(dong)(dong)事(shi)制(zhi)(zhi)(zhi)(zhi)(zhi)度,董(dong)(dong)事(shi)會(hui)(hui)(hui)成(cheng)員主要以股(gu)東董(dong)(dong)事(shi)、外部董(dong)(dong)事(shi)和(he)職工董(dong)(dong)事(shi)構成(cheng)。加強(qiang)董(dong)(dong)事(shi)會(hui)(hui)(hui)和(he)董(dong)(dong)事(shi)的(de)任(ren)期考核評(ping)價工作(zuo)。對董(dong)(dong)事(shi)會(hui)(hui)(hui)運作(zuo)規范、制(zhi)(zhi)(zhi)(zhi)(zhi)度健(jian)(jian)(jian)全(quan)、權責明(ming)確等(deng)條件具備的(de)企(qi)業(ye),逐步(bu)將經(jing)(jing)(jing)理(li)(li)(li)(li)層(ceng)選聘、考核評(ping)價、薪酬管理(li)(li)(li)(li)等(deng)權力交由董(dong)(dong)事(shi)會(hui)(hui)(hui)負(fu)責管理(li)(li)(li)(li)。深化(hua)(hua)對經(jing)(jing)(jing)理(li)(li)(li)(li)層(ceng)選任(ren)及(ji)管理(li)(li)(li)(li)機(ji)(ji)(ji)制(zhi)(zhi)(zhi)(zhi)(zhi)改(gai)革,合(he)理(li)(li)(li)(li)增(zeng)加市(shi)場化(hua)(hua)選聘比(bi)例(li),形(xing)成(cheng)經(jing)(jing)(jing)理(li)(li)(li)(li)層(ceng)產(chan)生以市(shi)場化(hua)(hua)選聘為(wei)主導和(he)任(ren)期制(zhi)(zhi)(zhi)(zhi)(zhi)契(qi)約化(hua)(hua)管理(li)(li)(li)(li)的(de)運行(xing)機(ji)(ji)(ji)制(zhi)(zhi)(zhi)(zhi)(zhi),逐步(bu)推(tui)行(xing)職業(ye)經(jing)(jing)(jing)理(li)(li)(li)(li)人制(zhi)(zhi)(zhi)(zhi)(zhi)度。根據(ju)企(qi)業(ye)規模大小、行(xing)業(ye)類別和(he)實(shi)際情況(kuang),合(he)理(li)(li)(li)(li)確定并從嚴掌握企(qi)業(ye)領導班子職數。健(jian)(jian)(jian)全(quan)對董(dong)(dong)事(shi)會(hui)(hui)(hui)、經(jing)(jing)(jing)理(li)(li)(li)(li)層(ceng)等(deng)機(ji)(ji)(ji)構及(ji)相關人員的(de)責任(ren)追究(jiu)機(ji)(ji)(ji)制(zhi)(zhi)(zhi)(zhi)(zhi)。充分發揮監事(shi)會(hui)(hui)(hui)的(de)監督(du)作(zuo)用。
(六)深(shen)化企(qi)(qi)業(ye)(ye)(ye)內(nei)(nei)部改革,完(wan)(wan)善(shan)激勵(li)約束機(ji)制(zhi)(zhi)。進(jin)一(yi)步(bu)深(shen)化國有企(qi)(qi)業(ye)(ye)(ye)內(nei)(nei)部管(guan)(guan)理(li)(li)(li)(li)人(ren)員能(neng)上(shang)能(neng)下(xia)、員工(gong)(gong)能(neng)進(jin)能(neng)出、收入(ru)能(neng)增能(neng)減的制(zhi)(zhi)度(du)改革。切實(shi)簡政放權,優化政務環境,落實(shi)企(qi)(qi)業(ye)(ye)(ye)自定(ding)編制(zhi)(zhi)、自主用工(gong)(gong)、自主分配等權利。合理(li)(li)(li)(li)確(que)定(ding)并嚴格規范管(guan)(guan)理(li)(li)(li)(li)人(ren)員薪酬水(shui)平、職務待遇、職務消費(fei)、業(ye)(ye)(ye)務消費(fei)。根(gen)據國有企(qi)(qi)業(ye)(ye)(ye)功能(neng)定(ding)位(wei)、法人(ren)治理(li)(li)(li)(li)結構完(wan)(wan)善(shan)程度(du)以及領導人(ren)員選(xuan)任方式(shi)等,進(jin)一(yi)步(bu)改革完(wan)(wan)善(shan)國有企(qi)(qi)業(ye)(ye)(ye)領導人(ren)員薪酬分配制(zhi)(zhi)度(du),探索授權董(dong)事會通過市場化機(ji)制(zhi)(zhi)確(que)定(ding)經(jing)理(li)(li)(li)(li)層薪酬,使企(qi)(qi)業(ye)(ye)(ye)經(jing)營管(guan)(guan)理(li)(li)(li)(li)人(ren)員薪酬與(yu)經(jing)營管(guan)(guan)理(li)(li)(li)(li)績效、風險和責任緊(jin)密結合,與(yu)分類管(guan)(guan)理(li)(li)(li)(li)相(xiang)適應,與(yu)選(xuan)任方式(shi)相(xiang)匹配,體現管(guan)(guan)理(li)(li)(li)(li)要素參與(yu)收益分配。積(ji)極(ji)推進(jin)企(qi)(qi)業(ye)(ye)(ye)管(guan)(guan)理(li)(li)(li)(li)人(ren)員任期(qi)及中長期(qi)激勵(li)。進(jin)一(yi)步(bu)完(wan)(wan)善(shan)企(qi)(qi)業(ye)(ye)(ye)職工(gong)(gong)工(gong)(gong)資(zi)集(ji)體協商機(ji)制(zhi)(zhi)。
(七)加強管理創新,提高(gao)經濟(ji)運行質(zhi)量。利用(yong)市場(chang)倒逼機(ji)(ji)制,深化對標管理,借鑒世界一(yi)流企業(ye)的(de)(de)管理經驗,完善(shan)安全(quan)生(sheng)產、科研開發(fa)、項目建設等方(fang)(fang)面的(de)(de)基礎(chu)管理制度,構(gou)建適應市場(chang)經濟(ji)發(fa)展(zhan)要求的(de)(de)管理創新動力機(ji)(ji)制、運行機(ji)(ji)制、考核評價機(ji)(ji)制和(he)成果(guo)轉化機(ji)(ji)制,提升企業(ye)規范化、集(ji)約(yue)化、精細(xi)化管理水平(ping)。創新商業(ye)模(mo)式,發(fa)揮信(xin)息化在管理模(mo)式創新和(he)業(ye)態轉型中(zhong)的(de)(de)重要作用(yong),提高(gao)資源(yuan)配(pei)置(zhi)能(neng)力,推(tui)進產業(ye)升級,轉變發(fa)展(zhan)方(fang)(fang)式,增強企業(ye)核心競爭力和(he)抗風險能(neng)力。
(八)推行信(xin)息(xi)公(gong)開(kai)(kai),提升國企(qi)透(tou)明(ming)程度(du)(du)。建(jian)立(li)更加公(gong)開(kai)(kai)透(tou)明(ming)的國有企(qi)業(ye)(ye)信(xin)息(xi)公(gong)開(kai)(kai)制度(du)(du),借(jie)鑒上市公(gong)司管(guan)理模式,建(jian)立(li)企(qi)業(ye)(ye)真實、準(zhun)確、及時披露相(xiang)關信(xin)息(xi)的制度(du)(du)體系(xi)。各國有企(qi)業(ye)(ye)是信(xin)息(xi)公(gong)開(kai)(kai)的主(zhu)(zhu)體,公(gong)開(kai)(kai)的主(zhu)(zhu)要(yao)內容(rong)是企(qi)業(ye)(ye)財務狀(zhuang)況、經營(ying)成果、重大投資、人員招聘(pin)、薪酬(chou)水平、職務消費(fei)、業(ye)(ye)務消費(fei)等重大事項,在同級主(zhu)(zhu)要(yao)新聞媒體按季度(du)(du)、半年度(du)(du)和年度(du)(du)公(gong)開(kai)(kai),主(zhu)(zhu)動接受(shou)社會公(gong)眾監督。
(九)加(jia)強(qiang)(qiang)黨(dang)的(de)領導,發揮(hui)(hui)政治核心作(zuo)(zuo)用(yong)(yong)。發揮(hui)(hui)黨(dang)組(zu)織在(zai)深化企(qi)(qi)業(ye)(ye)(ye)改(gai)革(ge)(ge)中的(de)把關定(ding)向、動員群眾(zhong)、服(fu)務群眾(zhong)、促進(jin)(jin)和(he)諧等方面的(de)作(zuo)(zuo)用(yong)(yong),確保各項改(gai)革(ge)(ge)措(cuo)施的(de)平穩(wen)推進(jin)(jin)。按(an)照參與(yu)決(jue)策(ce)、帶頭執(zhi)行(xing)、有效監(jian)督(du)(du)的(de)要求,建立健(jian)全企(qi)(qi)業(ye)(ye)(ye)黨(dang)組(zu)織在(zai)現代企(qi)(qi)業(ye)(ye)(ye)制(zhi)(zhi)度(du)下(xia)充分(fen)(fen)發揮(hui)(hui)政治核心作(zuo)(zuo)用(yong)(yong)的(de)體(ti)(ti)(ti)制(zhi)(zhi)機制(zhi)(zhi)。堅持把黨(dang)管(guan)干部(bu)原則與(yu)董事會依(yi)(yi)法(fa)選擇經(jing)營管(guan)理(li)者以及經(jing)營管(guan)理(li)者依(yi)(yi)法(fa)行(xing)使(shi)用(yong)(yong)人(ren)權相(xiang)(xiang)結合,探索(suo)黨(dang)組(zu)織在(zai)企(qi)(qi)業(ye)(ye)(ye)選人(ren)用(yong)(yong)人(ren)中發揮(hui)(hui)作(zuo)(zuo)用(yong)(yong)的(de)有效途徑。充分(fen)(fen)發揮(hui)(hui)工(gong)會、共青團等群團組(zu)織的(de)作(zuo)(zuo)用(yong)(yong),完善職(zhi)工(gong)代表大會等職(zhi)工(gong)民(min)主管(guan)理(li)制(zhi)(zhi)度(du)。落實黨(dang)風廉政建設責任制(zhi)(zhi),加(jia)強(qiang)(qiang)國有企(qi)(qi)業(ye)(ye)(ye)反腐(fu)敗(bai)體(ti)(ti)(ti)制(zhi)(zhi)機制(zhi)(zhi)創新,健(jian)全反腐(fu)倡廉和(he)改(gai)進(jin)(jin)作(zuo)(zuo)風常態化制(zhi)(zhi)度(du),完善懲治和(he)預防腐(fu)敗(bai)體(ti)(ti)(ti)系(xi),形(xing)成與(yu)企(qi)(qi)業(ye)(ye)(ye)制(zhi)(zhi)度(du)相(xiang)(xiang)適應的(de)權力運行(xing)制(zhi)(zhi)約和(he)監(jian)督(du)(du)體(ti)(ti)(ti)系(xi)。
(十(shi))研(yan)究界定(ding)(ding)功(gong)能(neng),探索國(guo)(guo)企(qi)分(fen)類(lei)監(jian)管(guan)。突(tu)出企(qi)業(ye)市場(chang)屬(shu)性(xing),兼顧股權結構、產業(ye)特征(zheng)、發展階段不同(tong),探索國(guo)(guo)有企(qi)業(ye)根據不同(tong)功(gong)能(neng)定(ding)(ding)位,實行(xing)分(fen)類(lei)監(jian)管(guan),推動國(guo)(guo)有企(qi)業(ye)實現經(jing)濟效(xiao)益和社會效(xiao)益的有機統一(yi)、均衡發展。
(十一)成立投(tou)資(zi)(zi)(zi)(zi)(運(yun)營(ying))公司(si),提(ti)升資(zi)(zi)(zi)(zi)本運(yun)營(ying)效率(lv)。以(yi)管(guan)資(zi)(zi)(zi)(zi)本為主加強國(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)產監管(guan),形(xing)成具有(you)(you)(you)不同功(gong)能的國(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)本投(tou)資(zi)(zi)(zi)(zi)運(yun)營(ying)主體(ti)。選擇主業(ye)明確、治理結構較為完(wan)善、科技創(chuang)新能力和(he)核心競爭力較強、風險管(guan)控機制(zhi)健全(quan)的企業(ye)有(you)(you)(you)序改(gai)組(zu)為國(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)本投(tou)資(zi)(zi)(zi)(zi)公司(si),強化產業(ye)聚集和(he)資(zi)(zi)(zi)(zi)源整合。以(yi)經(jing)營(ying)國(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)本為主要(yao)功(gong)能,有(you)(you)(you)序組(zu)建(jian)國(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)本運(yun)營(ying)公司(si)。推進國(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)本在(zai)一般競爭性領(ling)域的合理流動與有(you)(you)(you)序進退(tui),提(ti)高(gao)國(guo)有(you)(you)(you)資(zi)(zi)(zi)(zi)本配置效率(lv)。
(十二)優化國(guo)資(zi)監(jian)(jian)管(guan)方式,健全國(guo)資(zi)監(jian)(jian)督體(ti)系。將(jiang)國(guo)資(zi)監(jian)(jian)管(guan)要(yao)求具體(ti)體(ti)現在公司章程中,使(shi)公司章程真正成為(wei)在法律法規規范下行使(shi)出(chu)資(zi)人權利(li)的(de)(de)重要(yao)手(shou)段和(he)基本依據。完善經(jing)營業績考(kao)(kao)核體(ti)系,探索不(bu)同(tong)(tong)類別、不(bu)同(tong)(tong)行業、不(bu)同(tong)(tong)性(xing)(xing)質企業的(de)(de)考(kao)(kao)核模式,提(ti)高考(kao)(kao)核工(gong)作的(de)(de)導向性(xing)(xing)和(he)針對性(xing)(xing)。加(jia)強財會、審計(ji)、紀檢(jian)監(jian)(jian)察(cha)、監(jian)(jian)事(shi)會監(jian)(jian)督的(de)(de)有效協同(tong)(tong),形成監(jian)(jian)督合力(li)。
(十(shi)三)推(tui)動統(tong)一監管(guan)(guan)(guan),實現(xian)監管(guan)(guan)(guan)全(quan)(quan)面覆蓋(gai)。適(shi)時(shi)推(tui)進(jin)山(shan)西(xi)省(sheng)企業(ye)(ye)國(guo)(guo)有(you)(you)資(zi)產(chan)監督管(guan)(guan)(guan)理條例的(de)制(zhi)訂出臺(tai),健全(quan)(quan)國(guo)(guo)有(you)(you)資(zi)產(chan)監管(guan)(guan)(guan)法規體(ti)系,完善國(guo)(guo)有(you)(you)資(zi)產(chan)基礎(chu)管(guan)(guan)(guan)理制(zhi)度。充分發揮(hui)各級國(guo)(guo)資(zi)委的(de)專業(ye)(ye)化(hua)(hua)監管(guan)(guan)(guan)優(you)勢,推(tui)動經營性國(guo)(guo)有(you)(you)資(zi)產(chan)集中統(tong)一監管(guan)(guan)(guan),繼續(xu)深化(hua)(hua)脫鉤改革工作,建立(li)我(wo)省(sheng)經營性國(guo)(guo)有(you)(you)資(zi)產(chan)監管(guan)(guan)(guan)全(quan)(quan)覆蓋(gai)體(ti)系。政企脫鉤后(hou)的(de)企業(ye)(ye)、事業(ye)(ye)單位改革轉制(zhi)形(xing)成的(de)企業(ye)(ye)、以及(ji)新組(zu)建的(de)國(guo)(guo)有(you)(you)企業(ye)(ye)要逐步納入國(guo)(guo)資(zi)監管(guan)(guan)(guan)體(ti)系。
(十四)加強指導(dao)(dao)監(jian)督(du),完(wan)善國(guo)資(zi)(zi)委機(ji)構(gou)和職能。按照《中華人民(min)共(gong)和國(guo)企(qi)業國(guo)有(you)資(zi)(zi)產(chan)(chan)(chan)法》、《企(qi)業國(guo)有(you)資(zi)(zi)產(chan)(chan)(chan)監(jian)督(du)管理暫行條(tiao)例(li)》的規定,健全完(wan)善省(sheng)、市國(guo)有(you)資(zi)(zi)產(chan)(chan)(chan)監(jian)管機(ji)構(gou),依法明(ming)確(que)其作為本級政府國(guo)有(you)資(zi)(zi)產(chan)(chan)(chan)出資(zi)(zi)人代表的定位(wei)和直屬(shu)特設機(ji)構(gou)的性(xing)質。明(ming)確(que)市、縣級國(guo)有(you)資(zi)(zi)產(chan)(chan)(chan)監(jian)管責任主體。指導(dao)(dao)各市、縣準確(que)把握(wo)國(guo)資(zi)(zi)國(guo)企(qi)改(gai)(gai)革(ge)的部署(shu)要(yao)求(qiu),進一步突出機(ji)構(gou)的專(zhuan)業性(xing)和獨立性(xing)。改(gai)(gai)革(ge)完(wan)善國(guo)有(you)資(zi)(zi)本授權經營體制。
(十(shi)五)加強資(zi)(zi)本(ben)(ben)預算管(guan)理,探索收(shou)益共享(xiang)機(ji)制(zhi)。完善國(guo)有(you)(you)資(zi)(zi)本(ben)(ben)經(jing)營預算制(zhi)度,逐(zhu)步(bu)提高(gao)國(guo)有(you)(you)資(zi)(zi)本(ben)(ben)收(shou)益上(shang)繳比(bi)例,合理分配和使用國(guo)有(you)(you)資(zi)(zi)本(ben)(ben)收(shou)益,統(tong)籌(chou)考慮國(guo)有(you)(you)資(zi)(zi)本(ben)(ben)收(shou)益再(zai)投(tou)資(zi)(zi)和民(min)生關系(xi)。進(jin)一(yi)步(bu)發揮國(guo)有(you)(you)資(zi)(zi)本(ben)(ben)經(jing)營預算在推進(jin)改革(ge)發展、布局結構調整、科技進(jin)步(bu)和轉(zhuan)型(xing)升級中(zhong)(zhong)的引領(ling)作用。建立(li)和完善國(guo)有(you)(you)資(zi)(zi)本(ben)(ben)收(shou)益的共享(xiang)機(ji)制(zhi),在國(guo)有(you)(you)資(zi)(zi)本(ben)(ben)收(shou)益中(zhong)(zhong)確(que)定(ding)一(yi)定(ding)比(bi)例直(zhi)接(jie)用于民(min)生支出。
(十六(liu))持續深化改革,完善(shan)國(guo)(guo)資(zi)(zi)(zi)監(jian)管(guan)體(ti)(ti)系。推(tui)動(dong)國(guo)(guo)有重要(yao)骨干企業(ye)進(jin)行(xing)股(gu)份制改造,發展混合所有制經濟,推(tui)行(xing)資(zi)(zi)(zi)源資(zi)(zi)(zi)產(chan)化、資(zi)(zi)(zi)產(chan)資(zi)(zi)(zi)本化、資(zi)(zi)(zi)本證券(quan)化改革工作。到(dao)2020年,建立完善(shan)科(ke)學的(de)現代(dai)企業(ye)制度,培育(yu)真(zhen)正(zheng)的(de)市場競(jing)爭主體(ti)(ti)。形成覆蓋全面(mian)、監(jian)管(guan)到(dao)位、權責(ze)明確、科(ke)學發展的(de)國(guo)(guo)有資(zi)(zi)(zi)產(chan)監(jian)管(guan)格局。

(十八)優(you)化政(zheng)(zheng)(zheng)策環(huan)(huan)境,形成國企(qi)改(gai)革合力。切實轉變政(zheng)(zheng)(zheng)府(fu)(fu)職(zhi)能,最大限度減少行政(zheng)(zheng)(zheng)審批,優(you)化制度、簡化手續、提高效率。梳理(li)(li)完善國有企(qi)業改(gai)革涉及的(de)工商(shang)登記(ji)、財(cai)稅管理(li)(li)、土(tu)地變更、勞動保障(zhang)、國資監(jian)管、證券監(jian)管等方面的(de)政(zheng)(zheng)(zheng)策規定,優(you)化政(zheng)(zheng)(zheng)策環(huan)(huan)境。各級政(zheng)(zheng)(zheng)府(fu)(fu)及有關部門(men)要加快政(zheng)(zheng)(zheng)府(fu)(fu)職(zhi)能轉變,建(jian)設服務型(xing)政(zheng)(zheng)(zheng)府(fu)(fu),以綜改(gai)試驗(yan)的(de)理(li)(li)念,提供優(you)惠(hui)政(zheng)(zheng)(zheng)策,解(jie)決企(qi)業實際困難,以政(zheng)(zheng)(zheng)策動力激(ji)發(fa)(fa)發(fa)(fa)展活力,為國有企(qi)業改(gai)革發(fa)(fa)展創造良好環(huan)(huan)境。
(十九)制定政策措施,盡快解決遺留問題。依法合規、用好用活國有企業改革專項資金,研究制定有關政策措施,多渠道籌措資金,加大國有資本經營預算用于解決國有企業歷史遺留問題的力度。注重政策銜接,研究解決職工關心的實際問題,妥善安置轉崗職工,做好職工技能培訓和再就業工作,確保企業和社會穩定。
