湖北荊州出臺深化市直國有企業改革實施方案

  8月(yue)12日,湖(hu)北荊州出臺《關于(yu)深化市直國有企(qi)業改革(ge)實施方案(an)》,總體目標是(shi)通過(guo)深化國企(qi)改革(ge),積(ji)(ji)極(ji)探(tan)索國有經(jing)濟(ji)(ji)多種有效實現形式,突破性發展(zhan)混合所(suo)有制經(jing)濟(ji)(ji),積(ji)(ji)極(ji)推進(jin)現代企(qi)業制度(du),完善國有資產監管體制,用3年左(zuo)右(you)的時間,把國有企(qi)業打造(zao)成(cheng)獨立的市場競爭主(zhu)體。主(zhu)要采取四(si)個方面措施:

  一(yi)是分類(lei)(lei)推(tui)進(jin)(jin)(jin)(jin)(jin)(jin)國(guo)有(you)(you)(you)企(qi)(qi)業(ye)產權(quan)多(duo)元化(hua)(hua)。根(gen)據(ju)企(qi)(qi)業(ye)屬性(xing)、產業(ye)特征(zheng)和(he)發展階段,按公(gong)(gong)共(gong)(gong)服(fu)務(wu)類(lei)(lei)、功能(neng)類(lei)(lei)、競爭類(lei)(lei)三個類(lei)(lei)別推(tui)進(jin)(jin)(jin)(jin)(jin)(jin)國(guo)有(you)(you)(you)企(qi)(qi)業(ye)產權(quan)多(duo)元化(hua)(hua)。對公(gong)(gong)共(gong)(gong)服(fu)務(wu)類(lei)(lei)的荊(jing)(jing)(jing)州(zhou)(zhou)市公(gong)(gong)共(gong)(gong)交(jiao)通總(zong)公(gong)(gong)司(si)(si)(si)(si)進(jin)(jin)(jin)(jin)(jin)(jin)行(xing)(xing)規范(fan)(fan)的公(gong)(gong)司(si)(si)(si)(si)化(hua)(hua)改(gai)造(zao),主(zhu)業(ye)實行(xing)(xing)國(guo)有(you)(you)(you)獨資(zi)(zi)(zi)經營(ying)(ying),輔(fu)業(ye)引進(jin)(jin)(jin)(jin)(jin)(jin)民營(ying)(ying)資(zi)(zi)(zi)本參(can)(can)與經營(ying)(ying),做到以輔(fu)補(bu)主(zhu),盡量減輕(qing)財政(zheng)補(bu)貼壓(ya)力。對功能(neng)類(lei)(lei)的政(zheng)府投融(rong)資(zi)(zi)(zi)平臺荊(jing)(jing)(jing)州(zhou)(zhou)市城市建設投資(zi)(zi)(zi)開發有(you)(you)(you)限(xian)公(gong)(gong)司(si)(si)(si)(si)、荊(jing)(jing)(jing)州(zhou)(zhou)市文(wen)化(hua)(hua)旅游投資(zi)(zi)(zi)有(you)(you)(you)限(xian)公(gong)(gong)司(si)(si)(si)(si)和(he)市級國(guo)有(you)(you)(you)資(zi)(zi)(zi)本運營(ying)(ying)公(gong)(gong)司(si)(si)(si)(si)進(jin)(jin)(jin)(jin)(jin)(jin)行(xing)(xing)規范(fan)(fan)的公(gong)(gong)司(si)(si)(si)(si)化(hua)(hua)改(gai)造(zao),總(zong)公(gong)(gong)司(si)(si)(si)(si)保持國(guo)有(you)(you)(you)獨資(zi)(zi)(zi)組織(zhi)形式;荊(jing)(jing)(jing)州(zhou)(zhou)港務(wu)集(ji)團(tuan)公(gong)(gong)司(si)(si)(si)(si)按照(zhao)湖(hu)(hu)北省委、省政(zheng)府統(tong)一(yi)部署,進(jin)(jin)(jin)(jin)(jin)(jin)行(xing)(xing)戰略性(xing)重組;荊(jing)(jing)(jing)州(zhou)(zhou)市地方鐵路公(gong)(gong)司(si)(si)(si)(si)進(jin)(jin)(jin)(jin)(jin)(jin)行(xing)(xing)規范(fan)(fan)的公(gong)(gong)司(si)(si)(si)(si)化(hua)(hua)改(gai)造(zao),引進(jin)(jin)(jin)(jin)(jin)(jin)央企(qi)(qi)省企(qi)(qi)進(jin)(jin)(jin)(jin)(jin)(jin)行(xing)(xing)戰略性(xing)重組。功能(neng)類(lei)(lei)國(guo)有(you)(you)(you)企(qi)(qi)業(ye)的子公(gong)(gong)司(si)(si)(si)(si)和(he)建設項(xiang)目(mu)可引進(jin)(jin)(jin)(jin)(jin)(jin)其它(ta)經濟成分進(jin)(jin)(jin)(jin)(jin)(jin)行(xing)(xing)合(he)資(zi)(zi)(zi)合(he)作。對競爭類(lei)(lei)的荊(jing)(jing)(jing)州(zhou)(zhou)市南湖(hu)(hu)機械總(zong)廠(chang)進(jin)(jin)(jin)(jin)(jin)(jin)行(xing)(xing)規范(fan)(fan)的公(gong)(gong)司(si)(si)(si)(si)化(hua)(hua)改(gai)造(zao),可引進(jin)(jin)(jin)(jin)(jin)(jin)同行(xing)(xing)業(ye)央企(qi)(qi)省企(qi)(qi)和(he)優勢民企(qi)(qi)進(jin)(jin)(jin)(jin)(jin)(jin)行(xing)(xing)重組,企(qi)(qi)業(ye)經營(ying)(ying)管理(li)(li)層(ceng)和(he)骨(gu)干(gan)核心技(ji)術(shu)人員(團(tuan)隊(dui))可以現金、科技(ji)成果、知識產權(quan)等參(can)(can)股;荊(jing)(jing)(jing)州(zhou)(zhou)先行(xing)(xing)運輸集(ji)團(tuan)公(gong)(gong)司(si)(si)(si)(si)引進(jin)(jin)(jin)(jin)(jin)(jin)各種(zhong)成分投資(zi)(zi)(zi)者參(can)(can)與重組。競爭類(lei)(lei)國(guo)有(you)(you)(you)企(qi)(qi)業(ye)可靈活掌握國(guo)有(you)(you)(you)股比例,根(gen)據(ju)需(xu)要適(shi)時進(jin)(jin)(jin)(jin)(jin)(jin)退。妥善(shan)處理(li)(li)改(gai)革歷史遺(yi)留問題。

  二是進一(yi)步完(wan)(wan)善現(xian)代企業(ye)(ye)(ye)制度(du)。完(wan)(wan)善法人(ren)治理(li)(li)結構(gou)。確(que)立(li)董(dong)事(shi)會、企業(ye)(ye)(ye)法定代表人(ren)在公(gong)司(si)治理(li)(li)中的(de)(de)核心地位,構(gou)建(jian)科學高效(xiao)的(de)(de)決策(ce)機制。對(dui)公(gong)共(gong)服務(wu)類、功(gong)(gong)能(neng)(neng)(neng)(neng)類企業(ye)(ye)(ye),建(jian)立(li)適合行(xing)(xing)業(ye)(ye)(ye)特點和功(gong)(gong)能(neng)(neng)(neng)(neng)定位的(de)(de)董(dong)事(shi)會,并保證(zheng)董(dong)事(shi)會決策(ce)能(neng)(neng)(neng)(neng)有(you)效(xiao)實(shi)現(xian)經濟效(xiao)益(yi)(yi)和社會效(xiao)益(yi)(yi)的(de)(de)有(you)機統一(yi)。對(dui)競(jing)爭類企業(ye)(ye)(ye),實(shi)現(xian)股權多(duo)元化(hua)后,按股權比例相(xiang)(xiang)應(ying)派出董(dong)事(shi)。按外派與(yu)內(nei)設相(xiang)(xiang)結合的(de)(de)原則,由履行(xing)(xing)出資(zi)人(ren)職(zhi)責(ze)機構(gou)委派或推薦(jian)監事(shi)會主席及外派監事(shi),共(gong)同與(yu)企業(ye)(ye)(ye)內(nei)部監事(shi)組成監事(shi)會,實(shi)現(xian)監事(shi)會監督全覆蓋。完(wan)(wan)善企業(ye)(ye)(ye)領(ling)導(dao)人(ren)員(yuan)管(guan)理(li)(li)體制。按照現(xian)代企業(ye)(ye)(ye)制度(du)選(xuan)聘(pin)企業(ye)(ye)(ye)相(xiang)(xiang)關管(guan)理(li)(li)人(ren)員(yuan),對(dui)國(guo)有(you)企業(ye)(ye)(ye)領(ling)導(dao)人(ren)進行(xing)(xing)分(fen)層分(fen)類管(guan)理(li)(li)。加快(kuai)建(jian)立(li)職(zhi)業(ye)(ye)(ye)經理(li)(li)人(ren)制度(du),逐步推進去行(xing)(xing)政化(hua)。進一(yi)步深(shen)化(hua)企業(ye)(ye)(ye)內(nei)部“三項(xiang)制度(du)”改革。真正實(shi)現(xian)管(guan)理(li)(li)人(ren)員(yuan)能(neng)(neng)(neng)(neng)上能(neng)(neng)(neng)(neng)下(xia)、員(yuan)工能(neng)(neng)(neng)(neng)進能(neng)(neng)(neng)(neng)出、收入能(neng)(neng)(neng)(neng)增能(neng)(neng)(neng)(neng)減。實(shi)施有(you)效(xiao)激(ji)勵(li)約束(shu)分(fen)配(pei)機制。制定與(yu)國(guo)有(you)企業(ye)(ye)(ye)領(ling)導(dao)人(ren)員(yuan)選(xuan)任方式(shi)、企業(ye)(ye)(ye)效(xiao)益(yi)(yi)相(xiang)(xiang)匹配(pei)的(de)(de)差異化(hua)薪(xin)酬(chou)分(fen)配(pei)制度(du),建(jian)立(li)健全根據(ju)經營管(guan)理(li)(li)績效(xiao)、風險和責(ze)任確(que)定薪(xin)酬(chou)的(de)(de)機制。嚴(yan)格規(gui)范國(guo)有(you)企業(ye)(ye)(ye)領(ling)導(dao)人(ren)員(yuan)職(zhi)務(wu)待遇、職(zhi)務(wu)消費(fei)、業(ye)(ye)(ye)務(wu)消費(fei),強化(hua)國(guo)有(you)企業(ye)(ye)(ye)經營投資(zi)責(ze)任追究。

  三是(shi)加(jia)快推(tui)進國(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)(zi)本(ben)投(tou)(tou)資(zi)(zi)(zi)(zi)運(yun)營(ying)平臺建(jian)設。加(jia)強現(xian)有(you)(you)(you)(you)投(tou)(tou)融資(zi)(zi)(zi)(zi)平臺公(gong)司(si)建(jian)設。將脫鉤改制的(de)國(guo)有(you)(you)(you)(you)企(qi)業(ye)(ye)根據需要分別劃入荊(jing)州(zhou)(zhou)(zhou)市(shi)(shi)(shi)城(cheng)(cheng)市(shi)(shi)(shi)建(jian)設投(tou)(tou)資(zi)(zi)(zi)(zi)開發(fa)有(you)(you)(you)(you)限(xian)(xian)公(gong)司(si)和(he)荊(jing)州(zhou)(zhou)(zhou)市(shi)(shi)(shi)文(wen)(wen)化旅(lv)游投(tou)(tou)資(zi)(zi)(zi)(zi)有(you)(you)(you)(you)限(xian)(xian)公(gong)司(si),做強荊(jing)州(zhou)(zhou)(zhou)市(shi)(shi)(shi)城(cheng)(cheng)市(shi)(shi)(shi)建(jian)設投(tou)(tou)資(zi)(zi)(zi)(zi)開發(fa)有(you)(you)(you)(you)限(xian)(xian)公(gong)司(si),做實(shi)荊(jing)州(zhou)(zhou)(zhou)市(shi)(shi)(shi)文(wen)(wen)化旅(lv)游投(tou)(tou)資(zi)(zi)(zi)(zi)有(you)(you)(you)(you)限(xian)(xian)公(gong)司(si)。組建(jian)市(shi)(shi)(shi)級國(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)(zi)本(ben)運(yun)營(ying)公(gong)司(si)。以荊(jing)州(zhou)(zhou)(zhou)市(shi)(shi)(shi)投(tou)(tou)資(zi)(zi)(zi)(zi)發(fa)展有(you)(you)(you)(you)限(xian)(xian)公(gong)司(si)為(wei)主體,組建(jian)市(shi)(shi)(shi)級國(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)(zi)本(ben)運(yun)營(ying)公(gong)司(si),將荊(jing)州(zhou)(zhou)(zhou)市(shi)(shi)(shi)城(cheng)(cheng)投(tou)(tou)公(gong)司(si)、荊(jing)州(zhou)(zhou)(zhou)市(shi)(shi)(shi)文(wen)(wen)旅(lv)投(tou)(tou)公(gong)司(si)以外的(de)其他市(shi)(shi)(shi)直(zhi)國(guo)有(you)(you)(you)(you)企(qi)業(ye)(ye)產(chan)(chan)權(股權)劃轉該公(gong)司(si)集中持有(you)(you)(you)(you),通過(guo)國(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)(zi)本(ben)運(yun)營(ying),實(shi)現(xian)國(guo)有(you)(you)(you)(you)資(zi)(zi)(zi)(zi)產(chan)(chan)保值增值。

  四是建立以管資本為主的國有資產監管體制。實現經營性國有資產監管全覆蓋。限期完成經營性國有資產集中統一監管,除政府授權的國有資產監管機構外,其他部門不得作為國有企業的出資人代表。政企脫鉤后的企業、事業單位改革轉制形成的企業、新組建的企業,其國有資產納入統一的監管體系。2014年底以前基本完成企業脫鉤任務。優化國有資產監管方式。認真落實以管資本為主加強國有資產監管的要求,完善機構職能,規范履職程序。厘清荊州國資委與投融資平臺的權責關系。建立完善企業經營業績考核體系,實現分類考核。完善國有資本經營預算制度。建立覆蓋全部經營性國有企業國有資本經營預算制度。加強國有資本收益收繳,逐步提高國有資本收益上繳比例,2014年上繳比例由10%增加到15%,到2020年提高到30%。
