經中(zhong)(zhong)(zhong)(zhong)國中(zhong)(zhong)(zhong)(zhong)鐵(tie)(tie)(tie)(tie)股(gu)份(fen)有(you)(you)限公(gong)司一屆(jie)二(er)十六次董事會審議通過,并于2010年(nian)3月(yue)8日中(zhong)(zhong)(zhong)(zhong)國中(zhong)(zhong)(zhong)(zhong)鐵(tie)(tie)(tie)(tie)與控(kong)股(gu)股(gu)東中(zhong)(zhong)(zhong)(zhong)國鐵(tie)(tie)(tie)(tie)路工(gong)程總(zong)公(gong)司(下稱:中(zhong)(zhong)(zhong)(zhong)鐵(tie)(tie)(tie)(tie)工(gong))簽署《產(chan)權(quan)轉讓協議》,中(zhong)(zhong)(zhong)(zhong)國中(zhong)(zhong)(zhong)(zhong)鐵(tie)(tie)(tie)(tie)受讓中(zhong)(zhong)(zhong)(zhong)鐵(tie)(tie)(tie)(tie)工(gong)所持有(you)(you)的中(zhong)(zhong)(zhong)(zhong)鐵(tie)(tie)(tie)(tie)港航工(gong)程局有(you)(you)限公(gong)司(注(zhu)冊資(zi)本和(he)實(shi)收(shou)資(zi)本均為(wei)人(ren)民幣389940100元)100%的股(gu)權(quan),轉讓價格(ge)為(wei)有(you)(you)關《資(zi)產(chan)評(ping)估(gu)報告》(已備案(an))確定的目標企(qi)業(ye)評(ping)估(gu)凈資(zi)產(chan)人(ren)民幣40864.09萬(wan)元。
中(zhong)(zhong)鐵(tie)(tie)港(gang)(gang)航局(ju)的前(qian)身是成立(li)于(yu)(yu)(yu)1952年(nian)(nian)的廣東(dong)中(zhong)(zhong)海工(gong)(gong)(gong)程建(jian)設總局(ju),原隸屬于(yu)(yu)(yu)中(zhong)(zhong)國華潤總公司,2008年(nian)(nian)11月整體并入中(zhong)(zhong)國鐵(tie)(tie)路工(gong)(gong)(gong)程總公司。中(zhong)(zhong)鐵(tie)(tie)港(gang)(gang)航局(ju)在(zai)(zai)港(gang)(gang)口、碼頭等水工(gong)(gong)(gong)工(gong)(gong)(gong)程施(shi)工(gong)(gong)(gong)方(fang)面具有較強的實力(li),中(zhong)(zhong)國中(zhong)(zhong)鐵(tie)(tie)通過收購上(shang)述(shu)資產(chan),能夠提升在(zai)(zai)水工(gong)(gong)(gong)工(gong)(gong)(gong)程等方(fang)面的施(shi)工(gong)(gong)(gong)能力(li),進一步完(wan)善產(chan)業(ye)鏈并實現業(ye)務間的協同效應,真正成為(wei)能夠提供綜合的“一站式”解決方(fang)案的工(gong)(gong)(gong)程基(ji)建(jian)龍頭企(qi)業(ye)。同時,鑒于(yu)(yu)(yu)中(zhong)(zhong)鐵(tie)(tie)港(gang)(gang)航局(ju)為(wei)從事工(gong)(gong)(gong)程基(ji)建(jian)的施(shi)工(gong)(gong)(gong)企(qi)業(ye),與中(zhong)(zhong)國中(zhong)(zhong)鐵(tie)(tie)目前(qian)從事的主營業(ye)務屬于(yu)(yu)(yu)同類業(ye)務,因此,收購中(zhong)(zhong)鐵(tie)(tie)港(gang)(gang)航局(ju)股權可在(zai)(zai)今后避免中(zhong)(zhong)國中(zhong)(zhong)鐵(tie)(tie)與控股股東(dong)之間可能出現的同業(ye)競爭。
