2006年及過去三年中央企業改革發展情況

  2006年(nian),中央(yang)(yang)企業(ye)(ye)以科學發展觀為(wei)指導,認真貫徹(che)落(luo)實黨(dang)中央(yang)(yang)、國務院關于加強(qiang)和改(gai)善宏觀調(diao)控(kong)的(de)各項政(zheng)策措施,繼續(xu)深化(hua)改(gai)革,加快結(jie)構調(diao)整,推(tui)進技(ji)術進步,強(qiang)化(hua)資(zi)源節約,加強(qiang)企業(ye)(ye)管理,生產經營保持了持續(xu)快速健(jian)康發展。

  一(yi)是經濟效益繼續保持較快增(zeng)(zeng)長(chang)。1-11月,中(zhong)央(yang)企(qi)業(ye)實(shi)(shi)(shi)現(xian)主營業(ye)務收(shou)入(ru)(ru)72984億(yi)(yi)元(yuan)(yuan),同比增(zeng)(zeng)長(chang)21.8%;實(shi)(shi)(shi)現(xian)利(li)潤(run)(run)(run)6887.7億(yi)(yi)元(yuan)(yuan),同比增(zeng)(zeng)長(chang)18.9%;上(shang)(shang)繳稅(shui)金6146.5億(yi)(yi)元(yuan)(yuan),同比增(zeng)(zeng)長(chang)23.5%。絕(jue)大多數中(zhong)央(yang)企(qi)業(ye)實(shi)(shi)(shi)現(xian)了(le)主營業(ye)務收(shou)入(ru)(ru)與(yu)利(li)潤(run)(run)(run)的同步增(zeng)(zeng)長(chang),累計實(shi)(shi)(shi)現(xian)主營業(ye)務收(shou)入(ru)(ru)同比增(zeng)(zeng)長(chang)的有145家,占(zhan)90.1%;實(shi)(shi)(shi)現(xian)利(li)潤(run)(run)(run)同比增(zeng)(zeng)長(chang)的有129家,占(zhan)80.1%。預計全(quan)年(nian)(nian)主營業(ye)務收(shou)入(ru)(ru)可(ke)達(da)8萬(wan)億(yi)(yi)元(yuan)(yuan),實(shi)(shi)(shi)現(xian)利(li)潤(run)(run)(run)可(ke)達(da)7200億(yi)(yi)元(yuan)(yuan),上(shang)(shang)繳稅(shui)金可(ke)達(da)7000億(yi)(yi)元(yuan)(yuan)。到2006年(nian)(nian)底,中(zhong)央(yang)企(qi)業(ye)資產總額可(ke)達(da)12.2萬(wan)億(yi)(yi)元(yuan)(yuan),比上(shang)(shang)年(nian)(nian)增(zeng)(zeng)長(chang)15%左右。

  二是運(yun)行(xing)質量進(jin)一步提(ti)高(gao)(gao)(gao)。中(zhong)央企業(ye)盈利能力普遍增強,資(zi)產(chan)(chan)(chan)運(yun)營效率(lv)普遍提(ti)高(gao)(gao)(gao),總體負債水平(ping)(ping)穩(wen)中(zhong)有(you)降。1-11月,中(zhong)央企業(ye)凈(jing)資(zi)產(chan)(chan)(chan)收益率(lv)平(ping)(ping)均(jun)為(wei)(wei)9.6%,同(tong)比(bi)提(ti)高(gao)(gao)(gao)0.4個百分點,同(tong)比(bi)提(ti)高(gao)(gao)(gao)的(de)(de)企業(ye)有(you)91家(jia);總資(zi)產(chan)(chan)(chan)報酬率(lv)平(ping)(ping)均(jun)為(wei)(wei)6.9%,同(tong)比(bi)提(ti)高(gao)(gao)(gao)0.2個百分點,同(tong)比(bi)提(ti)高(gao)(gao)(gao)的(de)(de)企業(ye)有(you)103家(jia)。總資(zi)產(chan)(chan)(chan)周轉率(lv)平(ping)(ping)均(jun)為(wei)(wei)0.64次,同(tong)比(bi)提(ti)高(gao)(gao)(gao)0.04次,同(tong)比(bi)提(ti)高(gao)(gao)(gao)的(de)(de)企業(ye)有(you)113家(jia);應收賬款周轉率(lv)11.8次,同(tong)比(bi)提(ti)高(gao)(gao)(gao)0.5次,同(tong)比(bi)提(ti)高(gao)(gao)(gao)的(de)(de)企業(ye)有(you)100家(jia)。平(ping)(ping)均(jun)資(zi)產(chan)(chan)(chan)負債率(lv)為(wei)(wei)56.8%,多數企業(ye)資(zi)產(chan)(chan)(chan)負債率(lv)同(tong)比(bi)都有(you)所降低(di)。

  三是(shi)投(tou)(tou)(tou)(tou)資(zi)(zi)(zi)結構進一步(bu)優化。1-11月,中央企(qi)業(ye)完成固定資(zi)(zi)(zi)產投(tou)(tou)(tou)(tou)資(zi)(zi)(zi)10553.9億元(yuan),同比(bi)增長29.5%。主(zhu)(zhu)(zhu)(zhu)要(yao)有(you)(you)以下幾(ji)個(ge)特(te)點(dian):一是(shi)投(tou)(tou)(tou)(tou)資(zi)(zi)(zi)主(zhu)(zhu)(zhu)(zhu)要(yao)集中在石(shi)(shi)油石(shi)(shi)化、電(dian)力(li)、電(dian)信(xin)等重(zhong)點(dian)行業(ye),這三個(ge)行業(ye)的企(qi)業(ye)完成投(tou)(tou)(tou)(tou)資(zi)(zi)(zi)約占中央企(qi)業(ye)全部投(tou)(tou)(tou)(tou)資(zi)(zi)(zi)的85%。二是(shi)主(zhu)(zhu)(zhu)(zhu)業(ye)投(tou)(tou)(tou)(tou)資(zi)(zi)(zi)比(bi)重(zhong)提高,電(dian)力(li)、石(shi)(shi)油石(shi)(shi)化、電(dian)信(xin)、冶金(jin)(jin)、汽(qi)車五大(da)(da)行業(ye)97%以上(shang)的投(tou)(tou)(tou)(tou)資(zi)(zi)(zi)額投(tou)(tou)(tou)(tou)向了主(zhu)(zhu)(zhu)(zhu)業(ye)。三是(shi)投(tou)(tou)(tou)(tou)資(zi)(zi)(zi)的重(zhong)點(dian)主(zhu)(zhu)(zhu)(zhu)要(yao)是(shi)解決能源資(zi)(zi)(zi)源“瓶頸”制(zhi)(zhi)約、調(diao)整(zheng)產品結構、提高生產技術水(shui)平。石(shi)(shi)油石(shi)(shi)化企(qi)業(ye)投(tou)(tou)(tou)(tou)資(zi)(zi)(zi)主(zhu)(zhu)(zhu)(zhu)要(yao)用(yong)于(yu)油田勘探開發(fa),鋼(gang)鐵企(qi)業(ye)投(tou)(tou)(tou)(tou)資(zi)(zi)(zi)主(zhu)(zhu)(zhu)(zhu)要(yao)用(yong)于(yu)調(diao)整(zheng)鋼(gang)材品種結構,重(zhong)大(da)(da)裝備制(zhi)(zhi)造企(qi)業(ye)投(tou)(tou)(tou)(tou)資(zi)(zi)(zi)主(zhu)(zhu)(zhu)(zhu)要(yao)用(yong)于(yu)提升技術裝備水(shui)平。四是(shi)投(tou)(tou)(tou)(tou)資(zi)(zi)(zi)中自(zi)有(you)(you)資(zi)(zi)(zi)金(jin)(jin)比(bi)例平均達到(dao)61.7%,比(bi)2005年提高1.1個(ge)百(bai)分點(dian),電(dian)信(xin)、汽(qi)車、石(shi)(shi)油石(shi)(shi)化、冶金(jin)(jin)企(qi)業(ye)投(tou)(tou)(tou)(tou)資(zi)(zi)(zi)中自(zi)有(you)(you)資(zi)(zi)(zi)金(jin)(jin)比(bi)例均在70%以上(shang)。

  四是節(jie)能(neng)(neng)(neng)(neng)降(jiang)耗(hao)(hao)(hao)取得(de)新(xin)的(de)(de)成效。中央企(qi)業認(ren)真貫(guan)徹落實《國務院關于加(jia)強節(jie)能(neng)(neng)(neng)(neng)工作的(de)(de)決定》精神,積極開展創(chuang)建資源節(jie)約(yue)型企(qi)業活動,以(yi)節(jie)能(neng)(neng)(neng)(neng)降(jiang)耗(hao)(hao)(hao)為抓(zhua)手,帶動企(qi)業改革、結構調整(zheng)、技(ji)術創(chuang)新(xin)和加(jia)強管理(li)。通(tong)過(guo)優化生產(chan)系統組織管理(li)、加(jia)強目標(biao)(biao)(biao)(biao)考核(he)等一系列(lie)措施,節(jie)能(neng)(neng)(neng)(neng)降(jiang)耗(hao)(hao)(hao)指(zhi)標(biao)(biao)(biao)(biao)進一步優化。冶金企(qi)業主要能(neng)(neng)(neng)(neng)耗(hao)(hao)(hao)指(zhi)標(biao)(biao)(biao)(biao)均有(you)(you)不同程度下(xia)(xia)(xia)降(jiang),其中,寶(bao)鋼(gang)噸(dun)鋼(gang)耗(hao)(hao)(hao)新(xin)水比(bi)上(shang)年下(xia)(xia)(xia)降(jiang)14.6%;武鋼(gang)噸(dun)鋼(gang)綜(zong)(zong)合能(neng)(neng)(neng)(neng)耗(hao)(hao)(hao)同比(bi)下(xia)(xia)(xia)降(jiang)22.58千克標(biao)(biao)(biao)(biao)煤(mei),預(yu)計全年余熱余能(neng)(neng)(neng)(neng)發電(dian)將超過(guo)10億(yi)千瓦時(shi);鞍鋼(gang)噸(dun)鋼(gang)綜(zong)(zong)合能(neng)(neng)(neng)(neng)耗(hao)(hao)(hao)同比(bi)下(xia)(xia)(xia)降(jiang)61千克標(biao)(biao)(biao)(biao)煤(mei);中國鋁業鋁材(cai)生產(chan)綜(zong)(zong)合能(neng)(neng)(neng)(neng)耗(hao)(hao)(hao)同比(bi)下(xia)(xia)(xia)降(jiang)31%,全年節(jie)能(neng)(neng)(neng)(neng)有(you)(you)望超100萬噸(dun)標(biao)(biao)(biao)(biao)煤(mei)。三大石油(you)石化公司預(yu)計全年節(jie)約(yue)能(neng)(neng)(neng)(neng)耗(hao)(hao)(hao)350萬噸(dun)標(biao)(biao)(biao)(biao)煤(mei),節(jie)水1億(yi)立方米。

  在生(sheng)產(chan)(chan)經(jing)營快速增長的(de)同時,中(zhong)(zhong)央企業(ye)對經(jing)濟(ji)社(she)會(hui)發展(zhan)的(de)貢獻進(jin)一步顯現。石油(you)石化企業(ye)在國內成(cheng)品油(you)與(yu)進(jin)口(kou)成(cheng)品油(you)價格倒掛(gua)較為(wei)嚴(yan)重(zhong)(zhong)的(de)情況下,通過提負荷、增資源、調(diao)結構、壓出口(kou)、保(bao)重(zhong)(zhong)點等綜合措施,確保(bao)了(le)國內成(cheng)品油(you)市(shi)(shi)場的(de)穩定供(gong)應。電(dian)(dian)力(li)企業(ye)加強電(dian)(dian)網改造,加快發展(zhan)農電(dian)(dian)事業(ye),全(quan)面推進(jin)“戶戶通電(dian)(dian)”工(gong)程(cheng),保(bao)障了(le)電(dian)(dian)力(li)供(gong)應。電(dian)(dian)信(xin)企業(ye)在經(jing)濟(ji)社(she)會(hui)信(xin)息化建(jian)(jian)設中(zhong)(zhong)發揮(hui)了(le)重(zhong)(zhong)要(yao)(yao)作用。軍(jun)工(gong)企業(ye)深化改革(ge),加快技術創新,按時保(bao)質(zhi)保(bao)量完成(cheng)軍(jun)品科研和生(sheng)產(chan)(chan)任務,為(wei)國防現代化建(jian)(jian)設做(zuo)出了(le)重(zhong)(zhong)要(yao)(yao)貢獻。建(jian)(jian)筑、建(jian)(jian)材、商貿等行業(ye)的(de)中(zhong)(zhong)央企業(ye)在承擔國家(jia)重(zhong)(zhong)點建(jian)(jian)設工(gong)程(cheng)、穩定市(shi)(shi)場等方面,都(dou)做(zuo)出了(le)重(zhong)(zhong)要(yao)(yao)貢獻。

  2004-2006年(nian)是中(zhong)央企(qi)業(ye)(ye)負(fu)責人第一(yi)個業(ye)(ye)績(ji)考(kao)核任期。三年(nian)來,中(zhong)央企(qi)業(ye)(ye)發生了可喜(xi)變化。初步測算,2004-2006年(nian),中(zhong)央企(qi)業(ye)(ye)主(zhu)營業(ye)(ye)務收入增長78.8%,年(nian)均(jun)遞(di)增21.4%;實現(xian)利潤增長140%,年(nian)均(jun)遞(di)增33.8%;上繳(jiao)稅(shui)金增長96.5%,年(nian)均(jun)遞(di)增25.2%;凈資產(chan)收益率達(da)(da)到(dao)10%,提高了5個百分點;國有(you)資產(chan)保值增值率達(da)(da)到(dao)144.4%。有(you)13家中(zhong)央企(qi)業(ye)(ye)進(jin)入2006年(nian)公布(bu)的世界(jie)500強,比2004年(nian)增加5家。這是中(zhong)央企(qi)業(ye)(ye)1000萬干部職工(gong)抓住機遇、頑強拼搏、扎(zha)實工(gong)作的結果(guo),成績(ji)來之不(bu)易。在(zai)此(ci),我(wo)代表(biao)(biao)國資委和國資委黨(dang)委向(xiang)你們,并通過你們向(xiang)辛勤(qin)工(gong)作和做出貢獻(xian)的全體干部職工(gong)表(biao)(biao)示衷(zhong)心的感謝!

  三年來,中央企業(ye)(ye)認(ren)真貫徹(che)黨的十六大(da)和(he)歷次(ci)全會精神,落(luo)實黨中央、國務院(yuan)關于國有(you)資產(chan)管理體制(zhi)改(gai)革(ge)和(he)國有(you)企業(ye)(ye)改(gai)革(ge)的一系列重大(da)部署(shu),抓住改(gai)革(ge)、調整、創(chuang)新、管理等(deng)關鍵環節,做了大(da)量扎實有(you)效的工作,積累了寶(bao)貴的經驗。

  (一)深化改革為企業發展(zhan)提(ti)供強大的動力。

  中央企業把深化改(gai)革放在各項工作的突出位置,圍繞企業發展,大力推進股份制改(gai)革,完善公司法人治(zhi)理結(jie)構(gou),深化三項制度改(gai)革,推動(dong)體制機(ji)制創(chuang)新(xin),為企業發展提供了強(qiang)大的動(dong)力。

  股(gu)份(fen)制改革和境內(nei)外(wai)上(shang)市(shi)推(tui)進了(le)企(qi)(qi)業(ye)(ye)經(jing)營機(ji)制轉換。2003年(nian)以來(lai),共有(you)33家中央(yang)企(qi)(qi)業(ye)(ye)首次在境內(nei)外(wai)公開發行股(gu)票并上(shang)市(shi)。其中,中國(guo)交通股(gu)份(fen)、中煤能(neng)源、招商能(neng)源運輸、大唐國(guo)際(ji)發電、中國(guo)通信服務、中海石油化學、南車株洲(zhou)電氣、保利(li)房地產、中國(guo)建材(cai)等企(qi)(qi)業(ye)(ye)去(qu)年(nian)上(shang)市(shi),共募集資金575億元(yuan)。到(dao)目前為止,中央(yang)企(qi)(qi)業(ye)(ye)控(kong)股(gu)的194家上(shang)市(shi)公司(si)中,已有(you)191家完(wan)成或(huo)正在啟動(dong)股(gu)權(quan)分置改革,占總數(shu)的98.45%。中央(yang)企(qi)(qi)業(ye)(ye)及下屬(shu)子企(qi)(qi)業(ye)(ye)的公司(si)制股(gu)份(fen)制企(qi)(qi)業(ye)(ye)戶(hu)數(shu)比(bi)重(zhong)已由(you)2002年(nian)的30.4%提高(gao)到(dao)2006年(nian)的64.2%。

  中央企(qi)(qi)(qi)業(ye)(ye)(ye)董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)試(shi)(shi)點(dian)推(tui)進了(le)(le)(le)公(gong)司(si)法人治理結構的(de)完善。寶鋼(gang)、神(shen)華等19家(jia)企(qi)(qi)(qi)業(ye)(ye)(ye)開(kai)展了(le)(le)(le)董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)試(shi)(shi)點(dian),共選派了(le)(le)(le)65名外(wai)部(bu)董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi),有14家(jia)試(shi)(shi)點(dian)企(qi)(qi)(qi)業(ye)(ye)(ye)的(de)外(wai)部(bu)董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)達到或超過(guo)了(le)(le)(le)董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)成員(yuan)的(de)半數,實現了(le)(le)(le)企(qi)(qi)(qi)業(ye)(ye)(ye)決策(ce)層(ceng)(ceng)與(yu)執行層(ceng)(ceng)分(fen)開(kai),董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)運作(zuo)基(ji)本制(zhi)度逐步建(jian)(jian)立,各專(zhuan)(zhuan)門(men)委員(yuan)會(hui)開(kai)始運行,企(qi)(qi)(qi)業(ye)(ye)(ye)管理層(ceng)(ceng)的(de)責任感和(he)使命感進一步增(zeng)強(qiang)。未被列入試(shi)(shi)點(dian)的(de)中央企(qi)(qi)(qi)業(ye)(ye)(ye),也積極推(tui)進規(gui)范(fan)(fan)的(de)董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)建(jian)(jian)設。中船集(ji)團上海外(wai)高橋公(gong)司(si)通(tong)過(guo)建(jian)(jian)立規(gui)范(fan)(fan)的(de)國有股份公(gong)司(si)董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui),充(chong)分(fen)發揮(hui)董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)在企(qi)(qi)(qi)業(ye)(ye)(ye)經營決策(ce)中的(de)核心(xin)作(zuo)用,促(cu)進了(le)(le)(le)企(qi)(qi)(qi)業(ye)(ye)(ye)發展。兵器裝(zhuang)備對子(zi)企(qi)(qi)(qi)業(ye)(ye)(ye)派出董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)、監事(shi)(shi)(shi)(shi)和(he)委派總(zong)會(hui)計師,并選派了(le)(le)(le)專(zhuan)(zhuan)職出資(zi)人代表,目前集(ji)團子(zi)企(qi)(qi)(qi)業(ye)(ye)(ye)中的(de)38戶工業(ye)(ye)(ye)企(qi)(qi)(qi)業(ye)(ye)(ye)全部(bu)建(jian)(jian)立了(le)(le)(le)比較規(gui)范(fan)(fan)的(de)董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)(shi)(shi)(shi)會(hui)。

  三(san)項制(zhi)度改革(ge)進(jin)(jin)一(yi)步增強了(le)企(qi)(qi)(qi)(qi)業(ye)的(de)活力。三(san)年來(lai),國資委(wei)大力推進(jin)(jin)用人(ren)制(zhi)度改革(ge),先后組織78家(jia)(jia)(次)企(qi)(qi)(qi)(qi)業(ye)面(mian)向社(she)會公(gong)開(kai)招(zhao)(zhao)聘(pin)81名(ming)高級經(jing)營(ying)(ying)管(guan)(guan)理者,在10家(jia)(jia)企(qi)(qi)(qi)(qi)業(ye)通過競(jing)(jing)爭(zheng)上崗(gang)(gang)(gang)方式選拔了(le)20名(ming)高級經(jing)營(ying)(ying)管(guan)(guan)理者。通過開(kai)展公(gong)開(kai)招(zhao)(zhao)聘(pin)和(he)(he)競(jing)(jing)爭(zheng)上崗(gang)(gang)(gang),初步營(ying)(ying)造了(le)人(ren)才(cai)脫穎而出的(de)良好環境,擴(kuo)充了(le)中央(yang)企(qi)(qi)(qi)(qi)業(ye)人(ren)才(cai)儲(chu)備(bei),已有1400多(duo)(duo)名(ming)社(she)會各(ge)(ge)類人(ren)才(cai)進(jin)(jin)入中央(yang)企(qi)(qi)(qi)(qi)業(ye)人(ren)才(cai)庫(ku)。許多(duo)(duo)企(qi)(qi)(qi)(qi)業(ye)把(ba)黨管(guan)(guan)干部的(de)原則(ze)和(he)(he)市場(chang)化(hua)選人(ren)用人(ren)相(xiang)結合(he),進(jin)(jin)行了(le)積極的(de)探索,目前(qian)中央(yang)企(qi)(qi)(qi)(qi)業(ye)通過市場(chang)化(hua)方式選用的(de)各(ge)(ge)級經(jing)營(ying)(ying)管(guan)(guan)理人(ren)才(cai),約(yue)占總數的(de)30%。一(yi)批企(qi)(qi)(qi)(qi)業(ye)建立了(le)比較完善有效的(de)面(mian)向社(she)會公(gong)開(kai)招(zhao)(zhao)聘(pin)和(he)(he)全體員工(gong)競(jing)(jing)爭(zheng)上崗(gang)(gang)(gang)、量化(hua)考核、末位淘汰、收(shou)入分配(pei)與業(ye)績掛鉤的(de)機制(zhi)。

  國(guo)有資(zi)(zi)(zi)產(chan)(chan)管理體制改革(ge)不(bu)斷(duan)深化,推動(dong)了(le)(le)中(zhong)(zhong)央企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)的改革(ge)發(fa)展。國(guo)資(zi)(zi)(zi)委成(cheng)立以(yi)來,我們注(zhu)重(zhong)牢牢把握出資(zi)(zi)(zi)人定位,依法履行(xing)職(zhi)責,切實落實國(guo)有資(zi)(zi)(zi)產(chan)(chan)保值增(zeng)值責任(ren)。在(zai)清產(chan)(chan)核資(zi)(zi)(zi)的基礎上,對(dui)中(zhong)(zhong)央企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)負(fu)責人進行(xing)了(le)(le)年度和任(ren)期經(jing)營業(ye)(ye)績考核,并將業(ye)(ye)績考核和收入分配掛鉤。同時,加強了(le)(le)企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)財(cai)務(wu)監(jian)(jian)督和監(jian)(jian)事會監(jian)(jian)督。監(jian)(jian)事會主席(xi)認真履行(xing)監(jian)(jian)督職(zhi)責,客(ke)觀報告企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)情況,做了(le)(le)大(da)量卓有成(cheng)效的工作。中(zhong)(zhong)央企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)負(fu)責人以(yi)搞(gao)好(hao)企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)、發(fa)展壯(zhuang)大(da)國(guo)有經(jing)濟為己任(ren),表現(xian)出很(hen)強的責任(ren)感和良好(hao)的精(jing)神狀態,帶(dai)領廣大(da)干部(bu)職(zhi)工奮力拼(pin)搏,扎實工作,創(chuang)造出良好(hao)的經(jing)營業(ye)(ye)績。在(zai)新的國(guo)有資(zi)(zi)(zi)產(chan)(chan)管理體制下,我們共同探索(suo)了(le)(le)一條遵循企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)發(fa)展規律搞(gao)好(hao)國(guo)有企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)的路(lu)子,這是(shi)推動(dong)中(zhong)(zhong)央企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)實現(xian)持續快速健康發(fa)展的一個(ge)重(zhong)要因素(su)。

  (二)調整(zheng)結構為企(qi)業發展(zhan)增(zeng)添(tian)新的(de)活力。

  三年來,我(wo)們(men)始終把加快中央(yang)企(qi)業(ye)布局結構(gou)調(diao)整(zheng)作(zuo)為促進企(qi)業(ye)持續發展(zhan)的一項(xiang)重(zhong)要措施,強(qiang)(qiang)調(diao)突出(chu)主(zhu)(zhu)(zhu)業(ye),先后分五批(pi)核定公布了137家中央(yang)企(qi)業(ye)的主(zhu)(zhu)(zhu)業(ye)。中央(yang)企(qi)業(ye)圍繞做強(qiang)(qiang)做大(da)主(zhu)(zhu)(zhu)業(ye),積(ji)極開展(zhan)調(diao)整(zheng)重(zhong)組,縮短管理鏈(lian)條,推進自主(zhu)(zhu)(zhu)創新,拓展(zhan)海外市場(chang),企(qi)業(ye)發展(zhan)呈現(xian)了新的活力。

  企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)重組(zu)(zu)優(you)化(hua)了(le)(le)(le)布局(ju)結構。三年來,中(zhong)(zhong)(zhong)(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)共有(you)(you)73家(jia)(jia)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)參與(yu)了(le)(le)(le)38次重組(zu)(zu),企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)戶(hu)數從(cong)196家(jia)(jia)減少至(zhi)159家(jia)(jia)。中(zhong)(zhong)(zhong)(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)之間的(de)(de)重組(zu)(zu)有(you)(you)五(wu)種類型(xing)(xing)(xing)。一(yi)是(shi)(shi)科研院(yuan)(yuan)所(suo)進入產(chan)(chan)(chan)(chan)(chan)業(ye)(ye)(ye)(ye)集(ji)(ji)(ji)團(tuan)(tuan)(tuan)。建(jian)材(cai)科研院(yuan)(yuan)、有(you)(you)色設計(ji)院(yuan)(yuan)、天津水泥院(yuan)(yuan)、中(zhong)(zhong)(zhong)(zhong)訊(xun)設計(ji)院(yuan)(yuan)、食品(pin)(pin)發(fa)(fa)酵院(yuan)(yuan)、中(zhong)(zhong)(zhong)(zhong)機國(guo)(guo)際工(gong)(gong)(gong)程(cheng)(cheng)(cheng)院(yuan)(yuan)、重慶汽(qi)車所(suo)、寰球(qiu)工(gong)(gong)(gong)程(cheng)(cheng)(cheng)公(gong)(gong)(gong)司(si)(si)等科研院(yuan)(yuan)所(suo)進入相關產(chan)(chan)(chan)(chan)(chan)業(ye)(ye)(ye)(ye)集(ji)(ji)(ji)團(tuan)(tuan)(tuan),實(shi)現(xian)了(le)(le)(le)產(chan)(chan)(chan)(chan)(chan)研結合(he)(he)(he),提高(gao)了(le)(le)(le)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)的(de)(de)技(ji)術創新能力(li)。二是(shi)(shi)強(qiang)(qiang)強(qiang)(qiang)聯合(he)(he)(he)。港(gang)(gang)灣集(ji)(ji)(ji)團(tuan)(tuan)(tuan)與(yu)路橋集(ji)(ji)(ji)團(tuan)(tuan)(tuan)、電子(zi)信息產(chan)(chan)(chan)(chan)(chan)業(ye)(ye)(ye)(ye)集(ji)(ji)(ji)團(tuan)(tuan)(tuan)與(yu)長城計(ji)算機集(ji)(ji)(ji)團(tuan)(tuan)(tuan)公(gong)(gong)(gong)司(si)(si)等企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)聯合(he)(he)(he)重組(zu)(zu),形成了(le)(le)(le)具有(you)(you)較強(qiang)(qiang)綜合(he)(he)(he)競(jing)爭力(li)的(de)(de)大型(xing)(xing)(xing)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)集(ji)(ji)(ji)團(tuan)(tuan)(tuan)。三是(shi)(shi)“窗口”公(gong)(gong)(gong)司(si)(si)并(bing)(bing)(bing)(bing)入大型(xing)(xing)(xing)骨干(gan)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)。中(zhong)(zhong)(zhong)(zhong)國(guo)(guo)土(tu)木工(gong)(gong)(gong)程(cheng)(cheng)(cheng)公(gong)(gong)(gong)司(si)(si)并(bing)(bing)(bing)(bing)入中(zhong)(zhong)(zhong)(zhong)鐵建(jian),中(zhong)(zhong)(zhong)(zhong)國(guo)(guo)海外(wai)工(gong)(gong)(gong)程(cheng)(cheng)(cheng)公(gong)(gong)(gong)司(si)(si)并(bing)(bing)(bing)(bing)入中(zhong)(zhong)(zhong)(zhong)鐵工(gong)(gong)(gong),大大增強(qiang)(qiang)了(le)(le)(le)集(ji)(ji)(ji)團(tuan)(tuan)(tuan)海外(wai)市(shi)場的(de)(de)開拓(tuo)能力(li)和(he)競(jing)爭能力(li)。四是(shi)(shi)通(tong)過產(chan)(chan)(chan)(chan)(chan)業(ye)(ye)(ye)(ye)整(zheng)合(he)(he)(he)拓(tuo)展和(he)完(wan)善相關企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)業(ye)(ye)(ye)(ye)務(wu)鏈(lian)。中(zhong)(zhong)(zhong)(zhong)土(tu)畜(chu)、中(zhong)(zhong)(zhong)(zhong)谷糧油并(bing)(bing)(bing)(bing)入中(zhong)(zhong)(zhong)(zhong)糧,藥材(cai)公(gong)(gong)(gong)司(si)(si)并(bing)(bing)(bing)(bing)入醫藥集(ji)(ji)(ji)團(tuan)(tuan)(tuan),邯(han)邢(xing)冶金礦山管理局(ju)并(bing)(bing)(bing)(bing)入五(wu)礦,免稅品(pin)(pin)公(gong)(gong)(gong)司(si)(si)并(bing)(bing)(bing)(bing)入國(guo)(guo)旅,旅游商貿公(gong)(gong)(gong)司(si)(si)并(bing)(bing)(bing)(bing)入中(zhong)(zhong)(zhong)(zhong)旅,中(zhong)(zhong)(zhong)(zhong)煤建(jian)并(bing)(bing)(bing)(bing)入中(zhong)(zhong)(zhong)(zhong)煤能源,外(wai)輪理貨(huo)公(gong)(gong)(gong)司(si)(si)并(bing)(bing)(bing)(bing)入中(zhong)(zhong)(zhong)(zhong)遠(yuan)等,促(cu)進了(le)(le)(le)相關產(chan)(chan)(chan)(chan)(chan)業(ye)(ye)(ye)(ye)中(zhong)(zhong)(zhong)(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)的(de)(de)整(zheng)合(he)(he)(he),發(fa)(fa)揮(hui)了(le)(le)(le)協(xie)同互(hu)補(bu)效應。五(wu)是(shi)(shi)一(yi)批困難企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)扭(niu)虧脫(tuo)困,煥發(fa)(fa)新的(de)(de)生機。輕(qing)工(gong)(gong)(gong)業(ye)(ye)(ye)(ye)機械總公(gong)(gong)(gong)司(si)(si)并(bing)(bing)(bing)(bing)入建(jian)材(cai)集(ji)(ji)(ji)團(tuan)(tuan)(tuan),實(shi)現(xian)了(le)(le)(le)扭(niu)虧為盈。國(guo)(guo)開投托管中(zhong)(zhong)(zhong)(zhong)包公(gong)(gong)(gong)司(si)(si),誠通(tong)集(ji)(ji)(ji)團(tuan)(tuan)(tuan)托管寰島公(gong)(gong)(gong)司(si)(si)、接管普天集(ji)(ji)(ji)團(tuan)(tuan)(tuan)8戶(hu)虧損企(qi)(qi)(qi)業(ye)(ye)(ye)(ye),探索了(le)(le)(le)資(zi)(zi)產(chan)(chan)(chan)(chan)(chan)重組(zu)(zu)的(de)(de)新途徑。許多中(zhong)(zhong)(zhong)(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)開展了(le)(le)(le)非(fei)主(zhu)業(ye)(ye)(ye)(ye)資(zi)(zi)產(chan)(chan)(chan)(chan)(chan)的(de)(de)剝離重組(zu)(zu)。招商局(ju)將下(xia)屬(shu)旅游企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)劃轉(zhuan)港(gang)(gang)中(zhong)(zhong)(zhong)(zhong)旅,華能將下(xia)屬(shu)房(fang)地產(chan)(chan)(chan)(chan)(chan)公(gong)(gong)(gong)司(si)(si)劃轉(zhuan)中(zhong)(zhong)(zhong)(zhong)房(fang),實(shi)現(xian)了(le)(le)(le)非(fei)主(zhu)業(ye)(ye)(ye)(ye)剝離,增強(qiang)(qiang)了(le)(le)(le)主(zhu)業(ye)(ye)(ye)(ye)競(jing)爭力(li)。少數瀕臨破(po)(po)產(chan)(chan)(chan)(chan)(chan)的(de)(de)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)通(tong)過重組(zu)(zu)探索了(le)(le)(le)托管、移交地方實(shi)施政策性破(po)(po)產(chan)(chan)(chan)(chan)(chan)的(de)(de)路子(zi),中(zhong)(zhong)(zhong)(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)下(xia)屬(shu)公(gong)(gong)(gong)司(si)(si)有(you)(you)312戶(hu)納(na)入政策性破(po)(po)產(chan)(chan)(chan)(chan)(chan)四年規劃。

  壓縮管(guan)(guan)理(li)層級,優化了(le)(le)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)組織結(jie)構(gou)。目前(qian),大部(bu)(bu)分(fen)(fen)(fen)中(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)已將管(guan)(guan)理(li)層級初步壓縮到三(san)級以內。廣核電取消了(le)(le)三(san)級以下的(de)全部(bu)(bu)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)。中(zhong)石化下屬煉化企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)基本(ben)完成(cheng)了(le)(le)扁平化改革(ge),由三(san)級管(guan)(guan)理(li)變成(cheng)了(le)(le)兩(liang)級管(guan)(guan)理(li)。中(zhong)電投(tou)實行“小業(ye)(ye)(ye)(ye)主(zhu)(zhu)、委(wei)托制(zhi)(zhi)”的(de)運營模式,在所(suo)有(you)發電企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)實施了(le)(le)主(zhu)(zhu)輔(fu)分(fen)(fen)(fen)離(li)、運檢分(fen)(fen)(fen)離(li)、運管(guan)(guan)分(fen)(fen)(fen)離(li)。中(zhong)材科工和新時代集團重組內部(bu)(bu)松散(san)業(ye)(ye)(ye)(ye)務板塊,有(you)效整合產業(ye)(ye)(ye)(ye)鏈,優化了(le)(le)集團內部(bu)(bu)資源(yuan)配置。與此(ci)同時,中(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)積極推進主(zhu)(zhu)輔(fu)分(fen)(fen)(fen)離(li)輔(fu)業(ye)(ye)(ye)(ye)改制(zhi)(zhi)和分(fen)(fen)(fen)離(li)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)辦社(she)會職能工作。截至(zhi)2006年9月(yue)底,76家中(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)主(zhu)(zhu)輔(fu)分(fen)(fen)(fen)離(li)輔(fu)業(ye)(ye)(ye)(ye)改制(zhi)(zhi)的(de)方案已經得到批(pi)復(fu),共(gong)涉及改制(zhi)(zhi)單位4879個,分(fen)(fen)(fen)流安(an)置富余人(ren)員77.7萬人(ren)。目前(qian),中(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)共(gong)分(fen)(fen)(fen)離(li)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)辦普通中(zhong)小學1849所(suo)、公檢法(fa)機構(gou)345個,移交(jiao)在職職工14.8萬人(ren),離(li)退休教師6.93萬人(ren)。

  (三)加強管(guan)理(li)為企(qi)業發展奠定堅實的基礎。

  三年來(lai),中央企業積極推進(jin)管理(li)(li)創新,加強產權管理(li)(li)、財務(wu)資(zi)(zi)金成本管理(li)(li)和(he)戰(zhan)略規劃管理(li)(li),增強集團控制力和(he)抗(kang)御風(feng)險能(neng)力,亂(luan)投資(zi)(zi)、亂(luan)擔保、亂(luan)貸(dai)款的現(xian)象基本得到遏(e)制,企業管理(li)(li)逐步從粗放(fang)型向(xiang)集約化、精細化轉變,管理(li)(li)水平有了很(hen)大提(ti)高。

  強(qiang)化財(cai)務(wu)(wu)資(zi)(zi)金管(guan)理(li),加強(qiang)成本(ben)控(kong)制(zhi),促進了(le)經(jing)濟效(xiao)益的(de)提高。一批企業結合(he)自身特(te)點,積極推廣精細化管(guan)理(li)、全面預算(suan)管(guan)理(li)等(deng)先進管(guan)理(li)理(li)念(nian)和方法,取(qu)得(de)明顯(xian)成效(xiao)。中(zhong)石(shi)油采(cai)取(qu)貸(dai)款封閉運行、收(shou)支兩條線及(ji)債務(wu)(wu)集(ji)中(zhong)管(guan)理(li)等(deng)措施(shi),撤(che)(che)并(bing)8000多個(ge)銀行賬(zhang)戶,債務(wu)(wu)規模縮減了(le)1000多億(yi)(yi)元(yuan)。國家(jia)電網清理(li)撤(che)(che)并(bing)銀行賬(zhang)戶9480個(ge),網省公司(si)歸(gui)集(ji)資(zi)(zi)金占貨幣資(zi)(zi)金存(cun)量的(de)87.4%。寶鋼(gang)三年來實施(shi)精細化項目(mu)260項,共創(chuang)造財(cai)務(wu)(wu)收(shou)益12億(yi)(yi)元(yuan)。中(zhong)國移(yi)動、中(zhong)國電信等(deng)企業建立集(ji)中(zhong)采(cai)購制(zhi)度,加大集(ji)中(zhong)招(zhao)標采(cai)購力度,有效(xiao)降(jiang)低了(le)設備采(cai)購成本(ben)。國開(kai)投通過比價管(guan)理(li)選擇融(rong)(rong)資(zi)(zi)機構,節約融(rong)(rong)資(zi)(zi)成本(ben)約20億(yi)(yi)元(yuan)。中(zhong)船重工實行擔(dan)(dan)保集(ji)中(zhong)審批管(guan)理(li),加大對外擔(dan)(dan)保的(de)清理(li)力度,使對外擔(dan)(dan)保余額(e)從(cong)年初的(de)32.9億(yi)(yi)元(yuan)減少到(dao)1.8億(yi)(yi)元(yuan),大大降(jiang)低了(le)對外擔(dan)(dan)保風險。

  強化(hua)(hua)戰(zhan)(zhan)略規(gui)劃管(guan)理,為企業發(fa)展(zhan)明確了(le)(le)方向。中(zhong)糧充分發(fa)揮戰(zhan)(zhan)略規(gui)劃的(de)(de)(de)(de)主導和引領作用,通過制(zhi)定發(fa)展(zhan)戰(zhan)(zhan)略,調整和重組業務單元,推進(jin)(jin)資源(yuan)優(you)化(hua)(hua)配置。中(zhong)遠按(an)照集團發(fa)展(zhan)戰(zhan)(zhan)略,實行了(le)(le)以流程優(you)化(hua)(hua)、資源(yuan)重組、質量制(zhi)勝、內(nei)涵(han)發(fa)展(zhan)為特征的(de)(de)(de)(de)一系列改革(ge)舉措,加快了(le)(le)國際(ji)化(hua)(hua)進(jin)(jin)程。中(zhong)化(hua)(hua)集團經過多年(nian)探索,已經形成(cheng)了(le)(le)發(fa)展(zhan)戰(zhan)(zhan)略導向下的(de)(de)(de)(de)三年(nian)滾動規(gui)劃編制(zhi)和年(nian)度預算考核緊密結合(he)的(de)(de)(de)(de)管(guan)理機制(zhi),促進(jin)(jin)了(le)(le)經濟(ji)效益的(de)(de)(de)(de)穩步(bu)提高(gao)。

  加(jia)強投資活動(dong)全(quan)過程(cheng)管理,提高了(le)投入產出效(xiao)益。中石(shi)油、中石(shi)化(hua)、中國電(dian)信、華(hua)能、國電(dian)、國開(kai)投等企業建(jian)立(li)健全(quan)了(le)投資項目后(hou)(hou)評(ping)價(jia)制(zhi)度(du),后(hou)(hou)評(ping)價(jia)工(gong)作逐步走向制(zhi)度(du)化(hua)、規范化(hua)和程(cheng)序化(hua)。中石(shi)油后(hou)(hou)評(ping)價(jia)工(gong)作涵蓋了(le)公司(si)六大業務領域,占公司(si)總投資額(e)的90%以上(shang)。中石(shi)化(hua)把前一輪(lun)后(hou)(hou)評(ping)價(jia)結(jie)論(lun)作為后(hou)(hou)一輪(lun)改造的依(yi)據(ju),新(xin)上(shang)乙烯(xi)項目科學(xue)選用國產化(hua)設備,相(xiang)同設備節省投資50%。華(hua)能通過能耗及污(wu)染物排放后(hou)(hou)評(ping)價(jia),挖掘(jue)節能潛力,為建(jian)設資源節約型電(dian)廠(chang)提供了(le)重要依(yi)據(ju)。

  加強風(feng)(feng)險管(guan)理與控(kong)制(zhi)(zhi)(zhi),增(zeng)強了(le)(le)抗御風(feng)(feng)險能(neng)力。大(da)多數企(qi)業都建立(li)健全了(le)(le)風(feng)(feng)險管(guan)理的(de)規(gui)章制(zhi)(zhi)(zhi)度,一批企(qi)業的(de)境外上(shang)市(shi)公司建立(li)了(le)(le)比較完(wan)善的(de)內部控(kong)制(zhi)(zhi)(zhi)體系,并將內控(kong)體系擴(kuo)展到存續企(qi)業。中央企(qi)業還加快了(le)(le)法律(lv)(lv)顧問制(zhi)(zhi)(zhi)度建設,已有(you)119家企(qi)業設立(li)企(qi)業法律(lv)(lv)事(shi)務機構,33家實行了(le)(le)總(zong)法律(lv)(lv)顧問制(zhi)(zhi)(zhi)度,依法決策、依法經(jing)營管(guan)理、依法維護權益(yi)的(de)能(neng)力和(he)水(shui)平有(you)了(le)(le)明顯提高。

  (四)加強(qiang)和改進企業(ye)黨建為企業(ye)發展提供堅強(qiang)的保證。

  在看到成績和進步的同時,我們也要十分清醒地看到,我們的工作還存在很多差距和不足,中央企業的改革發展仍然存在一些不容忽視的問題。一是企業改革相對滯后。目前,中央企業股份制改革的面還不夠寬,集團一級不少企業還是按《企業法》注冊的國有獨資企業。規范的董事會建設才剛起步,完善公司法人治理結構的任務十分繁重。企業內部改革還不到位,經營者能上能下、人員能進能出、收入能增能減的機制在不少企業還沒有真正建立。二是布局結構不盡合理。目前,中央企業分布仍然過寬,在國民經濟的95個大類行業中,中央企業三級以上企業涉足86個行業,行業分布面為90.5%。國有資本集中度仍然處于較低水平,中小型企業數量仍過多,相當一部分企業主業不清晰;大型企業在企業規模、創新能力、品牌建設、經營效率等方面與優秀的國際大公司相比,差距還相當大。歷史遺留的大量不良資產、無效資產和非主業資產還沒有得到徹底解決。三是經濟運行中仍然存在許多問題。有的企業資產運行質量不高,凈資產收益率和銷售利潤率甚至低于1%;有的企業債務風險較大,盲目擴大規模,過度負債經營,過度擔保;有的企業集團管控能力不強,管理相對滯后,對資金籌集、管理和利用等重大財務事項缺乏有效的內控監督,對所屬子企業缺乏有效控制。這些問題嚴重制約著中央企業的改革與發展,必須高度重視,抓住當前的有利時機,下決心、下功夫加快解決。
