關于做好2016年度《企業年度工作報告》填報工作的通知

各中央企業:

依照《國(guo)(guo)有(you)(you)(you)企業(ye)監(jian)(jian)(jian)事會(hui)暫行(xing)條例(li)》(國(guo)(guo)務院令第(di)283號(hao))、《關(guan)于加強和改進國(guo)(guo)有(you)(you)(you)企業(ye)監(jian)(jian)(jian)事會(hui)工作(zuo)(zuo)的(de)若干意見》(國(guo)(guo)資發監(jian)(jian)(jian)督〔2006〕174號(hao))和《關(guan)于進一(yi)步支持配合監(jian)(jian)(jian)事會(hui)開(kai)展監(jian)(jian)(jian)督檢查工作(zuo)(zuo)有(you)(you)(you)關(guan)事項的(de)通知(zhi)》(國(guo)(guo)資發監(jian)(jian)(jian)督〔2012〕120號(hao))的(de)有(you)(you)(you)關(guan)規(gui)定,各中央企業(ye)每年向(xiang)監(jian)(jian)(jian)事會(hui)報(bao)送《企業(ye)年度工作(zuo)(zuo)報(bao)告(gao)》(以下簡稱年度報(bao)告(gao))。為做好(hao)2016年度報(bao)告(gao)填報(bao)工作(zuo)(zuo),現(xian)將有(you)(you)(you)關(guan)事項通知(zhi)如下:

一、加強組(zu)織領導,健(jian)全工作(zuo)體系(xi)

各中央(yang)企(qi)業要(yao)(yao)(yao)(yao)高度(du)(du)(du)重視年度(du)(du)(du)報(bao)告(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo),健(jian)全(quan)組(zu)織領(ling)(ling)(ling)導機制,成(cheng)立年度(du)(du)(du)報(bao)告(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo)領(ling)(ling)(ling)導小(xiao)組(zu)或聯席會議,統籌謀劃、協(xie)同推動各項工(gong)(gong)(gong)作(zuo)(zuo)。要(yao)(yao)(yao)(yao)研(yan)究制定年度(du)(du)(du)報(bao)告(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo)落(luo)(luo)實(shi)方案,明(ming)確工(gong)(gong)(gong)作(zuo)(zuo)目標、具體(ti)措施、責(ze)(ze)任(ren)主(zhu)(zhu)體(ti)和進度(du)(du)(du)要(yao)(yao)(yao)(yao)求(qiu)(qiu),強化(hua)(hua)(hua)(hua)(hua)部(bu)(bu)門(men)(men)聯動,結合企(qi)業實(shi)際編制可(ke)(ke)追溯、可(ke)(ke)量(liang)化(hua)(hua)(hua)(hua)(hua)、可(ke)(ke)評(ping)價、可(ke)(ke)考核的工(gong)(gong)(gong)作(zuo)(zuo)任(ren)務(wu)分(fen)(fen)解臺賬。企(qi)業法定代表人(ren)(ren)要(yao)(yao)(yao)(yao)認真履(lv)行好年度(du)(du)(du)報(bao)告(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo)第一(yi)(yi)(yi)責(ze)(ze)任(ren)人(ren)(ren)職責(ze)(ze),強化(hua)(hua)(hua)(hua)(hua)領(ling)(ling)(ling)導、落(luo)(luo)實(shi)責(ze)(ze)任(ren),嚴格把(ba)關、確保質(zhi)量(liang);分(fen)(fen)管領(ling)(ling)(ling)導要(yao)(yao)(yao)(yao)履(lv)行好直接責(ze)(ze)任(ren)人(ren)(ren)職責(ze)(ze),深入一(yi)(yi)(yi)線、靠前指揮,把(ba)控(kong)(kong)關鍵、重點督辦(ban);牽頭部(bu)(bu)門(men)(men)要(yao)(yao)(yao)(yao)加(jia)強組(zu)織協(xie)調,及時分(fen)(fen)解落(luo)(luo)實(shi)任(ren)務(wu)、規(gui)范工(gong)(gong)(gong)作(zuo)(zuo)流程、細化(hua)(hua)(hua)(hua)(hua)工(gong)(gong)(gong)作(zuo)(zuo)要(yao)(yao)(yao)(yao)求(qiu)(qiu)、密切跟蹤督促、強化(hua)(hua)(hua)(hua)(hua)過程控(kong)(kong)制;協(xie)同部(bu)(bu)門(men)(men)要(yao)(yao)(yao)(yao)明(ming)確任(ren)務(wu)分(fen)(fen)工(gong)(gong)(gong),主(zhu)(zhu)動參與、積極配合,細化(hua)(hua)(hua)(hua)(hua)落(luo)(luo)實(shi)工(gong)(gong)(gong)作(zuo)(zuo)責(ze)(ze)任(ren),形成(cheng)有效工(gong)(gong)(gong)作(zuo)(zuo)合力。中央(yang)企(qi)業集(ji)團(tuan)總部(bu)(bu)要(yao)(yao)(yao)(yao)加(jia)強對子企(qi)業年度(du)(du)(du)報(bao)告(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo)的統籌領(ling)(ling)(ling)導,做到統一(yi)(yi)(yi)部(bu)(bu)署、統一(yi)(yi)(yi)標準(zhun)、統一(yi)(yi)(yi)實(shi)施、統一(yi)(yi)(yi)審核,建立完善橫向(xiang)全(quan)面覆蓋(gai)、縱向(xiang)責(ze)(ze)任(ren)到人(ren)(ren)的組(zu)織管理體(ti)系(xi)。

二、圍繞中心工作,全面梳理排查

各中(zhong)央(yang)企(qi)(qi)業(ye)(ye)要(yao)(yao)以(yi)年度報(bao)(bao)告工(gong)作(zuo)(zuo)為抓手,緊密圍(wei)繞(rao)中(zhong)心(xin)工(gong)作(zuo)(zuo),全(quan)面(mian)總結(jie)一年來企(qi)(qi)業(ye)(ye)經(jing)(jing)營管理(li)(li)和(he)改革發(fa)展情況,深(shen)入(ru)排查(cha)(cha)重(zhong)(zhong)(zhong)大問(wen)(wen)題(ti)(ti)和(he)風險(xian)隱患,探索(suo)建立(li)企(qi)(qi)業(ye)(ye)自查(cha)(cha)問(wen)(wen)題(ti)(ti)清單(dan),認真分析查(cha)(cha)找原因,制(zhi)(zhi)定切(qie)實(shi)可行的整改措(cuo)施。要(yao)(yao)圍(wei)繞(rao)黨中(zhong)央(yang)、國(guo)(guo)務(wu)(wu)院重(zhong)(zhong)(zhong)大決(jue)策(ce)部(bu)署(shu)及(ji)國(guo)(guo)資監管政策(ce)規定執(zhi)行情況,系統(tong)梳理(li)(li)深(shen)化國(guo)(guo)企(qi)(qi)國(guo)(guo)資改革和(he)推(tui)進供(gong)給側結(jie)構性改革、瘦(shou)身健(jian)體(ti)、提質(zhi)增效等(deng)(deng)重(zhong)(zhong)(zhong)點任務(wu)(wu)落實(shi)情況,著重(zhong)(zhong)(zhong)分析化解(jie)過剩產(chan)能、處置“僵尸企(qi)(qi)業(ye)(ye)”、特困企(qi)(qi)業(ye)(ye)專項(xiang)治(zhi)理(li)(li)、壓縮管理(li)(li)層級、減少(shao)法人數量(liang)、加(jia)快(kuai)解(jie)決(jue)歷史遺留問(wen)(wen)題(ti)(ti)等(deng)(deng)重(zhong)(zhong)(zhong)點專項(xiang)工(gong)作(zuo)(zuo)情況及(ji)存(cun)在的問(wen)(wen)題(ti)(ti)。要(yao)(yao)以(yi)提高(gao)發(fa)展質(zhi)量(liang)和(he)效益為中(zhong)心(xin),全(quan)面(mian)梳理(li)(li)、集(ji)中(zhong)排查(cha)(cha)企(qi)(qi)業(ye)(ye)內部(bu)控(kong)(kong)制(zhi)(zhi)、財務(wu)(wu)管理(li)(li)、運營管控(kong)(kong)、境外(wai)資產(chan)管理(li)(li)、黨建及(ji)公(gong)司(si)治(zhi)理(li)(li)等(deng)(deng)方面(mian)存(cun)在的重(zhong)(zhong)(zhong)要(yao)(yao)管控(kong)(kong)缺(que)陷,詳細報(bao)(bao)告企(qi)(qi)業(ye)(ye)重(zhong)(zhong)(zhong)大資產(chan)減值(zhi)、重(zhong)(zhong)(zhong)大資產(chan)損失、重(zhong)(zhong)(zhong)大經(jing)(jing)營風險(xian)、債務(wu)(wu)違約風險(xian)等(deng)(deng)重(zhong)(zhong)(zhong)要(yao)(yao)風險(xian)事項(xiang)。要(yao)(yao)建立(li)健(jian)全(quan)年度報(bao)(bao)告揭示問(wen)(wen)題(ti)(ti)整改落實(shi)機制(zhi)(zhi),形成部(bu)門間齊抓共管、整改聯動(dong)的工(gong)作(zuo)(zuo)局(ju)面(mian),有效發(fa)揮年度報(bao)(bao)告在系統(tong)診(zhen)斷和(he)風險(xian)預判方面(mian)的重(zhong)(zhong)(zhong)要(yao)(yao)作(zuo)(zuo)用。

三(san)、加強溝通(tong)配合,明確(que)范圍重點(dian)

各中央企業(ye)(ye)(ye)要(yao)深入(ru)(ru)(ru)貫徹落實(shi)中央企業(ye)(ye)(ye)監(jian)(jian)事(shi)會(hui)工(gong)作(zuo)會(hui)議(yi)精神,按照(zhao)“兩個融入(ru)(ru)(ru)”、“五個必須”的總體(ti)要(yao)求(qiu),進一步加強與派駐(zhu)(zhu)本企業(ye)(ye)(ye)監(jian)(jian)事(shi)會(hui)的溝通(tong)配(pei)合,根(gen)據(ju)監(jian)(jian)事(shi)會(hui)監(jian)(jian)督(du)檢(jian)查工(gong)作(zuo)需(xu)要(yao),結合企業(ye)(ye)(ye)經(jing)營規模(mo)、組織架(jia)構、管(guan)控模(mo)式(shi)、行(xing)業(ye)(ye)(ye)特點(dian)(dian)(dian)、區(qu)域分(fen)布、發展階段等情(qing)況(kuang),共(gong)同確定(ding)(ding)企業(ye)(ye)(ye)填報(bao)范(fan)(fan)圍和年度(du)重點(dian)(dian)(dian)披露事(shi)項(xiang)。原則上,年度(du)報(bao)告填報(bao)范(fan)(fan)圍包(bao)括企業(ye)(ye)(ye)集(ji)團、境內(外(wai))二級單位、各級金融子企業(ye)(ye)(ye)以(yi)及所托管(guan)企業(ye)(ye)(ye);整(zheng)體(ti)上市中央企業(ye)(ye)(ye)填報(bao)范(fan)(fan)圍包(bao)括控股上市公司(si)(si)所屬境內(外(wai))二級單位;離岸公司(si)(si)、殼公司(si)(si)等特殊子企業(ye)(ye)(ye)不納(na)入(ru)(ru)(ru)填報(bao)范(fan)(fan)圍,監(jian)(jian)事(shi)會(hui)另有(you)要(yao)求(qiu)的除外(wai)。三(san)級(含(han))以(yi)下重要(yao)子企業(ye)(ye)(ye)及重要(yao)非法人實(shi)體(ti)等填報(bao)范(fan)(fan)圍與監(jian)(jian)事(shi)會(hui)共(gong)同商定(ding)(ding),根(gen)據(ju)監(jian)(jian)事(shi)會(hui)工(gong)作(zuo)需(xu)要(yao)及年度(du)監(jian)(jian)督(du)檢(jian)查計劃安排,納(na)入(ru)(ru)(ru)填報(bao)范(fan)(fan)圍。鼓勵有(you)條件的中央企業(ye)(ye)(ye)試行(xing)全(quan)級次報(bao)送。要(yao)根(gen)據(ju)派駐(zhu)(zhu)本企業(ye)(ye)(ye)監(jian)(jian)事(shi)會(hui)的要(yao)求(qiu),分(fen)行(xing)業(ye)(ye)(ye)、分(fen)業(ye)(ye)(ye)務(wu)板(ban)塊梳(shu)理(li)重點(dian)(dian)(dian)關注事(shi)項(xiang)和重點(dian)(dian)(dian)填報(bao)內容。

四(si)、融入日常管控,完善長效機制

各中央企業要(yao)(yao)深入推(tui)(tui)進年(nian)度(du)(du)報(bao)(bao)(bao)告(gao)(gao)工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)(zuo)與企業日(ri)常管控工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)(zuo)的深度(du)(du)融合,努力實(shi)(shi)(shi)現工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)(zuo)聯動(dong)、信息共享(xiang)、資源整合、成果共用,著力形(xing)成以年(nian)度(du)(du)報(bao)(bao)(bao)告(gao)(gao)為(wei)抓手的企業自我(wo)診斷、自我(wo)完(wan)(wan)善的長(chang)效工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)(zuo)機(ji)制(zhi)(zhi)(zhi)(zhi)(zhi)。要(yao)(yao)加強年(nian)度(du)(du)報(bao)(bao)(bao)告(gao)(gao)制(zhi)(zhi)(zhi)(zhi)(zhi)度(du)(du)建(jian)設,建(jian)立統一工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)(zuo)規(gui)(gui)范(fan)和(he)標準(zhun)體(ti)系,科學安排工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)(zuo)進度(du)(du),細化規(gui)(gui)范(fan)工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)(zuo)標準(zhun),嚴格審核評(ping)價流程,實(shi)(shi)(shi)現全(quan)程閉環管理(li)。要(yao)(yao)建(jian)立內(nei)部協(xie)同聯動(dong)機(ji)制(zhi)(zhi)(zhi)(zhi)(zhi),充分利用已有管理(li)系統、內(nei)部成果、工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)(zuo)報(bao)(bao)(bao)告(gao)(gao)等信息載體(ti),避免重復歸集、重復報(bao)(bao)(bao)送。要(yao)(yao)實(shi)(shi)(shi)現年(nian)度(du)(du)報(bao)(bao)(bao)告(gao)(gao)與企業信息化工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)(zuo)有效對接,充分利用信息化建(jian)設基礎,以大數據為(wei)核心推(tui)(tui)進年(nian)度(du)(du)報(bao)(bao)(bao)告(gao)(gao)信息化建(jian)設,創新工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)(zuo)方(fang)法(fa),提高工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)(zuo)效率,分享(xiang)信息資源,深化成果應(ying)用。要(yao)(yao)建(jian)立健(jian)全(quan)年(nian)度(du)(du)報(bao)(bao)(bao)告(gao)(gao)質量綜合評(ping)價機(ji)制(zhi)(zhi)(zhi)(zhi)(zhi),研究(jiu)制(zhi)(zhi)(zhi)(zhi)(zhi)定年(nian)度(du)(du)報(bao)(bao)(bao)告(gao)(gao)工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)(zuo)及支持配合監事會工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)(zuo)與業績考核掛鉤的具體(ti)措施,完(wan)(wan)善激勵約束長(chang)效機(ji)制(zhi)(zhi)(zhi)(zhi)(zhi),推(tui)(tui)動(dong)年(nian)度(du)(du)報(bao)(bao)(bao)告(gao)(gao)工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)(zuo)落到實(shi)(shi)(shi)處。

五、落實填報任務,按時(shi)備(bei)案報送(song)

(一(yi))請各中央(yang)企業于2016年(nian)12月(yue)15日前將與(yu)派駐(zhu)本企業監(jian)事(shi)(shi)會共同確定的擬報送年(nian)度報告有關事(shi)(shi)項,以正式文件(jian)(jian)形式(式樣見附件(jian)(jian)1)報監(jian)事(shi)(shi)會工作局備案。

(二)請各中央企業(ye)于(yu)2017年(nian)2月28日前(qian)將(jiang)集團(tuan)公司與各級子(zi)企業(ye)年(nian)度報告一并以正(zheng)式文件形式(式樣見附件2)報送派(pai)駐本企業(ye)監事(shi)會(hui)(紙質材料1套(tao),光盤2套(tao)),同(tong)時將(jiang)年(nian)度報告(光盤1套(tao))及正(zheng)式文件報送監事(shi)會(hui)工作局備(bei)案。

(三(san))年(nian)度報(bao)(bao)告(gao)繼(ji)續使用軟件填報(bao)(bao)。《2016年(nian)度企業(ye)年(nian)度工作(zuo)(zuo)報(bao)(bao)告(gao)格(ge)式文本及編制說(shuo)明》安(an)裝在填報(bao)(bao)軟件中,繼(ji)續探索(suo)推進(jin)信息化報(bao)(bao)送和綜合應(ying)用。需要填報(bao)(bao)軟件及紙質材(cai)料的企業(ye)請與監事會工作(zuo)(zuo)局聯系。

(四)國資委將組(zu)(zu)織召開“2016年度(du)中(zhong)央(yang)企業年度(du)工作報告布(bu)置培訓(xun)視頻會(hui)議”,屆時請各中(zhong)央(yang)企業按通知要(yao)求組(zu)(zu)織相關人員參會(hui)。
