依照《國(guo)(guo)有(you)企業(ye)(ye)監(jian)(jian)事會(hui)暫行條例》(國(guo)(guo)務院令第283號),《關(guan)于加強和(he)改(gai)進(jin)(jin)國(guo)(guo)有(you)企業(ye)(ye)監(jian)(jian)事會(hui)工(gong)作(zuo)(zuo)的若(ruo)干(gan)意見》(國(guo)(guo)資(zi)發監(jian)(jian)督〔2006〕174號)和(he)《關(guan)于進(jin)(jin)一步支持配合監(jian)(jian)事會(hui)開展監(jian)(jian)督檢查工(gong)作(zuo)(zuo)有(you)關(guan)事項的通(tong)知》(國(guo)(guo)資(zi)發監(jian)(jian)督〔2012〕120號)的有(you)關(guan)規定(ding),各中央(yang)企業(ye)(ye)每(mei)年向(xiang)監(jian)(jian)事會(hui)報(bao)送(song)《企業(ye)(ye)年度工(gong)作(zuo)(zuo)報(bao)告(gao)》(以(yi)下(xia)簡稱年度報(bao)告(gao))。為做好2014年度報(bao)告(gao)填報(bao)工(gong)作(zuo)(zuo),現將有(you)關(guan)事項通(tong)知如(ru)下(xia):
一(yi)、加強工作組織(zhi),切實(shi)提升報告質量
年度報(bao)(bao)告是企(qi)業向(xiang)出資人(ren)報(bao)(bao)送的(de)(de)重(zhong)要(yao)文件。各中央企(qi)業要(yao)高(gao)度重(zhong)視年度報(bao)(bao)告填(tian)(tian)(tian)(tian)報(bao)(bao)組織(zhi)工(gong)作(zuo)(zuo)(zuo),企(qi)業法(fa)定代(dai)表人(ren)切(qie)(qie)實履行好填(tian)(tian)(tian)(tian)報(bao)(bao)工(gong)作(zuo)(zuo)(zuo)第一(yi)責(ze)任人(ren)職責(ze),強化組織(zhi)領導(dao),責(ze)成相關(guan)領導(dao)同志總(zong)(zong)體(ti)(ti)負責(ze),明(ming)確具體(ti)(ti)牽頭部門(men),構(gou)建(jian)協調(diao)聯動的(de)(de)跨(kua)部門(men)填(tian)(tian)(tian)(tian)報(bao)(bao)組織(zhi)體(ti)(ti)系。進(jin)一(yi)步加強填(tian)(tian)(tian)(tian)報(bao)(bao)制(zhi)(zhi)度建(jian)設,將關(guan)鍵(jian)環節(jie)和質量(liang)要(yao)求固化于制(zhi)(zhi)度流程(cheng)中,完(wan)善(shan)填(tian)(tian)(tian)(tian)報(bao)(bao)工(gong)作(zuo)(zuo)(zuo)長(chang)效機制(zhi)(zhi)。積極培(pei)育穩(wen)定的(de)(de)填(tian)(tian)(tian)(tian)報(bao)(bao)隊伍(wu),采取多種方式開展工(gong)作(zuo)(zuo)(zuo)交流和業務培(pei)訓,加大(da)統籌力度,形成工(gong)作(zuo)(zuo)(zuo)合力。增強填(tian)(tian)(tian)(tian)報(bao)(bao)工(gong)作(zuo)(zuo)(zuo)的(de)(de)統一(yi)部署,層層落實填(tian)(tian)(tian)(tian)報(bao)(bao)責(ze)任,從嚴制(zhi)(zhi)定審核標準,逐級(ji)匯總(zong)(zong)審核把關(guan),切(qie)(qie)實提(ti)升年度報(bao)(bao)告整體(ti)(ti)質量(liang)。
二、突出填報重點,確保信(xin)息真實(shi)完整
年度(du)報(bao)(bao)(bao)告是全(quan)面展現企業(ye)工(gong)作成果(guo)的(de)重(zhong)(zhong)(zhong)(zhong)(zhong)要(yao)(yao)(yao)(yao)載(zai)體。各中央企業(ye)要(yao)(yao)(yao)(yao)充(chong)分(fen)利(li)用年度(du)報(bao)(bao)(bao)告系統(tong)化框架,綜(zong)合(he)反映(ying)企業(ye)一年來經(jing)營(ying)(ying)管理(li)和(he)改革發展成效,突出年度(du)重(zhong)(zhong)(zhong)(zhong)(zhong)點(dian)工(gong)作和(he)特色成果(guo),客觀揭示存在的(de)問題和(he)風(feng)(feng)險(xian)(xian)(xian),切(qie)實保證信息(xi)的(de)真實完整。要(yao)(yao)(yao)(yao)全(quan)面報(bao)(bao)(bao)告企業(ye)貫(guan)徹執行有關法(fa)律(lv)法(fa)規(gui)和(he)規(gui)章(zhang)制(zhi)度(du)情況、生(sheng)產經(jing)營(ying)(ying)和(he)財(cai)務(wu)(wu)效益狀(zhuang)況;重(zhong)(zhong)(zhong)(zhong)(zhong)點(dian)描述(shu)企業(ye)負(fu)責人履職行為和(he)效果(guo),企業(ye)重(zhong)(zhong)(zhong)(zhong)(zhong)大(da)(da)決策(ce)和(he)重(zhong)(zhong)(zhong)(zhong)(zhong)要(yao)(yao)(yao)(yao)經(jing)營(ying)(ying)管理(li)活(huo)動情況;詳細反映(ying)境外項目、金融(rong)及(ji)其(qi)衍生(sheng)業(ye)務(wu)(wu)、高風(feng)(feng)險(xian)(xian)(xian)業(ye)務(wu)(wu)、重(zhong)(zhong)(zhong)(zhong)(zhong)大(da)(da)經(jing)濟合(he)同、節能減(jian)排等(deng)重(zhong)(zhong)(zhong)(zhong)(zhong)點(dian)事項;充(chong)分(fen)揭示企業(ye)經(jing)營(ying)(ying)風(feng)(feng)險(xian)(xian)(xian)、違法(fa)違紀違規(gui)、法(fa)律(lv)訴訟和(he)仲裁、安全(quan)生(sheng)產責任事故、突發公共事件等(deng)重(zhong)(zhong)(zhong)(zhong)(zhong)大(da)(da)風(feng)(feng)險(xian)(xian)(xian)事項。支持有關企業(ye)補報(bao)(bao)(bao)或續報(bao)(bao)(bao)期后重(zhong)(zhong)(zhong)(zhong)(zhong)大(da)(da)事項。
三、增進溝(gou)通(tong)交(jiao)流,加(jia)大支持(chi)配(pei)合力度
年(nian)(nian)度報(bao)(bao)(bao)(bao)(bao)告是企(qi)(qi)(qi)業(ye)(ye)支持配(pei)合(he)(he)監事(shi)會有效(xiao)履職的重要(yao)基(ji)礎。各中(zhong)央(yang)企(qi)(qi)(qi)業(ye)(ye)要(yao)將年(nian)(nian)度報(bao)(bao)(bao)(bao)(bao)告填(tian)(tian)報(bao)(bao)(bao)(bao)(bao)工(gong)作(zuo)(zuo)納(na)入支持配(pei)合(he)(he)監事(shi)會工(gong)作(zuo)(zuo)體系,以填(tian)(tian)報(bao)(bao)(bao)(bao)(bao)工(gong)作(zuo)(zuo)為契機,進(jin)一步增進(jin)與派(pai)駐本企(qi)(qi)(qi)業(ye)(ye)監事(shi)會的溝通配(pei)合(he)(he),加強監事(shi)會對年(nian)(nian)度報(bao)(bao)(bao)(bao)(bao)告填(tian)(tian)報(bao)(bao)(bao)(bao)(bao)工(gong)作(zuo)(zuo)的組織部署和(he)過程指(zhi)導。認真聽取(qu)派(pai)駐本企(qi)(qi)(qi)業(ye)(ye)監事(shi)會意見,共同確定填(tian)(tian)報(bao)(bao)(bao)(bao)(bao)范(fan)圍(wei)和(he)年(nian)(nian)度重點(dian)(dian)披(pi)露事(shi)項,抓好(hao)重點(dian)(dian)、難點(dian)(dian)、亮(liang)點(dian)(dian)內(nei)容填(tian)(tian)報(bao)(bao)(bao)(bao)(bao)。總體填(tian)(tian)報(bao)(bao)(bao)(bao)(bao)范(fan)圍(wei)應當包(bao)括企(qi)(qi)(qi)業(ye)(ye)集團、境內(nei)(外)二(er)級單位、各級金融子企(qi)(qi)(qi)業(ye)(ye)以及所托(tuo)管企(qi)(qi)(qi)業(ye)(ye);三級(含)以下(xia)重要(yao)子企(qi)(qi)(qi)業(ye)(ye)及重要(yao)非法(fa)人實體等填(tian)(tian)報(bao)(bao)(bao)(bao)(bao)范(fan)圍(wei)可與監事(shi)會共同商定;離岸(an)公司、殼公司等特(te)殊(shu)子企(qi)(qi)(qi)業(ye)(ye)不(bu)納(na)入填(tian)(tian)報(bao)(bao)(bao)(bao)(bao)范(fan)圍(wei)。鼓(gu)勵有條(tiao)件的中(zhong)央(yang)企(qi)(qi)(qi)業(ye)(ye)試行全級次報(bao)(bao)(bao)(bao)(bao)送。
四、細化考核評價(jia),推動(dong)報告成果應(ying)用
年(nian)(nian)度(du)報(bao)(bao)(bao)(bao)告是展(zhan)示企業(ye)(ye)精細化管(guan)理(li)狀況(kuang)的(de)(de)重(zhong)要平臺。各中(zhong)央企業(ye)(ye)要加大年(nian)(nian)度(du)報(bao)(bao)(bao)(bao)告審核(he)(he)(he)力度(du),逐項(xiang)規范審核(he)(he)(he)標準(zhun),嚴格執行多(duo)層(ceng)(ceng)審核(he)(he)(he)制(zhi)度(du),落實審核(he)(he)(he)問(wen)題(ti)反饋、整(zheng)改督辦、補報(bao)(bao)(bao)(bao)重(zhong)報(bao)(bao)(bao)(bao)等工(gong)作(zuo)機(ji)制(zhi)。要結合本企業(ye)(ye)實際,開展(zhan)自我評價和(he)總結,著重(zhong)加強(qiang)重(zhong)點子(zi)企業(ye)(ye)、基層(ceng)(ceng)子(zi)企業(ye)(ye)和(he)關鍵業(ye)(ye)務(wu)內容的(de)(de)評價,建立健全填報(bao)(bao)(bao)(bao)質量評價體系和(he)通報(bao)(bao)(bao)(bao)機(ji)制(zhi),確保填報(bao)(bao)(bao)(bao)質量不斷提高(gao)。年(nian)(nian)度(du)報(bao)(bao)(bao)(bao)告重(zhong)在(zai)應用,在(zai)滿足監事會監督檢查工(gong)作(zuo)需要的(de)(de)同(tong)時,各中(zhong)央企業(ye)(ye)要進(jin)一步(bu)加強(qiang)年(nian)(nian)度(du)報(bao)(bao)(bao)(bao)告填報(bao)(bao)(bao)(bao)成果的(de)(de)綜合應用和(he)信息共享,積(ji)極(ji)推動解決年(nian)(nian)度(du)報(bao)(bao)(bao)(bao)告披(pi)露的(de)(de)重(zhong)大問(wen)題(ti)和(he)風險(xian)隱患(huan),充(chong)分發揮(hui)年(nian)(nian)度(du)報(bao)(bao)(bao)(bao)告促進(jin)企業(ye)(ye)規范運營、提升管(guan)理(li)的(de)(de)重(zhong)要作(zuo)用。
五、落(luo)實填(tian)報(bao)任務,按時規(gui)范備案報(bao)送
(一)請各中央企(qi)業于(yu)2014年12月15日前(qian)將與派駐本(ben)企(qi)業監(jian)事會共同確(que)定的擬(ni)報(bao)(bao)送年度報(bao)(bao)告有關事項,以正式(shi)文(wen)件形式(shi)(式(shi)樣見附件1)報(bao)(bao)監(jian)事會工作局(ju)備案。
(二(er))請各(ge)中央企(qi)業(ye)于2015年2月15日(ri)前將集團(tuan)公司與(yu)各(ge)級(ji)子企(qi)業(ye)年度(du)報告一并以正式文(wen)件形式(式樣(yang)見附(fu)件2)報送派駐本企(qi)業(ye)監事會(hui)(紙質材料1套(tao),光盤2套(tao)),同時將年度(du)報告(光盤1套(tao))及正式文(wen)件報送監事會(hui)工作局備案(an)。
(三)年(nian)度報(bao)(bao)告繼續使用(yong)企(qi)(qi)業報(bao)(bao)表處理軟件填(tian)報(bao)(bao)。《2014年(nian)度〈企(qi)(qi)業年(nian)度工(gong)作(zuo)報(bao)(bao)告〉格式文本及編制說明》安裝在企(qi)(qi)業報(bao)(bao)表處理軟件中(zhong),探索推進信息(xi)化(hua)報(bao)(bao)送和綜合應用(yong)。需要(yao)紙質材(cai)料的企(qi)(qi)業請與(yu)監事會工(gong)作(zuo)局聯系(xi)。
(四)2014年(nian)度(du)報告(gao)填(tian)報培訓(xun)與2014年(nian)度(du)財務決(jue)算(suan)培訓(xun)統一安排,屆時請(qing)各中央企業務必派負責年(nian)度(du)報告(gao)填(tian)報工作的(de)相關人員參(can)加。
