國務院(yuan)總理溫(wen)家寶6月30日主持召開國務院(yuan)常務會(hui)(hui)議(yi),研究(jiu)部署(shu)促進企(qi)業兼并重組,聽取對中央企(qi)業監(jian)督檢查和國有企(qi)業監(jian)事會(hui)(hui)工作情(qing)況匯報,審議(yi)并原(yuan)則通過《自然災害救助條例(草(cao)案)》。
會議指出,近(jin)年來(lai),各行(xing)業(ye)(ye)、各領域通過企(qi)業(ye)(ye)合并和(he)股權、資產(chan)收(shou)購等多種形(xing)式積極進(jin)行(xing)整合,企(qi)業(ye)(ye)兼(jian)并重組(zu)步伐(fa)加快(kuai),產(chan)業(ye)(ye)組(zu)織結構不(bu)斷優化(hua)。但一些行(xing)業(ye)(ye)產(chan)業(ye)(ye)集中度低、自主創新(xin)能(neng)力不(bu)強(qiang)、市場(chang)競爭力較弱等問題(ti)仍然突出。在資源環(huan)境(jing)約束日益嚴(yan)重、國際(ji)產(chan)業(ye)(ye)競爭更加激(ji)烈的新(xin)形(xing)勢(shi)下,必須切實推進(jin)企(qi)業(ye)(ye)兼(jian)并重組(zu),深化(hua)企(qi)業(ye)(ye)改(gai)革(ge),促進(jin)產(chan)業(ye)(ye)結構優化(hua)升級,加快(kuai)經濟(ji)發(fa)展(zhan)方式轉變,提高發(fa)展(zhan)質量和(he)效益,增(zeng)強(qiang)抵御國際(ji)市場(chang)風(feng)險能(neng)力,實現可持(chi)續發(fa)展(zhan)。
會議強調(diao),促進(jin)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)兼(jian)并(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)(zu),必(bi)須堅持(chi)發(fa)揮企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)的(de)主體(ti)作用,充(chong)分(fen)(fen)尊重(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)意愿;堅持(chi)市場(chang)化運作,促進(jin)市場(chang)公平競(jing)爭(zheng),優勝劣汰;依法妥善(shan)解(jie)決(jue)(jue)資(zi)(zi)(zi)產債務(wu)處置和(he)(he)(he)職工安置問題,維護(hu)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)、社會的(de)和(he)(he)(he)諧(xie)穩定(ding)(ding)。一要消(xiao)除企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)兼(jian)并(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)(zu)的(de)制(zhi)度障(zhang)礙(ai)。清理廢止(zhi)各(ge)種不利于企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)兼(jian)并(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)(zu)和(he)(he)(he)妨礙(ai)公平競(jing)爭(zheng)的(de)規(gui)(gui)定(ding)(ding),堅決(jue)(jue)取消(xiao)地方(fang)自(zi)行(xing)出臺的(de)限制(zhi)外(wai)地企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)對本(ben)(ben)(ben)地企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)實施(shi)兼(jian)并(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)(zu)的(de)規(gui)(gui)定(ding)(ding)。地區間可簽(qian)訂財(cai)稅(shui)利益分(fen)(fen)成(cheng)協議,實現企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)兼(jian)并(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)(zu)成(cheng)果共享。切實向民營資(zi)(zi)(zi)本(ben)(ben)(ben)開(kai)放法律法規(gui)(gui)未禁止(zhi)進(jin)入(ru)的(de)行(xing)業(ye)(ye)(ye)(ye)和(he)(he)(he)領域(yu),加(jia)快壟斷(duan)行(xing)業(ye)(ye)(ye)(ye)改(gai)革,鼓勵民營資(zi)(zi)(zi)本(ben)(ben)(ben)通過(guo)兼(jian)并(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)(zu)等(deng)方(fang)式進(jin)入(ru)壟斷(duan)行(xing)業(ye)(ye)(ye)(ye)的(de)競(jing)爭(zheng)性業(ye)(ye)(ye)(ye)務(wu)領域(yu)。二要加(jia)強對企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)兼(jian)并(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)(zu)的(de)引導和(he)(he)(he)政策(ce)扶(fu)持(chi)。通過(guo)兼(jian)并(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)(zu),堅決(jue)(jue)淘汰落(luo)后產能。中央(yang)設立專項資(zi)(zi)(zi)金,支持(chi)中央(yang)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)兼(jian)并(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)(zu)。支持(chi)兼(jian)并(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)(zu)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)技術改(gai)造和(he)(he)(he)產品結(jie)構調(diao)整。充(chong)分(fen)(fen)發(fa)揮資(zi)(zi)(zi)本(ben)(ben)(ben)市場(chang)推動(dong)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)重(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)(zu)的(de)作用,落(luo)實稅(shui)收優惠,加(jia)大金融支持(chi)力度,完善(shan)土地管(guan)理政策(ce)。三要改(gai)進(jin)對兼(jian)并(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)(zu)的(de)管(guan)理和(he)(he)(he)服務(wu)。堅持(chi)政企(qi)(qi)(qi)(qi)(qi)(qi)(qi)分(fen)(fen)開(kai),規(gui)(gui)范和(he)(he)(he)改(gai)進(jin)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)兼(jian)并(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)(zu)行(xing)政審(shen)批。加(jia)強風險監控和(he)(he)(he)信(xin)息(xi)(xi)披露,有效(xiao)防(fang)范和(he)(he)(he)打擊內幕(mu)交(jiao)易(yi)和(he)(he)(he)市場(chang)操(cao)縱行(xing)為,保護(hu)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)利益,防(fang)止(zhi)國有資(zi)(zi)(zi)產流失。做好信(xin)息(xi)(xi)咨詢服務(wu),拓寬企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)兼(jian)并(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)(zu)供求信(xin)息(xi)(xi)的(de)交(jiao)流渠道。四(si)要推進(jin)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)體(ti)制(zhi)改(gai)革,通過(guo)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)兼(jian)并(bing)(bing)(bing)重(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)(zhong)組(zu)(zu)(zu)(zu),進(jin)一步加(jia)強和(he)(he)(he)改(gai)善(shan)經營管(guan)理,促進(jin)自(zi)主創(chuang)新,提高(gao)企(qi)(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)市場(chang)競(jing)爭(zheng)力。會議要求各(ge)地區、各(ge)有關部(bu)門(men)加(jia)強組(zu)(zu)(zu)(zu)織領導和(he)(he)(he)指導協調(diao),細化配套(tao)政策(ce)措施(shi),認(ren)真抓(zhua)好工作落(luo)實。
會議聽(ting)取了(le)(le)對中(zhong)(zhong)央(yang)(yang)企業(ye)監(jian)督(du)(du)檢查和國有(you)(you)企業(ye)監(jian)事會工作情況(kuang)的(de)匯報。會議指(zhi)出,2009年,中(zhong)(zhong)央(yang)(yang)企業(ye)認真貫徹黨中(zhong)(zhong)央(yang)(yang)、國務(wu)院決策部(bu)署,積(ji)極應對國際(ji)金融(rong)危機,全面落實重點產(chan)業(ye)調(diao)整和振興規(gui)劃,深化企業(ye)改革,著力增(zeng)強經(jing)(jing)營活力和創新能力,切實履(lv)行社會責任,保(bao)(bao)持(chi)了(le)(le)生(sheng)產(chan)經(jing)(jing)營總體平穩運行,發揮(hui)了(le)(le)國有(you)(you)經(jing)(jing)濟主導作用。同時,也存在一些影響企業(ye)持(chi)續發展(zhan)和涉及國有(you)(you)資產(chan)安全的(de)問(wen)題(ti),主要是:部(bu)分企業(ye)歷史(shi)欠帳多;盲目(mu)擴(kuo)張,財(cai)務(wu)風(feng)險(xian)大;效益回升基礎不穩固;發展(zhan)主業(ye)不專注,布局結構(gou)不合理(li);企業(ye)集團管控力度不足(zu);境外項目(mu)缺乏控制(zhi)(zhi);違(wei)法(fa)違(wei)紀違(wei)規(gui)問(wen)題(ti)時有(you)(you)發生(sheng)。下(xia)一步,要繼續加大監(jian)事會監(jian)督(du)(du)力度,完善外部(bu)監(jian)督(du)(du)機制(zhi)(zhi),促進(jin)中(zhong)(zhong)央(yang)(yang)企業(ye)深化改革,規(gui)范(fan)管理(li),確保(bao)(bao)國有(you)(you)資產(chan)保(bao)(bao)值(zhi)增(zeng)值(zhi)。
會議審(shen)議并原則(ze)通(tong)過(guo)《自(zi)(zi)然(ran)(ran)災(zai)害(hai)(hai)(hai)救(jiu)(jiu)助(zhu)(zhu)(zhu)(zhu)條例(li)(草案(an))》。會議指出,我國自(zi)(zi)然(ran)(ran)災(zai)害(hai)(hai)(hai)多發頻發,是世(shi)界上受(shou)自(zi)(zi)然(ran)(ran)災(zai)害(hai)(hai)(hai)影響(xiang)最嚴重的(de)(de)國家之一(yi)。黨中央、國務院歷(li)來高度重視(shi)自(zi)(zi)然(ran)(ran)災(zai)害(hai)(hai)(hai)救(jiu)(jiu)助(zhu)(zhu)(zhu)(zhu)工(gong)作,經(jing)過(guo)多年(nian)努力,初步建立了自(zi)(zi)然(ran)(ran)災(zai)害(hai)(hai)(hai)救(jiu)(jiu)助(zhu)(zhu)(zhu)(zhu)應(ying)急體系。近5年(nian)來,平均每年(nian)救(jiu)(jiu)助(zhu)(zhu)(zhu)(zhu)受(shou)災(zai)群(qun)眾6000萬至8000萬人(ren)(ren)(ren)次。為(wei)進(jin)一(yi)步規范自(zi)(zi)然(ran)(ran)災(zai)害(hai)(hai)(hai)救(jiu)(jiu)助(zhu)(zhu)(zhu)(zhu)工(gong)作,保障受(shou)災(zai)人(ren)(ren)(ren)員(yuan)基(ji)本(ben)(ben)生(sheng)活,有必(bi)要(yao)在總(zong)結實踐經(jing)驗(yan)的(de)(de)基(ji)礎上制(zhi)(zhi)定(ding)《自(zi)(zi)然(ran)(ran)災(zai)害(hai)(hai)(hai)救(jiu)(jiu)助(zhu)(zhu)(zhu)(zhu)條例(li)》。條例(li)草案(an)規定(ding),自(zi)(zi)然(ran)(ran)災(zai)害(hai)(hai)(hai)救(jiu)(jiu)助(zhu)(zhu)(zhu)(zhu)工(gong)作遵循以人(ren)(ren)(ren)為(wei)本(ben)(ben)、政(zheng)(zheng)府(fu)(fu)主(zhu)導、分級管(guan)理、社(she)會互助(zhu)(zhu)(zhu)(zhu)與受(shou)災(zai)人(ren)(ren)(ren)員(yuan)自(zi)(zi)救(jiu)(jiu)相(xiang)結合的(de)(de)原則(ze),實行各級人(ren)(ren)(ren)民(min)政(zheng)(zheng)府(fu)(fu)行政(zheng)(zheng)領導負責制(zhi)(zhi)。草案(an)明(ming)確(que)了自(zi)(zi)然(ran)(ran)災(zai)害(hai)(hai)(hai)救(jiu)(jiu)助(zhu)(zhu)(zhu)(zhu)準備措施,確(que)立了預警響(xiang)應(ying)、應(ying)急響(xiang)應(ying)機制(zhi)(zhi)和受(shou)災(zai)人(ren)(ren)(ren)員(yuan)災(zai)后(hou)生(sheng)活救(jiu)(jiu)助(zhu)(zhu)(zhu)(zhu)制(zhi)(zhi)度,強(qiang)化(hua)了對救(jiu)(jiu)助(zhu)(zhu)(zhu)(zhu)款物的(de)(de)監管(guan)。
