依照《國(guo)有企(qi)業監(jian)(jian)(jian)事(shi)會(hui)暫行條例》(國(guo)務(wu)院令第283號)、《關(guan)(guan)(guan)于加強和改進國(guo)有企(qi)業監(jian)(jian)(jian)事(shi)會(hui)工(gong)作的若干意見》(國(guo)資(zi)發監(jian)(jian)(jian)督〔2006〕174號)和《關(guan)(guan)(guan)于進一步支(zhi)持配合監(jian)(jian)(jian)事(shi)會(hui)開(kai)展監(jian)(jian)(jian)督檢查工(gong)作有關(guan)(guan)(guan)事(shi)項的通知(zhi)》(國(guo)資(zi)發監(jian)(jian)(jian)督〔2012〕120號)的有關(guan)(guan)(guan)規定,各中央企(qi)業每年向監(jian)(jian)(jian)事(shi)會(hui)報送《企(qi)業年度工(gong)作報告》(以下(xia)簡(jian)稱(cheng)年度報告)。為做好2016年度報告填(tian)報工(gong)作,現將有關(guan)(guan)(guan)事(shi)項通知(zhi)如下(xia):
一(yi)、加強組織(zhi)領導,健全(quan)工作體系
各中(zhong)央(yang)企(qi)業(ye)(ye)(ye)要高度重視(shi)年(nian)度報告工(gong)(gong)作(zuo)(zuo)(zuo),健全組織領導(dao)(dao)機制(zhi),成立年(nian)度報告工(gong)(gong)作(zuo)(zuo)(zuo)領導(dao)(dao)小組或聯席會議,統(tong)(tong)籌(chou)謀劃、協同推(tui)動(dong)各項工(gong)(gong)作(zuo)(zuo)(zuo)。要研究制(zhi)定年(nian)度報告工(gong)(gong)作(zuo)(zuo)(zuo)落(luo)實(shi)(shi)方案,明(ming)確(que)(que)工(gong)(gong)作(zuo)(zuo)(zuo)目標、具(ju)體措(cuo)施(shi)、責任(ren)(ren)(ren)主體和進度要求,強(qiang)(qiang)化(hua)部(bu)(bu)門聯動(dong),結合(he)企(qi)業(ye)(ye)(ye)實(shi)(shi)際編制(zhi)可(ke)追溯(su)、可(ke)量化(hua)、可(ke)評價、可(ke)考(kao)核的工(gong)(gong)作(zuo)(zuo)(zuo)任(ren)(ren)(ren)務分(fen)解(jie)臺賬。企(qi)業(ye)(ye)(ye)法(fa)定代表人(ren)(ren)要認真履行好年(nian)度報告工(gong)(gong)作(zuo)(zuo)(zuo)第一(yi)責任(ren)(ren)(ren)人(ren)(ren)職(zhi)責,強(qiang)(qiang)化(hua)領導(dao)(dao)、落(luo)實(shi)(shi)責任(ren)(ren)(ren),嚴格把關、確(que)(que)保質量;分(fen)管領導(dao)(dao)要履行好直接(jie)責任(ren)(ren)(ren)人(ren)(ren)職(zhi)責,深入一(yi)線、靠前指揮,把控(kong)(kong)關鍵、重點督(du)辦;牽頭(tou)部(bu)(bu)門要加(jia)強(qiang)(qiang)組織協調,及時分(fen)解(jie)落(luo)實(shi)(shi)任(ren)(ren)(ren)務、規范工(gong)(gong)作(zuo)(zuo)(zuo)流(liu)程(cheng)、細化(hua)工(gong)(gong)作(zuo)(zuo)(zuo)要求、密切(qie)跟蹤督(du)促、強(qiang)(qiang)化(hua)過程(cheng)控(kong)(kong)制(zhi);協同部(bu)(bu)門要明(ming)確(que)(que)任(ren)(ren)(ren)務分(fen)工(gong)(gong),主動(dong)參與、積極配(pei)合(he),細化(hua)落(luo)實(shi)(shi)工(gong)(gong)作(zuo)(zuo)(zuo)責任(ren)(ren)(ren),形成有效(xiao)工(gong)(gong)作(zuo)(zuo)(zuo)合(he)力。中(zhong)央(yang)企(qi)業(ye)(ye)(ye)集團總(zong)部(bu)(bu)要加(jia)強(qiang)(qiang)對子企(qi)業(ye)(ye)(ye)年(nian)度報告工(gong)(gong)作(zuo)(zuo)(zuo)的統(tong)(tong)籌(chou)領導(dao)(dao),做到(dao)統(tong)(tong)一(yi)部(bu)(bu)署、統(tong)(tong)一(yi)標準、統(tong)(tong)一(yi)實(shi)(shi)施(shi)、統(tong)(tong)一(yi)審核,建(jian)立完善橫向全面覆蓋、縱向責任(ren)(ren)(ren)到(dao)人(ren)(ren)的組織管理體系。
二、圍繞中心工作,全(quan)面(mian)梳理排查(cha)
各中(zhong)(zhong)(zhong)央(yang)企業要(yao)以年(nian)(nian)度(du)(du)報(bao)(bao)告工作(zuo)為(wei)抓(zhua)手(shou),緊密圍(wei)繞中(zhong)(zhong)(zhong)心工作(zuo),全(quan)面(mian)總結(jie)一年(nian)(nian)來企業經營管理(li)(li)(li)和改(gai)(gai)革(ge)發展情況(kuang),深入排(pai)查重(zhong)(zhong)(zhong)(zhong)大(da)問(wen)(wen)題和風(feng)險(xian)(xian)隱患(huan),探(tan)索建立(li)企業自查問(wen)(wen)題清(qing)單,認(ren)真(zhen)分析(xi)查找原(yuan)因,制定切實可行(xing)的(de)(de)整(zheng)改(gai)(gai)措(cuo)施。要(yao)圍(wei)繞黨(dang)中(zhong)(zhong)(zhong)央(yang)、國務(wu)院重(zhong)(zhong)(zhong)(zhong)大(da)決策部署及(ji)(ji)國資(zi)監(jian)管政策規(gui)定執(zhi)行(xing)情況(kuang),系(xi)統梳理(li)(li)(li)深化國企國資(zi)改(gai)(gai)革(ge)和推進供給側(ce)結(jie)構性改(gai)(gai)革(ge)、瘦身(shen)健體、提質增效(xiao)等(deng)重(zhong)(zhong)(zhong)(zhong)點(dian)任務(wu)落(luo)實情況(kuang),著重(zhong)(zhong)(zhong)(zhong)分析(xi)化解過剩產(chan)(chan)(chan)能、處置(zhi)“僵尸(shi)企業”、特(te)困企業專項治(zhi)理(li)(li)(li)、壓(ya)縮管理(li)(li)(li)層(ceng)級(ji)、減少法(fa)人數量(liang)、加快解決歷史遺留問(wen)(wen)題等(deng)重(zhong)(zhong)(zhong)(zhong)點(dian)專項工作(zuo)情況(kuang)及(ji)(ji)存在(zai)的(de)(de)問(wen)(wen)題。要(yao)以提高發展質量(liang)和效(xiao)益為(wei)中(zhong)(zhong)(zhong)心,全(quan)面(mian)梳理(li)(li)(li)、集(ji)中(zhong)(zhong)(zhong)排(pai)查企業內部控(kong)制、財務(wu)管理(li)(li)(li)、運營管控(kong)、境外資(zi)產(chan)(chan)(chan)管理(li)(li)(li)、黨(dang)建及(ji)(ji)公(gong)司治(zhi)理(li)(li)(li)等(deng)方(fang)面(mian)存在(zai)的(de)(de)重(zhong)(zhong)(zhong)(zhong)要(yao)管控(kong)缺陷(xian),詳細報(bao)(bao)告企業重(zhong)(zhong)(zhong)(zhong)大(da)資(zi)產(chan)(chan)(chan)減值、重(zhong)(zhong)(zhong)(zhong)大(da)資(zi)產(chan)(chan)(chan)損失、重(zhong)(zhong)(zhong)(zhong)大(da)經營風(feng)險(xian)(xian)、債務(wu)違約風(feng)險(xian)(xian)等(deng)重(zhong)(zhong)(zhong)(zhong)要(yao)風(feng)險(xian)(xian)事項。要(yao)建立(li)健全(quan)年(nian)(nian)度(du)(du)報(bao)(bao)告揭示問(wen)(wen)題整(zheng)改(gai)(gai)落(luo)實機制,形(xing)成部門間齊抓(zhua)共管、整(zheng)改(gai)(gai)聯動的(de)(de)工作(zuo)局(ju)面(mian),有效(xiao)發揮年(nian)(nian)度(du)(du)報(bao)(bao)告在(zai)系(xi)統診斷和風(feng)險(xian)(xian)預判(pan)方(fang)面(mian)的(de)(de)重(zhong)(zhong)(zhong)(zhong)要(yao)作(zuo)用。
三、加強溝通配合,明確范(fan)圍重點
各中央(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)要(yao)(yao)深入(ru)貫徹落實中央(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)監(jian)(jian)事(shi)會(hui)工作(zuo)會(hui)議精神,按照“兩個融入(ru)”、“五個必須(xu)”的(de)總體(ti)要(yao)(yao)求(qiu),進一(yi)步加強與派(pai)駐本企(qi)(qi)業(ye)(ye)(ye)(ye)監(jian)(jian)事(shi)會(hui)的(de)溝(gou)通配(pei)合,根據監(jian)(jian)事(shi)會(hui)監(jian)(jian)督檢查(cha)工作(zuo)需要(yao)(yao),結合企(qi)(qi)業(ye)(ye)(ye)(ye)經營規模、組織架構、管控模式、行業(ye)(ye)(ye)(ye)特點(dian)、區域分(fen)布、發展階段(duan)等(deng)情況(kuang),共同確定(ding)企(qi)(qi)業(ye)(ye)(ye)(ye)填(tian)報(bao)范(fan)圍(wei)(wei)和年(nian)度(du)重點(dian)披露事(shi)項。原則上(shang),年(nian)度(du)報(bao)告填(tian)報(bao)范(fan)圍(wei)(wei)包(bao)括企(qi)(qi)業(ye)(ye)(ye)(ye)集團、境內(nei)(nei)(外(wai))二(er)(er)級(ji)單位(wei)、各級(ji)金融子企(qi)(qi)業(ye)(ye)(ye)(ye)以及(ji)所托管企(qi)(qi)業(ye)(ye)(ye)(ye);整體(ti)上(shang)市中央(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)填(tian)報(bao)范(fan)圍(wei)(wei)包(bao)括控股上(shang)市公司所屬境內(nei)(nei)(外(wai))二(er)(er)級(ji)單位(wei);離(li)岸(an)公司、殼公司等(deng)特殊子企(qi)(qi)業(ye)(ye)(ye)(ye)不納入(ru)填(tian)報(bao)范(fan)圍(wei)(wei),監(jian)(jian)事(shi)會(hui)另有要(yao)(yao)求(qiu)的(de)除外(wai)。三級(ji)(含(han))以下重要(yao)(yao)子企(qi)(qi)業(ye)(ye)(ye)(ye)及(ji)重要(yao)(yao)非法(fa)人實體(ti)等(deng)填(tian)報(bao)范(fan)圍(wei)(wei)與監(jian)(jian)事(shi)會(hui)共同商定(ding),根據監(jian)(jian)事(shi)會(hui)工作(zuo)需要(yao)(yao)及(ji)年(nian)度(du)監(jian)(jian)督檢查(cha)計劃安(an)排,納入(ru)填(tian)報(bao)范(fan)圍(wei)(wei)。鼓(gu)勵(li)有條(tiao)件的(de)中央(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)試(shi)行全級(ji)次(ci)報(bao)送(song)。要(yao)(yao)根據派(pai)駐本企(qi)(qi)業(ye)(ye)(ye)(ye)監(jian)(jian)事(shi)會(hui)的(de)要(yao)(yao)求(qiu),分(fen)行業(ye)(ye)(ye)(ye)、分(fen)業(ye)(ye)(ye)(ye)務板塊梳(shu)理重點(dian)關注事(shi)項和重點(dian)填(tian)報(bao)內(nei)(nei)容(rong)。
四、融入日常管控,完善長效(xiao)機制(zhi)
各(ge)中央企業要(yao)深(shen)入推進(jin)(jin)年(nian)(nian)度(du)報(bao)(bao)告(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)與企業日常管控工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)的深(shen)度(du)融(rong)合,努力實現工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)聯(lian)動、信(xin)息共享、資(zi)源整(zheng)合、成果共用,著力形成以年(nian)(nian)度(du)報(bao)(bao)告(gao)(gao)為(wei)抓手的企業自我(wo)診斷、自我(wo)完(wan)善的長效(xiao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)機制。要(yao)加強年(nian)(nian)度(du)報(bao)(bao)告(gao)(gao)制度(du)建(jian)(jian)設(she),建(jian)(jian)立(li)(li)統一工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)規(gui)范(fan)和標準體系,科學安排工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)進(jin)(jin)度(du),細化規(gui)范(fan)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)標準,嚴(yan)格審核評價(jia)流程(cheng),實現全程(cheng)閉環管理。要(yao)建(jian)(jian)立(li)(li)內部協同聯(lian)動機制,充分利(li)用已(yi)有管理系統、內部成果、工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)報(bao)(bao)告(gao)(gao)等信(xin)息載體,避免(mian)重(zhong)復歸(gui)集、重(zhong)復報(bao)(bao)送。要(yao)實現年(nian)(nian)度(du)報(bao)(bao)告(gao)(gao)與企業信(xin)息化工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)有效(xiao)對(dui)接(jie),充分利(li)用信(xin)息化建(jian)(jian)設(she)基礎(chu),以大數據為(wei)核心(xin)推進(jin)(jin)年(nian)(nian)度(du)報(bao)(bao)告(gao)(gao)信(xin)息化建(jian)(jian)設(she),創新工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)方法,提高工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)效(xiao)率,分享信(xin)息資(zi)源,深(shen)化成果應用。要(yao)建(jian)(jian)立(li)(li)健全年(nian)(nian)度(du)報(bao)(bao)告(gao)(gao)質量綜合評價(jia)機制,研究制定年(nian)(nian)度(du)報(bao)(bao)告(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)及支持配合監事會工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)與業績考核掛鉤的具體措施,完(wan)善激勵約束長效(xiao)機制,推動年(nian)(nian)度(du)報(bao)(bao)告(gao)(gao)工(gong)(gong)(gong)作(zuo)(zuo)(zuo)(zuo)(zuo)落到實處。
五(wu)、落實填報(bao)任(ren)務,按時(shi)備案報(bao)送
(一)請(qing)各中央企(qi)(qi)業(ye)于2016年12月15日前(qian)將與(yu)派(pai)駐(zhu)本企(qi)(qi)業(ye)監事會共同確(que)定的擬報(bao)送(song)年度(du)報(bao)告有關事項,以正式(shi)文件形式(shi)(式(shi)樣見(jian)附件1)報(bao)監事會工作局備(bei)案。
(二)請各(ge)(ge)中央企(qi)業(ye)(ye)于2017年(nian)(nian)2月28日前將集團公司(si)與各(ge)(ge)級子企(qi)業(ye)(ye)年(nian)(nian)度報(bao)告一并以(yi)正(zheng)式(shi)文件(jian)(jian)形式(shi)(式(shi)樣見附件(jian)(jian)2)報(bao)送派駐本企(qi)業(ye)(ye)監事會(紙質(zhi)材料1套(tao),光盤2套(tao)),同時將年(nian)(nian)度報(bao)告(光盤1套(tao))及正(zheng)式(shi)文件(jian)(jian)報(bao)送監事會工作局備(bei)案。
(三)年(nian)度(du)(du)報(bao)(bao)告(gao)繼(ji)(ji)續(xu)使用軟(ruan)件(jian)填報(bao)(bao)。《2016年(nian)度(du)(du)企業(ye)年(nian)度(du)(du)工(gong)作(zuo)報(bao)(bao)告(gao)格式文本及編制(zhi)說明》安(an)裝在(zai)填報(bao)(bao)軟(ruan)件(jian)中,繼(ji)(ji)續(xu)探索推進信息(xi)化報(bao)(bao)送和綜合應用。需要(yao)填報(bao)(bao)軟(ruan)件(jian)及紙(zhi)質材料的企業(ye)請與監事會工(gong)作(zuo)局聯系。
(四)國資委將組織召開“2016年度中央(yang)企(qi)業年度工作報告布置培訓視頻會議”,屆時(shi)請各中央(yang)企(qi)業按通知要(yao)求組織相關人(ren)員參會。
各中(zhong)央(yang)企業在(zai)填報過程(cheng)中(zhong)遇到的問題,請及(ji)時(shi)與派駐本企業監事(shi)會或監事(shi)會工作局(ju)聯系。
