黃淑和:進一步提高中央企業法制工作水平 依法保障和促進中央企業又好又快發展

  這次中(zhong)(zhong)央(yang)(yang)企(qi)業(ye)法(fa)(fa)(fa)(fa)制(zhi)(zhi)工(gong)作(zuo)會議(yi),是(shi)(shi)在中(zhong)(zhong)央(yang)(yang)企(qi)業(ye)改革發(fa)(fa)展(zhan)取(qu)得顯(xian)著(zhu)成(cheng)效、企(qi)業(ye)法(fa)(fa)(fa)(fa)制(zhi)(zhi)工(gong)作(zuo)三年(nian)目(mu)標基本實現(xian)的(de)形(xing)勢(shi)下召開(kai)的(de)一(yi)次重(zhong)要會議(yi)。會議(yi)的(de)主要任務(wu)是(shi)(shi):深入貫(guan)徹落實黨的(de)十(shi)七大(da)精(jing)神,全面總結國資委成(cheng)立(li)以來特別是(shi)(shi)近三年(nian)來中(zhong)(zhong)央(yang)(yang)企(qi)業(ye)法(fa)(fa)(fa)(fa)制(zhi)(zhi)工(gong)作(zuo),表彰中(zhong)(zhong)央(yang)(yang)企(qi)業(ye)先進法(fa)(fa)(fa)(fa)律事務(wu)機(ji)構,部署今后三年(nian)中(zhong)(zhong)央(yang)(yang)企(qi)業(ye)法(fa)(fa)(fa)(fa)制(zhi)(zhi)工(gong)作(zuo)的(de)目(mu)標和任務(wu),依(yi)法(fa)(fa)(fa)(fa)保障和促進中(zhong)(zhong)央(yang)(yang)企(qi)業(ye)又好又快發(fa)(fa)展(zhan)。國資委對這次會議(yi)高度重(zhong)視,榮融同志專門作(zuo)出重(zhong)要批(pi)示,充分肯(ken)定(ding)了三年(nian)來中(zhong)(zhong)央(yang)(yang)企(qi)業(ye)法(fa)(fa)(fa)(fa)制(zhi)(zhi)工(gong)作(zuo)成(cheng)績,對繼續做(zuo)好中(zhong)(zhong)央(yang)(yang)企(qi)業(ye)法(fa)(fa)(fa)(fa)制(zhi)(zhi)工(gong)作(zuo)提出了明確要求(qiu)。下面,我講三點意(yi)見。

  一、中(zhong)央企業(ye)法制工作(zuo)邁出堅(jian)實步(bu)伐,取得了明顯成效

  加強中(zhong)(zhong)央(yang)(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)法(fa)(fa)(fa)制(zhi)建(jian)設(she),是(shi)促(cu)進(jin)中(zhong)(zhong)央(yang)(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)適應(ying)市(shi)場競爭(zheng)需要(yao)(yao)、提高國際競爭(zheng)力、實現又好又快(kuai)發展的(de)一(yi)(yi)(yi)項(xiang)重要(yao)(yao)措施。國資(zi)(zi)委(wei)(wei)成立以(yi)來(lai)特別是(shi)近(jin)三年(nian)來(lai),緊(jin)緊(jin)圍(wei)繞(rao)中(zhong)(zhong)央(yang)(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)改革發展的(de)目(mu)標任務(wu),全(quan)面推(tui)進(jin)“兩個(ge)體(ti)(ti)系(xi)”建(jian)設(she)。一(yi)(yi)(yi)是(shi)以(yi)《企(qi)(qi)業(ye)(ye)(ye)國有(you)資(zi)(zi)產監督管(guan)理暫行條例》為依據,制(zhi)定(ding)了(le)19件(jian)(jian)規章和104件(jian)(jian)規范(fan)性文件(jian)(jian),初(chu)步(bu)建(jian)立了(le)國有(you)資(zi)(zi)產監督管(guan)理法(fa)(fa)(fa)規體(ti)(ti)系(xi)。二是(shi)以(yi)企(qi)(qi)業(ye)(ye)(ye)法(fa)(fa)(fa)制(zhi)建(jian)設(she)三年(nian)目(mu)標為導(dao)(dao)(dao)向(xiang)(xiang),指(zhi)導(dao)(dao)(dao)推(tui)動中(zhong)(zhong)央(yang)(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)普遍(bian)設(she)立了(le)法(fa)(fa)(fa)律(lv)(lv)(lv)事務(wu)機(ji)構(gou),其(qi)中(zhong)(zhong)53戶大型(xing)中(zhong)(zhong)央(yang)(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)和其(qi)他具備條件(jian)(jian)的(de)中(zhong)(zhong)央(yang)(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)還(huan)實行了(le)總法(fa)(fa)(fa)律(lv)(lv)(lv)顧問制(zhi)度,初(chu)步(bu)形(xing)成了(le)中(zhong)(zhong)央(yang)(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)法(fa)(fa)(fa)律(lv)(lv)(lv)顧問組織(zhi)體(ti)(ti)系(xi)。經(jing)過(guo)“兩個(ge)體(ti)(ti)系(xi)”的(de)上下聯動和相互作(zuo)用,經(jing)過(guo)國資(zi)(zi)委(wei)(wei)和中(zhong)(zhong)央(yang)(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)的(de)共同努力,中(zhong)(zhong)央(yang)(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)法(fa)(fa)(fa)制(zhi)建(jian)設(she)初(chu)步(bu)實現了(le)“三個(ge)轉(zhuan)變”:一(yi)(yi)(yi)是(shi)中(zhong)(zhong)央(yang)(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)法(fa)(fa)(fa)律(lv)(lv)(lv)顧問工作(zuo)由(you)政府部(bu)門(men)引導(dao)(dao)(dao)轉(zhuan)向(xiang)(xiang)了(le)由(you)出資(zi)(zi)人推(tui)進(jin),這三年(nian)推(tui)進(jin)力度之大、涉及企(qi)(qi)業(ye)(ye)(ye)之多、取得(de)進(jin)展之快(kuai)是(shi)前(qian)所(suo)未有(you)的(de);二是(shi)中(zhong)(zhong)央(yang)(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)法(fa)(fa)(fa)律(lv)(lv)(lv)顧問工作(zuo)重點由(you)事后補救轉(zhuan)向(xiang)(xiang)了(le)事前(qian)防范(fan)和事中(zhong)(zhong)控制(zhi),企(qi)(qi)業(ye)(ye)(ye)法(fa)(fa)(fa)律(lv)(lv)(lv)風險防范(fan)機(ji)制(zhi)正在逐(zhu)步(bu)建(jian)立和完善;三是(shi)中(zhong)(zhong)央(yang)(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)法(fa)(fa)(fa)律(lv)(lv)(lv)顧問工作(zuo)內(nei)容(rong)由(you)事務(wu)型(xing)轉(zhuan)向(xiang)(xiang)了(le)管(guan)理型(xing),這項(xiang)管(guan)理已經(jing)成為企(qi)(qi)業(ye)(ye)(ye)管(guan)理中(zhong)(zhong)的(de)一(yi)(yi)(yi)項(xiang)重要(yao)(yao)內(nei)容(rong),其(qi)在依法(fa)(fa)(fa)規范(fan)、保障和促(cu)進(jin)企(qi)(qi)業(ye)(ye)(ye)改革發展中(zhong)(zhong)的(de)作(zuo)用正在進(jin)一(yi)(yi)(yi)步(bu)顯現。

  (一)企業領導高度重視法制工作(zuo),法制建設(she)三年目標(biao)基本實現。

  2004年(nian)(nian)4月(yue)國(guo)(guo)資委(wei)提出國(guo)(guo)有重(zhong)點(dian)企(qi)業(ye)法(fa)(fa)制(zhi)建設(she)三年(nian)(nian)目標(biao)后,中(zhong)(zhong)央(yang)企(qi)業(ye)高度(du)重(zhong)視,按照三年(nian)(nian)目標(biao)的(de)(de)要求,緊密結合(he)自(zi)(zi)身的(de)(de)實(shi)(shi)際(ji),認真(zhen)加以貫徹落實(shi)(shi)。截(jie)至2007年(nian)(nian)底,150戶(hu)中(zhong)(zhong)央(yang)企(qi)業(ye)中(zhong)(zhong),已有146戶(hu)設(she)立(li)了(le)法(fa)(fa)律(lv)事(shi)(shi)務(wu)(wu)機構,占97.3%;另有4戶(hu)因規模(mo)較(jiao)小、機構調(diao)整(zheng)等暫未(wei)設(she)立(li)法(fa)(fa)律(lv)事(shi)(shi)務(wu)(wu)機構,但配備了(le)專職法(fa)(fa)律(lv)顧問(wen);53戶(hu)大型中(zhong)(zhong)央(yang)企(qi)業(ye)按照國(guo)(guo)資委(wei)要求全(quan)部建立(li)了(le)總(zong)(zong)法(fa)(fa)律(lv)顧問(wen)制(zhi)度(du),另有28戶(hu)其(qi)他中(zhong)(zhong)央(yang)企(qi)業(ye)根據自(zi)(zi)身發展(zhan)需要也(ye)建立(li)了(le)總(zong)(zong)法(fa)(fa)律(lv)顧問(wen)制(zhi)度(du)。三年(nian)(nian)目標(biao)的(de)(de)基本實(shi)(shi)現(xian),為切實(shi)(shi)做好中(zhong)(zhong)央(yang)企(qi)業(ye)法(fa)(fa)制(zhi)工作奠(dian)定了(le)堅實(shi)(shi)基礎。

  一是(shi)企(qi)(qi)業領(ling)導(dao)的(de)法(fa)制(zhi)(zhi)觀念明顯(xian)增強。中國(guo)石油(you)、中國(guo)移動、中國(guo)海運(yun)等企(qi)(qi)業主要(yao)領(ling)導(dao)強調,現代大(da)型企(qi)(qi)業的(de)管理關鍵要(yao)靠制(zhi)(zhi)度管理和依法(fa)管理,法(fa)律素(su)養是(shi)企(qi)(qi)業領(ling)導(dao)的(de)重要(yao)素(su)養;中糧(liang)集團(tuan)(tuan)、中國(guo)網通、黃金(jin)集團(tuan)(tuan)等企(qi)(qi)業領(ling)導(dao)高度重視重大(da)決策(ce)(ce)(ce)的(de)法(fa)律審核把關,要(yao)求法(fa)律部參加(jia)集團(tuan)(tuan)所有重大(da)決策(ce)(ce)(ce)會議,將法(fa)律風險防(fang)范工(gong)作納入(ru)下(xia)屬單(dan)位(wei)負責(ze)人年度考評指標體系;中國(guo)航油(you)領(ling)導(dao)班子結合新加(jia)坡事件的(de)教訓,加(jia)快培(pei)養和形成依法(fa)決策(ce)(ce)(ce)的(de)思維方式和管理理念。中央(yang)企(qi)(qi)業主要(yao)領(ling)導(dao)法(fa)制(zhi)(zhi)意(yi)識的(de)提高,為推進(jin)企(qi)(qi)業法(fa)制(zhi)(zhi)建設提供了(le)重要(yao)的(de)前提和保障。

  二(er)是企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)問(wen)(wen)(wen)組(zu)(zu)織(zhi)體(ti)系(xi)基本建(jian)立。企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)事務工(gong)(gong)作(zuo)(zuo)專(zhuan)(zhuan)業(ye)(ye)(ye)(ye)(ye)(ye)性很強(qiang),涉及面(mian)很廣,必須(xu)有(you)(you)專(zhuan)(zhuan)門(men)機(ji)(ji)構和人員(yuan)從事這項工(gong)(gong)作(zuo)(zuo)。按(an)照(zhao)(zhao)(zhao)國(guo)(guo)資委提出的(de)(de)三(san)(san)年(nian)(nian)目(mu)標(biao)要(yao)(yao)求(qiu),中(zhong)(zhong)(zhong)(zhong)央(yang)企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)普遍加強(qiang)了(le)(le)(le)以(yi)總(zong)(zong)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)問(wen)(wen)(wen)制(zhi)(zhi)度(du)為(wei)核心的(de)(de)企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)問(wen)(wen)(wen)制(zhi)(zhi)度(du)建(jian)設(she),建(jian)立了(le)(le)(le)由企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)總(zong)(zong)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)問(wen)(wen)(wen)、法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)事務機(ji)(ji)構和法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)問(wen)(wen)(wen)構成的(de)(de)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)問(wen)(wen)(wen)組(zu)(zu)織(zhi)體(ti)系(xi)。截至(zhi)2007年(nian)(nian)底,中(zhong)(zhong)(zhong)(zhong)央(yang)企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)及其(qi)重要(yao)(yao)下屬企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)實行(xing)總(zong)(zong)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)問(wen)(wen)(wen)制(zhi)(zhi)度(du)的(de)(de)戶數達到629戶;三(san)(san)級(ji)以(yi)上企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)設(she)立獨立法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)事務機(ji)(ji)構的(de)(de)戶數達到1769戶;中(zhong)(zhong)(zhong)(zhong)央(yang)企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)全系(xi)統(tong)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)工(gong)(gong)作(zuo)(zuo)人員(yuan)達到14308人,比2004年(nian)(nian)底增長了(le)(le)(le)49%,其(qi)中(zhong)(zhong)(zhong)(zhong)具有(you)(you)企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)問(wen)(wen)(wen)執業(ye)(ye)(ye)(ye)(ye)(ye)資格的(de)(de)有(you)(you)6693人。許多企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)按(an)照(zhao)(zhao)(zhao)三(san)(san)年(nian)(nian)目(mu)標(biao)要(yao)(yao)求(qiu),采取了(le)(le)(le)一系(xi)列措(cuo)施。中(zhong)(zhong)(zhong)(zhong)航(hang)一集團(tuan)專(zhuan)(zhuan)門(men)制(zhi)(zhi)定《企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)總(zong)(zong)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)問(wen)(wen)(wen)工(gong)(gong)作(zuo)(zuo)規定》,明確(que)了(le)(le)(le)總(zong)(zong)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)問(wen)(wen)(wen)的(de)(de)職(zhi)責(ze)定位。中(zhong)(zhong)(zhong)(zhong)國(guo)(guo)中(zhong)(zhong)(zhong)(zhong)鐵和南航(hang)股份在公司(si)章程中(zhong)(zhong)(zhong)(zhong)明確(que)規定實行(xing)總(zong)(zong)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)問(wen)(wen)(wen)制(zhi)(zhi)度(du)。中(zhong)(zhong)(zhong)(zhong)交集團(tuan)要(yao)(yao)求(qiu)子(zi)企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)總(zong)(zong)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)問(wen)(wen)(wen)必須(xu)具有(you)(you)企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)問(wen)(wen)(wen)執業(ye)(ye)(ye)(ye)(ye)(ye)資格,并按(an)照(zhao)(zhao)(zhao)總(zong)(zong)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)問(wen)(wen)(wen)專(zhuan)(zhuan)職(zhi)化和專(zhuan)(zhuan)業(ye)(ye)(ye)(ye)(ye)(ye)化要(yao)(yao)求(qiu)直接考察(cha)任命。中(zhong)(zhong)(zhong)(zhong)國(guo)(guo)建(jian)筑二(er)級(ji)企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)全部建(jian)立了(le)(le)(le)總(zong)(zong)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)問(wen)(wen)(wen)制(zhi)(zhi)度(du),并開始(shi)構建(jian)三(san)(san)級(ji)企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)問(wen)(wen)(wen)組(zu)(zu)織(zhi)體(ti)系(xi)。東(dong)風公司(si)在各事業(ye)(ye)(ye)(ye)(ye)(ye)部、各子(zi)公司(si)和專(zhuan)(zhuan)業(ye)(ye)(ye)(ye)(ye)(ye)廠建(jian)立了(le)(le)(le)總(zong)(zong)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)問(wen)(wen)(wen)牽頭的(de)(de)全覆蓋的(de)(de)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)問(wen)(wen)(wen)組(zu)(zu)織(zhi)體(ti)系(xi)。國(guo)(guo)家電網(wang)、中(zhong)(zhong)(zhong)(zhong)國(guo)(guo)石化、中(zhong)(zhong)(zhong)(zhong)國(guo)(guo)石油(you)在全系(xi)統(tong)配備的(de)(de)專(zhuan)(zhuan)職(zhi)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)工(gong)(gong)作(zuo)(zuo)人員(yuan)均超(chao)過1200人。中(zhong)(zhong)(zhong)(zhong)央(yang)企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)法(fa)(fa)(fa)律(lv)(lv)(lv)(lv)顧(gu)(gu)問(wen)(wen)(wen)組(zu)(zu)織(zhi)體(ti)系(xi)的(de)(de)建(jian)立,奠(dian)定了(le)(le)(le)堅實的(de)(de)企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)法(fa)(fa)(fa)制(zhi)(zhi)工(gong)(gong)作(zuo)(zuo)平臺。

  三(san)是企業(ye)合(he)規(gui)文(wen)(wen)化初步形(xing)成。三(san)年(nian)來,中(zhong)央企業(ye)深入開展法(fa)(fa)制宣傳教育(yu),進一步培(pei)育(yu)形(xing)成了“外講誠信、依法(fa)(fa)經營,內(nei)講制度、依法(fa)(fa)管理”的企業(ye)合(he)規(gui)文(wen)(wen)化。結合(he)“五(wu)五(wu)”普法(fa)(fa)工(gong)作,中(zhong)航(hang)二集(ji)團、國(guo)投、兵器(qi)工(gong)業(ye)集(ji)團等(deng)(deng)企業(ye)領導帶頭(tou)學法(fa)(fa)用法(fa)(fa);兵器(qi)裝備(bei)集(ji)團等(deng)(deng)企業(ye)主(zhu)要領導專門在報刊(kan)雜志上發(fa)表有關(guan)加強企業(ye)法(fa)(fa)律文(wen)(wen)化建(jian)設的文(wen)(wen)章(zhang)。中(zhong)國(guo)大唐(tang)、中(zhong)國(guo)華電、攀(pan)鋼(gang)等(deng)(deng)企業(ye)圍繞企業(ye)發(fa)展戰略(lve),將合(he)規(gui)文(wen)(wen)化建(jian)設列為免费菠萝视(shi)频(pin)app下载建(jian)設的重點內(nei)容,積(ji)極創(chuang)建(jian)良好的企業(ye)法(fa)(fa)律環(huan)境。

  (二(er))企業依法(fa)經營管理(li)水平進一(yi)步(bu)提(ti)高,法(fa)律風險得到有(you)效控制。

  中央企(qi)業法(fa)律(lv)顧(gu)問組織體(ti)系組建到位(wei)后(hou),企(qi)業規章制(zhi)度建設、合同管(guan)(guan)理、法(fa)律(lv)審核把關、案件糾紛(fen)管(guan)(guan)理等工作進一步加(jia)強,企(qi)業法(fa)律(lv)風險防范機制(zhi)逐步建立健全。從企(qi)業日常經營(ying)管(guan)(guan)理到重大經營(ying)決策,企(qi)業法(fa)律(lv)顧(gu)問基本實(shi)現了全過(guo)程參與,發揮著越來(lai)越重要的(de)作用。

  一是(shi)企(qi)(qi)(qi)業規(gui)章制度(du)(du)(du)(du)逐步(bu)依法(fa)健全和規(gui)范。三年(nian)來(lai),中(zhong)央企(qi)(qi)(qi)業堅(jian)持依法(fa)用制度(du)(du)(du)(du)來(lai)管人、管事、管資產,高(gao)度(du)(du)(du)(du)重視規(gui)章制度(du)(du)(du)(du)的(de)(de)(de)制定修訂和法(fa)律(lv)審(shen)(shen)(shen)核(he)把(ba)關(guan)工(gong)作。2005年(nian)至2007年(nian),航(hang)(hang)天科技對31132件(jian)規(gui)章制度(du)(du)(du)(du)進行了(le)(le)清理(li)(li)(li),集團(tuan)(tuan)總(zong)部(bu)頒布實施(shi)規(gui)章制度(du)(du)(du)(du)190件(jian),二(er)級(ji)單位(wei)頒布實施(shi)規(gui)章制度(du)(du)(du)(du)2236件(jian)。中(zhong)國石油近(jin)兩年(nian)來(lai)結合(he)機構整(zheng)合(he),清理(li)(li)(li)規(gui)章制度(du)(du)(du)(du)12000多件(jian),制定規(gui)章制度(du)(du)(du)(du)近(jin)6000件(jian)。航(hang)(hang)天科工(gong)僅2007年(nian)就制定了(le)(le)63件(jian)規(gui)章制度(du)(du)(du)(du)。在規(gui)章制度(du)(du)(du)(du)的(de)(de)(de)制定、修訂和清理(li)(li)(li)中(zhong),中(zhong)央企(qi)(qi)(qi)業普遍重視法(fa)律(lv)審(shen)(shen)(shen)核(he)把(ba)關(guan)工(gong)作。中(zhong)航(hang)(hang)二(er)集團(tuan)(tuan)、中(zhong)航(hang)(hang)集團(tuan)(tuan)、冶金(jin)地質總(zong)局等企(qi)(qi)(qi)業明確(que)規(gui)定,未經法(fa)律(lv)審(shen)(shen)(shen)核(he)的(de)(de)(de)規(gui)章制度(du)(du)(du)(du)草案,不得發布實施(shi)。據統計,2005年(nian)到2007年(nian),中(zhong)央企(qi)(qi)(qi)業總(zong)部(bu)經法(fa)律(lv)事務(wu)機構審(shen)(shen)(shen)核(he)的(de)(de)(de)規(gui)章制度(du)(du)(du)(du)已(yi)達(da)12626件(jian)。企(qi)(qi)(qi)業規(gui)章制度(du)(du)(du)(du)的(de)(de)(de)完善,為企(qi)(qi)(qi)業依法(fa)經營管理(li)(li)(li)奠定了(le)(le)扎實的(de)(de)(de)制度(du)(du)(du)(du)基(ji)礎。

  二是企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)合(he)(he)(he)(he)(he)同(tong)(tong)(tong)管理(li)(li)進(jin)一(yi)步(bu)實現了(le)(le)制(zhi)度(du)化(hua)和(he)(he)規(gui)(gui)范(fan)化(hua)。加強(qiang)合(he)(he)(he)(he)(he)同(tong)(tong)(tong)管理(li)(li)和(he)(he)合(he)(he)(he)(he)(he)同(tong)(tong)(tong)的(de)(de)法律審(shen)核(he)把關(guan)(guan)(guan),是提升企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)經營(ying)(ying)管理(li)(li)水平的(de)(de)重要基礎(chu),也是控(kong)制(zhi)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)經營(ying)(ying)法律風(feng)(feng)險的(de)(de)關(guan)(guan)(guan)鍵(jian)環節。三(san)年(nian)來(lai),許多中(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)進(jin)一(yi)步(bu)規(gui)(gui)范(fan)了(le)(le)合(he)(he)(he)(he)(he)同(tong)(tong)(tong)管理(li)(li)的(de)(de)職責和(he)(he)流(liu)程,形(xing)成了(le)(le)較為完(wan)善的(de)(de)合(he)(he)(he)(he)(he)同(tong)(tong)(tong)管理(li)(li)制(zhi)度(du)。中(zhong)國(guo)移(yi)動(dong)制(zhi)定了(le)(le)138件合(he)(he)(he)(he)(he)同(tong)(tong)(tong)管理(li)(li)制(zhi)度(du),制(zhi)作了(le)(le)1364份(fen)合(he)(he)(he)(he)(he)同(tong)(tong)(tong)示范(fan)文(wen)本,合(he)(he)(he)(he)(he)同(tong)(tong)(tong)管理(li)(li)日(ri)趨集中(zhong)化(hua)、精細(xi)化(hua)和(he)(he)規(gui)(gui)范(fan)化(hua)。武鋼(gang)以合(he)(he)(he)(he)(he)同(tong)(tong)(tong)管理(li)(li)為主線,強(qiang)化(hua)了(le)(le)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)法律風(feng)(feng)險防范(fan)機制(zhi)建設(she),加強(qiang)了(le)(le)合(he)(he)(he)(he)(he)同(tong)(tong)(tong)登記、統計(ji)、歸檔等基礎(chu)管理(li)(li)制(zhi)度(du)。中(zhong)國(guo)航信把合(he)(he)(he)(he)(he)同(tong)(tong)(tong)履行的(de)(de)風(feng)(feng)險納入監(jian)控(kong)范(fan)圍(wei),健(jian)(jian)全(quan)(quan)合(he)(he)(he)(he)(he)同(tong)(tong)(tong)執行監(jian)控(kong)制(zhi)度(du)。中(zhong)國(guo)長(chang)航實行合(he)(he)(he)(he)(he)同(tong)(tong)(tong)歸口管理(li)(li)、授(shou)權委托和(he)(he)審(shen)查監(jian)督(du)制(zhi)度(du),全(quan)(quan)面(mian)杜絕“只簽(qian)(qian)不審(shen)、自簽(qian)(qian)自審(shen)、應審(shen)未審(shen)、先簽(qian)(qian)后審(shen)”等現象(xiang)。中(zhong)國(guo)石油平均每年(nian)經法律審(shen)查的(de)(de)合(he)(he)(he)(he)(he)同(tong)(tong)(tong)達(da)40多萬(wan)份(fen),標(biao)的(de)(de)額達(da)6000多億元。中(zhong)國(guo)石化(hua)、通(tong)用技術集團(tuan)等企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)的(de)(de)合(he)(he)(he)(he)(he)同(tong)(tong)(tong)法律審(shen)核(he)把關(guan)(guan)(guan)率已達(da)到(dao)100%。中(zhong)煤(mei)集團(tuan)規(gui)(gui)定對沒有經過(guo)法律事務部審(shen)查會簽(qian)(qian)的(de)(de)合(he)(he)(he)(he)(he)同(tong)(tong)(tong),企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)法定代表人不予簽(qian)(qian)署。據(ju)統計(ji),2007年(nian)中(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)通(tong)過(guo)法律審(shen)查的(de)(de)合(he)(he)(he)(he)(he)同(tong)(tong)(tong)近(jin)370萬(wan)份(fen)。企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)合(he)(he)(he)(he)(he)同(tong)(tong)(tong)管理(li)(li)制(zhi)度(du)的(de)(de)健(jian)(jian)全(quan)(quan)完(wan)善和(he)(he)合(he)(he)(he)(he)(he)同(tong)(tong)(tong)法律審(shen)核(he)把關(guan)(guan)(guan)率的(de)(de)提高(gao),為企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)經營(ying)(ying)堵塞了(le)(le)大量的(de)(de)法律漏洞(dong),保(bao)障(zhang)了(le)(le)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)交易安全(quan)(quan)。

  近年來,中(zhong)央(yang)(yang)企(qi)業(ye)(ye)融入經(jing)濟(ji)全(quan)(quan)(quan)球化進程不斷加快,境外(wai)(wai)上市、境外(wai)(wai)并購、企(qi)業(ye)(ye)“走出去(qu)”、引(yin)進戰略投(tou)資(zi)(zi)(zi)(zi)(zi)等(deng)(deng)國(guo)(guo)際(ji)投(tou)資(zi)(zi)(zi)(zi)(zi)行為越來越多(duo),全(quan)(quan)(quan)球范圍內(nei)整(zheng)(zheng)合(he)(he)資(zi)(zi)(zi)(zi)(zi)源(yuan)、人才、技(ji)術(shu)、產(chan)(chan)(chan)品等(deng)(deng)跨(kua)國(guo)(guo)經(jing)營行為逐步全(quan)(quan)(quan)方(fang)位展開。在(zai)國(guo)(guo)際(ji)投(tou)資(zi)(zi)(zi)(zi)(zi)和(he)(he)跨(kua)國(guo)(guo)經(jing)營過程中(zhong),不可避(bi)免地會(hui)遇到大量的(de)法(fa)律事務,涉(she)及復(fu)雜(za)的(de)國(guo)(guo)際(ji)規(gui)(gui)(gui)則(ze)。稍有(you)不慎(shen),就可能(neng)卷入涉(she)外(wai)(wai)法(fa)律糾紛,造成重大資(zi)(zi)(zi)(zi)(zi)產(chan)(chan)(chan)損失(shi),甚至引(yin)發企(qi)業(ye)(ye)危(wei)機。據有(you)關(guan)資(zi)(zi)(zi)(zi)(zi)料顯示,中(zhong)央(yang)(yang)企(qi)業(ye)(ye)近年來涉(she)及的(de)境外(wai)(wai)反(fan)(fan)(fan)壟斷、反(fan)(fan)(fan)傾銷(xiao)、反(fan)(fan)(fan)補(bu)貼(tie)、知(zhi)識產(chan)(chan)(chan)權(quan)(quan)、產(chan)(chan)(chan)品質(zhi)量、食品安全(quan)(quan)(quan)、勞動用(yong)工(gong)、環境保護、安全(quan)(quan)(quan)生產(chan)(chan)(chan)等(deng)(deng)方(fang)面的(de)法(fa)律案件,已經(jing)呈現出明(ming)顯上升(sheng)的(de)趨(qu)(qu)勢(shi)。當前(qian),世界(jie)經(jing)濟(ji)正進入新一(yi)輪調整(zheng)(zheng)期,失(shi)衡加劇,增(zeng)(zeng)速(su)放緩,美國(guo)(guo)次貸危(wei)機影響蔓延(yan),美元持續貶值,全(quan)(quan)(quan)球經(jing)濟(ji)不確定因(yin)素(su)在(zai)逐步增(zeng)(zeng)加。西方(fang)國(guo)(guo)家出于政治經(jing)濟(ji)考慮(lv),很可能(neng)更加頻繁地濫用(yong)知(zhi)識產(chan)(chan)(chan)權(quan)(quan)、技(ji)術(shu)標準、反(fan)(fan)(fan)傾銷(xiao)反(fan)(fan)(fan)補(bu)貼(tie)等(deng)(deng)措施,打壓國(guo)(guo)內(nei)企(qi)業(ye)(ye),中(zhong)央(yang)(yang)企(qi)業(ye)(ye)涉(she)外(wai)(wai)訴訟因(yin)此也會(hui)進一(yi)步增(zeng)(zeng)多(duo)。“不謀全(quan)(quan)(quan)局(ju)(ju)者不足(zu)以謀一(yi)域”。面對復(fu)雜(za)多(duo)變的(de)世界(jie)經(jing)濟(ji)形勢(shi)和(he)(he)世界(jie)一(yi)流跨(kua)國(guo)(guo)公司的(de)激烈(lie)競爭(zheng),中(zhong)央(yang)(yang)企(qi)業(ye)(ye)必須立足(zu)國(guo)(guo)際(ji)競爭(zheng),高(gao)(gao)度關(guan)注和(he)(he)研究(jiu)國(guo)(guo)際(ji)規(gui)(gui)(gui)則(ze)和(he)(he)國(guo)(guo)外(wai)(wai)政策法(fa)規(gui)(gui)(gui)的(de)調整(zheng)(zheng)動向,綜合(he)(he)施策,趨(qu)(qu)利避(bi)害,加快提(ti)高(gao)(gao)依法(fa)整(zheng)(zheng)合(he)(he)利用(yong)全(quan)(quan)(quan)球資(zi)(zi)(zi)(zi)(zi)源(yuan)的(de)能(neng)力(li),確保在(zai)法(fa)律規(gui)(gui)(gui)則(ze)提(ti)供的(de)框架內(nei)有(you)效實(shi)施國(guo)(guo)際(ji)化經(jing)營戰略。那種(zhong)“規(gui)(gui)(gui)則(ze)不清主意多(duo)、事情不明(ming)決心(xin)大”的(de)盲目蠻干,不僅難(nan)以在(zai)激烈(lie)的(de)國(guo)(guo)際(ji)競爭(zheng)中(zhong)取勝,而且很有(you)可能(neng)在(zai)國(guo)(guo)際(ji)競爭(zheng)中(zhong)被淘汰出局(ju)(ju)。

  (二)國(guo)家法(fa)治環境不斷(duan)完善,正對中央(yang)企業經營管理(li)產生(sheng)廣泛深刻(ke)的(de)影響。

  近幾(ji)年來,隨(sui)著社會主(zhu)義(yi)市場經濟(ji)不斷(duan)(duan)發展(zhan),利(li)益結構(gou)正(zheng)在發生(sheng)(sheng)深(shen)刻(ke)變化,各方面的(de)利(li)益調整(zheng)和(he)(he)法(fa)(fa)(fa)(fa)律訴求不斷(duan)(duan)體(ti)現到(dao)相(xiang)(xiang)關立法(fa)(fa)(fa)(fa)之中(zhong)(zhong)。其(qi)中(zhong)(zhong),與中(zhong)(zhong)央(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)密切相(xiang)(xiang)關的(de)《公(gong)司(si)(si)法(fa)(fa)(fa)(fa)》、《證券(quan)法(fa)(fa)(fa)(fa)》、《物(wu)權法(fa)(fa)(fa)(fa)》、《勞動(dong)(dong)合同法(fa)(fa)(fa)(fa)》、《反壟(long)斷(duan)(duan)法(fa)(fa)(fa)(fa)》、《企(qi)(qi)業(ye)(ye)(ye)(ye)破產(chan)(chan)法(fa)(fa)(fa)(fa)》等一系列法(fa)(fa)(fa)(fa)律相(xiang)(xiang)繼(ji)出臺,正(zheng)對中(zhong)(zhong)央(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)經營管(guan)(guan)理(li)產(chan)(chan)生(sheng)(sheng)廣泛深(shen)刻(ke)的(de)影響。如(ru)按(an)照(zhao)新《公(gong)司(si)(si)法(fa)(fa)(fa)(fa)》規(gui)定,需要(yao)(yao)對國有(you)獨資一人公(gong)司(si)(si)進行(xing)變更(geng)調整(zheng)和(he)(he)加強(qiang)規(gui)范(fan);按(an)照(zhao)《勞動(dong)(dong)合同法(fa)(fa)(fa)(fa)》規(gui)定,需要(yao)(yao)對企(qi)(qi)業(ye)(ye)(ye)(ye)各種(zhong)用工形(xing)式進行(xing)規(gui)范(fan)和(he)(he)調整(zheng)等。同時(shi)還要(yao)(yao)注(zhu)意(yi)到(dao),按(an)照(zhao)深(shen)入(ru)貫徹落實(shi)科學發展(zhan)觀(guan)和(he)(he)構(gou)建(jian)和(he)(he)諧(xie)社會的(de)要(yao)(yao)求,當前(qian)企(qi)(qi)業(ye)(ye)(ye)(ye)安全生(sheng)(sheng)產(chan)(chan)、環(huan)境保護(hu)、節能減排、產(chan)(chan)品(pin)質量(liang)等方面的(de)標準日(ri)趨(qu)(qu)規(gui)范(fan)嚴格(ge),行(xing)政執法(fa)(fa)(fa)(fa)力度正(zheng)在進一步加大。日(ri)趨(qu)(qu)嚴格(ge)的(de)法(fa)(fa)(fa)(fa)律環(huan)境,直接(jie)影響著中(zhong)(zhong)央(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)的(de)內(nei)部管(guan)(guan)理(li)秩序和(he)(he)對外經營活動(dong)(dong),需要(yao)(yao)我(wo)們(men)從法(fa)(fa)(fa)(fa)律層面加強(qiang)研(yan)究,提高企(qi)(qi)業(ye)(ye)(ye)(ye)依法(fa)(fa)(fa)(fa)經營管(guan)(guan)理(li)水平(ping)。

  (三)中(zhong)央企業(ye)改革調(diao)整工(gong)作(zuo)全面(mian)展開,對中(zhong)央企業(ye)規范改制、依法調(diao)整提出了更高要求。

  加強(qiang)(qiang)(qiang)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)內(nei)部(bu)制(zhi)(zhi)(zhi)(zhi)度(du)(du)建(jian)設(she)(she),是(shi)國(guo)內(nei)外(wai)成(cheng)功企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)在(zai)(zai)復雜(za)多變的(de)市場環境(jing)中(zhong)(zhong)實現(xian)長期(qi)穩定發展(zhan)、逐步(bu)(bu)做強(qiang)(qiang)(qiang)做大的(de)重(zhong)要(yao)經驗。忽視(shi)制(zhi)(zhi)(zhi)(zhi)度(du)(du)建(jian)設(she)(she),則是(shi)不(bu)少企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)曇(tan)花一現(xian)、難以逃脫“三十年河(he)東(dong)、三十年河(he)西(xi)”命(ming)運(yun)的(de)深(shen)刻(ke)教訓。正反經驗教訓反復證明,企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)管(guan)理(li)(li)成(cheng)在(zai)(zai)“規制(zhi)(zhi)(zhi)(zhi)”,敗在(zai)(zai)“人治”。目(mu)前,中(zhong)(zhong)央(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)大多處在(zai)(zai)投資高(gao)峰期(qi)和體制(zhi)(zhi)(zhi)(zhi)調整(zheng)期(qi),投資規模不(bu)斷擴大,產(chan)(chan)業(ye)(ye)(ye)鏈條不(bu)斷延伸,層級愈加復雜(za),企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)管(guan)理(li)(li)難度(du)(du)和經營風險(xian)越(yue)來越(yue)大。而國(guo)際國(guo)內(nei)市場環境(jing)瞬息(xi)萬變,法(fa)(fa)律環境(jing)約束(shu)逐步(bu)(bu)加強(qiang)(qiang)(qiang)。相(xiang)比之下,不(bu)少中(zhong)(zhong)央(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)的(de)內(nei)部(bu)制(zhi)(zhi)(zhi)(zhi)度(du)(du)建(jian)設(she)(she)與此還不(bu)相(xiang)適應(ying),制(zhi)(zhi)(zhi)(zhi)度(du)(du)不(bu)健(jian)全、管(guan)理(li)(li)不(bu)規范、靠(kao)人治靠(kao)個人權威管(guan)理(li)(li)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)的(de)現(xian)象(xiang)仍然屢(lv)見不(bu)鮮,企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)內(nei)部(bu)財務管(guan)理(li)(li)、成(cheng)本管(guan)理(li)(li)、質(zhi)量(liang)管(guan)理(li)(li)和安全生產(chan)(chan)管(guan)理(li)(li)等還存(cun)在(zai)(zai)不(bu)少漏(lou)洞(dong),對外(wai)投資、研發生產(chan)(chan)、合同交易、勞動用工等方面的(de)法(fa)(fa)律糾紛時有(you)(you)發生,有(you)(you)的(de)甚至造成(cheng)國(guo)有(you)(you)資產(chan)(chan)流失(shi)。中(zhong)(zhong)央(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)要(yao)在(zai)(zai)復雜(za)多變的(de)市場環境(jing)中(zhong)(zhong)實現(xian)穩健(jian)發展(zhan),必須嚴格按照(zhao)法(fa)(fa)律法(fa)(fa)規規定,結(jie)合企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)自身實際,重(zhong)視(shi)抓好(hao)中(zhong)(zhong)央(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)規章制(zhi)(zhi)(zhi)(zhi)度(du)(du)建(jian)設(she)(she),建(jian)立健(jian)全內(nei)部(bu)管(guan)理(li)(li)秩序,進一步(bu)(bu)完善全系統(tong)管(guan)控的(de)各項制(zhi)(zhi)(zhi)(zhi)度(du)(du),并不(bu)折(zhe)不(bu)扣地貫徹(che)落實好(hao)。

  總之,市(shi)場(chang)競(jing)爭(zheng)無(wu)情,必須遵(zun)從(cong)法(fa)(fa)律(lv)。面對新形勢新挑戰,中(zhong)央企業必須進一步增(zeng)強以下法(fa)(fa)制理(li)(li)念(nian)(nian)。一要(yao)(yao)牢固(gu)樹(shu)(shu)立(li)“市(shi)場(chang)競(jing)爭(zheng),法(fa)(fa)律(lv)先行(xing)”的(de)理(li)(li)念(nian)(nian)。要(yao)(yao)充(chong)分研究市(shi)場(chang)競(jing)爭(zheng)的(de)法(fa)(fa)律(lv)環境,嚴格進行(xing)決(jue)策的(de)法(fa)(fa)律(lv)把關,把法(fa)(fa)律(lv)風險防(fang)范工作擺到重要(yao)(yao)位置。二要(yao)(yao)牢固(gu)樹(shu)(shu)立(li)“依(yi)(yi)法(fa)(fa)經(jing)營,依(yi)(yi)法(fa)(fa)管理(li)(li)”的(de)理(li)(li)念(nian)(nian)。無(wu)論是(shi)內部管理(li)(li),還是(shi)市(shi)場(chang)經(jing)營,都要(yao)(yao)依(yi)(yi)法(fa)(fa)管理(li)(li),按(an)規經(jing)營。三要(yao)(yao)牢固(gu)樹(shu)(shu)立(li)“加強企業法(fa)(fa)制工作同樣(yang)可以創造(zao)經(jing)濟效(xiao)益(yi)(yi)”的(de)理(li)(li)念(nian)(nian)。堵塞(sai)法(fa)(fa)律(lv)漏洞,防(fang)范法(fa)(fa)律(lv)風險,避免資(zi)產損失,實(shi)際上就是(shi)創造(zao)了經(jing)濟效(xiao)益(yi)(yi)。四要(yao)(yao)牢固(gu)樹(shu)(shu)立(li)“守法(fa)(fa)誠信是(shi)企業第一生命,違法(fa)(fa)經(jing)營是(shi)企業最(zui)大風險”的(de)理(li)(li)念(nian)(nian)。中(zhong)央企業要(yao)(yao)走(zou)得(de)快,走(zou)得(de)好,走(zou)得(de)遠(yuan),就要(yao)(yao)當(dang)好重信守諾的(de)表率,當(dang)好依(yi)(yi)法(fa)(fa)經(jing)營的(de)表率,立(li)足長遠(yuan)發(fa)展(zhan),打造(zao)百年老店。

  三(san)、明(ming)確新(xin)目標新(xin)任(ren)務(wu),扎實做好今(jin)后(hou)三(san)年的企業法制工作

  今后三年,是中央企(qi)業(ye)(ye)改革發展的(de)關鍵時期(qi)。根據黨中央和(he)(he)(he)國務(wu)院的(de)要(yao)求,要(yao)加快推進國有(you)(you)企(qi)業(ye)(ye)公司制(zhi)股(gu)份(fen)制(zhi)改革,優化國有(you)(you)經濟布(bu)局結構,增強國有(you)(you)經濟的(de)活力、控(kong)制(zhi)力和(he)(he)(he)影(ying)響力,到2010年要(yao)基本完成國有(you)(you)企(qi)業(ye)(ye)戰略(lve)性調整(zheng)和(he)(he)(he)改組,建立比較(jiao)完善的(de)現代企(qi)業(ye)(ye)制(zhi)度,打造一批擁有(you)(you)自主知識產(chan)權和(he)(he)(he)知名品(pin)牌、國際競爭力較(jiao)強的(de)優勢企(qi)業(ye)(ye)。中央企(qi)業(ye)(ye)法制(zhi)工(gong)作必須以(yi)中國特色社(she)會主義(yi)理論和(he)(he)(he)黨的(de)十七(qi)大精神為(wei)指(zhi)導,深(shen)入(ru)貫徹落實科學發展觀,緊(jin)緊(jin)圍繞企(qi)業(ye)(ye)又好又快發展的(de)目標任(ren)務(wu),在(zai)完成前三年工(gong)作目標的(de)基礎上(shang),按(an)照“深(shen)化工(gong)作,提(ti)高水(shui)(shui)平”的(de)總體(ti)要(yao)求,再上(shang)新臺階新水(shui)(shui)平。

  (一)中央(yang)企業法制工作的總體(ti)目標和主要(yao)任(ren)務。

  一是加強法(fa)(fa)(fa)(fa)(fa)制(zhi)宣傳(chuan)(chuan)教育(yu),進(jin)一步(bu)創建企(qi)(qi)業(ye)(ye)(ye)合規(gui)文(wen)(wen)化。企(qi)(qi)業(ye)(ye)(ye)法(fa)(fa)(fa)(fa)(fa)制(zhi)宣傳(chuan)(chuan)教育(yu)既(ji)是國家(jia)普(pu)法(fa)(fa)(fa)(fa)(fa)工作(zuo)(zuo)(zuo)的(de)(de)(de)重要(yao)(yao)(yao)組(zu)成(cheng)部(bu)分,也是培育(yu)企(qi)(qi)業(ye)(ye)(ye)合規(gui)文(wen)(wen)化的(de)(de)(de)重要(yao)(yao)(yao)基礎。中(zhong)央企(qi)(qi)業(ye)(ye)(ye)要(yao)(yao)(yao)根據“五五”普(pu)法(fa)(fa)(fa)(fa)(fa)規(gui)劃(hua),按照新的(de)(de)(de)三年目標要(yao)(yao)(yao)求,創新普(pu)法(fa)(fa)(fa)(fa)(fa)方(fang)式,把日常經(jing)營(ying)管(guan)(guan)理涉及(ji)的(de)(de)(de)法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)法(fa)(fa)(fa)(fa)(fa)規(gui)和(he)本企(qi)(qi)業(ye)(ye)(ye)法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)風險(xian)管(guan)(guan)理制(zhi)度作(zuo)(zuo)(zuo)為(wei)普(pu)法(fa)(fa)(fa)(fa)(fa)培訓(xun)的(de)(de)(de)重要(yao)(yao)(yao)內容(rong)。要(yao)(yao)(yao)將法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)學習(xi)納入本企(qi)(qi)業(ye)(ye)(ye)黨(dang)委(黨(dang)組(zu))中(zhong)心組(zu)學習(xi)的(de)(de)(de)內容(rong),形(xing)成(cheng)企(qi)(qi)業(ye)(ye)(ye)負責(ze)(ze)人定期學法(fa)(fa)(fa)(fa)(fa)制(zhi)度。要(yao)(yao)(yao)把增強法(fa)(fa)(fa)(fa)(fa)制(zhi)意識、提(ti)升法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)素(su)養作(zuo)(zuo)(zuo)為(wei)評(ping)價企(qi)(qi)業(ye)(ye)(ye)負責(ze)(ze)人素(su)質的(de)(de)(de)重要(yao)(yao)(yao)內容(rong)。要(yao)(yao)(yao)定期組(zu)織法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)輪訓(xun),促進(jin)“法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)進(jin)決策、法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)進(jin)業(ye)(ye)(ye)務、法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)進(jin)部(bu)門、法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)進(jin)班組(zu)”,使法(fa)(fa)(fa)(fa)(fa)制(zhi)宣傳(chuan)(chuan)教育(yu)工作(zuo)(zuo)(zuo)經(jing)常化、固定化、長期化,為(wei)培育(yu)和(he)構(gou)建企(qi)(qi)業(ye)(ye)(ye)合規(gui)文(wen)(wen)化、提(ti)升中(zhong)央企(qi)(qi)業(ye)(ye)(ye)軟(ruan)實(shi)(shi)力奠定堅實(shi)(shi)基礎。

  二是(shi)全面落實(shi)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)法(fa)(fa)律(lv)事務機(ji)構職(zhi)(zhi)能,實(shi)現法(fa)(fa)律(lv)顧(gu)問隊(dui)伍的(de)專業(ye)(ye)(ye)(ye)(ye)化。進一(yi)(yi)步加強(qiang)中(zhong)(zhong)央企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)法(fa)(fa)律(lv)顧(gu)問隊(dui)伍建設,是(shi)實(shi)現新(xin)的(de)三年(nian)目標的(de)重(zhong)要(yao)組織保障。要(yao)力(li)爭到(dao)2010年(nian)底,中(zhong)(zhong)央企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)及其重(zhong)要(yao)子企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)法(fa)(fa)律(lv)事務機(ji)構作為獨立(li)職(zhi)(zhi)能部門(men)的(de)比例達(da)到(dao)70%以上。要(yao)實(shi)現法(fa)(fa)律(lv)顧(gu)問隊(dui)伍的(de)專業(ye)(ye)(ye)(ye)(ye)化,結合國資(zi)委剛(gang)(gang)剛(gang)(gang)公布的(de)《國有(you)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)法(fa)(fa)律(lv)顧(gu)問職(zhi)(zhi)業(ye)(ye)(ye)(ye)(ye)崗(gang)位等級資(zi)格評審管(guan)理(li)暫行辦(ban)法(fa)(fa)》,加強(qiang)專業(ye)(ye)(ye)(ye)(ye)培訓,提高(gao)執業(ye)(ye)(ye)(ye)(ye)水平,不斷(duan)增強(qiang)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)法(fa)(fa)律(lv)顧(gu)問隊(dui)伍的(de)整體素質,努力(li)造(zao)就一(yi)(yi)支(zhi)既懂法(fa)(fa)律(lv)又(you)懂經(jing)營管(guan)理(li)的(de)復合型(xing)人(ren)才隊(dui)伍。到(dao)2010年(nian)底中(zhong)(zhong)央企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)總法(fa)(fa)律(lv)顧(gu)問專職(zhi)(zhi)率達(da)到(dao)70%;中(zhong)(zhong)央企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)全系(xi)統法(fa)(fa)律(lv)人(ren)員中(zhong)(zhong)具(ju)有(you)企(qi)(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)法(fa)(fa)律(lv)顧(gu)問執業(ye)(ye)(ye)(ye)(ye)資(zi)格的(de)比例達(da)到(dao)70%。

  三是依法完善企(qi)(qi)業(ye)規(gui)(gui)章(zhang)制(zhi)(zhi)(zhi)(zhi)(zhi)度(du),進一(yi)步夯實(shi)企(qi)(qi)業(ye)管理基礎。規(gui)(gui)章(zhang)制(zhi)(zhi)(zhi)(zhi)(zhi)度(du)建設是實(shi)現企(qi)(qi)業(ye)可(ke)持續(xu)發(fa)展(zhan)的(de)(de)(de)重要(yao)基礎,也是實(shi)現新的(de)(de)(de)三年目標的(de)(de)(de)制(zhi)(zhi)(zhi)(zhi)(zhi)度(du)保障。中央企(qi)(qi)業(ye)要(yao)分析總結(jie)(jie)企(qi)(qi)業(ye)發(fa)展(zhan)中面臨(lin)的(de)(de)(de)新情(qing)況新問題(ti),進一(yi)步加強規(gui)(gui)章(zhang)制(zhi)(zhi)(zhi)(zhi)(zhi)度(du)建設,規(gui)(gui)范(fan)企(qi)(qi)業(ye)決策、經(jing)營管理的(de)(de)(de)各(ge)種行為。要(yao)加強對企(qi)(qi)業(ye)規(gui)(gui)章(zhang)制(zhi)(zhi)(zhi)(zhi)(zhi)度(du)的(de)(de)(de)法律審核(he)把關(guan),充分發(fa)揮法律事務工作機(ji)構在(zai)企(qi)(qi)業(ye)規(gui)(gui)章(zhang)制(zhi)(zhi)(zhi)(zhi)(zhi)度(du)制(zhi)(zhi)(zhi)(zhi)(zhi)定、實(shi)施過程中的(de)(de)(de)審核(he)、協(xie)調、統(tong)籌作用,保障企(qi)(qi)業(ye)規(gui)(gui)章(zhang)制(zhi)(zhi)(zhi)(zhi)(zhi)度(du)的(de)(de)(de)依法合(he)規(gui)(gui)、科學高(gao)效。要(yao)重視提高(gao)規(gui)(gui)章(zhang)制(zhi)(zhi)(zhi)(zhi)(zhi)度(du)的(de)(de)(de)執(zhi)行力,結(jie)(jie)合(he)企(qi)(qi)業(ye)內控體系建設,落(luo)實(shi)規(gui)(gui)章(zhang)制(zhi)(zhi)(zhi)(zhi)(zhi)度(du)要(yao)求,加大制(zhi)(zhi)(zhi)(zhi)(zhi)度(du)實(shi)施的(de)(de)(de)監督力度(du),維護(hu)制(zhi)(zhi)(zhi)(zhi)(zhi)度(du)的(de)(de)(de)嚴(yan)肅(su)性。

  七是加(jia)強境外國(guo)有(you)(you)資(zi)(zi)產監(jian)管(guan),依(yi)法保障企(qi)業(ye)實(shi)施“走出去”戰(zhan)略。貫徹實(shi)施“走出去”戰(zhan)略,發展(zhan)壯(zhuang)大(da)(da)具有(you)(you)國(guo)際競爭力(li)的(de)大(da)(da)公司(si)大(da)(da)集團,必須(xu)高度重視對(dui)境外國(guo)有(you)(you)資(zi)(zi)產的(de)規(gui)范和(he)監(jian)管(guan)。要適應中央企(qi)業(ye)對(dui)外經(jing)(jing)濟交流(liu)合作不(bu)斷擴(kuo)大(da)(da),對(dui)外投(tou)資(zi)(zi)日(ri)益增加(jia)的(de)形(xing)勢需要,在“走出去”之(zhi)前做好法律(lv)(lv)論證工作,認真(zhen)研究(jiu)投(tou)資(zi)(zi)和(he)貿易所在國(guo)家和(he)地區的(de)法律(lv)(lv)環境,熟悉和(he)了(le)解世貿組(zu)織規(gui)則及有(you)(you)關國(guo)際條約。要充分利用所在國(guo)的(de)法律(lv)(lv)資(zi)(zi)源(yuan),實(shi)現境內(nei)外法律(lv)(lv)資(zi)(zi)源(yuan)的(de)有(you)(you)機結合,不(bu)斷增強應對(dui)涉(she)外訴(su)訟、國(guo)際貿易摩擦與(yu)爭端的(de)能力(li)。要強化對(dui)境外企(qi)業(ye)的(de)法律(lv)(lv)監(jian)管(guan),依(yi)法規(gui)范對(dui)外經(jing)(jing)營(ying)行為,積極防范“走出去”過程中的(de)法律(lv)(lv)風險,努力(li)保障境外國(guo)有(you)(you)資(zi)(zi)產安全(quan)。

  (二(er))進一步加(jia)強中央企業法制工(gong)作的基(ji)本要求。

  實現(xian)企(qi)業法制工作(zuo)新的(de)三年目標和任務(wu),中央企(qi)業要(yao)注意(yi)做好以下(xia)工作(zuo)。

  一是(shi)加大對企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)法(fa)(fa)制(zhi)工(gong)作(zuo)(zuo)的(de)領(ling)(ling)導(dao)(dao)和支持力(li)度。中央企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)各級主要(yao)領(ling)(ling)導(dao)(dao)要(yao)從戰略高度充分認識企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)法(fa)(fa)制(zhi)工(gong)作(zuo)(zuo)的(de)重(zhong)要(yao)性,不(bu)斷(duan)增強依法(fa)(fa)辦(ban)事(shi)的(de)自覺性。面對激烈(lie)的(de)國內外市場競爭,企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)如果不(bu)重(zhong)視抓(zhua)好法(fa)(fa)制(zhi)建設,不(bu)遵(zun)循規則辦(ban)事(shi),最終將(jiang)會嘗到法(fa)(fa)律(lv)(lv)制(zhi)裁的(de)苦果。因此,中央企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)各級領(ling)(ling)導(dao)(dao)班(ban)子要(yao)加快培養和形成(cheng)法(fa)(fa)律(lv)(lv)思維,自覺把(ba)法(fa)(fa)制(zhi)工(gong)作(zuo)(zuo)作(zuo)(zuo)為提升企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)管理水平、保(bao)障企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)健康(kang)發展的(de)重(zhong)要(yao)舉措來抓(zhua),建立領(ling)(ling)導(dao)(dao)班(ban)子定期聽取企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)法(fa)(fa)制(zhi)工(gong)作(zuo)(zuo)情況匯報制(zhi)度,經(jing)常研究和解決(jue)企(qi)業(ye)(ye)(ye)(ye)(ye)(ye)法(fa)(fa)制(zhi)建設中遇(yu)到的(de)難題,成(cheng)為帶(dai)頭依法(fa)(fa)辦(ban)事(shi)的(de)表率。

  企(qi)業(ye)(ye)(ye)法(fa)(fa)(fa)律顧(gu)問(wen)(wen)制(zhi)度的(de)(de)(de)建立完善,涉及企(qi)業(ye)(ye)(ye)內(nei)部(bu)流(liu)程(cheng)和工(gong)作機制(zhi)的(de)(de)(de)調整,對此企(qi)業(ye)(ye)(ye)領導(dao)要高度重視,大力(li)支(zhi)持法(fa)(fa)(fa)律部(bu)門(men)的(de)(de)(de)工(gong)作,當好企(qi)業(ye)(ye)(ye)法(fa)(fa)(fa)制(zhi)工(gong)作的(de)(de)(de)堅(jian)強后(hou)盾。要認真總結本企(qi)業(ye)(ye)(ye)近年來法(fa)(fa)(fa)制(zhi)工(gong)作情況,在(zai)集(ji)團本部(bu)及重要子企(qi)業(ye)(ye)(ye)全面推進總法(fa)(fa)(fa)律顧(gu)問(wen)(wen)制(zhi)度,進一步落實總法(fa)(fa)(fa)律顧(gu)問(wen)(wen)、法(fa)(fa)(fa)律事務工(gong)作機構、企(qi)業(ye)(ye)(ye)法(fa)(fa)(fa)律顧(gu)問(wen)(wen)的(de)(de)(de)職(zhi)能(neng),努力(li)為企(qi)業(ye)(ye)(ye)法(fa)(fa)(fa)律顧(gu)問(wen)(wen)履行職(zhi)責創造條件,充分(fen)調動(dong)企(qi)業(ye)(ye)(ye)法(fa)(fa)(fa)律顧(gu)問(wen)(wen)的(de)(de)(de)積(ji)極性,進一步發(fa)揮企(qi)業(ye)(ye)(ye)法(fa)(fa)(fa)律顧(gu)問(wen)(wen)在(zai)企(qi)業(ye)(ye)(ye)經營管(guan)理中的(de)(de)(de)作用(yong)。

  二(er)是細化企業(ye)法(fa)制(zhi)(zhi)工作(zuo)目(mu)標。中央企業(ye)要(yao)根據國資委提出的(de)(de)(de)新的(de)(de)(de)法(fa)制(zhi)(zhi)工作(zuo)三年目(mu)標,結合(he)企業(ye)改革發展的(de)(de)(de)實(shi)(shi)(shi)際(ji),細化本(ben)企業(ye)的(de)(de)(de)具體目(mu)標,制(zhi)(zhi)定(ding)切(qie)實(shi)(shi)(shi)可(ke)行的(de)(de)(de)實(shi)(shi)(shi)施方案。要(yao)圍繞法(fa)律風險(xian)防范這個核心(xin),按照(zhao)本(ben)企業(ye)實(shi)(shi)(shi)際(ji)情況,對(dui)(dui)規章制(zhi)(zhi)度、經濟合(he)同和(he)重要(yao)經營(ying)決策的(de)(de)(de)法(fa)律審核進行分類(lei)細化,增(zeng)強可(ke)操作(zuo)性。加(jia)強對(dui)(dui)完成工作(zuo)目(mu)標的(de)(de)(de)跟蹤(zong)、指導和(he)監督,努(nu)力形成“目(mu)標層(ceng)層(ceng)分解、進度層(ceng)層(ceng)明(ming)確、監督層(ceng)層(ceng)到(dao)位、責任層(ceng)層(ceng)落實(shi)(shi)(shi)”的(de)(de)(de)良好工作(zuo)局(ju)面。

  三是加(jia)快法(fa)(fa)律(lv)工作(zuo)規(gui)范化(hua)(hua)、職(zhi)能(neng)化(hua)(hua)、專業(ye)(ye)化(hua)(hua)步伐。企(qi)業(ye)(ye)法(fa)(fa)律(lv)顧問隊伍的素質水平(ping),直接(jie)關系(xi)到新(xin)的三年目標的實(shi)現,直接(jie)關系(xi)到企(qi)業(ye)(ye)法(fa)(fa)制(zhi)工作(zuo)的質量(liang)和(he)成效。要通過有(you)關制(zhi)度的健全完(wan)善,明確(que)企(qi)業(ye)(ye)法(fa)(fa)律(lv)顧問處理企(qi)業(ye)(ye)法(fa)(fa)律(lv)事務(wu)的權限、責(ze)任、程(cheng)序和(he)工作(zuo)時(shi)限等,同時(shi)支持企(qi)業(ye)(ye)法(fa)(fa)律(lv)顧問加(jia)強(qiang)深(shen)造學習和(he)取得執業(ye)(ye)資(zi)格,以(yi)此(ci)推進(jin)(jin)企(qi)業(ye)(ye)法(fa)(fa)律(lv)工作(zuo)的規(gui)范化(hua)(hua)、職(zhi)能(neng)化(hua)(hua)和(he)專業(ye)(ye)化(hua)(hua)。中央(yang)企(qi)業(ye)(ye)廣大(da)法(fa)(fa)律(lv)顧問也要充(chong)分(fen)認識自身肩負的重(zhong)(zhong)任和(he)職(zhi)責(ze),堅持“有(you)為(wei)才有(you)位,有(you)位更(geng)有(you)為(wei)”,努力提高自身水平(ping),勇挑重(zhong)(zhong)擔,大(da)膽(dan)實(shi)踐,不斷進(jin)(jin)取,為(wei)加(jia)快中央(yang)企(qi)業(ye)(ye)改革發展和(he)推進(jin)(jin)中央(yang)企(qi)業(ye)(ye)法(fa)(fa)制(zhi)工作(zuo)上臺階上水平(ping),繼續作(zuo)出新(xin)的更(geng)大(da)貢獻。

  四是重視(shi)和加(jia)強對(dui)政(zheng)策(ce)法(fa)(fa)律(lv)環境(jing)的(de)研究。要積(ji)極參與國(guo)(guo)家(jia)立法(fa)(fa)和相關(guan)(guan)政(zheng)策(ce)的(de)研究論證工(gong)作,充分反(fan)映國(guo)(guo)有(you)企業改革發展的(de)實(shi)(shi)(shi)踐(jian)經(jing)驗,爭取有(you)利于(yu)企業發展的(de)政(zheng)策(ce)法(fa)(fa)律(lv)環境(jing)。要加(jia)強法(fa)(fa)律(lv)工(gong)作的(de)前瞻性研究,深入分析(xi)新的(de)重要法(fa)(fa)律(lv)的(de)實(shi)(shi)(shi)施(shi)(shi)對(dui)國(guo)(guo)有(you)企業改革發展、經(jing)營管(guan)理(li)的(de)影響(xiang),認真研究提(ti)出貫徹落(luo)實(shi)(shi)(shi)相關(guan)(guan)法(fa)(fa)律(lv)的(de)具體措施(shi)(shi)。要嚴格執(zhi)行國(guo)(guo)有(you)資產監(jian)管(guan)法(fa)(fa)規規章(zhang),企業法(fa)(fa)律(lv)事(shi)務機構要在(zai)這(zhe)項工(gong)作中(zhong)發揮好牽頭作用,一方面(mian)及時了(le)解(jie)國(guo)(guo)資委的(de)立法(fa)(fa)動態,積(ji)極建言獻策(ce),使(shi)國(guo)(guo)有(you)資產監(jian)管(guan)立法(fa)(fa)更加(jia)符合(he)中(zhong)央(yang)企業實(shi)(shi)(shi)際(ji);另一方面(mian),要緊密(mi)結合(he)本企業實(shi)(shi)(shi)際(ji),積(ji)極提(ti)出貫徹實(shi)(shi)(shi)施(shi)(shi)的(de)具體建議。

  (三)國資(zi)委繼續加大對中央企業法制工作的(de)指導推(tui)動力度。

  在(zai)中央(yang)企業(ye)(ye)加強自身法(fa)制(zhi)建(jian)(jian)設的同時,國資(zi)委也將(jiang)進一步(bu)加大對中央(yang)企業(ye)(ye)法(fa)制(zhi)工作的指導推(tui)動力(li)度。為了全面完成中央(yang)企業(ye)(ye)法(fa)制(zhi)建(jian)(jian)設新的三(san)年(nian)目標,國資(zi)委將(jiang)采(cai)取以(yi)下指導推(tui)進措施:

  一是(shi)研究出臺(tai)《關(guan)于加強(qiang)中央企(qi)(qi)(qi)業(ye)法制工作的(de)(de)(de)指(zhi)導意見》。在總(zong)結中央企(qi)(qi)(qi)業(ye)法制工作取得的(de)(de)(de)成績和(he)分析存在問題的(de)(de)(de)基礎上,進一步明確中央企(qi)(qi)(qi)業(ye)法制工作的(de)(de)(de)重(zhong)點任務和(he)措(cuo)施保(bao)障。同時,努力反映(ying)中央企(qi)(qi)(qi)業(ye)改革(ge)發展的(de)(de)(de)實際情況(kuang),積(ji)極為企(qi)(qi)(qi)業(ye)爭取和(he)創(chuang)造更為有利的(de)(de)(de)政策法律環境。

  二是建立對(dui)中(zhong)(zhong)央(yang)企業(ye)(ye)(ye)法(fa)制工(gong)作三年(nian)(nian)目(mu)(mu)標完成情(qing)(qing)況(kuang)(kuang)的定(ding)期通(tong)報(bao)(bao)和評(ping)價制度(du)(du)(du)。根據中(zhong)(zhong)央(yang)企業(ye)(ye)(ye)實現三年(nian)(nian)目(mu)(mu)標的進(jin)度(du)(du)(du)安排和實施方案(an)的備案(an)情(qing)(qing)況(kuang)(kuang),加(jia)強調(diao)研,每(mei)年(nian)(nian)對(dui)中(zhong)(zhong)央(yang)企業(ye)(ye)(ye)完成三年(nian)(nian)工(gong)作目(mu)(mu)標的進(jin)度(du)(du)(du)情(qing)(qing)況(kuang)(kuang)進(jin)行綜(zong)合測評(ping),重點對(dui)中(zhong)(zhong)央(yang)企業(ye)(ye)(ye)總法(fa)律顧問制度(du)(du)(du)建設情(qing)(qing)況(kuang)(kuang),重要決策、規(gui)章制度(du)(du)(du)和合同(tong)法(fa)律審核情(qing)(qing)況(kuang)(kuang),重大(da)法(fa)律糾紛案(an)件(jian)處理情(qing)(qing)況(kuang)(kuang)等(deng)進(jin)行定(ding)期通(tong)報(bao)(bao)。同(tong)時,把企業(ye)(ye)(ye)因違(wei)法(fa)經營(ying)造成重大(da)資產損失,納(na)入中(zhong)(zhong)央(yang)企業(ye)(ye)(ye)經營(ying)業(ye)(ye)(ye)績考核和企業(ye)(ye)(ye)績效評(ping)價,并(bing)予以責任追究。

  三(san)是繼續幫(bang)助(zhu)協調(diao)中(zhong)央(yang)企(qi)(qi)業(ye)重(zhong)(zhong)大(da)(da)法(fa)律(lv)糾(jiu)紛(fen)案(an)(an)件(jian)。對(dui)(dui)中(zhong)央(yang)企(qi)(qi)業(ye)報請協調(diao)的、符合《中(zhong)央(yang)企(qi)(qi)業(ye)重(zhong)(zhong)大(da)(da)法(fa)律(lv)糾(jiu)紛(fen)案(an)(an)件(jian)管理(li)暫行辦法(fa)》規定的有(you)(you)關(guan)案(an)(an)件(jian),積極溝通相關(guan)立法(fa)、執法(fa)、司法(fa)機關(guan)和(he)政府有(you)(you)關(guan)部門,爭取(qu)案(an)(an)件(jian)妥(tuo)善解決,切實維護國有(you)(you)資產安全。同時,定期對(dui)(dui)中(zhong)央(yang)企(qi)(qi)業(ye)發(fa)生的重(zhong)(zhong)大(da)(da)法(fa)律(lv)糾(jiu)紛(fen)案(an)(an)件(jian)進行認真總結(jie),分析發(fa)案(an)(an)原因(yin)和(he)趨(qu)勢,提出相關(guan)的政策措施,進一步完善對(dui)(dui)重(zhong)(zhong)大(da)(da)法(fa)律(lv)糾(jiu)紛(fen)案(an)(an)件(jian)的管理(li)和(he)處理(li)制(zhi)度。

  四是加強(qiang)中央(yang)企(qi)業(ye)(ye)法(fa)(fa)律顧(gu)問(wen)隊(dui)伍建設(she)。按照《國有(you)企(qi)業(ye)(ye)法(fa)(fa)律顧(gu)問(wen)職業(ye)(ye)崗(gang)位(wei)等級資格(ge)評審管(guan)理暫(zan)行辦法(fa)(fa)》,指(zhi)導(dao)企(qi)業(ye)(ye)設(she)立企(qi)業(ye)(ye)一級、二級和三級企(qi)業(ye)(ye)法(fa)(fa)律顧(gu)問(wen)崗(gang)位(wei),完(wan)善企(qi)業(ye)(ye)法(fa)(fa)律顧(gu)問(wen)人才激勵機制(zhi),加強(qiang)企(qi)業(ye)(ye)法(fa)(fa)律顧(gu)問(wen)的(de)交流與培(pei)訓,建立一支梯次配備、結構合理的(de)高素質的(de)企(qi)業(ye)(ye)法(fa)(fa)律顧(gu)問(wen)隊(dui)伍。
