黃淑和:進一步提高中央企業法制工作水平 依法保障和促進中央企業又好又快發展

  這次(ci)中(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)(ye)法(fa)(fa)制工(gong)作會(hui)議,是(shi)在中(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)(ye)改革(ge)發(fa)展取(qu)得顯(xian)著成(cheng)效、企(qi)(qi)業(ye)(ye)法(fa)(fa)制工(gong)作三(san)年(nian)(nian)(nian)目標基本實(shi)現的(de)(de)形(xing)勢下召開的(de)(de)一次(ci)重要(yao)會(hui)議。會(hui)議的(de)(de)主要(yao)任(ren)務(wu)是(shi):深入貫徹落實(shi)黨的(de)(de)十七大精(jing)神,全面(mian)總結國資委(wei)成(cheng)立以來特別是(shi)近三(san)年(nian)(nian)(nian)來中(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)(ye)法(fa)(fa)制工(gong)作,表彰中(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)(ye)先進法(fa)(fa)律事(shi)務(wu)機構,部(bu)署今后三(san)年(nian)(nian)(nian)中(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)(ye)法(fa)(fa)制工(gong)作的(de)(de)目標和(he)任(ren)務(wu),依法(fa)(fa)保障和(he)促(cu)進中(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)(ye)又(you)(you)好又(you)(you)快發(fa)展。國資委(wei)對這次(ci)會(hui)議高度(du)重視,榮融同志專門作出重要(yao)批示,充分(fen)肯(ken)定了(le)三(san)年(nian)(nian)(nian)來中(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)(ye)法(fa)(fa)制工(gong)作成(cheng)績,對繼(ji)續做好中(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)(ye)法(fa)(fa)制工(gong)作提出了(le)明(ming)確要(yao)求(qiu)。下面(mian),我講三(san)點意見(jian)。

  一、中央企業法制工作(zuo)邁(mai)出堅(jian)實步伐,取得了(le)明顯(xian)成效

  加強中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)法(fa)制(zhi)(zhi)(zhi)建(jian)設(she),是(shi)促進(jin)中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)適應(ying)市場競(jing)(jing)爭(zheng)(zheng)需要、提高(gao)國際競(jing)(jing)爭(zheng)(zheng)力(li)、實現(xian)又(you)好又(you)快(kuai)發(fa)展(zhan)(zhan)的(de)(de)一(yi)(yi)項重(zhong)(zhong)要措施。國資(zi)委成立(li)以(yi)(yi)來特別是(shi)近三年(nian)(nian)來,緊緊圍(wei)繞中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)改革(ge)發(fa)展(zhan)(zhan)的(de)(de)目標任務(wu)(wu),全面推進(jin)“兩(liang)個體(ti)系”建(jian)設(she)。一(yi)(yi)是(shi)以(yi)(yi)《企(qi)(qi)業(ye)(ye)(ye)(ye)國有(you)資(zi)產(chan)監督管(guan)(guan)理(li)暫行條例》為依據(ju),制(zhi)(zhi)(zhi)定(ding)了(le)19件規章(zhang)和(he)104件規范性文件,初步(bu)(bu)建(jian)立(li)了(le)國有(you)資(zi)產(chan)監督管(guan)(guan)理(li)法(fa)規體(ti)系。二(er)是(shi)以(yi)(yi)企(qi)(qi)業(ye)(ye)(ye)(ye)法(fa)制(zhi)(zhi)(zhi)建(jian)設(she)三年(nian)(nian)目標為導(dao)(dao)向(xiang),指導(dao)(dao)推動中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)普遍設(she)立(li)了(le)法(fa)律事(shi)(shi)務(wu)(wu)機(ji)構,其(qi)(qi)中(zhong)(zhong)(zhong)(zhong)53戶大型中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)和(he)其(qi)(qi)他具備條件的(de)(de)中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)還實行了(le)總法(fa)律顧(gu)(gu)(gu)問(wen)(wen)制(zhi)(zhi)(zhi)度,初步(bu)(bu)形(xing)成了(le)中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)法(fa)律顧(gu)(gu)(gu)問(wen)(wen)組織體(ti)系。經(jing)過“兩(liang)個體(ti)系”的(de)(de)上下聯動和(he)相互作(zuo)(zuo)用(yong),經(jing)過國資(zi)委和(he)中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)的(de)(de)共同努(nu)力(li),中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)法(fa)制(zhi)(zhi)(zhi)建(jian)設(she)初步(bu)(bu)實現(xian)了(le)“三個轉變”:一(yi)(yi)是(shi)中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)法(fa)律顧(gu)(gu)(gu)問(wen)(wen)工作(zuo)(zuo)由政府部門引導(dao)(dao)轉向(xiang)了(le)由出(chu)資(zi)人推進(jin),這(zhe)三年(nian)(nian)推進(jin)力(li)度之大、涉及企(qi)(qi)業(ye)(ye)(ye)(ye)之多、取得進(jin)展(zhan)(zhan)之快(kuai)是(shi)前所未(wei)有(you)的(de)(de);二(er)是(shi)中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)法(fa)律顧(gu)(gu)(gu)問(wen)(wen)工作(zuo)(zuo)重(zhong)(zhong)點由事(shi)(shi)后(hou)補救轉向(xiang)了(le)事(shi)(shi)前防(fang)范和(he)事(shi)(shi)中(zhong)(zhong)(zhong)(zhong)控(kong)制(zhi)(zhi)(zhi),企(qi)(qi)業(ye)(ye)(ye)(ye)法(fa)律風險防(fang)范機(ji)制(zhi)(zhi)(zhi)正(zheng)在逐步(bu)(bu)建(jian)立(li)和(he)完(wan)善;三是(shi)中(zhong)(zhong)(zhong)(zhong)央(yang)(yang)(yang)(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)(ye)法(fa)律顧(gu)(gu)(gu)問(wen)(wen)工作(zuo)(zuo)內容由事(shi)(shi)務(wu)(wu)型轉向(xiang)了(le)管(guan)(guan)理(li)型,這(zhe)項管(guan)(guan)理(li)已經(jing)成為企(qi)(qi)業(ye)(ye)(ye)(ye)管(guan)(guan)理(li)中(zhong)(zhong)(zhong)(zhong)的(de)(de)一(yi)(yi)項重(zhong)(zhong)要內容,其(qi)(qi)在依法(fa)規范、保障和(he)促進(jin)企(qi)(qi)業(ye)(ye)(ye)(ye)改革(ge)發(fa)展(zhan)(zhan)中(zhong)(zhong)(zhong)(zhong)的(de)(de)作(zuo)(zuo)用(yong)正(zheng)在進(jin)一(yi)(yi)步(bu)(bu)顯現(xian)。

  (一)企業(ye)領導高度(du)重視法制工作,法制建設三(san)年目標基(ji)本實現。

  2004年(nian)(nian)4月國資委提(ti)出國有(you)重點企業法制(zhi)建設三年(nian)(nian)目標(biao)后(hou),中(zhong)央(yang)企業高度重視,按照(zhao)(zhao)三年(nian)(nian)目標(biao)的要(yao)求,緊密結合自(zi)身的實(shi)際,認真加以貫徹(che)落(luo)實(shi)。截至2007年(nian)(nian)底,150戶(hu)中(zhong)央(yang)企業中(zhong),已(yi)有(you)146戶(hu)設立(li)(li)了法律事(shi)務機構,占97.3%;另(ling)有(you)4戶(hu)因規模(mo)較(jiao)小、機構調整等(deng)暫未設立(li)(li)法律事(shi)務機構,但配備(bei)了專職(zhi)法律顧問(wen);53戶(hu)大型中(zhong)央(yang)企業按照(zhao)(zhao)國資委要(yao)求全部建立(li)(li)了總(zong)法律顧問(wen)制(zhi)度,另(ling)有(you)28戶(hu)其他中(zhong)央(yang)企業根據自(zi)身發展需(xu)要(yao)也建立(li)(li)了總(zong)法律顧問(wen)制(zhi)度。三年(nian)(nian)目標(biao)的基本實(shi)現,為切實(shi)做好中(zhong)央(yang)企業法制(zhi)工作(zuo)奠(dian)定了堅實(shi)基礎。

  一是企(qi)業(ye)領(ling)(ling)導(dao)的(de)法(fa)制(zhi)觀念(nian)明顯增強。中國(guo)石(shi)油、中國(guo)移動、中國(guo)海運(yun)等(deng)企(qi)業(ye)主(zhu)要領(ling)(ling)導(dao)強調,現代大(da)型企(qi)業(ye)的(de)管理(li)(li)關鍵要靠制(zhi)度管理(li)(li)和(he)依(yi)(yi)法(fa)管理(li)(li),法(fa)律(lv)素養(yang)是企(qi)業(ye)領(ling)(ling)導(dao)的(de)重(zhong)(zhong)要素養(yang);中糧集團(tuan)、中國(guo)網(wang)通、黃金集團(tuan)等(deng)企(qi)業(ye)領(ling)(ling)導(dao)高度重(zhong)(zhong)視重(zhong)(zhong)大(da)決策(ce)的(de)法(fa)律(lv)審核把關,要求法(fa)律(lv)部參加集團(tuan)所有重(zhong)(zhong)大(da)決策(ce)會(hui)議,將法(fa)律(lv)風險防范工作納入下屬單位負責人年度考評指標(biao)體系;中國(guo)航油領(ling)(ling)導(dao)班子(zi)結合新加坡事件的(de)教訓(xun),加快培養(yang)和(he)形成依(yi)(yi)法(fa)決策(ce)的(de)思維方式和(he)管理(li)(li)理(li)(li)念(nian)。中央企(qi)業(ye)主(zhu)要領(ling)(ling)導(dao)法(fa)制(zhi)意(yi)識(shi)的(de)提高,為(wei)推進企(qi)業(ye)法(fa)制(zhi)建(jian)設(she)提供(gong)了重(zhong)(zhong)要的(de)前(qian)提和(he)保障。

  二是企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)問(wen)(wen)組(zu)織(zhi)(zhi)體系(xi)(xi)基本建(jian)(jian)立(li)(li)。企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)事(shi)(shi)務(wu)工(gong)(gong)作專(zhuan)(zhuan)業(ye)(ye)性很(hen)強,涉及(ji)面很(hen)廣,必(bi)須(xu)(xu)有(you)專(zhuan)(zhuan)門機構和(he)人(ren)員從事(shi)(shi)這項工(gong)(gong)作。按照國(guo)資(zi)委提出的(de)(de)(de)三年(nian)(nian)目標要(yao)求(qiu),中(zhong)(zhong)央企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)普遍加強了(le)(le)以總(zong)法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)問(wen)(wen)制(zhi)度(du)為核心的(de)(de)(de)企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)問(wen)(wen)制(zhi)度(du)建(jian)(jian)設(she),建(jian)(jian)立(li)(li)了(le)(le)由(you)企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)總(zong)法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)問(wen)(wen)、法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)事(shi)(shi)務(wu)機構和(he)法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)問(wen)(wen)構成的(de)(de)(de)法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)問(wen)(wen)組(zu)織(zhi)(zhi)體系(xi)(xi)。截至(zhi)2007年(nian)(nian)底(di),中(zhong)(zhong)央企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)及(ji)其重(zhong)要(yao)下屬企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)實行總(zong)法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)問(wen)(wen)制(zhi)度(du)的(de)(de)(de)戶數達到(dao)629戶;三級以上企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)設(she)立(li)(li)獨立(li)(li)法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)事(shi)(shi)務(wu)機構的(de)(de)(de)戶數達到(dao)1769戶;中(zhong)(zhong)央企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)全(quan)(quan)系(xi)(xi)統法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)工(gong)(gong)作人(ren)員達到(dao)14308人(ren),比2004年(nian)(nian)底(di)增長了(le)(le)49%,其中(zhong)(zhong)具(ju)有(you)企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)問(wen)(wen)執(zhi)業(ye)(ye)資(zi)格(ge)的(de)(de)(de)有(you)6693人(ren)。許多企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)按照三年(nian)(nian)目標要(yao)求(qiu),采取(qu)了(le)(le)一系(xi)(xi)列(lie)措施。中(zhong)(zhong)航一集團(tuan)(tuan)專(zhuan)(zhuan)門制(zhi)定(ding)《企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)總(zong)法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)問(wen)(wen)工(gong)(gong)作規定(ding)》,明確了(le)(le)總(zong)法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)問(wen)(wen)的(de)(de)(de)職(zhi)責定(ding)位(wei)。中(zhong)(zhong)國(guo)中(zhong)(zhong)鐵和(he)南航股(gu)份在(zai)(zai)公司章程(cheng)中(zhong)(zhong)明確規定(ding)實行總(zong)法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)問(wen)(wen)制(zhi)度(du)。中(zhong)(zhong)交(jiao)集團(tuan)(tuan)要(yao)求(qiu)子企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)總(zong)法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)問(wen)(wen)必(bi)須(xu)(xu)具(ju)有(you)企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)問(wen)(wen)執(zhi)業(ye)(ye)資(zi)格(ge),并按照總(zong)法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)問(wen)(wen)專(zhuan)(zhuan)職(zhi)化(hua)和(he)專(zhuan)(zhuan)業(ye)(ye)化(hua)要(yao)求(qiu)直接考察任命(ming)。中(zhong)(zhong)國(guo)建(jian)(jian)筑二級企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)全(quan)(quan)部建(jian)(jian)立(li)(li)了(le)(le)總(zong)法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)問(wen)(wen)制(zhi)度(du),并開始構建(jian)(jian)三級企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)問(wen)(wen)組(zu)織(zhi)(zhi)體系(xi)(xi)。東風公司在(zai)(zai)各事(shi)(shi)業(ye)(ye)部、各子公司和(he)專(zhuan)(zhuan)業(ye)(ye)廠建(jian)(jian)立(li)(li)了(le)(le)總(zong)法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)問(wen)(wen)牽頭的(de)(de)(de)全(quan)(quan)覆蓋的(de)(de)(de)法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)問(wen)(wen)組(zu)織(zhi)(zhi)體系(xi)(xi)。國(guo)家電網(wang)、中(zhong)(zhong)國(guo)石(shi)化(hua)、中(zhong)(zhong)國(guo)石(shi)油在(zai)(zai)全(quan)(quan)系(xi)(xi)統配備的(de)(de)(de)專(zhuan)(zhuan)職(zhi)法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)工(gong)(gong)作人(ren)員均超(chao)過(guo)1200人(ren)。中(zhong)(zhong)央企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)(fa)(fa)律(lv)(lv)(lv)(lv)(lv)顧(gu)(gu)(gu)(gu)問(wen)(wen)組(zu)織(zhi)(zhi)體系(xi)(xi)的(de)(de)(de)建(jian)(jian)立(li)(li),奠定(ding)了(le)(le)堅實的(de)(de)(de)企(qi)(qi)(qi)(qi)(qi)(qi)業(ye)(ye)法(fa)(fa)(fa)(fa)(fa)制(zhi)工(gong)(gong)作平臺。

  三是企(qi)業(ye)合規文(wen)化初步形(xing)成。三年來,中央(yang)企(qi)業(ye)深入開展法(fa)(fa)制宣傳教(jiao)育,進(jin)一步培育形(xing)成了(le)“外(wai)講誠信(xin)、依法(fa)(fa)經營(ying),內(nei)講制度、依法(fa)(fa)管(guan)理(li)”的(de)企(qi)業(ye)合規文(wen)化。結合“五五”普(pu)法(fa)(fa)工(gong)(gong)作,中航二集團、國投、兵(bing)(bing)器工(gong)(gong)業(ye)集團等企(qi)業(ye)領(ling)導帶頭學法(fa)(fa)用法(fa)(fa);兵(bing)(bing)器裝備集團等企(qi)業(ye)主要領(ling)導專門在報刊雜志上發表(biao)有(you)關加強企(qi)業(ye)法(fa)(fa)律文(wen)化建設的(de)文(wen)章。中國大唐、中國華(hua)電、攀鋼等企(qi)業(ye)圍(wei)繞(rao)企(qi)業(ye)發展戰略,將合規文(wen)化建設列為免费菠萝视频app下载建設的(de)重點內(nei)容(rong),積極創建良好的(de)企(qi)業(ye)法(fa)(fa)律環(huan)境。

  (二)企業依(yi)法經營管(guan)理水(shui)平進一步提(ti)高,法律風險得到(dao)有效控制。

  中央(yang)企業(ye)法(fa)律顧問組織體系組建到位后,企業(ye)規章(zhang)制(zhi)度建設、合同管(guan)理、法(fa)律審(shen)核把關、案件糾紛管(guan)理等工作進一步加強,企業(ye)法(fa)律風險防(fang)范機(ji)制(zhi)逐步建立健全。從企業(ye)日常經營管(guan)理到重大經營決(jue)策,企業(ye)法(fa)律顧問基本實現了(le)全過程參與,發(fa)揮著(zhu)越(yue)來越(yue)重要的作用。

  一是企(qi)業(ye)(ye)規章(zhang)(zhang)(zhang)(zhang)制(zhi)(zhi)(zhi)(zhi)度(du)(du)(du)逐步依(yi)法(fa)(fa)健全和(he)規范。三年(nian)(nian)來(lai),中(zhong)央(yang)(yang)(yang)企(qi)業(ye)(ye)堅持依(yi)法(fa)(fa)用制(zhi)(zhi)(zhi)(zhi)度(du)(du)(du)來(lai)管(guan)(guan)人(ren)、管(guan)(guan)事(shi)、管(guan)(guan)資(zi)產,高度(du)(du)(du)重視規章(zhang)(zhang)(zhang)(zhang)制(zhi)(zhi)(zhi)(zhi)度(du)(du)(du)的(de)(de)(de)(de)制(zhi)(zhi)(zhi)(zhi)定修(xiu)(xiu)訂和(he)法(fa)(fa)律審(shen)核把關工作(zuo)。2005年(nian)(nian)至2007年(nian)(nian),航天(tian)科技對31132件(jian)(jian)(jian)(jian)規章(zhang)(zhang)(zhang)(zhang)制(zhi)(zhi)(zhi)(zhi)度(du)(du)(du)進行(xing)了清理(li),集(ji)(ji)團(tuan)總部頒布(bu)實(shi)施(shi)規章(zhang)(zhang)(zhang)(zhang)制(zhi)(zhi)(zhi)(zhi)度(du)(du)(du)190件(jian)(jian)(jian)(jian),二級單(dan)位頒布(bu)實(shi)施(shi)規章(zhang)(zhang)(zhang)(zhang)制(zhi)(zhi)(zhi)(zhi)度(du)(du)(du)2236件(jian)(jian)(jian)(jian)。中(zhong)國石油近兩(liang)年(nian)(nian)來(lai)結合機構整合,清理(li)規章(zhang)(zhang)(zhang)(zhang)制(zhi)(zhi)(zhi)(zhi)度(du)(du)(du)12000多件(jian)(jian)(jian)(jian),制(zhi)(zhi)(zhi)(zhi)定規章(zhang)(zhang)(zhang)(zhang)制(zhi)(zhi)(zhi)(zhi)度(du)(du)(du)近6000件(jian)(jian)(jian)(jian)。航天(tian)科工僅2007年(nian)(nian)就制(zhi)(zhi)(zhi)(zhi)定了63件(jian)(jian)(jian)(jian)規章(zhang)(zhang)(zhang)(zhang)制(zhi)(zhi)(zhi)(zhi)度(du)(du)(du)。在規章(zhang)(zhang)(zhang)(zhang)制(zhi)(zhi)(zhi)(zhi)度(du)(du)(du)的(de)(de)(de)(de)制(zhi)(zhi)(zhi)(zhi)定、修(xiu)(xiu)訂和(he)清理(li)中(zhong),中(zhong)央(yang)(yang)(yang)企(qi)業(ye)(ye)普(pu)遍重視法(fa)(fa)律審(shen)核把關工作(zuo)。中(zhong)航二集(ji)(ji)團(tuan)、中(zhong)航集(ji)(ji)團(tuan)、冶(ye)金地質總局等企(qi)業(ye)(ye)明(ming)確規定,未經法(fa)(fa)律審(shen)核的(de)(de)(de)(de)規章(zhang)(zhang)(zhang)(zhang)制(zhi)(zhi)(zhi)(zhi)度(du)(du)(du)草案,不得發布(bu)實(shi)施(shi)。據統(tong)計(ji),2005年(nian)(nian)到2007年(nian)(nian),中(zhong)央(yang)(yang)(yang)企(qi)業(ye)(ye)總部經法(fa)(fa)律事(shi)務(wu)機構審(shen)核的(de)(de)(de)(de)規章(zhang)(zhang)(zhang)(zhang)制(zhi)(zhi)(zhi)(zhi)度(du)(du)(du)已達12626件(jian)(jian)(jian)(jian)。企(qi)業(ye)(ye)規章(zhang)(zhang)(zhang)(zhang)制(zhi)(zhi)(zhi)(zhi)度(du)(du)(du)的(de)(de)(de)(de)完善,為企(qi)業(ye)(ye)依(yi)法(fa)(fa)經營管(guan)(guan)理(li)奠(dian)定了扎(zha)實(shi)的(de)(de)(de)(de)制(zhi)(zhi)(zhi)(zhi)度(du)(du)(du)基礎。

  當前,國(guo)際國(guo)內市場環境正在發生深刻變化,我國(guo)法(fa)(fa)治環境正在加快完善(shan),中(zhong)央企(qi)業改革(ge)調整(zheng)處于攻堅階段。面對新形勢新任務(wu),中(zhong)央企(qi)業改革(ge)發展涉及的法(fa)(fa)律事務(wu)日(ri)趨復雜(za)艱巨,企(qi)業法(fa)(fa)制工作(zuo)面臨的挑(tiao)戰也越(yue)來越(yue)多。

  (一)經(jing)濟全球化和當前世界經(jing)濟形勢變化,對中央企業(ye)依法(fa)開展(zhan)國際化經(jing)營(ying)提出了嚴峻挑戰(zhan)。

  二是全面落實(shi)(shi)企(qi)(qi)(qi)業(ye)(ye)(ye)法律(lv)事(shi)務(wu)機構職(zhi)(zhi)能(neng),實(shi)(shi)現法律(lv)顧問(wen)隊(dui)伍的(de)專(zhuan)(zhuan)業(ye)(ye)(ye)化(hua)。進(jin)一步加強中央企(qi)(qi)(qi)業(ye)(ye)(ye)法律(lv)顧問(wen)隊(dui)伍建設(she),是實(shi)(shi)現新的(de)三年目(mu)標的(de)重(zhong)(zhong)要(yao)組織保障。要(yao)力(li)爭到(dao)(dao)2010年底(di),中央企(qi)(qi)(qi)業(ye)(ye)(ye)及(ji)其(qi)重(zhong)(zhong)要(yao)子企(qi)(qi)(qi)業(ye)(ye)(ye)法律(lv)事(shi)務(wu)機構作(zuo)為獨立(li)職(zhi)(zhi)能(neng)部門(men)的(de)比(bi)例達(da)到(dao)(dao)70%以(yi)上。要(yao)實(shi)(shi)現法律(lv)顧問(wen)隊(dui)伍的(de)專(zhuan)(zhuan)業(ye)(ye)(ye)化(hua),結合國(guo)資委剛(gang)(gang)剛(gang)(gang)公布(bu)的(de)《國(guo)有企(qi)(qi)(qi)業(ye)(ye)(ye)法律(lv)顧問(wen)職(zhi)(zhi)業(ye)(ye)(ye)崗位等級資格評審管(guan)理暫(zan)行辦法》,加強專(zhuan)(zhuan)業(ye)(ye)(ye)培訓,提高執業(ye)(ye)(ye)水平,不斷增強企(qi)(qi)(qi)業(ye)(ye)(ye)法律(lv)顧問(wen)隊(dui)伍的(de)整體素質,努力(li)造(zao)就一支既(ji)懂法律(lv)又懂經營(ying)管(guan)理的(de)復合型人才隊(dui)伍。到(dao)(dao)2010年底(di)中央企(qi)(qi)(qi)業(ye)(ye)(ye)總法律(lv)顧問(wen)專(zhuan)(zhuan)職(zhi)(zhi)率達(da)到(dao)(dao)70%;中央企(qi)(qi)(qi)業(ye)(ye)(ye)全系統法律(lv)人員中具(ju)有企(qi)(qi)(qi)業(ye)(ye)(ye)法律(lv)顧問(wen)執業(ye)(ye)(ye)資格的(de)比(bi)例達(da)到(dao)(dao)70%。

  (二)進一步加強中(zhong)央企業法制工作的基本要求。

  實現企業法制(zhi)工作(zuo)新的三年目標和(he)任務,中央企業要注(zhu)意做好以下工作(zuo)。

  一(yi)是加(jia)(jia)大(da)對企(qi)業(ye)(ye)(ye)法(fa)(fa)制工(gong)作(zuo)(zuo)的(de)領(ling)導(dao)和(he)支持(chi)力度(du)。中(zhong)央(yang)企(qi)業(ye)(ye)(ye)各(ge)級(ji)主要領(ling)導(dao)要從戰略高度(du)充分認(ren)識企(qi)業(ye)(ye)(ye)法(fa)(fa)制工(gong)作(zuo)(zuo)的(de)重(zhong)要性,不斷增強依法(fa)(fa)辦(ban)事的(de)自覺性。面(mian)對激烈的(de)國內外(wai)市場(chang)競爭,企(qi)業(ye)(ye)(ye)如果不重(zhong)視抓(zhua)好(hao)法(fa)(fa)制建設,不遵循(xun)規(gui)則辦(ban)事,最(zui)終將會嘗(chang)到(dao)法(fa)(fa)律制裁的(de)苦果。因此,中(zhong)央(yang)企(qi)業(ye)(ye)(ye)各(ge)級(ji)領(ling)導(dao)班子要加(jia)(jia)快培(pei)養和(he)形(xing)成法(fa)(fa)律思(si)維,自覺把法(fa)(fa)制工(gong)作(zuo)(zuo)作(zuo)(zuo)為提升(sheng)企(qi)業(ye)(ye)(ye)管(guan)理水平、保障企(qi)業(ye)(ye)(ye)健康發展(zhan)的(de)重(zhong)要舉(ju)措來抓(zhua),建立領(ling)導(dao)班子定期聽取企(qi)業(ye)(ye)(ye)法(fa)(fa)制工(gong)作(zuo)(zuo)情況匯報制度(du),經常研究和(he)解決企(qi)業(ye)(ye)(ye)法(fa)(fa)制建設中(zhong)遇到(dao)的(de)難(nan)題,成為帶頭(tou)依法(fa)(fa)辦(ban)事的(de)表率。

  企(qi)(qi)業(ye)(ye)(ye)法(fa)(fa)律(lv)顧(gu)(gu)問(wen)(wen)制度的(de)建立完(wan)善,涉(she)及企(qi)(qi)業(ye)(ye)(ye)內(nei)部(bu)流程和工(gong)作(zuo)機制的(de)調整,對此企(qi)(qi)業(ye)(ye)(ye)領(ling)導要高度重視(shi),大(da)力支持(chi)法(fa)(fa)律(lv)部(bu)門(men)的(de)工(gong)作(zuo),當好企(qi)(qi)業(ye)(ye)(ye)法(fa)(fa)制工(gong)作(zuo)的(de)堅強后盾(dun)。要認真總結本企(qi)(qi)業(ye)(ye)(ye)近年來法(fa)(fa)制工(gong)作(zuo)情況,在集團本部(bu)及重要子企(qi)(qi)業(ye)(ye)(ye)全面推進(jin)總法(fa)(fa)律(lv)顧(gu)(gu)問(wen)(wen)制度,進(jin)一步(bu)(bu)落(luo)實(shi)總法(fa)(fa)律(lv)顧(gu)(gu)問(wen)(wen)、法(fa)(fa)律(lv)事務(wu)工(gong)作(zuo)機構(gou)、企(qi)(qi)業(ye)(ye)(ye)法(fa)(fa)律(lv)顧(gu)(gu)問(wen)(wen)的(de)職能,努力為(wei)企(qi)(qi)業(ye)(ye)(ye)法(fa)(fa)律(lv)顧(gu)(gu)問(wen)(wen)履行職責(ze)創造(zao)條件,充分調動(dong)企(qi)(qi)業(ye)(ye)(ye)法(fa)(fa)律(lv)顧(gu)(gu)問(wen)(wen)的(de)積(ji)極性,進(jin)一步(bu)(bu)發揮企(qi)(qi)業(ye)(ye)(ye)法(fa)(fa)律(lv)顧(gu)(gu)問(wen)(wen)在企(qi)(qi)業(ye)(ye)(ye)經營管理中的(de)作(zuo)用。

  二是細(xi)(xi)化(hua)(hua)企業(ye)法制工(gong)作(zuo)目(mu)標(biao)。中央企業(ye)要根據國資委提出的新的法制工(gong)作(zuo)三年目(mu)標(biao),結合企業(ye)改革發展的實(shi)(shi)際,細(xi)(xi)化(hua)(hua)本企業(ye)的具體目(mu)標(biao),制定切實(shi)(shi)可行的實(shi)(shi)施方案。要圍繞法律(lv)風(feng)險防范(fan)這個(ge)核心,按照本企業(ye)實(shi)(shi)際情況,對規章制度(du)、經(jing)(jing)濟合同和重要經(jing)(jing)營決(jue)策的法律(lv)審核進(jin)(jin)行分類細(xi)(xi)化(hua)(hua),增強(qiang)可操作(zuo)性(xing)。加強(qiang)對完成(cheng)工(gong)作(zuo)目(mu)標(biao)的跟蹤、指導和監督,努力(li)形成(cheng)“目(mu)標(biao)層(ceng)(ceng)層(ceng)(ceng)分解、進(jin)(jin)度(du)層(ceng)(ceng)層(ceng)(ceng)明確、監督層(ceng)(ceng)層(ceng)(ceng)到(dao)位(wei)、責任層(ceng)(ceng)層(ceng)(ceng)落實(shi)(shi)”的良好工(gong)作(zuo)局面。

  三是加快法(fa)(fa)(fa)律(lv)工(gong)作(zuo)規范化(hua)、職能(neng)化(hua)、專(zhuan)業(ye)(ye)(ye)化(hua)步伐。企(qi)(qi)業(ye)(ye)(ye)法(fa)(fa)(fa)律(lv)顧問(wen)(wen)隊伍的(de)(de)素質水平,直接(jie)關(guan)系(xi)到新的(de)(de)三年目標(biao)的(de)(de)實現,直接(jie)關(guan)系(xi)到企(qi)(qi)業(ye)(ye)(ye)法(fa)(fa)(fa)制(zhi)工(gong)作(zuo)的(de)(de)質量(liang)和(he)(he)(he)(he)成效。要通(tong)過有關(guan)制(zhi)度的(de)(de)健全完善,明(ming)確企(qi)(qi)業(ye)(ye)(ye)法(fa)(fa)(fa)律(lv)顧問(wen)(wen)處理(li)企(qi)(qi)業(ye)(ye)(ye)法(fa)(fa)(fa)律(lv)事(shi)務的(de)(de)權限(xian)、責(ze)任、程序和(he)(he)(he)(he)工(gong)作(zuo)時限(xian)等,同時支(zhi)持企(qi)(qi)業(ye)(ye)(ye)法(fa)(fa)(fa)律(lv)顧問(wen)(wen)加強深造學習(xi)和(he)(he)(he)(he)取(qu)得(de)執(zhi)業(ye)(ye)(ye)資格(ge),以(yi)此推(tui)(tui)進企(qi)(qi)業(ye)(ye)(ye)法(fa)(fa)(fa)律(lv)工(gong)作(zuo)的(de)(de)規范化(hua)、職能(neng)化(hua)和(he)(he)(he)(he)專(zhuan)業(ye)(ye)(ye)化(hua)。中央(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)廣(guang)大(da)法(fa)(fa)(fa)律(lv)顧問(wen)(wen)也要充分認(ren)識自身肩(jian)負的(de)(de)重任和(he)(he)(he)(he)職責(ze),堅(jian)持“有為才(cai)有位,有位更(geng)有為”,努力提(ti)高自身水平,勇挑(tiao)重擔,大(da)膽實踐,不斷進取(qu),為加快中央(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)改革發展(zhan)和(he)(he)(he)(he)推(tui)(tui)進中央(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)法(fa)(fa)(fa)制(zhi)工(gong)作(zuo)上(shang)臺(tai)階(jie)上(shang)水平,繼續(xu)作(zuo)出新的(de)(de)更(geng)大(da)貢獻。

  四是重視和加(jia)(jia)強對政(zheng)策法(fa)(fa)(fa)律環(huan)境的(de)(de)(de)(de)研究。要(yao)(yao)積(ji)極參與國家立法(fa)(fa)(fa)和相(xiang)關政(zheng)策的(de)(de)(de)(de)研究論證工作,充分(fen)反(fan)映國有企(qi)業(ye)改革(ge)發(fa)(fa)展的(de)(de)(de)(de)實(shi)踐經驗,爭取有利于企(qi)業(ye)發(fa)(fa)展的(de)(de)(de)(de)政(zheng)策法(fa)(fa)(fa)律環(huan)境。要(yao)(yao)加(jia)(jia)強法(fa)(fa)(fa)律工作的(de)(de)(de)(de)前(qian)瞻性研究,深入分(fen)析新的(de)(de)(de)(de)重要(yao)(yao)法(fa)(fa)(fa)律的(de)(de)(de)(de)實(shi)施對國有企(qi)業(ye)改革(ge)發(fa)(fa)展、經營(ying)管(guan)(guan)理的(de)(de)(de)(de)影(ying)響,認真研究提出貫徹(che)落實(shi)相(xiang)關法(fa)(fa)(fa)律的(de)(de)(de)(de)具體(ti)措施。要(yao)(yao)嚴格執行(xing)國有資產監管(guan)(guan)法(fa)(fa)(fa)規(gui)規(gui)章,企(qi)業(ye)法(fa)(fa)(fa)律事(shi)務機構(gou)要(yao)(yao)在這項(xiang)工作中發(fa)(fa)揮好牽頭作用,一方面及時了解國資委的(de)(de)(de)(de)立法(fa)(fa)(fa)動態,積(ji)極建言獻策,使國有資產監管(guan)(guan)立法(fa)(fa)(fa)更加(jia)(jia)符合中央企(qi)業(ye)實(shi)際(ji);另一方面,要(yao)(yao)緊(jin)密結合本企(qi)業(ye)實(shi)際(ji),積(ji)極提出貫徹(che)實(shi)施的(de)(de)(de)(de)具體(ti)建議。

  (三(san))國資(zi)委繼續加大(da)對中央(yang)企業法制工(gong)作的指導推(tui)動(dong)力度。

  在中(zhong)央(yang)企業加(jia)強(qiang)自身法(fa)(fa)制建(jian)設的同時(shi),國資(zi)委(wei)(wei)也將進(jin)一步加(jia)大對中(zhong)央(yang)企業法(fa)(fa)制工作的指導推(tui)動力度。為(wei)了全面完(wan)成中(zhong)央(yang)企業法(fa)(fa)制建(jian)設新(xin)的三年目標,國資(zi)委(wei)(wei)將采(cai)取以下指導推(tui)進(jin)措(cuo)施:

  一(yi)(yi)是研究(jiu)出臺《關于加強中央(yang)(yang)企(qi)(qi)業(ye)(ye)法(fa)制工作(zuo)(zuo)的指導意(yi)見》。在總結中央(yang)(yang)企(qi)(qi)業(ye)(ye)法(fa)制工作(zuo)(zuo)取(qu)得的成績和分(fen)析(xi)存(cun)在問題的基(ji)礎(chu)上,進一(yi)(yi)步明(ming)確中央(yang)(yang)企(qi)(qi)業(ye)(ye)法(fa)制工作(zuo)(zuo)的重(zhong)點(dian)任務和措施保障。同時,努力(li)反映中央(yang)(yang)企(qi)(qi)業(ye)(ye)改革(ge)發展的實際(ji)情況,積極為企(qi)(qi)業(ye)(ye)爭(zheng)取(qu)和創造更為有利的政策法(fa)律環境。

  二是建(jian)立對中(zhong)(zhong)央企業(ye)(ye)(ye)法(fa)(fa)制(zhi)(zhi)工作(zuo)(zuo)三年目標完(wan)(wan)成(cheng)(cheng)情(qing)況(kuang)的(de)定期(qi)(qi)通報和評價(jia)制(zhi)(zhi)度(du)。根據中(zhong)(zhong)央企業(ye)(ye)(ye)實現三年目標的(de)進度(du)安排(pai)和實施方案(an)的(de)備案(an)情(qing)況(kuang),加強調研,每年對中(zhong)(zhong)央企業(ye)(ye)(ye)完(wan)(wan)成(cheng)(cheng)三年工作(zuo)(zuo)目標的(de)進度(du)情(qing)況(kuang)進行(xing)綜合(he)測(ce)評,重點對中(zhong)(zhong)央企業(ye)(ye)(ye)總法(fa)(fa)律(lv)顧問制(zhi)(zhi)度(du)建(jian)設情(qing)況(kuang),重要決策、規章制(zhi)(zhi)度(du)和合(he)同(tong)法(fa)(fa)律(lv)審核情(qing)況(kuang),重大法(fa)(fa)律(lv)糾紛案(an)件處理情(qing)況(kuang)等進行(xing)定期(qi)(qi)通報。同(tong)時,把企業(ye)(ye)(ye)因違法(fa)(fa)經營造成(cheng)(cheng)重大資產損失,納入中(zhong)(zhong)央企業(ye)(ye)(ye)經營業(ye)(ye)(ye)績考(kao)核和企業(ye)(ye)(ye)績效評價(jia),并(bing)予以責任追(zhui)究。

  三是繼(ji)續幫助協調中(zhong)央(yang)企業重大法(fa)(fa)律(lv)糾(jiu)紛案(an)(an)(an)件(jian)(jian)。對(dui)(dui)中(zhong)央(yang)企業報(bao)請協調的、符合《中(zhong)央(yang)企業重大法(fa)(fa)律(lv)糾(jiu)紛案(an)(an)(an)件(jian)(jian)管(guan)理暫行辦(ban)法(fa)(fa)》規定的有關案(an)(an)(an)件(jian)(jian),積極(ji)溝通相關立(li)法(fa)(fa)、執法(fa)(fa)、司法(fa)(fa)機關和政府有關部門,爭取案(an)(an)(an)件(jian)(jian)妥善解決,切實維(wei)護國有資產安(an)全。同時,定期對(dui)(dui)中(zhong)央(yang)企業發(fa)(fa)生的重大法(fa)(fa)律(lv)糾(jiu)紛案(an)(an)(an)件(jian)(jian)進(jin)行認(ren)真總(zong)結,分析發(fa)(fa)案(an)(an)(an)原因和趨(qu)勢(shi),提出相關的政策措施,進(jin)一步完善對(dui)(dui)重大法(fa)(fa)律(lv)糾(jiu)紛案(an)(an)(an)件(jian)(jian)的管(guan)理和處理制度。

  四是加強中央企(qi)業法(fa)(fa)(fa)律(lv)顧(gu)問(wen)(wen)隊伍(wu)(wu)建(jian)設。按照《國有企(qi)業法(fa)(fa)(fa)律(lv)顧(gu)問(wen)(wen)職業崗位等(deng)級(ji)資格評審管理(li)暫(zan)行辦(ban)法(fa)(fa)(fa)》,指導(dao)企(qi)業設立(li)企(qi)業一(yi)級(ji)、二級(ji)和(he)三級(ji)企(qi)業法(fa)(fa)(fa)律(lv)顧(gu)問(wen)(wen)崗位,完善企(qi)業法(fa)(fa)(fa)律(lv)顧(gu)問(wen)(wen)人才激勵(li)機(ji)制,加強企(qi)業法(fa)(fa)(fa)律(lv)顧(gu)問(wen)(wen)的交流與培訓,建(jian)立(li)一(yi)支(zhi)梯次配備、結構合理(li)的高素質的企(qi)業法(fa)(fa)(fa)律(lv)顧(gu)問(wen)(wen)隊伍(wu)(wu)。
