一、堅持市場化、法治化、專業化監管路徑,把準職能轉變總方向
深化國資監管法治機構建設,強化“六位一體”綜合監管。深圳國(guo)資委堅持(chi)制度先(xian)行(xing)、規(gui)則引(yin)領,加快完善(shan)國(guo)資改(gai)革(ge)重點領域和依法(fa)(fa)(fa)監(jian)(jian)(jian)管關鍵環(huan)節的(de)(de)頂層設(she)計,出臺《關于(yu)進(jin)一步加強國(guo)資監(jian)(jian)(jian)管法(fa)(fa)(fa)治機構(gou)建設(she)的(de)(de)實施(shi)方(fang)案》,聚焦依法(fa)(fa)(fa)履職(zhi)(zhi)、制度體(ti)(ti)系、決(jue)策程序、權力監(jian)(jian)(jian)督(du)、矛盾(dun)化解、文化建設(she)和保障措施(shi)等多方(fang)位多領域,落細(xi)落小(xiao)落實責(ze)(ze)任分工,實現依法(fa)(fa)(fa)履行(xing)職(zhi)(zhi)責(ze)(ze)、依法(fa)(fa)(fa)建章立制、依法(fa)(fa)(fa)規(gui)范決(jue)策協(xie)同(tong)(tong)并(bing)進(jin),推動建成權責(ze)(ze)法(fa)(fa)(fa)定、職(zhi)(zhi)能科(ke)學、履職(zhi)(zhi)規(gui)范、透明(ming)高效(xiao)的(de)(de)國(guo)資監(jian)(jian)(jian)管法(fa)(fa)(fa)治機構(gou)。國(guo)資監(jian)(jian)(jian)管制度體(ti)(ti)系的(de)(de)“四梁八柱(zhu)”初步成型,有效(xiao)護航改(gai)革(ge)發展行(xing)穩致遠。扎實推進(jin)紀檢監(jian)(jian)(jian)察(cha)體(ti)(ti)制改(gai)革(ge),為全國(guo)破解國(guo)企同(tong)(tong)級(ji)監(jian)(jian)(jian)督(du)難題提供深圳經驗(yan)。整合黨的(de)(de)監(jian)(jian)(jian)督(du)、出資人監(jian)(jian)(jian)督(du)、企業內(nei)部監(jian)(jian)(jian)督(du)三方(fang)資源,構(gou)建企業黨委領導、紀委統(tong)籌(chou),紀檢監(jian)(jian)(jian)察(cha)、監(jian)(jian)(jian)事會(hui)、財(cai)務(wu)總監(jian)(jian)(jian)、內(nei)審、內(nei)控、風控協(xie)同(tong)(tong)聯動的(de)(de)“六位一體(ti)(ti)”大監(jian)(jian)(jian)督(du)體(ti)(ti)系,形成“職(zhi)(zhi)責(ze)(ze)統(tong)一行(xing)使、資源集中調度、內(nei)容(rong)全面覆蓋、成果開放共(gong)享”的(de)(de)監(jian)(jian)(jian)督(du)閉環(huan)。
持續完善國資監管體系,提升“兩類公司”功能。深圳(zhen)國(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)委(wei)重點(dian)通過“一(yi)張(zhang)清單(dan)、一(yi)個(ge)基金(jin)、三類(lei)平臺(tai)(tai)”,構建深圳(zhen)特色國(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)監(jian)管(guan)運(yun)營(ying)體制。“一(yi)張(zhang)清單(dan)”,即制定(ding)國(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)監(jian)管(guan)權責清單(dan),并根(gen)據形(xing)勢發展和(he)實際需求適(shi)時動態(tai)調整(zheng)。“一(yi)個(ge)基金(jin)”,即構建以(yi)國(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)改革(ge)與戰(zhan)略發展基金(jin)為(wei)(wei)牽引(yin)的(de)國(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)基金(jin)群,目前基金(jin)群規(gui)模超4900億元,為(wei)(wei)管(guan)好資(zi)(zi)(zi)(zi)(zi)(zi)本(ben)(ben)、推進企(qi)(qi)(qi)業改革(ge)發展提(ti)供了有(you)效的(de)工(gong)具手段(duan)。“三類(lei)平臺(tai)(tai)”,即針對國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)(zi)本(ben)(ben)商業屬性(xing)、公(gong)(gong)共服(fu)務屬性(xing)和(he)政(zheng)府(fu)(fu)延伸功(gong)(gong)(gong)能(neng)屬性(xing),打(da)(da)造國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)(zi)本(ben)(ben)投(tou)(tou)資(zi)(zi)(zi)(zi)(zi)(zi)、運(yun)營(ying)公(gong)(gong)司和(he)公(gong)(gong)益類(lei)、功(gong)(gong)(gong)能(neng)類(lei)平臺(tai)(tai),為(wei)(wei)從管(guan)企(qi)(qi)(qi)業為(wei)(wei)主向管(guan)資(zi)(zi)(zi)(zi)(zi)(zi)本(ben)(ben)為(wei)(wei)主轉(zhuan)變提(ti)供更加(jia)有(you)效的(de)市場化手段(duan)和(he)運(yun)作(zuo)機制。2004年(nian)組建投(tou)(tou)控(kong)(kong)公(gong)(gong)司,2007年(nian)成立遠致(zhi)(zhi)公(gong)(gong)司,分別開展國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)(zi)本(ben)(ben)投(tou)(tou)資(zi)(zi)(zi)(zi)(zi)(zi)、運(yun)營(ying)公(gong)(gong)司試點(dian),作(zuo)為(wei)(wei)國(guo)(guo)(guo)資(zi)(zi)(zi)(zi)(zi)(zi)委(wei)解(jie)決歷史遺留問題和(he)資(zi)(zi)(zi)(zi)(zi)(zi)本(ben)(ben)運(yun)作(zuo)的(de)輔助(zhu)平臺(tai)(tai)。2018年(nian),深圳(zhen)市政(zheng)府(fu)(fu)批(pi)準(zhun)投(tou)(tou)控(kong)(kong)公(gong)(gong)司對標淡馬錫打(da)(da)造國(guo)(guo)(guo)際一(yi)流國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)(zi)本(ben)(ben)投(tou)(tou)資(zi)(zi)(zi)(zi)(zi)(zi)公(gong)(gong)司實施方案,加(jia)快打(da)(da)造深圳(zhen)國(guo)(guo)(guo)企(qi)(qi)(qi)首家世界500強。重點(dian)強化投(tou)(tou)控(kong)(kong)公(gong)(gong)司的(de)投(tou)(tou)資(zi)(zi)(zi)(zi)(zi)(zi)功(gong)(gong)(gong)能(neng),將境內主業不(bu)超過凈(jing)資(zi)(zi)(zi)(zi)(zi)(zi)產(chan)20%、約400億元的(de)投(tou)(tou)資(zi)(zi)(zi)(zi)(zi)(zi)決策(ce)權授(shou)予企(qi)(qi)(qi)業。著力提(ti)升遠致(zhi)(zhi)公(gong)(gong)司的(de)國(guo)(guo)(guo)有(you)資(zi)(zi)(zi)(zi)(zi)(zi)本(ben)(ben)運(yun)作(zuo)能(neng)力,將華潤深國(guo)(guo)(guo)投(tou)(tou)、中國(guo)(guo)(guo)科技開發院等(deng)優(you)質股權整(zheng)合至(zhi)遠致(zhi)(zhi)公(gong)(gong)司,并將其單(dan)筆股權投(tou)(tou)資(zi)(zi)(zi)(zi)(zi)(zi)決策(ce)權限提(ti)升至(zhi)凈(jing)資(zi)(zi)(zi)(zi)(zi)(zi)產(chan)的(de)5%、約10億元。
突出“一類一策”,借力智慧管控平臺監管。完成全系統各級企(qi)(qi)業(ye)的分類(lei)工作,按照行業(ye)規則和(he)市(shi)(shi)場規律,變“一(yi)(yi)企(qi)(qi)一(yi)(yi)策”討價(jia)還價(jia),為(wei)“一(yi)(yi)類(lei)一(yi)(yi)策”標(biao)準(zhun)度量,突(tu)出監(jian)(jian)管的法(fa)治化(hua)、規則化(hua)和(he)剛性約(yue)束。商業(ye)類(lei)企(qi)(qi)業(ye)實(shi)行商業(ye)化(hua)運作,實(shi)現(xian)優(you)勝劣汰(tai)、有序進退(tui);公益類(lei)、功(gong)能(neng)類(lei)企(qi)(qi)業(ye)堅持以社會效益為(wei)本(ben),兼(jian)顧經濟(ji)效益。優(you)先(xian)選擇上市(shi)(shi)公司(si)作為(wei)突(tu)破(po)口,出臺專門治理辦法(fa),建(jian)立(li)以章程為(wei)準(zhun)則、董事監(jian)(jian)事履職為(wei)抓手、重(zhong)(zhong)大事項溝通為(wei)必備程序、緊急情(qing)形干預(yu)為(wei)重(zhong)(zhong)要保障的“3+1”治理體(ti)系,充分保障上市(shi)(shi)公司(si)經營自主權。全面實(shi)施智慧國資(zi)(zi)(zi)國企(qi)(qi)信(xin)息(xi)化(hua)三年規劃,組建(jian)智慧城市(shi)(shi)科技集(ji)團(tuan),打破(po)信(xin)息(xi)壁壘(lei),打通信(xin)息(xi)孤島,實(shi)現(xian)數據資(zi)(zi)(zi)源(yuan)共享、業(ye)務(wu)高度協同(tong)(tong)(tong)和(he)實(shi)時(shi)智能(neng)監(jian)(jian)測。加(jia)快建(jian)立(li)信(xin)息(xi)集(ji)成、實(shi)時(shi)在(zai)線、公開透(tou)明(ming)、協同(tong)(tong)(tong)高效的要素交(jiao)易綜合監(jian)(jian)管體(ti)系,包括陽(yang)光采購、資(zi)(zi)(zi)金融通、資(zi)(zi)(zi)源(yuan)性資(zi)(zi)(zi)產(chan)(chan)租賃、國有資(zi)(zi)(zi)產(chan)(chan)交(jiao)易、重(zhong)(zhong)大資(zi)(zi)(zi)源(yuan)開發五(wu)個(ge)(ge)平(ping)臺。近半年來,陽(yang)光采購平(ping)臺完成市(shi)(shi)屬(shu)企(qi)(qi)業(ye)委(wei)托項目1488個(ge)(ge),節約(yue)資(zi)(zi)(zi)金16億元;資(zi)(zi)(zi)金融通平(ping)臺成交(jiao)金額700億元,資(zi)(zi)(zi)金融通成本(ben)較同(tong)(tong)(tong)期基準(zhun)利率下降44個(ge)(ge)基點。
加快簡政放權步伐。2015年以(yi)來深圳國資(zi)委(wei)率先(xian)下(xia)放(取消)22項事權,抓緊(jin)對(dui)標(biao)《國務院國資(zi)委(wei)授(shou)權放權清單(2019年版)》和《國務院國資(zi)委(wei)以(yi)管資(zi)本(ben)為(wei)主推進職(zhi)能(neng)轉變方案》研究(jiu)擴大授(shou)權放權的紅利新空間,推動實(shi)現(xian)國資(zi)委(wei)機關自我革命,層層“松(song)綁”激(ji)發企業(ye)自我發展活力(li)。在投(tou)控(kong)對(dui)標(biao)淡馬錫總體藍圖下(xia)配套(tao)形成7個(ge)對(dui)標(biao)專題,努力(li)在監管體制(zhi)、經營機制(zhi)、風險管控(kong)、投(tou)資(zi)管理(li)等(deng)方面實(shi)現(xian)系統性突破,確保國資(zi)監管放權縱向到底、責(ze)任層層落實(shi)、動力(li)持續釋放。
二、加快完善現代國有企業制度,打通職能轉變“最后一公里”
以法治國企建設為抓手,助力培育具有全球競爭力的一流企業。以(yi)出臺(tai)《關于(yu)進一步加(jia)強市屬(shu)國有(you)企(qi)業(ye)(ye)法(fa)(fa)治國企(qi)建設的實(shi)施意見》為(wei)(wei)有(you)利契(qi)機,助推(tui)企(qi)業(ye)(ye)法(fa)(fa)治工作向更高(gao)層(ceng)次(ci)邁(mai)進。圍繞(rao)治理、經(jing)營、管理“三個維(wei)度”,以(yi)健(jian)全企(qi)業(ye)(ye)法(fa)(fa)律管理組織體系為(wei)(wei)基礎,以(yi)有(you)效(xiao)化解風險、依(yi)法(fa)(fa)合規(gui)經(jing)營為(wei)(wei)目(mu)標,以(yi)提高(gao)企(qi)業(ye)(ye)法(fa)(fa)律管理能力為(wei)(wei)手段,實(shi)現(xian)依(yi)法(fa)(fa)治理、依(yi)法(fa)(fa)經(jing)營、依(yi)法(fa)(fa)管理共同推(tui)進,實(shi)現(xian)改革(ge)創新、高(gao)質量發展與依(yi)法(fa)(fa)治理的有(you)機統一,為(wei)(wei)深圳打(da)造國企(qi)改革(ge)發展高(gao)地提供堅實(shi)法(fa)(fa)治保障。
以資本運作為引擎,強調“實質性混改”,助推市屬國資國企做強做優做大。按照管(guan)資(zi)(zi)本(ben)(ben)(ben)(ben)要(yao)求,淡化(hua)(hua)資(zi)(zi)本(ben)(ben)(ben)(ben)的區(qu)域(yu)、層(ceng)級(ji)和(he)所(suo)(suo)有(you)制(zhi)屬性,強化(hua)(hua)資(zi)(zi)本(ben)(ben)(ben)(ben)的逐(zhu)利性、擴張性、流動性,推動“資(zi)(zi)源資(zi)(zi)產化(hua)(hua)、資(zi)(zi)產資(zi)(zi)本(ben)(ben)(ben)(ben)化(hua)(hua)、資(zi)(zi)本(ben)(ben)(ben)(ben)證(zheng)券(quan)化(hua)(hua)”,發揮資(zi)(zi)本(ben)(ben)(ben)(ben)運作乘(cheng)數效應,為(wei)產業集團發展(zhan)插上“騰飛(fei)翅膀”。實施(shi)(shi)“上市(shi)(shi)公司(si)+”戰(zhan)(zhan)(zhan)略,完成(cheng)糧食與(yu)深(shen)深(shen)寶資(zi)(zi)產重(zhong)(zhong)組,加(jia)快推動特發服(fu)務等3家(jia)企(qi)(qi)業IPO。深(shen)圳(zhen)市(shi)(shi)屬控股上市(shi)(shi)公司(si)增(zeng)至26家(jia),資(zi)(zi)產證(zheng)券(quan)化(hua)(hua)率(lv)達58.5%,比(bi)年(nian)初增(zeng)加(jia)2.5個百分點。實施(shi)(shi)基(ji)(ji)金(jin)群(qun)戰(zhan)(zhan)(zhan)略,構(gou)建以國資(zi)(zi)改(gai)革(ge)(ge)與(yu)戰(zhan)(zhan)(zhan)略發展(zhan)基(ji)(ji)金(jin)為(wei)牽引,涵蓋天使基(ji)(ji)金(jin)、創(chuang)投基(ji)(ji)金(jin)、產業基(ji)(ji)金(jin)、并購基(ji)(ji)金(jin)的國資(zi)(zi)基(ji)(ji)金(jin)群(qun),為(wei)管(guan)好資(zi)(zi)本(ben)(ben)(ben)(ben)、強化(hua)(hua)資(zi)(zi)本(ben)(ben)(ben)(ben)運作提供市(shi)(shi)場(chang)化(hua)(hua)工(gong)具手(shou)段(duan)。按照“混是(shi)手(shou)段(duan)、改(gai)是(shi)目的”和(he)“成(cheng)熟一家(jia)推動一家(jia)”的原則,實施(shi)(shi)混合(he)(he)所(suo)(suo)有(you)制(zhi)改(gai)革(ge)(ge)三年(nian)行動方案,以混合(he)(he)所(suo)(suo)有(you)制(zhi)改(gai)革(ge)(ge)帶(dai)動公司(si)治理、選人用人、激勵約束等內部機制(zhi)改(gai)革(ge)(ge)。重(zhong)(zhong)點推進已(yi)立(li)項企(qi)(qi)業開(kai)展(zhan)“實質性混改(gai)”,市(shi)(shi)屬企(qi)(qi)業混合(he)(he)所(suo)(suo)有(you)制(zhi)比(bi)例超過80%。注(zhu)重(zhong)(zhong)“因企(qi)(qi)施(shi)(shi)策”,開(kai)展(zhan)管(guan)理層(ceng)和(he)核(he)心(xin)骨干持股工(gong)作。建立(li)混改(gai)后評價機制(zhi),及時(shi)總(zong)結混改(gai)成(cheng)效。深(shen)圳(zhen)交通中心(xin)、特發服(fu)務通過員工(gong)持股,3年(nian)間(jian)利潤(run)同比(bi)增(zeng)長455%和(he)475%。
推進董事會建設,提升公司治理水平。董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)(hui)(hui)上(shang)承股東會(hui)(hui)(hui)(hui)、國資(zi)監管(guan)部門,下接經理(li)(li)層選(xuan)聘、考(kao)核(he)評(ping)價(jia),是實(shi)現以管(guan)資(zi)本(ben)為(wei)主和企(qi)業市場化(hua)運營的(de)關鍵(jian)層級(ji)。深圳國資(zi)委將卓越董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)(hui)(hui)建設(she)作為(wei)公司治理(li)(li)的(de)核(he)心(xin)內容,聘請馬(ma)蔚華、任(ren)克雷(lei)等優秀企(qi)業家擔(dan)任(ren)董(dong)(dong)(dong)(dong)(dong)(dong)事(shi),組建外(wai)部董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)占多數,內部董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)、專職外(wai)部董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)和兼職外(wai)部董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)合理(li)(li)搭配(pei)、規模(mo)適(shi)中、專業互(hu)補的(de)董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)(hui)(hui),持續(xu)優化(hua)董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)(hui)(hui)結構,提(ti)升董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)(hui)(hui)決策效能。依法落實(shi)董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)(hui)(hui)職權(quan),同步(bu)加強董(dong)(dong)(dong)(dong)(dong)(dong)事(shi)會(hui)(hui)(hui)(hui)向(xiang)經理(li)(li)層授權(quan),強化(hua)監事(shi)會(hui)(hui)(hui)(hui)監督效能,編制公司治理(li)(li)評(ping)價(jia)報告。
深化市場化選人用人改革,完善激勵機制。按照“市(shi)場(chang)化(hua)(hua)(hua)選聘(pin)、契(qi)約(yue)化(hua)(hua)(hua)管理、差(cha)(cha)異化(hua)(hua)(hua)薪(xin)酬(chou)、市(shi)場(chang)化(hua)(hua)(hua)退出”原則,堅持組織選拔與(yu)市(shi)場(chang)化(hua)(hua)(hua)選聘(pin)相結合(he),對組織委派(pai)干部(bu)(bu)和(he)市(shi)場(chang)化(hua)(hua)(hua)選聘(pin)干部(bu)(bu)進行(xing)分層(ceng)分類管理。積極探(tan)索破(po)除身份限制(zhi)(zhi),暢通(tong)(tong)企(qi)(qi)業(ye)領導人員(yuan)身份轉換(huan)通(tong)(tong)道,嚴格考(kao)(kao)核(he)退出,健全(quan)“能者(zhe)上(shang)、平者(zhe)讓、庸者(zhe)下、劣者(zhe)汰”的選人用人機(ji)制(zhi)(zhi)。完成(cheng)2家直管企(qi)(qi)業(ye)和(he)一批商業(ye)類二級及以下企(qi)(qi)業(ye)經營班子整(zheng)體市(shi)場(chang)化(hua)(hua)(hua)選聘(pin)工作。樹(shu)立(li)(li)和(he)踐行(xing)“身份市(shi)場(chang)化(hua)(hua)(hua)、業(ye)績市(shi)場(chang)化(hua)(hua)(hua)、考(kao)(kao)核(he)市(shi)場(chang)化(hua)(hua)(hua)、薪(xin)酬(chou)市(shi)場(chang)化(hua)(hua)(hua)”改革理念,成(cheng)立(li)(li)深圳(zhen)市(shi)國(guo)資委企(qi)(qi)業(ye)領導人員(yuan)考(kao)(kao)核(he)委員(yuan)會(hui),全(quan)面落實董事會(hui)對經理層(ceng)契(qi)約(yue)化(hua)(hua)(hua)考(kao)(kao)核(he)、差(cha)(cha)異化(hua)(hua)(hua)薪(xin)酬(chou)分配(pei)權利,通(tong)(tong)過對標市(shi)場(chang)、對比歷史、對照規劃,建立(li)(li)薪(xin)酬(chou)與(yu)考(kao)(kao)核(he)強掛(gua)鉤(gou)機(ji)制(zhi)(zhi)。開(kai)展(zhan)限制(zhi)(zhi)性(xing)股票、超額利潤(run)分享等(deng)多種長(chang)效激勵約(yue)束機(ji)制(zhi)(zhi)建設,實現價值分配(pei)與(yu)價值創造相結合(he)。
三、充分發揮黨建引領作用,強化職能轉變政治保證
