貫徹落實(shi)中共中央(yang)(yang)、國(guo)(guo)務院印發的《法治政府建(jian)設實(shi)施綱(gang)要(yao)(2015-2020年)》和中央(yang)(yang)全面依法治國(guo)(guo)委員(yuan)會要(yao)求,國(guo)(guo)資(zi)委2018年法治建(jian)設工作取得積(ji)極進(jin)展:
2018年,國(guo)(guo)資(zi)委(wei)以習近平新時代中國(guo)(guo)特(te)色社會主(zhu)義(yi)思想為指導,全(quan)面(mian)貫(guan)徹(che)落實(shi)(shi)黨的十九大和十九屆二中、三中全(quan)會精神(shen),深入貫(guan)徹(che)全(quan)面(mian)依法(fa)(fa)(fa)治國(guo)(guo)戰略部署,認真落實(shi)(shi)國(guo)(guo)務院關于法(fa)(fa)(fa)治政府建(jian)設(she)的工作(zuo)要求(qiu),扎實(shi)(shi)推進國(guo)(guo)資(zi)監管(guan)法(fa)(fa)(fa)治機構建(jian)設(she),在(zai)依法(fa)(fa)(fa)全(quan)面(mian)履職、完(wan)善法(fa)(fa)(fa)規體系(xi)、健全(quan)決策機制、強化(hua)權力(li)監督、有效化(hua)解(jie)矛盾、開展法(fa)(fa)(fa)治宣傳、促(cu)進依法(fa)(fa)(fa)治企(qi)等方面(mian)取得積極成效,國(guo)(guo)資(zi)國(guo)(guo)企(qi)法(fa)(fa)(fa)治建(jian)設(she)邁出新步伐。
一、切實加強對法治建設的領導和頂層制度設計
一(yi)是深(shen)(shen)入(ru)學(xue)習(xi)(xi)(xi)貫(guan)徹(che)習(xi)(xi)(xi)近(jin)平(ping)總書(shu)記全(quan)(quan)(quan)面(mian)依法(fa)(fa)(fa)(fa)(fa)治國(guo)(guo)(guo)新(xin)理念新(xin)思想新(xin)戰略。習(xi)(xi)(xi)近(jin)平(ping)總書(shu)記在中(zhong)央(yang)全(quan)(quan)(quan)面(mian)依法(fa)(fa)(fa)(fa)(fa)治國(guo)(guo)(guo)委(wei)(wei)員會第(di)一(yi)次會議上強(qiang)調,要(yao)加強(qiang)黨(dang)對全(quan)(quan)(quan)面(mian)依法(fa)(fa)(fa)(fa)(fa)治國(guo)(guo)(guo)的(de)領導,更好發揮法(fa)(fa)(fa)(fa)(fa)治固根本穩預期利長遠的(de)保(bao)(bao)障作(zuo)用。黨(dang)委(wei)(wei)會專題組(zu)織學(xue)習(xi)(xi)(xi),深(shen)(shen)刻領會習(xi)(xi)(xi)近(jin)平(ping)總書(shu)記重要(yao)講話(hua)精(jing)神,研究(jiu)推(tui)進國(guo)(guo)(guo)資(zi)國(guo)(guo)(guo)企(qi)(qi)法(fa)(fa)(fa)(fa)(fa)治建(jian)(jian)(jian)設(she)的(de)貫(guan)徹(che)落實(shi)措施,并(bing)將有(you)關(guan)學(xue)習(xi)(xi)(xi)情況向中(zhong)央(yang)全(quan)(quan)(quan)面(mian)依法(fa)(fa)(fa)(fa)(fa)治國(guo)(guo)(guo)委(wei)(wei)員會辦公室報告。黨(dang)委(wei)(wei)會傳達(da)學(xue)習(xi)(xi)(xi)2018年(nian)(nian)中(zhong)央(yang)政法(fa)(fa)(fa)(fa)(fa)工(gong)(gong)(gong)作(zuo)會議精(jing)神,原(yuan)原(yuan)本本地(di)學(xue)習(xi)(xi)(xi)了習(xi)(xi)(xi)近(jin)平(ping)總書(shu)記關(guan)于政法(fa)(fa)(fa)(fa)(fa)工(gong)(gong)(gong)作(zuo)的(de)重要(yao)指(zhi)示,研究(jiu)了下一(yi)步(bu)貫(guan)徹(che)落實(shi)的(de)工(gong)(gong)(gong)作(zuo)安排。二(er)是組(zu)織開(kai)展憲(xian)法(fa)(fa)(fa)(fa)(fa)學(xue)習(xi)(xi)(xi)宣貫(guan)活(huo)動。先(xian)后召開(kai)3次黨(dang)委(wei)(wei)會議,深(shen)(shen)入(ru)學(xue)習(xi)(xi)(xi)習(xi)(xi)(xi)近(jin)平(ping)總書(shu)記在十九屆二(er)中(zhong)全(quan)(quan)(quan)會上的(de)重要(yao)講話(hua)精(jing)神,認真學(xue)習(xi)(xi)(xi)憲(xian)法(fa)(fa)(fa)(fa)(fa)修(xiu)正案。組(zu)織召開(kai)國(guo)(guo)(guo)資(zi)委(wei)(wei)系統深(shen)(shen)入(ru)學(xue)習(xi)(xi)(xi)宣傳和(he)貫(guan)徹(che)實(shi)施憲(xian)法(fa)(fa)(fa)(fa)(fa)動員部署視頻(pin)會,全(quan)(quan)(quan)面(mian)布置(zhi)國(guo)(guo)(guo)資(zi)委(wei)(wei)系統學(xue)習(xi)(xi)(xi)宣貫(guan)工(gong)(gong)(gong)作(zuo)。邀請專家(jia)在黨(dang)委(wei)(wei)中(zhong)心(xin)組(zu)集(ji)體(ti)學(xue)習(xi)(xi)(xi)和(he)委(wei)(wei)機(ji)關(guan)法(fa)(fa)(fa)(fa)(fa)治建(jian)(jian)(jian)設(she)培訓班上作(zuo)憲(xian)法(fa)(fa)(fa)(fa)(fa)專題講座,進一(yi)步(bu)弘揚憲(xian)法(fa)(fa)(fa)(fa)(fa)精(jing)神、增強(qiang)憲(xian)法(fa)(fa)(fa)(fa)(fa)意識(shi)。三是強(qiang)化制度設(she)計。黨(dang)政主(zhu)要(yao)負責同志切實(shi)履(lv)行推(tui)進法(fa)(fa)(fa)(fa)(fa)治建(jian)(jian)(jian)設(she)第(di)一(yi)責任人職責,深(shen)(shen)入(ru)研究(jiu)謀劃國(guo)(guo)(guo)資(zi)國(guo)(guo)(guo)企(qi)(qi)法(fa)(fa)(fa)(fa)(fa)治建(jian)(jian)(jian)設(she)年(nian)(nian)度工(gong)(gong)(gong)作(zuo)任務,并(bing)納入(ru)《國(guo)(guo)(guo)資(zi)委(wei)(wei)2018年(nian)(nian)工(gong)(gong)(gong)作(zuo)要(yao)點(dian)》,確保(bao)(bao)法(fa)(fa)(fa)(fa)(fa)治建(jian)(jian)(jian)設(she)與其他重點(dian)工(gong)(gong)(gong)作(zuo)同部署、同推(tui)進、同督促。委(wei)(wei)黨(dang)委(wei)(wei)會、委(wei)(wei)主(zhu)任辦公會全(quan)(quan)(quan)年(nian)(nian)研究(jiu)討(tao)論法(fa)(fa)(fa)(fa)(fa)治工(gong)(gong)(gong)作(zuo)35次,制定修(xiu)訂《中(zhong)央(yang)企(qi)(qi)業違規經(jing)營投(tou)資(zi)責任追究(jiu)實(shi)施辦法(fa)(fa)(fa)(fa)(fa)(試行)》《國(guo)(guo)(guo)資(zi)委(wei)(wei)立法(fa)(fa)(fa)(fa)(fa)工(gong)(gong)(gong)作(zuo)規則》等(deng)文件,為國(guo)(guo)(guo)資(zi)國(guo)(guo)(guo)企(qi)(qi)法(fa)(fa)(fa)(fa)(fa)治建(jian)(jian)(jian)設(she)提供制度支撐和(he)保(bao)(bao)障。
二、依法推進國資監管職能轉變
一(yi)(yi)(yi)是(shi)(shi)進(jin)(jin)(jin)一(yi)(yi)(yi)步(bu)厘清權(quan)(quan)(quan)責(ze)(ze)邊(bian)界。根據《國(guo)(guo)務院辦公廳關于轉發國(guo)(guo)務院國(guo)(guo)資(zi)(zi)(zi)委以管(guan)(guan)(guan)(guan)(guan)(guan)資(zi)(zi)(zi)本為(wei)主推(tui)進(jin)(jin)(jin)職(zhi)能(neng)轉變方案的通知》,研(yan)究制(zhi)定出(chu)資(zi)(zi)(zi)人(ren)監(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)(guan)權(quan)(quan)(quan)力(li)和(he)責(ze)(ze)任(ren)清單,明確了規(gui)(gui)劃(hua)與投(tou)資(zi)(zi)(zi)監(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)(guan)、資(zi)(zi)(zi)本運(yun)營與收益管(guan)(guan)(guan)(guan)(guan)(guan)理(li)(li)、改(gai)革改(gai)組等(deng)9大類36項權(quan)(quan)(quan)責(ze)(ze)事(shi)項,依(yi)法(fa)明確國(guo)(guo)資(zi)(zi)(zi)監(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)(guan)職(zhi)責(ze)(ze)范圍,嚴格規(gui)(gui)范履(lv)職(zhi)方式(shi)和(he)流程(cheng)。二(er)是(shi)(shi)突(tu)出(chu)“放(fang)管(guan)(guan)(guan)(guan)(guan)(guan)結合”。制(zhi)定《上市公司國(guo)(guo)有股權(quan)(quan)(quan)監(jian)(jian)(jian)(jian)督管(guan)(guan)(guan)(guan)(guan)(guan)理(li)(li)辦法(fa)》《中(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)(ye)工(gong)(gong)資(zi)(zi)(zi)總額管(guan)(guan)(guan)(guan)(guan)(guan)理(li)(li)辦法(fa)》,進(jin)(jin)(jin)一(yi)(yi)(yi)步(bu)精簡下放(fang)監(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)(guan)事(shi)項、優(you)化監(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)(guan)方式(shi),切實增強(qiang)企(qi)(qi)業(ye)(ye)活(huo)力(li)。突(tu)出(chu)管(guan)(guan)(guan)(guan)(guan)(guan)資(zi)(zi)(zi)本重(zhong)(zhong)(zhong)點職(zhi)能(neng),強(qiang)化投(tou)資(zi)(zi)(zi)規(gui)(gui)劃(hua)、資(zi)(zi)(zi)本運(yun)作(zuo)和(he)考核(he)分配(pei)(pei)監(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)(guan),防止國(guo)(guo)有資(zi)(zi)(zi)產流失。研(yan)究起草中(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)(ye)公司章程(cheng)指引、落實董事(shi)會職(zhi)權(quan)(quan)(quan)試點工(gong)(gong)作(zuo)等(deng)相關文(wen)件,注重(zhong)(zhong)(zhong)通過公司法(fa)人(ren)治理(li)(li)結構(gou)依(yi)法(fa)履(lv)行出(chu)資(zi)(zi)(zi)人(ren)職(zhi)責(ze)(ze)。三(san)是(shi)(shi)強(qiang)化責(ze)(ze)任(ren)追(zhui)究。制(zhi)定企(qi)(qi)業(ye)(ye)違(wei)規(gui)(gui)經營投(tou)資(zi)(zi)(zi)責(ze)(ze)任(ren)追(zhui)究辦法(fa),推(tui)動(dong)(dong)中(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)(ye)建(jian)立相關制(zhi)度(du)(du)和(he)工(gong)(gong)作(zuo)體系。深(shen)入開展國(guo)(guo)有資(zi)(zi)(zi)產重(zhong)(zhong)(zhong)大損失調查(cha)及違(wei)規(gui)(gui)責(ze)(ze)任(ren)追(zhui)究。四是(shi)(shi)運(yun)用信息化手段加強(qiang)事(shi)中(zhong)(zhong)(zhong)事(shi)后監(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)(guan)。初(chu)(chu)步(bu)建(jian)成(cheng)國(guo)(guo)資(zi)(zi)(zi)國(guo)(guo)企(qi)(qi)在線監(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)(guan)系統,對中(zhong)(zhong)(zhong)央企(qi)(qi)業(ye)(ye)集團層(ceng)面“三(san)重(zhong)(zhong)(zhong)一(yi)(yi)(yi)大”事(shi)項決策(ce)制(zhi)度(du)(du)、規(gui)(gui)則、清單、程(cheng)序實現實時(shi)在線監(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)(guan),投(tou)資(zi)(zi)(zi)、考核(he)分配(pei)(pei)等(deng)工(gong)(gong)作(zuo)初(chu)(chu)步(bu)實現動(dong)(dong)態(tai)監(jian)(jian)(jian)(jian)測(ce)與展示,國(guo)(guo)資(zi)(zi)(zi)監(jian)(jian)(jian)(jian)管(guan)(guan)(guan)(guan)(guan)(guan)效能(neng)進(jin)(jin)(jin)一(yi)(yi)(yi)步(bu)提升。
三、完善國資監管法規制度體系
一(yi)是(shi)(shi)(shi)加(jia)(jia)強(qiang)重(zhong)點領域國(guo)資(zi)監(jian)(jian)(jian)(jian)管立(li)(li)(li)(li)法(fa)(fa)(fa)。圍繞國(guo)資(zi)國(guo)企(qi)改(gai)革(ge)發(fa)展中心工(gong)作,編(bian)制(zhi)(zhi)國(guo)資(zi)委(wei)2018年(nian)立(li)(li)(li)(li)法(fa)(fa)(fa)工(gong)作計劃,列入立(li)(li)(li)(li)法(fa)(fa)(fa)項(xiang)目(mu)21項(xiang)。全年(nian)出臺《關(guan)于中央企(qi)業(ye)規(gui)(gui)(gui)(gui)(gui)(gui)范實施企(qi)業(ye)年(nian)金的(de)意見》等(deng)規(gui)(gui)(gui)(gui)(gui)(gui)章(zhang)規(gui)(gui)(gui)(gui)(gui)(gui)范性(xing)(xing)(xing)文(wen)(wen)(wen)(wen)件(jian)(jian)14件(jian)(jian)。截至(zhi)目(mu)前,國(guo)資(zi)委(wei)現行(xing)有效規(gui)(gui)(gui)(gui)(gui)(gui)章(zhang)27件(jian)(jian)、規(gui)(gui)(gui)(gui)(gui)(gui)范性(xing)(xing)(xing)文(wen)(wen)(wen)(wen)件(jian)(jian)209件(jian)(jian),系統(tong)(tong)完(wan)(wan)備、科學有效的(de)國(guo)資(zi)監(jian)(jian)(jian)(jian)管法(fa)(fa)(fa)規(gui)(gui)(gui)(gui)(gui)(gui)制(zhi)(zhi)度體系基本形成。二是(shi)(shi)(shi)嚴(yan)(yan)格規(gui)(gui)(gui)(gui)(gui)(gui)范規(gui)(gui)(gui)(gui)(gui)(gui)章(zhang)規(gui)(gui)(gui)(gui)(gui)(gui)范性(xing)(xing)(xing)文(wen)(wen)(wen)(wen)件(jian)(jian)制(zhi)(zhi)定(ding)程(cheng)序。根據《行(xing)政法(fa)(fa)(fa)規(gui)(gui)(gui)(gui)(gui)(gui)制(zhi)(zhi)定(ding)程(cheng)序條例(li)》和(he)《規(gui)(gui)(gui)(gui)(gui)(gui)章(zhang)制(zhi)(zhi)定(ding)程(cheng)序條例(li)》,修(xiu)訂國(guo)資(zi)委(wei)立(li)(li)(li)(li)法(fa)(fa)(fa)工(gong)作規(gui)(gui)(gui)(gui)(gui)(gui)則,強(qiang)化黨對立(li)(li)(li)(li)法(fa)(fa)(fa)工(gong)作的(de)領導,細(xi)化公開(kai)征集項(xiang)目(mu)建議(yi)、完(wan)(wan)善溝通(tong)協商機(ji)制(zhi)(zhi)、開(kai)展評(ping)估等(deng)環(huan)節(jie),提(ti)高立(li)(li)(li)(li)法(fa)(fa)(fa)工(gong)作質量。印發(fa)《關(guan)于貫徹落實〈國(guo)務院辦公廳關(guan)于加(jia)(jia)強(qiang)行(xing)政規(gui)(gui)(gui)(gui)(gui)(gui)范性(xing)(xing)(xing)文(wen)(wen)(wen)(wen)件(jian)(jian)制(zhi)(zhi)定(ding)和(he)監(jian)(jian)(jian)(jian)督管理(li)工(gong)作的(de)通(tong)知〉的(de)通(tong)知》,對嚴(yan)(yan)控(kong)發(fa)文(wen)(wen)(wen)(wen)數量、嚴(yan)(yan)格發(fa)文(wen)(wen)(wen)(wen)程(cheng)序、加(jia)(jia)強(qiang)合法(fa)(fa)(fa)性(xing)(xing)(xing)審核等(deng)提(ti)出明確要求(qiu)。全年(nian)開(kai)展規(gui)(gui)(gui)(gui)(gui)(gui)章(zhang)規(gui)(gui)(gui)(gui)(gui)(gui)范性(xing)(xing)(xing)文(wen)(wen)(wen)(wen)件(jian)(jian)法(fa)(fa)(fa)律(lv)(lv)審核48件(jian)(jian)次,實行(xing)規(gui)(gui)(gui)(gui)(gui)(gui)范性(xing)(xing)(xing)文(wen)(wen)(wen)(wen)件(jian)(jian)統(tong)(tong)一(yi)登(deng)記、統(tong)(tong)一(yi)編(bian)號、統(tong)(tong)一(yi)印發(fa)。三是(shi)(shi)(shi)持續開(kai)展規(gui)(gui)(gui)(gui)(gui)(gui)章(zhang)規(gui)(gui)(gui)(gui)(gui)(gui)范性(xing)(xing)(xing)文(wen)(wen)(wen)(wen)件(jian)(jian)清(qing)理(li)工(gong)作。按照黨中央、國(guo)務院要求(qiu),開(kai)展涉黨和(he)國(guo)家(jia)機(ji)構改(gai)革(ge)的(de)規(gui)(gui)(gui)(gui)(gui)(gui)章(zhang)規(gui)(gui)(gui)(gui)(gui)(gui)范性(xing)(xing)(xing)文(wen)(wen)(wen)(wen)件(jian)(jian)專(zhuan)項(xiang)清(qing)理(li),同時對不適應國(guo)資(zi)監(jian)(jian)(jian)(jian)管新要求(qiu)的(de)文(wen)(wen)(wen)(wen)件(jian)(jian)一(yi)并清(qing)理(li),共(gong)廢止失效15件(jian)(jian),文(wen)(wen)(wen)(wen)件(jian)(jian)清(qing)理(li)長效機(ji)制(zhi)(zhi)初步建立(li)(li)(li)(li)。四是(shi)(shi)(shi)積極參與國(guo)家(jia)重(zhong)點立(li)(li)(li)(li)法(fa)(fa)(fa)。開(kai)展《公司法(fa)(fa)(fa)》修(xiu)改(gai)問題研究,配(pei)合做好《企(qi)業(ye)國(guo)有資(zi)產監(jian)(jian)(jian)(jian)督管理(li)暫行(xing)條例(li)》修(xiu)改(gai)工(gong)作。在《審計法(fa)(fa)(fa)》《資(zi)源稅法(fa)(fa)(fa)》《中央儲備糧(liang)管理(li)條例(li)》等(deng)法(fa)(fa)(fa)律(lv)(lv)法(fa)(fa)(fa)規(gui)(gui)(gui)(gui)(gui)(gui)制(zhi)(zhi)修(xiu)訂過程(cheng)中,充分(fen)反映相關(guan)意見建議(yi)。
四、推進決策科學化、民主化、法治化
一(yi)是落(luo)實(shi)依(yi)法(fa)(fa)(fa)決(jue)(jue)策(ce)(ce)(ce)(ce)機制(zhi)。健(jian)全國資(zi)(zi)委(wei)(wei)工(gong)作(zuo)規(gui)(gui)則(ze),全年(nian)共召開(kai)63次黨(dang)委(wei)(wei)會、主(zhu)任辦公(gong)會研究(jiu)重大(da)事(shi)項(xiang),嚴格(ge)落(luo)實(shi)集(ji)體領導、民主(zhu)集(ji)中、會議決(jue)(jue)定(ding)的決(jue)(jue)策(ce)(ce)(ce)(ce)機制(zhi),確保作(zuo)出(chu)各項(xiang)決(jue)(jue)策(ce)(ce)(ce)(ce)程序規(gui)(gui)范、科學有(you)效。二是加強重大(da)決(jue)(jue)策(ce)(ce)(ce)(ce)合法(fa)(fa)(fa)性(xing)審(shen)(shen)查(cha)(cha)。健(jian)全國資(zi)(zi)委(wei)(wei)重大(da)決(jue)(jue)策(ce)(ce)(ce)(ce)合法(fa)(fa)(fa)性(xing)審(shen)(shen)查(cha)(cha)機制(zhi),明確決(jue)(jue)策(ce)(ce)(ce)(ce)方案(an)需包含法(fa)(fa)(fa)律法(fa)(fa)(fa)規(gui)(gui)政策(ce)(ce)(ce)(ce)依(yi)據、履行法(fa)(fa)(fa)定(ding)程序等情況。充分發揮法(fa)(fa)(fa)律顧(gu)問和公(gong)職律師作(zuo)用,全年(nian)對中央企業章程、改制(zhi)重組方案(an)以(yi)及國有(you)資(zi)(zi)本投(tou)資(zi)(zi)、運營公(gong)司試點等決(jue)(jue)策(ce)(ce)(ce)(ce)事(shi)項(xiang)進行法(fa)(fa)(fa)律論證把(ba)關。三(san)是建(jian)立(li)健(jian)全公(gong)平競爭審(shen)(shen)查(cha)(cha)機制(zhi)。落(luo)實(shi)國務(wu)院(yuan)關于建(jian)立(li)公(gong)平競爭審(shen)(shen)查(cha)(cha)制(zhi)度的要求,從(cong)市場(chang)準入、商(shang)品和要素自由(you)流動等方面對政策(ce)(ce)(ce)(ce)措施(shi)深入開(kai)展審(shen)(shen)查(cha)(cha),同時組織公(gong)平競爭專(zhuan)項(xiang)清理(li),確保監(jian)管行為依(yi)法(fa)(fa)(fa)合規(gui)(gui)。
五、強化對權力的制約和監督
一是(shi)(shi)(shi)健全(quan)常態化(hua)、長效化(hua)的(de)(de)監(jian)(jian)督(du)制(zhi)度。根據《各廳局(ju)職(zhi)能及(ji)主(zhu)要工作(zuo)(zuo)事(shi)項(xiang)(試行)》,完善《國(guo)(guo)(guo)(guo)(guo)資(zi)委(wei)機(ji)(ji)關(guan)職(zhi)責分(fen)解一覽表》,進一步明(ming)確工作(zuo)(zuo)職(zhi)責和程序,優化(hua)履(lv)職(zhi)方(fang)式。出臺《關(guan)于規范國(guo)(guo)(guo)(guo)(guo)資(zi)委(wei)機(ji)(ji)關(guan)工作(zuo)(zuo)人員與中(zhong)央(yang)企(qi)業往來(lai)行為的(de)(de)規定》,對依法合規行權履(lv)職(zhi)提(ti)出具(ju)體(ti)要求,推動(dong)(dong)構(gou)建與中(zhong)央(yang)企(qi)業“親”“清”健康的(de)(de)工作(zuo)(zuo)關(guan)系(xi)。按照(zhao)《關(guan)于合理(li)確定并嚴格規范中(zhong)央(yang)企(qi)業負責人履(lv)職(zhi)待遇、業務支(zhi)出的(de)(de)意見(jian)》有關(guan)規定,結(jie)合巡視、審(shen)(shen)計、紀檢(jian)監(jian)(jian)察發現的(de)(de)突出問題(ti),進一步健全(quan)相(xiang)關(guan)制(zhi)度規范。二是(shi)(shi)(shi)自覺接受黨(dang)內(nei)監(jian)(jian)督(du)和審(shen)(shen)計監(jian)(jian)督(du)。組織(zhi)召開(kai)(kai)國(guo)(guo)(guo)(guo)(guo)資(zi)委(wei)直屬(shu)機(ji)(ji)關(guan)警(jing)示教育大(da)會,深(shen)入剖析中(zhong)央(yang)第一輪巡視國(guo)(guo)(guo)(guo)(guo)資(zi)委(wei)發現的(de)(de)突出問題(ti),以典型案件為反面教材,教育引(yin)導廣大(da)黨(dang)員干部深(shen)刻反思、引(yin)以為戒(jie)。配合審(shen)(shen)計署對國(guo)(guo)(guo)(guo)(guo)資(zi)委(wei)開(kai)(kai)展2017年預(yu)算執行等(deng)情況(kuang)審(shen)(shen)計以及(ji)相(xiang)關(guan)專項(xiang)審(shen)(shen)計,積極提(ti)供材料、主(zhu)動(dong)(dong)說明(ming)情況(kuang)、全(quan)力(li)整(zheng)改問題(ti)。三是(shi)(shi)(shi)全(quan)面推進陽光監(jian)(jian)管。編制(zhi)《國(guo)(guo)(guo)(guo)(guo)資(zi)委(wei)主(zhu)動(dong)(dong)公(gong)(gong)開(kai)(kai)基本目錄》,包括7類(lei)30項(xiang)具(ju)體(ti)公(gong)(gong)開(kai)(kai)事(shi)項(xiang),同(tong)時明(ming)確了公(gong)(gong)開(kai)(kai)時限和公(gong)(gong)開(kai)(kai)方(fang)式。通過公(gong)(gong)告(gao)、新(xin)聞(wen)發布會、官方(fang)網(wang)站、微信(xin)公(gong)(gong)眾號等(deng)多種渠道主(zhu)動(dong)(dong)發布國(guo)(guo)(guo)(guo)(guo)資(zi)國(guo)(guo)(guo)(guo)(guo)企(qi)權威(wei)信(xin)息(xi),包括國(guo)(guo)(guo)(guo)(guo)資(zi)監(jian)(jian)管規章規范性文件、中(zhong)央(yang)企(qi)業經(jing)濟運行情況(kuang)、監(jian)(jian)督(du)檢(jian)查結(jie)果等(deng)。
六、依法有效化解矛盾糾紛
一是(shi)(shi)妥(tuo)(tuo)善應對(dui)機關涉(she)訴(su)案件。認(ren)真辦(ban)理(li)(li)(li)行(xing)政復(fu)議、行(xing)政訴(su)訟(song)案件,就國(guo)(guo)資委(wei)涉(she)行(xing)政訴(su)訟(song)案有關定性問(wen)題,主動與(yu)最(zui)高(gao)法(fa)(fa)(fa)(fa)院溝通(tong)協(xie)調(diao),最(zui)高(gao)法(fa)(fa)(fa)(fa)院明(ming)確不受(shou)理(li)(li)(li)以行(xing)政復(fu)議為由(you)對(dui)國(guo)(guo)資委(wei)提起的(de)(de)行(xing)政訴(su)訟(song)。二是(shi)(shi)立(li)足源(yuan)頭治理(li)(li)(li)加(jia)強(qiang)維(wei)穩(wen)工(gong)(gong)作(zuo)。對(dui)于(yu)企(qi)業改(gai)制、廠辦(ban)大集體改(gai)革、分離企(qi)業辦(ban)社會(hui)等(deng)可能引發社會(hui)矛盾潛在風險(xian)的(de)(de)國(guo)(guo)企(qi)改(gai)革事項(xiang),加(jia)強(qiang)業務工(gong)(gong)作(zuo)與(yu)維(wei)穩(wen)工(gong)(gong)作(zuo)的(de)(de)結合(he)(he),將(jiang)推(tui)進(jin)改(gai)革與(yu)確保穩(wen)定同謀劃(hua)、同部署、同落實,從源(yuan)頭上把控(kong)風險(xian)。組織中央(yang)(yang)企(qi)業開展矛盾糾(jiu)紛(fen)排(pai)查化(hua)解,對(dui)排(pai)查出(chu)的(de)(de)不穩(wen)定問(wen)題建(jian)立(li)風險(xian)管控(kong)臺賬,并(bing)制訂相應化(hua)解措施。三是(shi)(shi)不斷提升信訪(fang)(fang)工(gong)(gong)作(zuo)法(fa)(fa)(fa)(fa)治化(hua)水(shui)平(ping)。嚴格執(zhi)行(xing)信訪(fang)(fang)條例,全面推(tui)進(jin)訴(su)訪(fang)(fang)分離,運用法(fa)(fa)(fa)(fa)治思維(wei)分類處理(li)(li)(li)信訪(fang)(fang)問(wen)題,引導信訪(fang)(fang)人通(tong)過(guo)司法(fa)(fa)(fa)(fa)程序妥(tuo)(tuo)善解決(jue)矛盾問(wen)題。加(jia)強(qiang)機關接訪(fang)(fang)辦(ban)信、復(fu)查復(fu)核、轉辦(ban)督辦(ban)等(deng)基礎業務管理(li)(li)(li),進(jin)一步優化(hua)網上辦(ban)理(li)(li)(li)信訪(fang)(fang)的(de)(de)工(gong)(gong)作(zuo)流程。四(si)是(shi)(shi)指導協(xie)調(diao)中央(yang)(yang)企(qi)業重大法(fa)(fa)(fa)(fa)律糾(jiu)紛(fen)案件。印發中央(yang)(yang)企(qi)業法(fa)(fa)(fa)(fa)律糾(jiu)紛(fen)案件綜合(he)(he)分析(xi)報告,督促企(qi)業依法(fa)(fa)(fa)(fa)妥(tuo)(tuo)善解決(jue)矛盾糾(jiu)紛(fen),及時化(hua)解社會(hui)不穩(wen)定因素(su)。
七、大力推進“七五”普法工作
一是積(ji)極開展法(fa)(fa)(fa)治(zhi)宣(xuan)傳。制定《國務(wu)院(yuan)國資(zi)委(wei)普(pu)法(fa)(fa)(fa)責任(ren)清(qing)單》,按照(zhao)“業(ye)(ye)(ye)務(wu)誰(shui)主管誰(shui)普(pu)法(fa)(fa)(fa)”原則(ze),明(ming)確各(ge)廳局責任(ren)。國資(zi)國企(qi)(qi)重(zhong)要(yao)政策(ce)文件出(chu)臺(tai)后,通過舉(ju)行(xing)新聞發(fa)布會(hui)、媒體通氣會(hui),組(zu)(zu)(zu)織(zhi)(zhi)(zhi)專(zhuan)家解讀、發(fa)表專(zhuan)題(ti)文章(zhang)等形式,做好(hao)政策(ce)宣(xuan)講(jiang)解讀工作。創建“國資(zi)法(fa)(fa)(fa)治(zhi)”微信公眾號,定期(qi)(qi)發(fa)布中(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)法(fa)(fa)(fa)治(zhi)建設信息,加強宣(xuan)傳引導(dao)。組(zu)(zu)(zu)織(zhi)(zhi)(zhi)開展“七五”普(pu)法(fa)(fa)(fa)中(zhong)期(qi)(qi)檢查,及時(shi)總結工作情(qing)況上報(bao)全(quan)國普(pu)法(fa)(fa)(fa)辦(ban)。二是切(qie)實加強系統內法(fa)(fa)(fa)治(zhi)培訓(xun)。舉(ju)辦(ban)國資(zi)委(wei)機關法(fa)(fa)(fa)治(zhi)建設專(zhuan)題(ti)培訓(xun)班(ban),邀(yao)請專(zhuan)家、法(fa)(fa)(fa)官為機關干部(bu)講(jiang)授公平競爭審(shen)查、行(xing)政訴(su)訟法(fa)(fa)(fa)和(he)典型(xing)案例。全(quan)年組(zu)(zu)(zu)織(zhi)(zhi)(zhi)6期(qi)(qi)“法(fa)(fa)(fa)治(zhi)講(jiang)堂”,邀(yao)請知名專(zhuan)家學者(zhe)、律師進行(xing)視頻授課,國資(zi)委(wei)系統每期(qi)(qi)參(can)加人員(yuan)近2萬人。深(shen)入企(qi)(qi)業(ye)(ye)(ye)宣(xuan)貫法(fa)(fa)(fa)治(zhi)建設要(yao)求,派(pai)員(yuan)參(can)加中(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)法(fa)(fa)(fa)治(zhi)工作會(hui)議、為企(qi)(qi)業(ye)(ye)(ye)黨(dang)委(wei)(黨(dang)組(zu)(zu)(zu))中(zhong)心組(zu)(zu)(zu)專(zhuan)題(ti)學法(fa)(fa)(fa)授課70余(yu)次(ci)。舉(ju)辦(ban)中(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)境外法(fa)(fa)(fa)律風險防范等4個培訓(xun)班(ban),組(zu)(zu)(zu)織(zhi)(zhi)(zhi)涉美訴(su)訟應對法(fa)(fa)(fa)律事(shi)務(wu)境外培訓(xun),取得(de)了較好(hao)效果。三是有力促進共(gong)享(xiang)交流。將全(quan)部(bu)中(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)按行(xing)業(ye)(ye)(ye)、地域(yu)分(fen)成12個協(xie)作組(zu)(zu)(zu),組(zu)(zu)(zu)內企(qi)(qi)業(ye)(ye)(ye)輪流牽頭(tou),圍繞(rao)不(bu)(bu)同(tong)主題(ti)定期(qi)(qi)座談交流,全(quan)年各(ge)協(xie)作組(zu)(zu)(zu)共(gong)開展活動(dong)34次(ci)。不(bu)(bu)斷充實中(zhong)央(yang)(yang)企(qi)(qi)業(ye)(ye)(ye)法(fa)(fa)(fa)治(zhi)建設優秀(xiu)案例庫,已(yi)發(fa)布優秀(xiu)案例200個,供企(qi)(qi)業(ye)(ye)(ye)學習借鑒。
八、促進中央企業提高依法治企水平
一(yi)是督促企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)法(fa)(fa)(fa)(fa)治建(jian)(jian)設(she)(she)第(di)一(yi)責任(ren)人(ren)職責落實。貫徹中(zhong)(zhong)(zhong)央(yang)(yang)要求,印發《中(zhong)(zhong)(zhong)央(yang)(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)主要負責人(ren)履行(xing)(xing)推進法(fa)(fa)(fa)(fa)治建(jian)(jian)設(she)(she)第(di)一(yi)責任(ren)人(ren)職責規(gui)定(ding)》。組(zu)織(zhi)(zhi)(zhi)對(dui)全(quan)部中(zhong)(zhong)(zhong)央(yang)(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)貫徹落實情況進行(xing)(xing)實地調(diao)研,將第(di)一(yi)責任(ren)人(ren)職責細化(hua)(hua)為38項指標,對(dui)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)逐一(yi)分(fen)析評估(gu),并逐一(yi)反(fan)饋結果(guo),有(you)力促進法(fa)(fa)(fa)(fa)治央(yang)(yang)企(qi)(qi)(qi)建(jian)(jian)設(she)(she)整(zheng)體水平不(bu)斷(duan)提升。二是指導中(zhong)(zhong)(zhong)央(yang)(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)加強(qiang)風險(xian)(xian)防范(fan)。在先行(xing)(xing)試點、總結研究的基礎上(shang),出臺《中(zhong)(zhong)(zhong)央(yang)(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)合(he)規(gui)管(guan)(guan)理(li)指引(試行(xing)(xing))》,編寫《知(zhi)名(ming)跨國公(gong)司(si)合(he)規(gui)管(guan)(guan)理(li)典型(xing)案例匯編》,推動企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)全(quan)面(mian)加強(qiang)風險(xian)(xian)管(guan)(guan)控,提升依法(fa)(fa)(fa)(fa)合(he)規(gui)經營管(guan)(guan)理(li)能力。組(zu)織(zhi)(zhi)(zhi)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)全(quan)面(mian)開展境外法(fa)(fa)(fa)(fa)律(lv)(lv)風險(xian)(xian)排查處置,全(quan)面(mian)梳(shu)理(li)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)海外經營5大類20種風險(xian)(xian),強(qiang)化(hua)(hua)綜合(he)分(fen)析和(he)(he)風險(xian)(xian)提示。三是夯實組(zu)織(zhi)(zhi)(zhi)體系和(he)(he)隊伍(wu)建(jian)(jian)設(she)(she)。推動企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)建(jian)(jian)立(li)健(jian)全(quan)法(fa)(fa)(fa)(fa)治工作(zuo)機構,探索設(she)(she)立(li)法(fa)(fa)(fa)(fa)律(lv)(lv)服務(wu)中(zhong)(zhong)(zhong)心等法(fa)(fa)(fa)(fa)律(lv)(lv)資源集約化(hua)(hua)管(guan)(guan)理(li)模式。指導企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)強(qiang)化(hua)(hua)法(fa)(fa)(fa)(fa)律(lv)(lv)顧問(wen)配備和(he)(he)隊伍(wu)培養,目(mu)前中(zhong)(zhong)(zhong)央(yang)(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)全(quan)系統(tong)共有(you)法(fa)(fa)(fa)(fa)律(lv)(lv)顧問(wen)1.1萬人(ren)。建(jian)(jian)立(li)中(zhong)(zhong)(zhong)央(yang)(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)(ye)金融法(fa)(fa)(fa)(fa)律(lv)(lv)人(ren)才(cai)庫(ku)和(he)(he)涉外法(fa)(fa)(fa)(fa)律(lv)(lv)人(ren)才(cai)庫(ku),目(mu)前入(ru)庫(ku)專家193人(ren)。

●國資委政策法規局赴地方開展片區調研
2019年3月中旬,政策法規局分(fen)(fen)別赴四川(chuan)、山東、湖北三個地方,組織召開了完善國有資產管(guan)理體制片區調研座談會,并深入(ru)實地調研了部分(fen)(fen)省(sheng)(sheng)屬重點國有企業。全國37個省(sheng)(sheng)級國資委和部分(fen)(fen)地市級國資委有關負責同志、政策法規處室負責同志參加了調研座談。

●中央企業法治工作重點措施
1.東航集團:為(wei)保(bao)證合(he)規經營,提升旅客(ke)信(xin)息保(bao)護水平,東航集團制(zhi)定下發《關(guan)于加強互聯網化東航戰(zhan)略(lve)法律服務(wu)保(bao)障指(zhi)導意(yi)見》。成(cheng)立(li)GDPR合(he)規建設領導小組和工作小組,任命數據保(bao)護官,東航成(cheng)為(wei)國內(nei)首家設立(li)數據保(bao)護官的企業。聘請(qing)專業機構,利用外部(bu)(bu)資源就GDPR相關(guan)條款和具體事項(xiang)提供法律建議。梳(shu)理內(nei)部(bu)(bu)風險點,開展合(he)規整改,發布(bu)隱私政策,持續推進與供應商簽署相關(guan)協議,明(ming)確合(he)作伙伴的數據保(bao)護義務(wu)和責(ze)任。目前,梳(shu)理出的44項(xiang)整改項(xiang)中除長期整改項(xiang)外,其余已基本完成(cheng)。
2.中(zhong)國(guo)(guo)商飛(fei):中(zhong)國(guo)(guo)商飛(fei)深入學(xue)習貫徹(che)黨(dang)的十九大精(jing)神,認真(zhen)學(xue)習習近平(ping)新(xin)時(shi)代(dai)中(zhong)國(guo)(guo)特色社(she)會主義思想,大力(li)推(tui)進(jin)法(fa)治(zhi)商飛(fei)建設。一(yi)是不斷強化第(di)一(yi)責(ze)任人(ren)職責(ze)貫徹(che)落實(shi)。董事長親自部(bu)(bu)署,親自動(dong)員,聽取(qu)匯報,提出要(yao)求。總(zong)經理(li)親自策劃(hua),將(jiang)落實(shi)第(di)一(yi)責(ze)任人(ren)職責(ze)要(yao)求有效落實(shi)延(yan)伸至各單位(wei)各部(bu)(bu)門(men)(men)。切實(shi)強化領導干部(bu)(bu)法(fa)治(zhi)學(xue)習,年度集中(zhong)學(xue)法(fa)時(shi)間達41小時(shi)。二(er)是進(jin)一(yi)步(bu)提升風(feng)險(xian)(xian)防控能力(li),專(zhuan)門(men)(men)成(cheng)(cheng)立競(jing)爭對(dui)策專(zhuan)項改革小組,深入開(kai)展法(fa)律合(he)規研究,形成(cheng)(cheng)《WTO貿易合(he)規內(nei)部(bu)(bu)管理(li)指引(yin)》《美國(guo)(guo)出口管制合(he)規指引(yin)》等一(yi)系列研究成(cheng)(cheng)果。定期(qi)梳理(li)排(pai)查境外法(fa)律風(feng)險(xian)(xian),編制人(ren)力(li)資(zi)源、產品責(ze)任等專(zhuan)業領域法(fa)律風(feng)險(xian)(xian)崗(gang)位(wei)防控指引(yin)。
